      Wednesday, 14. Sep 2005, 14:09
Unternehmen: CHINA PETRO.+ CHEM. - PETROCHINA CO. LTD

      Peking 14.09.05 (www.emfis.com)

Der internationale Investmentarm der China National Petroleum & Gas Corp (CNPC), die China National Petroleum & Gas Corp Investment (CNPCI), führt ein Konsortium an, welches vom kandasichen Öl- und Gasproduzenten EnCana Corp`s den Ölbereich in Ecuador für 1,42 Mrd. US-$ kauft.

Bisher hatte CNPC bereits 1 Mrd.

CNPC to purchase EnCana`s oil business in Ecudaor
      Last Updated(Beijing Time):2005-09-16 09:45
Andes Petroleum Corporation, a joint venture of Chinese petroleum companies, has reached an agreement with Canada-based EnCana Corporation to purchase all of its shares in subsidiaries that have oil and pipeline interests in Ecuador, said sources with China National Petroleum Corporation (CNPC) Thursday.

According to the agreement signed Tuesday, the Andes Petroleum Corporation, in which both the CNPC, China`s largest oil producer and China Petroleum and Chemical Corporation (Sinopec), China`s largest oil refiner hold a share, will buy those assets of EnCana for 1.42 billion US dollars in cash.

The sale, expected to close before the end of this year, is subject to prior approval by the government of Ecuador, normal closing conditions and regulatory approvals.

Based in Calgary, Alberta, EnCana has been focusing on developing its natural gas and oil resources in North America and divesting of its non-core assets since being formed in early 2002.

The net book value of EnCana`s investment in Ecuador is approximately 1.4 billion US dollars.

Sinopec has also participated in the purchase, said the source.

HONG KONG (AFX) - India`s ONGC Videsh Ltd (OVL) has decided to counter China National Petroleum Company`s (CNPC`s) 4.18 bln usd bid to acquire PetroKazakhstan, India`s Financial Express newspaper reported in its online edition.

The counter-offer will be made by ONGC Mittal Energy Ltd (OME), the joint venture floated by OVL and LN Mittal-promoted Mittal Investment Sarl, it said.

ONGC Videsh has formally informed the Indian government of its decision, the paper said, adding that its proposal to make a "superior counter offer" was discussed by senior Indian government officials earlier this month.

"Consultations did take place on this issue and the committee had finally left it to the ONGC/OVL board to take a commercial call," a senior government official was quoted as saying when asked to comment on the outcome of the meeting.

OVL is the international arm of Oil and Natural Gas Corp (ONGC).

Senior ONGC and OVL officials confirmed that a counter-offer is being prepared in consultation with their technical advisor GCA, legal advisor Ashurst and commercial advisor UBS, the paper said.

It said OME will be required to pay a "break fee" of 125 mln usd to PetroKazakhstan if its counterbid is accepted. PetroKazakhstan will in turn will pay the money to CNPC.

The board of PetroKazakhstan is scheduled to convene a special meeting of shareholders on October 18 at its headquarters at Calgary in Canada to approve CNPC`s offer. Any superior offer would also be considered in that meeting, the report said.

China`s CNPC not to raise bid for PetroKazakhstan - source
      Article layout: reformatted

BEIJING (AFX) - China National Petroleum Corp`s board (CNPC) held an emergency meeting yesterday and has decided not to raise its original bid of 4.18 bln usd for PetroKazakhstan Inc, a CNPC official said.

"CNPC held an emergency meeting yesterday to discuss PetroKazakhstan," the official said.

He said CNPC`s bid for the New York and Toronto-listed oil and gas company has been facing several difficulties including potential new bids and complications with joint-venture partners.

He said an Abu Dhabi investment fund had expressed interest in acquiring PetroKazakhstan.

He also said CNPC`s bid was facing difficulties with PetroKazakhstan`s joint venture with Russian oil company Lukoil.

"If CNPC wants to buy PetroKazakhstan, it must consider the joint venture which is very profitable," he said.

He did not mention India`s ONGC`s reported counter bid.

Earlier media reports said this week that India`s ONGC Videsh Ltd (OVL) had decided to make a counter bid for PetroKazakhstan.

India`s Financial Express newspaper reported that the counter-offer will be made by ONGC Mittal Energy Ltd (OME), the joint venture floated by OVL and LN Mittal-promoted Mittal Investment Sarl.

The board of PetroKazakhstan is scheduled to convene a special meeting of shareholders on Oct 18 at its headquarters at Calgary in Canada to approve CNPC`s offer.

PetroKazakhstan unaware of any rival bids to CNPC`s
      Article layout: reformatted

MONTREAL (AFX) - PetroKazakhstan said it is not aware that there are any other bids for the Canadian company than the one tabled in August by China National Petroleum Corporation (CNPC).

CNPC said that an Abu Dhabi investment fund had expressed interest in acquiring PetroKazakhstan, while India`s Financial Express newspaper reported that India`s ONGC Videsh Ltd (OVL) had decided to make a counter bid for PetroKazakhstan.

PetroKazakhstan vice president and treasurer Jeffrey Auld, speaking by telephone from London, said that there are no rival bids.

If there were any, the company would be obliged to disclose them to the securities commissions in Toronto and New York, where the company is listed, Auld said.

Kazakhstan bill to protect its oil cos could affect China`s CNPC bid - report
      Article layout: raw

BEIJING (AFX) - Kazakhstan`s lower house of Parliament has voted unanimously to give the state the power top intervene in the sale of foreign-held stakes in oil companies, a move that may derail China National Petroleum Corp (CNPC)`s 4.18 bln usd takeover bid for PetroKazakhstan Inc, the Wall Street Journal said.

The report said that the bill also seeks to limit property rights for "strategic resources", which are defined as oil and gas assets and energy-sector resources.

The bill becomes law only after it is approved by the upper house and President Nursultan Nazarbayev.

Kazakhstan last year amended its subsoil laws to allow it to pre-empt the sale of mineral assets but the new law would also allow it to pre-empt sales of shares on the secondary market, such as CNPC`s deal for Canada`s PetroKazakhstan, the paper said.

It quoted Ihor Wasylkiw, PetroKazakhstan`s vice president of investor relations as saying the impending legislation did not affect its offer from CNPC, with PetroKazakhstan still looking at closing the transaction soon after meeting with shareholders.

PetroKazakstan announced in August that CNPC had reached an agreement to buy all of the Canadian-listed Kazakh oil and gas company for 4.18 bln usd.

The PetroKazakhstan shareholder vote on the takeover offer is scheduled for Oct 18 in Calgary, Canada, the report said.

The paper cited Wasylkiw as saying it would probably take months for the proposed Kazakh bill to be enacted, were it to win parliamentary approval. He also said presidential endorsement is far from certain given a recent summit between China and Kazakhstan aimed at strengthening trade and political ties.

The report said that on Tuesday Kazakhstan`s energy minister Vladimir Shkolnik called for his country to take "strategic control" over PetroKazakhstan`s assets and said state oil company KazMunaiGas was in talks to obtain a stake in PetroKazakhstan.

Kazakhstan, a large landlocked country, is likely to join the world`s top 10 oil producers in the next decade as it develops Caspian Sea reserves, it noted.

PetroKazakhstan: Lukoil und China National Petroleum (CNPC) Verhandeln
      Wednesday, 12. Oct 2005, 14:32
      Unternehmen: LUKOIL OIL

      Peking 12.10.05 (www.emfis.com)

Wie wir berichteten, will die China National Petroleum Corp (CNPC) PetroKazakhstan für 4,18 Mrd. US-$ übernehmen.

Unternehmen: CHINA PETRO.+ CHEM. - LUKOIL OIL

      Almaty 13.10.05 (www.emfis.com)

      Friday, 14. Oct 2005, 07:42

      Peking 14.10.05 (www.emfis.com)

Der Kampf um die Übernahme der PetroKazakhstan Inc durch die China National Petroleum Corp (CNPC) für 4,18 Mrd. US-$ geht weiter.

      CNPC boosts oil reserves abroad
      By Wang Ying
      Updated: 2005-10-14 08:34

CNPC (Hong Kong), a Hong Kong-listed unit of China`s largest oil producer China National Petroleum Corp (CNPC) will pay US$140 million to increase its stake in a venture with interests in three oil fields in Kazakhstan.

The Hong Kong-listed subsidiary said it is buying an additional 20 per cent of CNPC International (Caspian) Ltd from Darley Investment Services Inc, increasing its share to 60 per cent. The remaining stakes will be directly owned by Beijing-based CNPC, said a CNPC (Hong Kong) Ltd statement, which is 52.9 per cent controlled by its parent company CNPC. Darley thus, will hold no interest in CNPC International (Caspian) Ltd.

The deal, scheduled to be complete by today, will boost CNPC`s oil reserves abroad. The move aims to meet the soaring energy demand from China and is in line with the objective of becoming "an international petroleum company that offers a diversified range of petroleum operations in various countries," the company statement said.

The Kazakhstan venture that CNPC is buying owns 25.12 per cent shares of three oilfields in Aktobe, which has a production capacity of 17,500 tons of crude oil per day.

The acquisition will be funded by a six-month bank loan of US$120 million secured on Monday, with the remainder coming from internal resources, CNPC (Hong Kong) said.

CNPC (Hong Kong), which holds assets in Southeast China and South America, bought its initial 40 per cent stake in the Kazak oil venture in December 2003 from CNPC International for US$11 million.

It had a net income of HK$611 million (US$79 million) in the first half of this year, an increase of 44 per cent from last year.

China`s oil big players, in order to secure reserves for growing oil demand from the domestic market, are acting vigorously to tap overseas assets.

The Beijing-based oil conglomerate in August reached an agreement with PetroKazakhstan Inc to buy the Canadian-registered company for US$4.18 billion, a move that would now be opposed by political quarters in Kazakhstan, whose parliament has passed a bill allowing the state to intervene in the sale of foreign-held stakes in oil companies.

Kazakhstan boasted 3.3 per cent of the world`s oil reserves at the end of 2004, as stated in the BP Statistical Review of World Energy 2005. The central Asian country produced 1.3 million barrels of oil daily last year, and plans to triple oil output by 2015.

CNPC (Hong Kong) shares yesterday fell 0.617 per cent to HK$1.61 (19.9 US cents).

CNPC and Gazprom set talks on gas supply arrangements

China National Petroleum Corp, a state- owned oil producer, will meet with Russia`s state firm Gazprom next month to discuss proposals for Russia to export natural gas to China.

      Thursday, October 20, 2005

China National Petroleum Corp, a state- owned oil producer, will meet with Russia`s state firm Gazprom next month to discuss proposals for Russia to export natural gas to China.

This will be the first time for the two energy giants to discuss details of the gas supply deal, including the commercial terms. So far they have only signed a feasibility agreement, while Gazprom deputy chairman Alexander Medvedev said last month initial talks had been held and he expected further discussions in the near future.

"It has been more of a preliminary cooperation agreement in the past, but this time we are starting discussions on commercial terms such as volume, pricing and so on," said Victoria Shterengarts, a business development official at Gazexport, the export arm of Gazprom.

The Russian government is expected to make a decision on the development of the eastern Siberian reserves by the end of the year, and until then, there will still be uncertainties, such as when and how to deliver the gas to China, Shterengarts said.

The Russian government is proposing two routes to deliver gas to China, one from the Kovykta and Chayanda fields and the other from ExxonMobil`s Sakhalin-I project.

China has been interested in Kovykta for a long time as it holds much more oil than Sakhalin I. However, Shterengarts said discussions between CNPC and Gazprom are unlikely to include where the gas will come from.

The Russian gas is expected to link with China`s West-East gas pipeline, which will transport 12 billion cubic meters of natural gas from the Tarim Basin in Xinjiang to Shanghai, which is 4,000 kilometers away.

"The Chinese have told us they are willing to accept more than one route," Shterengarts said.

Russia could export up to 20 billion cubic meters of gas annually to China if the Russian Federation makes a decision to support the export from the Kovykta gas field to China.

TNK-BP, which has a 63 percent stake in Russia Petroleum, which in turn owns the Kovykta project, hopes to start exporting gas to China from 2010 or 2012, with volumes eventually reaching up to 20 billion cubic meters.

The first phase of the Kovykta project will supply three to four billion cubic meters of gas to Irkutsk in Russia from 2007. Russia could also export liquefied natural gas to China, and this can be transported to three terminals including Qingdao, Tianjin and Dalian, according to Shterengarts.

China`s gas demand may reach 180 cubic meters by 2020, but domestic production may only reach 100 to 120 billion cubic meters, according to TNK- BP`s projections.

However, apart from Guangdong and Fujian provinces, Chinese oil companies including CNOOC have been struggling to secure gas supply for several proposed terminals due to issues including price, volume and delivery time, industry sources said.

CNPC clears key hurdles on oil deal but worries remain

China National Petroleum`s proposed purchase of Canada`s PetroKazakhstan for US$4.18 billion (HK$32.6 billion) has cleared key obstacles, but uncertainty remains over a Canadian court ruling and upcoming Kazakhstan presidential elections, a CNPC source said.

      Monday, October 24, 2005

China National Petroleum`s proposed purchase of Canada`s PetroKazakhstan for US$4.18 billion (HK$32.6 billion) has cleared key obstacles, but uncertainty remains over a Canadian court ruling and upcoming Kazakhstan presidential elections, a CNPC source said.

More than 99 percent of PetroKazakhstan shareholders voted in favor of CNPC`s US$55 a share bid for the company on October 18, CNPC said on its Web site last week.

But the deal still requires approval by the Canadian court, which is scheduled to make a ruling Wednesday.

Among other things, the court will decide whether Russian oil company Lukoil has any grounds to block the change of ownership of oil fields from PetroKazakhstan to CNPC, CNPC co- ordination department deputy director Liu Weijiang said.

"We have basically cleared earlier obstacles after the memorandum of understanding was signed recently with state-owned KazMunaiGas and, if the court proceedings go smoothly, the deal could close within a day after that," Liu said, referring to pressures from the government to sell off a stake in PetroKazakhstan to KazMunaiGas.

"They [Kazakh government] have agreed to the equity stake we proposed, otherwise the agreement would not have been signed," Liu said, without elaborating on the percentage and price of the stake.

CNPC has agreed to sell a 33 percent stake in PetroKazakhstan for US$1.4 billion (HK$10.92 billion) to KazMunaiGas, according to Bloomberg.

Apart from offering a stake in PetroKazakhstan, Liu says, CNPC may set up a joint venture with KazMunaiGas for an oil refinery in Shymkent.

While the agreement with KazMunaiGas paves the way for the proposed deal, whether the deal will be wrapped up soon depends on the Canadian court`s ruling, usually a formality after a positive shareholders` vote, Liu said.

Lukoil claims it has pre-emptive rights to acquire PetroKazakhstan`s interest, in particular a 50-50 joint venture called Turgai Petroleum.

PetroKazakhstan, however, argues that Lukoil`s pre-emptive rights would only be in force if the assets were sold directly and not inherited.

Lukoil has applied to settle the dispute in an arbitration tribunal in Stockholm, but that could take up to six months. The CNPC deal, however, expires on November 30. PetroKazakhstan and the Kazakh government need to ensure that the deal meets regulatory requirements under Canadian law, Liu said.

Meanwhile, the Kazakh presidential elections are due to take place on December 4.

"As CNPC`s MOU has been signed with KazMunaiGas under Kazakh President Nursultan Nazarbayev, it is difficult to guarantee at this point that a change of government will not have any impact on the agreement with PetroKazakhstan as there are differing views regarding this deal," Liu said.

Opposition leader Zharmakhan Tuyakbai is considered the main challenger in the election to incumbent Nazarbayev, who has ruled the country for 15 years.

As for competing bids, Liu said CNPC does not see India`s Oil and Natural Gas Corporation as a rival.

"If they wanted to submit a higher bid, they would have done so by October 18."

In August, ONGC, along with steel tycoon LN Mittal, submitted a US$3.9 billion bid for a 51 percent stake in PetroKazakhstan.

However it was outbid by CNPC, which offered US$4.18 billion.

ONGC was largely expected to resubmit a higher bid after it lost out to CNPC.

When asked if CNPC will have to strike similar deals with KazMunaiGas for future acquisitions, Liu said this is not the current trend, but that it is hard to tell if it will become a prerequisite for future acquisitions as "the law is always changing."

      London 26.10.05 (www.emfis.com)

US-$ ihre Zustimmung gegeben.

Endlich geschafft. Es war eine harte Nuß.

      CNPC finalizes PetroKazakhstan acquisition

BEIJING - On the morning of October 27, China National Petroleum Corporation (CNPC) announced that it has successfully acquired Canada-based PetroKazakhstan Inc (PK) through its wholly-owned subsidiary China National Petroleum Corporation International (CNPCI).

On October 26, Canadian time, China`s largest oil producer saw its planned acquisition of PK through CNPCI granted an "unconditional" final order by the Queen`s Bench Court in Calgary, Canada. CNPC`s bid for PK was US$55 per share, totaling $4.18 billion, the largest overseas takeover transaction ever made by a Chinese company. Lukoil of Russia, one of CNPC`s major rivals in the deal, made no appeal, marking the completion of all legal procedures for the transaction. Afterward, CNPC announced the completion of the transaction.

On October 26, Chinese Premier Wen Jiabao met Kazakhstan`s Prime Minister Danial Akhmetov in Moscow while attending the

      China Business Big Picture

Shanghai Cooperation Organization Summit. Both the premier and the prime minister expressed their strong support for the mutual-benefit cooperation between CNPC and KazMunaiGaz over PK after the completion of the acquisition. Some days earlier, CNPC had agreed to sell certain assets of PK to KazMunaiGaz as a condition of the deal.

The Kazakh prime minister promised to help resolve any further problems of PK in Kazakhstan together with CNPC after the deal is closed. Early in the shareholders meeting of PK held last Tuesday, 99.04% of all the voting shares were affirmative for the acquisition. According to the relevant transaction procedures, the outcome of the shareholders meeting needs to be sanctioned by the Canadian court.

However, in the court hearing last Tuesday, Lukoil lawyers claimed that Lukoil has the "right of first refusal" to buy a 50% stake in Turgai Petroleum, a joint venture between PK and Lukoil. This resulted in a postponement of the court ruling to the following day.

On August 21, CNPC and PK concluded their negotiations over the transaction with the signing of an "Arrangement Agreement". According to CNPC, after two months of intense work, all the formal approvals and legal procedures have been obtained and completed. At present, the CNPC staff is working with PK and the handover of the business is under way. The actual operations of PK are continuing as usual, with employees unaffected.

PK Inc is an international energy company registered in Canada, with all of its assets, such as oilfields and refineries, in the Republic of Kazakhstan. PK`s total annual production capacity of crude oil exceeds seven million tons.

CNPC stated that it has developed good relations with the Kazakh government. The cooperative Aktobe project was hailed by Kazakh President Nazarbayev as a "model for Sino-Kazakh economic cooperation". Accordingly, CNPC has said it will choose to cooperate with KazMunaiGaz, the state oil company of Kazakhstan, to operate and manage the PK project. The two parties signed a memorandum of understanding on October 15, according to which KazMunaiGas will obtain a certain amount of PK shares, enough to have strategic control over the development of the country`s mineral resources, together with equal rights for the joint management of the Shymkent refinery and its products, widely regarded as one of PK`s most important assets.

PK owns 12 oil fields, and six exploration block licenses in Kazakhstan, with great exploration potential. CNPC said it is confident that taking advantage of CNPC`s strength in capital, technology and management, as well as CNPC`s valuable experience in Kazakhstan, the production capacity of PK will be increased, and thus provide the Sino-Kazakhstan oil pipeline expected to be completed at the end of this year with a reliable supply. The increase of investment in Kazakhstan and the acceleration of PK`s development will help to ensure a stable supply of oil products within Kazakhstan and boost the local economy in the process, according to CNPC.

      Die Zusammenfassung !

      27.10.2005 17:50
Zentralgericht in Calgary, Provinz Alberta, erfolgreich
      abgeschlossen.

aufgebaut. Das Gemeinschaftsprojekt Aktobe wurde vom kasachischen
Präsidenten Nasarbajew als das "Modell für chinesisch-kasachische
wirtschaftliche Zusammenarbeit" freudig begrüsst. In Übereinstimmung
zusammenarbeiten.

(US$ 55 pro Aktie)

chinesisch-kasachische Pipeline wirksam eingesetzt.

      Friday, 28. Oct 2005, 12:43
      Unternehmen: LUKOIL OIL

      London 28.10.05 (www.emfis.com)

(RIA)

JPMorgan: CNPC (HK) prc not fully refecting Aktobe
      2005/11/04 14:40

(Infocast News) JPMorgan has initiated its coverage on CNPC (Hong Kong) (0135) (CNPC HK) with an "Overweight" rating and a 12-month target price of $2.2, saying the stock has yet to factor in the valuation of Kazakh Aktobe fields.

JPMorgan thinks that the market has underestimated the strategic significance of CNPC HK`s acquisition of another 20% interest in CNPC International (Caspian) Ltd, which has raised CNPC HK`s holding in the Kazakh Aktobe fields to 15.07%.

Aktobe has a total of three oilfields in Kazakhstan and has a daily oil production of 17,500 tonnes (134,750 barrels).

The brokerage said this asset has yet to be fully factored into the share price of CNPC HK. The $2.2 target price is based on the assumption of a long-term oil price of US$37/barrel.

Kasachstan: China National Oil (CNPC)/PetroKazakhstan Förderung beginnt!
      Friday, 11. Nov 2005, 07:23

      Peking 11.11.05 (www.emfis.com)

Sinopec, CNPC Said to Buy Sudan Oil Block

Sinopec, CNPC to Acquire Sudan Oil Block for $600 Million, Report Says

HONG KONG (AP) -- China Petrochemical Corp., or Sinopec Group, plans to partner with its domestic rival China National Petroleum Corp., or CNPC, to acquire drilling rights to an oilfield in Sudan for about US$600 million (euro514 million), Dow Jones Newswires reported Tuesday, citing an individual who did not want to be named.

The two unlisted Chinese oil giants are expected to sign the deal by the end of this year, the report said, quoting an individual close to the deal who declined to be named because of its sensitive nature.

The Sudan government is looking to keep a stake in the oilfield venture, which is expected to produce more than 20,000 barrels of crude oil per day at the initial stage of the development, the person said.

Sinopec Group, which doesn`t have any upstream oil assets in oil-rich Sudan, is the unlisted parent of China Petroleum & Chemical Corporation, better known as Sinopec, Asia`s largest refiner by capacity.

CNPC, the unlisted parent of China`s largest integrated oil producer PetroChina Co., has upstream oil assets in Sudan.

Officials of both companies couldn`t be immediately reached for comment.

Sinopec Group exited from U.S.-sanctioned Sudan in 2000 ahead of its unit`s global offering in October that year. It sold its entire 80 percent stake in a small exploration block in Sudan to CNPC in June 2000, as human rights groups in the U.S. protested against the company`s business ties with Sudan.

CNPC, whose PetroChina unit also listed in 2000, didn`t back out despite protests from the human rights groups, who claimed Sudan`s Islamist government was using oil revenues to fund its war against rebels in the mainly Christian and animist south.

CARACAS (AFX) - China National Petroleum Corp (CNPC) signed two contracts with the state-owned Venezuelan oil company PDVSA for crude and heating oil, a PDVSA official said today.
CNPC will receive 100,000 barrels per day (bpd)
Under the deal`s terms, CNPC will receive 100,000 barrels per day (bpd) of Venezuelan crude and 60,000 bpd of heating oil until 2007, according to PDVSA director Asdrubal Chavez.

Chavez said PDVSA hopes to increase its crude and products exports to China to 300,000 bpd.

"The idea behind the signing of these contracts is to strengthen the commercial and cooperative relationship with China," Chavez said.

A CNPC official, Zhao Yong, said the contracts make PDVSA one of China`s principal crude and products suppliers.

CNPC, ONGC bid jointly for Petro-Canada Syria fields - source

SINGAPORE (Reuters) - China National Petroleum Corp. and India`s Oil and Natural Gas Corp. are jointly bidding for Petro-Canada`s $1 billion oil and gas fields in Syria, a person close to the situation said on Friday.

This is the first time the Chinese and Indian oil giants are teaming up in their efforts to buy overseas reserves to feed their booming economies.

The Syrian assets -- Petro-Canada`s interest in a major Syrian oil and gas joint venture with Royal Dutch Shell-operated -- are valued at about $1 billion or more, said the source, who spoke on condition of anonymity.

Petro-Canada said in September it may sell its 38 percent stake in the Shell-operated Al Furat venture in Syria, which accounts for about 70,000 barrels of oil equivalent of the company`s daily output.

The assets could fetch $800 million to $900 million in proceeds, Scotia Capital analyst Greg Pardy wrote in a note to clients in September. The source said the assets were worth more than the estimated numbers.

There are other bidders for the assets, the source said.

The source and analysts said Petro-Canada was selling the assets to reduce its political risk profile.

ONGC has been beaten by China`s state oil giants in the $4.2 billion takeover of PetroKazakhstan and the $1.4 billion Ecuador oil field sale by North American producer EnCana.

Industry sources told Reuters earlier this month that CNPC -- the parent company of Hong Kong and New York-listed PetroChina -- and ONGC were forming a partnership for an overseas acquisition. But they declined to reveal the acquisition target.

A CNPC spokesman was not immediately available for comment. ONGC Chairman Subir Raha contacted by Reuters declined to comment.

SINGAPORE, NOV 29 : China National Petroleum Corp is conducting due diligence on the multi-billion dollar oil and gas assets put up for sale by Argentine energy producer Bridas Corp, a person close to the process said on Tuesday.

If the Chinese firm buys the assets, the deal would be on a similar scale to the Chinese firm’s $4.2 billion Kazakh acquisition it struck this year — the biggest to date in its quest for energy assets to feed China’s booming industrial economy.

An international investment bank working for CNPC values the assets at around $5 billion, but CNPC believes it should be worth less, because part of the portfolio is low-value Bolivian natural gas, the source told Reuters.

Bridas wants to use the deal to bring in a partner to develop oil and gas business in Turkmenistan and south Asia, two sources have told Reuters. “Bridas has been looking at different options in terms of structuring a partnership. They have been in discussion with buyers in terms of different kind of structures,” a second source said.

High prices for recent oil and gas acquisitions, a result of strong oil prices, are also a factor in the decision to sell, sources say. CNPC, China’s flagship national oil company and the controling shareholder of listed PetroChina , expressed its interest in buying the Bridas assets early this month, the source said on Tuesday.

      Overseas Dreams
      • The deal would be on a similar to the Chinese firm`s $4.2 billion Kazakh acquisition
      • An international investment bank working for CNPC values the assets of Bridas around $5 billion
The source said investment bank CSFB was advising Bridas on the deal. Spokesmen for CSFB in Hong Kong and CNPC in Beijing said they could not comment. Bridas, with oil and gas interests mainly in Latin America and Central Asia, holds a 40% stake in Pan American Energy, Argentina’s second-largest oil and gas producer after Repsol-YPF.

BP, the world’s second-largest listed oil company, owns the remaining 60% of Pan American. It was not immediately clear whether Bridas’ owner, was selling the 40% stake in Pan American.

CNPC eyes Kazakh deal in quest for oil

      TimLeeMaster

      Thursday, December 08, 2005

China National Petroleum Corp, the nation`s largest oil company, may place a sole bid or team up with other Chinese energy companies in an attempt to acquire Kazakhstan`s Nations Energy in a deal that could be worth US$2 billion (HK$15.6 billion), sources said.

"The process will be beginning shortly," a source familiar with the situation said. The deal is expected to close early next year.

It is the second time this year the company has looked to Kazakhstan to satisfy the rapidly growing Chinese economy`s thirst for oil. CNPC paid US$4.18 billion for Petrokazakhstan in October, the largest overseas acquisition of energy assets to date by a mainland company.

China is the world`s No2 oil consumer, after the United States. Demand for oil in the mainland`s domestic market doubled over the past decade to 6.75 million barrels a day, according to an International Energy Agency estimate.

China`s state-owned oil firms are looking overseas for both oil and cleaner-burning gas assets as domestic reserves dwindle. Daqing oil field - once the pride of Mao Zedong`s China and a symbol of self-sufficiency - has been in operation for almost half a century and is nearing the end of its productive lifespan. Recent finds in Inner Mongolia and farther west are insufficient to satisfy the country`s energy needs.

CNPC, the parent of Hong Kong- listed PetroChina, said last year it may spend up to US$1 billion acquiring oil and gas assets in Thailand and elsewhere in Southeast Asia.

The overseas search for oil assets hasn`t been an easy ride. Political concerns and Beijing subsidies torpedoed China National Offshore Oil Corp`s attempted takeover of Unocal, a second-tier oil company in the United States, while CITIC Resources also failed to acquire Thai Petrochemical Industry citing the complexity of the deal.

Nine-year-old Nations Energy is based in Canada and first bought assets in Kazakhstan in 1997. It operates OJSC Karazhanbasmunai, Kazakhstan`s ninth-largest oil producer, in the west of the country on the Caspian Sea.

Another Kazakh-based unit, Tulpar Munai Service, won an international tender for oil-well drilling on Kazakh fields operated by US oil giant ChevronTexaco. The privately-held company also owns wells in Azerbaijan, and produces a total of 50,000 barrels of oil a day, according to its Web site.

Credit Suisse First Boston, Switzerland`s second-largest bank, is advising Nations on the sale.

Petro-Canada sells 676 mln cad assets to China`s CNPC/India`s ONGC UPDATE
      Article layout: raw

BEIJING (AFX) - Petro-Canada said it has reached an agreement to sell the company holding its producing assets in Syria to a joint venture controlled by India`s Oil and Natural Gas Corp (ONGC) Limited and China National Petroleum Corp (CNPC) for 676 mln cad.

The price is subject to adjustments after due diligence.

"The sale of these mature assets aligns with our strategy to increase the proportion of long-life and operated assets within our portfolio. Syria remains an important part of our North Africa/Near East producing region, with an active exploration program in Block II and the continued pursuit of new opportunities," Petro-Canada vice president Peter Kallos said.

The assets represent a 38 pct stake in Al Furat Petroleum Company, a company owned by the Syrian Petroleum Company, Syria Shell Petroleum Development B.V. (Shell) and Petro-Canada.

As part of its ongoing portfolio management, Petro-Canada initiated a review of this portion of its production portfolio early in 2005. The company decided to put these mature, non-operated assets up for sale. Substantial interest was shown in the assets, with the company choosing from several offers.

The sale is retroactive to July 1, 2005 and is expected to close in early 2006, pending Syrian government consent, the statement said.

The statement said the assets yield about 58,000 barrels of oil equivalent (boe) per day before royalties.

Petro-Canada is one of Canada`s largest oil and gas companies, operating in both the upstream and the downstream sectors of the industry in Canada and internationally.

ONGC Limited is India`s largest corporation by market capitalization. ONGC Videsh Limited (OVL), a wholly owned subsidiary of ONGC, is the second largest exploration and production company in India.

CNPC would pay 338 mln cad for its share of the previously announced acquisition price of 676 mln cad though that may be subject to adjustment after due diligence.

CNPC, India`s ONGC wins bid for Syrian assets of Petro-Canada
      font size ZoomIn ZoomOut

The China National Petroleum Corporation (CNPC), China`s largest oil producer, and India`s Oil and Natural Gas Corporation (ONGC), have jointly reached an agreement with Petro-Canada to buy its oil assets in Syria, said sources with the CNPC Wednesday.

This is the first bid jointly made by a Chinese oil company and an Indian company for overseas oil assets, said a personnel with CNPC.

According to information published on the official website of Petro-Canada, both companies will buy assets for 484 million euros (576 million US dollars).

Al-Furat Petroleum Company operates the assets in Syria. As a joint venture, Al-Furat is owned by the Syrian Petroleum Company, Syria Shell Petroleum Development B.V. (Shell) and Petro-Canada.

After the transaction, CNPC and ONGC will together hold over 30 percent assets of Al-Furat, which had been held by Petro-Canada and enjoys an annual oil output of more than three million tons.

The deal is expected to close in early 2006, subject to Syrian government consent, according to the website of Petro-Canada.

ONGC had been a major rival of CNPC during the bid for Canada-based PetroKazakhstan Inc.. CNOOC announced the successful close of the acquisition this October, the largest overseas acquisition ever made by a Chinese company.

As two countries witnessing the fastest economic growth and energy demand rise in the world, China and India are strengthening their cooperation.

During his visit to India this April, Chinese Premier Wen Jiabao signed the joint statement with his Indian counterpart Manmohan Singh, which includes a part stating that both countries will cooperate in the field of energy security and conservation, including, among others, encouraging relevant departments and units of the two countries to engage in the survey and exploration of petroleum and natural gas resources in third countries.

The visit of the Indian Minister of Petroleum and Natural Gas Mani Shankar Aiyar to China next January is expected to further enhance cooperation in the overseas energy fields of both countries.

ONGC to sign agreement with China`s CNPC

      [0]

NEW DELHI (Reuters) - India`s Oil and Natural Gas Corp. (ONGC) will sign an agreement for cooperation with rival China National Petroleum Corp. (CNPC) this week, Indian oil minister Mani Shankar Aiyar said on Tuesday.

The agreement would be signed by ONGC Videsh, the overseas arm of India`s state-run exploration firm, Aiyar said before leaving for Beijing, hoping to foster cooperation between the energy-hungry Asian rivals.

He said other state-run firms would also sign agreements with Chinese companies, including a memorandum of understanding between GAIL (India) Ltd. and China`s top offshore oil and gas producer, CNOOC Ltd., but gave no more details.

Energy firms from both countries have bid aggressively for energy assets on offer around the world as their governments drive them to secure supplies.

India`s ONGC has lost out to Chinese rivals in the race to acquire fields in Angola, Nigeria, Kazakhstan and Ecuador, but both firms jointly bid and won an auction for PetroCanada`s Syrian assets.

Analysts say close cooperation between the two countries would be difficult to achieve, but Aiyar was optimistic.

"There is increasing evidence from Chinese leaders and company executives about their interest in cooperating with Indian companies, both bilaterally and in third countries," India`s oil ministry said in a statement.

Aiyar said he would sign a memorandum of understanding for cooperation in oil exploration, production, strategic storage, and research and development.

Aiyar will be accompanied by the chairmen of refiners Indian Oil Corp. and Hindustan Petroleum Corp. Ltd. and gas firm GAIL, and the managing director of ONGC Videsh.

      font size ZoomIn ZoomOut

Crude oil and natural gas output of China National Petroleum Corporation (CNPC) reached 105.85 million tons and 36.7 billion cubic meters in 2005, up 1.2 and 28 percent respectively, company sources said on Friday.

CNPC`s production has reached its maximum level in history, said Chen Geng, CNPC`s general manager.

CNPC`s revenue and profit in 2005 was 672 billion yuan (84 billion U.S. dollars) and 175.6 billion yuan, up 17.8 and 36.3 percent respectively.

Figures show in 2005, the CNPC found petroleum and natural gas reserves of 570 million tons and 358 billion cubic meters in China, up 10 percent and 78 percent year on year.

During the year, the CNPC refined crude oil of 110.61 million tons, and produced refined oil of 71.14 million tons, up 5.53 million tons from 2004.

In October 2005, the CNPC successfully acquired Canada-based PetroKazakhstan Inc. (PK), which owned 12 oilfields and exploration licenses in 6 blocks in Kazakhstan, with great exploration potential.

Last year, the CNPC signed five overseas exploration contracts, with revenue from overseas oil and gas service jumping 58.1 percent to 29.3 billion yuan, said Chen.

The foreign trade volume of CNPC in 2005 reached more than 20 billion U.S. dollars, he said.

"2005 is a harvest year for CNPC`s international service," he said.

In 2006, the CNPC will enhance domestic oil and gas exploration and development, he said, placing a focus on oil exploration in western area.

The CNPC is planning to find petroleum and natural gas reserves of another 500 million tons and 300 billion cubic meters in 2006, with output growing 4.7 percent to more than 140 million oil equivalent, said he.

Industrial statistics show that China imports 40 percent of its total oil consumption. Owing to soaring world oil prices, the country has seen its refined oil price rise five times in 2005.

CNPC eyes US$124b sales by 2010
      (Reuters)
      Updated: 2006-01-20 09:24
China National Petroleum Corp, the parent of top Asian largest oil producer PetroChina Co Ltd., aims to boost sales to 1 trillion yuan ($124 billion) by 2010, a company-owned Web site said.

That would be an increase of 48.8 percent from revenues of 672 billion yuan reported by state media for 2005.

The firm also plans to raise annual oil and gas production to around 200 million tonnes of oil equivalent (1.46 billion barrels of oil) by 2010, said the report on the Web site (www.oilnews.com.cn), quoting CNPC`s annual working conference.

The report did not say how CNPC planned to meet the targets.

The state-owned energy giant will also strengthen safety measures in a bid to put an end to major accidents over the next five years, it said.

China`s National Safety Administration Bureau defines major accidents as those causing more than 10 deaths, but standards vary and CNPC might use a different calculation.

"Safety in production and environmental protection are our top responsibility," it said.

An explosion at a CNPC chemical plant in northeastern Jilin province late last year spilt tonnes of toxic chemicals into the Songhua river, contaminating drinking supplies for millions of people downstream.

A blow-out at a CNPC natural gas well in southwestern Chongqing city in late 2003 killed more than 200 people and poisoned another 10,000.

All of CNPC`s subsidiaries would launch a "Year of Safety and Environmental Protection" campaign, aiming to eliminate hidden dangers and make emergency contingency plans, it added.

CNPC signs natural gas deal with PNG

China National Petroleum Corp, the mainland`s largest oil producer, signed a preliminary agreement to develop several natural gas projects in Papua New Guinea, the country`s petroleum minister said.

      MarkLee

      Wednesday, January 25, 2006

China National Petroleum Corp, the mainland`s largest oil producer, signed a preliminary agreement to develop several natural gas projects in Papua New Guinea, the country`s petroleum minister said.

State-owned CNPC, parent of Hong Kong- and New York-listed PetroChina, agreed to consider building a gas pipeline, a liquefied natural gas plant and a liquified petroleum gas plant in Papua New Guinea, said Moi Avei, the country`s petroleum and energy minister, Bloomberg reported. Avei met CNPC officials last week during a visit to Beijing.

The pipeline would carry gas from the Hides field in the South Highlands region to Wewak on the island nation`s northern coast.

Mainland media quoted an unidentified CNPC official as saying last week that the agreement could provide the group with access to about two trillion cubic feet of natural gas reserves in Papua New Guinea.

The mainland`s three largest oil firms, CNPC, Sinopec and CNOOC, have been stepping up the search for new LNG supplies from overseas as the government promotes higher consumption of that fuel in a bid to reduce pollution produced from burning oil and coal.

"The possible new LNG investments in Papua New Guinea would help CNPC catch up with CNOOC, which has already secured supplies from Indonesia and Australia," said an analyst with a regional investment bank.

The analyst said CNPC is also behind in the construction of LNG terminals in China.

"The first LNG terminal planned by CNPC, probably in Hebei, won`t begin operations until 2008 at the earliest," she said.

"CNOOC already has five confirmed LNG terminals under construction, with the one in Guangdong due to start operations later this year."

A Beijing-based spokesman in CNPC`s foreign affairs department could not confirm the agreement with Papua New Guinea when contacted Tuesday. Another Beijing-based spokesman for PetroChina also declined comment.

Chen Guocai, a vice president of CNOOC, visited Papua New Guinea last month to discuss plans to invest in a new LNG plant.

The analyst said it is too early to say whether the possible new projects in Papua New Guinea will be injected into Petrochina through the joint venture it formed with CNPC last year.

PetroChina paid US$2.5 billion (HK$19.5 billion) for a 50 percent stake in most of its unlisted parent`s overseas assets in June last year.

Through the deal, PetroChina gained entry into Kazakhstan, Venezuela, Peru, Azerbaijan, Oman and Canada.

CNPC excluded oil fields in Sudan, its largest overseas asset, from the joint venture with PetroChina, in order to avoid angering Washington, which has accused the Sudanese government of committing genocide against its own people. A political row in the US could pose problems for New York-listed PetroChina.

Papua New Guinea has about 12 trillion cubic feet of proven and probable gas reserves, according to Bloomberg, five trillion of which are controlled by US energy giant Exxon Mobil.

Generali in Joint P/C Venture with China National Petroleum

      February 1, 2006

Italy`s Assicurazioni Generali announced that it has received the go-ahead from the China Insurance Regulatory Commission (CIRC), to set up a joint venture to operate in the non-life sector with its partner, China National Petroleum Corporation (CNPC).

Generali`s announcement noted that it will be "the only foreign group to have been authorized to operate in the country`s life as well as non-life insurance sectors through two companies subject to local laws, the already operative Generali China Life and the soon-to-be established non-life joint venture, both in partnership with CNPC."

Generali CEO Sergio Balbinot commented: "With the starting of operations in the non-life business the Generali Group will further strengthen its strategic position in China by acquiring the possibility to combine the range of products already available at Generali
China Life with a number of additional covers in both the personal and SME segments".

He added that the "new company aims at seizing China`s non-life insurance potential by optimizing value creation in the interest of both clients and stockholders, backed, on the one hand, by the underwriting know-how and international experience of the Generali Group and, on the other hand, by CNCP`s strong domestic presence and financial solidity."

Generali also indicated that in addition to serving local needs, the "larger product portfolio will improve the efficiency of the Chinese companies thanks to the sharing of IT, administrative and commercial platforms."

Opportunities in China continue to attract foreign insurers. Generali explained that the Chinese non-life sector presently generates "an overall premium income of approximately €12 billion [$14.56 billion], recording an annual growth rate of 20 percent in the past three years. 34 operators are currently present in the Chinese market, 13 of which are the branch offices of international groups, representing 1.3 percent of the overall market."

Generali, the third-largest European group and Italian market leader, and CNPC, one of China`s biggest conglomerates operating in the petrochemical sector, established Generali China Life in 2002. "In 2005, the Chinese subsidiary climbed to first place in terms of premium income among foreign companies and is currently present in the regions of Guangzhou (from 2002), Beijing and Foshan (from 2004) and Shanghai (from 2005) where it can rely on sales network of approximately 2,000 agents," the announcment concluded.

China National Petroleum Corp. will complete two major oil pipelines costing almost US$2 billion in northwestern China this year, a company official said.

A 1,858-kilometer-oil pipeline from Urumqi in Xinjiang Uighur Autonomous Region to Lanzhou City in Gansu Province will be ready for operation by the end of May, with a designed capacity of 200,000 barrels per day (bpd).

A 1,500-kilometer pipeline, with a capacity to channel 400,000 bpd of crude oil, will be built along the same route and will be completed by the end of October, said the Beijing-based official Wednesday.

The two pipelines, costing 13 to 15 billion yuan (US$1.6 billion to US$1.85 billion), will eventually be connected to the landmark China-Kazakhstan crude pipeline, the only onshore pipeline that the world`s second-largest oil consumer has secured.

Baukosten 3,4 Mrd USD. Technische Details hier. Seit 2003 in Betrieb.

China's CNPC to spend 180 bln yuan on key refining projects in next 5 years

BEIJING (AFX) - China National Petroleum Corp (Nachrichten) (CNPC), the country's largest oil producer, said it plans to spend over 180 bln yuan on the construction of key oil refining projects over the next five years.

In a statement on its website, CNPC said it will increase refining capacity by five pct each year between 2006-2010, growing a total of 45 mln tons to 170 mln tons.

The company's chemical products output is expected to increase by 12 mln tons to over 20 mln tons by 2010.

CNPC's total sales of oil products and chemical products are expected to reach 100 mln tons and 25 mln tons respectively by 2010.

The key projects identified for investment include five 10-mln ton oil refining plants located in Dalian, Lanzhou, Fushun, Dushanzi and west Pacific, and six ethylene plants located in Jilin, Sichuan and Lanzhou.

CNPC also said it will further expand its sales networks in southern China while consolidating its northern China market.

China CNPC gas well still leaking after blast, number of evacuees rises

BEIJING (AFX) - One of China's biggest natural gas wells is still leaking following a blast nearly a week ago, state media said, as the number of people reported evacuated jumped to 15,000.

Two attempts to seal the leak at the well in the southwestern municipality of Chongqing, which is 3,400 meters deep, have failed, Xinhua news agency said.

'Unknown conditions had arisen from deep down the well,' Xinhua quoted a source with the accident response headquarters as saying.

The Luojia No. 2 natural gas well in Gaoqiao town, Kaixian county, is one of largest in the country, and the gas pressures and sulphur content in it are among the highest, Xinhua said.

The well is owned by a subsidiary of China's largest oil firm, China National Petroleum Corporation. (Nachrichten) It is in the same area where a blast at another CNPC company killed 243 people in December 2003.

With the leak still not fixed, 15,000 people who live close to the well and were evacuated following Saturday's blast are still unable to return home, Xinhua said.

Earlier reports had said 11,500 people had been evacuated and no explanation was given as to why the number had suddenly jumped to 15,000.

Around 9,000 residents have been housed in 12 specially built centers, while 5,000 others have found alternative accommodation, mostly with relatives, Xinhua said.

Local officials are struggling to cope and faced a 'dire' need of supplies with just 790 quilts in stock, it said. The county government has launched a campaign to find additional supplies and collected 8,100 articles of clothing.

Unsafe levels of hydrogen sulphide, which causes burning skin and breathing difficulties, had been detected within one kilometer (half a mile) of the leaking well, Xinhua said.

No casualties have been reported although the local government has warned people not to drink water from the local river.

Another accident at a chemical factory in the eastern province of Zhejiang last week led to 51 people being hospitalized, a government official said yesterday.

China's CNPC in race for stake in India's Reliance refinery project - report

HONG KONG (AFX) - China National Petroleum (Nachrichten) Corporation (CNPC) has joined the race with US energy majors Chevron and Exxon to pick up a stake in the 270-bln rupee Jamnagar refinery project of India's Reliance (Nachrichten) Petroleum, India's Business Standard reported, citing industry sources.

'CNPC's overseas operations include exploration and development of oil fields, pipeline transportation, refining and terminal marketing. Reliance and CNPC may be looking for a tie-up in any of these areas and eventually there can be an equity participation too,' the newspaper cited a source as saying.

A Reliance spokesperson told the paper that the company 'is in discussion with a few global majors for the refinery project, but nothing has been finalised.'

Reliance is planning to build a new 580,000-barrels-per-day refinery and a 900,000-tonnes-per-annum polypropylene plant next to its existing 660,000 bpd refinery at Jamnagar in Gujarat.

The report said that CNPC and the Reliance group are also studying the feasibility of setting up a joint venture for exploration and production abroad.

China's CNPC unit acquires offshore block in Indonesia - report

BEIJING (AFX) - China National Oil and Gas Exploration and Development Corp (CNODC), a unit of the country's largest oil producer CNPC, has acquired the exploration rights to an oil and gas block from Indonesia's PT Waropen Perkasa, the Shanghai Securities News reported, citing a CNPC official.

The official did not disclose the price of the deal but said the rights are for the Manokwari block in Indonesia's Papua province.

The Manokwari block was one of 10 onshore and offshore oil projects originally tendered by the Indonesian government in June 2004.

The country has been a net oil importer since 1993, and is now the world's second-largest oil consumer after the US.

China imported 130 mln tons of crude oil in 2005, up 3.3 pct year-on-year.

      CNPC kaufen (Emerging Markets Investor)

Die Experten von "Emerging Markets Investor" raten zum Kauf der Aktie von CNPC (HONGKONG) LTD. (ISIN BMG2237F1005/ WKN 888613).
