WorldWater & Power Corporation Completes $4.45 Million Financing and Recapitalization

PENNINGTON, N.J., July 26 /PRNewswire-FirstCall/ --

WorldWater&Power Corp. (BULLETIN BOARD: WWAT), developer of high-horsepower solar energy systems, announces the completion on July 22 of a $4,000,000 financing agreement with the hedge fund CAMOFI Master LDC, an affiliate of Centrecourt Asset Management, LLC, a New York based asset management firm. In addition to the private placement, the recapitalization includes $450,000 in exercised warrants, and reduction of long-term debt by $900,000 through stock conversions.

Financial Firm to Introduce Company`s Solar Systems Into China`s Water and Power Markets


PENNINGTON, N.J. - June 22, 2005 - WorldWater & Power Corporation (OTC BB:WWAT.OB - News), maker of high-horsepower solar energy systems, has been making preparations for introducing its solar powered systems to the expansive China market. In late May, WorldWater & Power exhibited at the Second China International Renewable Energy Equipment & Technology Exhibition and Conference and the China Beijing International High-tech Expo (CHITEC) in Beijing, making contact with several hundred visitors from Korea, Mongolia, and throughout China. The Company has now announced the signing of an Agreement with Xinhua Financial Network Limited (XFN), China`s premier financial services and media company, to represent WorldWater & Power in the Chinese water and energy markets.

Xinhua will introduce WorldWater & Power to federal and provincial governmental and private sector buyers for the sale of the Company`s AquaMax(tm) high volume water pumping systems and other solar products, it was announced jointly by Quentin T. Kelly, WorldWater`s Chairman and CEO, and Gordon Lau, Xinhua`s Chief Financial officer.

WorldWater & Power Corp. Signs $1.8 Million Contract to Supply Solar Electric Power to California Tree Farm

WorldWater & Power Corporation, maker of high-horsepower solar energy systems, has signed a contract for $1.8 million to supply solar-generated electricity for a tree farm in California. The company`s proprietary solar AquaMax will drive a 200 hp water pump in addition to the system saving an estimated 70% of the Cocopah tree farm`s electrical bills, according to Quentin T. Kelly, WorldWater`s Chairman and CEO.

The owner of the farm said, " We`re happy to use environmental measures to do our work. With this advanced solar technology we will be conserving electricity and water and reducing our operations costs." Work on the project will begin immediately.

WorldWater & Power recently completed another AquaMax system driving a 200 hp pump for Seley Ranches, a citrus farm in California. The company also supplied all the solar equipment for a one megawatt solar installation at Cerro Coso College in Ridgecrest, CA, which the college estimates will supply 60% of its electricity and save the college over $300,000 a year. WorldWater & Power also recently signed a contract with the Idyllwild (CA) Water District to operate seven of the utility`s pumps by use of the AquaMax system. Water has always been mankind’s most precious resource — there are no substitutes. The struggle to control water resources has shaped human political and economic history. As the U.N. Committee on Economic, Cultural and Social Rights stated in 2002: “The human right to water is indispensable for leading a healthy life in human dignity. It is a prerequisite to the realization of all other human rights.”

In developed countries, WorldWater & Power Corp. has demonstrated the value of solar energy in providing water services. The energy crisis in California, which led to limited power availability for the state’s billion-dollar agriculture, winery and water utilities markets, presented an opportunity for WorldWater to provide solar-powered water-pumping systems (up to 450 kW to these markets).

More than 1 billion people lack access to clean water supplies and more than 2 billion lack access to basic sanitation. These shortages have significant health effects.

Yet another promising renewable technology is ocean thermal energy conversion (OTEC). The open-cycle version of this technology, which taps the temperature differences in the ocean to generate electricity, also produces large quantities of distilled water. In remote island locations, the water produced is likely to prove more valuable than the electricity.

Though organizations worldwide can do much to improve water security, they generally are applying inadequate resources to the problem. Renewable energy can provide a key ingredient needed to reduce poverty and support sustainable economic development. It is our responsibility, as renewable energy professionals and advocates, to help the world make full use of this widely available resource and facilitate a more affordable, soft path approach to the provision of water services.

Besonders China dürfte für Worldwater ein wahrer Boommarkt werden . Aus Studien geht hervor, dass 66 % des jährlichen Chinesischen Wasserverbrauchs für Landwirtschaftliche Zwecke verwendet wird. 60-80 % dieses Wassers geht durch unzureichende Kanalsysteme und Verdunstung verloren.

Vor allem der Norden Chinas, droht in Zukunft regelrecht auszutrocknen – die nötigen Energiequellen zur Bewässerung fehlen komplett. Der Vizepräsident von Worldwater, Douglas Washington, sagte dazu: „ Wir sind das weltweit einzige Unternehmen, das mit Sonnenenergie 600 PS und mehr an Pumpenleistung erzeugt. Unsere Technologie versorgt Entsalzungs- und Müllentsorgungsanlagen, außerdem stehen wir kurz vor der Fertigstellung der ersten Wasseraufbereitungsanlage, die ausschließlich durch Solarenergie betrieben wird.“

Fazit

Mit einer Börsenbewertung von nur 36 Mio. Dollar, einem Auftragsbestand von 12,8 Mio. Dollar, staatlicher Förderung und einzigartiger Technologie verfügt Wordwater langfristig über Kursvervielfachungspotenzial. Charttechnisch steht Worldwater kurz vor Ausbruch über das bisherige Hoch bei 0,4 Dollar. Sollte dieses Niveau überschritten werden (Akt. 0,365 Dollar, siehe Chart oben in USD), haben Institutionelle Investoren bereits ihr Versprechen für die nächste Finanzspritze gegeben. Zum erstem Mal in der Geschichte wird ein städtisches
Wasserverteilungssystem eingesetzt, dessen Finanzierung
mittels eines Kreditkartensytems (Smart Card)
bewerkstelligt wird. Das Kreditkartensystem dient der
Finanzierung der städtische Wasserproduktion und
verhindert Probleme beim Einsammeln der vereinnahmten
Erlöse. Das Ronda System benützt WorldWater’s AquaCard™
(Smart Card). Die Kreditkarten können direkt benutzt
werden, um Wasser an allen städtischen AquaMeter™
Solarpumpstationen zu kaufen. Das Projekt wurde durch
einen Handelskredit der philippinischen Nationalbank
(PNB) ermöglicht und benötigte keine speziellen
Subventionen oder Unterstützungsgelder .

„Dies ist das erste Mal, dass die Nationalbank einer
Kleinstadt wie Ronda einen Kredit sprechen konnte“,
kommentierte John Herrman (President, WorldWater
Philippinen). „ Die Bewilligung der Nationalbank wurde
auf Grund der Sicherheit des Rückzahlungssystems
(AquaCard™) erteilt. Das System ermöglicht es der
Stadtverwaltung die Kosten zu decken und den Kredit
zurückzuzahlen.“

Die AquaCard™ und AquaMeter™ Systeme erlauben es der
Stadtverwaltung von Ronda den Einwohnern sauberes und
gesundes Trinkwasser anzubieten . Die Einwohner bezahlen
das Wasser mit einer Kreditkarte, welche ähnlich
funktioniert, wie eine in voraus bezahlte Telefonkarte.
Die AquaCard™ wird in das AquaMeter™ der Solarpumpstation
eingeführt. Die gewünschte Anzahl Liter Wasser fliesst
sodann heraus und ein entsprechender Betrag wird auf der
Kreditkarte abgezogen. Der Microchip auf der Karte
informiert über den Kontostand und wann die Karte von den
Bürgern auf der Kommunalbank wieder aufgeladen werden
sollte.

Die von der Kommunalbank eingezogenen Gelder, werden dem
Konto der lokalen Verwaltung gutgeschrieben, welche damit
die Kredite an die Nationalbank zurückbezahlt. Mit den
Krediten wurden zuvor die Systeme von WorldWater gekauft.
Die lokale Gemeinde kann einen Prozentsatz der
einbezahlten Gelder für weitere Infrastrukturprojekte
verwenden. WorldWater und die Gemeinde haben zusammen
einen Betriebs- und Unterhaltsservicevertrag, welcher
mindestens für die 10-jährige Kreditperiode gültig ist.

Hab da mal eine allgemeine "Frage":

Findet ihr nicht, das die MK von 44 Mio euro schon ambitioniert ist? Ist schließlich eine kleine Firma mit weniger als 10 Mitarbeitern. Auch wenn die Aussichten sicher mehr als gut sind, ist die jetzige Bewertung schon recht hoch.

Bei 0,3 könnte ich mir einen Einstieg vorstellen, jetzt ist mir das Kursniveau zu hoch. Aber ich lasse mich gern vom Gegenteil überzeugen bei entsprechenden Fakten.

Habs heute etwas übertrieben - stimmt.

Gebe auch dir Recht. M.E. stehen wir aber vor neuen Situationen. Ölpreis ist auf Rekordhoch und wird m.E. auch nicht mehr nachhaltig sinken. Dann kommt hinzu, dass Solarenergie von den Regierungen länger je stärker unterstützt wird.

Denke das weisst du schon und damit beantworte ich deine Frage nach der Bewertung nicht. M.E. ist Worldwater im Vergleich mit der Konkurrenz nicht zu hoch bewertet. Schau dir doch mal die Entwicklung des Photovoltaik-Aktien-Indexes an.

Nachfolgend der Chart des letzten Kursanstieges. Klar - damals waren wir mitten im Tech-Boom. Denke aber, dass der jetzige Boom auf begründeten Tatsachen beruht (Öl, alternative Energien, Unterstützung durch Politik). Zudem ist Worldwater inzwischen gewachsen.

Natürlich ist das kein Garant dafür, dass die Aktie wieder so hoch steigt. Diese Annahme wäre blauäugig. Aber es gibt immerhin eine Idee, was ein Hype auslösen kann. Und so wie es aussieht, beseht der Solarboom ja nicht nur aus Luft. Von daher - wieso soll es nicht noch höher gehen?

Den Wert kenne ich, bin selber aus der Branche Nahrungsergänzungen, anti-Aging usw.

Dieser Wert hat Mega-Potential, jetzt wieder billig zu haben. Konso dürfte beendet sein, große Ketten wie McDonalds sind bereits interessiert.

Din Tipp ist übrigens auch heiss - muss ich mir anschauen. Die Konkurrenz macht mir allerdings in diesem Business etwas Sorgen.
