Hallo @Quickclick,

Vernalis PLC

Vernalis Acquires Rights to Apokyn(R),
a Marketed Drug for Advanced Parkinson`s Disease, from Mylan
Vernalis plc (LSE: VER, NASDAQ: VNLS) today announces that it has acquired
exclusive rights in North America to a marketed product, Apokyn(R). Apokyn(R)
(apomorphine hydrochloride injection) is indicated for the acute, intermittent
treatment of hypomobility, `off` episodes (`end-of-dose wearing off` and
unpredictable `on/off` episodes) associated with advanced Parkinson`s disease.
Apokyn(R) has been studied as an adjunct to other medications.
• Apokyn(R) has been acquired from Mylan for a one-off cash payment of $23
million
• Apokyn(R) was approved by the FDA as an Orphan Drug in April 2004,
launched in the United States in July 2004 and has market exclusivity until
2011
• Apokyn(R) will be marketed in the United States directly by Vernalis`
specialist neurology sales force
• Apokyn(R) is used as an adjunct to other Parkinson`s disease medicines
and is the only therapy available in the United States for the acute,
intermittent treatment of immobilising `off` episodes associated with
Parkinson`s disease
• Apokyn(R) was designated an Orphan Drug to treat approximately 100,000
Parkinson`s disease patients who experience the severe `on/off` motor
fluctuations unresponsive to other therapies
Apokyn(R) is a non-ergoline dopamine agonist used to treat immobilising `off`
episodes in patients with advanced Parkinson`s disease. `Off` episodes are
debilitating periods of complete or partial immobility which become increasingly
common as Parkinson`s disease progresses. Apokyn(R) injections can improve
function within minutes in such patients, permitting them to walk, talk and
perform normal activities more easily. In clinical trials conducted by Mylan,
Apokyn(R) was shown to be effective in the acute, intermittent treatment of
``off`` episodes, demonstrating a highly significant improvement in Unified
Parkinson`s Disease Rating Scale (UPDRS) Part III motor scores at 20 minutes,
with statistical improvements in some measures noted as early as 10 minutes.
Apokyn(R) should not be used by patients taking certain anti-nausea drugs and
the most common side effects in clinical trials included, yawning, dyskinesias,
sleepiness, nausea and/or vomiting, dizziness and runny nose.
Vernalis has acquired the United States New Drug Application (NDA) and
Investigational New Drug (IND) Application and exclusive rights to market Apokyn
(R) in North America, as well as certain know-how, marketing materials and
trademarks relating to Apokyn(R). In addition, Mylan has agreed to provide
certain transitional services for up to twelve months, including supply chain
management and customer service assistance.
Vernalis estimates sales of Apokyn(R) in North America in 2006 will be in the
range of $6 million to $7.5 million; however, as part of the Apokyn(R)
acquisition, Vernalis is committed to completing certain Phase IV studies of
Apokyn(R) and these costs, together with the early marketing and promotional
costs, mean that the Company does not expect the product to be cash generative
initially.
Robert J. Coury, Mylan`s Vice Chairman and Chief Executive Officer commented
`The sale of Apokyn(R), a product which requires a specialised sales force, is
the latest step in the strategies that we announced earlier this year, including
closing Mylan Bertek. After careful consideration and the evaluation of a number
of companies, we`re pleased to have selected Vernalis. This will be a key
product in their Parkinson`s disease franchise and we believe Vernalis is
committed to the long term success of Apokyn(R).`
Simon Sturge, Chief Executive Officer of Vernalis said `Apokyn(R) is a
significant acquisition for Vernalis and provides a second marketed product,
alongside frovatriptan, for our sales force to promote to specialist
neurologists in North America. The addition of Apokyn(R) firmly establishes our
Parkinson`s disease franchise, which also includes V2006, being developed in
partnership with Biogen Idec on which we have retained co-promotion rights in
the United States.`

Hallo Ihr beiden
http://www.vernalis.com/ver/rdc/pipeline/

Vernalis plc
Proposed acquisition of Cita
Proposed Vendor Placing to raise approximately £15.3 million
Proposed Placing and Open Offer to raise approximately £42.7 million
Vernalis plc (`Vernalis` or the `Company`) today announced the proposed
acquisition of Cita NeuroPharmaceuticals Inc. (`Cita`) for an initial
consideration of U.S.$29.5 million and deferred consideration of up to U.S.$35
million (the `Cita Acquisition`). Vernalis will also assume certain of Cita`s
liabilities on Completion. The initial consideration will be satisfied by the
issue of 26,915,831 million new Ordinary Shares, of which 24,284,984 have been
conditionally placed by Piper Jaffray pursuant a Vendor Placing to realise cash
proceeds to the Vendors of approximately £15.3 million (U.S.$26.2 million)
(before expenses). In addition, the Company announced its intention to raise
approximately £42.7 million (before expenses) in a Placing and Open Offer.
Key reasons for the Cita Acquisition
• Cita`s focus on neurology and CNS therapies will strengthen Vernalis`
clinical pipeline in its principal area of therapeutic focus;
• Cita has a relatively late stage development pipeline that will enhance
the maturity of Vernalis` drug development pipeline behind frovatriptan, with
CNP1512 for the treatment of Parkinson`s disease being prepared for entry into
Phase III clinical trials in H2 2006 and CNP3381 for the treatment of
neuropathic pain being prepared for entry into Phase II clinical trials in H1
2006;
• Cita`s Parkinson`s disease programme will in particular strengthen
Vernalis` existing portfolio in this area following the recent acquisition of
the rights to market and sell Apokyn(R) in North America;
• Cita`s product pipeline will potentially provide Vernalis with
additional products to commercialise through its commercial operation in North
America, assuming these programmes successfully complete clinical trials and are
approved by the relevant authorities; and
• Cita is managed as a `virtual` company, outsourcing most of its
research and development activities and as a result will not increase the
Group`s cash burn significantly other than for the costs directly related to the
development of Cita`s clinical drug candidates.
Key terms of the Cita Acquisition
Vernalis has entered into agreements to acquire the entire issued, and to be
issued, share capital of Cita for:
• initial consideration of U.S.$29.5 million to be satisfied by the issue
of 26,915,831 Ordinary Shares, and
• further deferred consideration of up to U.S.$35 million (in shares,
cash or by a combination of cash and shares) payable in instalments by Vernalis
dependent upon achieving certain milestones in respect of the development of
Cita`s clinical drug candidates CNP1512 and CNP3381.
Vernalis will also assume certain of Cita`s liabilities on Completion.
The Cita Acquisition is conditional, inter alia, upon the approval of
Shareholders.
Details of Vendor Placing and Placing and Open Offer
• Placing and Open Offer of 67,749,457 Open Offer Shares at 63 pence per
share to raise £42.7 million (before expenses), fully underwritten by Piper
Jaffray;
• Vendor Placing of 24,284,984 new Ordinary Shares at a price of 63 pence
per share, fully underwritten by Piper Jaffray to raise £15.3 million (before
expenses) for Vendors;
• Open Offer Shares (less the Committed Open Offer Shares) have been
conditionally placed with institutional investors subject to clawback to satisfy
valid applications by Qualifying Shareholders under the Open Offer;
• Open Offer on the basis of 5 Open Offer Shares for every 16 Existing
Ordinary Shares; and
• Vendor Placing Shares have been placed firm with institutional
investors.
Use of proceeds
The net proceeds of the Placing and Open Offer (after the cost of the Cita
Acquisition, the Vendor Placing and the Placing and Open Offer), which will
amount to approximately £38.7 million, will allow the Company to fund the
development of Cita`s clinical programmes CNP1512 and CNP3381, and invest in the
marketing and development of Apokyn(R), the on-market Parkinson`s disease
product recently acquired by Vernalis, while having sufficient cash resources to
fund the Enlarged Group`s other existing business activities beyond the first
half of 2007 when a U.S.$40 million milestone payment from Endo is due to be
received (assuming regulatory approval of frovatriptan for MRM).
Extraordinary General Meeting (`EGM`)
An EGM to, among others, approve the Resolutions to enable the Directors to
complete the Cita Acquisition Agreements and issue the Consideration Shares,
effect the Vendor Placing and issue the Vendor Placing Shares and effect the
Placing and Open Offer and issue the Open Offer Shares, will be held at the
offices of Allen & Overy LLP at One New Change, London EC4M 9QQ on 13 December
2005 at 10.00 a.m.
Simon Sturge, Chief Executive Officer of Vernalis, commented:
`We are pleased to announce both the acquisition of Cita and the strong support
from our existing shareholders and new investors to raise £42.7 million and take
up a further £15.3 million in a Vendor Placing. This, in addition to the recent
acquisition of Apokyn(R) for the treatment of Parkinson`s disease, gives the
Company a broadened portfolio of products on the market and in clinical
development and is a major step forward in Vernalis` strategy to become a self
funded CNS focused Company. It is now our intention to focus on progressing the
current portfolio of compounds in development and to drive product sales. We do
not envisage undertaking further corporate transactions in the near future and
anticipate that our next major news will come in the form of data from our Phase
III safety trial with frovatriptan for the short term prophylaxis for
menstrually related migraine, with the confirmatory efficacy data and
subsequent filing expected in the first half of next year.`

Alles verläuft ziemlich still und unspektakulär.

LONDON (AFX) - British drug developer Vernalis PLC said its 34-strong specialty neurology US sales force has started to market its Parkinson`s disease drug Apokyn and migraine drug Frova, alongside Endo Pharmaceuticals.
The company bought the US marketing rights to Apokyn last November. The injectable drug treats the "off" episodes -- periods of complete or partial immobility -- in patients with advanced Parkinson`s disease.
Vernalis has been strengthening its Parkinson`s franchise with acquisitions in the last few months. At the same time as buying Apokyn it announced a collaboration with Britannia Pharmaceuticals to develop new formulations of Apomorphine for the US. The product is currently marketed in Europe as a treatment to help smooth movement in patients with the disease.
A few weeks later it bought Cita NeuroPharmaceuticals, which has a Parkinson`s product called CNP1512 due to enter final-stage, phase III clinical trials in the second half of the year.
Vernalis` own Parkinson`s product, V2006, is partnered with Biogen Idec and expected to enter phase II trials in the first half of the year.
The neurology sales force is bigger than initially targeted. Last year the company said it wanted 25 people in place by next year.
Head of the US operations Sylvia McBrinn said: "We are very pleased to have attracted a number of personnel who have had experience of selling Apokyn in the past, including the top sales person and those responsible for Trade, as well as for the managed care contracts."
Vernalis shares closed at 76 pence yesterday, valuing the company at 238 mln stg. amy.brown@afxnews.com ab/hjp

Gruß und good trades.

Questor says Buy
The chief executives of British biotech firms have long complained about valuations in the sector, but perhaps they have a point. Vernalis, one of the most stable, low-risk members of the sector, is trading at an all-time low, worth just £170m. Yet Vernalis has two products on the market: Frova, for very strong migraines, and Apokyn, which has a dramatic effect in stopping "off" periods in Parkinson's sufferers. The company is several years away from making a profit but it has one of the largest cash piles in the sector – £51m at the end of June. It also has milestone payments lined up from larger partners Endo and Biogen. In addition, it has several products in late-stage development and is working on extending its existing products into new areas. In May, it announced positive late-stage trials showing Frova combats menstrual migraines. If the company gains approval for this, it will be the first drug on the market for this.
It does not have any blockbuster drugs, but its spread of current for future treatments makes it attractive. What's more, chief Simon Sturge has done much to get the company on the right track, crunching together the original Vernalis, British Biotech and RiboTargets, cutting staff, and ditching half of its experimental drugs. As long as key announcements go well in the first half, Vernalis's shares appear not to reflect the value of its pipeline.
And like Celltech and Cambridge Antibody Technology, Vernalis is a likely takeover target.

Schau es dir mal an.

Vernalis plc Announces Pricing and Reimbursement for Frova® in France
12 March 2006
WINNERSH, U.K. , 12 March, 2007 --
Vernalis plc (LSE: VER, Nasdaq: VNLS) today announces that its partner, Menarini, has received pricing and reimbursement for Frova® in France . Following launch in France planned for later this month, Menarini will market Frova® in all of the major European pharmaceutical markets.
Frova® (frovatriptan succinate tablets) is a selective 5-HT 1B/1D receptor agonist approved as an acute oral treatment for migraine headache and its associated symptoms. Frova® belongs to the triptan class of drugs and is distinguished from other triptans by its long half-life. As a result of this distinguishing feature, Frova® is also being developed for the short-term prevention of menstrual migraine (MM), a form of migraine that affects 12 million women in the U.S. alone.
Simon Sturge , CEO of Vernalis, commented:
“We are delighted that our partner Menarini has achieved pricing and reimbursement for Frova® in France, one of the major pharmaceutical markets. We are also looking forward to further potential opportunities to expand the label for the product to include prevention of menstrual migraine, both in Europe, where Menarini plans to file an application later in the year, and in the U.S. , where we expect a decision about our Supplemental New Drug Application (sNDA) from the FDA in May.”
Frova in U.S. and Europe
Vernalis co-promotes Frova® in the U.S. with its partner Endo Pharmaceuticals Inc. In Europe, frovatriptan is currently marketed in 13 countries by Menarini with a new launch expected in France in 1Q 2007. The drug was approved throughout the then 15 member states of the European Union via the mutual recognition procedure (MRP) in January 2002. In 2006, Menarini launched frovatriptan in Slovakia , Finland , Czech Republic , Slovenia , Portugal , Switzerland and all seven Central American countries. They received approval for the drug in Turkey , with a launch planned in 1Q 2007, and also applied for marketing authorisation in Russia , with approval expected 1H 2007.
Frova for intermittent, short-term prevention of Menstrual Migraine (MM)
Vernalis has completed a series of studies aimed at obtaining approval for Frova® for the intermittent, short-term prevention of MM and Vernalis' partner, Endo, filed a sNDA in the US with the FDA in July 2006. The FDA has accepted this submission and has informed the companies that it will provide its response by 19 May 2007 (the PDUFA date) which is ten months after the sNDA submission date. If this application is successful, a $40 million milestone is due to Vernalis from Endo, though Endo reserves the right to pay $20 million in cash and retain the remaining $20 million as partial payment due on its outstanding loan to Vernalis. In 2H 2007 Menarini plans to submit an application to extend the current indication to include prevention of menstrual migraine throughout Europe under the mutual recognition procedure with France acting as the reference member state. If successful, it would lead to an extension of the existing indication for acute treatment in 25 EU countries.
Frova® is approved for the treatment of migraines in adults. The most common adverse events include dizziness, fatigue, paresthesia, flushing, and headache.

Endo and Vernalis Plc Announce Three-Month Extension of PDUFA Date for Frova® sNDA
16 March 2007
CHADDS FORD, Pa., and WINNERSH, U.K., March 16, 2007 – Endo Pharmaceuticals Holdings Inc. (Nasdaq: ENDP) and Vernalis plc (LSE: VER, Nasdaq: VNLS) today announced that the U.S. Food and Drug Administration (FDA) has informed the companies that it will require an additional three months to review Endo’s previously submitted Supplemental New Drug Application (sNDA) for Frova® (frovatriptan succinate) 2.5 mg tablets for the expanded indication of short-term prevention of menstrual migraine (MM). The agency now anticipates completing its review of this application on or before August 19, 2007. As previously disclosed, the original PDUFA (Prescription Drug User Fee Act) review date was May 19, 2007.
The companies noted that the FDA’s request relates solely to the presentation of the data and not its content and that no additional data have been requested.
“We look forward to working with the FDA to expand Frova®’s indication and bring this important new prophylactic treatment for menstrual migraine to market,” said Peter A. Lankau, President and Chief Executive Officer of Endo. He added that the PDUFA date extension would have no impact on Endo’s 2007 financial guidance.

Vernalis plc Announces Pricing and Reimbursement for Frova® in France
12 March 2006
WINNERSH, U.K. , 12 March, 2007 -- Vernalis plc (LSE: VER, Nasdaq: VNLS) today announces that its partner, Menarini, has received pricing and reimbursement for Frova® in France .
As a result of this distinguishing feature, Frova® is also being developed for the short-term prevention of menstrual migraine (MM), a form of migraine that affects 12 million women in the U.S. alone.

Warum Vernalis jetzt sehr interessant ist :
