Ex-Gemstar-TV Guide Executive Strikes Tentative Deal With SEC
LOS ANGELES (AP)--A former executive at Gemstar-TV Guide International Inc. ( GMST) has agreed to a tentative deal with federal regulators to settle charges that she inflated the company`s revenue by nearly $250 million.
The Securities and Exchange Commission must still formally sign off on the proposed deal, which would bring to a close the civil charges against Elsie Leung, Gemstar`s former chief financial officer.
The deal, announced during a court hearing Tuesday, does not include former Gemstar CEO Henry C. Yuen, who has also been accused of inflating the company`s revenue from March 2000 through September 2002 to meet revenue projections and boost the company`s stock.
In January, the SEC reached a tentative settlement with both Leung and Yuen, but that deal ultimately fell through.
Yuen`s civil trial is slated to begin Dec. 9. Separately, he is also scheduled to be sentenced Dec. 19 on criminal charges of obstructing the SEC`s probe.
Yuen reached a plea bargain with the U.S. attorney`s office that calls for two years probation, including six months of home detention and $1.25 million in fines and donations to victims of fraud.
But U.S. District Court Judge John Walter could opt to void the plea deal if he determines it would allow Yuen off the hook too easily - something Gemstar argued in a filing with the court last month.
If Walter rescinds the plea bargain, that will force Yuen to stand trial on the criminal charges and, if convicted, he could potentially end up with a harsher sentence.
Both Yuen and Leung left Gemstar in November 2002 after an audit revealed discrepancies in the company`s books.
Attorneys for Yuen and Leung did not immediately return calls late Tuesday.
In February 2004, Gemstar-TV Guide agreed to pay $67.5 million to settle lawsuits by shareholders who alleged they were misled by the company`s accounting and financial practices. Four months later, the Los Angeles-based company agreed to pay a $10 million penalty to settle SEC allegations of revenue fraud but did not admit or deny the claims.
The company publishes TV Guide magazine and licenses its interactive program guide to cable operators and to consumer electronics companies. It is partly owned by News Corp.

Gemstar-TV Guide Announces Preliminary Circulation Data Following Re-Launch of Its New Full-Size, Full-Color, Features-Rich TV Guide Magazine; Magazine Showing Strength at Newsstand and with Subscribers
Gemstar-TV Guide International Inc. (NASDAQ: GMST), a leading media, entertainment and technology company, announced today preliminary circulation data following the re-launch of TV Guide magazine on October 17, 2005.
Anzeige:
Langfristiger Vermögensaufbau - Staatliche Förderung schafft bis zu 75% Abschreibung! Jetzt informieren!
Newsstand Sales: Based on currently available information on the 11 issues of the new magazine that were sold at newsstand in 2005, the company estimates the following:
-- The first 11 issues of the magazine had an average newsstand sale of approximately 400,000 per issue, a 38% gain over the average weekly digest newsstand sales in the third quarter of 2005 (approximately 290,000 per issue).
-- The launch issue, dated October 17, 2005 and featuring Extreme Makeover Home Edition and Ty Pennington, sold approximately 470,000 copies at newsstand.
-- The sixth issue of the new magazine, dated November 21, 2005 and featuring NBC`s Medium, achieved newsstand sales of approximately 850,000 copies. This issue represents the highest newsstand sale of any issue of TV Guide magazine in over two years - since September 2003. The success of the newsstand sales for this issue was due in large part to a marketing partnership with NBC that included distribution of special 3-D glasses and heavy promotion on the network.
-- Newsstand sales in 2006 may be impacted by a number of factors, including an increase to the new regular newsstand price of $1.99, as well as the planned expansion of TV Guide magazine into additional retail pockets for in-store display.
Cancellations: The magazine has seen far fewer cancellations by existing subscribers than had been projected in light of the drastic redesign. The company estimates that cancellations due to the redesign represent approximately 2% of the re-launched magazine`s subscriber base. As expected, the likelihood of a customer to cancel increased with their age.
Total Circulation: For the first 11 issues of the new full-sized magazine, TV Guide over-delivered by more than 50% on its advertising rate base of 3.2 million copies. After eliminating virtually all sponsored sales as part of TV Guide`s re-launch, the magazine`s average circulation for the 11 full-sized issues published in 2005 was 4.9 million.
TV Guide Publishing Group President Scott Crystal said, "We are very pleased with the positive responses that the new TV Guide has received from many readers (existing and new), retailers, industry leaders, and advertisers." Mr. Crystal continued, "Based on the early responses we have received, it is clear that our readers are reacting positively to the improved editorial quality of the magazine. The new, more robust and engaging format has enhanced our position as a must-read for the TV enthusiast. We will continue to evolve the magazine to serve their needs as well as those of the advertisers who wish to reach this dynamic segment of the population."

Gemstar-TV Guide International Inc. (NASDAQ: GMST), a leading media, entertainment and technology company and Cox Communications, a leading broadband communications company have entered into a long term multi-service agreement, which includes Gemstar-TV Guide`s networks and Interactive Program Guide (IPG).
As part of the agreement, Cox Communications will continue its distribution of TV Guide Channel, a premier television entertainment network, and TVG Network, the 24-hour horseracing and interactive wagering network. Cox will also begin deploying TV Guide SPOT, an on-demand network service allowing cable and broadband subscribers to catch-up and preview some of the most popular shows on television.
Terms of the agreement also call for Cox`s future deployment of Gemstar-TV Guide IPGs, the cable industry`s most widely-deployed IPGs, currently available in approximately 14 million homes. Over the term of the agreement, Gemstar-TV Guide will work with Cox on developing the appropriate technological solutions that will enable Gemstar-TV Guide IPGs to be deployed on the full range of digital receivers in use across Cox`s systems.
Said Steve Necessary, vice president, Video Product Development, Cox Communications, "Providing an excellent user interface to our customers is critically important and will be even more so in the future.
