DRÜBEN KAUFEN und danach Eure shares vor NAKEDSHORTSELLERN schützen, indem Ihr ne VK-ORDER ULTIMO am besten zu Eurem Kursziel reinstellt!

Marketcap bei 2,6 Mrd ausstehenden Aktien und Kurs von 0,0004 Dollar = 1 Mio Dollar!!

In 2006 erwarten wir nen Reingewinn von ca. 3 Millionen, somit dürfte keine weitere Aktienverwässerung anstehen und sich somit ein KGV von 0,3 ergeben!

GWDB machte "still und leise" die Sensation perfekt und erzielte einen Reingewinn!!!

Nicht nur einen operativen Gewinn, sondern wirklich unterm Strich einen Reingewinn, und das obwohl die wirklich guten Dinge noch gar nicht berücksichtigt wurden im Ergebnis (Asiengeschäft)!

GZFX z.B. macht hohe Verluste sowie operativ wie erst recht NETTO!!!
SLWF fährt auch noch fast keinen Umsatz somit tiefrote Zahlen!
PLKC das gleiche!! (wobei auch hier die Zukunftsaussichten stimmen und ich auch dort investiert bin, leider viel zu früh rein! ...aber diesen Fehler versuche ich nicht zu wiederholen!)

Überall an der OTC ist fast durchweg das gleiche Bild zu beobachten: oft gute Zukunftsaussichten, aber mit " wenig dahinter" bis zum jetzigen Zeitpunkt!

Bei GWDB ist alles anders: Perfekte Zukunftsaussichten gepaart mit sehr, sehr guten Quartalsergebnissen!!

Sie haben richtig gehört: Quartalsergebnissen!! Mehrzahl!

Es ist nämlich schon das 2.Quartalsergebnis in Folge das einen Gewinn zu verbuchen hat!!!

Also somit auch keine Eintagsfliege!!!

Und das beste steht uns noch bevor!!!!

Es sind grosse Werbekampagnen angelaufen in den USA mit namhaften Vertretern, die wahrscheinlich für nen starken Umsatz- und Erlösschub sorgen werden!
Ausserdem sind grössere Orders aus Asien eingetroffen, die noch garnicht berücksichtigt wurden!

aber lest Euch doch selber in den bereits bestehenden Threads zu Gateway Distributors ein wenig ein und entscheidet selber, ob das was hier geboten wird gut ist oder nicht!

Ich war jedenfalls sehr beeindruckt und habe mir nen Schäufelchen gegönnt, direkt an der OTC, versteht sich!

Würde mich und die anderen bereits Investierten freuen, noch den ein oder anderen Investor in unserer GWDB`ler Gemeinde begrüssen zu dürfen und gemeinsam auf schöne (schon längst überfällige) Kursanstiege zu spekulieren!

Denke eine Neubewertung ist überfällig!!

Meiner Meinung nach wie gesagt absolutes Vervielfachungspotenzial! Bin wie gesagt ein wenig ein gebranntes OTC-Kind, hatte zwar auch schon schöne Gewinne, aber ich nehme die Werte mittlerweile viel kritischer unter die Lupe und gehe nur noch antizyklisch rein!

Bei GWDB passt denke ich alles zusammen! Es kann nicht mehr lange dauern und der Ausbruch findet statt!

Nicht das es nachher heisst ich hätte Euch nicht gewarnt!

DIE HOHE KUNST DER AKTIENMANIPULATION


In jedem Beruf gibt es ein Dutzend oder mehr wichtige Regeln. Sie zu kennen ist es, was den Amateur vom Profi trennt. Laßt es mich so sagen, wie sicher würdest Du Dich fühlen, wenn Du plötzlich alleine eine Boeing 747 fliegst, während sie sich auf die Landebahn zubewegt ? Wenn Du nicht gerade ein Berufsflieger bist, wärst Du zu Tode erschrocken und würdest Dir in die Hose machen. Behalte das in Erinnerung während Du diesen Artikel liest .....

....weil ich Dir erklären werde wie die Manipulation des Marktes funktioniert !

Um erfolgreich zu spekulieren, sollte man eines voraussetzen, die Small Cap Märkte sind aufgrund ihres relativ niedrigen Umsatzvolumens eine hervorragende Möglichkeit für die Profis um dich zu schröpfen. Der durchschnittliche Investor wird nicht viel Erfolg haben mit dem Smallcaps-Glücksspiel. Damit diese Märkte sich fortsetzen, müssen neue Verlierer in den Markt kommen. Was die Profis und die Bankenaufsicht wissen und verstehen, aber der Rest von uns nicht, ist dies:


Regel Nr. 1

Alle heftigen Preisbewegungen, ob rauf oder runter, sind in den allermeisten Fällen das Resultat von einem oder mehreren (gewöhnlich einer Gruppe) Profis, die den Preis manipulieren.

Das soll erklären, warum nach guten Nachrichten oft nichts oder nur wenig passiert, dann aber, ohne irgendeinen offensichtlichen Grund, eine Aktie plötzlich unter niedrigem Volumen stark ansteigt. Irgend jemand manipuliert die Aktie. Damit diese Manipulationen wirken, nehmen die Profis an, daß die Leute dumm sind und vor allem dann kaufen, wenn der Preis der Aktie hoch ist bzw. verkaufen, wenn der Preis niedrig ist.

Laßt es uns klar sagen, der Grund, warum du in diesen Märkten spekulierst, ist der das du gierig bist und optimistisch. Du glaubst, daß es morgen besser ist und du willst schnell Geld machen. Es ist diese Einstellung, die der Profi ausnutzt. Er packt dich bei Deiner Gier und Furcht für eine bestimmte Aktie.


Regel Nr.2

Sobald der Profi seine Aktien verkaufen will, wird er eine Good News Promotional Kampagne starten.

Hast du dich jemals gewundert, warum eine bestimmte Company dargestellt wird als sei sie das Größte seit der Erfindung der Brotschnitte ? Dieses Sentiment wird bewußt hergestellt. Newsletterschreiber werden angeheuert, ob heimlich oder nicht, um einen bestimmten Wert hochzujubeln. Public Relation Firmen werden angeheuert und auf ein nichts ahnendes Publikum losgelassen. Kontrakte, um in Radiotalkshows zu erscheinen, werden unterschrieben und ausgeführt. Merkwürdige kleine begeisterte Threads tauchen in den Boards auf, immer von der gleichen Sorte Pusher, je mehr um so besser. Die Hype geht los. Je cleverer ein Stock - Promoter ist, um so besser sind seine Kenntnisse der Werbebranche. Kleine Tricks werden benutzt , laß z.B. eine völlig unbekannte Firma interessant aussehen indem du sie mit einer kürzlichen Erfolgsstory vergleichst. Der einzige Grund warum du zu diesem anscheinend unglaublichen Bankett eingeladen wirst, ist der, daß du das Hauptgericht bist ! Nachdem der Profi dich in sein Investment gesaugt hat indem er seine Papiere gegen dein Geld getauscht hat, schließen sich die Mauern um dich. Sobald er will, daß du das sinkende Schiff verläßt, wird er plötzlich sehr vorsichtig mit seinen Bemerkungen über die Company. Dies bringt uns zu der nächsten Regel:


Regel Nr.3

Sobald der Profi seine Aktien verkauft hat, wird er eine Kampagne mit schlechten oder gar keinen Nachrichten starten.

Die wirklich aalglatten Profis werden sogar die Boards und die Journalisten entsprechend mit negativen Geschichten über die Firma füttern. Oder eine Propagandakampagne mit negativen Gerüchten auf allen Kommunikationsebenen starten, sogar jemanden zusätzlich anstellen, um den Preis zu drücken oder jemand der den Analysten angreift, der zuvor begeistert über den Wert geschrieben hatte.


Regel Nr.4

Jede Aktie, die bei hohem Volumen zu einem hohen Preis gehandelt wird, signalisiert die Verkaufsphase der Profis.

Als das Volumen geringer war, war auch der Preis niedriger. Die Profis sammelten ein. Sobald der Preis steigt, erhöht sich das Volumen. Sie kauften niedrig und verkauften hoch. Die Amateure kauften hoch ( und werden bald wieder niedriger verkaufen). Erfolgreiche Kurzfristtrader gehen gewöhnlich aus einer Aktie raus, sobald das Volumen hoch ist, Amateure werden gierig und kaufen hier.


Regel Nr.5

Der Profi wird immer versuchen dich zum Kaufen zu kriegen, wenn der Preis am höchsten ist und zum Verkauf beim niedrigsten.

So wie er jeden nur möglichen Trick benutzt, um dich zur Party einzuladen, wird er dich grausam und brutal von seiner Aktie vertreiben, sobald er dich geschröpft hat. Du kriegst den ersten Hinweis, daß er dich getäuscht hat, wenn die Aktie auf höherem Level durchsackt. Irgendwie hat sie den Dampf verloren und du weißt nicht warum. Tja ,sie hat den Dampf verloren, weil der Profi aufgehört hat sie zu pushen. Sie ist zu stark aufgebläht und er kann niemanden mehr überzeugen sie zu kaufen. Das Volumen trocknet aus während der Preis durchzusacken scheint.

Wenn der Profi dich aus der Aktie vertreiben will, wird es ein Orchester von Gerüchten geben die zirkulieren, auf dich wird geschossen werden aus verschiedenen Richtungen. Du wirst den Beweis in einem sehr scharfen Absturz des Kurses sehen bei riesigem Volumen. Das bist du und deine Kumpel, die nach dem Ausgang rennen. Der Profi wird dich hinausschütteln, indem er den Preis so niedrig wie möglich treibt, so kann er so viele Aktien wie möglich wieder einsammeln.


Regel Nr.6

Du wirst der letzte sein, der informiert wird, wenn das Geschäft Zeichen von Schwäche zeigt.

Ein Rückblick wird dir oft zeigen, daß da ein kleiner Rückgang im Kurs war, gerade als die Bohrproben aufgeschoben wurden oder ein Geschäft platzte. Die Profis, die immer mehr wissen als du, begannen ihre Aktien zu verkaufen, um den Kurssturz einzuleiten. Der schnelle Absturz macht es dir unmöglich mehr dafür zu kriegen als du bezahlt hast und gibt dir einen besseren Grund, noch etwas zu warten falls der Kurs zurückkommt. Dann beginnt die Drifting Phase und Furcht überkommt dich. Wenn du nicht gerade Nerven wie Stahlseile hast und es dir leisten kannst den Profi auszusitzen, wirst du sehr wahrscheinlich die Aktien zu einem billigen Preis verkaufen. Denn der Insider, Makler oder die emittierende Bank sind verpflichtet, die Aktien zurückzukaufen, um die Firma am Leben zu erhalten und Kontrolle über sie zu behalten.


Regel Nr. 7

Der Profi wird dich so in seine Aktie zwingen, das du den Preis hochtreibst.

Er wird sein eigenes Papier immer wieder kaufen und verkaufen, so das der Preis steigt. Man kann die Marktmanipulation vermeiden indem man nicht zu Zeiten eines extrem hohen Volumens kauft.


Regel Nr. 8

Der Profi ist sich deiner Gefühle, die du während des Anstiegs und des Absturzes erfährst, wohl bewußt und wird damit spielen wie auf einem Klavier.

Während des Anstiegs wirst du einen Anfall von Gier haben, die dich zwingt in die Aktie zu investieren. Während des Absturzes wirst du Angst haben, das du alles verlierst, daher wirst du zum Ausgang rennen. Kannst Du sehen wie einfach es ist und wie klar eine Glocke läutet ? Denke nicht, das dies Schema nicht in den Verstand eines jeden Profis eintätowiert ist. Er wird dich den ganzen Weg rauf und runter manipulieren. Wenn er es sehr gut macht, kann er es so aussehen lassen als sei jemand anderes daran Schuld das du dein Geld verloren hast. Du wirst wieder diese Aktie kaufen, er wird dich wieder so erschrecken, das du denkst du wirst jeden Penny verlieren. Du wirst vor Entsetzen davonrennen und schwören, daß du nie wieder in solche Aktien investierst. Aber viele von Euch tun es doch.


Letzte Regel

Ein neuer Schub von Zockern wird mit jedem neuen Spiel geboren.

Die Finanzmärkte sind ein grausames, ein unfreundliches und gefährliches Spielfeld, ein Platz wo die neuesten Amateure gewöhnlich am meisten geschröpft werden von denen die die Regeln kennen. Es wird immer einen vertrauenden Dummen geben, den die tollwütigen Hunde in Stücke reißen. Laß nicht zu, das sie das weiterhin tun, mach deine sorgfältige Recherche bevor du investierst. Such dir gute Companies mit denen du spekulierst, kaufe nicht bei sehr hohem Volumen und versuche in ruhigen Zeiten unten einzusteigen, alles andere ist dumm

Auf den ersten Blick schöne Gewinne in den letzten 2 Quartalen.
Auf den zweiten Blick aber nicht mehr so gut.
Eher bedenklich.
Das Kerngeschäft zeigt derzeit rückläufige Tendenz, ansonsten leben sie von der Substanz (sale of property) und weisen das als Sonderertrag aus.

Ich werd mir den Laden bei Gelegenheit mal näher ansehen.

Die 1 000 000 US-Dollar wurde nicht hergenommen, um die laufenden Kosten zu decken, sondern als Sondertilgung.

Man hätte auch Bilanzkosmetik betreiben könnnen und den Gewinn aus dem Verkauf mit auf die Habenseite schreiben können.

So ist es eben an der Börse, Pro und Contra... So ist es halt. Wobei ich mich bei Gateway echt wundern muss, dass hier nicht mehr investiert sind, bzw. den Titel als extrem aussichtsreich werten.

Angenommen, die Zahlen wären nicht so toll, selbst dann rechtfertigt dieser traumhafte Ausblick von explodierenden Geschäftszahlen eine erste Kaufposition. Erst im Sommer wurden schön anzusehende Revenuessteigerungen vermeldet. Je schlechter im Vorfeld ein Titel geredet wird, um so heftiger detoniert er bei entsprechender Newslage.

Egal wie man zu Gateway steht, der Ton im Board muss passen. Man sollte Slay nicht schräg anreden. Er kann es halt net fassen, dass diese Rakete nur von wenigen als solche erkannt wird.

Es ist eigentlich ganz einfach. Sobald Basher Werte sehen, deren Kurs unter 0,001 notiert, werden diese Werte gleich als "Schrott" abgestempelt.

Das aber gerade hier große Reboundchancen bestehen ignoriert man gnadenlos und redet Subpennys schlecht!

Kurs war damals ca. 0,0005 in den USA. In Berlin logischerweise 0,001.

Einige Tage darauf stand Renovo bei 0,005 und höher!

Flumi4 sowie auch ich haben bereits 3-4 Wochen vorher darauf hingewiesen! Unsere Stimmen wurden nicht erhört! Selbst schuld...

ich will ja gar nicht abstreiten, das man mit diesen werten ne menge kohle machen kann
jedoch stellt ihr immer alles als sooooo toll und sicher hin.
nicht umsonst sind solche firmen oft weit unter 1 cent wert, das wohl nicht ohne grund
und eines ist auch fakt, man kann sich vielleicht über die prozent streiten, aber 80-90% von diesen subpennys verschwinden über einen längeren zeitraum von der börse, werden gestrichen

daher sollte man nicht immer alles für die lemminge als bestens darstellen, weil es haben sich schon sehr sehr viele die finger verbrannt

außerdem kann man nur spielgeld investieren, oft sehr markteng, obwohl ja immer geschrieben wird, wieviele millionen stück gehandelt wurden.

Selten so ein Schwachsin gelesen. Selbst bei den großen Direktbrokern kann man meines Wissens direkt in den USA ordern. Und wenn jemand so einen Pennystock handeln will und der Broker einen Kauf in den USA nicht anbietet, sollte er seinen Broker wechseln. Es lohnt sich nicht, die Aufschläge in Deutschland zu zahlen (außer vielleicht für irgendwelche Experten, die mit 100€ in so einen Wert gehen).



Bei Nexia sitzen die Idioten, die in Deuschland gekauft haben, auch auf schönen Verlusten. Aber angeblich sehen wir dort bis Weihnachten ja vieeel höhere Kurse (bin schon gespannt drauf )

The number of people taking NSAIDs (nonsteroidal anti-inflammatory drugs, such as aspirin, Ibuprofin, etc.) increases every year, but concern about ulcer complications and intestinal bleeding may be decreased with the use of lactoferrin. At least 3 billion dollars are spent on oral analgesics, with about 60 percent of these including NSAIDs. Seventy percent of people over 65 take one dose of NSAIDs every week, and 50 percent take seven doses a week!

The biggest risk factor is a history of a complicated ulcer. Other risk factors for NSAID-associated ulcer complications include:

-- Taking multiple NSAIDs

-- High-dose NSAIDs

-- Anticoagulants

-- Past history of uncomplicated ulcer

The good news is that orally administered lactoferrin is effective at preventing acute NSAID-induced increases in gut bleeding and other negative metabolic activity. Protection by lactoferrin of the intestinal tract from NSAIDs appears to be linked to the lessening of the migration of certain cells to the intestine. The lactoferrin does not bind to the NSAID or interfere with the NSAID biological activity.

Researchers conclude that orally administered lactoferrin is effective at preventing NSAID-induced intestinal problems, which is very good news to those who look to NSAIDs for pain relief from arthritis, among other health challenges.

Gateway Announces Quarterly Results

Gateway Distributors Limited, (GWDB) (OTCBB:GWDB) Announced that its quarterly filing dated June 30, 2005 are final and on record.

Rick Bailey, President/CEO said, "The Company has overcome numerous challenges related to the industry and now can focus on the continued growth of the Company. The highlights of the quarter were our operating expenses for the quarter compared to previous year same period decreased by $2,713,000 to $405,000 down from $3,118,000 in the prior period. Operating loss decreased $3,314,000 and went from a loss of $2,994,000 to an income of $320,000 for the three months ended June 30, 2004 and 2005 respectively. This was due to the reduction of professional services and fees, decrease in product development efforts, and the sale of an asset. Gateway Announces Revenue Increases at The Right Solution Gateway

Gateway Distributors Limited (OTCBB:GWDB)(GWDB), announced that its subsidiary The Right Solution Gateway has increased its monthly revenues each of the past three months. Increases in revenue climbed for June by 29%, July by 24%, and August by 60%; these are the 2005 verses 2004 results for the same periods.

Gateway Announces Endorsement

Gateway Distributors Ltd. (OTCBB: GWDB) announced that it has finalized an agreement with Chris Soule to endorse their product line.

The United States Bobsled & Skeleton Federation would like to introduce Santa Barbara to one of its newest residents, Olympic skeleton racer Chris Soule. Soule is currently one of the United States` best hopes for gold in the upcoming 2006 Winter Olympics in Torino, Italy. He consistently has been one of the world`s best, and is currently ranked 2nd in the world. Skeleton is an individual person head-first version of luge, with speeds in excess of 80 mph. Das kann aber nur maximal die als Gewinn ausgewiesene Summe von 178.000 sein.
Die schreiben in ihrem Income Statement etwas von nicht wiederkehrenden Einnahmen (non recurring) in Höhe von 1,025 Mio (vorhergehendes Quartal 0,67 Mio). Ansonsten hätten sie bei einem Rohertrag von 0,154 Mio einen Verlust von 0,847 Mio ausweisen müssen. Im Juni-Quartal wärs ohne die Sondereinahmen ein Verlust von 0,257 Mio gewesen.

Wenn Gateway mal eine Woche so richtig durchstartet, hätte ich nichts dagegen.

Ich denke, dass mit dem Gateway Werbe und US-Sympathieträger gerade jetzt Gateway etwas mehr in das Interesse der Anleger gerückt ist. (Soul ist in den USA sehr beliebt und macht ja wie bekannt Werbung für Gateway).

Das Volumen spricht für eine längere Party. Sollte GWDB sich noch weitere drei vier Tage schön verteuern, dann soll mir das als Kursziel genügen. Aber wie gesagt, wirklich wissen kann keiner was an der Börse.

Hi,

bin auch mit ein paar Milliönchen (Aktien aber nur) investiert, und verfolge das Hin- und Hergeschiebe nun schon seit geraumer Zeit. Gestern z.B. wurde fast nur ins Bid 0,0003 verkauft mit selbigem Schlusskurs. Heute dagegen, wo der Kurs wieder bei dieser Marke steht, wird bis jetzt hauptsächlich aus dem Ask (0,0003) gekauft und heute Abend wird der MM wieder schön auf 0,0004 hochtaxen, damit morgen das gleiche Spiel von vorne beginnen kann. Was soll das???

Gestern wurde aber schön verkauft, 637 Mio. um genau zu sein. Alle zu 0,0002. Hoffentlich kommt nicht wieder ein R/S, dann muss ich mich nämlich fürchterlich übergeben. Was sagen denn unsere Experten (Slay/Calibra) eigentlich zu der derzeitigen Situation?

Gateway Announces Purchase of New Facility

LAS VEGAS--(BUSINESS WIRE)--April 11, 2006--Gateway (OTCBB: GWDB - News) The Right Solution Gateway a wholly owned subsidiary of GWDB announced that the Company has finalized the purchase of a new facility. The property is 11,800 square feet located in Las Vegas, Nevada across the street from the famous Steve Wynn Shadow Creek Golf course.

Teilweise sogar zu Kursen von 0,0004-0,0006. Langsam müßte der Kurs doch mal eine Reaktion zeigen und etwas anziehen.

ITEM 6. MANAGEMENT'S DISCUSSION AND ANALYSIS OR PLAN OF OPERATION.

There are several factors that could cause actual results or events to differ materially from those anticipated, and include, but are not limited to general economic, financial and business conditions, changes in and compliance with governmental laws and regulations, including various state and federal environmental regulations, the ability to obtain additional financing from outside investors and/or bank and mezzanine lenders and the ability to generate sufficient revenues to cover operating losses and position Gateway to achieve positive cash flow.

MANAGEMENT'S PLAN OF OPERATION

STRATEGY

Gateway plans to continue capitalizing on its strong operating platform and intends to pursue a growth strategy comprised of the following four principal elements:

Expansion of Product Offerings and Development of New Product Lines. The Right Solution Gateway, main subsidiary of Gateway Distributors, Ltd., is committed to expanding its product line by developing and offering new products and introducing existing products into markets where they are not currently offered. The timely introduction of new, high quality products creates sales opportunities for distributors, and also serves to generate enthusiasm among distributors and provide them with additional promotional opportunities to sell other Company products. The Right Solution Gateway has made the decision to concentrate on its top selling products that focus on three things: 1) cleansing the body from toxins; 2) feeding the body on a cellular level; and 3) living ones dreams. With more than 70% of the food that is consumed in the world being genetically altered, management believes that the market for its products will continue to grow.

Mergers and Acquisitions. Gateway's business plan includes growth through mergers and acquisitions. Gateway intends to continue to look for opportunities to merge or purchase smaller companies that have active distributors and sales volumes, or purchase new products to diversify the Company sales market. The Right Solution Gateway has two strategies for growth. 1) The continuation of the existing strategy to target companies that are in trouble financially, lacking product inventories, but which have active distributors and sales. 2) Purchase the rights to existing products that have either a recognized brand name or have been successfully marketed in the past with continued need in the marketplace, requiring only market exposure to generate new sales.

Expansion Into New Markets. Gateway's business plan for 2006 is to focus on growth in the USA and placing less emphasis on international expansion. If international clients desire to purchase products on a wholesale basis, Gateway will gladly provide these products. Gateway believes there are numerous additional markets in which its products may prove successful. Gateway evaluates new markets based, in part, on Gateway's ability to create a distributor base in the potential markets or markets for the product wholesale. In determining when and where to open new markets, Gateway will continue to seek to minimize the impact on distributor focus in existing markets and to ensure that adequate distributor support services and other Company systems are in place to support the growth. Although Gateway intends to expand into new markets, there can be no assurance that Gateway can open markets on a timely basis or that such new markets will prove to be profitable. Significant regulatory and legal barriers must be overcome before marketing can begin in any new market. In addition, expansion of Gateway's operations into new markets requires substantial working capital and capital expenditures associated with both the regulatory compliance and operations phases of the process. The lead-time and costs associated with opening anticipated new markets may significantly exceed those of entering new markets in the past due to greater regulatory barriers, the necessity of adapting to entirely new regulatory systems, and problems related to entering new markets with different cultural bases and political systems from those encountered in the past. Gateway is informed that the lead-time necessary to open a new market is generally up to one year, but may be more.

Management has determined to refocus its time, energy, and financial investments into its core business going forward and believes that QDS of Arizona will detract from that emphasis. Therefore, the Company is evaluating whether to sell its interests in QDS of Arizona.

Enhancement of Sales and Motivational Training. Gateway will continue to seek increased sales opportunities through its network marketing system by utilizing extensive training and motivational programs. The Right Solution Gateway will also hold regional meetings throughout the United States. Gateway has hired Jack Zufelt and other network marketing leaders in the industry to run the training of the company. The starting kits have training material along with product which will allow the new distributor to get started quicker. The Company continues to spend a significant amount of money and time on the internet website. Management feels that the support of the world wide web is a core competency to the success of its business, unlike ten years ago. In addition, Gateway will continue to conduct conferences, seminars, and one on one training.

Gateway has acquired the licensing rights to Jeunesse by Francois from the Chelsea Collection. Jeunesse by Francois is a seventy five year old skin care formula from Romania which was originally derived from the G-H-3 formula of Dr. Anna Aslan. Mr. Francois Vautour brought the formula to America and updated the product based upon newer technologies in skin care. An infomercial was produced to introduce the new product which hasn't received the desired marketing response. The product is being offered to the distributors in the network marketing arena, and plans for the future are to wholesale the product through retail chains under the G-H-3 lines. We hope to expand the customer base and increase sales. Gateway, through the licensing agreement it has with the Chelsea Collection, is opening clinics offering G-H-3 Internal Rejuvenation Therapy currently. Two thirds of The Chelsea Collection is owned by the officers of Gateway. In the agreement the Company has with Chelsea Collection, the Company will have the opportunity to acquire the same Francois Vautour skin care line from Chelsea Collection for virtually the same price and terms as Chelsea Collection is buying it from Francois Vautour.

Gateway extended its agreement with PT. Mahakam Beta Farma in Indonesia. They are purchasing the Body Gard product and have it in their pharmacies throughout the country. PT. Mahakam Beta Farma is working on approval by the Indonesian government for the future distribution of SuperFood.

Gateway has received its first shipment of product that has been signatured and licensed by Pete Rose and affiliates and is available for sale.

SERVICES

Product Return Policy for Retail Customers. Services Product Return Policy for Retail Customers. The Right Solution Gateway has a 100% money-back guarantee on all of its products for retail customers. It is the responsibility of each Team Member to refund the purchase price to any unsatisfied customer. The customer's request must be made within 30 days of the date of the product purchase to be valid. If the product was used, the empty or partially filled container must be returned to The Right Solution Gateway. Upon receipt of the container and a copy of the customer's retail sales receipt with their name, address and telephone number, The Right Solution Gateway will promptly send a replacement to the Team Member. The Right Solution Gateway does not make cash refunds. The Right Solution Gateway's product return policy for retail customers has been approved by the Direct Selling Association (the "DSA"), a national industry trade organization of network marketing companies whose objective is to provide aid, support and guidance to the network marketing industry.

Product Return Policy for Team Members. A Team Member who is dissatisfied with a product may request a refund or credit within 30 days of the date of the product's purchase. Full, partially full, and empty bottles are eligible for refund. However, only one partially filled or empty container per individual product will be honored. Unused products purchased during this same period are eligible for a refund if they are in the original packaging, factory sealed, and in resalable condition. Shipping expenses are not eligible for refund. The Right Solution Gateway's product return policy for Team Members has been approved by the DSA.

Product Market. The nutritional supplement industry is growing and management believes it is due primarily to heightened public awareness of the positive effects of vitamins and other nutritional supplements. Many individuals are now using nutritional supplements as a means of preventive health care. Retail sales of nutritional supplements increased from approximately $3.5 billion in 1991 to approximately $4.2 billion in 1993, as reported by The Overview of Nutritional Supplement Market prepared by the Council for Responsible Nutrition. Furthermore, industry trade sources estimated that worldwide sales of nutritional supplements were $4.7 billion in 1994 and $5.3 billion in 1995, respectively.

DISTRIBUTION AND MARKETING

The Right Solution Gateway's products are distributed primarily through a network marketing system, consisting of an extensive network of distributors. Distributors are generally independent contractors who purchase products directly from network marketing companies. The Right Solution Gateway calls their distributors "Team Leaders". For this document they will be referred to as distributors. The distributors purchase products from The Right Solution Gateway for personal use or for resale to consumers within the United States. Distributors may elect to work on a full-time or part-time basis. The Right Solution Gateway believes that its network marketing system appeals to a broad cross-section of people worldwide, particularly those seeking to supplement family income, start a home-based business or pursue employment opportunities other than conventional, full-time employment and that a majority of its distributors work on a part-time basis. The Right Solution Gateway believes that its network marketing system is ideally suited to marketing its products because ongoing personal contact between consumers and distributors strengthens sales of such products.

Within the United States, distributors may earn profits by purchasing The Right Solution Gateway's products at wholesale prices (which are discounted 40% from suggested retail prices) and selling The Right Solution Gateway's products to customers at suggested retail prices. All distributors, both inside and outside the United States, who sponsor new distributors and establish their own downline organizations may earn commissions on product sales on their downline.

To become a distributor, a person must be enrolled by an existing distributor, pay an annual fee (which is currently $15.00 or first time enrollees may join over the world wide web at no cost), and be placed into a Tracking Center, which is a point from which The Right Solution Gateway "tracks" the sales volume of the distributor and the

sales volume of a distributor's downline organization. Each distributor can have three legs in their organization and commissions are based on volume requirements of these legs. The strongest performing leg is the 1st leg, the second strongest is the 2nd leg and all other legs make up the third leg. In order to receive any commissions or bonuses a distributor must make an initial purchase of $100 in personal purchase volume. To maintain qualification for any commissions or bonuses, a distributor must purchase a minimum of $100 to $150 depending on total qualifying volume of The Right Solution Gateway's products every month. All distributors are allowed to participate in The Right Solution Gateway's growth by sponsoring new distributors.

Management believes that the more new enrollees use the internet, overall costs will be substantially reduced.

The Right Solution Gateway computes the wholesale volumes purchased at the close of each business day during the month. Commissions are paid monthly based on the qualifying level.

Additional bonus money can be earned then paid weekly, through the Right Start Program. A distributor may sign up for an "Autoship Program" which helps protect distributors from losing qualification by automatically shipping them a qualifying order monthly. In addition, when a distributor signs up for the Autoship Program, the distributor becomes qualified to receive a bonus (the "Right Start Bonus") for each new personally enrolled distributor. The amount of the Right Start Bonus will be 50% of the new distributor's first order.

The Right Solution Gateway maintains a computerized system for processing distributor orders and calculating distributor commission and bonus payments, which enables it to remit such payments to distributors. The Right Solution Gateway believes that prompt remittance of commission is vital to maintaining a motivated network of distributors and that its distributors' loyalty to The Right Solution Gateway has been enhanced by The Right Solution Gateway's history of consistently making commission and bonus payments on a scheduled basis.

Internet. The Right Solution Gateway maintains a site on the World Wide Web at "www.rightsolution.com." The Right Solution Gateway has enhanced the system to allow new distributor signups, on-line ordering and volume checks by the distributors.

Marketing. Each distributor is responsible for sales of The Right Solution Gateway's product within his or her downline. The Right Solution Gateway relies on word of mouth from previous or existing customers for its primary advertising. The Right Solution Gateway has developed sales materials, which have been professionally prepared by a graphic designer and reviewed for regulatory compliance. These sales materials include product descriptions. Most of the information that a distributor needs to do his or her business can be found on the website.

Sponsoring. The Right Solution Gateway has established a system for the enrolling of new distributors. The Right Solution Gateway prepares communication and educational training materials for distributors to assist in the enrolling of new distributors. The Right Solution Gateway attempts to differentiate itself from competitors by adhering to its "mission statement" which reads as follows:

PRODUCT MANUFACTURING AND DEVELOPMENT

Gateway anticipates continuing to expand its product line through the development of new products. New product ideas are derived from a number of sources, including trade publications, scientific and health journals, Gateway's executives, staffs, consultants, and outside parties. In advance of introducing products into its markets, Gateway consults its Medical Advisory Board, comprised of Dr. Herbert Pardell, M.D., D.O., Betty Kamen, Ph.D., and Dr. Michael Hartman for advice. In addition, local counsel and other representatives are retained by Gateway to investigate product formulation matters as they relate to regulatory compliance and other issues.

The Company brought on a full time Compliance Officer in 2004 to assure that all of its correspondence, marketing material, and the website meet all regulations and compliance requirements.

All of Gateway's products are provided by outside companies. Gateway has agreements in place with all of its current manufactures that assure availability for it anticipated growth. Gateway's ownership of product formulations and trademarks for substantially all of Gateway's nutritional products gives Gateway a great deal of protection from competition.

Gateway's ability to enter new markets and sustain satisfactory levels of sales in each market has been in the past and is likely to continue to be dependent in significant part upon its own ability and the ability of its manufacturers to develop new products and reformulate existing products for introduction into Gateway's markets. Since 1998, Gateway has significantly expanded its in-house product research and development and product formulation staff, which now consists of an employee of Gateway, its Medical Advisory Board, outside advisor, and manufacturers, who are increasingly involved in such activities.

Gateway owns the proprietary rights to substantially all of its health and nutritional supplements, formulations and trademarks. Gateway has formed several alliances with its manufacturers to assure, among other things, that the products are organically grown and that inventory levels will remain constant.

INSURANCE

Although Gateway does not engage in the manufacture of any of the products it markets and sells, Gateway could be exposed to product liability claims. Gateway has not had any such claims to date. Although Gateway maintains a limited amount of liability insurance, each of Gateway's manufacturers provides additional insurance of at least two million dollars covering products, which Gateway sells. There can, however, be no assurance that Gateway will not be subject to claims in the future or that available insurance coverage will be adequate. A partially or completely uninsured claim against Gateway, if successful and of sufficient magnitude, would have a material adverse effect on Gateway.

TRADEMARKS

Gateway has received federal trademark registration for THE RIGHT SOLUTION(R). Gateway intends to continue to seek trademark protection for a number of the products and brand names under which Gateway's products are marketed, where applicable. Gateway will be required to rely upon common law concepts of confidentiality and trade secret laws to protect its product formulations. PRODUCTS

Gateway Announces Purchase and Construction of New Corporate and Warehouse Facility; Company Asset to Value More than $1.3 Million



LAS VEGAS--(BUSINESS WIRE)--July 26, 2006--Gateway (OTCBB: GWDB)

Gateway Venture Holdings a wholly owned subsidiary of GWDB announced that the Company has finalized the purchase of a new facility. The property is 11,800 square feet located in Las Vegas, Nevada across the street from the famous Steve Wynn Shadow Creek Golf course at 2555 East Washburn Road, North Las Vegas 89081.

The facility, under construction to meet Company specifications, will include approximately 3,800 square feet of office space with a conference area, and approximately 8,000 square feet of warehouse space. An additional, 3500 square feet on the second level will be used for future expansion, ultimately yielding total useable space of 15,300 square feet. Upon completion the facility will represent a $1.3 million asset of the Company.

"This new facility built in 2005 melds state of the art construction with our purpose-specific design, giving us four docks and two ramp access points to our warehouse, positioning the Company for our distribution expansion already underway. It will include offices, a conference room, and training area, in addition to promoting vastly increased efficiency and capacity for our increased distribution. We have already relocated our warehouse operations to the new facility and anticipate the offices to be complete by late fall at which time all corporate operations will be centralized at the new location," said Gateway President & CEO Rick Bailey.

The Company also announced last week that it signed a binding letter of intent to acquire Marshall Distributors; the Salt Lake City based Distribution Company. Zum Vorteil wirkt sich allerdings wieder aus, dass sie laut GWDB keinen RS vorhaben, um die LONG-Aktionäre fürs Durchhalten nicht zu bestrafen!

So habe ich es jedenfalls verstanden, bin mir ziemlich sicher, dass dies den Fakten entspricht!

Hoffe es jedenfalls zumindest, dass sie ihr Wort halten werden diesbezüglich!!

Weiterhin sind die CAL BAY Anteile ja auch ne mächtige Stange Geld wert!!

Bin hier seit einiger Zeit long und habe alle meine Stücke vor Leerverkäufern geschützt, indem ich ne hohe VK Order platziert habe für meinen Bestand an GWDB Aktien!

Zumindest sind die nicht für die Taschen der Vorstände bestimmt, sondern für Beratertätigkeiten und sonstige Finanzierungen.

Aber mal zu dem deal mit Marschall:

6 mio. kostet der ganze Laden mit allem drum unhd dran vom Kugelschreiber über Fahrzeuge bis zum Gebäude. Da Marschall aber diverse Schulden hatte und das Gebäude nur geleased hatte, sind von der Kaufsumme ( 6 mio.) alleine 3,786.062 $ an die Gläubiger von Marschall zu zahlen. Darin enthalten ist auch der Kaufpreis von 770.000$ an den derzeitigen Besitzer des Gebäudes - Terry Nielsen.

Um die Kaufsumme abzusichern werden 12 mio der Vorzugsaktien von Cbay (preferred B stock)hinterlegt, die dann von Gateway verkauft werden sollen.

Gleichzeitig hat Gateway ja angekündigt - letzte Ad hoc - das das Gebäude an cbay verkauft werden soll. Dadurch verringert sich der Kaufwert an Marschall auf ca. 5.2 mio. $.

Um die 5,2 mio mit den 12 mio. Aktien zu bezahlen, muß Gateway pro Aktie von cbay ca. 0.43 $ erlösen. Dazu müsste cbay allerdings noch um ca. 80 % steigen. Das ist sicher auch der Grund, warum cbay gestern schon um 20% gesiegen ist. Also super strong buy für cbay.



Das heisst im Klartext aber auch:

a) Gateway hat Assets von ca. 5,2 mio. durch die Übernahme von der dann Schuldenfreien Marschall.

b) zusätzlich gibt Gateway als bestehende Assets (abzüglich der Cbay und Chelsea Aktien ) insgesamt 2.8 mio. an.In den letzten Zahlen ist der Wert der cbay aktien nämlich nur mit 1.3 mio. $ und der Wert von Chelsea mit 400.000 $ angegeben. In den 2.8 mio ist jedoch das Gebäude mit 1.3 mio angegeben, weshalb ich schon davon ausgehe, dass die Zahlen hinkommen.

c)Dann hat Gateway weitere 18 mio. Aktien an cbay. Wert demnach ca. 9 mio. $

d)Nebenbei ist Chelsea collection gestern mit einem nie dagewesenen Umsatz von fast 2.2 mio Stück um 11.11% gestiegen. Gateway hält selber für 400.000$ Aktien an Chelsea (stand letzte Zahlen)- ich schätze mal ca. 8mio Stück.

e)Dann hat Gateway sich jetzt die 7 mrd. Stk.für Berater und Geschäftsfinanzierung genehmigt. Wert min. 700.000 $ - wobei ich von höheren erlösen ausgehe. Aber nun gut nehmen wir die 700.000$

Dann kommen wir auf:

zu a) Marschall 5.2 mio.
zu b) Gateway 2.8 mio.
zu c) Cbay 9.0 mio.
zu d) Chelsea 0,5 mio.
zu e) neue Aktien 0,7 mio.

summa summarum 18,2 mio.


abzüglich
gesamte Verbindlichkeiten von 4,4 mio.$ (letzte Zahlen)

Wert Gateway ca. - allerding best case - 13,8 mio.

incl. der neuen 7 mrd.Stk. hat Gateway 17,117,010,636 Aktien

rechnet man jetzt 13.8 mio durch die Aktien kommt man auf einen Wert für Gateway von 0,0008 - ohne zukünftige Umsatzprognosen

also super strong buy für Gateway - außerdem habe ich selber welche - alle Angaben ohne Gewähr usw.

Aber allein dass Cbay und Chelsea explodieren lässt Gateway in einem ganz anderem Licht erscheinen.

was ich allerding sehr interessant finde, dass sich die Gläubiger mit der Hinterlegung von 12 mio Cbay aktien zufrieden geben. Dann müssen die doch selber daran glauben dass cbay tatsächlich um die 0,50 $ wert ist. Damit ist der Gesamtwert allein an den 30 mio. cbay aktien 15 mio.$

Heute kam ein Meldung. In der wird das Versprechen, keinen R/S zu machen allerdings relativiert:

Also wenn das Ask bei 0,0001 bleibt, ist ein R/S wohl nicht auszuschließen...

ich würde Vorsichtig sein. Hab n bssil Spielgeld drin (nur 700000 Stk.), würde aber keinem Empfehlen größere Mengen zu kaufen. Wenn da kein R/S kommt fress ich nen Besen (ohne Gewähr ).

Nach nem R/S würde der Kurs sowas von in die Knie gehen, will gar nicht weiter darüber nachdenken...

Naja, sicher ist hier aber eigentl. nicht (was auch net gut ist)....
