HAMBURG, Germany, January 20 /PRNewswire-FirstCall/ -- Pandatel AG (Prime
Standard ISIN DE0006916307), a specialist for Ethernet solutions from optical
to last mile equipment, announces that its major shareholder, Dowslake
Venture Ltd., has been granted an exemption by BaFin from making a tender
offer to the remaining shareholders. Dowslake Venture Ltd. has purchased from
AUGUSTA Technologie AG all its holdings of Pandatel AG, with a total holding
ratio of 49.98%.
The German security law usually requires shareholders possessing more
than 30% of the company to make a mandatory takeover bid to the remaining of
the shareholders, unless BaFin provides an exemption.
With its decision of January 17, 2006 (for particulars refer to ad hoc
disclosure of January 18, 2006), BaFin has approved the application of
Dowslake Venture Ltd. to its full extent. BaFin decision explicitly confirms
the need for the restructuring of Pandatel AG, recognizes that as part of
restructuring plan, merging Pandatel AG with Dowslake Microsystems Corp.
provides the only alternative to a potential insolvency of Pandatel AG.
As stipulated by BaFin, an extraordinary shareholders` meeting will be
organized in the first quarter of 2006, in order to approve the restructuring
plan, including the merger between Dowslake Microsystems Corp. and Pandatel
AG, by a capital increase against investment in kind.
