      * Update on progress at the Orion Gold Project

Toronto, Ontario CANADA, February 02, 2006 /FSC/ - Nayarit Gold Inc. (TSX - VX: NYG), is pleased to report results from the recently acquired (Nayarit Gold press release dated December 13, 2005), 100% owned (no royalty) 207.5 hectare concession known as "Bonanza 1", located 2.5 km east north east of the Estrella underground workings on the Orion Mineralized Zone. The "Bonanza 1 Structure" is brecciated and silicified and has been sampled and mapped over a strike length of more then 790m. Nayarit Gold`s rapid assessment and initial exploration resulted in the collection of 234 samples from surface and underground from the "Bonanza 1 structure". High grade gold results of up to 35.30 gpt (grams per tonne) gold over 3.80m (1.03 opt (ounces per ton) over 12.47 feet) and high grade silver results of up to 733.00 gpt Ag over 1.90m (21.38 opt Ag over 6.23 feet) are encouraging first pass results, and work on the "Bonanza 1" concession will continue in the coming months. Although common in many high grade silver systems in Mexico, lead and zinc are of no economic significance on the "Bonanza 1 structure", and the system appears to be a gold-silver system.

At La Escondida, located on the footwall fault of a plus 25 meter wide brecciated and silicified structure.24 underground samples, consisting of 21 chip-channel samples and 3 grab samples. La Escondida is 250m east of the current western extent of mapping and sampling on the "Bonanza 1 structure". These samples are all consistently mineralized with gold and silver values, with no significant lead or zinc. All samples from La Escondida underground are reported as follows:

At La Cumbre, 10 underground chip channel samples were collected, located on an internal fault within a 40m wide continuation of the brecciated and silicified structure seen at La Escondida. La Cumbre is located approximated 75m east and 20m north of the La Escondida workings. These samples are all consistently mineralized with gold and silver values, with no significant lead or zinc, and all samples from La Cumbre underground are reported as follows:

At La Morena, approximately 200m due east of La Escondida, gold and silver is frequently anomalous, but does not occur in the same concentrations as at La Cumbre and La Escondida. La Morena is located on the hanging wall fault of the same brecciated and silicified structure hosting La Escondida and La Cumbre. Some of the better values from the 21 chip-channel samples taken underground at La Morena include 0.27 gpt Au and 8.62 gpt Ag over 5.00m (0.01 opt Au and 0.25 opt Ag over 16.40 feet); 2.36 gpt Ag over 1.90m (0.07 opt Ag over 6.23 feet); 1.34 gpt Ag over 4.00m (0.04 opt over 13.12 feet); and 1.63 gpt Ag over 1.60m (0.05 opt Ag over 5.25 feet). As at La Escondida and La Cumbre, lead and zinc concentrations are not significant, but do get as high as 0.14% lead and 0.08% zinc.

Along the 790m strike length that has been mapped on the Bonanza 1 structure, 179 surface chip-channel samples have been taken. Of these 171 samples have anomalous or significant mineralization (greater then 0.50 gpt Ag). Listed below are the 38 most significant of the 179 samples (those with 10 gpt Ag or more). Gold is generally anomalous in these samples, but a few show significant concentrations of gold, including 16.70 gpt Au and 733.00 gpt Ag over 1.90m (0.49 opt Au and 21.38 opt Ag over 6.23 feet) and 35.30 gpt Au and 20.20 gpt Ag over 3.80m (1.03 opt Au and 0.59 Ag over 12.47 feet). Lead and zinc levels are generally quite low, but do get as high as 0.52% lead and 0.06% zinc in surface samples.

"Our rapid evaluation, acquisition and exploration on the Bonanza 1 concession is the latest example of the value created through our approach to exploration in this new camp. We have leapt ahead in our understanding, through diligent compilation, analysis and on the ground exploration, continuing to enhance the project through integration of historical public and proprietary data along with our own field data. Interpretation using digital data from the Aster, Ikonos and Landsat 7 satellites is putting together the regional picture and will be key to our understand of the genesis of the mineralization and vectoring towards new targets", states Michael Dehn, Nayarit Gold President and CEO.

At Nayarit`s Orion Gold Project, underground mapping and sampling is well underway and the first batch of samples are currently being processed by ALS Chemex, now that the underground workings have been made safe for access (as discussed in Nayarit Gold press release dated January 19, 2006). Mapping on surface to test the southeast extension of the Orion Mineralized Zone is also underway.

Surface and underground plans showing sample locations, and workings, as well as tables with all sample data discussed in this release can be found at www.nayaritgold.com as well as at www.sedar.com. All assay samples were transported directly the ALS Chemex preparation laboratory in Guadalajara, Mexico and then forwarded to ALS Chemex in Vancouver, Canada, for gold determination by Fire Assay and multi-element analysis, as have all samples collected by Nayarit Gold to date on the property. Please refer to Nayarit Gold`s website for complete QA/QC procedures for samples. Nayarit`s work is completed under the supervision of Michael P. Gross, M.S., P.Geol., a Qualified Person as defined by NI 43-101 and who has reviewed this release.

Some of the better values from the 21 chip-channel samples taken underground at La Morena include 0.27 gpt Au and 8.62 gpt Ag over 5.00m (0.01 opt Au and 0.25 opt Ag over 16.40 feet); 2.36 gpt Ag over 1.90m ( 0.07 opt Ag over 6.23 feet); 1.34 gpt Ag over 4.00m (0.04 opt over 13.12 feet); and 1.63 gpt Ag over 1.60m (0.05 opt Ag over 5.25 feet).

“Our rapid evaluation, acquisition and exploration on the Bonanza 1 concession is the latest example of the value created through our approach to exploration in this new camp. We have leapt ahead in our understanding, through diligent compilation, analysis and on the ground exploration, continuing to enhance the project through integration of historical public and proprietary data along with our own field data. Interpretation using digital data from the Aster, Ikonos and Landsat 7 satellites is putting together the regional picture and will be key to our understand of the genesis of the mineralization and vectoring towards new targets”, states Michael Dehn, Nayarit Gold President and CEO.

At Nayarit’s Orion Gold Project, underground mapping and sampling is well underway and the first batch of samples are currently being processed by ALS Chemex, now that the underground workings have been made safe for access (as discussed in Nayarit Gold press release dated January 19, 2006).

Please refer to Nayarit Gold’s website for complete QA/QC procedures for samples. Nayarit’s work is completed under the supervision of Michael P. Press Release 02 – 2006

Nayarit Gold Inc. – Multiple gold bearing footwall zones identified; “OMZ FW” high grade gold confirmed on surface
      • High Grade (47.0 gpt) gold grab samples occur 750m into the footwall of the “OMZ”

      • Multiple footwall zones identified up to 400m into the footwall of the “OMZ”
      • “OMZ FW” zone confirmed with surface samples – strike length of 45m; several High Grade gold results
      • “OMZ” demonstrated strike length increased to 830m
      • “Consejo” surface sampling shows potential for “OMZ” hanging wall zones
      • Portal Excavation completed; rehabilitation commencing

Nayarit Gold Inc. (NYG.TSX-V) is pleased to report that as part of its regional surface sampling program and intensive digital data compilation program on its properties in Nayarit State, Mexico, multiple footwall (FW) zones to the Orion Man Zone (“OMZ”) have been identified up to 400m into the FW. Chip-channel and grab sampling completed by the “Consejo De Recursos Minerales” (Consejo), a part of the Mexican Geological Survey, Lac Minerals Ltd., and Nayarit Gold on parts of the Estrella, Orion and El Magnifico properties defined several zones of anomalous to significant mineralization. Surface grab samples collected by Nayarit Gold include 47.0 grams per tonne Au (gpt) (1.37 ounces per ton (opt)), 750m into the footwall of the “OMZ” and opens a large new area for prospecting and mapping to look for additional mineralized zones. Surface grab sample of 9.5 gpt Au (0.28 opt) which lies 400m into the footwall of the “OMZ”, is the most distant FW zone of mineralized outcrop identified to date. Integration of these results with Nayarit’s previously reported surface and drilling data, Lac Minerals Ltd. data, and the recently obtained Consejo historical data continues to confirm the significant width and continuity of the “OMZ” itself as well as the significant width and multiple mineralized zones in the 400m wide FW of the “OMZ”.

Assays of recent, previously unreleased surface samples collected by Nayarit Gold in late 2005 demonstrate high grade mineralization into the FW of the “OMZ”:

Sample Number Gold (g/t) Silver (g/t) Gold (opt) Silver (opt)

      91034 10.0 0.29
      91135 19.6 0.57
The high grade mineralization in the FW of the “OMZ” is also seen in the previous work by Lac Minerals Ltd., for example

Compilation of the recently obtained “Consejo” report has allowed Nayarit to complete interpretation of the priot surface and underground sampling. “Consejo” underground samples returned 20.8 gpt Au over 7.0m (0.61 opt Au over 23 feet) in the OMZ FW (released January 9, 2006) which is correlative with surface samples collected by Nayarit Gold, and Lac Minerals Ltd. The “Consejo” samples demonstrate the strike length of the OMZ FW as a minimum of 45m. For comparison, all surface samples taken from the “OMZ FW” are displayed on the following table.

Sample Number Width (m) Gold (g/t) Width (ft) Gold (opt) Company Zone
      91034 - 10.0 - 0.29 Lac Minerals OMZ FW
      49 2.60 8.2 8.5 0.24 "Consejo" OMZ FW

      263909 "P" 12.00 0.1 39.4 NSA Nayarit Gold OMZ FW

Additional sampling on the “OMZ FW” is being expedited in order to assess the potential strike extensions, controls, continuity and correlation to the northwest and southeast of known mineralization. Of note, Nayarit Gold samples “N” and “P” did not return significant assays values, and will be resampled in order to confirm the presence or absence of significant mineralization.

Michael Dehn states “The speed at which progress is being made on the property is demonstrating how aggressive exploration and compilation can lead to early results. Nayarit Gold is continuing to push exploration and accelerate its work and compilation programs beyond the industry norm. We have been able to demonstrate that our approach to exploration succeeds, and the investment we have made in the ground is already showing great returns!”

On the “OMZ”, the compilation of the “Consejo” surface samples with existing Nayarit Gold surface samples confirms the nature and grade of the “OMZ”. This comparison also supports Nayarit Gold’s confidence in the validity of the “Consejo” underground samples. Below are the most significant of the “Consejo” results from surface, which correlate well with the previously released Nayarit Gold samples (released October 17, 2005).

The excavation of slumped rock and clay from the portal entrance to the underground workings is now complete. Rehabilitation is currently being undertaken in order to gain safe access to the historic workings and allow sampling from underground.

“The progress that our Mexican Exploration team has made in recent weeks with the additional information coming from field work and compilation has allowed us to refocus our efforts. The “OMZ” is a key to aid in the understanding of the other projects of Nayarit Gold in Mexico, but not the only one. We continue to work on sampling and compiling the other occurrences on the 11,000 hectare properties of Nayarit Gold, and as our understanding of the geometries and physical properties of the mineralizing system increases, so does our confidence that we control a mineralized district and not just a single deposit” states Nayarit Gold VP Exploration Michael Gross.

Plans showing sample locations, mineralized zones, and tables with the “Consejo” surface data discussed in this release can be found at www.nayaritgold.com as well as at www.sedar.com. The Consejo report outline above is historical work on Nayarit’s Orion Gold Project Estrella Property. Nayarit Gold does believe the Consejo report is accurate, and feels the continuity of the underground mineralization is comparable to the results obtained by Nayarit Gold in drill core and surface sampling. Nayarit Gold is unaware of the existence of any additional underground workings on the Estrella property between the time of the Consejo report and Lac Minerals’ 1994 drill program, and will only be able to assess this once the rehabilitation of the underground workings is complete. A link to the Consejo report is available at http://www.nayaritgold.com/projects. Nayarit’s work is completed under the supervision of Michael P. Gross, M.S., P.Geol., a Qualified Person as defined by NI 43-101.

      Press Release 01 – 2006

Nayarit Gold Inc. – 20.8 gpt gold over 7.0 m in parallel zone at OMZ
      • “New” gold zone identified 30m into the footwall of the OMZ
      • 40 metre Strike length of weighted average 7.3 grams per tonne Au over 1.41m average width
      • OMZ up to 14.85m wide of 6.3 grams per tonne Au

      • Portal Excavation Initiated

Nayarit Gold Inc. (NYG.TSX-V) is pleased to report that as part of its intensive digital data compilation program on its properties in Nayarit State, Mexico, it has located results of historical underground sampling completed by the “Consejo De Recursos Minerales” (Consejo), a part of the Mexican Geological Survey on a portion of the Estrella property. High grade results were reported to include 19.4 grams per tonne Au (gpt) over 7.00 m width of mineralized zone (0.57 ounces per ton (opt) over 23.0 feet) in the Orion Main Zone (the “OMZ”). A second “new” high grade zone (OMZ FW) returns 20.8 gpt Au over 7.0 m (0.61 opt over 23.0 feet) which lies 30m into the footwall of the OMZ. Integration of these results with Nayarit’s previously reported surface and drilling data continues to confirm the significant width, continuity and multiple mineralized zones of the OMZ and the need for further work. The OMZ has a surface exposure strike length of approximately 800m.

“This confirmation of high grade gold mineralization and continuity identified in the Consejo report adds confidence in our ability to identify high potential projects at an early state of exploration. This report provides detailed information that we can use to complete a 3D model of mineralization on a portion on the OMZ that can help us identify any plunge of higher grade shoots of gold mineralization before we commence our next drill program on the property” states Michael Dehn, President and CEO of Nayarit Gold.

Meetings with Mexican government personnel in late November indicated there should be technical data available for the general area of Nayarit Gold’s Orion Gold Project properties near Acaponeta. Further investigtion lead to the identification of a report entitled “Estudio Geologico-Minero Del Fundo “La Estrella”, Ubicado En El Municipio De Acaponeta, Estado De Nayarit”, produced by the Mexican Geological Survey’s “Consejo De Recursos Minerales” division and dated May 1986. OMZ mineralization reported by the Consejo reveals:

The OMZ mineralization within the underground workings, as described in the Consejo report and plans, is hosted within silicified and sulphide rich porphyritic andesite and oxidized sulphide rich andesite breccia. Nayarit Gold is currently excavating the portal entrance and is preparing to rehabilitate the underground workings for sampling and mapping the existing underground workings. Coincidentally, Nayarit would survey the surface, underground and drill holes in order to provide an accurate three dimensional model of the mineralization. 200m of drifting and 219 assays were reported for the underground workings in the Consejo report. The main drift follows the known OMZ mineralization; however, the mineralization appears to veer into the wall of the main drift at the northwest end of the drift. The OMZ runs for a 40.0m (131.2 feet) strike length along the drift, and the average sampled with of the OMZ is 1.41m (4.6 feet) with a weighted average grade of 7.3 gpt (0.21 opt). The samples along the drift do not appear to sample the OMZ fully, and this is very apparent in the two composite samples that occur in the main cross cut where the OMZ runs a weighted average 15 gpt Au (0.44 opt Au) over 9.3m (30.5 feet) in the north composite, and a weighted average 11.8 gpt Au (0.35 opt Au) over 6.8m (22.3 feet) in the south composite. The mineralized OMZ FW that is located underground near the portal entrance, that carried 20.8 gpt Au (0.61 opt Au) over 7.0m (23.0 feet) is a priority follow up target as well, and Nayarit Gold is currently following up this zone on surface, looking for the strike extension of this structure. The general northwesterly strike of mineralization, dipping at 60 degrees to the northeast, appears to be consistent with surface sampling and drill core and reverse circulation drilling interpretation. Integration of the underground mapping with Nayarit Gold’s digital database of more recent work will help identify any rake to the mineralization, or of higher grade shoots within it, to guide future drilling for extensions to the mineralization, as well as exploring any mineralized zones parallel to the OMZ identified by Nayarit Gold’s ongoing work on the Estrella Property.
“I am excited at the prospects of following up the parallel zones to the OMZ, and this excitement only builds with the Consejo report. Following up a previously undrilled zone that runs 0.57 ounces per ton gold over 23 feet, that is parallel to significant mineralization we have already identified on the OMZ, is what every geologist wants to find and drill!” states Nayarit Gold VP Exploration Michael Gross.

Core drill holes OR05-4, 5, 6, 7, 8, 12, 13 and 14 by Nayarit Gold and reverse circulation holes E94-12, 13 and14 intersected mineralization 20m to 100m below the area of underground samples discussed in the Consejo report. Significant gold mineralization from holes in this area includes (*indicates previously released on July 21st, 2005 and ** indicates previously released on October 17th 2005):
Nayarit Hole # Width (m) Gold (gpt) Width (ft) Gold (opt)
      *OR05-05 1.50 25.9 4.9 0.76
      *OR05-06 1.50 10.1 4.9 0.29

      includes 9.15 4.7 30.0 0.14

Assays from surface chip-channel samples G thru W collected by Nayarit Gold also indicate significant continuity in the area described in the Consejo report. Taken on surface, approximately 30m elevation above the portal entrance to the underground workings, significant results from this sampling program include (previously released on July 11, 2005 with location plans released October 17, 2005):

Chip Sample # Width (m) Gold (gpt) Width (ft) Gold (opt)

Plans and sections showing the locations of Nayarit’s drill holes and the earlier Lac drill holes, as well as surface chip-channel sampling, can be found at www.nayaritgold.com as well as at www.sedar.com. The Consejo report outline above is historical work on Nayarit’s Orion Gold Project Estrella Property. The Consejo report was generated in 1986, approximately 20 years ago. Until Nayarit Gold is able to rehabilitate the underground workings Nayarit will not be able to provide independent confirmation of the Consejo report. Nayarit Gold does believe the Consejo report is accurate, and feels the continuity of the underground mineralization is comparable to the results obtained by Nayarit Gold in drill core and surface sampling. Nayarit Gold is also unaware of the extent of any additional underground workings on the Estrella property, if any, between the time of the Consejo report and Lac Minerals’ 1994 drill program, and will only be able to assess this once the rehabilitation of the underground workings is complete. A link to the Consejo report is available at http://www.nayaritgold.com/projects. Nayarit’s work is completed under the supervision of Michael P. Gross, M.S., P.Geol., a Qualified Person as defined by NI 43-101.
