Neuigkeiten
Bin vor 2 Wochen durch Zufall im West-Hawk-Thread auf JML Resourses aufmerksam geworden und hab mir mal paar Stücke ins Depot gelegt. Bei der Mini-Summe kann ja wohl nichts anbrennen
Hat sich aber nichts getan seither, bis heute, als für Frankfurt verdächtig hohe Umsätze zustande kamen.
Da JJJ - obwohl von der MK als Zwerg unter Explorern einzustufen - sogar bei den Stockdays präsent war, geh ich mal davon aus, dass da irgendeine "sensationelle" Studie in der Mache ist und das Papier über kurz oder lang in irgendeinem Musterdepot auftauchen wird.
Über die Firma selber gibt es zwar wenig Infos, die letzte News ist vom Februar:

JML Resources Ltd. (TSX VENTURE:JJJ) ("JML" or the "Company") is pleased to announce the completion of financings for the agreed merger transaction (the "Merger") between JML and Aquila Resources Corp. ("Aquila") to finance exploration work on the Back Forty project in Michigan. A second tranche of the brokered private placement of units of 2079537 Ontario Ltd. ("Cashco") and completion of a non-brokered tranche of Subscription Receipts of JML (which replaced part of the initial tranche of the Cashco private placement) bring the total combined amount of the financing to $2,365,900. The total consists of 1,230,000 Subscription Receipts of JML totalling $246,000 and 10,599,500 units of Cashco, totalling $2,119,900 (the "Cashco Financing"). Net funds from the financings are being held in trust pending completion of the Merger. The non-brokered offering of Subscription Receipts and the brokered Cashco Financing were priced at $0.20 per security. Each Subscription Receipt and Cashco Financing Unit will be converted into or exchanged for one post-consolidated common share of the merged company ("Newco") and one common share purchase warrant (a "Warrant") on completion of the Merger. Each Warrant will entitle the holder to purchase one additional post-consolidated common share of Newco at a price of $0.30 per share for a period of two years from the date of issuance, subject to the Newco`s right to accelerate the expiry date if the shares of Newco trade over $0.45 for more than 20 consecutive days. The Subscription Receipt financing provides RRSP eligible investments to subscribers who could not subscribe for the units in the Cashco Financing.
Jennings Capital Inc. acted as exclusive agent (the "Agent") for the Cashco Financing and received a cash commission equal to 8% of the gross subscription proceeds at closing of each tranche of the financing. The Agent was also issued a total of 1,059,950 agent compensation warrants (the "Broker Warrants") pursuant to the financings. Each Broker Warrant is exercisable at an exercise price of $0.30 per post-consolidated share for a period of 2 years from the date of issuance.
Finder`s fees equal to 8% of the gross proceeds of the Subscription Receipts financing are payable to Standard Securities Capital Corporation and Secutor Capital Management Corp. The finders were also issued a total of 123,000 compensation warrants of JML (the "Finder`s Warrants") pursuant to the Subscription Receipt offering. Each Finder`s Warrant is exercisable at an exercise price of $0.30 per post-consolidated share of JML for a period of 2 years from the date of issuance.
The financings are a part of the Merger in which JML will acquire 100% of the shares of Aquila in return for 49,066,466 common shares of JML. Subsequently, the shares of JML will be consolidated on a one for three basis, and Cashco will be merged with the consolidated entity on a one for one basis to form Newco. Newco will have the net cash proceeds of the financings and the Back Forty project as it focus with 38,568,286 shares outstanding on a Pro Forma basis after the Merger. Both the Subscription Receipts financing and the Cashco Financing are subject to the approval of the TSX Venture Exchange.
Status of the RTO
In accordance with TSXV policies and in conjunction with the TSXV, JML is finalizing documentation providing full disclosure of the transaction required to be filed according to Policy 5.2 of TSXV which includes the Management Information Circular. Completion of the transaction is subject to a number of conditions including but not limited to TSXV acceptance and approval by the shareholders of JML and Aquila. Mal gespannt wann auch hier der berühmte Funke überspringt. Ich denke mit einem angemessenem Einsatz kann man hier nicht viel falsch machen. MK derzeit bei 2,4 Mill.€, und dieses Back Forty Project scheint vieleicht doch einiges zu bieten.

Und Geld für das Projekt ist ja im Moment vorhanden, also droht da keine plötzliche negative Überraschung.
Und, was ganz wichtig ist: nur zum Urlaub machen waren die doch wohl nicht bei den Stockdays in Frankfurt Bin mir sicher dass da noch eine kleine "Empfehlung" rauskommen wird.

Dort fließen die alten Aktien von JML, die neu ausgegebenen Aktien für die Fusion mit Aquila und scheibar weitere Aktien ein, die zur Finanzierung des Deals ausgegenen werden... Aber rechnerisch kriege ich das irgendwie nicht hin.

ziemlich ruhige Woche letztens bei JML. Fakt ist aber, dass das Ask so langsam Richtung 0,20 CAD wandert (aktuell 0,185). Denke mal dass wir die 0,20 event. schon diese Woche testen, auch ohne News. Der charttechnische Aufwärtstrend ist einfach intakt.
Hab mir am WE mal in aller Ruhe die HP vom Back Forty Project durchgelesen und bin zuversichtlich, dass da einiges Positives dahintersteckt.

Hast Du Dir die Präsentation des Back-Forty-Projektes auf der HP von JML schon angeschaut. Was mir aufgefallen ist: auf Seite 22 wird ein Vergleich mit anderen Zink-Explorern angestellt.
Wenn ich mir nun mal Yukon Zinc. Corp. anschaue (aktuelle MK ca. 92 Mill.€) und dann die Reserven (Yukon 5,4 Mill. to gg. JML 3,1 Mill. to) bzw. den Prozentsatz (Yukon 13% Zn gg. JML 6,8% Zn) und das Ganze dann in etwa umrechne, dann käme man auf eine faire MK für JML von ca. 30 Mill.€. Also noch etwas Luft nach oben

Den MM in Frankfurt versteh ich auch nicht ganz. Kurs vorhin in CAN 0,27, also umgerechnet knapp 0,20, und der Arme taxt 0,10-0,18

Und da liest sich die Fusion ziemlich kompliziert. Auf jeden Fall werden JML und Aquila durch einen Reverse Takeover fusionieren und gleichzeitig wird JML noch die unten mit "Cashco" bezeichnete Finanzierung des Back Forty Projektes in die neue Firma - unten genannt "Newco" einbringen. So entsteht die neue "Aquila Resources Inc." mit insgesamt 38,568,286 Aktien nach der Fusion. So zumindest habe ich das verstanden...

Hallo Moritz, thx für Deine Ausführungen. Noch als kleine Ergänzung meine persönliche Meinung zu dem Deal. JJJ hat ja aktuell eine MK von ca. 27 Mill. x 0,24 = ca. 6 Mill. CAD (also ca. 4,5 Mill. € ). Davon ist mehr als die Hälfte durch Cash aus den letzten Finanzierungsdeals abgedeckt.
Für den Deal mit Aquila werden 49 Mill. Aktien neu ausgegeben; auf aktueller Basis sind dies ca. 8,5 Mill. €. Wenn ich nun aus der Studie von der JJJ-Homepage herausrechne, dass allein die nachgewiesenen Zink-Vorkommen des Back-Forty-Projektes eine MK von ca. 30-35 Mill. € rechtfertigen würden (abgesehen davon dass da auch noch Gold-Silber und andere Sachen schon nachgewiesen sind) dann bin ich davon überzeugt, dass wir mit den aktuellen 0,24 CAD noch nicht das Ende der Fahnenstange gesehen haben.
Man schaue sich nur das Volumen bzw. den Kursverlauf der letzten Tage an. Wie schon erwähnt, im Bid allein zwischen 0,20-0,23 CAD ständig um die 200-300k, während man im Ask bei 150-200k schon die 0,60 CAD sehen konnte.

noch eine Anmerkung: die Eigentümer von Aquila, welche die 49 Mill. Aktien erhalten (auf aktueller Basis 8,5 Mill. €) werden wohl bis zum 17.04., wenn der Deal abgesegnet wird, an einem möglichst hohen Kurs von JJJ interessiert sein (so scheint es mir jedenfalls im Moment) denn mit Sicherheit werden einige wohl nach Erhalt der Shares auch etwas Cash sehen wollen (durch VK der Aktien). Kann also durchaus sein, dass wir bis zum 17.04. Kurse von JJJ sehen werden, von welchen wir bisher gar nicht zu träumen wagen

Spread ist ziemlich heavy, weil die Aktie nicht sehr liquide ist. Findet ja kaum Handel statt. Und der Makler scheint mir im allgemeinen ein blutiger Anfänger zu sein.
bei 0,26 CAD taxte er 0,10-0,17. Mittlerweile sind wir nur noch bei 0,22-0,23 CAD und die Taxe steht 0,14-0,22. OK, man muss ja auch nicht alles verstehn

Bereits konnte eine Resourcenschätzung vorgenommen werden und die verschiedenen Bohrergebnisse lassen auf ein gutes weiteres Explorationspotential schliessen.
Zudem gibt es Hinweise, das innerhalb der Back Fourty Liegenschaft, welches sich an einem produktiven Greenstone-Gürtel befindet, später allenfalls ein zweites Projekt entwickelt werden kann.
Der Staat Michigan als Standort zeichnet sich zudem durch einen günstige Bergbau-Gesetzgebung aus. Firmen wie BHP Billiton, Bitterout Res. explorieren oder produzieren dort bereits.
Die Infrastruktur ist hervorragend, sodas das Projekt über einen asphaltierte Strasse zugänglich ist und in der Nähe sich einen Bahnlinie und mehrere Zinkschmelzereien befinden.

JML wird- einen positiven Verlauf der Fusion vorausgesetzt- in Kürze über ein sehr aussichtsreiches Zn, Cu, Au, Ag-VMS-Projekt, verfügen, welches sich bereits in einem fortgeschrittenen Explorationsstadium befindet. Bereits konnte eine Resourcenschätzung vorgenommen werden und die verschiedenen Bohrergebnisse lassen auf ein gutes weiteres Explorationspotential schliessen.
Zudem gibt es Hinweise, das innerhalb der Back Fourty Liegenschaft, welches sich an einem produktiven Greenstone-Gürtel befindet, später allenfalls ein zweites Projekt entwickelt werden kann.
Der Staat Michigan als Standort zeichnet sich zudem durch einen günstige Bergbau-Gesetzgebung aus. Firmen wie BHP Billiton, Bitterout Res. explorieren oder produzieren dort bereits.
Die Infrastruktur ist hervorragend, sodas das Projekt über einen asphaltierte Strasse zugänglich ist und in der Nähe sich einen Bahnlinie und mehrere Zinkschmelzereien befinden.

Details of the resolutions considered at the meeting are disclosed in the Management Information Circular dated March 22, 2006 filed in the JML Company site at www.sedar.com. In a related development JML is pleased to announce that it has received the required written approval of the Merger from the current shareholders of Aquila Resources Corp. who voted unanimously in favour of the Merger transaction.
Description of Transaction
Under the terms of the Merger, JML will acquire 100% of the shares of Aquila in return for issuing 49,066,466 common shares of JML. Subsequently, the shares of JML will be consolidated on the basis of one (1) post-consolidation common share for every three (3) pre-consolidation common shares. Previously announced financings by JML of Subscription Receipts and by 2079537 Ontario Ltd. - "Cashco" of Units have raised gross proceeds totalling $2,365,900. Cashco will be acquired by JML on a one for one post-consolidation basis to form Newco. Newco will have the net cash proceeds of the financings and the Back Forty project as its focus with 39,093,764 shares outstanding on a Pro Forma basis after the Merger.
Status of the RTO
The completion of the transaction is subject to final approval of the TSXV. At such time as the final approval is received the current shareholders of JML, Cashco and Aquila will exchange their shares for shares in Aquila Resources Inc. (Newco) A new stock trading symbol will be assigned to Aquila Resources Inc. prior to the commencement of trading.

Das dauert bestimmt eine Weile, bis alle "Investoren" begreifen, dass es JML nicht mehr gibt...)

TORONTO, ONTARIO--(CCNMatthews - May 1, 2006) - Aquila Resources Inc. -formerly "JML Resources Ltd."- (TSX VENTURE:AQA, formerly "JJJ"- is pleased to announce that the TSX Venture Exchange has accepted for filing the Company's Reverse Takeover (RTO) with Aquila Resources Corp., a private Canadian corporation (Aquila) and 2079537 Ontario Ltd., a private Ontario corporation (Cashco), all as principally described in the Information Circular dated March 22, 2006.
Reverse Takeover Completed
The Company has acquired all of the issued and outstanding securities of Aquila. Aquila controls the mineral and surface rights to the Back Forty Project located in Menominee County Michigan. The project is in an advanced stage of exploration targeting zinc and gold rich VMS mineralization. The Company has issued 49,066,466 common shares (pre-consolidation) and 520,000 warrants (post consolidation) of the Company to the former shareholders of Aquila in exchange for their respective securities.
Concurrently with the acquisition of Aquila the following transactions were completed:
1. the Company consolidated its existing share capital on a one (1) for three (3) basis, being one post-consolidation common share for every three pre-consolidation common shares;
2. the Company acquired all of the issued and outstanding securities of Cashco from the shareholders of Cashco on a one for one post-consolidation basis. 10,599,500 post-consolidation common shares in the capital of the Company and 10,599,500 post-consolidation warrants were issued to the shareholders of Cashco in exchange for their securities;
3. the company issued 1,230,000 post-consolidation common shares in the capital of the Company and 1,230,000 post-consolidation warrants to the holders of Subscription Receipts of the Company which were issued pursuant to a financing of the Company completed January 17, 2006;
4. the Company issued a total of 525,425 post-consolidation common shares and 358,758 post-consolidation warrants in the capital of the Company to Jennings Capital Inc. (the Agent) as partial payment of the Agent's fees in connection with the RTO.
18,411,541 post-consolidation common shares are subject to a three-year escrow term, with 10% releasing upon the completion of the RTO and 15% releasing every six months thereafter for three years.
Name Change and Symbol Change
Pursuant to a special resolution passed by the shareholders on April 16, 2006, the Company has changed its name and stock symbol. Effective at the opening May 2, 2006 the common shares of Aquila Resources Inc. will commence trading on the TSX Venture Exchange and the common shares of JML Resources will be delisted. In addition, effective at the opening May 2, 2006, the trading symbol for the Company will change from "JJJ" to "AQA". The Company is classified as a "Mineral Exploration and Development Company".
New Directors
Upon completion of the RTO, the Company's new directors will consist of Messrs. Alvin Jackson, Peter M. D. Bradshaw, William West and Thomas O. Quigley. Robin Dunbar, Kenneth Lapierre and Edward Munden will continue to serve on the board.
Post Reverse Takeover Capitalization
The Company has authorized capital of an unlimited number of common shares with no par value of which 39,093,897 post-consolidation common shares are currently issued and outstanding with an additional 16,850,247 post-consolidation common shares reserved for future issuance.
Back Forty VMS Project
