      LOS ANGELES, CALIFORNIA--(MARKET WIRE)--Apr 18, 2006 -- NS8 Corporation (OTC BB:NSEO.OB - News), a digital interactive media distribution company, announced today that its digital broadcast management service division, iWave Interactive Systems, has signed a non-exclusive multi-year distribution agreement with leading home entertainment programmer Image Entertainment Inc.'s digital rights subsidiary, Egami Media, Inc., allowing iWave to deliver exclusive program titles to North American consumers via its iWave PC on-demand service.

      Egami Media will provide NS8 with rights for a select list of premium titles from its library of approximately 1500 digital titles, including High Definition Documentaries, Feature Films, TV Series, Comedy Specials, Foreign and Special Interest categories. Programs will be made available in Video On-Demand (VOD), Subscription Video On-Demand (SVOD) and Download-to-Own (DTO) digital delivery options.

      iWave will offer these titles to its commercial customers in North America as a first phase rollout during second quarter 2006. Uniquely different from other Internet content providers, content libraries will be distributed using iWave's proprietary content management system which enables the automated delivery, publishing and release scheduling of content as it becomes available to the end consumer. As part of the end-to-end system, iWave will also provide real-time reporting of consumer usage and purchase data to Egami Media as part of the iWave service.

      Using standard high speed DSL, cable or wireless Internet environments, consumers will be able to view high quality streaming or download content such as high definition using iWave's proprietary consumer interface, which requires no installation to be accessed. Unlike other similar services available on the Internet, consumers will have the complete portability of accessing and transporting their content from any home or commercial PC device. The price of content on iWave Interactive will be competitive to other services on the Internet today.

      According to Rider Research, there were 49.2 million North American broadband subscribers at year-end 2005. It is expected that the number of worldwide consumer broadband subscribers is expected to grow from 184 million in 2005 to more than 360 million by 2010. According to Park Associates, US consumer spending for online entertainment, including on-demand gaming, music and video services, will grow by 260% within the next five years. Driven primarily by broadband usage and innovations in digital entertainment platforms, revenues are expected to grow from $2.4 billion to nearly $9.0 billion in 2010.

      Wenn sich die Technologie von NS8 Corp etabliert, werden wir hier bald ganz andere Kurse sehen. In 3 Jahren wird es kaum noch Videotheken geben, dafür nutzt man dann die Technologie von NS8 Corp.

      :cool: sei froh das hier ruhe ist dann gibt es wenigstens kein pushen und bashen hier ,das Teil wird über kurz oder lang extrem steigen kurse von 2-3 Dollar sind locker möglich ,warten wir mal ab aber die haben ja schon gute verträge abgeschlossen,, jetzt wird geld verdient und das ist wichtig und du hast recht das volumen steigt jetzt stetig an bei steigendem Kurs ..also liegen lassen kann bei dieser aktie ruck zuck gehen da sin ein paar 100 % schnell möglich :eek:schönen Tag noch :cool:

      Entry into a Material Definitive Agreement



      ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
      A. On June 1, 2006, NS8 Corporation (the "Company" ) executed a Service Distribution Agreement (the "Service Agreement" ) with ReelTime Infotainment Ltd. ("ReelTime" ), a company incorporated in the Commonwealth of Australia. Pursuant to the Service Agreement, the Company and ReelTime agreed to enter into a business arrangement whereby the Company will provide ReelTime with certain products and services (the "iWave PC Distribution Platform" ) for the purpose of facilitating ReelTime's business of providing digital content services to end-consumers by means of its internet personal computer (PC) video on demand (VOD) services ("ReelTime's Services" ).

      B. By a certain iWave IPTV VOD License Agreement (the "iWave IPTV Agreement" ) dated June 9, 2006, the Company and ReelTime agreed that the Company will provide ReelTime with certain products and services (the "iWave IPTV VOD Distribution Platform" ) for its internet protocol television (IPTV) video on demand (VOD) services. The Services Agreement and the iWave IPTV Agreement are hereinafter collectively referred to as the "Agreements".

      C. Pursuant to the terms of the Service Agreement the Company will license its iWave PC Distribution Platform products and services to ReelTime (the "PC License" ) for the term of the Agreement (the "PC License Term" ) being a term of three years from the date of commencement of services, June 1, 2006. The Service Agreement shall terminate on the third anniversary of the commencement date of services unless terminated earlier as provided in sections 7.1 and 7.2 the Service Agreement. The PC License granted to ReelTime includes the right for ReelTime to use the iWave PC Distribution Platform as part of ReelTime's Services as contemplated in the Services Agreement throughout the Commonwealth of Australia.

      D. Pursuant to the terms of the iWave IPTV Agreement the Company will license its iWave IPTV VOD Distribution Platform products and services to ReelTime (the "IPTV License" ) for the term of three years from the date of commencement of services, June 9, 2006 (the "IPTV License Term" ) and shall terminate on the third anniversary of the commencement date of services unless terminated earlier as provided in sections 7.1 and 7.2 of the iWave IPTV Agreement. The IPTV License granted to ReelTime to use the iWave IPTV VOD Distribution Platform includes the right for ReelTime to use the iWave IPTV VOD Distribution Platform as part of ReelTime's Services as contemplated in this Agreement throughout the Commonwealth of Australia.

      E. Under the Agreements annual license fees are payable by ReelTime to the Company yearly with additional blocks of licenses available if requested by ReelTime. Under each of the Agreements ReelTime will pay the Company an initial installation and training fee and maintenance fees for Years 2 and 3 of the respective License Terms. Maintenance will be provided by the Company for Year 1 of the respective License Terms without a fee as part of the initial product delivery. The Company and ReelTime will share the revenue derived from advertising on ReelTime's Services. Custom features and development will be provided by the Company to ReelTime at a specified hourly rate. The terms regarding the foregoing license fees, other fee payments due to the Company, and payment schedules are described in Schedule A of the Agreements.

      F. Under the Service Agreement the Company will provide ReelTime in the initial product release with VOD features for the iWave PC Distribution Platform, as follows: (i) General Systems Management; (ii) Content Formats Delivery and Usage; (iii) Digital Rights Management; (iv) Download Manager; (v) Asset and Catalog Management; (vi) Consumer User Interface (Consumer Program Guide);
      (vii) Access Management; (viii) User Management System; (ix) Ordering Management Systems; (x) Billing and Payment Methods; (xi) Advertising Management Applications; and (xii) Reporting Applications, all according to the specifications set out in Schedule B of the Agreement.

      G. Under the iWave IPTV Agreement the Company will provide ReelTime with the introduction of VOD for set top box platforms, which includes: (i) General Systems Management; (ii) Content Formats Delivery and Usage; (iii) Digital Rights Management; (iv) Download Manager; (v) Asset and Catalog Management;
      (vi) Consumer User Interface (Consumer Program Guide); (vii) Access Management; (viii) User Management System; (ix) Ordering Management Systems;
      (x) Billing and Payment Methods; (xi) Advertising Management Applications; and (xii) Reporting Applications, all according to the specifications set out in Schedule B of the Agreement.

By a certain iWave VOD Content Supply Agreement (the "Content Supply Agreement" ) dated June 8, 2006, the Company and ADC agreed that ADC has the option to license certain content (the "Content" ) from the Company for ADC's IPTV and internet PC VOD services according to the distribution rights of each individual program. The Services Agreement and the Content Supply Agreement are hereinafter collectively referred to as the "Agreements" .

      C. Pursuant to the terms of the Service Agreement the Company will make its products and services (the "iWave Services" ) available to ADC for the term of the Agreement (the "Services Term" ) being a term of three years from the date of commencement of services, June 8, 2006. The Service Agreement shall terminate on the third anniversary of the commencement date of services unless terminated earlier by the Company as provided in section 7.1 of the Service Agreement. The iWave Services granted to ADC includes the right for ADC to use the iWave PC Distribution Platform as part of ADC's Services as contemplated within the Services Agreement within the Kingdom of Thailand.

      D. Pursuant to the terms of the Content Supply Agreement the Company will license Content to ADC during the term of the Agreement, being three years from the date of commencement of services, June 8, 2006 (the "Term" ). The Term shall terminate on the third anniversary of the commencement date of services unless terminated earlier by the Company as provided in section 12 of the Content Supply Agreement. The license granted by the Company to ADC to use the Content includes the right for ADC to use the Company's iWave Interactive Distribution Platform as part of ADC's Services as contemplated within this Agreement within the Kingdom of Thailand.

      E. Under the Agreements fees are payable by ADC to the Company based on an agreed share of the net revenue collected by ADC from its customers. Under each of the Agreements ADC will pay to the Company on a monthly basis, a percentage share of all the charges actually collected from end-users after allocation of revenue share to payment of the appropriate content owner has been deducted. The Company and ADC will also share the revenue derived from advertising on ADC's Services. As part of the Service Agreement, ADC will be provided, at no extra cost, all planned feature enhancements for 2006. The terms regarding the foregoing license fees, other fee payments due to the Company and payment schedules are described in Schedule A of the Agreements executed by the parties.

      F. Under the Service Agreement the Company will provide ADC in the initial product release with internet PC VOD features for the iWave PC Distribution Platform, as follows: (i) General Systems Management; (ii) Content Formats Delivery and Usage; (iii) Digital Rights Management; (iv) Download Manager;
      (v) Asset and Catalog Management; (vi) Consumer User Interface (Consumer Program Guide); (vii) Access Management; (viii) User Management System;
      (ix) Ordering Management Systems; (x) Billing and Payment Methods; (xi) Advertising Management Applications; and (xii) Reporting Applications.

      G. Under the Content Supply Agreement the Company will license to ADC the Content provided to ADC in accordance Schedule B of the Agreement.

      There are no material relationships between the Company or its affiliates and ADC, other than in respect of the

Siemens Communications wird dafür ein landesweites Breitbandnetz auf Ethernet-Basis installieren und zudem seine Lösung SURPASS Home Entertainment liefern. In dieser Kombination kann ADC seinen Kunden in Zukunft nicht nur Fernsehen, sondern auch den schnellen Internetzugriff mitsamt einer Vielzahl von Online-Diensten bieten. Für die Vergebührung dieser Dienste wird das von der Programm- und Systementwicklung PSE entwickelte Produkt AccRE verwendet. Entscheidend für seinen Einsatz bei ADC sind der modulare Aufbau und die offenen Schnittstellen des Produkts.

      Siemens gewinnt Auftrag über Breitbandnetz auf Ethernet-Basis sowie Home Entertainment-Lösung in Thailand

      Der thailändische Netzbetreiber Advanced Datanetwork Communications (ADC) hat Siemens mit der Lieferung, Installation und Wartung eines landesweiten Breitbandnetzes auf Ethernet-Basis beauftragt. Siemens liefert zudem seine Lösung Surpass Home Entertainment. Die Kombination der beiden Lösungen ermöglicht es, den heimischen Fernseher zur Zentrale für Unterhaltung und Kommunikation auszubauen. ADC kann seinen Kunden so in Zukunft über das Breitbandnetz nicht nur Fernsehen bieten, sondern auch den schnellen Internetzugriff mitsamt einer Vielzahl von Online-Diensten. Der Auftrag sieht zunächst die Installation von 200.000 Breitbandanschlüssen vor.

      Die Order des thailändischen Betreibers zeigt, dass Siemens bei Breitbandnetzen auf Ethernet-Basis (Carrier Ethernet) eine führende Position einnimmt. Für die Auftragserteilung war allerdings nicht allein das Angebot der kostengünstigen Ethernet-Access-Technologie ausschlaggebend, sondern seine Kombination mit Surpass Home Entertainment. Denn damit kann ADC seinen Kunden auch den schnellen Internetzugang über das Fernsehgerät ermöglichen und zusätzliche Dienste wie TV-Empfang über das Internet oder Video on Demand offerieren. Diese Angebote sind in Thailand besonders interessant, weil nahezu 100 Prozent der dortigen Haushalte über einen Fernseher verfügen, aber ein deutlich geringerer Teil über PCs. In einem nächsten Schritt plant ADC, seine Serviceleistungen zudem auf Online Gaming sowie Sprach- und Videotelefonie auszuweiten.

      Über diese Einsatzmöglichkeiten hinaus können Netzbetreiber und Serviceprovider mit Surpass Home Entertainment weitere Unterhaltungsservices wie digitales Aufzeichnen von Sendungen sowie Kommunikationsfunktionen zum Austausch von Nachrichten via E-Mail oder SMS über das TV-Gerät in ihr Angebot aufnehmen.

      Januar 2004 befand sich NS8 noch in der Entwicklungsphase (da wird nur Geld ausgegeben und keines verdient) und der Kurs stand bei über 1,50 USD. Nachdem jetzt durch erste Verträge Geld verdient wird, würde mich eine Rückkehr zu den ersten Kursen nicht überraschen und weitere Steigerungen halte ich für durchaus möglich.

      Den bisherigen heutigen Anstieg um einen Cent halte ich noch nicht für nachhaltig da

      - momentan noch keine neuen Nachrichten vorliegen
      - das Handelsvolumen momentan sehr niedrig ist.

      Die Aktie hat sich zwischen 7,5 und 8,5 Cent eingependelt. Allerdings treiben schon sehr geringe Umsätze den Kurs nach oben. Bei positiven News und Steigerung des Handelsvolumens hat der Wert sehr viel Platz nach oben.

      ITEM 2. MANAGEMENT'S DISCUSSION AND ANALYSIS OF FINANCIAL CONDITION AND RESULTS OF OPERATIONS
      The following discussion and analysis should be read in conjunction with the Consolidated Financial Statements and related notes included elsewhere in this Report.

      This Management's Discussion and Analysis of Financial Condition and Results of Operations contain forward-looking statements. See "Special Note Regarding Forward Looking Statements" for a discussion of uncertainties, risks and assumptions associated with these statements.

      On May 12, 2006, the management of the Company concluded that certain of the Company's previously issued financial statements should be restated to amend and restate its quarterly reports for the quarters ended March 31, 2005, June 30, 2005 and September 30, 2005. The June 30, 2005 financial statements included in this quarterly report reflect all adjustments we have made to our unaudited consolidated financial statements for the period ended June 30, 2005 as a result of the restatements. Specifically, we strongly encourage you refer to Footnote No. 8, Restatement of Previously Issued Financial Statements in the accompanying consolidated financial statements. We have used the restated amounts in the comparative discussions for 2005 that follow.

      Business Overview

      We are a development stage company focused on the development and marketing of software-based technology products and related services for the delivery of on-demand media content over the internet. Our software solutions are designed for:

      o the distribution of on-demand content through the Internet to personal computing ("PC") devices, set-top boxes for television, and portable media devices, such as video-enabled cellular phones;

      o the placement of advertising in conjunction with the delivery of other digital media content;

      o the use of on-demand internet video for retail sales applications;

      o the distribution of digital movies or other content to theatres;

      o the distribution of digital music over the Internet; and o the electronic archiving and publishing of digital content for use in a secure environment.

      With the introduction of our iWave Interactive Services ("iWave"), a division of NS8 Corporation, we continue to see increased commercial interest and customer opportunities using our two distinct business models:

      (1) the commercial customer model, whereby we license iWave Interactive technology products and related services to telecommunication companies and provide them with the necessary technological tools and support so they can fully manage the iWave platform and expand their entertainment service offering through their established networks and customer base; and
      (2) direct-to-consumer partnerships, which are NS8-managed iWave Interactive deployments in which we partner with medium to large Internet Service Providers (ISPs) to expand their consumer service offerings and deploy our iWave Interactive system to the end customer.

      To complement our technology offerings, we continue to establish commercial relationships with content owners in order to obtain the rights to distribute their catalogues of content. This strategy facilitates the adoption of the iWave Interactive platform by offering our prospective customers the benefit of having immediate access to content for their licensed platforms. This provides our customers with an immediate turn-key solution that permits them to satisfy the demands of their customer base for new services while it also helps them avoid the lengthy approval process of independently securing the licenses to distribute content to their customers.

      Plan Of Operations



      The second quarter of 2006 has been very successful for our expanding commercial operations and industry acceptance of our technologies and our business models.

      In April 2006, we signed a non-exclusive multi-year distribution agreement with home entertainment programmer Image Entertainment Inc.'s subsidiary, Egami Media, Inc., allowing NS8's iWave Interactive to deliver exclusive program titles to North American consumers via iWave Interactive's PC on-demand services. Egami Media has agreed to provide NS8 with rights for a select list of premium titles from its library of approximately 1,500 digital titles, including high definition documentaries, feature films, TV series, comedy specials, foreign and special interest categories. We intend to make these programs available to consumers in Video-On-Demand (VOD), Subscription Video-On-Demand (SVOD) and Download-to-Own (DTO) digital delivery options.

      In June 2006, we entered into Licensing Agreements with ReelTime Infotainment Ltd. to provide IP Television and PC interactive on-demand systems for ReelTime's Australian market through our iWave Interactive system. In addition to receiving license fees for an initial 400,000 consumers for both IP Television and PC Interactive, iWave Interactive will share in the television and PC advertising revenues derived from the ReelTime service. ReelTime will use iWave Interactive as their store front interface and content management and distribution solution. The deployment of the PC platform is scheduled to be commercially released by ReelTime to the public throughout Australia by the end of the third quarter 2006. The IPTV deployment, which will allow ReelTime to provide on-demand services directly to the consumers' television through digital set top boxes, is scheduled to be commercially released in Australia by the beginning of September 2006.

      In June 2006, we also signed a multi-year agreement with Advanced Datanetwork Communications Co., Ltd. (ADC), one of Thailand's largest telecommunication carriers, to provide interactive and on-demand digital media services to PC and mobile devices using iWave Interactive system. This arrangement will enable ADC's Buddy Broadband to offer interactive digital media and entertainment services to broadband based individual and commercial customers throughout Thailand using PC, mobile telephone and Internet television services. ADC Buddy Broadband and iWave Interactive will share in revenues derived from monthly commercial access, content usage and national advertising fees. National advertising and overall consumer adoption programs will be driven by ADC's Buddy Broadband throughout Thailand while iWave Interactive will provide complete technological, interactive content and consumer services support. ADC Buddy Broadband will also provide a selection of premium North American, Hollywood and Thai content as part of this service and iWave Interactive will provide a complimentary library of North American and Asian based content that ranges from mobile games, ring-tones, karaoke, accessories, popular music concerts, television programming, movies, specialty sports, documentaries and high definition programming. Content offered in the ADC Buddy-iWave Interactive internet service will be competitively priced and will be available in current consumer models of rent-to-view, purchase-to-own and electronic sell-through of physical DVD's.

      In June 2006, we also signed a multi-year non-exclusive VOD content distribution agreement with ADC. The distribution agreement will enable iWave Interactive to distribute its library of films, music, concerts, documentaries, sports, high-definition and specialty programming over ADC's current IPTV services, Buddy Broadband.

      Since we entered into an agreement with True Digital Entertainment Company, a media subsidiary of True Corporation Plc., in March 2006, we continue to work closely with True to enhance the consumer capabilities of their online music service in Thailand. We are in the final stages of technical integration, and expect that their True Music service will be available during the third quarter 2006.

      We are continuing to plan the implementation of our upcoming pilot deployments in North America scheduled for the third quarter 2006. These are NS8-managed deployments, for which we are partnering with several medium-sized ISPs in different areas of the United States, in an effort to expand their consumer service offerings and deploy our iWave Interactive system thereby bringing the entertainment on-demand services direct to the end consumer.

      We have achieved our commercial and strategic goals for this second quarter. As of the end of the second quarter 2006, we established an iWave Interactive commercial presence within three continents, Asia, Australia and North America. Our highest priority continues to be the penetration of iWave Interactive systems in both the PC and non-PC markets.

      As we enter the third quarter of our 2006 fiscal year, we continue to implement our business plan with the enhanced confidence that our iWave Interactive product line has received acceptance in the market and that we are now in a position to positively leverage the current iWave Interactive product deployments. We anticipate that we will be able to continue to implement our business plans and take the appropriate action to promote the penetration of our designated market.

      Research and Development



      Over the past few months research and product development efforts were primarily directed at completing our iWave Interactive product line to provide the best integrated platform for the broadband distribution and commercialization of content using the most advanced and secure system. Our aim is to continue to deliver a user-friendly system to deploy and manage content at the lowest possible cost of ownership.

      We continue to invest in our research and development efforts for the following reasons:

      1. We continue to conduct analysis and consumer feedback tests of our underlying technologies and the iWave Interactive product line. As a result we have an ongoing improvement plan to expand the capabilities of our technologies and to enhance and streamline the distribution, management and consumer experience features producing an increased product quality.

      2. We have a research and development roadmap plan in place which we follow closely in order to maintain competitiveness over other similar products in the market. The overall streamlining of our iWave Interactive product line has enabled us to reduce our product versioning costs and these improvements will continue to give us the ability to rapidly adjust our products for changes in our competitive market place.

      During 2006, we plan to continue to invest in research and development relating to the consumer functionality, commercial security and economic business value of our iWave Interactive service platform. We also plan to invest in research and development activities in the areas of mobile media distribution, portable game and streamlining of our iWave Interactive for wireless delivery environments such as open WiFi, 3G and other non-residential public networks.

      RESULTS OF OPERATIONS

      Three Months Ending June 30, 2006 Compared to Three Months Ending June 30, 2005

      Research and development expenses were $61,340 and $214,862 respectively during the periods ending June 30, 2006 (the "Three-Month 2006 Period") and June 30, 2005 (the "Three-Month 2005 Period"). During the Three-Month 2005 and 2006 Period, we employed an average of 17 employees for research and development. Wages and benefits for research and development personnel during the Three-Month 2006 Period were $275,223 compared to $213,840 during the Three-Month 2005 Period. The majority of these funds were utilized for the compensation of our research and development personnel, and $3,222 of this amount was spent on equipment relating to research and development activities. In the past, the Company did not capitalize any research and development costs because they either did not meet SFAS No. 86 capitalization criteria or were immaterial. At the end of the fist quarter of 2006, the Company determined that our certain software applications have reached technological feasibility. As a result, the Company capitalized related software development costs totaling $217,112, resulting in decrease of Research and development costs to $61,340 reported on our consolidated statement of operations.

      General and administrative expenses for the Three-Month 2006 Period significantly decreased to $861,002 from $1,746,833 during the Three-Month 2005 Period. During the 2006 Period, we employed approximately 12 employees compared to 14 in the Three-Month 2005 Period. Wages and benefits for general and administrative personnel during the Three-Month 2006 Period were $486,978 compared to $324,180 during the 2005 Period. The difference in general and administrative expenses primarily results from compensation charges for stock grants issued to executive level employees. During the Three-Month 2006 Period, we expensed $53,793 in consulting fees compared to $776,364 during the Three-Month 2005 Period. In 2005, we retained the consulting services of Maximum Ventures and by virtue of their advisory agreement they received warrants to purchase our common stock. As a result of this warrants grant, we recorded approximately $776,364 in consulting fees in the 2005 Period. Our legal and accounting fees for the Three-Month 2006 Period were $158,143 compared to $112,217 in the 2005 period. Interest expense for the Three-Month 2006 period significantly increased to $590,100 from $151,439 during the 2005 Period. We obtained additional funding to finance operations through the issuance of promissory notes with detachable warrants and convertible debentures. In the Three-Month 2006 Period the change in fair value of derivative liability produced a loss of $1,093,015 compared to $437,315 in the Three-Month 2005 Period.

      As a result of the foregoing, we incurred a net loss of $2,606,207 or $0.02 per share during the Three-Month 2006 Period, as compared to a net loss of $2,275,008 or $0.02 per share during the Three-Month 2005 Period. We incurred a loss from operations of $922,342 during the Three-Month 2006 Period, as compared to a loss from operations of $1,684,607 during the Three-Month 2005 Period.

      Research and development expenses were $251,255 and $471,753 respectively, during the six-month periods ending June 30, 2006 (the "Six-Month 2006 Period") and June 30, 2005 (the "Six-Month 2005 Period"). During the Six-Month 2006 Period, we employed an average of 17 employees for research and development, compared to an average of 18 employees in the Six-Month 2005 Period. Wages and benefits for research and development personnel during the Six-Month 2006 Period were $241,603 compared to $461,540 during the Six-Month 2005 Period. The total research and development expense incurred during the Six-Month 2006 Period represents approximately 0.13% of our total operating expenses for the Six-Month 2006 Period. The majority of these funds were utilized for the compensation of our research and development personnel. During the Six-Month 2006 Period $9,652 of the total research and development expense was spent on equipment relating to research and development activities as compared to $10,214 during the Six-Month 2005 Period. General and administrative expenses for the Six-Month 2006 Period decreased to $1,746,833 from $5,278,834 during the Six-Month 2005 Period. During the Six-Month 2006 Period we employed an average of 12 employees compared to an average of 14 employees in the Six-Month 2005 Period. Wages and benefits for general and administrative personnel during the Six-Month 2006 Period were $780,144 compared to $3,014,513 during the Six-Month 2005 Period. The difference in general and administrative wages primarily results from compensation charges of $2,211,667 for stock grants and stock options issued to executive level employees. During the Six-Month 2006 Period we expensed $92,321 in consulting fees compared to $3,698,422 during the Six-Month 2005 Period. The difference in consulting fees primarily relates to compensation charges of $1,706,899 for certain consultants who were granted options or warrants as specified in their consulting agreements. In addition, we retained the services of several consultants who provided advisory services to the board of directors and marketing department. Our legal and accounting fees for the Six-Month 2006 Period were $210,723 compared to $208,757 in the Six-Month 2005 Period.

      Interest expense for the Six-Month 2006 Period increased to $958,159 from $318,617 during the Six-Month 2005 Period. We have incurred other expense for the Six-Month 2006 Period of $1,058 as compared to $203,646 during the Six-Month 2005 Period. As a result of the foregoing, we have incurred a net loss of $6,115,360 or $0.06 per share, during the Six-Month 2006 Period, as compared to a net loss of $4,101,345, or $0.04 per share, during the Six-Month 2005 Period. We have incurred a loss from operations of $1,998,088 during the Six-Month 2006 Period, as compared to a loss from operations of $5,750,588 during the Six-Month 2005 Period.

      Liquidity and Capital Resources



      We had negative working capital of approximately $6.9 million at June 30, 2006 and $5.6 million at June 30, 2005. The decrease in working capital is mainly attributable to an increase in accounts payable, accrued expenses, and amounts due to shareholders.

      At June 30, 2006, our principal source of liquidity was our combined cash and cash equivalents, proceeds from notes payable and cash received from customers as per our software licensing agreements. Our future liquidity requirements will depend on a number of factors including, among other things, the timing and level of our sales volumes, the cost of our development and production efforts, the success and market acceptance of our future product releases, and other related items.

      Historically, we have financed our research and development activities with proceeds from the sale of our common stock, the issuance of convertible debentures, and loans from our officers and shareholders. The following table sets forth the amount of funds received from these sources for the periods indicated:

      We have suffered recurring losses from operations and have an accumulated deficit from inception on June 18, 1999 to June 30, 2006 of $24,270,878. Primarily as a result of our recurring losses and our lack of liquidity, we include an explanatory paragraph describing the uncertainty as to our ability to continue as a going concern.

      Additional cash is necessary to sustain operations both in the short and long term. Additional funding is expected to be obtained as new financial vehicles are currently being pursued. Our ability to meet operating and capital requirements depends upon financing from external sources and ability to generate revenues from the core technologies we have developed. We cannot assure that we will obtain sufficient financing to develop profitable operations prior to utilizing all of the current resources available to us. In addition, if we do not receive the funds in a timely manner or on a scale to meet our needs, we may be forced to curtail our operations.

      We have recently signed contracts and agreements with several different companies that we anticipate will result in future revenues to the company and produce cash flows to help us meet and sustain our operations.

      Financing Activities



      We have raised approximately $663,500, from the issuance of promissory notes during the period from April 1, 2006 through June 30, 2006 and an additional $225,500 during the period from July 1, 2006 through August 21, 2006. Furthermore, we anticipate receiving $300,000 to be paid by Cornell Capital Partners on the fifth business day after the effective date of the registration statement. We believe that these funds, together with our cash on hand at June 30, 2006, will be sufficient to fund our operations through September 30, 2006.

      Our current capital resources will enable us to fund a minimum period of planned operations of less than 12 months, and we project that the estimated amount of additional funds that we will need to obtain to enable us to operate for a minimum period of 12 months from June 30, 2006 is $4,200,000. Our ability to meet operating and capital requirements depends upon financing from external sources, and our ability to generate revenues from the core technologies we have developed. The Company cannot guarantee that we will obtain sufficient financing or develop profitable operations prior to utilizing all of the current financial resources available to us.

      We continue to seek additional debt financing to replace existing debt financing. In addition, we may also attract new equity financing to fund our operations and possibly retire some of our existing debt. We hope that during the next 12 months we will be able to expand our commercial activities and generate revenues from the commercial exploitation of our technological products and services. However, as of June 30, 2006 we have not had any revenue from our products and services.

      The rate at which we used funds in our operations as of June 30, 2006, is $235,000 per month. We expect the rate at which the Company uses funds on a monthly basis to increase due to certain recent and planned operational changes in 2006. We estimate that our monthly operating costs during 2006, which includes our 2006 expansion of commercial activities, will increase to approximately $350,000 per month.

      If we are unable to generate revenue during 2006 and we do not receive sufficient capital from financing activities in a timely manner, we may be forced to significantly curtail, or cease, our operations. We plan to request the extension of the maturity of our outstanding debt; however, should we fail, we may be subject to an involuntary bankruptcy or our creditors may foreclose on their security interest in our company. If the creditors foreclose upon their security interest in our company, our common shares would likely lose all of their value.

      In addition, our management's strategy to address the $6.8 million of current liabilities reflected on the balance sheet of June 30, 2006, during the next 12 months includes, among other things, our plan to actively seek alternative and more favorable short and long-term debt and equity financing and to effect a re-organization of our current financing arrangements and liabilities. This will enable us to accelerate our current commercial opportunities which will potentially result in revenues, which in turn will enable us to service our current liabilities in a planned manner over a 36 months period. We plan to use all of our revenues for the purpose of expanding our business operations. Any new financing will be used in part to reduce our current liabilities. A significant portion of any future financing will also be used to accelerate our commercial opportunities and make necessary asset purchases in order to meet our expected development and operational capacity.

      The imbalance between our current assets and current liabilities has had and will have the following effect on our operations: it has made it difficult for us to obtain more beneficial financing arrangements with financing partners who are more supportive of our corporate and commercial goals and efforts; it has made it more difficult for us to attract and encourage equity investment; and it has made it more difficult and even interfered to some extent with our ability to enter into operational commercial agreements with certain major companies and to attract commercial partners and customers due to our financial position and their perception of our ability to perform due to our financial circumstances.

      NEW YORK (Dow Jones)--Die Walt Disney Co hat in der ersten Woche nach ihrem angekündigten Film-Download-Abkommen mit der Apple Computer Inc rund 125.000 Filme über diesen Vertriebsweg verkauft. Disney-CEO Robert Iger sagte am Dienstagabend auf einer Branchenkonferenz, mit dem Download habe Disney bereits 1 Mio USD umgesetzt und er sei "sehr zuversichtlich", dass Disney mit einem kleinen Zusatzaufwand für das Marketing im Gesamtjahr einen Umsatz von 50 Mio USD aus dem digitalen Filmgeschäft erreichen könne.

      "Die Kunden signalisieren uns eindeutig, dass sie die Inhalte in unterschiedlicher Form angeboten bekommen wollen", so Iger weiter. Apple hatte vergangene Woche offiziell ihre erwartete Filmplattform gestartet, die sie ihrem Online-Musikshop iTunes hinzufügte. Zu Beginn bietet iTunes 75 Filme des Disney-Konglomerats an, zu welchem die Filmproduktionshäuser Pixar, Miramax und Touchstone gehören.

      NS8 Corp zieht jetzt an der OTC sehr schön an, Tageshoch bisher bei 11 Cent, jetzt pendelt sich der Kurs bei steigendem Volumen bei 10 Cent ein. :)

      Kleine Aufstellung, wie sich der Kurs und das Volumen die letzten Tage entwickelt hat. Der Kurs dümpelte bei 6 bis 7 US-CENT und ist jetzt auf einen Schlag auf 10 CENT gestiegen. Das Volumen ist ebenfalls stark angestiegen. Bedingt durch den Feiertag am 09.10. war das Volumen an diesem Tag sehr gering, aber der Vortageskurs wurde trotzdem gehalten.

      iWave and ReelTime.tv Provide First On-Demand Movie Service to Yahoo!7 of Australia

      NS8 Corporation's ("NS8") (OTCBB:NSEO) entertainment network division, iWave Interactive Systems ("iWave") provides its iWave PC-TV interactive technology to the first exclusive television and movie broadband download service in Australia. As previously announced on June 5, 2006, iWave entered into a multi-year Licensing Agreement with Australian stock exchange listed ReelTime Media Ltd (ASX:RMA). ("ReelTime.tv") to provide PC interactive on demand systems for the Australian market.

      On August 9, 2006, ReelTime.tv announced an exclusive television and broadband download service with Yahoo!7 of Australia. iWave will provide the core consumer interface, essential back end content and report management system that will enable both ReelTime.tv and Yahoo!7 to efficiently manage their content offerings to Yahoo!7 consumers. In addition, both ReelTime and Yahoo!7 will greatly benefit from real-time reporting for each transaction providing each service with accurate individual consumer data on a moment to moment basis.

      According to the ReelTime press release on August 9, 2007, Ian Smith, CEO at Yahoo!7, purports that the new agreement will benefit from increased broadband penetration, rich media consumption and further strengthens Yahoo!7's existing entertainment offering. ReelTime has over 1,500 hours of feature length movie and television content from major studios that will compliment Yahoo!7's existing 9,200 videos. Yahoo!7 currently streams 3.2 million videos each month comprising of Music, News, Movies and television for Australian audiences and advertisers.

      John Karantzis, Managing Director of ReelTime.tv said, "This deal is a landmark development for ReelTime.tv and we are excited to be bringing broadband TV to Australia with Yahoo!7. ReelTime.tv can now mass market our service to the 5.6 million consumers who use the Yahoo!7 website every month."

      Carl Segal, Executive Vice President of NS8, the parent company of iWave, said "We are very excited about being the premiere consumer delivery and management technology to Yahoo!7 via ReelTime.       The Yahoo!7 movie service is scheduled to launch before the end of this year.       ITEM 2. MANAGEMENT'S DISCUSSION AND ANALYSIS OR PLAN OF OPERATIONS

      BUSINESS OVERVIEW

      We are a multimedia technology company based in Seattle, Washington, USA, with offices in Los Angeles, California and research and development facilities in Vancouver, British Columbia, Canada. We specialize in the development of software technology in the areas of smart encryption, content licensing, Internet publishing and royalty distribution management, including interactive consumer experience viewing systems for Internet content on-demand applications for personal computers ("PC"), Internet Protocol television ("IPTV"), mobile phones and other portable media consumer devices. Our products are built around highly flexible and scalable software designed to ensure end-to-end distribution and revenue management of films, music, games and advertising ("Digital Media") from creation to consumer delivery.

      All of our software architecture surrounding media distribution, revenue tracking, advertising auditing, publishing and security management are patent-pending technologies. Our software enhances security during the distribution of Digital Media over the Internet and during consumer use. In addition, our software simplifies the business and distribution functions of Digital Media to provide our commercial customers with increased delivery efficiency while reducing their distribution costs through normal high-speed networks. In addition, we enable our commercial customers with the ability to create a single branded service while offering multiple consumer options for viewing Digital Media through various Internet accessible devices using one software system. This enhances the overall consumer loyalty of our commercial customers by having one service that provides both portable as well as home entertainment services to their consumers regardless of location as long as those consumers have access to the Internet.

      We combined our software technologies into one comprehensive solution called iWave(TM) Interactive Systems ("iWave"). iWave is a product that combines our proprietary software technologies to be used by telecommunication companies and Internet service providers that are expanding their service offerings to include Digital Media in order to attract or retain consumers. In addition, iWave also offers a unique solution to producers and distributors of Digital Media to enable these business sectors to effectively audit, track and manage their content licenses and advertising placements that are deployed throughout multiple business networks.

      How We Generate Revenue

      Currently, we derive the majority of our revenue from fees we receive through the licensing of our iWave platform. Our second largest source of revenue is related to parallel development work performed to: (a) satisfy custom software development requests from our clients to add or enhance specific functions to our core product for their consumers' needs; (b) integrate third party functionality or services with iWave such as payment and data base systems; and
      (c) support other business applications or functionality requirements for our clients that might be necessary to fulfill certain industry-related regulations or accepted protocols in territories in which they are marketing.

      When each of our commercial customers begins their consumer deployment, our two anticipated primary sources of income will be derived from revenue sharing attributed to the sale of content and advertising. We receive a percent of revenues generated by every rental or purchase of Digital Media and a percent of price rate for impressions on advertising that appear on their licensed system ("Usage Revenues"). Each of these Usage Revenues is paid on a real-time basis with respect to content transactions and on a quarterly basis for advertising usage.

      Commercialization

      We are currently completing installations of our iWave system for our commercial customers. Our primary customers are Reeltime Media Ltd ("Reeltime") of Australia and True Corporation ("True") of Thailand. Both companies currently occupy the majority of our development resources on a full time basis. We are in the process of completing essential integration items for Reeltime's movie service that uses our iWave system. Each of these integration items for Reeltime is a custom development charge and we are paid for this work in addition to current license fee agreements that Reeltime has entered into with our Company. It is expected that the Reeltime integration will be completed in November of 2006.
      With respect to True, we are also performing essential development requirements for their enhanced music service that is scheduled to be delivered in November of 2006. We are completing their True music player that will act as the key music management system for their consumers, much like iTunes. In addition, we are looking to expand this license and development arrangement as they plan to expand our service throughout South East Asia and China in the early part of 2007. The True music player will adopt various portable devices that play MP3 music so that True consumers will have a choice of various devices to use with their True music service. This adoption will enable a wider opportunity to capture different consumers with varied devices.

      Once we complete these development contracts, we expect to start realizing Usage Revenues shortly after the services are fully launched. Although our customers have allocated significant marketing dollars for these particular services, we anticipate that a moderate adoption of these services and corresponding moderate Usage Revenues will be realized from these services during the first six months of their post-commercial deployment. Based on historical information on revenues and consumer adoption rates provided by our customers, we expect that within a one year period a significant adoption of these services will take place within those countries and a measure of consistent Usage Revenues will be achieved.

      During this quarter, we also continued further development and expansion of our content initiatives and we completed our proto-type movie services for our United States deployment. A few essential factors in business development will be required to be completed in order to launch our US services. One of these factors will be to achieve acceptable commercial terms with our US customers after beta testing and another will be the successful completion of the acquisition of certain territorial rights with respect to certain movies and games that we intend to launch into the United States.

      PLAN OF OPERATIONS

      A significant portion of our human resources have been allocated toward program developers in order to maintain our current delivery schedules with our customers. A recent decline in employment rates along with heightened start-up competition within the Province of British Columbia have made it difficult for our research and development office to hire sufficiently skilled personnel to fulfill certain development resource positions within our planned time frame. However, we continue to hire personnel on a continuous basis and have started employment searches in Los Angeles for persons having the required qualifications. To support our current commercial activities we will require the hiring of five additional development personnel and three business personnel in Los Angeles by the end of 2006.

      During this quarter, we have had personnel turn over in key programming departments but those positions have since been filled. However, such personnel turn over has slowed down our development progress and the new personnel hired to replace those vacancies have caused a minor delay due to training and overall orientation requirements. We have refined our hiring process and employment incentive packages to maintain our competitive presence in the current US and Canadian job markets. In addition, we continue to refine and improve on our project development and scheduling processes to ensure that we continue to practice disciplined methods of documentation for and communication with our customers. During this quarter, we have refined essential project tracking practices that enable us to accurately track cost breakdowns against our development time on a component by component basis. This greatly reduces our cost variances that are normally attributed to project scheduling of multiple parallel development projects.

      We continue to refine costs in key areas in order to maximize capital application toward development and commercial activities. Standard internal process controls have been implemented for the purposes of ensuring quality control within the process of product development for our customers. In addition, we have started to renew certain development equipment to provide better computers, monitors and equipment to our developers in order to improve their productivity and general working environment.

      Research and Development

      As we believe the telecom, cable, and Internet industry is still in its early stages of digital transformation, we continue to design and deliver systems and services that will drive the next generation of visual communication and

      interactive networks over the Internet. Within this environment, we have been adapting our roadmap and technology portfolio around enhanced designs to provide our customers the flexibility to manage the types of on-demand services required to best meet the public demand for converged broadband services. These actions allow us to more effectively focus our efforts and resources on pursuing high-growth areas where we have strong technology to market our customers' advantages.

      Our Research & Development (R&D) plans are focused on expanding our current portfolio of leading edge proprietary technologies to capture emerging opportunities within the digital media distribution markets. R&D continues in the areas of Internet television, community network architecture, peer-to-peer (P2P) network management and security, and dynamic advertising generation using digital media as a core distributor to consumers. We have recently completed significant breakthroughs with respect to providing a foundation for menus to be broadcasted over set-top boxes. This particular research function will enable service providers to adopt multiple digital set-top boxes with very little integration and adoption costs. Currently, we are working on other proprietary areas within the IPTV sectors that will allow for P2P and community network functions to occur at the home entertainment level. Certain key areas of our research and development focus are also to moderate or reduce the otherwise significant costs attributed to IPTV, mobile, wireless home or other Digital Media strategies.

      We anticipate that research and development expenses will continue to increase in fourth quarter 2006 compared to 2005 because we expect to hire additional research personnel with higher compensation in order to build additional infrastructure required to support the development of new products and architectures.

      RESULTS OF OPERATIONS

      Three Months Ended September 30, 2006 Compared to Three Months Ended September 30, 2005 (Restated)

      Revenue. Total revenue for the three-month periods ended September 30, 2006 (the "Three-Month 2006 Period") and September 30, 2005 (the "Three-Month 2005 Period") was $132,549 and $0, respectively. Our revenue growth was due to the new contracts to develop and license software that the Company entered into during the year and consisted of license and professional fees pursuant to our software service agreements.

      Research and Development. Research and development expenses were $62,931 and $203,269, respectively, during the three-month periods ended September 30, 2006 and September 30, 2005. During the Three-Month 2006 Period, the Company employed an average of 19 employees for research and development, compared to an average of 15 employees in the Three-Month 2005 Period. Wages and benefits for research and development personnel during the Three-Month 2006 Period were $262,212 compared to $203,269 during the Three-Month 2005 Period. In the past, the Company did not capitalize any research and development costs because they either did not meet SFAS No. 86 capitalization criteria or were immaterial. At the end of the first quarter of 2006, the Company determined that certain of its software applications have reached technological feasibility. As a result, the Company capitalized related software development costs and wages totaling $68,992 during the Three-Month 2006 Period, resulting in the decrease of research and development expenses to $62,931 reported on its interim condensed consolidated statement of operations.

      General and Administrative Expenses. General and administrative expenses for the Three-Month 2006 Period increased to $885,862 from $715,660 during the Three-Month 2005 Period. During the Three-Month 2006 Period, the Company employed approximately 10 employees compared to 13 in the Three-Month 2005 Period. Wages and benefits for sales and marketing personnel during the Three-Month 2006 Period were $84,667 compared to $84,117 during the Three-Month 2005 Period. Wages and benefits for general and administrative personnel during the Three-Month 2006 Period were $407,817 compared to $206,429 during the Three-Month 2005 Period. The difference in general and administrative expenses primarily results from compensation charges for stock grants and stock options issued to executive level employees.

      o Consulting Expenses. During the Three-Month 2006 Period, the Company expensed $10,667 in consulting fees compared to $103,291 during the Three-Month 2005 Period. The difference in consulting fees primarily relates to higher compensation charges for consultants who provided advisory services to the board of directors and marketing department and were granted options and warrants as specified in their consulting agreements during the Three-Month 2005 Period.

      o Legal and Accounting Expenses. Legal and accounting fees for the Three-Month 2006 Period were $31,320 compared to $124,078 in the Three-Month 2005 Period. In Three-Month 2005 Period, we incurred significant legal fees in relation to patent filings and corporate financing compared to Three-Month 2006 Period.

      o Financing Expenses. As a result of corporate financing obtained, we incurred finance charges on debt and equity arrangements of $167,752 compared to $14,250 for the Three-Month 2005 Period. This was related to the issuance of the 2005 Convertible Debentures.

      o Interest Expense. Interest expense for the Three-Month 2006 period significantly increased to $692,353 from $171,316 during the 2005 Period. The increase was primarily due to additional funding to finance operations through the issuance of promissory notes and convertible debentures that resulted in higher interest expense compared to Three-Month 2005 period. In addition, the Company was required to file a registration statement, which was filed on December 14, 2005, and have such registration statement declared effective by no later than February 27, 2006 (the "Effectiveness Deadline"). As of the date of this filing the registration statement was not declared effective and the Company accrued penalties of approximately $275,000.

      o Share-Based Compensation Expense. As a result of implementing SFAS
      123(R)as of January 1, 2006, the Company recorded share-based compensation expense, a non-cash item, of $205,464 during the Three-Month 2006 period compared to $0 in Three-Month 2005 period.

      o Change in Fair Value of Derivative Liability. The change in the value of our embedded derivative instruments, a non-cash item, related to our debt features and warrants issued in 2004 and 2005 produced a gain of $2,463,443 for the Three-Month 2006 Period compared to a gain of $289,290 in the Three-Month 2005 Period, respectively, and is primarily due to the fluctuation of our stock price.

      As a result of the foregoing, the Company incurred a net income of $870,743 or $0.01 per share during the Three-Month 2006 Period, as compared to a net loss of $802,489 or $(0.01) per share during the Three-Month 2005 Period. The Company incurred a loss from operations of $896,776 during the Three-Month 2006 Period, as compared to a loss from operations of $918,929 during the Three-Month 2005 Period.

      Nine Months Ended September 30, 2006 Compared to Nine Months Ended September 30, 2005 (Restated)

      Revenue. Total revenue for the nine-month periods ended September 30, 2006 (the "Nine-Month 2006 Period") and September 30, 2005 (the "Nine-Month 2005 Period") was $132,549 and $0, respectively. Our revenue growth was due to the new contracts to develop and license software that the company entered into during the year and consisted of license and professional fees as per our software service agreements.

      Research and Development. Research and development expenses were $314,186 and $675,022 respectively, during the Nine-Month 2006 Period and Nine-Month 2005 Period. During the Nine-Month 2006 Period, the Company employed an average of 20 employees for research and development, compared to an average of 18 employees in the Nine-Month 2005 Period. Wages and benefits for research and development personnel during the Nine-Month 2006 Period were $513,467 compared to $675,022 during the Nine-Month 2005 Period. The majority of these funds were utilized for the compensation of its research and development personnel. During the Nine-Month 2006 Period $9,562 of the total research and development expense was spent on equipment relating to research and development activities as compared to $10,950 during the Nine-Month 2005 Period.

      General and Administrative Expenses. General and administrative expenses for the Nine-Month 2006 Period decreased to $2,632,695 from $5,994,494 during the Nine-Month 2005 Period. During the Nine-Month 2006 Period the Company employed an average of 11 employees compared to an average of 14 employees in the Nine-Month 2005 Period. Wages and benefits for sales and marketing personnel during the Nine-Month 2006 Period were $225,304 compared to $280,573 during the Nine-Month 2005 Period. Wages and benefits for general and administrative personnel during the Nine-Month 2006 Period were $1,297,316 compared to $761,886 during the Nine-Month 2005 Period.

      o Consulting Expenses. During the Nine-Month 2006 Period the Company expensed $102,988 in consulting fees compared to $3,801,713 during the Nine-Month 2005 Period. The difference in consulting fees primarily relates to compensation charges of $3,074,494 for certain consultants who were granted options or warrants as specified in their consulting agreements. In addition, the Company retained the services of several consultants who provided advisory services to the board of directors and marketing department.

      o Legal and Accounting Expenses. Legal and accounting fees for the Nine-Month 2006 Period were $242,043 compared to $332,835 in the Nine-Month 2005 Period. In the Nine-Month 2005 Period, we incurred significant legal fees in relation to patent filings and corporate financing compared to the Nine-Month 2006 Period.

      o Financing Expenses. As a result of corporate financing obtained, we incurred finance charges on debt and equity arrangements of $167,752 in the Nine-Month 2006 Period compared to $56,750 for the Nine-Month 2005 Period.

      o Interest Expense. Interest expense for the Nine-Month 2006 Period significantly increased to $1,650,512 from $489,933 during the Nine-Month 2005 Period. The increase was primarily due to additional funding to finance operations through the issuance of promissory notes and convertible debentures that resulted in higher interest cost compared to the Nine-Month 2005 period. In addition, the Company was required to file a registration statement, which was filed on December 14, 2005, and have such registration statement declared effective by no later than February 27, 2006 (the "Effectiveness Deadline"). As of the date of this filing the registration statement has not been declared effective and the Company accrued penalties of approximately $618,000.

      o Share-Based Compensation Expense. As a result of implementing SFAS 123(R) as of January 1, 2006, the Company recorded share-based compensation expense, a non-cash item, of $644,798 during the Nine-Month 2006 Period compared to $0 in the Nine-Month 2005 Period.

      o Change in Fair Value of Derivative Liability. The change in the value of our embedded derivative instruments, a non-cash item, related to our debt features and warrants issued in 2004 and 2005 produced a loss of $694,612 for the Nine-Month 2006 Period compared to a gain of $2,460,795 in the Nine-Month 2005 Period, respectively, and is primarily due to the fluctuation of our stock price.

      As a result of the foregoing, the Company has incurred a net loss of $5,244,617 or $0.05 per share, during the Nine-Month 2006 Period, as compared to a net loss of $4,903,834, or $0.05 per share, during the Nine-Month 2005 Period. The Company has incurred a loss from operations of $2,894,864 during the Nine-Month 2006 Period, as compared to a loss from operations of $6,669,516 during the Nine-Month 2005 Period.

      Liquidity and Capital Resources

      The Company had negative working capital of approximately $7.1 million at September 30, 2006 and $4.4 million at December 31, 2005. The decrease in working capital is mainly attributable to an increase in accounts payable, accrued expenses, deferred revenue, amounts due to shareholders and directors, and a portion of the convertible debentures becoming current.

      At September 30, 2006, the Company's principal source of liquidity was its combined cash and cash equivalents, proceeds from notes payable, convertible debentures and cash received from customers pursuant to its software licensing agreements and custom development services that it provides as part of those license agreements. Its future liquidity requirements will depend on a number of factors including, among other things, the timing and level of its sales volumes, the cost of its development and production efforts, the success and market acceptance of its future product releases, and other related items. Historically, the Company has financed its operations with proceeds from the sale of its common stock, the issuance of convertible debentures, and loans from its officers, directors and shareholders.

      The Company has suffered recurring losses from operations and has an accumulated deficit from inception on June 18, 1999 to September 30, 2006 of $23,400,135. Primarily the Company's recurring losses and lack of liquidity, raise substantial doubt about the ability to continue as a going concern.

      Additional cash is necessary to sustain operations both in the short and long term. Additional funding is expected to be obtained from new sources as other financing institutions are currently being pursued. The Company's ability to meet operating and capital requirements depends upon its ability to generate on-going revenues from the licensing and installation of its iWave technology and financing from external sources.

      The Company cannot assure that it will obtain sufficient revenue growth or achieve financing to develop profitable operations prior to utilizing all of its current capital resources. In addition, if the Company does not generate its revenues or receive its funds in a timely manner on a scale to meet its needs, it may be forced to curtail or downsize its operations which may effect its existing commercial activities.

      The Company has recently signed contracts and agreements with several different companies and anticipates expanding its commercial activities and generating revenues from the commercialization of its iWave products and services that will result in future recurring revenues to the Company and produce cash flows to meet and sustain its operations. As the Company continues to add more commercial customers under the same business model, the Company expects that its cash flow will meet its monthly working capital requirements by the end of 2007.

      As of September 30, 2006 the Company generated $132,549 in revenue from its iWave products and services. Although we expect revenues to increase during the remainder of the 2006 year, we cannot be certain that this will occur within that period.

      Financing Activities

      The Company has raised approximately $287,000, from the issuance of promissory notes during the period from October 1, 2006 through November 20, 2006.       NS8 Achieves Reorganization Milestones
      8/27/2007

      LOS ANGELES, CALIFORNIA, Aug 27, 2007 (MARKET WIRE via COMTEX News Network) --
      NS8 Corporation (NS8) (OTCBB: NSEO) has successfully completed certain of its reorganization milestones as outlined in its previous filing dated May 23, 2007. Milestones regarding the achievement of certain revenues for its First and Second Quarter and completing the increase of its authorized capital were accomplished.

      Further to its reorganization, NS8 announced on July 13, 2007 its plan to reduce its long term debts held by certain management, directors and shareholders by offering, for a limited period of time, a conversion of those debts to equity of the Company. The Company has received positive responses from such plan and a majority of conversions have been received. The Company anticipates that it will achieve all or a majority of its intended $3,627,249 debt reduction before the end of its second quarter, which marks a reduction of fifty percent of its long term debts.

      In addition, as announced on July 30, 2007, the Company's custom music management software was launched by its customer in Thailand in the later part of June 2007, giving NS8 reoccurring revenue streams from revenue sharing of music downloads as the service continues to be promoted this year. Further, NS8 continues to engage in new international and domestic prospects for its iWave interactive PC video on demand product in order to accomplish its remaining revenue milestones and achieve positive cash flow before the end of its 2007 year.
