Palmer Electric and NETCENTS Contractor Multimax Inc. Land Base-Wide Engagement Highlighting MDI Unified Security Solution

SAN ANTONIO--(BUSINESS WIRE)--May 22, 2006--MDI Security Systems, a division of MDI Inc. (NASDAQ:MDII - News) and leading manufacturer of unified security software, hardware and video solutions, today announced that it has been chosen by Palmer Electric Inc. and Electro-Tech Inc. of Colorado Springs, CO., to provide Unified Security Solutions to the United States Air Force Academy (USAFA). Palmer Electric (Palmer) contracts under Multimax Inc., one of four small business contractors under the NETCENTS Network-Centric Information Technology contract.

NETCENTS is a five-year, $9 billion, IDIQ (Indefinite-Delivery, Indefinite-Quantity) contract that was established to provide Air Force (at all levels), Department of Defense and other Federal Agencies a primary source of networking equipment/product supply and systems engineering, installation, integration, operations, and maintenance services.

With a reputation for providing superior quality and customer service and an extensive history in providing solutions to military customers, Palmer has been working with the Air Force in the Colorado Springs area for over 20 years. In addition to the USAFA, their customers include Fort Carson Army Base, Cheyenne Mountain Air Station (NORAD), Schriever Air Force Base and Buckley Air Force Base.

"We researched many manufacturers for this project and SAFEnet, built on ONE Unified Technology from MDI, offered exactly what the Air Force Academy needed -- a state-of-the-art open architecture command and control solution that's easy to customize and that offers unlimited expansion capabilities," said Cary Gulsby, Access Control Project Manager at Palmer Electric. "There is no stronger unified access control product available on the planet that can match MDI's seamless integration capabilities. MDI's sales support function, superior engineering team and third-generation unified technology gave us the competitive edge to win the Air Force Academy contract. Our plan is to exclusively utilize SAFEnet and the entire MDI product line as the foundation for all of our existing and future integrated system projects," he added.

The MDI solution will replace the USAFA's current integrated system, which was not capable of meeting their current and future comprehensive security requirements.

"We are proud to be partnering with the Palmer team on this state-of-the-art integrated systems project," stated J. Collier Sparks, President and CEO of MDI Inc. "Critical security projects such as these truly validate MDI's ONE Unified Technology platform as the most innovative third-generation solution in the industry with the highest investment value to the customer. Coupled with Palmer's customer-centric business model, the USAFA could not have chosen a better team to replace their second-generation solution," he added.

MDI Reports 38% Year-Over-Year Quarterly Revenue Growth; Quarterly Revenue in Line with Forecast as Losses Narrow and Gross Profit Margins Improve to 54%

SAN ANTONIO--(BUSINESS WIRE)--May 15, 2006--MDI, Inc. (NASDAQ: MDII) today announced financial results for the first quarter ended March 31, 2006.

Total revenue for the first quarter 2006 was $2.7 million, representing a 38 percent increase over the first quarter of 2005.

Gross profit margins during the three months ended March 31, 2006 increased to 54% compared to 51% for the first quarter of 2005.

Operating expenses excluding non cash stock compensation expenses have remained the same year-over-year and the Company believes that by maintaining their current cost control structure, they will continue to operate at the current levels for the remainder of 2006.

For the three months ended March 31, 2006, net losses decreased by 20 percent from the first quarter 2005.

      J. Collier Sparks, President and CEO stated, "MDI continues to build on its fundamental strengths while diversifying its lines of business to meet the emerging needs of the security market. Our continuing revenue growth and operating loss reductions are strong evidence that this strategy is working. Our formidable presence in the enterprise IP security market, our ability to rapidly expand into additional markets, and our diversified product offerings assisted us in delivering improved results. We look forward to increasing this momentum throughout the remainder of the year as MDI's diversified sales divisions and new business units, which were not a revenue factor in 2005, begin to generate additional revenue to our sales from continuing business."

Mr. Sparks continued, "Two of the new business units that did not exist in 2005 are the recently acquired Advanced Security Link (ASL) and our Global Systems Solutions (GSS) professional services division. We are very pleased with the contributions that ASL has made to our growth. ASL revenue for the first quarter was on target and its revenue for April exceeded target. ASL's unified video security offering is now part of the award winning ONE(TM) platform, which positions us to deliver the most sophisticated open architecture command and control operating system in the security industry.

Global Systems Solutions was founded to capitalize on the growing number of large global security projects in both the government and commercial sector and we are expecting great things from them in 2006. GSS provides engineering, program and project management services. In recent months, they have partnered with some of the nation's most prominent government and defense contractors to deliver these services to a worldwide integrated security market. GSS provides incredible product sales opportunities to MDI and opens the door to a new channel of government and corporate funded homeland security business in countries across the globe, including the Middle East and Pacific Rim. These projects are modeling their security programs after those implemented by the United States, giving MDI a competitive advantage based on its historical successes as a pioneer in the high security US government market.

To date, we have identified numerous GSS projects representing approximately $400 million in total revenue opportunities for the Company ranging in value from $2.7 million to $67 million each. We are actively working on several deals that could bring over $15 million in revenue to the Company and we are hopeful that we will close at least $6.6 million of that this year."

      Innovation Award

MDI Security Systems, the leading global supplier of networked security solutions, today announced that its ONE(TM) Open Architecture Command and Control Operating System, known as C2OS(TM), has won two prestigious industry awards.

      Security Industry Association (SIA) Award

The Security Industry Association announced on Thursday, April 6, 2006, that MDI has been awarded the 2006 Product Achievement Award for Integrated Systems for its C2OS(TM) Open Architecture Command and Control Operating System.

SIA's panel of judges chose the ONE Platform over all other entrants in the 2006 New Products Showcase program held in Las Vegas at ISC West.

      Asset Protection Executive (APE) Award

In a separate announcement, Asset Protection Executive Magazine awarded MDI the 2006 Technology Innovation Award for its ONE Platform in combination with the ASL technology.

APE found the ASL products to be "cost efficient and extremely flexible" and they were proven to be able to "fill or support the most demanding security requirements without replacing hardware or software."

      MDI at the ISC West

With Tom Ridge as keynote speaker, covering critical homeland security strategies, this was the largest ISC West event in history, serving over 23,000 attending security professionals and over 1,000 exhibiting companies.

Please follow the Business Wire link below for a multi-media presentation of MDI at the ISC West Show.

      ONE Platform

"ONE is the premier technology in the security industry and these prestigious awards validate that," stated Tim Rohrbach, Vice President and Chief Information Officer for MDI. "We spoke to many of the Judges, publishers and industry professionals after the awards ceremony at ISC West, and we learned that MDI is the only company with the technology to unify security point products, systems and subsystems into a common management platform. Plus, we have over 25 years of experience in providing network security systems for the Federal Government. Because of what we have learned over those 25 years, we have become the standard for high-security enterprise solutions. When you combine our years of experience with the Federal Government and our open architecture command and control operating system, the ONE C2OS has no competitors."

Future Demand for Integrated Security Systems

Over the past several years, there has been a major shift towards integrating access control systems into the total security system. In its 2005 Security Industry Annual Report, Lehman Brothers states that 50 percent of all access control systems are being installed as part of an integrated security system, which are projected to provide 10 percent industry growth levels for the next two years, fueled by upgrades and homeland security initiatives. Lehman Brothers believes the integrated access control market will be $5 billion in 2006.

"MDI is far ahead of our competition in providing a unified security platform," said Jim Lowder, Vice President of Engineering and Chief Technology Officer. "Today's acceptance of IP and network-based solutions in our industry has finally brought the market and the capabilities of MDI together. ONE is the perfect solution for organizations that are looking to get the most from their integration projects. Last week, experts from the industry's most highly respected organization (SIA) officially recognized that. I am certain that the thousands of security professionals that visited our booth during ISC West for a demonstration recognized that as well," he added.
