Human BioSystems Granted Their 4th U.S. Patent: #7,083,910 "Preservation of Blood Platelets with Citrate"

PALO ALTO, CALIFORNIA -- (MARKET WIRE) -- 08/02/06 -- Human BioSystems ("HBS" or "Company")(OTCBB: HBSC) announced today that it has been granted its fourth patent from the U.S. Patent Office. Patent #7,083,910, "Preservation of Blood Platelets with Citrate" should greatly contribute in the area of blood platelet preservation for the two major recipient groups of blood platelets: cancer patients that have undergone chemotherapy and/or radiation treatment (about 70%), and trauma patients suffering from extensive bleeding.

Blood platelets are the congealing component in blood. Before platelets can be released to the medical community for use by human patients, they must undergo a number of tests to assure their purity, which can take one to two days to complete. Then they must be transported to the medical facilities which can add more time. Thus, there is a very limited shelf-life left for these platelets once they are available for use.

Current technology provides for the storage of platelets at room temperature. This allows any bacteria present to grow rapidly over the current 5-day allowable shelf period. The extra storage days possible with the use of the HBS cold storage method should provide a dramatic decrease in the cost and the waste that is inherent in the current blood platelet storage methodology. It should also help keep blood platelets more bacteria free.

Am 18.05. hat Human BioSystems die Mitteilung erhalten, dass das 4. Patent "Preservation of Blood Platelets with Citrate" wahrscheinlich genehmigt werden wird.

Gestern nachbörslich kam nun die Vollzugsmeldung - also genau dasselbe Patent ist nun definitiv genehmigt!

Currently, platelet storage time is limited to a maximum of five days as mandated by the FDA, due to the fact that they are stored at room temperature which creates potential bacterial problems and a loss of platelet functionality. Thousands of units of platelets are discarded at the end of the five-day period, creating shortages and wasting extraordinary amounts of money. Platelets older than three days may contain a high bacterial count causing a risk of infection to patients. In Japan government regulation requires that all platelets be used within three days.

The FDA presently requires blood banks to perform tests to screen for viral diseases, which can take up two days. Bacterial testing has not been mandated due to the short period of time remaining for infusion. However, this situation may change because of consumer and government pressure to have blood centers and hospitals do testing for bacteria. If the FDA rules in favor of this, it will undoubtedly cause many problems for the blood industry.

Our goal is to change this storage dilemma. Our unique patent- pending technology could double the storage period for platelets, may dramatically reduce bacterial growth and may maintain better platelet functionality. Upon further development and regulatory approvals, we expect to be a major supplier to the industry with our improved platelet storage technology.

FOR ORGANS: BREAKTHROUGH PRESERVATION TECHNOLOGY
The Human BioSystems’ organ preservation system is a technologically advanced storage program. It promises to dramatically extend the shelf life of hearts, kidneys, lungs, livers and pancreas.

Today, the most effective treatment for patients with organ failure is to surgically replace the failed organ with a viable donated organ from a living person or from a cadaver donor. Organ transplantation can save or improve the quality of life for many patients.

The increasing number of organ transplantations requires more available organs and increases the need to store donor organs. Testing and transportation time to get the best possible match of organ to the recipient increase the need for improved organ storage methods compared to current technology.

With currently applied preservation methods, the human heart and lungs are viable for only four to six hours, whereas the liver and the pancreas can be preserved marginally longer. Kidneys are stored on ice for up to 24-36 hours. ich finde ehrlich gesagt die Aktie klasse, ist schon toll was das Unternehmen so macht das sollte der Menschheit schon was Wert sein denke ich mal

naja wenn ich mir den 3-jahres Chart ankucke scheint es ja
nicht so gut gelaufen zu sein.Jedes noch so kleine Unternehmen
wird aber an der Börse mal hochgezockt.Besonders an der otcbb
sind die Sprünge enorm.Laut Chartbild kann die Wende geschafft sein.Wenn jetzt mal ne ordentliche News kommt springen die Daydrader auch auf und wir sind ruckzuck über 0,30cent.
Ich bin deshalb jetzt schon rein,denn wenn der zug einmal
anrollt kommt man nicht mehr so billig rein.

Die Zahlen werden definitiv nicht gut sein. Die Firma hat momentan nur Kosten. Deswegen haben die die Ethanol Firma gekauft. HBSC ist trotzdem viel mehr Wert als der aktuelle Preis. Man muss nur noch etwas Phantasie haben. Wenn alles weiterhin klappt, ist diese Firma ein Paar Euro wert pro Aktie anstatt die momentane 16 cent.

bei MIV (REG S 911285 und Commons 798618) gibt es ebenfalls REG S die im oktober2006 getauscht werden sollen.

die REG S (911285) stehen bei 0.31 und die commons bei 0.48 (798618). sind 50% die man machen könnte...

vielleicht will sich wer das anschauen und kommentieren.

Wir führen Sie durch diesen Prozeß, aber der Hauptstern dieses Spiels ist niemand aber Sie. Zuerst müssen Sie Ihre Heimarbeit tun. Ein guter Ausgangspunkt kann ein Auge an nach den Stunden und Zukunft halten sollen handelnd, um einleitende Tips über die Richtung des Marktes zu erhalten. In Verbindung stehende Nachrichten, Fälle, Wirtschaftszahlen und die WeltBörsen sollten vor Bestätigung Lernabschnitt auch nah gefolgt werden.

Es gibt drei mögliche Fälle von der Bestätigung. Sie müssen dem folgenden Lernabschnitt sorgfältig folgen, um zu überprüfen, ob diese Fälle halten oder nicht:

Im zweiten Fall öffnet sich der Markt auf einem Niveau, Gleichgestelltes oder unterhalb zum Ende des Vorabends. Der Festpunkt ist der scharfkalkulierter Preis. Wenn Preise während des Lernabschnittes über dem Festpunkt bleiben, gehen Sie lang. Jeder weiße Kerzenhalter, der über dem Ende des Vorabends schließt, ist das zweite Bestätigung Kriterium.

Wenn jedoch in beiden Fällen, die Preise während des Lernabschnittes anfangen, unterhalb des Festpunktes zu kommen, vermeiden Sie zu kaufen. Verkaufen Sie, wenn Sie einer definitiven Tendenz in den Preisen glauben, den Tag unterhalb des Festpunktes zu schließen.

Der dritte Fall von der Bestätigung wird selten beobachtet. Der Markt öffnet sich mit einem grossen abwärts Abstand, der einen sehr bearish Tag vorschlägt, und der Tag beendet mit einem langen weißen Kerzenhalter, aber noch schließen unterhalb des Ende des Vorabends. Jedoch erfüllt solch ein Tag das dritte Bestätigung Kriterium und in diesem Fall wird der scharfkalkulierte Preis des langen weißen Kerzenhalters als der Preis der Bestätigung genommen.

Wenn eins der drei Bestätigung Kriterien nicht erfüllt wird oder falls von einem schwarzen Kerzenhalter oder von einem doji am Bestätigung Tag, des BUY-IF Alarm Remains gültig, gleichwohl ohne Bestätigung und drei Bestätigung die Kriterien dann am folgenden Tag gesucht werden. Die einzige Ausnahme ist der lange schwarze Kerzenhalter. Jeder lange schwarze Kerzenhalter, der einem BUY-IF Alarm folgt, bildet es Lücke und Invaliden (des Signals).

Overview/ Recent Developments

We are a developmental stage company, and have a very limited operating history and no revenue to date. Our prospects must be considered in light of the risks and uncertainties encountered by companies in an early stage of development involving new technologies and overcoming regulatory approval process requirements before any revenue is possible.

We have experienced operating losses since our inception. These losses have resulted from the significant costs incurred in the development of our technology and the establishment of our research and development facility. Expenditures will increase in all areas in order to execute our business plan, particularly in research and development and in gaining regulatory approval to market our products in the U.S. and abroad.

In 2003, we experienced increased difficulty in raising outside capital. This difficulty continued through the third quarter of 2004. Although research continued in organ preservation, we were forced to suspend animal testing and human infusion testing due to a lack of funds. Our employees accepted a temporary 50% salary reduction in January 2004 to conserve cash, and several of these employees as well as certain of our outside consultants elected to convert a portion of their deferred compensation to shares of our common stock. On September 1, 2004, we restored all employee salaries; however, employees received 50% of their salaries in cash and 50% in shares of restricted common stock. In February 2005, we changed our overall compensation structure to reduce recurring payroll expenses in non- critical areas in order to provide additional resources for the completion of our scientific objectives. In March 2005, we made the decision to pay all of the accrued salaries in cash rather than in stock.

During the six-month period ended June 30, 2005, we pursued various alternatives for raising capital, including but not limited to transactions with Dutchess, Langley Park Investments PLC ("Langley") and Pini Ben David ("Ben David"). In October 2005, we entered into an agreement with Ascendiant Capital to assist in the capital-raising process, and in March 2006, we entered into a loan transaction and received approximately $71,000 in net proceeds (see "Liquidity and Capital Resources" below for detailed descriptions of all of the above transactions). We also have continued to raise funds through the sales of our capital stock through Regulation S under the Securities Act. To date, we continue to seek alternative sources for capital.

We are a developer of preservation platforms for organs and other biomaterial, specializing in the development of proprietary above zero (HBS-AZ) and below zero (HBS-BZ) organ and tissue preservation systems and methods for preserving blood platelets. We have been successful in preserving blood platelets for ten days under refrigeration while maintaining cell structure and morphology, which has never been done before to our knowledge. We had originally contemplated submitting our findings to the FDA in the first half of 2003; however, additional pre-human infusion tests were necessary to address certain aspects of our findings. We believe that we have now satisfactorily resolved all issues raised by these findings, and resumed our human infusion tests in February 2005.
Some delays have been encountered at the centers conducting the tests, as it was necessary for the centers to repeat our in-vitro (test tube) tests prior to proceeding to the actual human tests. Internal approval for starting the pre-human infusion studies had to be secured, which is now in place. Additional approvals to commence human in-vivo studies will be required from the internal review board and possibly from the FDA. We currently anticipate that these tests will be completed within the next four to six months.

We began research on kidney preservation in 2002 and have developed what we believe is a solution that will operate under refrigerated temperature storage conditions for over 30 hours, allowing organ preservation beyond current capabilities. In our most recent preliminary tests, we successfully transplanted a rat kidney that had been frozen at a temperature of negative 80 degrees Centigrade for three months in our patent-pending HBS sub-zero solution. In October 2005, we successfully completed the initial phase of our survival studies of animals with transplanted kidneys preserved using our HBS organ preservation solution, and were able to preserve a rat's kidney at negative 196 degrees Centigrade for up to five days while maintaining some functionality when transplanted back into the animal, evidenced by urine production. We previously preserved rats' kidneys at negative 20 and negative 80 degrees Centigrade. We will continue to conduct further tests on a larger animal sample size, and conduct histology and survival studies as well. Our goal is to extend the kidney shelf life for up to 72 to 96 hours at above freezing temperatures and even longer at sub-zero temperatures. We believe that the extended shelf life should enable better matching of donor kidneys to recipients. In the third quarter of 2005, we also purchased a special freezer and equipment used to conduct experiments at negative 80 degrees Centigrade. Recent survival studies on animals with kidneys stored in the HBS-AZ solution for 14 days showed an 83% survival rate versus 42% and 10% for the respective UW and HTK (European) solutions. Further recent studies using biochemical test markers have corroborated these studies. In 2006, we intend to seek opportunities to license our organ preservation technology for storage at temperatures above zero degrees Centigrade.

In July 2002, we received our first patent on our technology and methodology for preserving blood platelets. We filed a provisional patent application in June 2001 to cover our improved platelet preservation methods. In August 2003, we filed another patent application covering improved platelet preservation methods. In May 2006, the U.S. Patent Office approved our patent for organ preservation entitled "Methods and Solutions for Storing Donor Organs" U.S. Patent No. 7,029,839, and in August 2006 we were granted our fourth patent, U.S. Patent No. 7,083,910, entitled "Preservation of Blood Platelets with Citrate." We will seek strategic alliances with companies that have the capability to provide technical and clinical expertise as well as financial and marketing expertise to leverage our current expertise in these areas.

In addition to our attempts to raise outside capital, we have pursued opportunities to acquire existing products and businesses that currently produce, or have the potential to produce, revenue. In July 2006, we signed a letter of intent to acquire options to purchase two parcels of real estate, upon which we intend to develop two ethanol production facilities, from EXL III Group Corporation ("EXL II"), an equity partner in ethanol plant ventures. The LOI provides that we will acquire the options from EXL III for restricted common stock. We will also enter into a consulting services agreement with Claude Luster III, the principal of EXL III, who will serve as the president of a new subsidiary to be formed to develop the ethanol business. The purpose of the acquisition is to generate revenues on a predictable timetable while our blood platelet preservation technology is awaiting human infusion tests. Consummation of the acquisition and the consulting agreement is dependent upon a number of conditions precedent, including but not limited to acquiring the required financing, due diligence and negotiation of definitive agreements.

Results of Operations

THREE MONTHS ENDED JUNE 30, 2006 COMPARED WITH THREE MONTHS ENDED JUNE 30, 2005

Revenues. We did not generate any revenue in either of the three-month periods ended June 30, 2006 or 2005, and we have not generated revenues since our inception in February 1998, as our focus to date has been on the research and development of products. We are a development stage company in the ninth year of research and development activities, and do not anticipate receiving revenue until we complete product development and clinical testing.

General and Administrative Expenses. Total general and administrative expenses in the three months ended June 30, 2006 were $635,500, a decrease from $1,605,900 for the three months ended June 30, 2005. The decrease was due primarily to a significant decrease in public relations expenses to $270,000 for the three months ended June 30, 2006. We had public relations expenses of $1,118,300 for the comparable period in 2005. The public relations expenses for the three months ended June 30, 2006, resulted from public relations agreements with several consultants pursuant to which we provided cash and common stock as payment for public relations services. We valued the stock at fair market value on the date of issuance or as specified in the agreement.

We experienced an increase in stock-based compensation in the three months ended June 30, 2006 to $30,700, from $6,200 for the three months ended June 30, 2005. From time to time, our staff has worked for under market rate compensation or has had to accrue pay for extended periods of time when financing was not available. We have granted stock options to certain employees in partial consideration for salary reductions, and certain employees have elected to receive stock in lieu of compensation. For the foreseeable future, we anticipate that we will continue to issue stock-based incentives in the form of stock grants and/or options and warrants to employees and key consultants to retain the services of such key personnel during this crucial period when we are preparing submissions to the FDA to conduct human studies for platelets and to expand our organ preservation development effort. We will also utilize non-cash compensation to retain the services of key personnel if we consummate definitive agreements with EXL for the ethanol projects described above.

We experienced a decrease in other general and administrative expenses to $334,800 for the three months ended June 30, 2006, from $481,400 for the comparable period in 2005. This decrease was due to decreases in legal and professional fees and other expenses.

Research and Development. Our research and development expenses were $32,500 for the three months ended June 30, 2006, a slight decrease from $52,100 for the comparable period in 2005. This decrease was primarily due to our attempts to moderate research and development spending. While we have resumed our infusion studies and organ preservation research, we believe that recent reduced payroll reductions have allowed us to maintain our scientific program to this point. We are now preparing to accelerate our development efforts, utilizing our freezing technology, into cells as well as to continue with organs. This will require additional research facility space in Michigan, which we anticipate will result in increased expenses in the future. We have also recently formed a committee and have enlisted the services of an outside veterinarian to oversee our organ preservation experiments using animals.

Sales and Marketing Expenses. We had no sales and marketing expenses for the respective three month periods ended June 30, 2006 or 2005. We recently eliminated payroll in the sales and marketing area in order to give priority to the completion of our scientific objectives - to complete human infusion studies for platelets and move closer to human testing utilizing our organ preservation technology.

Other Income and Expense. We incurred interest expense of $9,900 during the three months ended June 30, 2006, due primarily to interest on certain accounts payable. We did not incur interest expense during the comparable period in 2005.

Net Loss. As a result of the foregoing factors, our net loss decreased to $677,900 for the three months ended June 30, 2006, from a net loss of $1,658,800 for the three months ended June 30, 2005. We had an unrealized loss of $27,600 on our investment in Langley securities during the three months ended June 30, 2005, resulting in a total comprehensive loss of $1,686,400 for the period. Our net loss per share was $0.01 for the three months ended June 30, 2006, a decrease from $0.03 for the comparable period in 2005.

SIX MONTHS ENDED JUNE 30, 2006 COMPARED WITH SIX MONTHS ENDED JUNE 30, 2005

Revenues. The decrease was due primarily to a significant decrease in public relations expenses to $597,100 for the six months ended June 30, 2006. We had public relations expenses of $1,118,300 for the comparable period in 2005. The public relations expenses for the six months ended June 30, 2006, resulted from public relations agreements with several consultants pursuant to which we provided cash and common stock as payment for public relations services. We valued the stock at fair market value on the date of issuance or as specified in the agreements. During the six months ended June 30, 2006, we also released 201,100 shares valued at $134,200 in satisfaction of a payable from an agreement with Abernathy Mendelson & Associates ("Abernathy") pursuant to which we provide shares of common stock as payment for advertising and promotional services.

We experienced an increase in stock-based compensation in the six months ended June 30, 2006 to $52,600, from $38,800 for the six months ended June 30, 2005. From time to time, our staff has worked for under market rate compensation or has had to accrue pay for extended periods of time when financing was not available. We have granted stock options to certain employees in partial consideration for salary reductions, and certain employees have elected to receive stock in lieu of compensation. For the foreseeable future, we anticipate that we will continue to issue stock-based incentives in the form of stock grants and/or options and warrants to employees and key consultants to retain the services of such key personnel during this crucial period when we are preparing submissions to the FDA to conduct human studies for platelets and to expand our organ preservation development effort. Research and Development. Our research and development expenses were $74,500 for the six months ended June 30, 2006, a slight decrease from $96,000 for the comparable period in 2005. This decrease was primarily due to our attempts to moderate research and development spending. While we have resumed our infusion studies and organ preservation research, we believe that recent reduced payroll reductions have allowed us to maintain our scientific program to this point. We are now preparing to accelerate our development efforts, utilizing our freezing technology, into cells as well as to continue with organs. This will require additional research facility space in Michigan, which we anticipate will result in increased expenses in the future. We have also recently formed a committee and have enlisted the services of an outside veterinarian to oversee our organ preservation experiments using animals.

Sales and Marketing Expenses. We had no sales and marketing expenses for the six months ended June 30, 2006, a decrease from $25,400 for the comparable period in 2005. We recently eliminated payroll in the sales and marketing area in order to give priority to the completion of our scientific objectives - to complete human infusion studies for platelets and move closer to human testing utilizing our organ preservation technology.

Other Income and Expense. We incurred interest expense of $12,000 during the six months ended June 30, 2006, due primarily to interest on certain accounts payable. We did not incur interest expense during the comparable period in 2005.
We also recognized $6,600 in the six months ended June 30, 2006 from the forgiveness of debt on an account payable converted to stock.

Net Loss. As a result of the foregoing factors, our net loss decreased to $1,355,500 for the six months ended June 30, 2006, from a net loss of $2,022,400 for the six months ended June 30, 2005. We had an unrealized loss of $3,200 on our investment in Langley securities during the six months ended June 30, 2006, resulting in a total comprehensive loss of $1,358,700 for the period. In the six months ended June 30, 2005, we had an unrealized loss of $27,200 on our investment in Langley securities, resulting in a total comprehensive loss of $2,049,600. Our net loss per share was $0.02 for the six months ended June 30, 2006, a decrease of $0.04 for the comparable period in 2005.

Liquidity and Capital Resources

Our operating plan for calendar year 2006 is focused on continued development of our products. It is our estimate that a cash requirement of $2.5 million is required to support this plan for the next twelve months. During the six-month period ended June 30, 2006, we received an aggregate of $724,400 from the issuance of common stock and $75,000 from borrowing on notes payable, compared to an aggregate of $552,700 received from the issuance of common stock in the six-month period ended June 30, 2005. We are actively seeking additional funding. Once we receive the required additional financing, we anticipate continued growth in our operations and a corresponding growth in our operating expenses and capital expenditures. We do not anticipate any revenue from operations for the next two or three years. Therefore, our success will be dependent on funding from private placements of equity securities. Although we have entered into certain agreements with Dutchess, Ascendiant and Strategic Growth Ventures (see below) there can be no assurance that we will be successful in raising any capital pursuant to any of these agreements. At the present time, we have no other agreements or arrangements for any private placements.

In 2003, we experienced increased difficulty in raising outside capital. This difficulty continued through the third quarter of 2004. Although research continued in organ preservation, we were forced to suspend animal testing and human infusion testing due to a lack of funds. Our employees accepted a temporary 50% salary reduction in January 2004 to conserve cash, and several of these employees as well as certain of our outside consultants elected to convert a portion of their deferred compensation to shares of our common stock. On September 1, 2004, we restored all employee salaries; however, employees received 50% of their salaries in cash and 50% in shares of restricted common stock. In February 2005, we changed our overall compensation structure to reduce recurring payroll expenses in non-critical areas in order to provide additional resources for the completion of our scientific objectives. In March 2005, we made the decision to pay all of the accrued salaries in cash rather than in stock.

We are in the ninth year of research and development, with an accumulated loss during the development stage of $21,820,600. As of June 30, 2006, we are uncertain as to the completion date of our research and development, or if products will ever be completed as a result of this research and development activity. We anticipate that the funds spent on research and development activities will need to increase prior to completion of a product. Additionally, we may not be able to secure funding in the future necessary to complete our intended research and development activities.

In addition, we have recently entered into a letter of intent to acquire options to purchase two parcels of real estate, upon which we intend to develop two ethanol production facilities. The completion of these facilities, if the options are acquired, exercised and developed, will require significant additional capital. We currently anticipate that we will require approximately $2 million to prepare the sites and obtain the necessary permits to commence construction of the two ethanol plants. Additional long-term financing will be required to complete the construction of the facilities and to make them operational, currently estimated to be $150 million per 100 million gallon production capacity facility. At the present time, we do not have the requisite capital, and have not entered into any agreements or understandings for such long-term financing.

These conditions give rise to substantial doubt about our ability to continue as a going concern. Our financial statements do not include adjustments relating to the recoverability and classification of reported asset amounts or the amount and classification of liabilities that might be necessary should we be unable to continue as a going concern. Our continuation as a going concern is dependent upon our ability to obtain additional financing from the sale of our common stock, as may be required, and ultimately to attain profitability. The report of our independent certified public accountants, included in this prospectus, contains a paragraph regarding our ability to continue as a going concern.

During the six-month period ended June 30, 2006, we continued to spend cash to fund our operations. Cash used by operating activities for the six-month period ended June 30, 2006 equaled $662,900 and consisted principally of our net loss of $1,355,500 plus decreases of $4,100 in accrued liabilities and $3,400 in other assets, offset by decreases of $30,900 in prepaid expenses, $539,100 in public relations expenses paid or to be paid in common stock, $52,600 provided by stock-based compensation, decreases of $68,700 in accounts payable, $7,300 in amortization of discount and loan fees on notes payable, and $1,500 in depreciation. For 2005, cash used by operating activities equaled $450,900, and consisted of our net loss of $2,022,400 plus increases of $4,000 in prepaid expenses and decreases of $3,800 in accrued liabilities, offset by $282,500 in stock-based compensation, $1,118,200 in public relations expenses paid or to be paid from common stock, $700 in depreciation, increases of $2,900 in accounts payable, and $175,000 in other liabilities.

We did not utilize or receive cash from investment activities during the respective six months ended June 30, 2006, compared to a use of $11,000 for the comparable period in 2005 due to the purchase of fixed assets.

Cash flows from financing activities for the six-month period ended June 30, 2006 produced a net increase in cash of $692,600, consisting of $724,400 from the issuance of common stock and $75,000 from borrowing on notes payable, offset by $39,400 of principal payments on a note payable for directors and officers insurance and a decrease of $67,400 in amounts due to shareholders. In the six months ended June 30, 2005, we had a net increase in cash of $416,700 from financing activities, comprised of $552,700 in proceeds from the issuance of common stock, offset by a decrease of $136,000 in amounts due to shareholders.

As of June 30, 2006, we had cash and cash equivalents amounting to $71,300, a decrease from the balance of $233,500 at June 30, 2005. Our working capital deficit decreased to $639,600 at June 30, 2006, from $844,300 at June 30, 2005.
There were no material commitments for capital expenditures at June 30, 2006.

During 2005 and 2006, we pursued various alternatives for raising capital. We entered into an Investment Agreement (the "Investment Agreement") with Dutchess effective June 28, 2004. Pursuant to the terms of the Investment Agreement, we may offer, through a series of puts, and Dutchess must purchase from time to time, up to a maximum of 38,000,000 shares of our common stock, provided that Dutchess shall not be required to purchase shares of our stock with an aggregate purchase price in excess of $5,000,000. The purchase price of shares purchased under the Investment Agreement shall be equal to 95% of the lowest closing "best bid" price (the highest posted bid price) of the common stock during the five consecutive trading days immediately following the date of our notice to Dutchess of our election to put shares pursuant to the Investment Agreement. The dollar value that we will be permitted to put pursuant to the Investment Agreement will be either: (A) 200% of the average daily volume in the US market of the common stock for the ten trading days prior to the notice of our put, multiplied by the average of the three daily closing bid prices immediately preceding the date of the put, or (B) $10,000. No single put can exceed $1,000,000. We filed a registration statement on Form SB-2 in July 2004 to register for resale an aggregate of 38,000,000 shares of common stock issuable under the Investment Agreement; this registration statement was declared effective on August 23, 2004. Through June 30, 2006, we have issued an aggregate of 1,320,646 shares of common stock to Dutchess, for aggregate net proceeds of $556,620. We intend to exercise additional puts under the Investment Agreement in the last half of 2006 to provide funding for our operations.

In July 2004, we entered into a Stock Purchase Agreement (the "Stock Purchase Agreement"), whereby we would sell shares of our restricted common stock for shares in Langley, a London-based institutional investment trust. Langley was formed in February 2004 to invest in a diverse portfolio of U.S. small-cap companies (defined by Langley management as those public companies having a market capitalization of less than U.K. $100 million). Although Langley's investments are not limited to specific sectors, it has concentrated on mining, oil and gas, energy-related and technology companies since it commenced operations in February 2004. Langley's stated investment objective is to achieve long-term capital growth. The Langley ordinary shares are registered as a unit investment trust on the London Stock Exchange ("LSE"). The trading symbol for the ordinary shares is LSE:LPI. The Langley Investment Trust consists of a portfolio of the common stock of 23 U.S. publicly traded small cap companies.

Langley purchased 7,000,000 shares of our restricted stock at a price of $910,000, or approximately $0.13 per share. The shares issued to Langley constituted 17.9% of our outstanding common stock at July 31, 2004. In lieu of cash, Langley issued to us an aggregate of 512,665 Langley ordinary shares at a price of U.K. $1.00 per share (one British Pound Sterling = US $1.8160 on July 30, 2004). HBS plans to market its preservation technologies worldwide, including a number of markets in the United States. The diversity of markets available to HBS makes the UTEK Project Agreement an essential step forward toward achieving the Company's goal of leveraging its efforts to bring products to market as quickly as possible. As UTEK helps to identify the appropriate partners for the HBS technologies, the Company can move forward in creating new markets for its preservation technologies.

Breaking News: Human BioSystems Forms Subsidiary For Ethanol Business - HBS BioEnergy

Human BioSystems ("HBS") (OTCBB:HBSC) announced today the formation of HBS BioEnergy ("HBE"), a wholly owned subsidiary of Human BioSystems.

HBS BioEnergy will operate as a separate company and subsidiary of HBS for the purpose of developing the bio energy business including the two ethanol fuel production facility projects to be acquired from EXL III Group Corporation ("EXL III") pursuant to the Letter of Intent ("LOI") mentioned in the press release dated July 27, 2006.

The formation of this subsidiary is the first step toward establishing the organizational structure to consummate the acquisition and to carry out HBS\'s plan to build the facilities that will produce renewable fuel sources for the U.S. market.

Human BioSystems is a developer of preservation platforms for organs and other biomaterials. HBS steigt in Bioethanol-Produktion ein
Gründung von Tochtergesellschaft HBS BioEnergy




Palto Alto (pte/26.08.2006/06:10) - Das amerikanische Unternehmen Human BioSystems (HBS) http://www.humanbiosystems.com hat die Gründung der 100-prozentigen Tochtergesellschaft HBS BioEnergy bekannt gegeben. Damit wagt der Hersteller von Konservierungsplattformen für Organe und andere Biomaterialien einen weiteren Schritt in Richtung Biokraftstoff-Markt. Bereits im Juli dieses Jahres hatte HBS die Akquisition zweier Produktionsanlagen für Ethanolkraftstoff von der Exel III Group bekannt gegeben, die geplante Tochtergesellschaft soll nun den Markteintritt vorantreiben.

Die Gründung von HBS BioEnergy bildet für das Unternehmen die Grundlage zum Bau weiterer Einrichtungen, die Rohstoffe für erneuerbare Kraftstoffe produzieren sollen. Laut Unternehmensangaben hatte man bereits vor einigen Jahren die Idee, am Biokraftstoffmarkt einzusteigen. Doch erst die stetig steigenden Rohölpreise hätten den entscheidenden Anstoß für die Gründung der Tochtergesellschaft gegeben und das Projekt ökonomisch sinnvoll gemacht, wie der HBS-CEO Henry Masuda gegenüber Medien erklärte.

Der Abschluss der Kaufverhandlungen für die beiden Produktionsanlagen steht zwar noch aus, wird jedoch von HBS für noch für kommenden Herbst angekündigt. Die Tochtergesellschaft soll vorerst nur am US-Markt tätig sein. HBS ist bereits seit 1998 in seinem Kerngeschäftsbereich tätig, wobei es sich vor allem auf die fortlaufende Entwicklung neuer Konservierungstechniken konzentriert. Wie auch in Europa sucht man in den USA nach Erfolg versprechenden Alternativen zu herkömmlichen Kraftstoffen, nicht zuletzt um die anhaltend hohen Rohölpreise zu umgehen. (Ende)

Ethanol zu produzieren könnte gar kein so schlechter Schachzug von Claude Luster & Harry Masuda sein, um dadurch neue Mittel generieren zu können, die die Forschung der Organ- und Bluplättchenkonservierung wiederum vorantreiben kann!

(16.06.06) - Das Thema Bioenergie begeistert die Börse. Zur Errichtung neuer Kapazitäten sind enorme Investitionen notwendig. Die hierfür erforderlichen Finanzmittel sollen über die Börsen in aller Welt beschafft werden.

Ungeachtet der aktuell auch Energieaktien erfassenden Kursturbulenzen setzen immer mehr Anleger auf Unternehmen, die sich in irgendeiner Form mit Biotreibstoffen wie Ethanol und Biodiesel beschäftigen. Analysten in den USA weisen darauf hin, dass es vor allem „smart money“ sei, das den Sektor überflute. Obwohl der große Durchbruch – sprich: die breite Marktdurchdringung – von Ethanol in den USA nach Meinung von Jeff Currie von Goldman Sachs noch fünf Jahre auf sich warten lassen dürfte, ist die Investititonsbereitschaft der Börse enorm.

Auch wenn Jim Goff von der Fondsgesellschaft Janus Capital nach dem starken Kursanstieg der vergangenen Monate zuletzt wenig Interesse an Ethanol-Aktien zeigte, geben immer mehr Anleger ihre Zurückhaltung auf. Nachdem Microsoft-Gründer Bill Gates über sein Finanzvehikel Cascace Investment 84 Mio. Dollar in Pacific Ethanol investierte, warfen auch andere Großanleger ein Auge auf diesen Sektor.

Die vor allem in Brasilien, immer stärker jedoch auch in den USA boomende Branche hat angekündigt, ihre Kapazitäten erhöhen zu wollen. In den USA soll die Produktion von 4,4 Mrd. Gallonen bis Ende des Jahres auf 6,3 Mrd. Gallonen nach oben geschraubt werden. Fachleute glauben, dass der Ethanol-Bedarf der USA bis zum Jahr 2010 bereits 15 Mrd. Gallonen erreichen wird. Derzeit deckt Ethanol gerade einmal rund drei Prozent des Treibstoffverbrauchs in den USA ab.

Zur Errichtung neuer Kapazitäten sind enorme Investitionen notwendig. Die hierfür erforderlichen Finanzmittel will sich die Branche auch über die Börsen in aller Welt beschaffen. Mit VeraSun Energy und Hawkeye Holdings streben jetzt die Nummer zwei und drei unter den US-Ethanolproduzenten an die amerikanischen Börsen. Die Aktie des Marktführers Archer Daniels Midland ist seit Monaten einer der Wall-Street-Favoriten.

Also in einem Interview gegenüber wallstreet Reporter (nachzuhören und zu lesen unter www.wallstreetreporter.com/profile.php?id=19394) sagt er:

"We already have the infrastructure in place to blend ethanol fuel with gasoline, and the distribution and pumps require no changes to the current setup. We believe that by taking advantage of this opportunity, it will provide us with potentially-significant revenue and profit stream in a fairly short period of time. That is our goal for the coming months."

Was soviel bedeutet, dass Hr. Cluster einiges an Know How auf dem Gebiet Ethanol ins Unternehmen einbringt, denn lt. Harry Masuda haben sie bereits die Infrastruktur Ethanol mit Benzin zu vermischen und der Vertrieb sowie die Pumpen benötigen kein weiteres Setup!

in amerika hat die human bei 0,19 geschl. umgerchnet ca. 0,145 in euro.wenn man da noch bedenkt, das wieder mal einer den schlusskurs mit 0,19(aus meiner sicht)bewusst dorthin gedrückt hatte und die kurse vorher bei 0,2 standen.müsste der kurs hier viel höher stehen.

Hab mich am Freitag wieder einmal persönlich an Mr. Harry Masuda gewandt und ihm gesagt, dass es im deutschsprachigen Europa hunderte wenn nicht sogar tausende Leute gibt, die in HBSC investiert sind und täglich auf neue News warten. Human BioSystems Scheduled to Meet with the FDA to Discuss Platelet Human Infusion Testing
Tuesday September 12, 4:05 pm ET

PALO ALTO, Calif.--(BUSINESS WIRE)--Sept. 12, 2006--Human BioSystems ("HBS" or "Company") (OTCBB:HBSC - News) announced today that a pre-IND (Investigational New Drug) application meeting with the FDA (Food and Drug Administration) has been scheduled for early October to discuss HBS's plan to conduct human infusion tests using the Company's patented platelet preservation system.

ADVERTISEMENT

The Pre-IND meeting is a prelude to a formal application and request to proceed with human testing once all concerns and requirements of the FDA are satisfied. The planned studies will involve a number of human subjects that are infused with platelets stored in the cold using the HBS process and compared to platelets prepared using the current storage method. The platelets are uniquely labeled prior to infusion to distinguish the HBS platelets from the control group, and monitored for platelet survival in the bloodstream over time.

Dr. David Lucas, Director of Platelet Development for HBS stated that "Studies have shown that standard blood platelets stored in the cold for 24 hours or longer are not functional and are quickly eliminated from the blood after infusion. It is our goal to show that HBS platelets will maintain functionality and continue to circulate in the bloodstream for more than a few hours and ideally even for days after infusion. The HBS platelets will be stored at refrigerated temperatures for several days prior to infusion."

The advantages of the HBS cold stored platelets are potentially longer shelf life, fresher and higher quality platelets, cost savings due to fewer platelet transfusions and significant savings of expenses due to the reduction of outdates compared to platelets stored under current methods.

Also ich finds schon einmal super wenn eine positive Nachricht nicht gleich wieder zum Verkauf genützt wird!
Insofern ist ein niedriger Umsatz gar nicht so schlecht, denn das zeigt, dass die Aktionäre an die Aktie glauben!

Glaub eher nicht daran. Was sollte es auch für einen Sinn machen in diesen Preisregionen noch etwas hochzudrücken? Ob sie jetzt bei .17 oder .15 steht ist doch völlig egal! Es sollte aber wirklich langsam etwas Bewegung in die Aktie geraten, sonst können die das Rad neu erfinden und es interessiert keine Sau!

Mr. Luster, the founder of EXL III Group Corporation (EXL III), has been involved in the final stages of developing and funding a 60-million gallon Northern California ethanol facility which he will complete while assuming his new duties with HBS BioEnergy.

Item 2.01 Completion of Acquisition or Disposition of Assets.
On October 6, 2006, Human BioSystems ("HBS") a California corporation, HBS BioEntergy ("HBS Bio"), a California corporation and a wholly-owned subsidiary of HBS, and Excel III Group Corporation ("EXL") completed the transactions contemplated by the Asset Purchase Agreement, Consulting Services Agreement, and Escrow Agreement entered into between the parties on September 25, 2006, and effective September 1, 2006.

Pursuant to the Asset Purchase Agreement, EXL agreed to sell options to purchase certain property in Lumberton County, North Carolina, to HBS Bio. In consideration for the options, HBS Bio issued 50,000 shares of HBS common stock to EXL and reimbursed EXL $40,000 for expenses incurred with respect to the options and related proposed ethanol projects, discussed further below.

The Consulting Services Agreement provides that EXL will supervise, manage, and coordinate the development, construction, and operation of up to three ethanol facilities. The Consulting Services Agreement also provides that EXL's President, Claude Luster, III, will have the title of President of HBS Bio during the term of the Consulting Services Agreement, and will report to HBS Bio's Chief Executive Officer. The term of the Consulting Services Agreement is two years from the effective date, with an option to extend the term for two additional years by mutual written agreement.

In consideration for its consulting services, EXL will receive an annual consulting fee of $199,000. Upon the funding of the first ethanol facility, the annual consulting fee will increase to $224,000. The consulting fee will increase again to $324,000 upon the funding of the second ethanol facility, and to $424,000 in the even a third ethanol facility is funded.

The Consulting Services Agreement also provides that the facilities will be funded by HBS according to a schedule, with $300,000 due upon closing of the Asset Purchase Agreement and additional amounts upon completion of certain milestones thereafter. HBS will contribute $150,000 upon completing the following milestones: (1) raw product supply agreement for the first plant; (2) environmental services agreement for the first plant; (3) risk management agreement for the first plant; and (4) distilled grain marketing agreement for the first plant. HBS will contribute an additional $150,000 upon completing the following milestones: (1) ethanol off take agreement for the first plant; (2) preliminary engineering study for the first plant; (3) land use permit submittal for the first plant; (4) environmental permits submittal for the first plant;
(5) financial advisory services agreement or letter of interest from financial entity; (6) land option agreement for the second plant; and (7) fuel supply agreement for the first plant. HBS will contribute $400,000 upon reaching the following milestones: (1) utility services agreement for the first plant; (2) Phase I engineering and environmental for the first plant; (3) raw product supply agreement for the second plant; (4) environmental services agreement for the second plant; (5) risk management agreement for the second plant; and (6) distilled grain marketing agreement for the second plant. HBS will contribute $450,000 upon reaching the following milestones: (1) EPC Agreement and Phase II engineering for the first plant; (2) fuel supply agreement for the second plant;
(3) utility services agreement for the second plant; (4) ethanol off take agreement for the second plant; (5) environmental permits submittal for the second plant; (6) preliminary engineering study for the second plant; (7) land use permit submittal for the second plant; (8) Phase I engineering and environmental studies for the second plant; (9) long term equity commitment for first plant (10) long term debt commitment for the first plant; (11) issuance of authority to construct permits for the first plant; and (12) final funding documentation for the first plant. Finally, HBS will contribute $400,000 upon completing the following milestones: (1) EPC Agreement and Phase II engineering for the second plant; (2) long term equity commitment for the second plant; (3) long term debt commitment for the second plant; (4) final environmental permits for the second plant; (5) authority to construct permits for the second plant; and (6) final funding documentation for the second plant.

EXL will also be entitled to receive up to 3,450,000 shares of HBS common stock.
The stock will be placed in escrow, and to that end, HBS Bio, EXL, and Silicon Valley Law Group as escrow agent entered into an Escrow Agreement. The Escrow Agreement provides that 1,000,000 shares of HBS common stock will be released to EXL upon the execution of certain agreements necessary for the development of the first ethanol facility, the submission of preliminary environmental and land use permits for the first ethanol facility, and the assignment and conveyance of the option to purchase the second facility. An additional 1,000,000 shares will be released to EXL upon the acquisition of certain permits for the first facility and the execution of certain agreements necessary for development of the first facility, as well as the submission of preliminary environmental and land use permits for the second facility. The 1,450,000 remaining shares will be released to EXL when a funding commitment for the first facility is obtained.
In the event funding for the first facility is not obtained within four months from the date on which the funding commitment is received, any shares still in escrow will be dispersed to HBS Bio and any shares previously released to EXL will be returned to HBS Bio.





Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
As stated above in Item 2.01, which is expressly incorporated herein by reference, the Asset Purchase Agreement obligates HBS Bio to issue 50,000 shares of HBS common stock to EXL and reimburse EXL $40,000 for expenses incurred with respect to the options and related proposed ethanol projects.

The Consulting Services Agreement requires HBS to pay EXL an annual consulting fee of $199,000, which will be increased to $224,000 upon the funding of the first ethanol facility, $324,000 upon the funding of the second ethanol facility, and $424,000 in the event a third facility is funded. EXL will also be entitled to 3,450,000 shares of HBS common stock, no par value per share, to be released to EXL pursuant to the Escrow Agreement as described in Item 2.01 above.

HBS will also be required to fund the proposed ethanol facilities according to the schedule provided by the Consulting Services Agreement and as described in Item 2.01 above.





Item 3.02 Unregistered Sales of Equity Securities.
As stated above in Item 2.01, which is expressly incorporated herein by reference, under the Consulting Services Agreement, HBS was obligated to issue 3,450,000 shares of common stock. The issuance was made in reliance on Section 4(2) of the Securities Act of 1933, as amended and was made without general solicitation or advertising. The recipient was a sophisticated investor with access to all relevant information necessary to evaluate the investments, who represented to HBS and HBS Bio that the shares were being acquired for investment purposes.





Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Pursuant to the Consulting Services Agreement, as described in Item 2.01 and herein incorporated by reference, Claude Luster III was appointed as President of HBS Bio effective September 1, 2006. Mr. Luster is the founder of EXL, and has been involved in the final stages of developing and funding a 60-million gallon ethanol facility in Northern California.

Prior to his involvement with EXL, Mr. Luster was President and CEO of EXL Group, a Portfolio Investment Company of Impact Capital Partners of Oakland, CA.
Mr. Luster has more than 30 years experience in the food-processing, bio-conversion, energy and environmental industries and is considered one of the food industry's leading experts in the field of aseptic processing and aseptic bulk plant operations. Mr. Luster conceived, developed, and implemented novel processes and protocols directed towards developing Greenfield food processing and bio-conversion facilities in the United States, Canada, China, and Africa.
He owned and operated LusTek Labs and Consulting and served as a consultant in the food processing, bio-conversion, energy and environmental industries. Mr. Luster has held numerous technical, scientific and management positions including Process Technician for General Foods, Inc., Process Operations and Research Manager for Tri-Valley Growers, Fermentation Manager for Miller Brewing Company, Vice President of Operations for Helm Concentrates, Inc., and Technical Leader for Hunt Wesson Foods, Inc.

There are no transactions between Mr. Luster and the Company that would require disclosure under Item 404(a) of Regulation S-B. Mr. Luster is not currently serving on any committee of the Board of Directors.
