      also ich bin auch bei Consors. Da wurde ich irgendwann letztes Jahr angeschrieben. Daraufhin wurden dann meine Jupiter ausgebucht.
      Habe letzte Woche auf die Pressemitteilung von Paivis mich an Consors gewandt, ob noch irgend etwas veranlaßt werden muss.
      Dort wurde mir mitgeteilt, dass liege nicht mehr in der Hand von Consors, sondern am Transfer Agent bzw. Paivis.
      Ich glaube bei Consors weiß der eine nicht was der andere macht.

      I have my shares now and feel warm and fuzzy about going forward but apparently, and I'm guessing, some of you are still fighting with your brokers(?). Is that what's going on with TDA etc.? I can't imagine that being the case but if it is, the short covering for this stock will take it to $10 IMHO and settle at $5. I'm guessing but remeber this has gone into hybernation only because of THIS UNAUTHORIZED FORMER SALE OF SHARES AFTER THE MERGER. There's only 1000 shareholders of record as of Feb this year. It won't be hard to do the talley. GLTA

      Still curious when we'll get a "state of Paivs" PR answering a lot of former questions in my mind -I hope.

      mahlzeit zusammen,

      kann mir ehrlich gesagt gar nicht vorstellen dass die akiten wirklich bei dem einen der anderen, auch wenn es amerika und das land der unbegrenzten möglichkeiten ist, schon eingebucht sind! vor allem dass trotzdem der kurs bei steigendem bzw. hohem volumen steigt finde ich beeindruckend.

      wichtig wäre halt zu wissen ob die dinger auch handelbar sind, aber villeicht ist deswegen der große umsatz!

      mir würde ja für ein break even (und damit wäre ich mehr als zufrieden) ein vk-kurs von ca. 0,15$ reichen. mehr will ich echt net. aber als ehemaliger großaktionär von jupiter bin ich mit kursen auf diesem niveau echt sehr zufrieden. naja, bis wir die aktien haben stehen €/$ eh auf pari :laugh:.

      also, drücke weiterhin allen altaktionären die daumen. wenn einer was neues weiß, lasst es mich wissen!

      ach übrigens, hat eigentlich irgendjemand die aktien welche zwischenzeitig mal waren gekauft (apo health oder so?)?

      Wieso ist das Umtauschverhältnis so hoch???

      hi zusammen,

      habe jetzt mal in nem anderen deutschen forum gelesen dass wohl eine direktbank zu seinem kunden meinte es würden die wp bald kommen.

      ich würde mich für alle invetsierten freuen wenn das ganz positiv ausgeht! was mich wundert sind tatsächlich die steigenden kurse bei steigenden volumina. was besseres kann uns ja eigentlich nicht passieren. hoffentlich kommt bald mal was und dann nurnoch handelbar sein, dann mach ich ne sause!!!!

      also, kopf hoch, und schreibt mal wieder was! ist ja fürchterlich langweilig hier!

      ist echt der wahnsinn was hier abgeht!

      bei investorshub spekuliert mein auf das covern alter jphc bestände der banken oder so! demzufolge rechnet man mit noch wesentlich höheren kursen.

      weiterhin müssen wir wohl wenn die wp kommen noch ein formular bezüglich der handelbarkeit ausfüllen. aber frag mich nicht, keine ahnung!

      wollen wir einfach hoffen dass es so weier geht! mitterleile hab ich wieder meine 16000$ und bin somit recht zufrieden. von mir aus solls auf 5$ steigen und wenn ich dann noch 0,5$ für meine bekomme reichts mir dicke:laugh:.....

      haltet euch fest! weiß ja nicht wies euch ergeht, aber ich habe seit heute 16181 Anteil von Paives Corp. a0kepg im Depot. sind zwar noch nicht handelbar, aber ich dachte ich falle um als ich die gesehen habe. der erste schritt ist gemacht. jetzt müssen die nur noch handelbar sein.

      An alle, die die Aktien inzwischen haben: Wurden die Jupiter bei euch vorher ausgebucht oder waren sie die ganze zeit im Deptobestand?
      Sind alle, die die Aktien schon haben bei der Deutschen Bank oder sind auch andere Banken dabei?
      Bei mir wurden sie schon vor langer langer Zeit ausgebucht.

      sag jetzt mal folgendes:

      habe zwei mal JPHC gekauft damals...zusammen waren alle die ganze zeit im depot..bei der DB!!!

      nun wurde ein Teil ausgebucht und dafür neue PAVC eingebucht...allerdings besitze ich noch weitere JPHC, welche noch nicht in PAVC eingetauscht sind..

      im Übrigen sind mein e neuen PAVC handelbar!!!

      Hi Leute!

      Habe meine Teile auch bekommen - habe vorhin verkauft, da ich andere Raketen im Auge habe und befürchte, dass eine Verkaufswelle einsetzen könnte, wenn die ganzen JPHC-Investoren ihre Teile auf den Markt werfen!? :confused:

      Chart sieht aber eigentlich gar nicht schlecht aus, bin trotzdem froh meine Kohle wiederzuhaben! Viel Erfolg denen, die investiert bleiben! Aussichten (langfristig) sind ja gar nicht so schlecht.. ;)

      PAVC benötigt für ihr Geschäft weiterhin Kohle, denke die werden noch ein paar Aktien auf den Markt werfen müssen...wer weiss!? :rolleyes:

      Also ich habe auch noch nichts. Hab`aber heute mit der comdirectbank deswegen telefoniert. Man rief mich später zurück und teilte mir mit, das "Etwas am Laufen sei". Bin schon sehr gespannt, was da kommt.
      Mir ist eigentlich alles recht, da ich sie schon zu 100 % abgeschrieben hatte. :)

      Ich glaube langsam, ich hätte damals auf dem Brief nicht antworten sollen. Dann wären sie vielleicht auch irgendwann automatisch im Depot aufgetaucht.
      Aber mal abwarten was passiert.
      So wie ich das hier sehe, ist bisher nur die Deutsche Bank bedient wurden.

      Hallo zusammen,
      also bei meiner Bank, die DB, ist alles unresticted eingebucht ;-).

      Bin zwar nur noch 17% im Plus nach dem RS .... (entgangener Zins, zwecks langer Haltezeit noch nicht berücksichtigt) aber letztendlich hat es sich gelohnt, wenn die Herrschaften nicht doch noch Blödsinn machen. Ich überleg sogar, noch ein bissl zu warten und günstig nachzulegen...

      bekam heute eine (Spam)email, dass ich PAVC kaufen sollte, da eine riesige short Position in den nächsten Tagen eingedeckt werden muss.
      Dabei handelt es sich wohl um die illegale Registrierung an den deutschen Börsen durch Spekulanten.
      Die Fa. selbst schreibt:Paivis, Corp. ("PAIVIS" or the "Company") (OTCBB: PAVC) management today announces that it has been made aware that its common shares have been listed, without Company knowledge or authorization, for trading on the Berlin-Bremen Stock Exchange.

      Listing of shares on the Berlin-Bremen Stock Exchange has in the past been associated with naked short selling of shares in the United States. The Berlin listing possibly creates a "sham" arbitrage between the two markets that apparently may generate a "loophole" in the Reg. SHO naked short selling regulation that governs short selling in the U.S. securities markets.

      The Company is investigating this matter and is now in the process of formally notifying authorities to immediately remove PAIVIS shares from the Berlin-Bremen Stock Exchange. The Company has also requested its Securities Counsel to report this incident to the proper regulatory authorities and immediately ascertain who is behind the unauthorized listing and pursue any and all appropriate legal remedies available to the Company.

      Upon brief investigation, it appears that Paivis is one of a number of small U.S. publicly traded companies whose stock has been listed on the Berlin-Bremen Stock Exchange without the Company's prior knowledge, consent or authorization. The Company's management and Board of Directors is appalled to learn that it is possible for the Company's common stock to be listed and quoted for trading on an international stock exchange without the Company's approval.

      The Company urges investors interested in acquiring shares of Paivis, Corp., to do so only on the Over-the-Counter Electronic Bulletin Board maintained by the NASD, under the trading symbol "PAVC.OB"

      hi leuts,

      habe heute nochmal nen zwischenbeischeid einer anfrage an meine bank (db) erhalten: die wertpapiere scheinen doch mit einem restricted vermerk der sec belegt zu sein und die deutsche bank versucht sie schnellstmöglich diesen herausnehmen zu können und damit handelbar zu machen.

      ich sags ganz offen: meine angst ist die, dass wir soviel ich weiß, eine legal opinion der sec benötigen. kann aber auch sein dass ich da völlig daneben liege. weiso sonst sollten die amis, und da haben sehr viele alte jphc werte, die dinger nicht verkaufen.

      also, hoffe das beste, und vielleicht muss ja wirklich gecovert werden!

Investoren verpflichten sich zu einer Haltepflicht von X-Monaten. Dann sind die Aktien \"restricted\" bis diese Zeit abgelaufen ist. Hier hat nun scheints, nach der Pressemitteilung zu urteilen, irgendjemand diese Aktien ausgeliehen und in Deutschland verkauft. Die Haltepflicht besteht trotzdem weiter.
      In der REgel kann die Investors RElation Abt. der Firma Auskunft darüber geben oder der kurspflegende Makler. Steht auf der Homepage des Unternehmens.

      na na na nicht schlafen :-) NEWS ANBEI!
      Mir wär allerdings noch wohler, wenn endlich mal ein paar News bezüglich der Beteiligung, die unter dem Dach von PAVC zusammengefasst sind, herrausgebracht würden. Das würde dem Kurs vieeel mehr auf die Sprünge helfen. Von der "Perle" Marco Telekom hört man leider, ausser im 10K filing, recht wenig. Anscheinend wird dieses Feld nicht wirklich intensive beackert... Die Umsätze sind, so finde ich, recht mager. Das PAVC da seht, wo Sie stehen ist auch hausgemacht meines Erachtens und das Säbelgerassel lenkt ein wenig ab. Bei dem Float und den Zahlen dürfen wir auf alle Fälle keine Wunder in Sachen Kurs erwarten. Aber immerhin hielte ich 2,50$ auch für fair, und deswegen bin und bleibe ich investiert.

      Item 1.01 Entry Into Material Definitive Agreement
      This Current Report on Form 8-K/A amends the Current Report filed by the Registrant on April 25, 2006. On April 21, 2006, APO Health, Inc., a Nevada corporation ("APO"), entered into a definitive Agreement and Plan of Merger (the "Merger Agreement") with APO Health Acquisition Corp, Inc., a Nevada corporation and wholly-owned subsidiary of APO ("APO Acquisition"), and Jupiter Global Holdings, Corp., a Nevada corporation ("Jupiter"). The Merger Agreement provided that upon the terms and subject to the conditions set forth in the Merger Agreement, APO Acquisition will merge with and into Jupiter, with Jupiter being the surviving corporation and a wholly-owned subsidiary of APO.





      Item 2.01 Completion of Acquisition or Disposition of Assets
      On May 11, 2006, the above-referenced parties to the Agreement and Plan of Merger consummated the Merger Agreement and the Merger Agreement became effective as of May 11, 2006, the date that the Articles of Merger were accepted for filing by the Nevada Secretary of State. As of May 11, 2006, APO changed its name to PAIVIS, Corp. ("PAIVIS").

      As of May 11, 2006, each share of Common Stock of Jupiter issued and outstanding immediately prior to the Effective Time of the Merger Agreement was converted into and become a right to receive 0.46232085067036500 of a share of common stock of APO (the "Conversion Price"), and are automatically canceled and retired and cease to exist as of the Effective Time of the Merger. Although the Effective Date of the Merger was May 11, 2006, trading in the common shares of Jupiter did not cease until May 18, 2006, resulting in the Registrant's conclusion that the actual date that Merger Shares were to issue to Jupiter shareholders, was May 18, 2006

      The Merger Agreement provides that the Shares of Common Stock to be received by Jupiter (now PAIVIS) shareholders will not be registered under the Securities Act of 1933, or the securities laws of any state, and absent an exemption from registration contained in such laws, cannot be transferred, hypothecated, sold or otherwise disposed of until; (i) a registration statement with respect to such securities is declared effective under the Securities Act of 1933, or (ii) PAIVIS receives an opinion of counsel for PAIVIS that an exemption from the registration requirements of the Securities Act is available.

      A copy of the Merger Agreement is filed as Exhibit 10.1 to Form 8-K filed by APO on April 25, 2006 and is incorporated by reference herein. The foregoing summary of the Merger Agreement is qualified by the Merger Agreement in its entirety.





      Item 3.02 Unregistered Sales of Equity Securities
      On May 18, 2006, and pursuant to the consummation of the Merger Agreement, the Registrant agreed to issue 4,623,208,507 Common Shares (the "Shares") to the shareholders of Jupiter as of the effective date of the Merger Agreement, subsequently determined to be May 18, 2006. The Common Shares were to issue under the Merger Agreement as restricted securities and were exempt from registration under § 5 of the Securities Act of 1933, as the issuances are deemed exempt from registration under §3(a)(9), §4(1) and 4(2) of the Securities Act of 1933.

      Auch die Sparkassen werden die Paivis Aktien nicht in die Kundendepots einbuchen.

      Hier erfolgt ebenfalls die Lieferung effektiver Stücke.

      Habe allerdings auch noch kein Paket erhalten.
      Nach Rückfrage bei meinem Kollegen in der Wertpapierabwicklung (der übrigens auch Jupiter Aktien hatte) ist kein Liefertermin bekannt.

      Ich verstehe nicht das Kunden der "Deutschen Bank"
      ihre neuen Stücke eingebucht bekommen haben und das angeblich handelbar!

      Wir anderen, ich bin stolzer Kunde der Comdirect, sollen den Kram irgendwann zugeschickt bekommen.

      Ach ich muß ja noch erwähnen die Teile liegen ja angeblich schon auf einer Lagerstelle--> wahrscheinlich irgendwo beim Dualen Sytem Deutschland.

      Aber wie soll es denn dann weitergehen?
      Kann ich die Teile dann zur Bank bringen und sagen hier nimm und buche die bitte auf mein Depot ein?!

      Verstehe dann den Sinn und Zweck nicht, denn dann könnte der Mist doch gleich zur Bank geschickt werden?!

      Wenn ich damals JPHC vor dem Drama verkauft hätte, hätte ich mich mit 100% Gewinn zufrieden geben dürfen.
      Naja Gier frisst...Hirn, oder so:kiss:


      Meine Lernphase mit Aktien wird langsam ziemlich teuer.
      Wenn ich es nicht schon anders erlebt hätte, würde ich behaupten die Börse ist für mich eine Einbahnstraße, und zwar nach Süden..

      Naja warten wir halt noch ein bisschen länger, darin haben wir ja alle Übung...

      ich kann deine aufregung absolut nachvollziehen. die aussagen der einzelnen banken gehen doch zusehenst auseinander! ich weiß dass die werte bei der db handelbar sind. bin ja da kunde, und nicht nur dass, arbeite auch dort.

      und ich denke dass man hierbei mal ganz schön die unterschiede zu direktbanken bzw. auskopplungen von filialbanken feststellt und zusätzlich, wer global player ist und wer nicht.

      ps: macht meine beratung künftig leichter.....
      also, überleg dir mal ob du nicht doch lieber wecheln möchtest.....

      was bin ich froh dass ich bei KEINER direktbank bin und einen global player als arbeitgeber habe. also ich würde ja vorschlagen die dinger effektiv in ein depot bei der db einbuchen zu lassen, aber kosten-nutzen-relation bei 578 anteilen ist net wirklich gegeben.

      zu dir contact, wenn du die teile jetzt hast kannst du versuchen (je nach stückzahl) sie noch in ein bestehendes Depot einbuchen zu lassen, sofern deine bank da mitspielt und sie auch anschließend handelbar sind.

      Habe meine Stücke als nicht handelbar seit Montag im Depot.

      Der kürzlich durchgeführte LOI setzt fest, dass die Parteien(Partys) bona fide arbeiten werden, um eine endgültige Abmachung(Vereinbarung) so bald wie möglich durchzuführen, wird der Kaufpreis eine Kombination des Lagers(der Aktie) sein und Endfristen(-begriffe) einlösen wird in der endgültigen Abmachung(Vereinbarung) bekannt gegeben.       hallo leute

      hat irgend jemand das gleiche problem???

      hatte gestern meine stücke die per post gekommen sind sofort zu bank(sparkasse) gebracht und heute ruft mich meine beraterin an und sag mir das auf der rückseite des blauen briefes(aktien) ein stempel drauf ist der den verkauf der aktien sperrt(nicht handelbar). jetzt geht sie ab und ich kann nicht verkaufen das gibt es doch nicht. sind bei euch alle stücke handelbar und bei welchen banken seit ihr den???

      warte auch noch auf meine anteile, hab grad bei consors angerufen und die meinten der TA hat noch noch alle ausgeliefert..
      hmmm, am liebsten hätte ich die stücke natürlich ins depot eingebucht doch das geht anscheinend nicht..wieso dann bei anderen banken wie manche hier schrieben verstehe ich nicht und der nette herr von consors auch nicht.. hoffe ich kann die dinger irgendwann irgendwie handeln..

Für eine Jupiter bekam man zu einem bestimmte Umtauschverhältnis paivis aktien. Dazwischen gab es dann noch einen Resplit. Diese wurden aber nicht einfach auf dem Depot umgebucht, sonder die Bank mußter die Daten einem Trasfer Agent mitteilen. Woraufhin die Jupiter aus dem Depot gebucht wurden.
      Nun warten wir auf die paivis Aktien, die dann per Post zu uns geschickt werden soll. Bei einigen scheint es ja schon geklappt zu haben.

      Dazu fällt mir ein, gibt es hier jemanden, der damals nicht zusgetimmt hat, dass die Daten den den Transfer Agent übermittelt werden, und was ist dann aus den Aktien gewurden?

      Leider können wir Ihnen in Verbindung mit dem obligatorischen Umtausch der Jupiter keine Unterstützung anbieten.
      Der Umtausch findet über einen sogenannten Transfer Agent statt. Wie es auch im Anschreiben veröffentlicht wurde, haben wir hierauf keinen Einfluss.
      Es liegen uns Informationen vor, dass Kunden deren Stücke über eine Luxemburgische Lagerstelle hinterlegt waren, bereits die effektiven Stücke erhalten haben.
      Die Aktionäre, deren Stücke bei einer US Lagerstelle hinterlegt sind, haben die Auslieferung noch nicht bekommen. Davon sind auch Ihre Stücke betroffen.

      Habe heute auch meine PAIV-Aktie bekommen von Consors , frage mich nur warum von Consors u. nicht vom Transferagenten , da ist doch der Brief letztes Jahr wegen der Anschrift der Aktionäre fürn Arsch gewesen .

      Hat schon einer bei Consors angefragt wegen der Einbuchung der Aktien ins Depot ?

      Verstehe immer noch nicht warum einige die Aktien ins Depot bekommen zum freien Handel u. andere gesperrte Aktien per Brief :confused::confused::confused:

      Das Zertifikat kann nicht als effektive Stücke eingebucht werden, da es namentlich ausgestellt ist.

      Hi Leute!

      Eigentlich habe ich mich aus diesem Thread nach meinem PAVC Verkauf ja schon verabschiedet, aber ich habe eben einen Anruf erhalten, welcher mir das Wochenende richtig versaut:

      Ein Herr von S-BROKER Kundendienst meldete sich bei mir. Er sprach mich auf meine zuletzt verkauften PAVC Shares an. Kurz: Ich soll das eingebuchte Geld wieder auf mein Depot Konto einzahlen, da die Dinger restricted sind. Der Verkauf wird komplett rückgängig gemacht, so dass es dann aussieht als ob nichts geschehen ist. Das heisst im Klartext, dass ich ab dem offiziellen Einbuchungsdatum (ehemals Jupiter) zu PAVC nun 1 Jahr warten muss um sie zu verkaufen.

      Heftig, heftig... :mad: Ich überlege ernsthaft, ob ich das Geld tatsächlich auf mein Depot zurück zahle. Was sagt Ihr dazu?

      hi leute,

      auch die broker der deutschen bank gehen auf die verkaufskunden zu (zumindest auf mich). storno ist bereits abgewickelt. konto wurde einfach belastet.

      was allerdings die jahresfrist angeht sieht es wohl so aus, dass die paivisaktien der jupiteraktionäre wohl auf ewig restricted sind und nur durch eine legal opinion (kosten ca. 300$) freigemacht werden können.

      ich sags ehrlich, das wird ne menge arbeit!

      Company has a long history of announcing GR8 deals only to follow up later with excuses as to why the deals fell thru.

      Company has been a serious dilution machine under all it's previous names as well.

      There is no liquidity.

      The more I look at TCHH the more I see the same shammy moves that are so typical with PS and OTC issues. Lots of promises, none of which happen. Lots of dilution with the insiders being the only ones who profit as shareholders see losses as PPS drops. Several different biz models under several different names. All were touted to be GR8 got the company and it's shareholders, yet they have not succeeded in a single one of their past ventures that they painted to be so promising.

      They RS'd the issued and outstanding but NOT THE AS, which diluted the heck out of shareholders and then what did they do? Since they did not RS the AS (not a good sign when they RS the OS but not the AS. Companies that do it this way do so many times because they plan to keep the AS high so they can print and dump more paper after diluting the shareholders. Then they dilute even more after the RS) they started printing paper and dumping it after the RS.

      After doing DD on TCHH I see nothing impressive and in fact I see many shammy signals. IMO, they look like your typical shammy company filled with promises that are never fulfilled, constant name changes and biz model changes, massive dilution and only losses delivered to shareholders as insiders line their pockets.

      Dazu fallen mir wieder mein Zertifikat ein.
      Hat schon einer was rausgefunden, wie die eingetauscht werden?
      Bei meiner Bank hieß es, die können nicht als effektive Stücke auf dem Aktienkonto eingebucht werden, da es so im Zertifikat steht und es persönlich auf meinen Namen ausgestellt wurde (Consors). Es hieß nur, ich solle mich an die Firma wenden.
      Habe auch mal vor etwas längere Zeite eine Email geschrieben, aber nie eine Antwort bekommen.
      Ist jemand hier, der das Zertifikat auf sein Konto einlösen konnte und jetzt handelbare Akten hat?

      hallo zusammen,

      also mal nicht zu sehr über die db schimpfen bitt. hat seine gründe.

      auch mein verkauf wurde nach ausführung wieder storniert. hintergrund ist, (habe mit dem handel telefoniert)dass die stücke definitiv NICHT handelbar sein dürfen. Die amerikanische Lagerstelle hat die DB darauf hingewiesen nachdem die Order schon ausgeführt war. Demzufolge ist auch die DB bestrebt, die, so hat es sich für mich angehört, Leerverkäufe zu decken und die Dinger handelbar zu machen.

      nichts desto trotz würde mich jetzt viel mehr interessieren, ob die stücke, wenn sie denn dann irgendwann neu eingebucht werden (nach der übernahme) auch wirklich handelbar sind. ich für meinen teil werde sie dann auf jedenfall verkaufen und hoffen dass ich mit blauem auge davon komme. das geld habe ich eh schon abgeschrieben!

      also, kopf hoch und ruhig bleiben!

      durch anrufe bei der SEC wird das ganze auch nicht einfacher. seid lieber froh das die DB eine der wenigen banken ist, welche die Stücke ÜBERHAUPT eingebucht haben und ihr demzufolge euch die neuen bekommen müsstet!

      Neuigkeiten von meiner Bank:

      Gestern wurden mir ja wieder die Jupiter mit der alten Kennummer eingebucht. Heute rief mich mein Broker an und teilte mir folgendes mit: Nächste Woche wird die Aktie in Paivis umgewandelt, danach die Splits durchgeführt (mit jetziger Kennummer ). Die Aktie bleibt aber vorerst gesperrt, bis alle Ihre Aktien haben, und alle Leerverkäufe rückgänig gemacht wurden. Dies kann laut Lagerstelle noch einige Zeit dauern. Nach Frage wie lange, bekam ich als Antwort: max. 6 Monate.

      Ich bin jetzt mal froh das sich was tut, und können jetzt wieder hoffen, das Paivis steigt. Die rückkäufe der Leerverkäufe könnten der Aktie einen Schub nach oben geben.

      Alles wird wieder gut, und vielleicht beschert uns Paivis ja ein schönes Weihnachtsgeschenk.

      meine Bank ist die Direktbank in Österreich. Heute sind offiziell die Jupiter in Paivis getauscht worden. In meinen Depot habe ich jetzt die Paivis Aktie, sie hat allerdings wiegesagt eine Verkaufssperre drauf.

      ITEM 8.01 OTHER EVENTS.
      On October 5, 2007, Paivis, Corp. (the "Company") executed a binding term sheet with Trustcash Holdings, Inc. ("Trustcash"), that outlines the preliminary terms of a stock acquisition whereby Trustcash intends to acquire all of the issued and outstanding common and preferred shares of Paivis on an exchange basis that will value the Company's common shares at $1.30 per share in exchange for Trustcash's preferred stock, subject to an independent price valuation of the Company's common stock and also includes the exchange of new classes of Trustcash's preferred shares to mirror those rights and preferences prescribed for existing preferred shares of the Company's designated classes of preferred shares.

      The transaction is intended by the parties to be structured as a tax free reorganization and is subject to additional conditions precedent to closing. The rights and preferences of Trustcash's preferred shares that are to be exchanged for the Company's common shares will be determined by negotiations of the parties prior to closing, that are planned to include a mandatory annual dividend preference and registration rights covering the preferred shares to be received by the Company's existing common shareholders. The parties have mutually agreed to complete negotiations and enter into the definitive agreement for the transaction within a reasonable time after October 15, 2007. Although the definitive agreement that is to be executed by the Company and Trustcash may include rights in favor of the Company's existing common shareholders to have their preferred shares received in the share exchange registered for resale with the Commission, there can be no assurance given by the Company on the time period it may take to approve the registration of such shares, or that the Commission will ultimately declare the proposed registration statement covering those shares to be effective.

      The Company intends to file Information Statements on Schedule 14C with the United States Securities and Exchange Commission, as required by Rule 14c-101 of the Securities Exchange Act of 1934, which will provide the information required by such Schedule 14C prior to the effective date of the transaction.

      Hallo,


      auch ich habe nichtsahnend meine Aktien verkauft und nun bekam ich heute ein Brief in dem geschrieben steht, dass ich meine Aktien wieder selber decken soll.

      Bei dem Verkauf und dem jetzigen Kauf entsteht mir ja ein Schaden...
      und das nur weil die Bank die nicht gesperrt hat.

      Ist es möglich das Geschäft rückabzuwickeln? Ist jetzt aber schon 17Tage her.
      Hätte ich Chancen wenn ich der Bank sage Sie soll mir den Schaden ersetzen (Transaktionskosten + Kursdifferenz)?


      Ach genau, in den Meldungen zwecks Aquise steht etwas von 70mio Revenue anstatt 7mio in 2006... Hätte das nicht schon viel früher sich in den Zahlen auswirken müssen?

      Im Gegenteil gingen zwar die Cost of Sales zurück, aber der Umsatz (Revenue) ging auch geringfügig zurück (Zahlen vom Juni).

      Der Verlustvortrag liegt auch bei knapp $1.5mio also ich seh da garnichts von Verbesserungen.

      Auch das ist ein wenig komisch. Die Abschreibungen für Computer (3 Jahre) deuten darauf hin, dass die nur ein Equipment von ca. $18.000 haben...

      Das dürfte gerade mal für maximal 15 gut ausgestattete Computer und Drucker + Monitore und Zubehör reichen... Und die sind auch noch 3 Jahre alt, von 2004... und nun volkommen abgeschrieben. Das Telekom Equipment scheint auch schon 4-5 Jahre alt zu sein... denn es sind nurnoch $47.000 abzuschreiben von $1mio...

      Das scheint mir doch so als würden die aus allen Löchern pfeifen und sparen wo die nur können...


      Ich spiele mit dem Gedanken einfach zu shorten und der Bank dann irgendwann den Gefallen zu tun für 10mal weniger die Aktien zurückzukaufen...

      Falls der Kurs doch steigt und ich könnte nichtmehr eindecken was hätte ich aufgrund des Fehlers bei der Bank zu befürchten?

      Hallo Zusammen,

      ich habe mal bei der Bank nachgefragt zwecks Einreichnung des Zertifikats. Dazu wollten die eine Kopie des zertifikats haben, um zu überprüfen ob es als effektive Stücke eingereicht werden kann. Es kam raus, dass eine Sperre auf den Aktien ist. Dadurch können sie nicht eigeliefert werden.
      Ich muss erst eine "legal opinion" (weiß nicht, ob es so geschrieben wird) machen.
      Weiß jemand wie das gemacht wird? Es muss wohl über einen Anwalt / Transfer Agent in USA laufen.

      Ist nur wieder mal gut das keiner weiß was mit den aktien die einige im Depot haben und andere zu Hause rum liegen haben wird , und ob wir sie jemals wieder handeln können .

      So wie ich das noch in Erinnerung habe , war davon nie die Rede in den Veröffenlichungen der Firma das die aktien für immer gesperrt sind .

      Von der Sache her , müssten wir ne Sammelklage machen und uns , unser Geld wieder zurück holen .

      Trustcash Holdings, Inc. and Paivis, Corp. Announce Signing of Definitive Agreement and Plan of Merger
      TRUSTCASH HOLDINGS, INC. ("TRUSTCASH") (OTCBB: TCHH) and PAIVIS, CORP.       ist das der Grund für den rapiden Rückgang:
      bis zum 29.10. sprach Paivis beim Merger mit Trustcash von Common und Restricted Shares, danach nur noch von Common Shares. Die handelbaren Shares jedoch (PAVC) sind restricted Shares.

      hast du eine aktuelle Info, wie lange die Jupiter-Teile (jetzt Paivis) noch restricted bleiben werden? Ich habe sie seit Ende des Jahres im Depot (wir haben den gleichen Broker ;) daher gehe ich davon aus, dass du sie auch inzwischen hast)

      Sie haben zwar nur noch "Restwert", wäre aber trotzdem schön sie irgendwann verticken zu können, aber dazu muss wohl diese sche** Veräußerungsspere weg, denn alle die trotzdem verkauft haben, mussten rückabwickeln, wie ich hörte.

      Hab hier im board und auch in einigen anderen boards flüchtig durchgeblättert, aber keine aktuelle Info dazu finden können.

      Heißt das, wir Ex-Jupitaner tappen immer noch im Dunkeln ?

      bei mir in meinem Consors Depot wurden die JPHC aktien schon vor einem Jahr ausgebucht .

RifleHunter, dann verwchsel ich dich mit jemandem, hatte in Erinnerung, dass du bei "direktbank" Depot hattest, die haben Ende des Jahres Stücke normal eingebucht und mit zeitlich limitierter Verkaufssperre ("restricted") belegt. Ich dachte du hättest vielleicht Infos, wann eine Entsperrung eintreten könnte. Ein Zertifikat oder dergleichen hab ich nicht.
