Hier die Biographie von Chris Frank, die mir auf Anfrage mitgeteilt worden ist. Frank wurde unlängst erstmalig in einem Interview mit dem Glass-magazine als der CTO von OEC erwähnt. Der Name tauchte bislang weder auf der Homepage von OEC noch sonst irgendwo auf. Sehr aufschlussreiche Biographie, wie ich finde. Auch die Umschreibung seines Tätigkeitsfeldes bei OEC (am Ende des Artikels) ist interessant:

Mr. Christopher L. Frank





Chris Frank was born in Chesterton Indiana. He has worked for NIPSCO the Air Force as an electronics technician on the SR-71, Blackbird program at Beale AFB, California. He two Solar design company “The Energy Factory” and the “Solar Utility Network” SUN. After this Mr. Frank began a job with the plastics molding industry to include the management of a small custom injection-molding shop.



He received his Mechanical Engineering Degree at Sacramento State University. Chris became a designer for Houston Fearless-76, a Department of Defense (DOD) contractor supporting the SR-71 program.



After joining the US Air Force Advanced Composites Program Office (ACPO) in 1985, Mr. Frank supervised the installation and operation of a developmental injection molding facility for large-scale injection-molded parts.



He has also developed and taught a number of courses on thermoplastics, injection molding and tool design for industry and the DOD. Chris lead the office's thermoplastic activities.

Mr. Frank has contributed design, materials and processing expertise to the Phillips Laboratory at Edwards AFB, California, collaborating on the application of Liquid Crystal Polymers (LCP) technology to rocket motor and engine components. He has consulted with engineers at the Naval Air Warfare Center Weapons Division at China Lake, California, to develop a plastic Short Range Anti-armor Weapon.







Chris has also worked with engineers from Eglin AFB, Florida, Armament Laboratory to design and develop molding materials and processes to reduce the mass, lower the cost, and increase the producibility of hypervelocity projectiles.



Additionally, Mr. Frank has provided consultation and training to DOD organizations during their acquisition and installation of molding equipment.



In 1998 Chris left public service to join VeriFone at the time a subsidiary of Hewlett Packard. While at VeriFone he contributed to the development of a number of products including 2 handheld wireless offerings.

Chris most recently worked for Golden Bear Ceramics to launch an innovative new process that turns aggregate waste into stone tile. His experience with manufacturing and materials issues, proved to be an asset once again.



Mr. Frank has accepted the position of CTO at Open Energy to Sheppard existing products, including the SolarSave® BIPV Roofing Tile product and the Commercial SolarSave® Membrane product, to high volume manufacture. In addition Chris is tasked to create an incubator for the development of a line of new products and manufacturing techniques at the Grass Valley facility in California.

(dpa) Die Buchmacher hätten darauf wetten lassen können, wann der für peinliche Ausrutscher bekannte Silvio Berlusconi nach dem Sieg von Barack Obama bei der US-Präsidentenwahl erstmals ins Fettnäpfchen tritt. Kaum 36 Stunden hat es gedauert.

Neben einem gequält lächelnden russischen Präsidenten Dmitri Medwedew nannte der italienische Ministerpräsident am Donnerstag in Moskau den künftigen Mann im Weißen Haus "jung, schön und auch braun gebrannt". Ganz in der Geste eines Schauspielers schien er dann auch noch auf Applaus aus der Menge zu warten.

Als stattdessen wegen der rassistisch anmutenden Äußerung ein Sturm der Entrüstung losbrach, konterte der 72-Jährige unbeirrt weiter auf seine Weise: "Das war ein Kompliment, wer das nicht versteht, der gehe zum... ."

"Signor Ministerpräsident, der einzige Gebräunte hier sind Sie", meinte bitter-ironisch der aus dem Kongo stammende linke Abgeordnete Leonard Touadi in Rom. Da machte die jüngste Entgleisung des immer blendend aussehenden Milliardärs mit dem starken Selbstbewusstsein allerdings bereits die Runde um den Erdball.

"New York Times" und CNN griffen den Faux-Pas vom "sun-tanned" Obama genüsslich auf, nach dem Motto etwa: Hier haben wir ihn wieder, den Mann, der sich doch auch schon selbst mit Gott, Napoleon oder einem Heiligen verglichen hatte. Die römische Tageszeitung "La Repubblica" hob Berlusconis "rassistischen Witz" in großen Lettern auf die Titelseite und berichtete auch von ersten Protesten in den USA.

Am Tiber ging der Oppositionsführer Walter Veltroni, der sich selbst gern "Italiens Obama" nennen lässt, vor die Kameras: "Bild und Würde Italiens sind schwer beschädigt." Berlusconi solle sich entschuldigen - und zwar "subito" (sofort).

Daran dürfte der konservative Medienzar kaum denken. Schon mit dem offiziellen Glückwunsch an den nächsten US-Präsidenten hatte sich der Vertraute von George W. Bush Zeit gelassen und schwergetan. Und auch als in den USA noch der Wahlkampf tobte, hatte der 72-Jährige mit der immer frisch gefärbten Schläfe und dem Sonnenstudio-Look in einer typischen Bemerkung klar gemacht, wen er gern im Weißen Haus sehen würde - John McCain.

Ein Grund: Dann wäre er, Silvio Berlusconi, beim nächsten G8-Gipfel auf der italienischen Insel La Maddalena wenigstens nicht der älteste unter den Staatschefs - sagte der Mann, der auch schon damit prahlte, er habe bei der finnischen Präsidentin Tarja Halonen alle "Playboy"-Künste aufgeboten, um sie auf seine Seite zu ziehen.

Die Solarflut
Die Photovoltaik-Industrie übertrifft alle Erwartungen. Ein ruinöser Preiswettkampf droht

BERLIN. Noch im Mai klagte die die Solarbranche ihr Weh. Lobbyisten nahmen die Politiker in die Zange und redeten das Wachstum der Photovoltaik-Industrie klein - ein zartes Pflänzchen sei sie, dass es zu schützen gilt, bis es in vielen Jahren endlich stark genug ist, ohne staatliche Subventionen zu überleben. Die Warnungen überzeugten: Ab 2009 sinkt die Vergütung für Solarstrom lediglich um acht bis zehn Prozent pro Jahr.

Doch wird inzwischen immer deutlicher, dass das zarte Pflänzchen enorm schnell in die Höhe schießt. Weltweit entstehen Fabriken mit riesigen Kapazitäten, die schon bald eine Flut an Solarmodulen produzieren werden.

Die Beratungsgesellschaft Photon Consult gehen davon aus, dass sich die Solarmodulproduktion bis 2010 vervierfacht - von weltweit derzeit 7,1 Gigawatt Maximalleistung auf 28,8 Gigawatt pro Jahr. Ein herkömmliches Kohlegroßkraftwerk schafft etwa ein Gigawatt, jedoch steht die Leistung ständig zur Verfügung. Das Energieforschungsinstitut der EU-Kommission erwartet eine Kapazität von 35 Gigawatt, auch wenn die tatsächliche Produktion etwas darunter liegen dürfte. Bis 2012 soll sich das Angebot laut Photon noch einmal verdoppeln.

Boom und Überproduktion

Dies zeigt: Der Beitrag der Solarindustrie zur globalen Stromerzeugung könnte viel schneller steigen als bislang für möglich gehalten. Ging man bisher davon aus, dass erst gegen 2050 ein substanzieller Teil der Stromerzeugung direkt aus der Sonnenstrahlung kommt, sind nun auch für 2020 schon große Beiträge möglich. Epia, der europäische Solarstrom-Dachverband, hält dann einen Beitrag von zwölf Prozent zur europäischen Stromversorgung für möglich.

Doch woher kommt die Solarmodulflut? Zum einen bauen die führenden Hersteller in den Industrieländern kräftig aus, darunter deutsche Hersteller wie Q-Cells oder Solarworld, aber auch andere etablierte Firmen wie Norwegens REC oder First Solar aus den USA. Gleichzeitig schießen die Solarfabriken in Asien nur so aus dem Boden - Firmen, von denen bisher kaum jemand etwas gehört, sind dabei, innerhalb weniger Jahre enorme Mengen auf den Markt werfen.

Zudem weitet sich derzeit ein Flaschenhals, der die Expansion der Solarfirmen jahrelang bremste: Die Versorgung mit Silizium, dem Basismaterial für die Solarzellen. 2006 waren erst 25 Produzenten am Markt, die sich damals eine goldene Nase verdienen konnten. Derzeit sind es schon über 170, weitere kommen laufend hinzu. Die Produktion soll sich nach konservativen Schätzungen bis 2012 verfünffachen.

Das sind im Grunde gute Nachrichten für die Branche. Wäre da nicht die Sorge, dass die vielen Module keine Abnehmer finden. Experten rechnen mit einem enormen Konkurrenzkampf unter den Anbietern. "Das Problem ist das Missverhältnis zwischen Angebot und Nachfrage", sagt Stephan Droxner, Analyst bei der LBBW. "Ich erwarte einen dramatischen Preisverfall." Die Preise für fertige Module, so seine Schätzung, könnten innerhalb weniger Jahre auf die Hälfte sinken. Damit drohen Pleiten: "Ich sehe sehr viele zukünftige Verlierer."

Auch die deutschen Stromkunden könnten zumindest finanziell zu Verlierern werden - denn hierzulande können nach dem aktualisierten Erneuerbare Energien Gesetz quasi unendlich viele Solarmodule zu hohen Fördersätzen aufgestellt werden.

Deutschland wird so zum Auffangebecken für die globale Modulflut. Photon Consulting erwartet, dass von den 28 Gigawatt Produktion im Jahr 2010 knapp elf nach Deutschland gehen werden. Solarstrom würde laut Photon dann einen Strompreisaufschlag von 1,1 Cent verursachen und damit den Großhandelspreis um über zehn Prozent erhöhen - und die Kosten müssen für Jahrzehnte getragen werden, weil die Aufsteller von Solaranlagen ihren Strom für 20 Jahre zu einem Festpreis ins Netz einspeisen dürfen.

Der Bundesverband Solarwirtschaft (BSW) lehnt das Wort Modulflut indes ab und spricht lieber von "mehr Angebot". Zudem sei ein sehr kräftiger Rückgang der Modulpreise laut Geschäftsführer Carsten Körnig "sehr unwahrscheinlich". Deshalb soll auch bei der Förderung alles so bleiben wie gehabt. Mit den neuen Gesetzesvorgaben von acht bis zehn Prozent Absenkung pro Jahr sei die derzeitige Schmerzgrenze bereits erreicht und teils sogar überschritten.

Bei Verbraucherschützern regt sich indes Widerstand. Holger Krawinkel, Energie-Experte des Bundesverbands der Verbraucherzentralen, sagt: "Die Kosten für die Verbraucher steigen immens an. Dabei ist selbst aus der Branche zu hören, dass sie viel günstiger produzieren können. Deshalb fordern wir eine deutlich stärkere Absenkung der Vergütung als bisher." Die neue Regierung solle das 2009 sofort angehen.

Für die so fleißig produzierenden Solarmodulhersteller wäre eine Kappung oder sehr kräftige Absenkung der Solarsubvention in Deutschland eine Schreckensnachricht. "Bevor man über ein weiteres Absenken der Vergütung spekuliert und damit Deutschland als Standort für solare Spitzentechnologie in Frage stellt, sollte man sehr genau beobachten, wie die Unternehmen mit den neuen harten Vorgaben klarkommen", warnt der BSW. Klar ist: Eine Ende der massiven Förderung würde den Preisverfall und die Überkapazitäten noch beschleunigen, wenn kein anderes Land überraschend mit einem ähnlichen Programm in die Bresche springt - wofür unter Umständen der zukünftige US-Präsident Barack Obama sorgen könnte.

Ein "natürlicher Markt"

Ohne einen großen und subventionierten Abnehmermarkt sähe es aber zunächst düster aus. Der weitgehende Wegfall von Subventionen die Branche zwingen, eiligst erwachsen zu werden. Die Preise für Solarmodule würden purzeln und damit auch die Gewinnmargen sinken, bis Solarstrom in vielen Ländern deutlich billiger als Strom aus der Steckdose ist - als erstes wird dies in Gebieten mit teurem Strom oder sehr viel Sonne erwartet, etwa in Südspanien, Kalifornien oder Hawaii. Experten sprechen von der Entstehung eines "natürlichen Markts".

Rasantes Wachstum in Fernost

In Asien boomt die Photovoltaik. Allein Unternehmen aus Taiwan wie Gintech, Motech oder Neo-Solar werden 2010 nach Schätzung von Photon rund fünf Gigawatt Solarzellen herstellen. Das ist deutlich mehr als 2007 weltweit produziert wurde.

In China erhöht sich der Ausstoß ebenfalls rasant. Der chinesische Marktführer Suntech möchte seine Produktion innerhalb von zwei Jahren verdreifachen, viele Neugründungen wollen innerhalb weniger Jahre schon ähnliche Größenordnungen erreichen.

Die technischen Hürden für den Markteinstieg sind hoch, aber zu bewältigen. Bei Herstellern wie Applied Materials oder Oerlikon können inzwischen komplette Produktionsstraßen bestellt werden, die auch Neuankömmlingen den Ein- stieg leicht machen.

Auch in Deutschland blühen die Expansionspläne. Die deutsche Q-Cells etwa, größter Solarmodul-Hersteller der Welt, will die Produktion bis 2010 rund vervierfachen auf 2,5 Gigawatt.

Die Stimmung in den USA schwankt in der Woche nach dem historischen Ausgang der Präsidentschaftswahl so wild wie die Börsen - zwischen Niedergeschlagenheit und Neuaufbau. Eins ist klar: Barack Obamas Pläne werden für viele Branchen Konsequenzen haben.

NEW YORK. Bücher von und mit Barack Obama stürmen derzeit die Bestseller-Listen in Amerika. Unumstrittener Spitzenreiter: Obamas Mutmacher "The Audacity of Hope" (Mut zur Hoffnung). Unweit dahinter: Der düstere Wirtschafts-Bestseller "I.O.U.S.A." von Addison Wiggin, eine Geschichte über den gigantischen Schuldenberg Amerikas.

Die Stimmung in der größten Volkswirtschaft der Welt ist damit gut beschrieben: Sie schwankt in der Woche nach dem historischen Wahlausgang so wild wie die Börsen - zwischen Niedergeschlagenheit und Neuaufbau. Die jüngsten Zahlen und Prognosen sprechen dafür, dass die USA tief in der Rezession stecken. Das Bruttoinlandsprodukt ist im dritten Quartal 2008 geschrumpft, für das Schlussquartal wird ein hohes Minus erwartet. Die Verluste bei Immobilien- und Finanzvermögen halten an, die Arbeitslosenzahlen steigen rasant, wichtige Märkte wie die Autoindustrie und der Inlandskonsum sind in den freien Fall übergegangen.

"Corporate America" braucht Mut zur Hoffnung darauf, dass Obama und sein Wirtschafts-Team die richtigen Antworten auf "die größte wirtschaftliche Herausforderung unseres Lebens" finden, wie der gewählte Präsident einräumt. Wer bringt die Konjunkturlokomotive wieder in Fahrt, wenn ihr wichtigster Motor, der US-Konsument, auf Jahre hinaus einen Schuldenberg abtragen muss? Wo entstehen neue Arbeitsplätze, wenn in der klassischen Industrie, im Finanzsektor und im Handel Hunderttausende von Jobs gestrichen werden? Wird mit Blick auf das alarmierende Haushaltsdefizit überhaupt Geld zur Verfügung stehen, um das marode Gesundheitssystem zu reparieren und die Industrie über den Neubau von Brücken, Straßen und Schulen zu stärken? Entscheidend werde sein, wie schnell die US-Regierung das Vertrauen in die Wirtschaft wiederherstellen und die globalen Finanzmärkte stabilisieren könne, sagt der Chef des Krankenversicherers Aetna, Ronald Williams.

Dass Obama auf diesem Weg einige Grundpfeiler der Wirtschaft verschieben wird, steht außer Frage. Anders als der amtierende Präsident George W. Bush setzt der Nachfolger auf erneuerbare Energien, in deren Entwicklung 150 Mrd. Dollar fließen sollen. Obwohl die Ölbranche eine der letzten Industrie-Bastionen Amerikas mit Gewinngarantie ist, will Obama die Abhängigkeit vom schwarzen Gold verringern. Auf seiner Agenda steht, Spritschlucker von den Straßen zu verbannen und die Entwicklung von Elektroautos voranzutreiben. Damit das im eigenen Land geschehen kann, ist er willens, die vor dem Kollaps stehende US-Autoindustrie mit Staatshilfen am Laufen zu halten. Citigroup-Analyst Edward Kerschner sieht derweil ein Bündel von Branchen durch den Regierungswechsel belastet: Unter ihnen sind Broker und Vermögensverwalter, Pharma- und Tabakfirmen, Kraftwerksbetreiber und Luxusgüterhersteller.

Schließlich hat Obama eine gewissenhaftere Regulierung der Wall Street angekündigt und dem Wähler Änderungen in der Steuerpolitik versprochen: Geringverdiener sollen entlastet, Topkonzerne - wie Exxon-Mobil - zur Gegenfinanzierung belastet werden. Die Reaktionen aus den Vorstandsbüros fallen entsprechend reserviert aus. Die USA hätten unter den Industrienationen schon jetzt die zweithöchste Unternehmenssteuer (35 Prozent), heißt es einsilbig. Der CEO des Büroartikel-Konzerns Staples, Ronald Sargent, rät dem künftigen Präsidenten, den Begriff "Business" nicht länger als "schmutziges Wort" zu gebrauchen. Wie groß die Sorge vor einem Linksruck ist, zeigt ein Meinungsbeitrag des Ex-Konzernchefs von American Express, Harvey Golub: "Wenn wir Handelsbarrieren aufbauen, Detroit subventionieren und den Gewerkschaften Schikanen erlauben, werden wir vor einer langen Rezession stehen", warnt Golub im "Wall Street Journal".

Das demokratische Lager hält entgegen, dass der künftige Präsident durchaus hochkarätige Unterstützung aus der Wirtschaft habe. Zu seinem Berater-Team zählen Google-Chef Eric Schmidt, Investoren-Legende Warren Buffett, die Ex-Finanzminister Lawrence Summers und Robert Rubin sowie der frühere Notenbankchef Paul Volcker. Obama sei ein Pragmatiker und kein Ideologe, beteuern seine Weggefährten. Sie müssen aber noch viel Überzeugungsarbeit leisten: Einer Oktober-Umfrage des Magazins "Chief Executive" zufolge fürchten mehr als 500 von 751 befragten Vorstandschefs die Konsequenzen einer Obama-Präsidentschaft.

Vesta Capital Corp. (TSXV:VES.P) Announces the Signing of a Letter of Intent for Its Proposed Qualifying Transaction

TORONTO, ONTARIO--(Marketwire - Nov. 10, 2008) - Vesta Capital Corp. ("Vesta") (TSX VENTURE:VES.P) is pleased to announce that on October 30, 2008, it entered into a letter of intent ("LOI") with 3GSolar, Ltd. ("3G"). The LOI provides that Vesta will enter into a share exchange transaction with each of 3G's shareholders, which will result in 3G becoming a wholly-owned subsidiary of Vesta (the "Transaction"). The Transaction is intended to constitute Vesta's "qualifying transaction" under TSX Venture Exchange ("TSXV") policies. If the Transaction it successfully completed, it is believed that 3G would be the first Israel-based business listed on a Canadian stock exchange.

About 3G

3G (formerly, Orionsolar Photovoltaics Ltd.) is a developer of dye solar cell ("DSC") photovoltaic modules. DSC technology is a cost-effective alternative to silicon and thin film-based systems, providing a low-cost solar energy solution that produces electricity efficiently even in low light conditions. 3G focuses its efforts to develop DSC modules to serve off-grid markets, mainly in developing countries where in excess of two billion people live without electricity.

3G was incorporated June 24, 2004 under the laws of the State of Israel. Its business operations are conducted through its facility in Jerusalem, Israel. Upon completion of the Transaction, it is anticipated that the resulting issuer will be classified as a research and development issuer by the TSXV.

The issued shares of 3G are owned by thirty-four (34) shareholders. Dr. Jonathan Goldstein (of Jerusalem, Israel), 3G's founder, its president and a director, owns approximately 11% of 3G's shares (fully diluted). Seventeen (17) shareholders (including three 3G employees who own less that 3% of 3G's shares, fully diluted) are individual Israel residents or Israel corporations controlled by Israel residents, who collectively own approximately 22% of 3G's shares (fully diluted). The remaining sixteen (16) shareholders own approximately 66% of 3G's shares (fully diluted). Fifteen (15) of these remaining shareholders are limited liability companies formed under the laws of Delaware (U.S.A.) and controlled by U.S. residents, and one (1) shareholder is an Ontario corporation controlled by a resident of Ontario. Other than Dr. Goldstein, the only shareholder who holds in excess of 10% of 3G's shares is DG-OSP, LLC, a Delaware (U.S.A.) limited liability company, controlled by The Quercus Trust (Newport Beach, California) which owns approximately 17% of 3G's shares (fully diluted).

To date 3G has engaged in the research and development of DSC photovoltaic technology. 3G employs seventeen (17) professionals at its facility.

3G has provided Vesta with audited financial statements (prepared in accordance with Israel auditing standards) for the years ended December 31, 2007 and 2006, which financial statements have been reconciled to Canadian GAAP (both presented in United States dollars). 3G has also provided unaudited financial statements for the 6 month period ended June 30, 2008, which financial statements are also being reconciled to Canadian standards. As at December 31 2007, 3G had total assets of USD$1,514,175 and total liabilities of USD$202,330. For the year ended December 31, 2007, 3G had a net loss of USD$967,255 of which USD$741,079 represented R&D expenditures incurred during the period. As at June 30, 2008, 3G had total assets of USD$1,293,891 and total liabilities of USD$262,390. For the 6 month period ended June 30, 2008, 3G had a net loss of USD$655,726 of which USD$289,435 represented R&D expenditures incurred during the period.

Terms of the Transaction

Vesta is proposing to issue 25,000,00 common shares to holders of 3G shares pro rata (based on the number of 3G shares held) at a deemed price of $0.40 per share, in exchange for 100% of the issued shares of 3G. Upon completion of the Transaction, Vesta will own 100% of 3G. 3G's current business (as heretofore described) will become the business of the resulting issuer.

The Transaction is subject to a number of conditions including but not limited to: (i) both 3G and Vesta completing their mutual due diligence of one another, which due diligence is to be completed within 30 days of the date of the LOI, (ii) negotiation of acceptable definitive share exchange agreement(s) (or other suitable arrangements) between Vesta and each holder of 3G shares, (iii) receipt of all required regulatory approvals (including TSXV approval as noted below), and (iv) Vesta raising sufficient additional funds which, which combined with Vesta's existing funds, will allow it to meet the TSXV's minimum listing requirements upon completion of the Transaction.

There are no persons who are Control Persons (as defined in TSXV policies) in both Vesta and 3G and no director, officer or insider of Vesta owns any shares of 3G and no director, officer or insider of 3G owns any shares of Vesta. As such, the proposed Transaction does not constitute a "Non-Arms Length Qualifying Transaction" (as defined in TSXV policies). Therefore, subject to TSXV confirmation, the Transaction will not require the approval of Vesta's shareholders.

Agency, Fiscal Advisory and Sponsorship Arrangements

To satisfy the condition set out in (iv) above, concurrent with the closing of the Transaction, Vesta will conduct a public offering of common shares by way of prospectus in Canada and in other jurisdictions pursuant to available exemptions, seeking to raise between $4,000,000 and $6,000,000 of funds (the "Offering"). Subscribers to the Offering will receive common shares of Vesta at a price of $0.40 per share.

Vesta has engaged Canaccord Capital Corporation ("Canaccord") to act as lead agent in connection with the Offering. Canaccord has agreed to lead a syndicate of agents (collectively, the "Agents"), including Sandfire Securities Inc. ("Sandfire").

In connection therewith, the Agents will be paid a cash commission of 8% of the funds raised and will receive that number of brokers warrants which is equal to 10% of the number of common shares sold. Each brokers warrant will entitle the holder to purchase one common share of Vesta at a price of $0.40 per share, for a period of 24 months from the closing of the Offering.

Canaccord has agreed to act as sponsor in connection with the Transaction, however Vesta expects that it will be exempt from the TSXV formal sponsorship requirements provided a portion of the Offering is completed by way of prospectus signed by a duly qualified agent (such as Canaccord). An agreement to sponsor should not be construed as any assurance with respect to the merits of the Transaction or the likelihood of completion. The financing and the sponsorship are subject to the completion of satisfactory due diligence by Canaccord.

Vesta has also engaged Canaccord to provide fiscal advisory services in connection with the Transaction. In connection therewith, Vesta has agreed to pay Canaccord a monthly work fee of $25,000 plus G.S.T. for up to four months.

In addition to the above, upon completion of the Offering, Vesta has agreed to issue as a success fee, 1,350,000 common shares (assuming the minimum Offering is sold) up to a maximum of 1,575,000 common shares (assuming the maximum Offering is sold) to Canaccord (which amounts will be reduced by up to 250,000 shares in lieu of any sponsorship fees and any monthly work fees paid to Canaccord, to a maximum of $100,000 at a price of $0.40 per share) and 150,000 common shares (assuming the minimum Offering is sold) up to a maximum of 175,000 common shares (assuming the maximum Offering is sold) to Sandfire.

About the Resulting Issuer

Following completion of the Transaction the resulting issuer will continue 3G's business. Upon completion of the Transaction and the anticipated minimum offering described above, 3G's shareholders would own approximately 60% of the issued shares of the resulting issuer. It is not anticipated that any single shareholder of 3G will own in excess of 10% of the shares of the resulting issuer.

It is anticipated that the directors and officers of the resulting issuer will be as follows:

Barry N. Breen is currently the Chief Executive Officer and a director of 3G. Upon completion of the Transaction, Mr. Breen will be added as a director and named Chief Executive Officer and President of Vesta. Mr. Breen served 16 years in senior positions at AVX Corporation (listed on NYSE). Prior to AVX, Barry was an engineer at General Electric (listed on NYSE). Mr. Breen holds a B.Sc. in Nuclear Engineering from the Massachusetts Institute of Technology. Mr. Breen was awarded the Kaplan Prize in 1994 for excellence in industrial development. In 1998, he was awarded the Kyocera Corporation President Award for outstanding achievement in product & business development.

David Anthony is currently a director of 3G. Upon completion of the Transaction, Mr. Anthony will be added as a director and named Chief Financial Officer and Secretary of Vesta. Mr. Anthony, is Managing Partner of New York venture capital firm, 21Ventures, LLC. Mr. Anthony currently serves as a director on the boards of public companies Worldwater & Solar Technologies Corp. (listed on OTCBB) and Open Energy Corporation (listed on OTCBB), and private companies Agent Video Intelligence Ltd, BioPetroClean Ltd., Juice Wireless, Inc. and VoIP Logic, LLC. Mr. Anthony teaches business management at the New York Academy of Sciences where he is an Adjunct Professor. Mr. Anthony received an MBA from The Tuck School of Business at Dartmouth College in 1989 and a BA in economics from George Washington University in 1982. He is an entrepreneurship mentor at the Land Center for Entrepreneurship at Columbia University Graduate School of Business. In 2002, Mr. Anthony was awarded the Distinguished Mentor of the Year Award from Columbia University.

Harold Wolkin is currently the President, Chief Financial Officer, Secretary and a director of Vesta. Upon completion of the Transaction, Mr. Wolkin will resign from all offices held by him and remain as an independent director of Vesta. Mr. Wolkin is a designated chartered financial analyst and Vice Chairman, Sandfire Securities Inc. (subject to regulatory approval), a full service, boutique investment bank. From August 1983 until his retirement in January 2008, Mr. Wolkin was employed with BMO Capital Markets, serving as the Managing Director, Diversified Industries, Investment and Corporate Banking. Mr. Wolkin received his B.A. from York University in 1975, his M.A. from the University of Toronto in 1976 and became a member of the Chartered Financial Analyst Institute in 1980. Since April 2008, Mr. Wolkin has served as a director of Grandview Gold Inc., a Toronto Stock Exchange and Over-The-Counter Bulletin Board listed company. Since November 2005, Mr. Wolkin has also served as a director of Brighter Minds Media Inc. (formerly Road Runner Capital Corporation), a TSX Venture Exchange listed company.

Frank Bellotti, is a current director of Vesta. Upon completion of the Transaction, Mr. Bellotti will remain as an independent director of Vesta. Mr. Bellotti served as is the Vice President and Director of Prime City One Capital Corp., a TSX Venture Exchange listed company. Mr. Bellotti is also the President of Kingside Mortgage Corporation, a position he has held since January 1989. Mr. Bellotti served as a director of BDE Equities from June 2006 to March 2008 and served as a director of Kingsdale Capital from June 2001 to June 2006.

Dr. Jonathan Goldstein, is the President and a director of 3G. It is anticipated that Dr. Goldstein will be appointed to the Vesta board some time following completion of the Transaction. Dr. Goldstein has been President and Chief Scientist of 3G since its founding. He served as a senior scientist at LUZ Industries, a pioneering company in the solar energy industry. From 1977 to 1989, Dr. Goldstein served as the senior battery scientist at Tadiran Ltd., Israel's flagship electronics company. Dr. Goldstein received his Ph.D in Chemistry from City University, London, UK. He holds 38 granted US patents, and has published/delivered more than 30 scientific papers.

TSXV Approval

Completion of the transaction is subject to a number of conditions, including but not limited to, TSXV acceptance and if applicable pursuant to TSXV requirements, majority of the minority shareholder approval. Where applicable, the transaction cannot close until the required shareholder approval is obtained. There can be no assurance that the transaction will be completed as proposed or at all.

London (aktiencheck.de AG) - Die Experten von "Trading INSIDER" stufen die Aktie von Open Energy (ISIN US6837071033/ WKN A0JNEA) mit dem Rating "strong buy" ein.

Man könne beim amerikanischen Anbieter für alternative Energien Open Energy nach Einschätzung der Experten schon fast nur noch Optimist sein. Eine gute Nachricht reihe sich an die nächste. Kaum habe man den Auftrag bekommen, für ein Luxusressort tätig zu werden, stehe schon wieder ein neuer, millionenschwerer Auftrag in den Büchern von Open Energy. Die jüngste Erfolgsmeldung komme aus dem Placer County. Diese Region gehöre zu den am schnellsten wachsten Landkreisen in Kalifornien. Sie erstrecke sich von Sacramento bis hin zur Grenze von Nevada. Den Meisten dürfte sie durch ihre Zugehörigkeit zur berühmten Sierra Nevada etwas sagen. Hier würden inzwischen mehr als 300.000 Menschen leben, Tendenz jährlich klar steigend.

Für die immer weiter wachsende Bewohnerzahl müsse etwas getan werden. Daher seien Neubaugebiete in dieser zentralkalifornischen Region nichts Ungewöhnliches. Auf einem davon komme nun Open Energy zum Zuge. Von SolarPro International aus Sacramento habe man einen äußerst lukrativen Auftrag erhalten. Das Unternehmen solle bei einem Bauvorhaben rund 375 neue Einfamilienhäuser mit den SolarSave PV Dachziegeln ausstatten. Das gesamte Auftragsvolumen für die Ziegel liege bei rund 4,21 Millionen Dollar. Je Haus ergebe sich so ein Auftragswert von mehr als 11.000 Dollar. SolarPro International sei ein Spezialist für Sonnenenergieintegratoren. Man sei also sehr kundig und wählerisch. Dass man ausgerechnet Open Energy mit diesem Auftrag betraue, zeige wieder einmal, welch gute Qualität das Unternehmen liefere.

Jedes neu gebaute Haus in dem Neubaugebiet werde mit 2-Kilowatt-Dachsystemen ausgestattet. Damit könnten etwa 50 Prozent des Strombedarfs des Hauses erzeugt werden. Solche Umweltaspekte würden bei neuen Bauprojekten in Kalifornien immer wichtiger. Mehr und mehr Menschen würden sich für ökologische Bauten entscheiden. Sie möchten Geld sparen und gleichzeitig etwas für die Umwelt tun. So erhalte auch der Bauunternehmer aus Placer County ein gutes Verkaufsargument durch diese "grüne" Bauweise. Dies werde die Nachfrage nach den Häusern voraussichtlich klar ankurbeln. Die neuen Besitzer würden etwas für ihr Gewissen tun und gleichzeitig den Geldbeutel entlasten. Zwei Fliegen würden dadurch mit einer Klappe geschlagen, zum Nutzen von Open Energy, die sich über einen neuen Großauftrag freuen würden.

Der Auftrag werde schon bald verwirklicht werden, da die Bauarbeiten in dem Gebiet bereits begonnen hätten. Noch ein Plus für Open Energy sei, dass der Auftrag Folgeaufträge nach sich ziehen könnte: Denn vor Ort erwarte man, dass das Bauvorhaben in den kommenden drei Jahren weiter ausgedehnt werde. Sei man bis dahin mit der Qualität der Ziegel von Open Energy zufrieden, könnte auch der nächste Auftrag für weitere Dachbauten wieder an das Unternehmen gehen.

Kalifornien scheine nach Meinung der Experten für Open Energy immer mehr zum guten Pflaster zu werden. Die Bekanntheit steige kontinuierlich an, man mache sich in den richtigen Kreisen einen guten Namen. Das lasse sich fortsetzen. Alle Seiten würden davon profitieren, zum Nutzen für Anleger und für den Kurs.

Eine satellitengestützte Steuerung ermöglicht außerdem ein genaues, schnelles und vielseitiges Arbeiten in der Landwirtschaft. Das für zwei und mehr Personen ausgelegte Fahrzeug wurde bereits zum Patent angemeldet. An einer selbstfahrenden Version wird ebenfalls gearbeitet. Die ersten Prototypen kommen Mitte 2009, die Markteinführung ist für 2010 geplant. Derzeit finden Gespräche sowohl mit Gemeinden und Ländern als auch mit Investoren statt. Der 31.12.2008 ist ein Stichtag,an dem die förderfähigen Solarmodule den Senat passieren müssen Und Oegy ist mit seinen Produkten dabei. Und das finde ich eine gute Nachricht, weil das steigende Umsätze in der Zukunft verspricht. Oder?

Suntech is required to offer Burlingame Industries, dba Eagle Roofing Products, the exclusive right to distribute the Tile Products in the United States for 2009 and 2010. We will earn royalties as a percentage of Suntech's total sales of the Tile Product on a quarterly basis during the term of the License Agreement in accordance with a formula specified in the License Agreement.

Nach meiner Einschätzung kann es für Oegy nicht besser laufen.

1. Suntech würde die Tiles nicht in Lizenz produzieren, wenn die nichts taugen würden!

2. Die Dinger werden weltweit vertrieben durch Suntech

3. In den USA exclusiv durch Eagle

4. Oegy erhält bis 2013 vierteljährlich Lizenzgebühren und das ohne eigenes Risiko

Das wird aus der ganzen Oegy - Herrlichkeit....
Nix Suncone, nix Watereye, nix Membranes - und nun verscherbelt man das einzige Produkt was funktionierte für ein paar Prozente an Suntech weil man unfähig ist: 1.) sie selbst zu produzieren und 2.) sie selbst zu verkaufen.
Das ist doch einfach nur noch lächerlich...
Wieviel Schulden hat man inzwischen aufgehäuft: 100 Mio?

ich gebe Dir in allen Punkten recht. Das alte Management war total unfähig. Man hat sich auf zu vielen Baustellen getummelt. Man hat versucht selber zu produzieren in irgendwelchen kleinen Lagerhallen. Die selbst produzierten Tiles waren fehlerhaft (Rostschäden etc.).
Aber: Ich bin überzeugt, daß der jetzige Weg, den Oegy jetzt eingeschlagen hat, der einzig richtige ist, nämlich neue Produkte zu entwickeln, diese in Lizenz bauen zu lassen und Lizenzgebühren zu kassieren. Nur so können die mittelfristig Geld verdienen und Gewinne machen.

Was Du schreibst ist nicht richtig.
Die Tiles waren nicht fehlerhaft, sondern die Membranes.
Weder das alte noch das neue Management waren in der Lage ein funktionierendes Produkt trotz aller Bemühungen über jetzt mehrere Jahre zu verkaufen. Nicht mal das, trotz super Profis... (Kann mich noch erinnern, wie vom Threaderöffner Herr Mark Bettis über den grünen Klee gelobt wurde - einfach nur angeberisches inhaltsloses Gesülze, wie stets.)
Das alte Management wurde in diesem Thread von denselben Usern hochgejubelt, die es dann verdammt haben und nun unter neuen Namen in anderen Boards das neue Management hochjubeln, peinlich, peinlich...
Gewiss ist: Oegy hat ein Management und ist Teil eines Portefolios einer bzw mehrerer Comapanys. Das gabs alles schon. Nix neues, die Story geht weiter.

Betrugsfall mit einem 'Schneeball-System' im Volumen von 50 Milliarden Euro
aufgeflogen. Die Behörden nahmen in der Nacht zum Freitag den 70-jährigen
Bernard L. Madoff fest, der einst Chef der Technologiebörse NASDAQ war und seit
Jahrzehnten zu den einflussreichen Figuren der Wall Street zählt. Er gab nach
Angaben der Behörden zu, jahrelang Investoren mit einem Schneeball-System
betrogen zu haben: Versprochene hohe Gewinne wurden also einfach mit dem Geld
neuer Kunden bezahlt.


Nach Angaben der Finanzaufsicht SEC hat der Betrug in den Jahren ein Volumen von
50 Milliarden Dollar erreicht. Madoff habe die Machenschaften zwei ranghohen
Mitarbeitern seiner Firma gestanden, hieß es. Nach Informationen des 'Wall
Street Journal' handelte es sich dabei um seine Söhne. Sie hätten anschließend
über einen Anwalt die Behörden informiert.

Die Vorwürfen zufolge gestand Madoff, dass er nur noch 200 bis 300 Millionen
Dollar übrig habe und sein Unternehmen ansonsten pleite sei. 'Es war alles eine
große Lüge.' Anfang des Monats habe ein Kunde die Rückzahlung seiner Einlage von
sieben Milliarden Dollar gefordert. Das hat offenbar das Schneeball-System zum
Einsturz gebracht.

Madoffs Firma Bernard L. Madoff Investment Securities agierte vor allem als
Broker an der Börse. Allerdings unterhielt er auch einen Investment-Arm, über
den der Betrug gelaufen sein soll. Die Bücher des Investment-Geschäfts, das Geld
für reiche Kunden und Hedge-Fonds verwalten sollte, habe er stets unter

Springfield (aktiencheck.de AG) - Die amerikanische Smith & Wesson Holding Corp. (ISIN US8317561012/ WKN 797652) gab am Montag nach US-Börsenschluss die Zahlen zum zweiten Fiskalquartal 2008/09 bekannt. Der Hersteller von Handfeuerwaffen enttäuschte dabei klar. Besonders der aufgrund von Einmaleffekten erzielte Verlust überraschte negativ.

Im Verlauf von 2009 wünsch ich mir das Verlassen des momentanen Tiefs.

11/3/2008 – Makers of solar panels that are integrated into roofing products are struggling with two conflicting trends -- rising interest in the products, alongside a marked weakening in housing construction.

The effect of those countervailing forces is illustrated by two companies, Open Energy Corp. and Lumeta Inc., both of which are attempting to break into the solar market by selling to roofing companies, each launching products this year. The two companies are hopeful that demand will pick up while also trying various tactics to boost revenue, including targeting the reproofing market and focusing on sales in Europe as well as the U.S.

So-called "building-integrated" solar has several advantages over traditional solar panels that are laid on top of an existing roof, being cheaper to install, lighter in weight, as well as avoiding the unsightliness of those traditional panels. Additionally, roof warranties can sometimes be lost when a conventional panel is added because roofing companies don't want to be responsible for potential leaks caused by drilling the roofs to install solar.

Solana Beach, Ca.-based Open Energy worked with roofing companies to design roofs, part of which are made up by solar panels. Open Energy offers both a roofing membrane for flat commercial roofs and tile-integrated panels for residential roofsIrvine, Calif.-based Lumeta, an eight-person division of large roofing contractor DRI Companies, launched similar products this year. Both companies use the services of Suntech Power Holdings Co. to manufacture the products for them, and both aim to sell to roofing companies instead of to special solar integrators.

Lumeta plans to have 30 megawatts of its solar products manufactured next year and is completing its U.S. certification for the panels. Still, Stephen Torres, chief operating officer of the company said in an interview that "we were expecting to do more new homes, but not a lot of new homes are being built."

In August the U.S. experienced a 6.2% drop in the construction of new homes, with the total seasonally adjusted number of new homes at 859,000, a 17-year low according to the Commerce Department.

Lumeta has started selling its products and at a profit. "If I had to ship at a loss, I wouldn't do it," said Torres.

Open Energy, on the other hand, has so far been operating at a loss. Traded on the over-the-counter Bulletin Board, the company recorded $92 million in losses since 2006 through Aug. 31. The company has been selling at a loss in order to gain market share, according to a filing with the Securities and Exchange Commission.

The company's president, David Field, acknowledged that sales were lower this year than expected in the beginning of 2008, but said that roofing companies are actually turning to solar to boost their own offerings. "For next year I've seen a 200% increase in demand for our product from conversations with our channel partners," said Field. "New subdivisons aren't starting like last year, but more builders are coming into solar," Field said.

Open Energy plans to cover about 400 homes with roofs that integrate its solar products this year, said Field. In April and May, for example, it received orders worth $2.2 million from Eagle Roofing Products, the largest manufacturer of concrete roofing tiles in North America. "Based upon recently updated feedback from our building channel partners, we are expecting approximately 1,000 homes in 2009," said Field. He noted that roofers take market share from existing solar integrators, not necessarily creating new demand.

With new home construction slow, Open Energy is focusing on reproofing, said Field. Roofers are trying to make up part of the business lost to new roofs by pushing reproofing, Field said, though even that part of the market is seeing a downturn.

Open Energy has already trained 900 roofers in installing its products, Field said, adding that little extra knowledge is required for installing the product as opposed to a standard roof. Roofing labor, meanwhile, costs significantly less than solar installers charge, lowering the cost to the customer.

Multi-family housing also holds potential, after California passed legislation this year that allows condominium owners that share the same roof to benefit from solar rebates and tax credits.

Open Energy is also developing a new financing structure by working with a tax equity investor in order to provide power purchase contracts to residential customers, said Field.

To boost the attractiveness of its product, Open Energy complements the roofing solar system with a monitoring device that is made by Advance Telemetry, in which Quercus Trust, a shareholder of Open Energy, is also an investor. The investor helped Open Energy connect with Advance Telemetry, Field said.

Both Open Energy and Lumeta are also eyeing Europe. "We're in discussions with a large partner, a solar manufacturing and distribution company, that will take our product into Europe," said Field. Lumeta, meanwhile, hopes to have its solar panels certified in Europe by the end of the first quarter of 2009, according to Torres. Then it will work on qualifying the product for the building-integrated-photovoltaics program in France. The country offers higher subsidies for BIPV products than for conventional solar installations.

Torres also noted that as there's pressure on margins it's important to attempt to reduce costs. "We are engaging Suntech in those discussions. If Suntech is unwilling to ride down the costs we may sign with others," he said. Field also said that the company may potentially use other contract manufacturers.

Others see the long-term outlook for building-integrated solar as positive and bigger players are becoming active. Dow Building Solutions, for example, part of Dow Chemical Co., bought a roofing company, Stevens Roofing Systems and Geomembrane Systems, a business of JPS Industries Inc., and partnered with thin-film solar module maker Global Solar Inc. earlier this year to create roof-integrated solar as part of a $20 million Department of Energy program.

"The market is obviously slow now given the turbulence in housing markets nationwide but the long-term prospects appear to be quite positive," said John Hardy, an analyst with American Technology Research, in an email to Clean Technology Insight.

Open Energy Corporation is a next-generation solar energy company that develops clean energy solutions, innovative solar products and energy management applications. Brief History
In August 2005, we acquired an initial interest in Toronto-based Solar Roofing Systems, Inc. For new construction projects, the builders would reduce their construction costs and, hopefully, sell their homes more quickly. The residential consumer would be guaranteed a reduced monthly utility bill and receive the benefits of incremental home value at little or no additional expense or tax impact. We believe that through this solution we will sell more products and participate in the long term revenue streams associated with the sale of energy.
In addition to its role as the sole distributor of our residential tile product in the U.S., we have engaged Eagle, through its Allstate Solar Integration, Inc. affiliate, to perform the engineering, procurement and construction and operation and maintenance of our Solar Communities projects. In these roles, Eagle will provide us with construction financing, rebate processing and rebate finance on a turnkey basis, which should enable us to achieve scale in our Solar Communities program without significantly increasing our personnel and overhead costs.
Recent Developments
Launch of Ecotouch
In October 2008, we unveiled an innovative new home energy control solution, the EcoTouch(TM) Energy Management System ("Ecotouch(TM)"), which is designed to help homeowners control their home energy usage and reduce their electric bill from the comfort of their homes or remotely. Ecotouch(TM) includes a touchscreen information display and action tool that captures and displays home energy use and solar power system production, designed to give homeowners an understanding of their energy use so that they can take steps to control different household devices in order to conserve energy and save money. The system is typically connected to a homeowner's solar installation and provides real-time detailed information including the number of kilowatt hours (kWh) produced by the system on a daily, weekly, monthly and yearly basis with prior-period comparisons. Because many homeowners not only want to reduce energy costs but also help meet environmental goals, the system calculates the positive environmental impact and displays a variety of important metrics such as carbon emissions, number of trees saved and the equivalent auto miles avoided. EcoTouch(TM) will be bundled with our residential solar systems and distributed by Eagle, and may also be sold separately with other solar systems or as a standalone product separate from any solar application. Ecotouch(TM) was co-developed with Advanced Telemetry, a technology innovator with a focus on resource conservation.
License of Intellectual Property
In November 2008, we entered into a manufacturing and license agreement (the "Tile License Agreement") with Suntech pursuant to which, among other things, we granted Suntech an exclusive license of the intellectual property incorporated into our solar roof tile product and any similar or new generation tile roof products with blue, black or gray cells (the "Tile Products"). Pursuant to the Tile License Agreement, Suntech will have the exclusive right to manufacture and sell the Tile Products with blue, black or gray cells on a worldwide basis during the term of the Tile License Agreement, which extends through December 31, 2013. Suntech is required to offer Eagle, the exclusive right to distribute the Tile Products in the United States for 2009 and 2010 and we have been advised that Eagle and Suntech have entered into a definitive distribution agreement. We will earn royalties as a percentage of Suntech's total sales of the Tile Product on a quarterly basis during the term of the Tile License Agreement in accordance with a formula specified in the Tile License Agreement.
In December 2008, we entered into a manufacturing and license agreement (the " Membrane License Agreement ") with Suntech pursuant to which, among other things, we granted Suntech an exclusive license of the intellectual property incorporated into our solar membrane product and any similar or new generation membrane products (the "Membrane Products"). Pursuant to the Membrane License Agreement, Suntech will have the exclusive right to manufacture and sell the Membrane Products on a worldwide basis during the term of the Membrane License Agreement, which extends through December 31, 2013. We will earn royalties as a percentage of Suntech's total sales of the Membrane Products on a quarterly basis during the term of the Membrane License Agreement in accordance with a formula specified in the Membrane License Agreement. Our Membrane Products are currently being redesigned to address previous product failure issues and are expected to be released during the second half of calendar year 2009.
Sale of WaterEye
In December 2008, we completed the sale of substantially all of our operating and intellectual property assets related to our remote water monitoring product line known as "WaterEye." We received gross cash proceeds upon the closing of the sale in the amount of $335,000. This asset sale was part of our ongoing initiative to achieve greater focus on our core business competencies.
September 2008 Financing
In September 2008, we entered into a securities purchase agreement with The Quercus Trust which we refer to as the "September 2008 SPA", which provided for the purchase by The Quercus Trust of warrants to acquire up to 235,000,000 shares of our common stock for total cash proceeds of $4,200,000, net of payment by the Company of $300,000 owed for accrued interest on the Series B Convertible Notes held by The Quercus Trust and a $200,000 restructuring fee for the amendment of certain terms of the $3,500,000 secured loan previously extended to us by The Quercus Trust. We refer to this financing transaction as our "September 2008 Financing" in this report. The initial closing occurred on September 18, 2008, at which time we issued warrants to acquire up to 75,000,000 shares of our common stock to The Quercus Trust in exchange for $1,500,000 in gross cash proceeds. The second and final closing occurred on October 3, 2008, at which time we issued the remainder of the warrants to acquire up to 160,000,000 shares of our common stock to The Quercus Trust in exchange for $2,700,000 million in gross cash proceeds. The warrants we issued are exercisable for a period of seven years from the date of issuance and have an exercise price of $0.067 per share, subject to anti-dilution protection. Under the terms of the September 2008 SPA, The Quercus Trust has the right to fund the next $5,100,000 in financing by purchasing, for $0.02 per warrant, additional warrants to purchase our common stock through September 30, 2009.
The amendments that were made to the $3,500,000 secured loan in connection with the September 2008 Financing were as follows: (i) the maturity date was extended from October 2008 to March 2009, (ii) the borrowing base collateral requirement was reduced to 100% of the outstanding loan amount, and (iii) the requirement that we make prepayments on the loan with the California state solar rebate proceeds we receive was eliminated.
Additionally, the September 2008 Financing provides for the amendment of the terms of our convertible promissory notes issued on September 19, 2007 and December 7, 2007 (which, collectively, we may refer to as the " Series B Convertible Notes " in this report) to: (i) grant voting rights to the holders of the Series B Convertible Notes on an as converted basis (subject to stockholder approval of an amendment to our articles of incorporation to provide for such voting rights); (ii) include certain protective provisions in the Series B Convertible Notes, including limitations on our ability to effect stock redemptions, incur indebtedness in excess of $500,000, engage in certain merger, acquisition or similar transactions, effecting material changes to our business, or entering into compensation arrangements with our officers and directors; and
The conversion price of our Series B Convertible Notes and the exercise price of the related warrants were reduced to $0.087 per share as a result of the issuance of the warrants we issued in our September 2008 Financing.
We are required to seek stockholder approval to amend our articles of incorporation to grant the holders of the Series B Convertible Notes voting rights and to increase the number of our authorized shares of stock. The failure to amend our articles of incorporation within six months of the closing under September 2008 Financing would be deemed a trigger event under the Series B Convertible Notes, which, among other things, would give the holders thereof the right to require us to redeem all or any portion of such notes.
Board of Directors
In connection with the September 2008 Financing, we agreed to appoint three designees of The Quercus Trust to our board of directors. Quercus designated and we appointed David Anthony, Joseph Bartlett and Gary Cheek to our board of directors on October 3, 2008. Each of Steven J. Kemper, David P. Saltman and Edward Douglas Ward resigned from our board of directors. Mr. Cheek resigned on October 8, 2008 to pursue other matters and on October 24, 2008, we appointed Tom Naylor, an additional Quercus designee, to our board of directors.
Management Changes
On September 18, 2008, we entered into a letter agreement with David P. Saltman pursuant to which he served as our chief executive officer through October 31, 2008. Effective October 31, 2008, he tendered his resignation as the Company's chief executive officer and all other employment positions. Pursuant to this letter agreement, the parties agreed to terminate Mr. Saltman's employment agreement effective September 18, 2008, and as a result, all rights and obligations of the parties thereunder were terminated. For the period from September 18, 2008 to October 31, 2008, Mr. Saltman was paid a base salary at the rate of $250,000 per annum.
In addition, under the terms of the letter agreement we entered with Mr. Saltman, we agreed to (i) pay $113,000 to the appropriate taxing authorities in November 2008 on behalf of Mr. Saltman in satisfaction of withholding liabilities he incurred in connection with previous restricted stock grants, and a "gross up" payment to Mr. Saltman of $63,000, (ii) accelerate the vesting in full of options Mr. Saltman held to purchase three million shares of our common stock, and to make such options exercisable through March 31, 2010 at the exercise price of the option we agreed to grant to Mr. Saltman that is described in the following clause, and (iii) grant Mr. Saltman an additional option to purchase up to 500,000 shares of our common stock, which were immediately exercisable in full at an exercise price equal to the exercise price of stock options granted to our other senior executives between September 18, 2008 and October 31, 2008.
Effective November 1, 2008, David Field, our president and chief operating officer, was appointed as our chief executive officer, and Dr. Christopher Gopal was appointed as our chief operating officer.
On September 18, 2008, we entered into retention agreements with four of our officers: (i) David Field, president, (ii) Aidan Shields, chief financial officer, (iii) Christopher S. Gopal, executive vice president of worldwide operations, and (iv) Dalton W. Sprinkle, senior vice president of business development and general counsel.
Under the retention agreement we entered into with Mr. Field, we agreed to grant him an option to purchase 2.5% of the fully diluted shares of our common stock, calculated after giving effect to the transactions related to the September 2008 Financing described above, inclusive of other options held by him. In addition, it was agreed that if his employment is terminated by us without cause or by him for good reason, he would be entitled to severance equal to three months of his base salary at the time of termination. Such severance supersedes and replaces any and all other severance packages previously granted to Mr. Field.
The retention agreement we entered into with each of the other officers is identical to the retention agreement entered into with Mr. Field, discussed above, except with respect to the number of shares of common stock subject to the option granted to such officers. We agreed to grant each of Dr. Gopal, Mr. Shields and Mr. Sprinkle, an option to purchase 2.0%, 1.40% and 1.25%, respectively, of the total fully diluted shares of our common stock, calculated after giving effect to the transactions related to the September 2008 Financing, described above, inclusive of other options held by the officers.
Completed Solar Electric Installation for the New California Academy of Sciences
In September 2008, we completed our largest solar electric installation to date. We installed 720 4 x 6 foot glass panels embedded with photovoltaic cells that were arranged in a solar canopy around the new California Academy of Sciences in Golden Gate Park, San Francisco, California. The solar canopy is one of the largest photovoltaic glass canopies in the United States.
September 2008 Forbearance Agreement
In September 2008, we entered into a forbearance and repayment agreement with our largest supplier. The forbearance agreement provides for a payment plan for the approximately $3,000,000 of payables currently due from us with interest at 12% per annum. Pursuant to the forbearance agreement, we agreed to pay $1,000,000 on or prior to September 19, 2008, $500,000 on or prior to January 15, 2009, and six payments of $297,558 on a monthly basis beginning on March 15, 2009 until the entire amount is paid in full.
Critical Accounting Policies
The preparation of financial statements in conformity with United States generally accepted accounting principles, or "GAAP," requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities, the disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting periods.
Management routinely makes judgments and estimates about the effects of matters that are inherently uncertain. As the number of variables and assumptions affecting the probable future resolution of the uncertainties increase, these judgments become even more subjective and complex. Please see "Note 3-Basis of Presentation and Significant Accounting Policies" to our financial statements included in this report for a discussion regarding the accounting policies we have identified as the most important to an understanding of our current financial condition and results of operations.
Limited Operating History
We have limited historical financial information upon which to base an evaluation of our future performance. We have generated limited revenues from operations. We cannot guarantee that we will be successful in our business. We are subject to risks inherent in a fast growing company, including limited capital resources, possible delays in product development, and possible cost overruns due to price and cost increases. Bei den Aktien der OPEN ENERGY CORP. mit der WKN A0JNEA, handelt es sich ebenfalls um ein Unternehmen aus dem Solarbereich. Das Unternehmen ist etwas kleiner und besetzt mit seiner Technology erfolgreich einen Teilbereich des US-Solarmarktes. Einigen Lesern ist das Unternehmen evtl. schon bekannt, da es vor einigen Jahren schon einmal mit der entwickelten Technology und den gestarteten Projekten für Furore sorgte. Im Anschluss sorgten Streitigkeiten im Management und der ausstieg eines Grossaktionärs für Kursturbulenzen. Dies sollte jetzt aber bereits der Vergangenheit angehören. Noch können sie ideal aus dieser Situation profitieren. Auch bei diesem Unternehmen ist der bereits bekannte Quercus Trust nicht unwesentlich eingestiegen. Die Fondsgesellschaft hat sich über eine Kapitalerhöhung vor kurzem einen signifikanten Anteil an dem Unternehmen gesichert. Im Gegensatz zu den Worldwater & Solar Tech. Unternehmensanteil scheinen die Fondslenker bei den Aktien der OPEN ENERGY CORP. wesentlich mehr potenzial zu erkennen. Über Optionen hat sich Quercus zusätzlich ca. 25 Prozent an dem Unternehmen gesichert!! Dies war in einer Meldung im Oktober des letzten Börsenjahrs Nachzulesen. Da die Gesellschaft auf dem Gebiet erneuerbarer Energien als ausgewiesener Kenner der Branche bekannt ist, dürften die derzeitigen Aktienkurse mehr als verlockend sein. So kam dann auch bereits vor einigen Tagen eine weitere Meldung, in der die OPEN ENERGY CORP. eine Zusammenarbeit mit einem Branchenprimus, der Suntech Holding bekannt gegeben hat. Diese möchte die Technology von der OPEN ENRGY CORP. nutzen. Wir sehen weitere Kooperationsmöglichkeiten mit anderen großen Solaranbietern in den USA. Es sollte unbedingt mit einkalkuliert werden, dass die USA noch in den Kinderschuhen im Bereich Solarenergie stecken. Die Wachstumsraten dürften demnach gerade in den nächsten Jahren weiter extrem ansteigen können. Der neue US-Präsident ist bekannt für seine Pläne zur Förderung der Solarenergie. Diese Technologie kann neue Arbeitsplätze schaffen und helfen, dass Energieproblem in den USA zu beseitigen. Die Börsenampeln stehen für Solaraktien auf grün.

Am vergangenen Freitag hat die Gesellschaft die Quartalszahlen vorgelegt. Diese unterstreichen noch einmal die mögliche „Turn-around“ Situation. Sollte die Neupositionierung gelingen werden die Aktien der OPEN ENERGY CORP. sehr bald ein anderes Kursniveau erreichen. Wir sehen die Aktien der OPEN ENRGY CORP. auf Sicht von sechs bis zwölf Monaten bei Kursen von 0,20 € als fair bewertet an. Dies eröffnet noch einiges an möglichen Kurspotenzial, wenn die Gesellschaft ihre ehrgeizigen Wachstumspläne weiter umsetzen kann.

Der Chartverlauf, der OPEN ENERGY CORP. sieht sehr interessant aus. Die Aktien haben eine scharfe Kurskorrektur von über 0,30 € auf bis zuletzt 0,05 € vollzogen. Der starke Abwärtstrend wurde ausgelöst, durch den Aktienverkauf eines ehemaligen Großaktionärs. Die freien Aktien dürften sich nun in den festen Händen des Quercus Trust’s befinden. Dies sollte dem Aktienkurs von dem hiesigen Kursniveau aus einen Kursboden bringen. Durch die lange Konsolidierungsphase bei 0,04-0,05 € wurde der Abwärtstrend durchbrochen und könnte eine Basis für baldige nachhaltige Kurssteigerungen darstellen. Wir sehen gute Chancen, dass sich die Aktien der Gesellschaft sehr bald dem allgemeinen positiven Marktumfeld der Solaraktien anpassen wird. Das erste charttechnische Kursziel setzen wir vorerst bei 0,10 € an. Auf Sicht von drei bis sechs Monaten sind ebenfalls Kurse von 0,15 € denkbar.
Die Analysten vom tradersreport würden eine erste Tradingposition in den Aktien der OPEN ENRGY CORP. mit der WKN A0JNEA bis max. 0,07 € eingehen. Sichern sie ihre Tradingposition unbedingt mit einem individuellen Stopkurs bei z.B. 0,04 € ab. Bei dem Festlegen unseres möglichen Kursziels haben wir einige Risikoabschläge vorgenommen, um dem konjunkturellen Marktumfeld u.a. möglichen Störfaktoren gerecht zu werden. ich hoffe doch sehr, dass wir uns auf "Positives" bald freuen können.
Vielleicht müssen wir aber auch erst bis 2010 warten.

Wenn die Party am morgen vorbei ist, wird hoffentlich nicht so schnell "Ernüchterung" bei den Amis eintreten. Leider kenne ich die Amerikaner dazu zu wenig, aber ich denke von der "Unbeschwertheit Dinge anzupacken, Ziele zu verfolgen, Neues umzusetzen, davon können wir im alten Europa noch viel lernen.
Meistens liegt es ja nicht an unserem Sachverstand sondern an unserem exorbitantem Verwaltungsapparat.

OUR ARTICLES OF INCORPORATION TO INCREASE THE NUMBER OF
AUTHORIZED SHARES OF COMMON STOCK FROM 1,125,000,000 TO 3,000,000,000

General
In this proposal, we are asking our stockholders to approve an amendment to our articles of incorporation which, if approved, will increase the number of our authorized shares of common stock from 1,125,000,000 to 3,000,000,000 .

Our articles of incorporation currently provide for authorized capital stock consisting of 1,125,000,000 shares of common stock, par value $0.001 per share. As of September 12, 2008, we had 127,952,397 shares of common stock issued and outstanding, and securities convertible or exercisable into an aggregate of 1,112,570,086 shares of common stock (including the September 2008 Warrants discussed below). Accordingly, we have an aggregate of 1,240,522,486 shares of common stock either issued and outstanding or reserved for issuance under outstanding securities convertible or exercisable into shares of our common stock, which represents approximately 110% of the total 1,125,000,000 shares of currently authorized common stock. In connection with the recent financing transaction that we entered into on September 12, 2008 (which we refer to in this proxy statement as our “September 2008 Financing” and which is discussed in more detail below), we issued warrants, which we refer to in this proxy statement as the “September 2008 Warrants,” to acquire up to 235,000,000 shares of our common stock, each at an exercise price of $0.067 per share. We do not have a sufficient number of authorized shares of common stock to fully satisfy our obligations under the September 2008 Warrants. Therefore, on September 23, 2008, our board of directors unanimously approved, subject to stockholder approval, an amendment to our articles of incorporation to increase the number of authorized shares of common stock from 1,125,000,000 to 3,000,000,000.

If this proposal is approved by our stockholders, we will file an amendment to our articles of incorporation to effect the proposed increase in our authorized shares of capital stock. Such amendment, if stockholder approval is obtained, will be filed with the Nevada Secretary of State as soon as practicable following such approval. Appendix A to this proxy statement sets forth the text of the form of the certificate of amendment of articles of incorporation if this proposal is approved. Appendix D to this proxy statements sets forth the text of the form of the certificate of amendment of articles of incorporation if this proposal, Proposal No. 3 (giving the holders of our Series B Convertible Notes voting rights proposal) and Proposal No. 4 (reverse stock split proposal) are approved. In each case, such text is subject to revision for such changes as may be required by the Nevada Secretary of State and other changes consistent with the proposals that we or our counsel may deem necessary or appropriate.

Interest of Affiliates

We do not currently have a sufficient number of authorized shares of common stock to issue upon the exercise of all of the September 2008 Warrants we issued to The Quercus Trust. Under the terms of the September 2008 Warrants, The Quercus Trust has the right to acquire up to 235,000,000 shares of our common stock at an exercise price of $0.067 per share. If the number of our authorized shares of common stock is not increased as set forth in this proposal (or if it is not increased by effecting the reverse stock split discussed in Proposal No. 4), The Quercus Trust would not currently be able to exercise the September 2008 Warrants as to 119,477,514 shares.

If the number of our authorized shares of common stock is increased to allow the September 2008 Warrants to be exercised in full, as would be the case if this proposal was approved by our stockholders, if and when The Quercus Trust exercises the September 2008 Warrants in full, The Quercus Trust would own 86.3% of our outstanding common stock. The Quercus Trust would have the power to control the outcome of all matters submitted to our stockholders for approval thereafter so long as The Quercus Trust continued to beneficially own such a substantial percentage of our outstanding common stock.

Stockholder Approval of Amendments to Articles of Incorporation At the Company's annual meeting of stockholders in December 2008, the Company's stockholders approved two separate amendments to the articles of incorporation, neither of which has been effected. The first amendment would increase the Company's authorized capital stock from 1,125,000,000 common shares to 3,000,000,000 common shares. The second amendment would effect a reverse split of the Company's common stock, at a rate of up to 50-for-1, as determined by the board of directors, which has the authority to effect such a reverse stock split within the one year period immediately following the date of the stockholder approval. "

On January 15, 2009, we issued warrants to acquire a total of 15,879,450 shares of our common stock to the holders of our Series B Convertible Notes, in lieu of the payment of cash interest in the aggregate amount of $317,589. These warrants were issued at a rate of $.02 per share, with an exercise price of $.067 per share. Effective January 16, 2009, Open Energy Corporation, a Nevada corporation ("we," "us, "our, or the "Company") changed its name from Open Energy Corporation to Applied Solar, Inc. The name change was effected through the merger of our wholly-owned subsidiary, Applied Solar, Inc., a Nevada corporation, with and into us pursuant to articles of merger, a copy of which is filed as Exhibit 3.1 to this report and incorporated herein by reference. hab´s ein wenig geahnt, das es nach oben geht. männliche intuition.
die haben schon ein atl von 10 cents gehabt. aber leider nur in dollar-cents. nach den energieplänen die obama ausgetüftelt hat mit seinen beraterteam, kriegt vielleicht jeder was ab. ich denke, das
oegy resp. applied solar (welch neuer name!) auch sehr gut davon partizipieren tut. wäre nämlich gut, wenn sie ins rampenlicht geschubst werden, denn die produkte sind nicht schlecht und die tüfteln auch immer wieder an verbesserungen rum. schön wenn es honoriert wird und der kurs im pennystockbereich an höherem(weit) wert
gewinnen sollte. dann dürfte es auch schön zu sehehn sein, wenn der
kurs stück für stück die leiter nach oben klettert. die chancen sind gegeben, auch mit den verbündeten, bedeutenderweise(!). wird ja auch zeit dass wir wieder, vielleicht in bälde bei mind. erstmal bei 15 - 20 eurocents stehen......

Sonderfinanzfond ist klasse!

Bitte immer beachten:

Die goldenen Regeln für die Herstellung von Fonds

1. Die verwendeten Zutaten sollten absolut frisch und von bester Qualität sein.
2. Fonds nie mit zu viel Wasser aufsetzen - besser weniger als zuviel. Bei Bedarf kann während des Garens immer etwas kaltes Wasser nachgegossen werden.
3. Fonds immer mit kaltem Wasser ansetzen und immer kaltes Wasser zugießen, damit der Fond möglichst klar wird.
4. Die Siedezeit von Gemüsefonds sollte 45 Minuten nicht übersteigen, Lamm - oder Geflügelfond benötigen maximal 1,5 Stunden, Fischfond 30 Minuten. Nur der braune Kalbsfond erfordert mehrstündiges Sieden. Zu lange Kochzeiten lassen den Fond dumpf schmecken.
5. Um ein besonders intensives Aroma zu erreichen, werden Fonds zweimal gekocht. Dabei koch man den Fond fertig, lässt ihn damach völlig auskühlen und kocht ihn erneut auf.
6. Fonds sollten nie wirklich stark kochen, sondern eher nur schwach sieden.
7. Um klare Fonds zu erhalten, muss der entstehende Schaum immer wieder abgeschöpft werden. Zum Abschluss werden die fertigen Fonds dann durch ein feinmaschiges Sieb oder ein Küchentuch passiert.

der gute Namen zählt doch nicht mehr..
ich glaube in us interessiert sich doch keiner mehr für die vergangenheit, meinst du die haben einen leumund ?
DG ist ja noch investiert, oder ?

ob gute oder schlechte solarcompany, alle werden sie etwas von
dem kuchen provitieren, der ab februar sicher verteilt wir. ob steuervergünstigung, förderungen oder ähnliches, obama will ja die ap erhalten..

Gekauft werden ja die Papiere noch und was sind 300 Mio. Verlust in der zukunft ?
Wenn das Papier dann mal anzieht und ich endlich wieder meinen EK habe, werde ich den stopp/loss diesmal eng nachziehen...und dann wech..

vielleicht werden sie auch geschluckt, weil mal eine Halle günstig benötigt wird oder so

na ein Glück, dass wir weningstens über das "Tortenrondell" noch etwas zu lachen haben, bei den Kursen heute wieder...

Ich glaube ich werde meinen Winterschlaf jetzt antreten bis Mitte März, bis sich das Fiasko endlich etwas verbessert hat.

Dieser graue Himmel in Berlin macht einen ja fertig.
Jeden Abend Entertainment kann ja auch nicht die Lösung sein.

wünsche einen besseren Febraur als den Januar 2009..

Offenbar war der Januar 2009 der schlechteste Monat aller Zeiten beim Dow Jones wie ein alter BB schrieb...

hab es jetzt ausgerechnet:

Dow Jones............. - 8,83 %

DAX................... - 9,81 %

d.h. aber nicht, dass jeder Verlust gemacht hat, weil man ja auch mit Explorer + Gold spekulieren konnte...


Open Energy stieg im Januar 2009 von 0,067 usd auf 0,085 usd = + 26,86 %

umgerechnet auf hier in deutschland ---- kurs 0,0763 eurocents....!

genau sind´s 0,095 dollarcents mit steigerung! springt´s über zehn ist der weg nicht mehr weit auf 13 - 15 dollarcents erstmal. dannach auf über 20 dollcents und ab die post....nexte hindernisse

Ein "Problem" ist das nicht verstanden wird das Open Energy jetzt den Namen Applied Solar hat und in Usa beei .10 Dollarcent stehen.

Hab das ganze leider nicht so ganz verfolgt, allerdings hätte ich mal ne Frage; Wieso hat open energy überhaupt den Namen geändert ? Kann es sein, dass das Unternehmen so neue Investoren locken will ?! weshalb sollten sie nicht eingetauscht werden? Bisher wurden sie immer eingetauscht..

übrigens... Jahresperformance der Aktien im 2009

von 0,067 auf 0,091 usd = + 35,82 % .... viel besser als der DAX...
