      SUPER JUNIOR URANIUM COMPANY "BAYSWATER URANIUM CORPORATION" STARTS TRADING TODAY

      Bayswater Uranium Corp. shares will begin trading on Aug. 16 under the trading symbol BAY on the TSX Venture Exchange. Bayswater Uranium is a major uranium exploration company highlighted by large, strategic land positions in Canada's premier uranium-producing and -exploration regions.

      Highlights

      Bayswater Uranium has been formed through the amalgamation of uranium explorers Bayswater Ventures Corp. and Pathfinder Resources Ltd. to form a leading small-cap uranium explorer with:


      major landholdings comprising a total of 6.6 million acres or 26,600 square kilometres in Canada's top uranium-producing and -exploration districts -- Athabasca basin, Labrador, Thelon basin and Newfoundland;
      a management team that has a successful record in the natural resource business including uranium exploration, raising capital and creation of significant shareholder value; and
      share liquidity and a market capitalization attractive to institutional and retail investors.

      Summary of uranium assets

      Bayswater is the only uranium explorer to have major landholdings in each of Canada's three most important uranium producing and exploration regions:


      the Athabasca basin in Saskatchewan;
      the Central mineral belt in Labrador; and
      the Thelon basin in the Northwest Territories and Nunavut

      The company also has a major landholding in an emerging new uranium district in the Hermitage belt, southern Newfoundland.

      The company's current uranium landholdings, held wholly by Bayswater except as noted, are summarized as follows:


      Labrador Central mineral belt, 989,128 acres (4,003 square kilometres);
      Athabasca basin, 1,508,056 acres (6,103 square kilometres);
      Thelon basin, 1,805,994 acres (7,309 square kilometres);
      Thelon basin (Bayswater 80-per-cent earn-in option), 1,362,378 acres (5,514 square kilometres);
      Thelon basin (Bayswater 50-per-cent interest), 495,446 acres (2,005 square kilometres);
      Hermitage uranium belt, 268,706 acres (1,087 square kilometres);
      Hermitage uranium belt (Bayswater 50-per-cent joint venture), 148,942 acres (603 square kilometres); and
      Tim Mersoi basin in Niger, applications pending for up to 8,000 square kilometres.

      Key elements of the company's uranium landholdings are favourable geologic settings, proximity to known deposits and major prospects, demonstrated applicable exploration models, and the underexplored nature of the holdings. Major exploration programs are currently under way on most of the company's properties including:


      the Central mineral belt, Labrador;
      the South Thelon basin, Northwest Territories;
      the North Thelon basin, Nunavut; and
      the Hermitage uranium belt, southern Newfoundland.

      Central mineral belt uranium district, Labrador -- a 100-per-cent interest in 989,128 acres

      The Central mineral belt uranium district extends for more than 175 kilometres through south-central Labrador, Eastern Canada. With numerous uranium and copper showings as well as prospects, the belt has recently become a hot spot for uranium exploration in Canada. Aurora Energy Resources Inc. is currently developing the Michelin deposit with a reported National Instrument 43-101 measured and indicated resource of 22.2 million pounds U3O8 with a further inferred resource of 13.4 million pounds U3O8.

      Bayswater holds a 100-per-cent interest or rights to acquire a 100-per-cent interest in 989,128 acres in the Central mineral belt uranium district. The company is the largest landholder in the district. Its land covers favourable geologic extensions to known IOCG-type deposits and prospects in the district being developed by Aurora Energy, Crosshair Exploration and Mining, and Santoy Resources Ltd. The properties include widespread anomalous uranium values and associated elements such as copper, silver, iron and the light rare-earth elements in lake sediment samples, as well as favourable structures and potential host rocks for IOCG- and Rossing-type uranium deposits, including volcanic and intrusive rocks.

      The company is currently carrying out a Fugro Airborne Surveys Ltd. helicopter-supported radiometric and magnetic survey of all its landholdings along with follow-up prospecting of favourable targets. The airborne survey is approximately half completed and results will be disclosed once the data are available and fully assessed. The objective of the current program is to identify uranium targets for drill testing this fall and winter.

      Athabasca basin, Canada -- a 100-per-cent interest in 1,508,056 acres

      The Athabasca basin, Northern Saskatchewan, is widely recognized as the premier region in the world for high-grade unconformity-type uranium deposits like McArthur River and Cigar Lake. The region accounts for approximately 32 per cent of the world's uranium supply, a figure which is expected to increase significantly by the end of the decade. Companies exploring in the basin include Cameco Corp., Areva/Cogema, Dennison Mines Inc. and International Uranium Corp.

      Bayswater Ventures has entered into a purchase agreement to acquire a 100-per-cent interest in mineral claims comprising 1,508,056 acres in the Athabasca basin. The properties comprise three claim blocks located in the west-central region of the basin covering major basement fault structures in areas of complex magnetic patterns indicating favourable basement environments for unconformity-type high-grade uranium deposits. The claim blocks are located east of the Cluff Lake uranium mine, which produced 62.5 million pounds U3O8, and the Shea Creek uranium deposits of UEX Corp./Cogema, which returned drill intersections as high as 12.6 per cent U3O8 over 11.9 metres, including 27.35 per cent U3O8 over 4.2 metres, at depths down to 917 metres.

      The company intends to conduct a deep-penetrating airborne geophysical survey as well as follow-up geophysical and geological surveys over this underexplored region of the Athabasca basin in order to identify drill targets. Additional capital will be required to carry out this program.

      Thelon basin, Canada -- a 50-to-100-per-cent interest in over 3,663,818 acres

      Bayswater Uranium holds a dominant land position in the Thelon basin, one of Canada's most prospective uranium regions. The Thelon basin has many geological similarities to the Athabasca basin, which contains McArthur River and Cigar Lake, the largest, highest-grade unconformity-type uranium deposits in the world, as well as a number of other important uranium deposits. Relative to the Athabasca basin, the Thelon is underexplored and, until 2005, had not been subjected to recently developed deeper penetrating geophysical systems.

      South Thelon basin, Northwest Territories -- a 50-to-100-per-cent interest in 2,810,057 acres

      The South Thelon basin properties are characterized by extensive areas of radioactive boulders and boulder trains, which may reflect high-grade uranium at depth, numerous prominent basement fault structures and local high-grade uranium occurrences, all of which are key elements of the exploration model for unconformity type uranium deposits. Companies exploring in the South Thelon basin include the Cameco/Uravan joint venture, Cogema and Ur-Energy.

      Bayswater's South Thelon basin properties include two large claim and permit blocks consisting of one contiguous claim block along the northwestern margin of the basin comprising 377,048 acres (northwest block) that is wholly owned by Bayswater, and a large contiguous claim and permit block along and within the southeastern margin and interior part of the basin comprising a total of 2,433,009 acres (collectively the southeast block) as follows:


      905,979 acres wholly owned by Bayswater;
      164,652 acres subject to a 50:50 joint venture with Strongbow Exploration Inc.; and
      1,362,378 acres subject to an 80-per-cent earn-in option with Uranium North Resources Ltd.

      In the South Thelon project area, an 8,000-line-kilometre MegaTEM II geophysical survey is currently under way by Fugro Airborne Surveys on the company's earn-in project with Uranium North and on a portion of its wholly owned land. The objective of the survey is to identify basement conductors and associated fault structures as well as potential alteration systems that are favourable for the occurrence of unconformity-type uranium deposits. Targets of interest will be followed up with detailed surveys in 2007 to identify drill targets.

      In South Thelon basin, the company is planning two program approaches. One approach will be to evaluate near-surface potential of the Thelon basin margin and the other to evaluate the deeper potential of internal portions of the Thelon basin. The former will use airborne radiometric/magnetic surveying, whereas the later will use deep-penetrating electromagnetic systems such as MegaTEM II. Both approaches will involve follow-up prospecting, mapping and geophysical surveys to identify drill targets. Both will be designed to evaluate the potential for unconformity-type uranium deposits. To fully carry out the planned evaluation of the company's landholdings, further capital will be required.

      North Thelon basin, Nunavut -- a 100-per-cent interest in 522,967 acres and a 50-per-cent interest in 330,794 acres

      The North Thelon basin area hosts the most important unconformity-type uranium deposits known within the Thelon basin area. These deposits include Cogema's Kiggavik, Andrew Lake and End deposits that form the Kiggavik trend located along the southeastern margin of the North Thelon basin. Favourable basement rocks, structure and widespread occurrences of uranium, including the presence of the Kiggavik deposits, indicate the favourability of this region and Thelon basin in general for Athabasca unconformity-type uranium deposits.

      Bayswater Uranium's North Thelon basin uranium project includes landholdings totalling 853,761 acres comprising two blocks of prospecting permits that form part of the 50:50 Canada uranium joint venture with Strongbow and five claim blocks held 100 per cent by Bayswater. These properties cover favourable targets for shallow unconformity-type uranium deposits near the margin of the basin or within the basin associated with basement highs. Target areas acquired are characterized by favourable basement Amer group rocks, fault structures, uranium occurrences, uranium-bearing and radioactive boulder trains, and regional radiometric anomalies. Detailed descriptions of these properties are in Stockwatch news dated Aug. 8, 2006.

      On the North Thelon basin properties the company is currently carrying out an airborne radiometric/magnetic survey contracted to Tundra Airborne Surveys. Follow-up prospecting, mapping and ground geophysics as required will subsequently be carried out to define drill targets. A preliminary follow-up prospecting program of high-priority radiometric anomalies is planned this fall -- weather permitting.

      Hermitage uranium belt, Newfoundland -- a 100-per-cent interest in 268,706 acres and a 50-per-cent interest in 148,942 acres

      The Hermitage uranium belt is a 100-kilometre-by-10-kilometre structural arch in southwestern Newfoundland that hosts a number of uranium prospects. Several types of uranium occurrences have been discovered in the belt, of which stratiform sedimentary and volcanic settings are most important due to their large-scale potential. Commander Resources Ltd. is also exploring this belt. It has reported assay results up to 3.1 per cent U3O8 from sandstone-hosted occurrences.

      Bayswater holds a 100-per-cent interest in 268,706 acres and a 50-per-cent interest in 148,942 acres (co-owned with Commander Resources) within the Hermitage belt. This land position comprises more than half of this newly recognized prospective uranium belt. An airborne radiometric, magnetic and electromagnetic survey has recently been completed over approximately one-half of the company's landholdings.

      Geophysical airborne survey data from the Hermitage West and Hermitage East properties have identified a large number of priority radiometric anomalies as well as several electromagnetic conductors. The final processed data are expected to be received shortly from the contractor. Based on this information, prospecting crews will be mobilized to the properties in late August to follow up select targets.

      Niger, West Africa -- uranium applications pending for a 100-per-cent interest in up to approximately two million acres

      Bayswater Uranium has applied directly for a 100-per-cent interest in two concessions and indirectly through a purchase option agreement with Longview Strategies Inc. to acquire a 100-per-cent interest in two additional concessions totalling approximately two million acres in four uranium concessions in the Tim Mersoi basin, Niger, West Africa. Niger is ranked as the world's fourth-largest producer of uranium behind Canada, Australia and Kazakhstan, and is also ranked fourth in the world in terms of uranium resources.

      Three of the above concessions are located in the region of the sandstone-type Arlit and Cominak uranium deposits currently being mined by Cogema-Onarem as well as other undeveloped deposits in north-central Niger. The concessions applied for occur along the stratigraphic and structural extensions of the mine area and other undeveloped deposits. A fourth concession applied for occurs to the northeast of the above area on the opposite side of a related basement high and is in turn underlain by favourable onlapping basin sediments.

      Granting of concessions pursuant to the company's applications has to date been deferred by the Niger government pending parliamentary approval of proposed changes to its mining code. Changes to the Niger mining code have recently received government approval and the company is waiting further information on the details of the changes that are to be implemented. Upon receipt of this information, which is anticipated shortly, the process of applying for the concessions will be continued by the company.

      Directors and management

      Damien Reynolds, chairman and director

      Mr. Reynolds also currently serves as president of Longview Strategies and chairman of Tournigan Gold Corp. Longview owns a major equity position in Bayswater. Mr. Reynolds has an impressive record of over 20 years in identifying, acquiring and developing resource projects of merit around the world, and also for his exceptional ability to raise capital for junior companies. He has been and will continue taking a leading role in the continuing development of the asset base of the company.

      George Leary, MSc, PEng, president, chief executive officer and director

      Mr. Leary is a highly experienced exploration geologist directly involved in the mineral resource industry since 1964. He has worked throughout North America and South America, and Russia. He has extensive experience with a wide variety of commodities and mineral deposit models, and has been responsible for the discovery of a number of significant mineralized systems in British Columbia and the Yukon. He spent 14 years with Amax Exploration Inc. in Vancouver, B.C., and during the latter part of his tenure was in charge of base-metal exploration in the Canadian cordillera. He subsequently spent 3-1/2 years with Union Oil of Canada in Calgary where he was responsible for base-, precious- and specialty metal exploration in Canada.

      Victor Tanaka, BSc, PGeo, chief operating officer, executive vice-president and director

      Mr. Tanaka is a career geologist who has participated in several significant mineral discoveries. He has held senior positions in both major and junior mining companies, and has broad Canadian and international experience. He has previously served as general manager of exploration for Asamera Inc., one of the original partners in the joint venture that led to the discovery of the high-grade Cigar Lake and Dawn Lake uranium deposits in the Athabasca basin. The joint venture was also involved in laying the groundwork for the eventual discovery of the world-class McArthur River uranium deposit. McArthur River and Cigar Lake are the world's largest, high-grade uranium deposits.

      Ken Armstrong, MSc, PGeo, director

      Mr. Armstrong worked as a geologist with Rio Tinto from 1996 to 1997 and was involved with the development of the original resource models for the Diavik diamond mine, Northwest Territories. Mr. Armstrong joined Aber Resources Ltd. in 1997 and managed diamond, gold and base-metal exploration programs in Northern Canada. Mr. Armstrong has been president and chief executive officer of Strongbow Exploration since January, 2005.

      Pursuant to special resolutions passed by the shareholders of Bayswater Ventures Corp. on Aug. 8, 2006, and by shareholders of Pathfinder Resources Ltd. on Aug. 8, 2006, Bayswater and Pathfinder have adopted a plan of arrangement under Section 288 of the Business Corporations Act (B.C.) which received final court approval on Aug. 9, 2006. The exchange has been advised that the arrangement became effective on Aug. 15, 2006, and involved the following principal matters:


      All of the outstanding Pathfinder shares shall be exchanged for Amalco shares on the basis of 0.588 of an Amalco share for each one Pathfinder share.
      Pathfinder options shall be exchanged for Amalco options with the number of Amalco shares to which the holder is entitled and the exercise price for such Amalco options being adjusted in accordance with the conversion ratio of 0.588:1.
      All of the outstanding Bayswater shares shall be exchanged for Amalco shares, on the basis of one Amalco share for each one Bayswater share.
      Bayswater options and Bayswater warrants shall be exchanged for Amalco options and Amalco warrants with the number of Amalco shares to which the holder is entitled and the exercise price for such Amalco options being adjusted in accordance with the conversion ratio of 1:1.
      Any Pathfinder shares held by Bayswater and any Bayswater shares held by Pathfinder shall be cancelled without any repayment of capital.

      The Company is currently carrying out a Fugro Airborne Surveys Ltd. helicopter supported radiometric and magnetic survey of all its land holdings along with follow-up prospecting of favorable targets. The airborne survey is approximately 50% completed and results will be announced once the data is available and fully assessed. The objective of the current program is to identify uranium targets for drill testing this fall and winter.

      Athabasca Basin, Canada - 100% Interest in 1,508,056 Acres

      The Athabasca Basin, northern Saskatchewan is widely recognized as the premier region in the world for high-grade unconformity-type uranium deposits like McArthur River and Cigar Lake. The region accounts for approximately 32% of the world's uranium supply, a figure which is expected to increase significantly by the end of the decade. Companies exploring in the basin include Cameco Corporation (TSX:CCO), Areva/Cogema, Dennison Mines Inc. (TSX:DEN) and International Uranium Corporation (TSX:IUC).

      Bayswater Ventures has entered into a purchase agreement to acquire a 100% interest in mineral claims comprising 1,508,056 acres in the Athabasca Basin. The properties comprise three claim blocks located in the west-central region of the basin covering major basement fault structures in areas of complex magnetic patterns indicating favorable basement environments for unconformity type high-grade uranium deposits. The claim blocks are located east of the Cluff Lake uranium mine, which produced 62.5 million pounds U3O8, and the Shea Creek uranium deposits of UEX Corporation (TSX:UEX)/Cogema which returned drill intersections as high as 12.6% U3O8 over 11.9 metres, including 27.35% U3O8 over 4.2 metres, at depths down to 917 metres.

      The Company intends to conduct a deep penetrating airborne geophysical survey and follow-up geophysical and geological surveys over this underexplored region of the Athabasca Basin in order to identify drill targets. Additional capital will be required to carry out this program.

      Thelon Basin, Canada -- 50% to 100% Interest in Over 3,663,818 acres

      Bayswater Uranium holds a dominant land position in the Thelon Basin, one of Canada's most prospective uranium regions. The Thelon Basin has many geological similarities to the Athabasca Basin, which contains McArthur River and Cigar Lake, the largest, highest-grade unconformity-type uranium deposits in the world, as well as a number of other important uranium deposits. Relative to the Athabasca Basin, the Thelon is underexplored and, until 2005, had not been subjected to recently developed deeper penetrating geophysical systems.

      South Thelon Basin, NWT - 50 to 100% interest in 2,810,057 acres

      The South Thelon Basin properties are characterized by extensive areas of radioactive boulders and boulder trains, which may reflect high-grade uranium at depth, numerous prominent basement fault structures and local high-grade uranium occurrences all of which are key elements of the exploration model for unconformity type uranium deposits. Companies exploring in the South Thelon Basin include the Cameco/Uravan (TSX VENTURE:UVN) joint venture, Cogema, and Ur-Energy (TSX:URE).

      Bayswater's South Thelon Basin properties include two large claim and permit blocks consisting of one contiguous claim block along the northwestern margin of the basin comprising 377,048 acres (Northwest Block) that is 100% owned by Bayswater; and a large contiguous claim and permit block along and within the southeastern margin and interior part of the basin comprising a total of 2,433,009 acres (collectively the Southeast Block) as follows:

      i) 905,979 acres owned 100% by Bayswater;

      ii) 164,652 acres subject to a 50/50 joint venture with Strongbow Exploration Inc. (TSX VENTURE:SBW); and

      iii) 1,362,378 acres subject to an 80% earn-in option with Uranium North Resources Ltd. (the "Earn-In Project").

      In the South Thelon project area, an 8,000 line-kilometre MEGATEM II geophysical survey is currently underway by Fugro Airborne Surveys Corp. on the Company's Earn-In Project with Uranium North and on a portion of its 100% owned land. The objective of the survey is to identify basement conductors and associated fault structures and potential alteration systems that are favourable for the occurrence of unconformity-type uranium deposits. Targets of interest will be followed up with detailed surveys in 2007 to identify drill targets.

      In South Thelon Basin, the Company is planning two program approaches. One approach will be to evaluate near surface potential of the Thelon Basin margin and the other to evaluate the deeper potential of internal portions of the Thelon Basin. The former will utilize airborne radiometric/magnetic surveying; whereas, the later will utilize deep penetrating EM systems such as MEGATEM II. Both approaches will involve follow-up prospecting, mapping and geophysical surveys to identify drill targets; and, both will be designed to evaluate the potential for unconformity type uranium deposits. To fully carry out the planned evaluation of the Company's land holdings further capital will be required.

      North Thelon Basin, Nunavut - 100% interest in 522,967 acres; 50% interest in 330,794 Acres

      The North Thelon Basin area hosts the most important unconformity-type uranium deposits known within the Thelon Basin area. These deposits include Cogema's Kiggavik, Andrew Lake and END deposits that form the Kiggavik Trend located along the southeastern margin of the North Thelon Basin. Favorable basement rocks, structure and widespread occurrences of uranium, including the presence of the Kiggavik deposits, indicate the favorability of this region and Thelon Basin in general for Athabasca unconformity-type uranium deposits.

      Bayswater Uranium's North Thelon Basin uranium project includes land holdings totaling 853,761 acres comprising two blocks of prospecting permits that form part of the 50/50 Canada Uranium Joint Venture with Strongbow and five claim blocks held 100% by Bayswater. These properties cover favorable targets for shallow unconformity type uranium deposits near the margin of the basin or within the basin associated with basement highs. Target areas acquired are characterized by favourable basement Amer Group rocks, fault structures, uranium occurrences, uranium-bearing and radioactive boulder trains and regional radiometric anomalies.       On the North Thelon Basin properties the Company is currently carrying out an airborne radiometric/magnetic survey contracted to Tundra Airborne Surveys Ltd. Follow-up prospecting, mapping and ground geophysics as required will subsequently be carried out to define drill targets. A preliminary follow-up prospecting program of high priority radiometric anomalies is planned this fall-weather permitting.

      Hermitage Uranium Belt, Newfoundland - 100% interest in 268,706 acres, 50% interest in 148,942 Acres

      The Hermitage Uranium Belt is a 100 km by 10 km structural arch in southwestern Newfoundland that hosts a number of uranium prospects. Several types of uranium occurrences have been discovered in the belt, of which stratiform sedimentary and volcanic settings are most important due to their large-scale potential. Commander Resources Ltd. (TSX VENTURE:CMD) is also exploring this belt. They have reported assay results up to 3.1% U3O8 from sandstone hosted occurrences.

      Bayswater holds a 100% interest in 268,706 acres and a 50% interest in 148,942 acres (co-owned with Commander Resources) within the Hermitage Belt. This land position comprises more than half of this newly recognized prospective uranium belt. An airborne radiometric, magnetic and EM survey has recently been completed over approximately one-half of the Company's land holdings.

      Geophysical airborne survey data from the Hermitage West and East properties has identified a large number of priority radiometric anomalies and several electromagnetic conductors. The final processed data is expected to be received shortly from the contractor. Based on this information, prospecting crews will be mobilized to the properties in late August to follow-up select targets.

      Niger, West Africa - Uranium applications pending for 100% interest in up to approximately 2,000,000 acres

      Bayswater Uranium has applied directly for a 100% interest in two concessions and indirectly through a purchase option agreement with Longview Strategies Inc. (TSX VENTURE:LV) to acquire a 100% interest in two additional concessions totaling in the aggregate approximately 2,000,000 acres in four uranium concessions in the Tim Mersoi Basin, Niger, West Africa. Niger is ranked as the world's fourth largest producer of uranium behind Canada, Australia and Kazakhstan; and is also ranked fourth in the world in terms of uranium resources.

      Three of the above concessions are located in the region of the sandstone type Arlit and Cominak uranium deposits currently being mined by Cogema-Onarem and other undeveloped deposits in north central Niger. The concessions applied for occur along the stratigraphic and structural extensions of the mine area and other undeveloped deposits. A fourth concession applied for occurs to the northeast of the above area on the opposite side of a related basement high and is in turn underlain by favorable onlapping basin sediments.

      Granting of concessions pursuant to the Company's applications has to date been deferred by the Niger government pending parliamentary approval of proposed changes to its mining code. Changes to the Niger mining code have recently received government approval and the Company is waiting further information on the details of the changes that are to be implemented. Upon our receipt of this information, which is anticipated shortly, the process of applying for the concessions will be continued by the Company.

      Mr. Armstrong worked as a geologist with Rio Tinto from 1996 to 1997 and was involved with the development of the original resource models for the Diavik Diamond Mine, NWT.       Bayswater Uranium Mobilizes Exploration Team to Hermitage Uranium Belt to Follow-up Over 400 Radiometric Anomalies

      VANCOUVER, BRITISH COLUMBIA--(CCNMatthews - Aug. 21, 2006) - Bayswater Uranium Corporation (TSX VENTURE:BAY)(FWB:B2V) has mobilized prospecting and geologic crews to its Hermitage properties in southwestern Newfoundland to follow-up numerous uranium targets identified by its recently completed airborne geophysical surveys. Just received final processed survey data indicates a high number of radiometric anomalies of which Bayswater's geophysical consultant has selected 460 follow-up targets with an excess of 100 priority targets.

      During the spring, Aeroquest Ltd flew a 4,000 line kilometre survey on the Company's Hermitage East and West properties to measure radiometric, magnetic and electromagnetic responses as part of the Company's first phase exploration work in search of uranium deposits.

      Radiometric surveys have been a very effective method for exploring for uranium in the Hermitage Belt. Similar geophysical surveys conducted by Commander Resources (TSX VENTURE:CMD) on their adjoining Hermitage properties have generated eight of their nine recently announced uranium discoveries. Commander has reported assay results up to 3.1% U3O8 from sedimentary and volcanic occurrences. Bayswater's properties cover the same geologic formations that are host to uranium mineralization on Commander's ground.

      In recognition of the potential for the Hermitage Belt to host multiple, large-scale, near-surface uranium deposits, Bayswater recently staked an additional 101,000 acres in the area. The new 100% owned properties were acquired to cover areas prospective for hosting uranium mineralization based on similar geology to uranium discoveries elsewhere in the belt. The Company now has interests in approximately 418,000 acres (1,690 sq km), the largest land position in the belt.       Bayswater Uranium Corporation (TSX VENTURE:BAY)(FWB:B2V) (the "Company") reports that initial survey results from its Labrador Central Mineral Belt Uranium Project has generated over 100 priority airborne radiometric anomalies with signatures and in geologic settings characteristic of IOCG and Rossing deposit models. These anomalies are variously shaped including typical linear and stubby zones up to 10 km in length within the Central Claim Block that covers a portion of the historic uranium district; and linear, arcuate, stubby, ovoid and ring-shaped zones up to 10 km in length or diameter in the North and Northwest Claim Blocks. Follow-up prospecting of these anomalous targets is currently underway.

      A summary of recent discoveries from follow-up work to date is as follows:

      - Anna Lake Prospect: Uraniferous boulder field, previously reported from the Company's compilation of prior work, confirmed with associated radiometric anomaly that extends for several km

      - Stipeck River Zone A Prospect: Uraniferous highly radioactive zone in historic uranium district measuring 10 to 20 metres wide and traced for 200 metres into overburden covered areas along strike

      - Stipeck River Zone B Prospect: Uraniferous highly radioactive 2 to 4 metre wide zone traced for 200 metres along strike and located 3 km along strike from Zone A above

      - Kanairiktok Bay Prospect: Rossing-type discovery in North Claim Block consists of abundant uraniferous and highly radioactive alaskitic bodies distributed in crescent-shaped mineralized zone several km long

      - Stomach Lake Prospect: Huge uraniferous radioactive boulder field in Northwest Claim Block indicates substantial Rossing-type mineralized source area

      - Drill targets shaping up for testing on above targets

      - Extensive airborne radiometric anomalies along strike the Michelin deposit and Jacques Lake, Otter Lake and Melody Hill Prospects of Aurora Energy indicate considerable potential for further discoveries of IOCG-type mineralized zones in the historic uranium district.

      - Numerous airborne radiometric anomalies in North and Northwest Claim Blocks indicate excellent potential for discovery of other Rosing-type targets

      The Company's airborne geophysical survey is continuing with two helicopter-supported systems and should be completed by early September. Although the data requires processing and final survey maps and interpretation won't be available until late in the fall, the data is of sufficient quality to select anomalous targets for follow-up and evaluation.

      For a brief description of the IOCG and Rossing exploration deposit models refer to the Company's news release of January 16, 2006.

      Preliminary results from the Company's initial evaluation of its uranium discoveries to date are detailed below.

      IOCG TARGETS

      Anna Lake Boulder Train: This target was identified as a result of the Company's compilation of previous work on its claims. It has been previously described in a News Release dated May 17, 2006. The target consists of an extensive uraniferous boulder train in gossaneous garnet-biotite schist with grab sample values of up to 3.05 % U3O8. Although the Company does not have assay results returned from its sampling of this boulder train the prospecting crews confirmed the character and radioactivity of the mineralization. Results from the current airborne survey over this target indicate a coincident radiometric and magnetic anomaly that is several kilometers long. Further follow-up of this target, including ground geophysics, is required to develop drill targets. A permit application for this work has been submitted.

      Stipeck River Uranium Trend: Follow-up prospecting of a series of radiometric anomalies within the northern portion of the Central Claim Block have identified three uranium targets of interest along a strike length of approximately 3 km.

      Stipeck River Zone A Prospect: This prospect consists of a highly radioactive zone traced for 200 metres along strike into overburden covered areas at both ends. The zone is 10 to locally up to 20 metres wide. It consists of a graphitic and sulphidic shear structure hosted within an argillaceous unit in a conglomerate-sandstone sequence. The mineralized zone is continuously mineralized along strike and across its width and typically returns spectrometer readings of greater than 35,000 cps with highest values based on hand held spectrometer measurements of up to 0.7% U. Approximately 50 samples have been collected from the target with assays pending. A HLEM(Max-Min) survey is planned in order to trace the potential strike extent of the mineralized zone. Permitting has been submitted for further surveying and drill testing of this target.

      Stipeck River Zone B Prospect: This prospect is characterized by a 2 to 4 metre thick, uraniferous, silicified sandstone unit traced for 200 metres along strike. The sandstone unit is hosted within a folded sedimentary sequence of conglomerates and cherts. The uraniferous unit typically returns up to greater than 5,000 cps with highest spectrometer values of 0.12% U. This showing occurs 3.0 km southwest and along strike from the Stipek Zone A Prospect. Sampling is ongoing and assays of the preliminary sampling are pending. Permitting has been submitted for further surveying and drill testing of this target.

      Stipeck River Zone C Prospect: This target consists of widespread localized uraniferous zones with total count readings locally up to greater than 35,000 cps. Best spectrometer values range from 0.1% to 0.8% U. The mineralized zones are hosted in complexly folded and faulted rocks sedimentary units equivalent to those of Zone A and Zone B showings. Intense quartz veining and stockwork veining containing pyrite and minor chalcopyrite are spatially associated with these uranium showings. Stipek River Zone C Prospect is located about 1/2 km northeast of the Zone B showing. Assays are pending with further work underway.

      Other Radiometric Targets: Numerous high priority radiometric anomalies have been identified within the Central Claim Block that extend intermittently for at least 45 kilometers, to the limits of our current survey in progress, along the southwestern geologic extensions of known deposits and prospects in the eastern portion of the historic district-namely, along the strike extensions of the Michelin deposit, Jacques Lake and Otter Lake prospects and Melody Hill prospect of Aurora Energy Resources Inc. (TSX VENTURE:AXU). These targets will be evaluated as part of our ongoing follow-up program this summer and fall. Only a portion of the Company's airborne survey has been completed over the historic uranium district and the Company anticipates numerous additional radiometric anomalies for follow-up will be generated further to the southwest, including the area adjoining land held by Crosshair Exploration & Mining Corp. (TSX VENTURE:CXX).

      ROSSING TARGETS

      Airborne surveying of the North and Northwest Claim Blocks has been completed except for recently staked marginal claims and fill-in surveying at 100 metre line intervals in radiometrically anomalous areas. These claim blocks have potential primarily for Rossing type deposits. Rossing targets are characterized by favourable alaskitic intrusives localized in high grade metamorphic terrain, including migmatites and pegmatitic phases, with associated gneissic domes and major fault structures. Radiometric anomalies are associated with such deposits; and extensive multielement lake sediment anomalies, present on the Company's claims, are believed reflective of such deposit environments.

      North Claim Block

      The results of the airborne survey within the North Claim Block indicate two magnetically inferred "granite-gneiss domes"-one associated with the oval-shaped uranium and associated multielement lake sediment anomaly centered within our claims previously described in the Company's news release of May 17, 2006; and, the other associated with a separate and smaller similar multielement lake sediment anomaly to the northeast. Major regional fault structures bound these domal structures along there northwest and southeast margins.

      Radiometric Targets: Numerous and extensive radiometric anomalies, ranging up to 10 km in length, characterized by Rossing-like signatures occur coincident with the oval-shaped lake sediment anomaly, including the McGrath Lake Area as described in News Release dated May 17, 2006, and with the separate anomaly to the northeast as described above. Follow-up of one of these radiometric anomalies has led to discovery of a promising uranium mineralized area (Kanairitktok Bay Prospect) located along the western margin of the northern-most "granite-gneiss dome" and related lake sediment anomaly as referred to above.

      Kanairiktok Bay Prospect: This uranium mineralized area is characterized by a localized although widespread cluster of radioactive alaskitic-aplitic dykes, lenses, boudins and masses within and along the southwestern margin of a zoned oval-shaped "anorthosite" body that measures about 5-10 km in length in a northeast-southwest direction. The mineralized area appears to be a general crescent-shaped zone that extends for several kilometres. Radioactive intrusive phases within this zone return total counts of up to greater than 25,000 cps with spectrometer values of up to 0.5% U. Preliminary work performed on this zone includes continuous channel sampling for which assays are pending. Drill targets are beginning to take shape on this target as further ground work is carried out.

      Northwest Claim Block

      The airborne survey of the Northwest Claim Block has identified two large major centers of radioactivity (Stomach Lake Area and Weekes-English Lake Area) coincident with areas of highly anomalous uranium values in regional lake sediments and lake waters as previously reported (News Release dated January 16, 2006). Major regional fault structures and intersecting patterns of faults dominate the structural setting of these large promising target areas. Also, other local linear to stubby radiometric anomalies of interest occur elsewhere within the Northwest Claim Block.

      The Stomach Lake target is characterized by a composite northeast-southwest trending linear zone about 20 km long and 2 to 4 km wide that tends to widen to the northeast; whereas, the Weekes-English Lake area target is a composite ring-shaped feature about 10 km in diameter. The latter target is also characterized by symmetrical linear to stubby extensions for up to 15 km along a northeast-southwest direction. Both of these targets are spatially associated with regions of partial ring-shaped masses of granitic and migmatitic rocks. Prospecting has just commenced on these targets.

      Stomach Lake Prospect: Limited follow-up prospecting of the northeastern portion of the Stomach Lake radiometric anomaly has led to discovery of a very large and extensive, potentially fanned, uraniferous boulder field. Radioactive boulders consist of pink alaskitic granite and migmatite with total counts of up to 10,000 cps with highest uranium values based on hand held spectrometer measurements of 0.2% U. The potential source area of this boulder field is to the southwest and further extensive prospecting is planned. The extent and volume of mineralized material and angular nature of many of the boulders indicates a proximal and substantial Rossing-type mineralized body.

      OTHER NEWS

      The Company also reports that additional claims comprising a total of 822 claims have been staked to cover potential extensions of targets of interest adjacent to its current land holdings. Also, 36 claims have been staked in a separate block to the east of Kaipokok Bay south of Postville within the historic uranium district (Kaipokok Bay Claim Block). These claims cover the potential extension of an airborne radiometric anomaly located adjacent to the west, north and northeast sides of the claim block. The new claims are underlain by granitic rocks. Aurora Energy holds land that nearly surrounds the claims. All these additional claims are being surveyed with airborne geophysics by Fugro.

      The Company is also pleased to report that it has been approved for Junior Exploration Assistance under the Mineral Incentive Program in the Province of Newfoundland & Labrador in respect to a government contribution towards the cost of its airborne geophysical survey of its large Labrador land holding.

      In other news, the Company has entered into an agreement with a consultant to acquire a data package in reference to mineral resources in Europe for $25,000 payable either in cash or through the payment of 1/2 cash or 1/2 in common shares at the discretion of the Company.

      About the Labrador Central Mineral Belt

      The Central Mineral Belt (CMB) of Labrador, Canada, located approximately 135 kilometres north of Goose Bay, has a long history of uranium and base metals exploration. Uranium was first discovered in the belt in the 1950's. With further exploration in the 1960's and 1970's with rising uranium prices, exploration in the CMB increased significantly and several uranium deposits were discovered including the Kitts, Michelin, Inda, Nash, Rainbow and Moran Lake deposits by Brinco. The Moran Lake deposits were later drilled by Shell Canada Ltd. (TSX:SCH). Currently the Michelin uranium deposit is being developed by Aurora Energy Resources Inc. (TSX VENTURE:AXU) which at the end of January, 2006 announced a NI 43-101 compliant measured and indicated resource of 22.2 million lbs U3O8 plus an additional inferred resource of 13.4 million lbs U3O8 all at an average grade of 0.113% U3O8 to a depth of approximately 600 metres. Crosshair Exploration and Mining (TSX VENTURE:CXX) is exploring the Moran Lake deposit with an initial NI 43-101 compliant inferred resource of 688,000 lbs U3O8 at a grade of 0.25% U3O8 in the Upper C Zone. Bayswater Uranium is the largest landholder in the CMB with over 4,200 sq km. Aurora controls about 800 sq km and Crosshair approximately 640 sq km.

      About the Labrador Central Mineral Belt Uranium Project

      The Labrador Uranium Project is one of Bayswater's key projects with over 4200 sq km of contiguous land along and adjacent the historic Labrador Central Mineral Belt uranium district highlighted by resource drilling on the Michelin deposit by Aurora Energy Resources Inc. and Crosshair Exploration & Mining Corp. on the Moran Lake deposit; and, by development of major prospects by Aurora and others working in the district.       BAYSWATER COMPLETES AIRBORNE GEOPHYSICAL SURVEY AT SOUTH THELON BASIN URANIUM PROJECTS

      Bayswater Uranium Corp. has completed the airborne electromagnetic (EM) survey in the South Thelon basin located in the Northwest Territories. The survey consisted of 8,667 line kilometres of deep-penetrating, electromagnetic (EM) and magnetic surveying using Fugro Airborne Surveys' proprietary MegaTEM II system. The high-tech survey covered priority structures with coincident radioactive boulder fields identified by government and company geologists. The objective of the survey is to identify basement conductors associated with high-grade unconformity-type uranium deposits. Priority conductors will be followed up by ground exploration to determine drill targets.

      Data from the survey are currently being processed and results will be announced when available. Of the 8,667 line kilometres completed, 7,289 line kilometres were within the 1,363,378-acre Thelon UNR property (formerly referred to as the Thelon uranium project). The Thelon UNR property hosts several prominent fault structures as well as numerous zones of radioactive sandstone boulders. The property is subject to an agreement with Uranium North Resources Corp., whereby Bayswater may earn an 80-per-cent interest in the uranium rights of the property.

      Bayswater Uranium Corp. has retained Longview Strategies Inc., a Vancouver-based firm with a focus on natural resources, renewable energies and related technologies, to provide Bayswater with investor relation services.

      Longview Strategies is a merchant bank listed on the TSX Venture Exchange, whose chairman and chief executive officer, Damien Reynolds, is also a director and chairman of Bayswater Uranium. Longview Strategies provides comprehensive corporate finance and investor relations services, and will assist Bayswater in fostering productive, continuing dialogues with analysts, brokers, potential investors, current shareholders and other financial professionals. Other clients of Longview\'s investor relations services include Buffalo Gold Ltd., MacArthur Minerals Ltd. and StonePoint Global Brands. The investor relations agreement with Longview shall have a term ending on Dec. 31, 2006, renewable at the option of the parties. As consideration, Longview will receive $12,500 per month and be granted options to purchase 200,000 common shares of the capital stock in the company at a price of $1.41 per share for a period of five years with vesting in equal amounts on a quarterly basis over the first year of the option term. The agreement is subject to the approval of the TSX-V.

      In other news, the company advises that it has granted incentive stock options to certain directors, officers and consultants entitling them to purchase up to 1.07 million common shares of the capital stock in the company at a price of $1.41 per share for a period of five years, subject to regulatory approval.

      On the company's Avoca base metal project, Ireland, gradient array induced polarization has been completed in five cross-sectional areas to test the massive sulphide base metal system over a strike length of seven kilometres and to depths of up to 900 metres. Both the central copper-rich zone and laterally equivalent marginal zinc-lead rich zones have been tested by the survey. In addition, shallow gradient induced polarization surveying at 200-metre line intervals was completed over a one-kilometre potential strike extension to the northeast of the Kilmacco zinc-lead zone in East Avoca where previous drilling intersected several high-grade intersections. One such intersection assayed 10.1 per cent zinc, 5.7 per cent lead, 0.48 per cent copper, 284 grams per tonne silver and 4.52 grams per tonne gold over 8.3 metres. Results from the induced polarization survey are summarized as follows:

      * The Avoca massive sulphide system comprises multiple tabular chargeable bodies across a zone up to one kilometre wide that extends the full length of the survey area and to the depths tested.

      * Increased chargeabilities and greater widths of chargeable zones occur in some sections at depth -- which indicates that the sulphide system is potentially larger at depth in portions of the sulphide system.

      * The East Avoca Kilmacco zinc-lead zone has been traced as a chargeability anomaly for one kilometre to the northeast and is open along strike to the northeast and at depth.

      * The West Avoca zinc-lead zone, including the resource estimate as given below, occurs within an indicated composite sulphide system of subparallel zones that has been traced to the southwest for nearly two kilometres along strike and to depths of up to 850 metres; and is open to the southwest and at depth.

      These results indicate substantial potential to increase the zinc-lead historic resource currently outlined on the property both in East and West Avoca. As well, the results indicate potential for larger base metal systems at depth.

      Once the Avoca induced polarization data have been processed and reviewed, targets will be identified for deep drill testing to evaluate the potential for larger mineralized systems at depth; and to evaluate the near surface strike extension of the Kilmacco zone in East Avoca and the project historic resource in West Avoca.

      About the Thelon basin, Northwest Territories/Nunavut, Canada

      Located in the Northwest Territories and Nunavut, Canada, the Thelon basin represents an under-explored, major sandstone basin that shares many geological characteristics with the Athabasca basin, approximately 350 kilometres to the south in Saskatchewan. Numerous high-grade unconformity-style uranium deposits have been identified within the Athabasca basin, and mining of these deposits currently generates approximately one-third of the world's uranium production. Similarities between the Athabasca and Thelon basins include the age and character of favourable host and basement rocks, major basement structural features and, importantly, known occurrences of unconformity-type uranium mineralization. The most advanced uranium deposits within the Thelon basin area are Cogema's Kiggavik, Andrew Lake and END deposits (the Kiggavik trend), host to approximately 131 million pounds of contained U3O8. Bayswater Uranium is the largest landholder in the Thelon basin with interests in 3.65 million acres.

      About the Avoca base metals project

      Bayswater's 73-square-kilometre Avoca property in southeast Ireland includes a historically mined copper, zinc and lead sulphide stratiform volcanogenic deposit with gold and silver values. Historic resource calculations that are not NI 43-101 compliant have estimated the resource at 6.0 million tonnes grading 5.3 per cent zinc and 1.9 per cent lead. This resource has not been verified by the company's qualified person and is provided for information purposes only.
