Portec Rail Buys Vulcan Chain Line

Portec Rail Buys Railroad Product Line of Vulcan Chain for $4.3M

PITTSBURGH (AP) -- Portec Rail Products Inc., which provides track maintenance, management and load securing services to the railroad industry, on Wednesday said it plans to buy the railroad product line of Vulcan Chain Corp. for $4.3 million.

Portec Rail said the value of the all-cash transaction is subject to sales goals for the product line over a three-year period. Last year, the product line posted revenue of about $4 million.

Portec Rail Chief Executive Richard J. Jarosinski said the acquisition would complement the company's Chicago-based shipping systems division. The product line includes new and reconditioned tie-down systems for shipping new automobiles and vans, as well as hand brake chain products for railcar builders.

(Nasdaq: PRPX - News) today announced unaudited net income of $1,201,000 or $0.13 per share for the third quarter ended September 30, 2006 and net income of $3,756,000 or $0.39 per share for the nine months ended September 30, 2006 on average basic and diluted shares outstanding of 9,601,779 for both periods. Earnings for the three months ended September 30, 2006 were negatively affected by $131,000 or slightly more than $.01 per share for two non- recurring items. The Company recorded an impairment charge of $66,000, net of income taxes, for the write-down of non-operating assets at its Troy, New York property during the three months ended September 30, 2006. Additionally, earnings for the current quarter were negatively affected by $65,000, net of income taxes, for costs associated with the Company's restructuring of its operations in the United Kingdom, which includes certain employee termination costs resulting from the closing of two of the Company's four operating locations. These results compare to unaudited net income of $1,713,000 or $0.18 per share for the third quarter ended September 30, 2005 and $4,426,000 or $0.46 per share for the nine months ended September 30, 2005 on average basic and diluted shares outstanding of 9,601,779 for both periods. Net sales during the third quarter 2006 increased to $24.3 million compared to $24.2 million during the third quarter of 2005. Net sales for the nine months ended September 30, 2006 increased to $76.4 million compared to $69.1 million for the same 2005 period.
