Investment in a RMB256 million Water Project in Shanxi Province, PRC
The Board of Directors of Asia Water Technology Ltd. (hereinafter referred to as “the
Company” or the “Group”) is pleased to announce that the Group has invested in a water
project (the “Project”) in Lv Liang City, Shanxi Province in the People’s Republic of China
(the “PRC”).
The Company, together with its wholly-owned Subsidiary, Wuhan Kaidi Water Services Co.,
Ltd. (“Wuhan Kaidi Water”), shall incorporate a project company, Lv Liang Xinya Water
Services Co., Ltd. (“Lv Liang Xinya”) with a registered capital of RMB98 million for the
Project.
The Project value is estimated to be RMB256 million and is expected to be completed by
end 2007.
The Company shall invest RMB58 million for a 59.18% stake in Lv Liang Xinya, while
Wuhan Kaidi Water shall invest RMB40 million for the remaining 40.82% interest.
The Project typifies a Build-Own-Operate (“BOO”) contract. It involves providing a water
supply solution of up to 20 million tonnes per year (with a long-term capacity of 40 million
tones per year). This entails the construction of a 60 Km piping system, 4 reservoirs with a
total capacity of 40,000 tonnes, a control and automation system, pump rooms and other
facilities necessary for the supply of water to Lv Liang City in Shanxi province.
In accordance with the terms of the Project, the Group shall have absolute ownership over
all assets of the Project, including its operating rights and tariff rights.
Upon completion, the project company will charge a fee for drawing treated water from a
treatment facility in the vicinity of Wen Gu River, and supply it via a piping system to Lv
Liang City, Shanxi province. The 60km piping system passes through Wenshui County,
Fenyang City and Xiaoyi City.
Shanxi province is one of the places in PRC facing acute water shortages. Its main
economic activities are coal mining and processing. With increased urbanization and coal
mining and processing activities, the demand for water is expected to increase.
The above transaction will be funded by internal resources of the Group and is not expected
to have any material effect on the net tangible assets and earnings per share of the Group
for the financial year ending 31 December 2006.
None of the Directors or substantial shareholders of the Company has any interest, direct or
indirect, in the above transaction.
