IUC MERGER WITH DENISON RECEIVES COURT APPROVAL

Denison Mines Inc. has received approval from the Ontario Superior Court of Justice for its merger with International Uranium Corp. The merger is expected to close on or about Dec. 1, 2006. The Toronto Stock Exchange has advised that, within three trading days after closing, the International Uranium shares will commence trading as Denison Mines Ltd. under the symbol DML.

Upon closing, holders of Denison common shares will exchange each one of their Denison common shares for 2.88 International Uranium common shares. International Uranium shareholders will continue to hold their existing number of common shares.

The merger of International Uranium and Denison will create a growth-oriented and diversified uranium producer with estimated combined annual production of approximately five million pounds U3O8 by 2010 and a strong financial position with approximately $118-million in working capital.

The combined company will be positioned as the premier North American uranium intermediate producer, with mining assets in the Athabasca basin region of Saskatchewan, Canada, and the southwest United States, including Colorado, Utah and Arizona. Further, the combined company will have ownership interests in two of the four operating uranium mills in North America today. The combination of a diversified mining asset base, with parallel ownership of milling infrastructure in highly politically stable jurisdictions, will uniquely position the combined company for growth and development into the future.

The combined company will also have a strong exploration portfolio with large land positions in the United States, Canada and Mongolia. Correspondingly, the combined company will have one of the largest uranium exploration teams among intermediate uranium companies.

Was Forsys betrifft, wirst Du da von einigen Schmierblättchen bezahlt??????

Jetzt mal ne Frage an die Experten:

hab gerade gelesen, dass Denison Mines mit 12% an Energy Metals beteiliegt ist. Von der Bewertung ist E.M. jedoch noch günstiger als Denis Mines. Würde es da nicht Sinn machen, einen Teil umzuschichten?

Für Meinungen hierzu wäre ich dankbar.

IUC Shareholders Approve Merger With Denison
12:29 EST Monday, November 20, 2006

VANCOUVER, BRITISH COLUMBIA--(CCNMatthews - Nov. 20, 2006) - International Uranium Corporation ("IUC" or the "Company") (TSX:IUC) is pleased to announce that shareholders voted overwhelmingly in favour of certain matters relating to the previously announced merger with Denison Mines Inc. ("Denison") at a special meeting of shareholders held today, November 20, 2006, in Toronto.

Among matters, IUC sought shareholder approval of the issuance of 102,000,000 IUC shares to Denison shareholders as part of the plan of arrangement between the companies. Shareholders voted 99.98% in favour, which exceeded the minimum threshold of 50 percent required. IUC also sought shareholder authorization to permit the Company to change its name to Denison Mines Ltd. upon closing of the arrangement. Shareholders voted 98.4% in favour, which exceeded the minimum threshold of 66 2/3 percent required. Shareholders also approved other resolutions necessary in connection with the arrangement between IUC and Denison.

At a separate meeting held earlier today in Toronto, the Denison shareholders and option holders voted together 99.87% in favour of the plan of arrangement, and the Denison shareholders alone voted 99.86% in favour of the plan of arrangement. Both votes in favour exceeded the minimum threshold of 66 2/3 percent required for the merger to proceed.

The plan of arrangement is scheduled before the Ontario Superior Court of Justice on November 28, 2006, and provided that court's approval is obtained, the arrangement is expected to be completed on or around December 1, 2006 at which time IUC will cease trading on the Toronto Stock Exchange and commence trading as Denison Mines Ltd. under the symbol "DML."

Pursuant to the plan of arrangement, holders of Denison common shares will exchange each one of their Denison common shares for 2.88 IUC common shares. IUC shareholders will continue to hold their existing number of common shares.

Denison Mines Inc. (TSX:DEN)("Denison") is pleased to announce that its shareholders and its optionholders, at the Special Meeting of Shareholders and Optionholders held in Toronto today, November 20, 2006, approved the merger between Denison and International Uranium Corporation ("IUC").

The special resolution, as fully described in the Management Information Circular, approving the plan of arrangement ("Plan of Arrangement") under section 182 of the Business Corporations Act (Ontario) was passed by 99.86% of the 10,672,259 shareholder votes cast and by 99.87% of the combined votes of shareholders and optionholders cast at the meeting.

IUC has scheduled a Special Shareholders' Meeting to be held later today to consider and approve a resolution authorizing the issue of up to 102,000,000 IUC common shares in connection with the Plan of Arrangement and to consider and approve such other resolutions necessary in connection with the business combination between IUC and Denison.

Should shareholders of IUC approve these resolutions, and provided the Ontario Court of Justice approves the transaction on November 28, 2006, closing is expected to occur on December 1, 2006 at which time Denison's common shares will cease trading on the Toronto Stock Exchange.

Pursuant to the Plan of Arrangement, holders of Denison common shares will exchange each one of their Denison common shares for 2.88 IUC common shares. IUC shareholders will continue to hold their existing number of common shares. IUC will be renamed Denison Mines Ltd. and, shortly after closing, its common shares will commence trading under the symbol "DML".

Aber hier ging es nicht um den Vergleich mit Paladin sondern mit Denison.
Was den genannten Personenklüngel in Afrika betrifft, weiß wohl jeder, wie schnell die Luft dort bleihaltig sein kann. (Auch wenn Namibia hier eher ein kleineres Risiko darstellt, als andere afrikanische Staaten.)

ABER Forsys kann auf absehbarer Zeit die Cameco-Lücke nicht schließen, ganz einfach weil die Bude bis zum Produktionsstart noch Jahre braucht. Du schreibst ja selbst, dass nächstes Jahr erst die Machbarkeitsstudie veröffentlicht wird. (Ich zweifle nicht an Wirtschaftlichkeit und Machbarkeit!) Damit profitiert Forsys m.M. nach zwar von der Phantasie aber eher weniger vom "Uran-Boom".

Denison (ab Dezember mit IUC im Verbund) produzieren fleißig - in einer politisch sicheren Region. Was bei Uran wohl nicht ganz unwichtig ist... That's it.
