      A local businessman who has created a sensation on North America’s penny stock market with plans to develop a US$645-million hotel complex in the Middle East has been accused of stiffing his landlord for the rent on his former corporate offices in Windsor.
      “They did a midnight run on me,” said Joe Mikhail, a major commercial property owner in Windsor and Essex County.
      Petar Vucicevich and his small staff bolted in the night about eight months ago owing $100,000 for a yearand-a-half of rent, the unpaid portion of the five-year lease and cost of renovations for the offices, said Mikhail, who recognized his former tenant’s picture in Thursday’s Windsor Star.
      Interviewed at his Colchester residence later Thursday, Vucicevich, the CEO of Sulja Brothers Building Materials, denied owing Mikhail any money. He insisted he paid a few extra months of rent just to get out of the lease. “I don’t owe Joe anything,” said Vucicevich.
      According to a news release issued by one of his companies, Vucicevich — as director general of Consultech Construction Management Inc. — was in the United Arab Emirates in April to buy land and launch construction of a $US645-million luxury hotel on Al Reem Island in Abu Dhabi. He showed The Star his passport to prove he was in the UAE in mid-April.
      The hotel project is the largest of a number of multimillion-dollar deals — including a $20-million commercial development in Colchester Village — that Vucicevich and his companies have promoted to investors.
      Sulja Brothers is one of North America’s hottest-trading penny stocks. On Thursday, more than 171 million shares of Sulja stock were traded, with the price per share dropping from nine cents to four. About 67 million shares traded Friday with the price closing at three cents a share.
      Until the website for Vucicevich’s Consultech company was taken down “temporarily” earlier this week it still showed the Mikhail property as its Canadian headquarters. The Star paid a visit recently only to find an empty suite with workers painting it for the next tenant.
      Mikhail said he heard Vucicevich describe deals that were in the works when he tried to collect the rent, including the big hotel project in the Middle East. “He lost all credibility with me with that story,” he said.
      The Consultech office appeared to be used mostly at night, Mikhail said. “Nothing made sense.”
      Mikhail said he didn’t pursue Vucicevich with a collection agency or lawyer because he didn’t think he had any money at the time.
      But Vucicevich now has a choice of a Range Rover, BMW or Maserati to drive, all leased, he says. And between June and September this year he and his wife purchased four parcels of land in Colchester Village for $609,000, according to land registry records.
      Vucicevich said Consultech doesn’t do business any longer in Ontario or Michigan, but is active in Middle East projects. He insisted the hotel project was still in the works with the land — worth about $29 million according to a company news release — already purchased. Construction will start next year, he said. “We’re looking to expand into Lebanon.”
      Vucicevich gave The Star a tour of the Sulja Brothers’ Harrow construction materials yard to prove that it was a bustling business with 28 employees. “This is not a fraud; this is a serious enterprise,” he said.
      Asked where were the employees of Consultech and Kore International — another of his companies — Vucicevich said some work out of their homes, but the majority of about 40 were stationed in overseas offices. He said the reason no employee was in the Kore office on Pelissier Street when The Star dropped by was that renovations were being done.
      Vucicevich complained that while the facts in The Star’s story about him and his company in Thursday’s paper were “absolutely true” the picture painted was misleading by not pointing out the busy lumber business. While close friends do call him “Black Pete” because of his fondness for all- black clothing, Vucicevich said the story appeared to give that a sinister tone.
      Asked if the audited financial statements for Sulja thousands of shareholders have been promised for months are done, Vucicevich said: “You’ll get them when everyone else gets them.”
      Vucicevich said he doesn’t own any Sulja stock and doesn’t benefit or lose when the price goes up or down. “It’s not like I’m selling off lots of stock and making money off it,” he said.
      Because the volume of shares traded was so high Thursday — more than 10 times the average volume for the stock — Vucicevich said the U.S. Securities and Exchange Commission would probably take a look at the reasons, but he wasn’t concerned that anything was amiss.

      Made my trip over to Canada...and was very impressed by what I saw. Took pictures, and asked some questions...all of which convinced me that they are doing well enough as a business to make the income they are claiming on the unaudited financials. I will be looking to confirm the overseas activities with the phone number and person they gave me to contact, and also to ask when the audited financials are coming out. Harrow is the main operation, and it is out in the country, but the inventory of building supplies they have there were quite extensive, both inside and outside.

      As for the location on Huron-Church St. (Windsor), that has closed and moved to Tecumseh, which is where all the new construction is going on, and was confirmed to me by the gentleman who showed me the inside of the building they are renting. It is an office/showroom, with walls being built to show off the samples they will eventually put in of windows, doors, and other products they sell. I was told that they just moved there to this new location on Wednesday, but that the Harrow operation is the main location where they ship everything from. Again, it was confirmed to me that they had moved their showroom/office to this new location to be where the new construction is. I know this to be true, as I have a friend who lives a couple of miles from that corner.

      This new office space is right on the corner of two main roads that are quite busy. It's at the end of E.C. Row Highway at the corner of Lesperance Rd. The buildings there are all newer looking, and have more of a professional appearance. The sign up is of a painting store, but they have several "Sulja" signs up to let people know that they are moving in there. They should have their name up shortly to replace the one that's there from the people that moved out of that office space.

      I had previously put a link in to a website with photos, and I see they now have more photos there. I will try to see if I can add the photos I took to that website, if possible, if not, I will try to make them available to anyone who wants to see them. It may take a little time, as I'm working with a new camera...so...please be patient if you want to see them.

      I also went to the Sams Building Supplies location and found quite a busy operation going on there, with a fairly large amount of inventory. When I called there, the woman asked me if I was coming for a quote, to which I was able to find out that they do mostly drywall contracting out of that location as a subcontractor. I got pictures there also.

      The only location that was unconfirmed was the one someone asked me to look into, which had the Mystic Homes office that Petar was supposed to be in charge of. I got a picture of the building, which housed many offices, but the suite #220 was empty with no name on the door, so I can't make any conclusion on that location other than it was moved.

      I don't really have much negative to say of the whole day, and I'm not worried about Petar's other enterprises. My only other focus is to ask this gentleman, who's name and number I got, about the audited financials, and about the overseas business.

      I don't doubt that they are able to do it, since they have the building supplies knowledge, and a business sense to bring the products to where the people need them. It doesn't take too much to make phone calls to cement suppliers, negotiate the purchasing of the materials, and have them shipped to an area that has a need (assuming that does turn out to be the case, and this is all good information we're getting). My wife is in export, and it doesn't take much to get the necessary customs documents and fill them out. Once the product is delivered, the payment should follow. I'm just saying that it's certainly not impossible, after what I witnessed today, for this business to be putting deals together around the world.

      I saw several trucks at the Harrow location (about five or six), with all the forklifts needed to move supplies around, trucks/forklifts at the Sams location, active business at the new location in Tecumseh (just outside of Windsor). I saw a parking lot full of cars at the Harrow location, to which I later realized that these were employee vehicles (15-20, or so), and one customer inside picking up a load of supplies. The office area was organized, with two people working the counter, and a few more out in the showroom area where the rows of shelving were holding the inventory of smaller supplies. There were also several people outside moving supplies, driving trucks in with supplies to be unloaded, etc...

      Again, I was impressed and convinced. Everything spoke of some definite money being made there, or they couldn't afford all the payroll, equipment, and warehousing/inventory costs.

      I know everyone wants to know about the AF's and the overseas activities, so I'll see what I can further come up with.

      pic 14-15 = This is the new location in Tecumseh, but still has the old "Merlo's Paint and Wallpaper" sign up...to be changed soon.

      I'm convinced enough to buy more SLJB stock, once I can call the number I was given, and am satisfied with their answers/reasons on the AF's, and overseas projects.

      Schade, dass ich den Thread erst jetzt entdeckt habe. Vielleicht hätte ich manch einem eine Enttäuschung ersparen können:
      Sulja Brothers ist ein kleiner(!) Baustoffhändler in Harrow, Süd Ontario (3000 Einwohner). In diesem Jahr haben sie ihre Kleinstniederlassung in Windsor aus Kostengründen geschlossen und in Harrow einen großen Teil des (überflüssigen) Personals entlassen. Der Verkauf von elektr. Werkzeug (Bohrmaschinen etc.) wurde eingestellt, weil er sich nicht mehr lohnte. Mit diesem Laden ist absolut nichts(!) zu holen.

      Woher ich das weiss? Ich bin seit vielen Jahren dort Kunde für Regipsplatten etc. Auch hier in der Gegend kursieren Gerüchte über geplante Baumaßnahmen. Bei der einen (Colchester) haben die Anwohner so verschreckt reagiert, dass sie gleich eine Bürgerinitiative gebildet haben. Ein zweites Bauvorhaben ist noch nicht so bekannt. Der frühere Eigentümer und sein Vorgänger hatten auch schon versucht, da etwas zu machen: ist aber daran gescheitert, dass es direkt neben einem Naturschutzgebiet mit gefährdeten Arten liegt und den Protest von Naturschützern geweckt hat. Der neue Plan ist zwar etwas cleverer als die früheren, hat aber einen entscheidenden Nachteil: Die Lage - ca 40 km von Windsor - ist für Pendler ziemlich ungeeignet, da auch in Kanada die Benzinpreise stark angestiegen sind. Zudem sind die Infrastrukturinvestitionen ziemlich hoch.

      Die arabischen Vorhaben von Sulja, die in der örtllichen Presse beschrieben wurden, halte ich für Märchen aus 1001er Nacht. Warum sollte ein Bauherr im Vorderen Orient von einem kleinen Baustoffhändler in Kanada seinen Zement beziehen? Sulja müsste selbst einkaufen, bekommt keinen Mengenrabatt, den der Ölscheich oder sein Generalunternehmer nicht auch selbst bekämen.

      Tut mir Leid Freunde! Wenn ihr könnt, dann holt Euch noch die letzten Cent, die jemand bereit ist für Sulja auszugeben.

      STATEMENT OF ALLEGATIONS
      OF STAFF OF THE ONTARIO SECURITIES COMMISSION



      Staff of the Ontario Securities Commission (“Staff”) make the following allegations:

      Parties

      1. Sulja Bros. Building Supplies Ltd. (“Sulja Ontario”) is a company incorporated in Ontario in 1987 with a registered office in Harrow, Ontario. Sulja Ontario is in the building supplies business and has been operating in the Windsor area for a number of years.

      2. Sulja Bros. Building Supplies, Ltd. (Nevada) (“Sulja Nevada”) is a company incorporated in May 2006, in the State of Nevada with a registered officer in Las Vegas, Nevada. Sulja Ontario and Sulja Nevada are collectively referred to in this Statement of Allegations as “Sulja Bros.”

      3. Peter Vucicevich (“Vucicevich”) is a resident of Ontario. Vucicevich is the former Chief Executive Officer of at least one of the Sulja Bros. companies. Vucicevich is also the director and a majority shareholder of Kore International Management Inc. (“Kore”).

      4. Kore is a company incorporated in Ontario with a registered office in Windsor, Ontario. Kore has a relationship with Sulja Bros. through Vucicevich.

      5. Andrew DeVries (“DeVries”) is an American resident in Texas. DeVries is an associate of Vucicevich and is also affiliated with both Kore and Sulja Bros.

      Manipulative Trading of Sulja Nevada Shares

      6. Sulja Bros. is quoted on the Pink Sheets, an over-the-counter quotation system in the United States. It is not listed for trading on any exchange or trading system in Canada.

      7. From or about September 2004 to August 2005, Vucicevich set up trading accounts at two Canadian discount brokers using employees of Kore and/or members of the Sulja family as nominees (the “Nominee Accounts”).

      8. Between August 2006 and November 2006, Vucicevich and DeVries directed trading in the Nominee Accounts as follows: Sulja Nevada shares were received in large quantities into the Nominee Accounts by journal entry from Transfer Online, a transfer agent in Portland, Oregon, and were thereafter sold from the Nominee Accounts. Vucicevich and De Vries instructed the account holders of the Nominee Accounts when to trade, at what price to trade, and how many shares to trade at a given price.

      9. The shares were received into the Nominee Accounts from Sulja Nevada’s treasury either directly or through Kore. In both circumstances, the trading constituted a distribution which requires in each instance the issuance of a prospectus receipt by the Commission for the securities of Sulja Nevada or a proper exemption under Ontario securities law. No such receipt has been issued nor have the Respondents demonstrated the existence of a proper exemption from the requirement, contrary to section 53 of the Act.

      10. Within the Nominee Accounts, the effect of the trading in securities of Sulja Nevada as directed by Vucicevich and DeVries and as facilitated by Sulja Bros. and Kore, was to maintain a certain share price in Sulja Nevada, resulting in a misleading appearance of trading activity and an artificial price level for the shares of Sulja Nevada in breach of section 126.1 of the Act.

      11. The proceeds of the trading in securities of Sulja Bros. from the Nominee Accounts as described above are approximately $7.8 million (US).

      Misleading Disclosure

      12. Sulja Bros. issued press releases dated August 11, 2006 and August 23, 2006, in which each time it stated that it was negotiating with KPMG LLP (“KPMG”) and PriceWaterhouseCoopers (“PWC”) to handle all future SEC filings and reporting. The press releases further represented that those firms would be conducting an audit of certain transactions and that the audited financial were “upcoming”.

      13. Sulja Bros. issued a press release dated September 5, 2006, stating that it has a contract for building materials in the Middle East which will produce annual revenues of $3.5 million.

      14. The representations made in the press releases described above are untrue. Neither KPMG nor PWC have or have had any involvement with Sulja Bros. Furthermore, the contracts in the Middle East referred to in the press release dated September 5, 2006 do not exist.

      15. Vucicevich and DeVries are responsible for Sulja’s improper disclosure and for the misrepresentations made in the press releases.

      16. By issuing disclosure that contained statements that were in a material respect misleading or untrue, Sulja Bros., Vucicevich and De Vries are in breach of section 126.2 of the Act.

      Conduct Contrary to Ontario Securities Law and Contrary to the Public Interest

      17. The Respondents have issued false press releases contrary to section 126.2 of the Act that misrepresent the business of Sulja Bros. and its prospects.

      18. At the same time, the Respondents have traded or have caused to be traded, large numbers of shares of Sulja Nevada to third parties in a manner which constituted distributions for which no preliminary prospectus or prospectus were filed nor a receipt issued by the Director, contrary to section 53 of the Act.

      19. The trading directed by Vucicevich and De Vries and facilitated by Sulja Bros. and Kore have created a misleading appearance of trading activity and an artificial price for the shares of Sulja Nevada contrary to section 126.1 of the Act.

      20. The Respondents’ conduct was contrary to the public interest and harmful to the integrity of the Ontario capital markets.
