      Company Background

Petrel Resources is an Irish and London listed oil exploration company established in the early 1980s. The Company moved from London’s Ofex Market to the London Stock Exchange’s Alternative Investment Market (AIM) in August 2000. The focus of the Company's operations is in Iraq, where it had been seeking an agreement to develop three existing oil fields in Southern Iraq while applying for exploration acreage in the Western Desert.

Before the fall of Saddam Hussein, Petrel had signed a working agreement to explore Block 6 in the Western Desert. Iraq has known reserves of 123 billion barrels, the second largest repository in the world after Saudi Arabia which is believed to hold 265 billion barrels. But most of Iraq’s oil is in the east of the country. The Western Desert has hardly been explored. The Saddam Hussein authorities were keen for new exploration rather than the reworking of existing but run-down fields.

With the fall of Saddam, Petrel, whilst still mapping in Block 6, has dusted off its plans to revive two wells in Southern Iraq. It had completed, at a cost of $350,000, a feasilbility study on these two fields, known as Subba and Lohais, located close to the border with Kuwait. These fields used to once produce 140,000 barrels of oil per day (bopd). Before the War they were down to 25,000 bopd. According to Petrel chairman John Teeling, by mid 2003 they were producing a trickle. They could quickly be bought back to a level where their output would be 100,000 bopd, Petrel believes.

Moreover, managing director David Horgan, in six visits to Iraq since the fall of Saddam Hussein, has looked at fresh fields in the north of the country. Petrel’s engineers have prepared a proposal to develop the Khurmala Dome of the Kirkuk oil field. Petrel has raised £959,500 by an institutional placing. This will cover the work involved here.

Petrel is confident it will receive the green light to proceed with the redevelopment proposals.

      JORDANIAN EXPLORATION

Petrel has also signed a Memorandum of Understanding with the Jordanian government's Natural Resources Authority to re-process seismic and conduct other exploration work on the 8,750 km2 East Safawi Block on the Jordanian Basalt Plateau of the Arabian Desert close to the Iraq border. Petrel has the right to opt for a Production Sharing Agreement. The work programme, which includes seismic reprocessing and core sample analysis, started immediately and progressed smoothly. Our technical staff is completing their work as of June 2005. We hope to be able to exercise our option to convert to a Production Sharing Agreement in July.
A general Western Desert geological sampling programme is underway. Petrel's relationship with the Jordanian Natural Resources Authority gives us access to priceless well core samples and data, as well as the ability to extensively sample key outcroppin

      Jordanian Exploration: East Safawi Block

Petrel has agreed PSA terms with the Natural Resources Authority of the Jordanian Government on the East Safawi Block, close to the Iraqi border. The ratification process is underway and the Jordanian Parliament is expected to consider the proposed PSA over the coming months.

      ITOCHU Partnership

Petrel Resources has a strategic partnership and cooperation agreement with ITOCHU Corporation of Japan (“ITOCHU”). The strategic partnership will cover future exploration and development activities in the Iraqi oil and gas industry. We have worked with ITOCHU over several years. ITOCHU with its strong balance sheet and long-term perspective, is a strong player in upstream oil and gas business. The strategic partnership will expand and deepen our operational capabilities. There is no better partner for us in our quest to expand and deepen our Iraqi activities.

ITOCHU launched its upstream activities in Indonesia and Sakhalin Island in the 1970s and has been a successful player in the upstream energy sector. It is currently active in Algeria, Azerbaijan, as well as oil producing regions in the North Sea and Western Australia. In addition to the above-mentioned upstream activities, the ITOCHU group is also one of the largest traders of crude oil in the Far East. It is a major force in numerous business sectors, including steel pipe supply, finance and logistics

The cooperation agreement between Petrel and ITOCHU will initially cover work on the Merjan oil field. ITOCHU will also have a first look at future Petrel projects in the Iraqi oil and gas upstream sector. ITOCHU will contribute towards Petrel's historic costs in the Iraqi oil and gas sector and will cover a fixed share of the costs of the current study.

This joint venture is a good fit for Petrel in Iraq. Itochu is financially strong and has capabilities in multiple business sectors, and will contribute to our quest to expand and deepen our Iraqi interests.

      22 May 2007 - Production Sharing Agreement

PRODUCTION SHARING AGREEMENT IN JORDAN FINALISED

      * East Safawi Block is prospective exploration territory, close to producing fields
      * 3 year exploration programme agreed, commencing with technical analysis and seismic to define drilling targets

Further to the announcement on 1 May, Petrel Resources, the AIM-listed oil explorer and developer operating in Iraq, confirms finalisation of a Production Sharing Agreement (PSA) on the East Safawi Block in Jordan. King Abdullah of the Hashemite Kingdom of Jordan attended the ceremony, where a total of $2.5 billion of investment was announced by the Jordanian authorities.

East Safawi forms part of the prospective Arabian Desert. The East Safawi block adjoins the producing gas field at Risha and oil producing blocks in Syria. The oil targets are in shallow formations and there are well-established gas plays at depth.

Jordanian Production Sharing terms are clear and attractive. The contractor receives 60% of oil production - or gas equivalent - up to 10,000 barrels daily, with a sliding scale to a 35% share of production over 100,000 barrels daily oil equivalent. There were no material objections to the Petrel contract in parliament or elsewhere.

The agreement envisages a 3 year first phase exploration. Initial work includes seismic reprocessing and reinterpretation and new seismic. Targets identified are expected to be drilled in 2008/09, depending on operational developments.

Jordan is a stable constitutional monarchy. Building on the success of his father King Hussein, King Abdullah personally attended the East Safawi and other signing ceremonies, which underlined Jordan's commitment to responsible international investment.

Jordan's success, based on pro-business policies, is a model for the region. Even political turbulence in neighbouring countries has been turned to advantage by Jordan, which has attracted outstanding entrepreneurs and investment.

Historically, a concern was that Jordan is most prospective for gas. This is now seen as an advantage, due to the massive international increase in demand for natural gas, both in the region and further. With the Arab gas pipeline project well advanced, and planned to extend to Turkey and into the European network, Jordan will be both a supplier and reliable access route for Middle Eastern gas exports to Europe.

Petrel Managing Director, David Horgan, commented:
'East Safawi is prospective: analysis reinforced our belief that the Arabian Desert has considerable oil and gas potential.

At a time of resource nationalism elsewhere, we are heartened by Jordanian consensus in favour of this project. There were no objections in Parliament or the mainstream media to Petrel's contract. His Majesty publicly demonstrated commitment by hosting the signing ceremony - giving comfort to citizens and investors.

Winning the East Safawi Production Sharing Agreement is the culmination of three years work. Terms are world-class, especially for oil. Jordan is both secure and pro-business, complementing Petrel's Iraq-centred strategy'.
