      SOYO Group, Inc. Secures New 12 Million Dollar Credit Facility With United Commercial Bank of California
      Friday March 2, 1:38 pm ET

      ONTARIO, Calif., March 2, 2007 (PRIME NEWSWIRE) -- SOYO Group, Inc. (OTC BB:SOYO.OB - News), a provider of Computer, Consumer Electronics, and Broadband telecommunications products, today announced a financing agreement with UCB in Westminster, California. The agreement calls for UCB to supply SOYO with a revolving financing, non equity based, facility of up to $12 million dollars to finance working capital, letters of credit or other capital needs. The maximum amount of the facility to be extended at any point in time is based on the Company's accounts receivable and inventory, which will serve as collateral for the loan.       Honeywell Licenses Brand Name For Flat-Panel Televisions

      Honeywell International Inc. (HON) may be best known for its thermostats and aircraft engines, but flat-panel televisions soon will bear the company's name as well.
      Honeywell-branded TVs are expected to go on sale this year under a licensing deal between the Morris Township, N.J., conglomerate and Soyo Group Inc. (SOYO), a small electronics manufacturer.
      The deal marks Honeywell's first foray into the consumer-electronics sector, although Honeywell has an active brand-licensing program for portable home air filters and other products.
      Soyo will design and distribute the liquid-crystal-display TVs and pay Honeywell royalties. In addition, the deal eventually may result in Honeywell-branded computer monitors and displays, although executives of the two companies declined to elaborate.
      They wouldn't release sales forecasts or other financial details, beyond saying that the six-and-a-half-year agreement will provide a minimum of $3.84 million in royalties for Honeywell.
      The sum is inconsequential compared with Honeywell's $31.4 billion in 2006 sales. But company executives are intrigued by the market regardless.
      "We're always looking for opportunities to expand the brand," said Loria Yeadon, chief executive of Honeywell Intellectual Properties Inc. "We think consumers will appreciate having Honeywell-branded (electronics) because they know that there's quality" in the name.
      Yeadon said she isn't concerned that the move could be a stretch for the Honeywell brand. The company is well known as a technology innovator, she said, and many of its patents are already used in various consumer devices.
      Brand expert Alan Siegel, chairman of strategic branding consultant Siegel + Gale in New York, concurred, noting that the Honeywell brand is in many homes now and has a solid reputation. His firm doesn't work for Honeywell.
      "It's not an unrealistic brand extension" for Honeywell to go into consumer electronics, Siegel said. "Honeywell already is something of a household name because of its thermostats."
      He said the key for the company will be to ensure that the new products bearing its brand, and the services surrounding them, are of good quality.
      Honeywell executives contend they'll do just that. They said they'll consult with Soyo on design and also will monitor its sales and advertising.
      Soyo, an Ontario, Calif., company with about $40 million in annual sales, is a provider of computer components, such as motherboards and networking equipment. But it has been attempting to break into the LCD television market, and it currently sells TVs under its Soyo and Go Video brand names.
      Soyo Chief Executive Ming Chok said the Honeywell-branded TVs will be the company's top models.
      "Our goal is to build a product that will compete with the majors," he said.
      Chok said the Honeywell TVs are expected to be sold in "tier one" retail outlets, although he declined to reveal the precise marketing strategy.
      Honeywell shares were trading recently at $46.49, up 58 cents, or 1.3%, from Friday's close. Soyo shares were trading at 40 cents, down 4 cents, or about 9%.

      Honeywell Goes Hollywood

      "A billion here, a billion there -- pretty soon you're talking real money."

      If that's true, then what do you call Honeywell's (NYSE: HON) latest news? On Monday, the industrial conglomerate, maker of everything from jet engines to digital thermostats, said it's hooked up with tiny consumer electronics manufacturer Soyo Group in a deal destined to generate $3.84 million over the course of six and a half years. Okay, admittedly, that's the "minimum" worth of the contract, but still, it seems a trifling sum.

      Last year, Honeywell recorded sales of $31.4 billion, netting 6.6% of that sum as profit. For its part, Soyo Group, which trades over the counter as SOYO.OB, had just $48.9 million in sales and netted 2.4% on them. It's hard to conceive of a bigger mismatch between business partners.

      Just as hard to conceive: Why Honeywell -- or anyone, for that matter -- would want to enter the cutthroat LCD TV game. When you consider that companies from AU Optronics (NYSE: AUO) to LG.Philips LCD (NYSE: LPL) to Sony (NYSE: SNE) are all struggling to make money in this business, often unsuccessfully, it seems like a sucker's bet.

      You (don't) gotta play to win
      Except for one thing: Honeywell appears to realize that it's a sucker's bet, and has worked out a way to dip its toe in the consumer electronics market without risking taking a bath. According to news reports on the collaboration, Honeywell won't actually be making the TVs. Rather, it will let Soyo do all the work of manufacturing and distributing the sets. Honeywell's role will be simply to permit Soyo to slap "Honeywell" name tags on the results, and cash the royalty checks.

      Admittedly, Honeywell will need to keep a close eye on the TVs produced under its brand name. It wouldn't do to let shoddy merchandise slip through and sully the firm's reputation for quality -- that could easily do more than $3.84 million in damage to the firm's brand and goodwill. But with Soyo promising that it will use Honeywell's brand only on its "top models," that risk should be mitigated.

      In which case, while $3.84 million still may not be "real money," it could well be "free money."

      Honeywell sues myriad of LCD TV makers for anti-flicker technology

      If you think LG has a mess on its hands, it's suddenly not alone, as six other manufacturers touching one point or another in the LCD TV supply chain are now facing a patent lawsuit from Honeywell. In what smells awfully like another patent instance of patent trolling, Honeywell is suing Acer, AU Optronics, BenQ, Chunghwa Picture Tubes, Renesas Technology, and Denmos Technology as it claims that a patented "method of stopping liquid-crystal displays from flickering" has been unrightfully used. The firm has reportedly "sustained damages and will continue to sustain damages in the future," which they feel should translate into receiving incredible amounts of cash in order to resolve the situation. Reportedly, five of the six outfits under the lawsuit said that they "had not been informed" about the issue just yet, but we doubt it'll be too much longer before it floats to their respective legal departments.

      Tim,

      Sorry for the late response to your email. We are right in the middle of the financial reporting season, and we’re working hard to get the 10K done. That doesn’t leave a lot of time for other inquiries. As you may or may not know we don’t currently employ an IR firm internally or externally. Please don’t take the slow reply as a reflection of our feeling towards the value of our shareholders.

      Having said that, I will provide what I can for you in way of answers. Please understand that SOYO cannot recommend you buy our stock. We suggest you speak with your financial advisor and read our SEC filings and especially the "risk" section.

      1. We are unaware of any institutions following SOYO. Our founders own over 50% of the outstanding shares and have not sold any stock over the years. We also have not done any IR roadshows that are usually done to attract those type of investments. We have taken and continue to take the road less traveled and concentrate on building our business and not our story. We feel that long term the fundamentals of the business will attract a better investor. We also know we need to move off the OTCBB to an exchange where Institutions feel more comfortable investing. We also hope to hire a professional IR firm soon.

      2. I won’t share the pricing with you, but will tell you we are very excited about our relationship with MMA. We are getting in content advertising by supporting a sport that has more 18-34 year old males watching then anything else on TV. We can’t afford Superbowl ads so we must be creative in how we gain brand recognition. We have not yet rolled out any of the things we are planning for 2007 and beyond that we will use with the MMA exposure to build our business. Our exposure has already exceeded anything we could have hoped for in NASCAR or other similar sponsorships.

      3. I can’t disclose expected revenues. Just know that we did not enter into the deal to spend 3.8 million over 6 years nor is Honeywell looking just to make just the $3.8 MM.

      We are working closely with Honeywell to deliver an amazing product our consumers will be proud to own. This is all we can say at this point.

      4. Our financial reporting problems derive from what we are required to consider as a problem under SOX. We have made all of our required filing on time, and expect to continue to do so. Additionally, we are quite certain that our financials are accurate and complete. However, under SOX, our current accounting software is deficient in certain areas, so we are required to consider that as a “material weakness” which we have disclosed. We have made the investment in new accounting software in 2006 and will be implementing the software this year. We do not imagine any increased costs. If anything we will be more efficient with the new accounting software.

(OTC BB:SOYO.OB - News) today reported operating income from continuing operations for the quarter ended December 31, 2006 of $566,706 compared to operating Income from continuing operations of $651,843 for the quarter ended December 31, 2005. The Company earned $0.01 per share in both periods. Net revenues for the quarter ended December 31, 2006 were $24,417,902, an increase of $7,845,131 or 47.3% over revenues of $16,572,771 for the quarter ended December 31, 2005. The increase for the quarter reflects continuing increased sales volume to Chain or Box retailers and the TV Shopping Networks as a result of its continuing rollout of LCD Product lines.

      The Company reported operating income from continuing operations for the year ended December 31, 2006 of $1,519,271 compared to operating income from continuing operations of $514,920 for year ended December 31, 2005, an increase of 295%. Net revenues for the year ended December 31, 2006 were $56,758,688, an increase of $18,495,656 or 48% over revenues of $38,263,032 for the year ended December 31, 2005. The gross margin was 12.4% for the quarter ended December 31, 2006, compared to 11.5% for the quarter ended December 31, 2005. Gross margin for the year ended December 31, 2006 was 16.3% compared to 12.4% for the year ended December 31, 2005.

      Total costs and expenses for the year ended December 31, 2006 increased by $3,527,118 (84%) to $7,705,168 when compared to total costs and expenses of$4,178,050 for the year ended December 31, 2005. The increased costs during the year resulted mainly from mandatory FASB 123 R compliance, increased costs of consultants, increased legal fees, and increased interest expense. Interest expense, net, increased for the year by $772,333 primarily due to new programs the Company began to ensure adequate levels of inventory for sale.

      Honeywell Licenses Brand Name For Flat-Panel Televisions

      Honeywell International Inc. (HON) may be best known for its thermostats and aircraft engines, but flat-panel televisions soon will bear the company's name as well.
      Honeywell-branded TVs are expected to go on sale this year under a licensing deal between the Morris Township, N.J., conglomerate and Soyo Group Inc. (SOYO), a small electronics manufacturer.
      The deal marks Honeywell's first foray into the consumer-electronics sector, although Honeywell has an active brand-licensing program for portable home air filters and other products.
      Soyo will design and distribute the liquid-crystal-display TVs and pay Honeywell royalties. In addition, the deal eventually may result in Honeywell-branded computer monitors and displays, although executives of the two companies declined to elaborate.
      They wouldn't release sales forecasts or other financial details, beyond saying that the six-and-a-half-year agreement will provide a minimum of $3.84 million in royalties for Honeywell.
      The sum is inconsequential compared with Honeywell's $31.4 billion in 2006 sales. But company executives are intrigued by the market regardless.
      "We're always looking for opportunities to expand the brand," said Loria Yeadon, chief executive of Honeywell Intellectual Properties Inc. "We think consumers will appreciate having Honeywell-branded (electronics) because they know that there's quality" in the name.
      Yeadon said she isn't concerned that the move could be a stretch for the Honeywell brand. The company is well known as a technology innovator, she said, and many of its patents are already used in various consumer devices.
      Brand expert Alan Siegel, chairman of strategic branding consultant Siegel + Gale in New York, concurred, noting that the Honeywell brand is in many homes now and has a solid reputation. His firm doesn't work for Honeywell.
      "It's not an unrealistic brand extension" for Honeywell to go into consumer electronics, Siegel said. "Honeywell already is something of a household name because of its thermostats."
      He said the key for the company will be to ensure that the new products bearing its brand, and the services surrounding them, are of good quality.
      Honeywell executives contend they'll do just that. They said they'll consult with Soyo on design and also will monitor its sales and advertising.
      Soyo, an Ontario, Calif., company with about $40 million in annual sales, is a provider of computer components, such as motherboards and networking equipment. But it has been attempting to break into the LCD television market, and it currently sells TVs under its Soyo and Go Video brand names.
      Soyo Chief Executive Ming Chok said the Honeywell-branded TVs will be the company's top models.
      "Our goal is to build a product that will compete with the majors," he said.
      Chok said the Honeywell TVs are expected to be sold in "tier one" retail outlets, although he declined to reveal the precise marketing strategy.
      Honeywell shares were trading recently at $46.49, up 58 cents, or 1.3%, from Friday's close. Soyo shares were trading at 40 cents, down 4 cents, or about 9%.

      The Le Vello line of Home Theater Furniture will initially consist of two series, the Glasse Series and the Woodideas Series.       Gross Margin. Gross margin was $2,608,196 or 17.7% in 2007, as compared to $1,651,088 or 14.3% in 2006. Gross margins increased both on a numerical and a percentage basis as the Company increased sales of higher margin products such as LCD monitors and wireless Bluetooth devices.

      Sales and Marketing Expenses. Selling and marketing expenses increased by $515,970 to $590,856 in 2007, as compared to $74,886 in 2006. The increase is due to higher commissions to outside sales reps. The Company began using outside sales reps to open new markets in 2006, and as the sales have grown, the commissions have grown. The Company believes this is a cost effective way to obtain shelf space at various retailers, so the outside commissions are likely to continue to grow larger.

      General and Administrative Expenses. General and administrative expenses increased by $93,180 to $1,578,174 in 2007, as compared to $1,484,994 in 2006.

      The Company reported first quarter revenue of $14,691,027, an increase of 27% compared to $11,548,187 for the same period in fiscal 2006.

      2007 first quarter pre-tax net income was $523,512, versus a loss $99,027 in the first quarter of 2006.

      The Company earned $0.01 per basic and diluted share. Ming Chok, CEO, said, ``We are pleased to announce double digit sales growth this quarter. We have recently promoted one of our top sales executives to Director of Sales, and the results are starting to show. We've begun shipping the Prive series during the second quarter, and we continue towards our goal to begin shipping products under our recently announced venture with Honeywell. We hope to see the double digit sales increases continue.''

      The Company was able to leverage its' $12 million credit line to purchase additional inventory, which was critical to the sales increase. Additionally, the Company opened several new key accounts during the quarter with national retail chains. The company increased its marketing efforts specifically in Mixed Martial Arts and various sports sponsorships.

      Item 4.02 Non Reliance on Previously Issued Financial Statements or a
      Related Audit or Completed Interim Review

      On or about May 18, 2007, SOYO Group Inc. (the "Company") determined that certain items on the audited consolidated financial statements of the Company included in the Company's Form 10-K for the year ended December 31, 2006 filed on April 2, 2007 and Quarterly Report on Form 10-Q for the quarter ended March 31, 2007 filed on May 15, 2007 should no longer be relied upon based on reasons as described below.

      Nancy Chu, CFO, communicated to our independent auditors, Vasquez & Company LLP, management and our Audit Committee that the Company inadvertently made an error by treating the advances received from its factor, Accord Financial Services, as being sold without recourse, when in fact, all such advances were sold with recourse. As a result, the Company understated both its trade receivables and payables.

      The Company's CEO agreed to restate the financial statements for these periods and have filed the amended Form 10-K and Form 10-Q on August 6, 2007.

      The error in treatment of advances received from factor indicates the existence of an internal control deficiency that may constitute a material weakness under standards established by the Public Company Accounting Oversight Board. A material weakness is a significant deficiency or combindation of significant deficiencies that results in more than a remote likelihood that a material misstatement of financial statements will not be prevented or detected. Management and Vasquez & Company LLP have discussed the possible material weakness with the Audit Committee. By implementing remedial measures discussed below, management intends to improve its internal control over financial reporting and to avoid future material misstatements of financial statements. The Company has implemented or implementing the following measures:

      On an ongoing basis, the Controller will continue to review in detail significant transactions entered into by the Company, and review SEC accounting rules, including rules changes and interpretations, to determine applicability to the Company. The Company will obtain general educational guidance regarding applicable SEC accounting rules from its independent auditors, Vasquez & Company LLP. After obtaining general educational guidance, the Company may also consult with other auditors for detailed educational guidance and implementation. The Controller will report changes in SEC accounting rules, GAAP and interpretations of SEC accounting rules and GAAP, that may be applicable to the Company with the Chief Executive Officer, the Chief Financial Officer and the Audit Committee.

      The Company has discussed the matters disclosed under Item 4.02 in this current report on Form 8-K with Vasquez & Co., LLP, the Company's independent registered public accounting firm.

      Earnings per Share was $.02 for six months ending June 30, 2007. This has doubled from the same period in 2006.

      The Company reported second quarter revenue of $24,202,395; an increase of 124% compared to $10,787,515 in the second quarter fiscal year 2006. The Company also reported a 74% increase in revenue for the first half of the fiscal year 2007, compared to the first half of the fiscal year 2006.

      Gross sales in South America more than doubled in the second quarter, increasing from $2.0 million in the second quarter fiscal year 2006 to $4.6 million in the second quarter fiscal year 2007, due to an increased presence in the area. The Company saw an increase in Sales and Marketing costs in the second quarter.

      SOYO Provides Quarter End Outlook and Updates Fiscal Year Revenue Guidance

(OTC BB:SOYO.OB - News), an innovative provider of computer and consumer electronics products, reports preliminary unaudited results for the third quarter, which ended September 30, 2007, as well as updated revenue guidance for the fiscal year ending December 31, 2007. While results of the third quarter are still being finalized, the Company expects to report record revenues, exceeding $34,000,000, and a blended gross margin of 13.5 percent. In addition, SOYO estimates profits to total $1,000,000, or two cents per share for the quarter ended September 30, 2007.

SOYO's shareholder letter stated that $50MM and 16% were predicated on its ability to raise an additional $5MM in capital. The Company has not yet raised that capital and this is the reason it was not able to maintain the 16 percent blended margin.
