      GoFish soll Bolt Media erwerben

YouTube: Nur 15 Millionen Dollar Umsatz in 2006

      02.03.07 18:44

Web Content Video Company, GoFish, to Acquire Bolt Media

San Francisco, California - (Website Hosting Directory) - March 13, 2007 - Publicly-traded online video company, GoFish Corporation, has agreed to acquire Bolt, Inc. (aka Bolt Media) in a stock-for-stock transaction valued at up to $30 million.

The combined company will develop made-for-Internet programming that is ideally suited for advertisers targeting the 18-34 year-old demographic. The acquisition is anticipated to enable GoFish, one of the fastest-growing video sites on the Internet, to distribute its original short form programs through Bolt’s online properties, including Bolt.com, a popular youth-oriented website focused on enabling people to interact and express themselves in unique ways through user-generated media including video, photos and personal blogs. Bolt, which reported sales in 2006 of approximately $7 million (unaudited), counts Coca-Cola, Verizon Wireless, Nike, Sony and various other Fortune 500 companies among its repeat advertisers. GoFish, with its pipeline of original programs such as America’s Dream Date™ and Artist Voices, will benefit from the reach and creative nature of Bolt’s online community as well as the scale of Bolt’s advertising sales capabilities.

Michael Downing, Co-founder and CEO of GoFish remarked, “Bolt is one of the Internet’s great youth brands and a perfect fit for GoFish. Bolt’s blue chip advertisers recognize that the company excels at marketing to online communities. We wanted to acquire a large, creative audience to interact and participate in our original programming, as well as a sales organization to package these shows for premium advertisers. We expect Bolt to deliver on both fronts.”

The combination will create the largest independent online video company on the Web with roughly 7 million monthly unique visitors in the U.S., according to Comscore Media Metrix, and over 19 million globally.

Aaron Cohen, Co-founder and CEO of Bolt Media remarked, '' The future of online video lies in nurturing the creative generation to produce made-for-Internet content that will accelerate the migration of advertising dollars from television to the Internet. The combined company will create better programming for our audiences and our advertisers. Couple this with a valuable public currency, Bolt’s large audience, and a roster of blue-chip advertisers, and we now have the platform to consolidate the industry and build a business with significant scale.”

Both companies have approved the transaction, which is subject to approval by Bolt’s stockholders and certain additional closing conditions, and is expected to close in March or April of 2007.

GoFish Corporation, headquartered in San Francisco, is a consumer online video destination that, in two years, has grown to deliver millions of videos per month to a rapidly growing audience of enthusiasts. An early entrant into the user-generated video sector and the first publicly-traded company in the space, GoFish is a place on the web where millions of people come to upload, share and watch videos from around the world.

Lou Victor : GoFish Learning From YouTube's Mistakes

NEW YORK, NY (NAMC) - Here we go again, the Company that is lining up to give Google' s (NASDAQ: GOOG) YouTube a run for its money continues to line up compelling content. As lawsuits add in the billions for YouTube from the likes of Viacom (NYSE: VIA), a small video upload and social networking Company by the name of GoFish Corporation (OTCBB: GOFH), is in an interesting position and they are actually doing it the right way. :)

GoFish has signed additional licensing agreements, which will avoid infringement lawsuits, with independent movie production companies DV3 Productions, Evil Global Corp., and TBNT Productions. This will bring a variety of orginal content to GoFish's growing network and it may give them a slight edge on YouTube.

This is a company that has only been public for a short while, and I have spoken about it prior to the Company even producing their first quarterly report, but they are making all the right moves and it looks like they are learning from YouTube's mistakes.

So even though GoFish is on the OTC Bulletin Board, investors should keep it on their watch list as this is one company, in my opinion, that will not have a long shelf life on the exchange that they are on currently (OTCBB), look for a posible Nasdaq or Amex listing in 2007.

“The Internet is rapidly transforming the landscape of traditional entertainment media, enabling a more interactive, consumer-focused experience,” said Peter Guber, chairman and CEO of Mandalay Entertainment Group. “Among our goals at Mandalay is to facilitate the integration of these two distinct, yet complimentary forms of media, and our partnership with GoFish is a major step towards this objective.”

Mandalay began efforts in the mid-1990s to blend traditional Hollywood storytelling and production qualities with corporate messaging and marketing programs. The MIME and Mandalay Sports Action Entertainment divisions, under the leadership of President David Salzberg, have implemented his vision in award-winning programs for Burton Snowboards, Coke, Diagio, GNC, HealthSouth, Heineken, and the United Arab Emirates for the city of Dubai, among others.

“Mandalay brings creativity, innovation and vast experience to their approach in connecting the advertising world with new media properties,” said Michael Downing, founder and CEO of GoFish. “This alliance will dramatically enhance GoFish’s sales capabilities and amplify our return on investment.”

GOFH recommended "Microcap of the Month" by wealthdaily.net. These guys have over 250,000 sharp investors who subscribe to their recommendations. The following email just went out tonight to all their subscribers and is posted on their website. You can read the email below, or go to their website at: http://wealthdaily.com/ Gofish is their lead article titled " Microcap of the Month ". That means over 250,000 more sharp investors now know about Gofish. Do you think some of them just might be buyers in the morning? The word is now out big time about Gofish. Traffic is growing, partnerships formed and recommendations to buy are hitting the street. Best of luck to all, I'm in for the long haul. I agree with this Brian Hicks, IMO we will see $20 very soon.:eek:

      Microcap of the Month
      By Brian Hicks

      Wednesday, April 4th, 2007

      Dear Wealth Daily Reader:
This month's microcap recommendation is GoFish (GOFH: OTCBB). The stock trades for about $3.50 a share, and has a market valuation of about $90 million. So it's a true microcap.
I believe the stock is headed for higher levels by the summer as advertising dollars surge into online video.
And there's really only one pure play in online video for investors--and that's GoFish.
In fact, GoFish is quickly becoming an online video behemoth. Check out its traffic ranking trend:

And unlike with YouTube, you can get a piece of the surging online video market by buying GoFish.
I recommend that you pick up shares now on the cheap. But before you call your broker, let me explain why GoFish and online video are the wave the future.
      The Death of Old Media
Yesterday another nail was hammered into the coffin of "old media."
Check out the news from PC World:
Online advertising is set to overtake radio next year--beating previous forecasts--media experts have predicted.
Media services firm ZenithOptimedia forecasts that worldwide spending on internet advertising will grow 28.2 percent in 2007, compared with a rise of just 3.7 percent in the rest of the advertising market.
How did online advertising overtake radio?
      Simple:
Just in terms of online video, there are now an estimated 10 BILLION video streams on the Internet every month.
That means 10 billion videos are being watched every month on the Internet.
Which means the Internet is becoming the new TV.
And advertising dollars are going to migrate to the Internet.
And here's where the real growth will come from. Advertisers spend $80 billion annually on broadcast television. As of right now, online video gets just 1% of that $80 billion.
But as online video becomes even more popular and even more sophisticated, advertisers will flock to the Internet.
That's why it's important--as an early stage investor--to get in now.
And like I've said before, GoFish is the only pure publicly traded online video company in the entire market. As word gets out about the company, there's going to be a ton of investment dollars--both institutional and retail--buying this stock.
      Why?
Because Wall Street desperately wants a piece of the online video market. They got shut out of the room in the YouTube deal. I mean, YouTube was a private company. There was no way for Wall Street or individual investors to buy stock in it.
      But with GoFish, you can.
The word on the Street is that GoFish will hit $10 to $15 a share in the near term . . . and possibly $20 a share in 12 months' time.:eek:
This assumes, of course, that GoFish isn't acquired first by some big media company. And as you can see by the company's press releases, they've been striking deal after deal with some major media players.
We've already seen this with YouTube, which you know was acquired by Google for $1.65 billion.
But did you know that other online video and "social networking" sites are being snapped up at huge premiums?
These sites are hotter than "opening day" tickets. Take a look:
      • News Corp. buys MySpace for $580 million in 2005
      • AtomFilms acquired for $200 million by MTV/Viacom on August 10, 2006
      • Grouper.com bought out by Sony Pictures for $65 million on August 22, 2006
      • YouTube acquired by Google for $1.65 billion

So it's easy to see why Wall Street is salivating to get a piece of the action. With traffic to these websites growing every week, advertisement dollars going into online video are expected to grow dramatically.
      Take a look:

But one of the reasons I really like GoFish is that, in addition to allowing user-generated video (which is the business model of YouTube), GoFish is making itself unique by merging traditional media with cutting-edge Internet broadcasting.
It's literally becoming the Hollywood, ABC, NBC, CBS and Fox of the Internet.
You see, last summer GoFish launched an Internet reality show called America's Dream Date, a Web series that relies heavily on user-submitted video clips.
This is going to be huge. And I think it spells the beginning of a new bull market in technology.
GoFish is my Microcap of the Month . . . and I rate it an immediate purchase at current levels.
      Good investing,
      Brian Hicks

GoFish to Launch Made-for-Internet Reality Show, Seduce a Celeb

      2007-04-24 08:30 ET - News Release

Show to Be Helmed By Emmy®-Winning Producer Scott Sternberg and Hosted by The Bachelor’s Andrew Firestone

      SAN FRANCISCO -- (Business Wire)

GoFish Corporation (OTCBB:GOFH), the leading Internet Video Network showcasing original, Made-for-Internet (‘MFI’) programming, today announced the upcoming release of Seduce A Celeb, its newest online interactive reality show. The first season of the 14-week celebrity dating series kicks off April 26 and premieres exclusively on the GoFish Network.

Emmy Award-winning Scott Sternberg has signed on to produce the show and Andrew Firestone of ABC’s The Bachelor will host each installment. Lindsey Knickerbocker and Ashley Zarlin, two young stars on Bravo Network’s Real Housewives of Orange County, will be the series’ celebrity dates.

In a twist on traditional reality programming, Seduce A Celeb is an online dating show divided into two consecutive 7-week segments devoted to Knickerbocker and Zarlin, who will evaluate and interact with contestants through videos, and after a round of elimination, will select winners from the finalists.

Scott Sternberg, who brings more than 20 years of television production experience to his role on Seduce A Celeb, will collaborate with GoFish on the development of the program. In addition to a repertoire of documentaries, scripted drama, talk shows and reality programming, Sternberg is currently producing Hey Paula with Paula Abdul for Bravo, The Academy for Fox Reality, and Sunday Morning Shootout for AMC. His game show credits include Hollywood Squares, Love Connection, That’s the Question and Rock and Roll Jeopardy.

“Seduce A Celeb represents the future of reality programming,” said Sternberg. “Empowering audiences to create and interact on such an intimate level with one another and with celebrities is a concept that reinvents the dating show format. It’s incredible what technological innovations are doing to traditional media concepts, and I’m thrilled to be working with GoFish on this next-generation entertainment.”

Andrew Firestone is an entrepreneur, businessman and sales and marketing executive, turned television celebrity with his appearance on ABC’s reality series, The Bachelor. As part of the show, Firestone courted 25 bachelorettes, progressively eliminated them from the competition, and eventually selected one from the group for a continuing relationship. In addition to representing the Firestone family enterprise in a spectrum of business-related activities, the San Francisco resident has had television appearances on Bravo’s Celebrity Poker Showdown and VH1’s Celebrity Paranormal Project, among others. Firestone also is slated to appear in an upcoming episode of the VH1 Flavor of Love spin-off, Charm School.

“It’ll be thrilling to host GoFish’s Seduce A Celeb, watching things unfold in a reality show from a different perspective as an objective observer and commentator,” said Firestone. “The whole interactive concept gives a completely different spin on reality programming since anyone has a chance to win a date with a celebrity.”

Lindsey Knickerbocker and Ashley Zarlin are best known for their appearances on Bravo Network’s docu-series The Real Housewives of Orange County. The show provides exclusive access to various families who live in one of the wealthiest planned communities in the country. Knickerbocker and Zarlin portray themselves as daughters of two of the show’s leading housewives living in a protected Southern California enclave, exposing the excitement, extravagance and everyday drama that exist in their unscripted and unrehearsed lives.

“We are honored to have some of the television industry’s top talents on board for GoFish’s newest MFI series, Seduce A Celeb,” said Michael Downing, founder and CEO of GoFish. “Our unique MFI programming brings together extremely talented artists and our engaged user community to create an entirely new breed of interactive programming, available only on the GoFish Network.”

“Seduce A Celeb is the first in a series of dynamic and original Made-for-Internet shows that GoFish will be launching each month,” said Dave Fisch, vice president of GoFish’s MFI division. “We’re tapping into the Hollywood creative community with the development of each new MFI program, and each show will have an interactivity component designed to engage participants in unique and exciting ways.”

      Viacom-Chef warnt deutsche Internet-Video-Foren

(as)

(as)

GoFish and Icebox to Launch Made-for-Internet Program Featuring New and Exclusive Episodes of Hidden Celebrity Webcam

GoFish Corporation (OTCBB:GOFH ), the leading Internet Video Network showcasing original, Made-for-Internet (´MFI´) programming, today announced the upcoming launch of its latest MFI series, Hidden Celebrity Webcam. The interactive program, sponsored by the 2007 MTV Movie Awards, will premiere on the GoFish Network May 10.

Hidden Celebrity Webcam is created by Icebox, a collaborative of some of the television industry´s top writers, producers and animators developing original entertainment programming on the Web. The animated parody gives audiences a voyeur´s glimpse into the most private - and unwittingly embarrassing - moments of some of Hollywood´s most notorious celebrities as imagined by series creator, Nell Scovell.

New episodes will air weekly over a 13-week period, and initial episodes will feature parodies of such personalities as Britney Spears, George Bush, Brad Pitt, and Isaiah Washington, among others.

Starting June 6, the program will challenge GoFish audience members to conceive, create, and upload their own Hidden Celebrity Webcam videos. The entries will be viewed and judged by some of television´s top Emmy(R)-winning producers, including Howard Gordon (executive producer, 24), Rob LaZebnik (co-executive producer, The Simpsons), and John Collier (co-executive producer, King of the Hill), as well as the creator of Hidden Celebrity Webcam, Nell Scovell. Scovell was most recently a writer on CBS´ NCIS and creator of the popular television series Sabrina, the Teenage Witch.

Contestants will be narrowed to a list of five finalists, with the winner receiving a meeting with the Rothman Brecher talent agency to discuss talent representation. The agency represents artists affiliated with hit television series, including The Simpsons, Ugly Betty, and CSI, among others. The first prize winner also will receive an Apple MacBook Pro, while runners-up will receive Apple iPods.

"We´re excited to be partnering with GoFish on the development of an interactive component to our popular animated series, Hidden Celebrity Webcam," said Icebox Co-Founder and CEO, Tal Vigderson. "This program demonstrates the potential of a creative collaborative and with the contest we can give aspiring, talented writers and artists a new forum for their artistic expression."

The 2007 MTV Movie Awards have signed on as a sponsor of Hidden Celebrity Webcam. The awards show, presented annually on MTV, showcases select feature films as well as movie parodies made up of official movie footage. The show will be broadcast live from the Gibson Theater in Universal City, California on Sunday, June 3, 2007, and actress and comedian Sarah Silverman will host.

"We´ve partnered with the creative talents at Icebox to develop an MFI series offering artists a unique opportunity to put their video productions in front of top television executives," said Lori Macias, vice president of GoFish´s MFI division. "Hidden Celebrity Webcam is also our first MFI series with animation, and it is our goal to explore a wide variety of genres with each original program."
