PANAMERSA Corporation Reduces Authorized Shares by Over 4 Billion, Offers Current Share Holders up to $0.04
The general council of Pan America Sociedad Anonima (MMVII) representing the four operating regions met yesterday to discuss the continued execution of the business plan made the following statement. "The general board of regions and the foundation council wants to make public that we are in compliance with all of our multi-jurisdictional codes of law and fully respect the self determination of each Pan American Region."

"Rampant naked short selling continues unabated in the region II capital market and is being used to manipulate and benefit the few insiders involved while destroying the entrepreneurs and small companies trying to follow the American dream," said Mike Terrell, CEO of PANAMERSA Corporation (PINKSHEETS: PNMS). "In our specific case, we release positive information about our company and the stock goes down due to the market manipulation."

For this reason PANAMERSA Corporation and the Board feel a move to a more stable exchange not only would benefit the Company but would allow the share holders the opportunity to have their share price based on earnings not blatantly reduced by manipulation. Because PANAMERSA Corporation does not depend on the selling of stock to pay basic salaries and expenses, the company has been able to move forward and has even made bold moves to protect shareholder's interests and increase share prices.

CEO Mike Terrell has been on a personal mission to increase the share price for all of the shareholders. Stated Terrell, "In the last 8 months I have done the following just to increase share price:


-- Reduced O/S by 4 billion in 6 months including 2 billion of my own
stock.
-- I declared a land dividend so every brokerage house would have to
certify each shareholders position. I would like to point out the land
dividend was paid by the company on time (conveyed to the Fundacion) The
only reason shareholders do not have their dividend today is your broker
does not feel compelled to certify what you actually own or just refuses to
give us that number. Or in another situation the broker certified 10
million more shares sold than they had to sell according to the DTC
position report. So until the Foundation has an exact count they will not
be paid. Make no mistake the shareholders of record earned and will get
their dividend, but not until their brokers certify who owns what.

"My job has not changed. I am here to increase share value, the basic job of a CEO. I will accomplish that despite manipulation, despite naked short sellers, because we will bury the doubters with profits and create a level playing field."

Our 30% share of the operating companies of the 4 operating regions has been paid in full. Our revenues derived from those regions are our share of the total operation. Our 4th Quarter assets have been certified as of December 31, 2006 which include 50 million in escrow and 29.4 million for expansion, both of which are a result of the sale of 2 billion restricted shares at $0.04. The remaining 19 million represent our consolidated 30% earnings from all regions. I can only certify amounts we receive. Because all of the operating companies are operating companies of the foundation their audited financials may not be disclosed publicly by law.

Effective immediately:


-- PANAMERSA Corporation authorized shares will be reduced by 4 billion
shares.

-- The Share buy back will begin in conjunction with a shareholder price
guarantee

-- A guarantee will be extended to loyal shareholders who wish to be a
part of PANAMERSA Corporation's future.

-- All shareholders who request their certificates from their broker and
exchange those shares for PDRs issued by the Fundacion and agree to hold
them for 1 year will be guaranteed a minimum price of $0.02 per share or
the current market price, which ever is greater, or the option to keep the
PDR. In addition each guaranteed PDR will be backed by Gold reserves.

-- All shareholders who request their certificates from their broker and
exchange those shares for PDRs issued by the Fundacion and agree to hold
them for 2 years will be guaranteed a minimum price of $0.04 per share or
the current market price, which ever is greater, or the option to keep the
PDR. In addition each guaranteed PDR will be backed by Gold reserves.

-- All PDRs are issued through the Fundacion Pan America.

Does anyone here truly know what it is that Panamersa does? What we do.... how we do it... and how we make money doing what it is we do? I have to admit that I really have no clue so I sent an email off to Pedro Borges Fiol and Micheal Terrell trying to get just a little clarification. Here is my email so you know what I asked and Pedro's response I received today.

Question:
I was reading a post that a guy posted in the ihub forums about a telephone call he had with Mr. Terrell. He made the following statement. "We further discussed some of the political events going on in South America and their potential implications for Panamersa. All I can say here is, if even part of the Panamersa plan comes to fruition, we'll all be very happy investors in the end." That got me to thinking. What is the Panamersa Plan. I understand that the company has a common goal of promoting for profit the commercial integration of Latin America into the economic development of Pan America(the Western Hemisphere) and the rest of the world, while protecting our Forests, Flora, Fauna & Water resources. But what does that exactly mean. Are you able to explain just what it is that Panamersa does and how they do it? I'm trying to understand just what it is exactly that this company does. I tell people/investors about it and they ask me wha t the company does and I find that I don't have an answer for them. At least an answer they can understand. If I tell them the company is about integrating Latin America into the economic development of Pan America... they want to know how and that is when I don't have an answer for them. I'm just trying to understand better just what it is that this company does to make money. Anything you can offer to help me/us understand better would be greatly appreciated. Thanks again. The basis for the answer to your important question is contained in a graduating thesis for a Master of Business Science, today known as MBAs.

The contents of the thesis was referred to, in the early 70s as "The commercial integration of Latin America What, Who, When and Where its beginning", a very complex and long journey and it has been going on since then. During the past years 34 years we worked very hard at it and discovered that the only common denominator we Pan American had was a "sense of belonging" there were many other factors that kept us apart., therefore, we began our business model based on creating companies with a sense of belonging, while doing that, we divided the western hemisphere into four very different regions,; America I, America II, America III and America IV. Created banks to shipping to radio to television, even brought in to our America III and IV Regions Bankamericard, today VISA ...and on. PANAMERSA structured the financial engineering, PDRs, marketing, Pan-American relations, logistics, infrastructures etc. We did very well. We saw many very charismatic politicians come and go and so on. Then came globalization and the possibility of global warming and others things that PANAMERSA could work to help mankind, especially Pan Americans...and make more revenues. It was a natural...we decided and wanted to go and participate in the capital markets of the world through our partner in America II The USA and to share and to expand the "sense of belonging" and give an opportunity to all Pan-Americans to grow as a commercial and economic team...FOR PROFIT...while trying to save mankind with our forests holdings, and we found and engaged Mr. Mike Scott Terrell and his PayPro...today PANAMERSA Corporation.

Ich werd euch sagen, es werden immer mer aktien aus dem verkehr genommen die von uns gehandelt werden können. Die MM müssen dann hochtaxen, aber ich schätze das einige zu blöd seinen werden und vorher verkaufen.

bin grad zurück gekommen...

hab vorhin kurz zeit gehabt reinzugucken hab nur noch geheult

konnte dann eine ganze weile einfach nicht glauben dass die so viel bullshitt erzählt haben sollten und konnten und vor allem das ohne strafe tun dürften... einen 5€ killer hät ich für meine restlichen shares immer bekommen

dann konnte ich bei der sparkasse nich mehr verkaufen... is ja au logisch.. hab mich mal etwas entspannt eineinhalb stunden und weiss jetz immer noch nicht was news is... aber kurs is wieder in butter

the current market price, which ever is greater, or the option to keep the
PDR. In addition each guaranteed PDR will be backed by Gold reserves.

-- All shareholders who request their certificates from their broker and
exchange those shares for PDRs issued by the Fundacion and agree to hold
them for 2 years will be guaranteed a minimum price of $0.04 per share or

"The general board of regions and the foundation council wants to make public that we are in compliance with all of our multi-jurisdictional codes of law and fully respect the self determination of each Pan American Region."
"Rampant naked short selling continues unabated in the region II capital market and is being used to manipulate and benefit the few insiders involved while destroying the entrepreneurs and small companies trying to follow the American dream," said Mike Terrell, CEO of PANAMERSA Corporation (Other OTC:PNMS.PK - News). Kann Euch aber nach SLJB und CKYS hier nur zur vorsicht raten.
Der Laden mit dieser PR heute stinkt gewaltig.. und zwar zum Himmel.

Was denkt Ihr warum der Kurs nicht durch die Decke ging?
Richtig weil die Amis etwas schlauer sind als manche hier meinen.

Der CEO ist mit seinen Ankündigungen auf einen guten Weg in die Fußstapfen der Großkrimminellen CEO von SLJB und CKYS zu treten.

Charttechnisch gilt es den starken Widerstand von $.0031 und dann $.0035 zu durchbrechen.Danach könnte es bis $ .0053 laufen.

Allerdings bitte nur mit Kleingeld keine großen Summen... es sei denn ihr möchtet aus einem großen Vermögen ein kleines machen.

Jungs ich kann Euch beruhigen.
CKYS wurde nicht geshorted,sondern es werden ständig vom Unternehmen selbst Aktien in den Markt hineinverkauft.
Das erklärt auch die Erhöhung der a/s 3 Billion ,d.h. das Unternehmen hat die Erlaubnis bis zu 3Mrd Aktien als O/S zu haben.
Wenn ein Unternehmen geshorted wurde ,würde dieses auf keinen Fall die a/s erhöhen.

Macht Euch mal gedanken, ob es nicht so ist das der CEO mit dieser lächerlichen Shorting Lüge nicht weitere Aktien in den Markt hineinverkaufen will.

Wo ist da jetzt die Parallele zu PNMS ?

Natürlich ist Dilution (wie z. B. wie von Dir bei CKYS geschildert) ganz schlecht für die Kursentwicklung, nur soll ja im Falle von PNMS ein Aktien-Rückkauf von über 50% (4 Milliarden Stücks) des derzeitigen Umlaufs stattfinden - also eine genau entgegengesetzte Maßnahme.

Man kann natürlich an allem zweifeln - manchmal mit mehr, manchmal mit weniger Berechtigung - aber mich ärgert es, wenn eine eigene, (zumindest aktuell) nicht beweisbare Meinung als Fakt dargestellt wird.

Der rechtliche Terminus würde dafür wohl (ungerechtfertigte) Vorverurteilung lauten.

Man kann PNMS traden aber man muss sich immer im Klaren sein das der Kurs jederzeit von der SEC ausgesetzt werden kann.
Anstelle von der SEC hätte ich das nach dieser PR schon längst am Freitag veranlaßt.

hier heißt es das man das Ganze plant!

Das heißt nicht das das der Aktienrückkauf auch durchgeführt wird.

Das Spiel was der PNMS CEO hier abzieht ist ein alter Taschenspielertrick....
Erst erhöhe ich die Aktienanzahl in dem ich Aktien in den Markt hineinverkaufe/verkauft habe.

Weißt Du was seriös wäre?
Seriös wäre es einen Aktienrückkauf durchzuführen und dann per PR das ganze bekanntzugeben.

Ich erinnere Dich auch noch an ein Unternehmen SSSU welches heute unter GOIH gehandelt wird.
Die haben eine Dividende von $1 für jeden Aktionär angekündigt und kurz vor dem ex date haben Sie das ganze abgeblasen.
In der zwischenzeit wurden aber ne Menge Aktien an gutgläubige Anleger verkauft , die dann mit einem Riesenverlust wieder raus sind lol

PANAMERSA Corporation Reduces Authorized Shares by Over 4 Billion, Offers Current Share Holders up to $0.04

The general council of Pan America Sociedad Anonima (MMVII) representing the four operating regions met yesterday to discuss the continued execution of the business plan made the following statement. "The general board of regions and the foundation council wants to make public that we are in compliance with all of our multi-jurisdictional codes of law and fully respect the self determination of each Pan American Region."

"Rampant naked short selling continues unabated in the region II capital market and is being used to manipulate and benefit the few insiders involved while destroying the entrepreneurs and small companies trying to follow the American dream," said Mike Terrell, CEO of PANAMERSA Corporation (PINKSHEETS: PNMS). "In our specific case, we release positive information about our company and the stock goes down due to the market manipulation."

For this reason PANAMERSA Corporation and the Board feel a move to a more stable exchange not only would benefit the Company but would allow the share holders the opportunity to have their share price based on earnings not blatantly reduced by manipulation. Because PANAMERSA Corporation does not depend on the selling of stock to pay basic salaries and expenses, the company has been able to move forward and has even made bold moves to protect shareholder's interests and increase share prices.

CEO Mike Terrell has been on a personal mission to increase the share price for all of the shareholders. Stated Terrell, "In the last 8 months I have done the following just to increase share price:


-- Reduced O/S by 4 billion in 6 months including 2 billion of my own
stock.
-- I declared a land dividend so every brokerage house would have to
certify each shareholders position. I would like to point out the land
dividend was paid by the company on time (conveyed to the Fundacion) The
only reason shareholders do not have their dividend today is your broker
does not feel compelled to certify what you actually own or just refuses to
give us that number. Or in another situation the broker certified 10
million more shares sold than they had to sell according to the DTC
position report. So until the Foundation has an exact count they will not
be paid. Make no mistake the shareholders of record earned and will get
their dividend, but not until their brokers certify who owns what.

"My job has not changed. I am here to increase share value, the basic job of a CEO. I will accomplish that despite manipulation, despite naked short sellers, because we will bury the doubters with profits and create a level playing field."

Our 30% share of the operating companies of the 4 operating regions has been paid in full. Our revenues derived from those regions are our share of the total operation. Our 4th Quarter assets have been certified as of December 31, 2006 which include 50 million in escrow and 29.4 million for expansion, both of which are a result of the sale of 2 billion restricted shares at $0.04. The remaining 19 million represent our consolidated 30% earnings from all regions. I can only certify amounts we receive. Because all of the operating companies are operating companies of the foundation their audited financials may not be disclosed publicly by law.

Effective immediately:

Yup -- Its 3 o'clock in the AM and I am sitting here pondering everybodies in/out puts. I can safely say questions keep popping in my head and I usually try to answer them logically but I'm just not seeing it here. Maybe its just me. I dunno.

Anyway, we have discovered that we can not go to a higher exchange because we cannot get "audited Financials" from a private company in Panama --- not good.

"Certified" but not "audited" by an SEC approved firm. -- This I may be wrong about, please correct me.

We have a choice to make re: PDR transfer from currently owned stock. 1 or 2 yr option, sending our certs to be backed by Gold -- I'm not liking this for a couple of reasons.
1) If I send in my certs it means I forfit my right to trade the stock. Although, I may be able to trade the PDR's in the future. If I understand this correctly. I don't know about youz guys but I kinda like to have my money where I can do with it when I want to do it.
2) These PDR's are to be keep within the company in Panama. I'm not comfortable with this because basically I have no idea what really goes on down there other than what MT tells us.
3) I believe in MT. I like that he is a pretty savy cat. But if I want answers first hand, I know I can go over to Texas, bang on the office door and he either lets me in or shoots me. If I need to go to Panama for answers, I'm pretty sure it won't be " Hi Steve, looking for some money ? Come on in "
4) What IF and I say a big IF, the company decides to fold its american ops, buys MT out and then what happens to us ? Do any of you know what to do next ? File a complaint with the Panamanian Govt ? ummm. I'm pretty sure once again......
5) What IF the company does'nt come through on revs or projects and the numbers stumble ? (Come on now... It is a pink) and people have already sent in thier certs ? Anybody read all 46 pages of the panamanian charter ?

The way I see it and a couple others is really a simple task.
CASH DIVY. This will kill MT's 2 kidney stones that have plagued him. Shorts and PPS. The stock, while still a pinkie mind you, will be able to gain strength on its own merit. And of course "certified" Q's with reduced float will equal $$. Am I wrong here ?

I'm going to say once again, I like MT and what he has done or really tried to do, but I'm just a bit ticked over the PR of AF's coming on the 15th then all of a sudden we cant do AF's. He is the CEO, he certainly had to have asked this question to someone. Nevermind. It is what it is and hey, I still ask questions of myself even at 44 yrs of age. So, give him the benefit.

I am going to buy more this week before we hit the 005's ( which I believe we will do on merit alone, maybe not this week but we will at some point ) BUT I am one person who will not participate in the PDR campaign. JMO. I have 3.2 mil shares and I'm at that crossroad to either be "Tin Cup" and go for the green or be the one who beats himself up for selling to early LOL

Just some thoughts. I have been a big supporter of PNMS, just having some difficult times understanding some of this.

And MT if your reading all these posts --- C-A-S-H D-I-V-Y my friend. It really does make sense.

yes janice, these are ligtimate concerns. but with all manner of class and due respect towards you,id like to ask you how you know for sure this stock is not being shorted or manipulated?

perhaps if you are able to find the time in the near future, you could elaborate a bit more on the negatives here. do you see any prospects in this company at all, or are you firmly convinced that we are dealing with shady characters here?

personally, i feel that the posatives outweigh the negatives, which is all i expect in pinkyland. i also feel mt has thus far, while not being perfect, shown an unusual level of integrity..... or is in the process of carrying out one of the most elaborate scams i have seen in quite some time.

from a legal standpoint, he would have to be crazy to take it this far with falsified statements and misinformation, with so many entities involved, he would most assuredly be indicted. this would be to blatant a scheme to just sweep under the rug. even if tempted, i think he is smarter than that.

yes we need audited fnancials. i believe they will come and catch alot of people by surprise, as mt likes to do. profits will write this book imo. thanks...good night

Some nice posts. membermarked. Still not sure how big a deal the short situation is, however there is alot of evidence to suggest such. (I watched level 2 in disgust for a few months)

Some Thoughts (a viewpoint on the situation at hand)

I still think alot of it has to do with the Psychology of the penny market...namely the pinksheets/subs. First of all, Most people who "trade these things" aren't exactly educated, experienced, consistantly succesful traders...on average.(There are of course exceptions....some even on this little pinksheet stock message board .

There are only a few SLJB-type high flying pennies a year. Most go parabolic then end up in disaster....sljb for example.... it's the nature of 'the business'. Alot of the so-called company are selling nothing but shares..ha. The main reason these stocks go up like this is MOMO, greed, impulse, rich-overnight scenerio etc..etc.. After the SLJB debacle.... IN steps PNMS with incredible news week after week....has a great run but is relinquished quickly... except when the stock doesn't go parabolic to where the stock SHOULD be valued fear starts to set in that this could be just ANOTHER PINKSHEET SUB PENNY SCAM OF A COMPANY. That notion set in many of the first round 'investors' heads...and when fear sets in...it really gets in there and makes a nice home in your head. This makes every one on edge on whether the company really is telling us the truth about operations (and any penny trader knows why). This leaves the trader feeling stuck and yearning for any chance to get out of the stock without getting hurt too badly, hence the selloff after every piece of news. (and it's widely believed mm's, shorties didn't help this situation either)

With the help of some very nice moves by MT and crew, that period is just about over. REMEMBER, although it FEELS like a lifetime...it's still only been a few months guys and gals..hehe. Rome wasn't buil...

I think SLJB left a nasty taste in the subpenny/pinksheet market as sort of a wakeup call to the actual reality of these 'companies', that is if there is any. After today's pr...I'm not sure how anyone could think this company is some sort of scam. I've been involved in otcbb and pinkie scams and no red flags that i see....oh yeah.. except the pps. You can't make those kinds of statements in PR's such as was in today's and not follow through with them unless you enjoy being on the wrong end of a major lawsuit. They aren't gagging the t/a. The O/S remains the same. They even reduced it. Now have reduced the A/S which means the O/S can't go any higher. The tone in most all of the messages they convey to us are quite clear. Something like:

"You can believe us or not...but it's really happening and the ones the stick with us will prosper"

If it is the shorts that are holding us down ...their time seems to be getting very limited. Either way this month and next should make for a merry old time.

Think about it... Mike Terrel has followed through with everything he has said, except for things that were out of his control (div, brokers)

In a year or so (and i think it will be much sooner as more news comes out and we see the company unfold), as people realize they are actually going to get the .02 for their shares if they hold for a year...this baby will pop to fair value so fast you won't be able to blink. (I'm talking about forward p/e of 10-15 which will be quite a number in 1 or 2 years if growth continues) When this starts happening people won't give two sheets about getting that .02 or .04 for two years, and in turn, the company won't have to worry about paying for the shares at that price, but gladly would if need be. Keep in mind.....we should be on otcbb and have a few qtrs of auditted financials by this point. This should be good. I'm looking for the weak hands,flippers to be shaken out over the next couple of weaks as new investors take a position then we start heading toward fair value. imo

Ok enough ...sorry about the book. Just wanted to share my view on things. Counter-thoughts welcome/encouraged.

Am 15.03.2007 sollte eine NEWS mit der bestätigten AF raus kommen, geprüfte Bilanz.

Was kam, garnichts außer ein Blog Eintrag von MT CEO von PNMS in der er meinte das sie soviele Meetings hatten das sie jetzt GROßE Mit den Augen rollen News hätten.

Warum kam keine AF?

MT hat gesagt, dass würde gegen die Gesetzte von Panama verstoßen weswegen er nur einige Zahlen öffentlicht gemacht hat!! ANGEBLICH ECHTE!!

Deswegen wurde gleichzeitig ein im Meeting die Konditionen für den BUYOUT verhandelt, News kam mitte des Tages 16.03.07!!

1.) Ein Rückkauf von 4 Milliarden Shares gekoppelt and die Konjunktur

Mit den Augen rollen

2.) Hält jemand seine Shares 1 Jahr = Sichere 0.02 CENT

3.) Hält jemand seine Shares 2 Jahre = Sichere 0.04 CENT


Zusammenfassung:

Durch den vertrauensverlust, keine AF sind sehr viele zu Handelstart abgesprungen, tief lag bei 0,001. Als dann die NEWS kam haben alle zurückgekauft. Hoch 0.0033. schöner Daytrade!!! Schluss liegt bei 0,0027.

Volumen ist explodiert.

Wir haben eine sehr starke grenze bei 0,003-33. Der kurs geht nicht drüber. Wie ich die Sache sehe war gestern UMSCHLAGZEIT!!. Viele Unsichere haben diese Chance genutzt um sicher raus zu kommen, vielleicht Gewinne mitzunehmen.

Ich persönlich bin mir jetzt nicht mehr sicher wohin die Reise geht, den FAKT ist, es wird KEINE AF kommen, also warum sollte der KURS steigen, außer vielleicht durch einen Hype????
