      Intercell AG: buy (Erste Bank)

(Analyse vom 11.07.07) (11.07.2007/ac/a/a)

      Merrill Lynch:
Novartis deal increases theoretical fair value to €29/share
We present our new Intercell models and valuation following the announcement of the global partnership with Novartis. Our new valuation of EUR29 per share, up from EUR23 per share, reflects mainly Intercell’s higher cash position and the addition of the IC31 influenza vaccine. We expect Intercell to recognise EUR30mn
of the EUR120mn upfront payment in 2H07E, which could lead to 2007E being a profitable year for the company should all other expected milestone payments materialise. Since Intercell’s shares are trading near our new fair value and we see limited mid-term upside potential, we maintain our Neutral rating.
IC31 influenza vaccine key value driver We have included the IC31 cell culture influenza vaccine in our models, as we believe this project to have low developmental risk and significant sales potential. We understand that this second generation cell culture flu vaccine combines the antigen of Novartis’ cell culture vaccine currently undergoing regulatory approval
in Europe with Intercell’s IC31 adjuvant. Assuming that the vaccine will be priced at a premium and targeted mainly at high risk groups likely to benefit from improved vaccine efficacy, we forecast un-risk-adjusted sales of over EUR700mn
by 2015E, with Intercell receiving a 15% royalty rate.
Fundamental catalysts appear mostly priced in
We continue to believe that Intercell is one of the most attractive pure vaccine play stocks in Europe.

      Mid-term catalysts include: (1) a three-year contract with
the US military for the JE vaccine, (2) a Japan marketing deal for the JE vaccine,
      (3) phase II interim results for the HepC vaccine, and (4) the start of phase II for
the S. aureus vaccine (partnered with Merck). However, these events only provide c2% upside to our new fair value due to minor changes to our risk adjustments,
and the current share price suggests that the mid-term upside is already priced in.
      ---------------------------------------------

      Goldman Sachs:

      http://www.boerse-express.com/pages/588056

(27.07.2007/ac/a/a)

Euro.

      ACTION
Removed from Pan-Europe Sell ListIntercell (ICEL.VI)
      Upgrading to Neutral on valuation

      What happened
As Intercell’s share price is now within 5% of our €23.70, 12-month riskadjusted DCF price target and as we can see no obvious near-term negative catalyst that could push it lower, we are removing the stock from our Sell List and upgrade our rating to Neutral. Since we added Intercell to our Sell List on July 12, 2007, the shares have fallen 11.8% vs. -6.5% for the
FTSE World Europe. Over the same period, the GS Biotech Index has fallen by 8%. Over the past 12 months, the shares are up 98.0% vs. 13.4% for the FTSE World Europe.
      Current view

Intercell remains strategically and fundamentally well placed within the Vaccine space and within the Biotech sector in general. Potential catalysts for the shares later in 2007 include the progression of the Staph. aureus vaccine (with Merck & Co) and its TB vaccine (with Statens Serum Institute) into full phase II development.

The group’s vaccine against Pseudomonas infections could begin phase II/III studies in 1H2008. In addition, the US approval for the group’s vaccine against Japanese Encephalitis infection could be forthcoming during 1H2008; in our view, this will be a pivotal event for the group. We expect the group to sign
further partnerships on its in-house technology platforms
, the Antigen Identification Programme (AIP) and the IC31 adjuvant technology (which may have broad applicability owing to its stimulation of both T-cell and Bcell responses).

Our 12-month risk-adjusted DCF target price assumes all
these events occur and do so in the timeframe we envisage
.:laugh:Hence, risks to our price target, forecasts and rating include delays in any of these programmes or discontinuations owing to lack of efficacy or for safety concerns and the failure to assign additional partnering deals on AIP and/or IC31.

(Ausgabe 33) (09.08.2007/ac/a/a)

      Sal.Oppenheim erhöht Intercell-Kursziel auf 34 Euro

Empfehlung Buy bleibt bestehen - voriges Ziel lag bei 29 Euro

Sal.

Marketing“, so CFO Werner Lanthaler ggü. Platow.
250 Mio. Euro sind möglich. Diesen Wert will Intercell

Intercell werde in diesem Jahr voraussichtlich 55 Mio.

(Ausgabe 42 vom 18.10.07) (19.10.2007/ac/a/a)

      ----------
Intercell AG (Whittaker, Neutral, C-2-9, EUR 28)

An attractive pure-play vaccine biotech with a strong cash position and further upside from further licensing deals.

      Attractive pure-play vaccine biotech: I

n our view, Intercell is one of the most attractive pure-play vaccine stocks in Europe. The vaccine sector is characterized
by high barriers to entry and relatively low risk biotech products that can command premium prices, plus a recent acceleration in M&A and licensing activity.

Intercell has a broad vaccine pipeline, with six products in clinical development, plus partnerships with almost all the major vaccine players -Novartis, Merck, Wyeth and Sanofi.

Strong cash position & sustainable profitability from 2007E: As a result of the Novartis deal announced in July 2007, we forecast a YE07E cash balance of cEUR300mn and expect Intercell to break even in 2007E. In our view sustained profitability going forward will be driven by (1) revenues from the prophylactic Japanese encephalitis (JE) vaccine, for which we expect launch in 1H08E with partner Novartis, (2) significant milestone revenue from numerous ongoing collaborations and (3) potential income from additional deals for Intercell's IC31
      adjuvant.

Further upside from potential licensing deals: Key near-term catalysts are potential licensing deals for Intercell's IC31 adjuvant, which would translate into further upside to our fair value of EUR29 per share

      Sal OP:GOOD QUARTER – INTENSE Q1 2008 NEWSFLOW EXPECTED

      INVESTMENT CASE AND PERFORMANCE TRIGGER
We rate Intercell buy with a FV of €34. Intercell commands a technology with multiple validations along with a broad pipeline of clinical development projects and the valuable IC 31 immunizer. Having achieved critical mass and attractive trading liquidity, we still see an upside valuation with numerous triggers to come.

As the feared disappointment from IC41 Phase II trial interim results did not materialize, we see an attractive risk/reward profile.

      FACTS
      ____ Total Revenues EUR7.4m in Q3 2007 (EUR0.7m in Q3 2006),
      R&D cost EUR9.8m (8.3m), net loss EUR-6.5m (EUR-9.5m)
____ EUR5.7m recognition from the EUR120m up front from Novartis
____ IC51 (Jap. Enceph.) filing process to be finalized before year end
(EU, US); S. aureus to start Ph. II within the next weeks (Merck & Co).
____ Profitability still envisaged for FY 2007; level to rise in 2008.
____ Management to stay on board for another three year term. FY
guidance (profitability on a FY basis) and year end cash level of
      EUR300m confirmed.
      ASSESSMENT
____ The quarter shows a solid result ahead of our estimates. At top line, revenue recognition was somewhat above our estimate but still low compared to our FY expectation. That however will be reached given the deals closed already (e.g. Novartis).
____ R&D spending appears to be geared more towards the year end so
that the EUR40-45m range should be reached at year end as well. In
general, the numbers do not bear a deviation to earlier communication.
____ Important programs like Pseudomonay, Pneumococcus, Hep. C or
IC31 in TB are well on track.
____ With IC41 to complete EU and US filing processes, IC31 in flu and IC51 in children in endemic regions to report Phase I trial results early 2008, IC41 in Hepatitis C to report full data of the ongoing Phase II trial and, in particular, further IC31 licensing deals (especially outside the traditional infectious disease vaccine field); the newsflow is expected to intensify shortly. Although it appears more and more difficult to get a contract with the US Army on IC51 ready before the approval, we do not want to exclude that but remain optimistic on the execution, potentially only after US approval anyway.
      VALUATION
____ Our DCF valuation yields a FV of EUR34.

Intercell AG: buy (Erste Bank AG)

(Analyse vom 27.11.07) (27.11.2007/ac/a/a)

      SalOP:

      MANUFACTURER’S LICENCE REPRESENTS MAJOR MILESTONE

      ASSESSMENT
      • After yesterday’s announcement of the conclusion of a collaboration of a malaria vaccine containing Intercell’s immunizer IC31, Intercell issued a second piece of news on the reception of a manufacturer’s licence for its Livingston site,
which is now fully ready to produce the Japanese Encephalitis vaccine that is currently undergoing US and EU approval.

      • Having full control over the production is a valuable asset, not only as production contributes decently to the product’s margin, but also the know-how generated is rather supportive for any new proprietary production processes.

      • Also, the acquisition of the Livingston site in 2004, its upgrade and the implementation of a specific production process adds to management’s positive track record.

      • The overall poor situation of Biotech stocks in general, which also worsens access to the capital markets for privately held companies, may provide acquisition opportunities for a company like Intercell, with a EUR300m cash pile and virtually no burn going forward. Complementing vaccine technologies or even a sensible diversification are possible options.

      VALUATION

      • Our DCF-model yields a FV of EUR34.

      CONCLUSION

With a broad and deep pipeline, one product close to launch allowing to stay profitable going forward, multiple industry, academia, and NPO validation, and a cash pile of EUR300m available for strategic expansion, sufficient trading liquidity, and a sizeable market cap, we rate the share buy.

      Investment view

Intercell is now the largest independent vaccines company by market value globally. Since its IPO, the group has progressed IC51 through to registration, signed new and significant partnering deals, strengthened an already good management team, advanced its R&D pipeline and provided a platform for further growth.

With its first product likely, in our view, to be approved in 2008 and with the group very well funded, further growth may also include Intercell’s role as a consolidator in the sector. Our rating remains Neutral solely on valuation.

      News flow
The US approval of IC51, its vaccine against Japanese Encephalitis, is expected in 1H (extrapolating from when the drug was submitted for approval). Given the proximity of the FDA’s inspection of Intercell’s manufacturing facility (early 1Q), an approval in 2Q may be more likely than in 1Q, in our view. We expect a European approval either later in 2008, or at worst, in early 2009.

Post approval, we would expect Intercell to rapidly launch IC51 together with marketing partner Novartis. An announcement on the US Army’s plans to buy annual quantities of IC51 could have a positive impact on Intercell’s shares. In the R&D pipeline, phase II data with IC41, the group’s hepatitis C vaccine should be available in early 2008; although we appreciate the scientific rationale for the development of IC41, in the absence of clinical data, we remain cautious on the product’s prospects. Also with
Novartis, phase I data with Intercell’s adjuvant, IC31, dministered
together with Novartis’ influenza vaccine, should be available during the coming 12 months.

      Valuation

We calculate a six-month price target of €28.3 using our risk-adjusted DCF valuation methodology. This is a 19% increase from our previous price target. Approximately half of the increase is due to the use of year-end 2008E net cash in our calculations, which we forecast will be higher than at end-2007E. The remainder of the increase is due to rebasing our DCF model from 2007 to 2008. We have also reduced the time horizon for our price target from 12 months to six, on the
assumption of an approval for IC51 in 1H2008.

      Key risks

In our view, the largest downside risk is if IC51 was not approved by the FDA; we continue to expect a full approval. As IC51 accounts for 46% of our valuation, a non-approval would lead to significant share price weakness. However, although the approval is already factored into our price target, an approval would likely send the shares higher on sentiment.

      -----------------------------------------------------------

Focus on larger cap, later stage companies in early 2008

Given this backdrop, but with fundamental valuations, clinical data points and potential corporate actions (partnering deals or consolidation) in mind, we recommend investing in the early part of 2008 in larger companies that have attractive valuations (even if the cost of capital rises significantly), are well funded and/or profitable, with late stage R&D pipelines and prospects for partnering or licensing deals. Our favoured stocks are Actelion, Genmab and Basilea (all on the Conviction Buy List). However, we note that Elan, Intercell,
Biovitrum and Renovo have characteristics that suggest they would not perform as poorly
as higher risk small cap stocks in a recessionary environment. In addition, drug approvals
      or clinical data points
are expected for each of these stocks during 2008 that could make them attractive investments for short periods around news flow.
      -------------------

Companies most likely to outperform in a recession environment

In our view, those companies that are most likely to outperform their peer group, or are least likely to underperform in real terms, in a recession scenario, have the following
      characteristics:
      Profitable and cash generative
Well funded, with no need to raise additional capital for ongoing operations
Late stage R&D pipelines with higher than average commercial potential relative to overall risk
Attractive valuations, especially if there is still upside from current share price levels in a recession scenario

In our coverage universe, the companies that we believe have many of the characteristics listed above are: Actelion, Genmab, Basilea, Biovitrum, Elan, Intercell and Renovo.

      ------------------------

Elan and Intercell: Anomalies in this analysis
We would argue that we should exclude Elan and Intercell from the above analysis, given their proximity to sustainable profitability and given that they are likely to underperform
      less than earlier stage companies

Intercell - a rising star on the Biotech sky

      ● We initiate coverage of Intercell with a Buy recommendation and a
12M target-price of EUR 30. Intercell AG is a biotech company that
develops vaccines for the prevention and treatment of infectious
      diseases.
      ● IP portfolio: more than 30 patent families covering the technology platform of antigen isolation (AIP, Antigen Isolation Program) and innovations on immune stimulators in vaccines (adjuvants IC-31).
      ● Diversified product pipeline of vaccines: the lead product IC-51
(vaccine for Japanese Encephalitis infection) is in the FDA/EMEA
approval launching in 2008. Two potential products are in phase II,
three in phase I, and nine in preclinical testing.
      ● Experienced executive management team: a well known SAB of
international scientist supports the management team. Established
out-licensing contracts (Novartis, Merck, Weyerth, Sanofi) and codevelopment projects (Novartis, SSI, PATH) for tuberculosis and
      malaria.
      ● Well executed funding plan spanning several rounds of VC financing, an IPO in 2005, a SPO in 2006, and an additional equity increase of EUR150mn as part of a cooperation and licensing deal with Novartis, resulting in a market capitalization of more than EUR 1bn. Novartis holds 16% of outstanding shares.
      ● Increasing annual revenues are due to lump-sum payments and
grants (albeit unsteady); break even results and about EUR 270 mn in
cash by the end of 2007.
      ● Market consolidation with acquisitions of early stage companies in the vaccine as well as in the mAb proproduction sector with the available cash is a most likely strategical move.

Merrill Lynch :A shot at the top with flu

Upgrading to Buy; a vaccine portfolio with attractive upside

We are upgrading Intercell to Buy from Neutral with a price objective of €30, which is almost 30% upside. Intercell has one of the most exciting vaccine pipelines in Europe, in our view.

Intercell has 6 products in clinical development, and its Japanese Encephalitis (JE) vaccine should be approved by the end of ‘08E. We believe the shares will be supported by positive product news flow over the coming months plus the achievement of sustainable profitability in 2008E. Improved flu vaccine is a value driver, in our view

Today we published an in-depth report on the global flu vaccine market, in which we highlight Novartis/Intercell’s IC31 flu vaccine as one of the most promising products in this space. We forecast that the high efficacy IC31-adjuvanted vaccine could capture 26% of the $5bn global flu vaccine market by 2015E. We expect news flow in the coming months to underscore the attractive market potential of the IC31 flu vaccine.

We forecast sustainable profitability from 2008 onwards.
We expect Intercell to report its first quarterly profit in 4Q07E (3 March 2008).

Intercell will remain profitable from 2008E onwards, in our view, driven in part by sales from its JE vaccine which will be launched globally by Novartis in 2009E.

      Risks to our price objective
Risks to our €30 PO are:
      (1) phase I trial failure of IC31 flu vaccine, (2) other key
product failures (vaccines for hospital-acquired infections Staph A and pseudomonas), or (3) non-approval of the JE vaccine.

      Merrill Lynch zu Acambis:

Intercell blocks EU market for ChimeriVax-JE

Our recent discussions with EMEA’s orphan drug office plus analysis of European Commission guidelines suggest that there is a low probability for Acambis to overcome Intercell’s orphan drug status in the EU.

This would prevent the ChimeriVax-JE vaccine from receiving EMEA approval to enter European markets.

Acambis needs to show that ChimeriVax-JE can be clearly differentiated from Intercell’s IC51 JE vaccine to overcome Intercell’s orphan drug designation, which we believe is highly unlikely. CHMP likely to consider ChimeriVax-JE and IC51 similar
According to European Commission (EC) guidelines relating to orphan drug designations, “once a first orphan medicinal product has market exclusivity no further marketing authorisation can be granted for a similar medicinal product in the same therapeutic indication”.

We don’t think ChimeriVax-JE will be able to break Intercell’s orphan drug designation

We assume that Intercell’s IC51 JE vaccine will be approved in the EU by YE08E before Acambis and partner Sanofi file ChimeriVax-JE in the EU in 2009E. We expect the two vaccines to be considered similar because both are prophylactic vaccines that launch a neutralising antibody response to protect against infection
with the JE virus. In theory, one could argue that the vaccines are not similar because the Intercell vaccine is made from killed virus and the Acambis vaccine is a live virus, so the immune response is launched via different molecular pathways. But we understand that the similarity assessment will be made by the
CHMP, which in our view will focus on general product attributes rather than a detailed analysis of molecular mechanisms.

Impossible to demonstrate clinical superiority, in our view

The EC guidelines further outline that “should the relevant Competent Authority consider that there is similarity, a report on clinical superiority will be requested prior to validation of the application.”

In this case, superiority based on efficacy will be virtually impossible to demonstrate, in our view. Both ChimeriVax-JE and Intercell’s IC51 have demonstrated high levels of efficacy (>95%), so a head-to-head study of the two vaccines would need to be uneconomically large to demonstrate one vaccine is more effective than the other. Acambis could also claim superiority of ChimeriVax-JE based on its more convenient dosing schedule, i.e. one dose vs.
two doses for IC51. However, we do not think this would be a strong argument, as most travellers’ vaccines are administered in two doses anyway.

Lack of clarity regarding entry into US market

Sanofi is unlikely to exercise its option for the US JE market, in our view:

      * The FDA will require a large safety trial involving about 5,000 patients, and Sanofi may decide the market is too small to warrant the investment.
      * By the time the vaccine would be ready to be filed, Intercell’s IC51 will have been on the market for a few years (approval expected at the end of 2008E).
      * The JE vaccine deal was closed in February 2007, and at the time, Acambis had expected Sanofi to make a decision on US market entry within months.
