      About NanoSensors, Inc.

      NanoSensors, Inc. (the “Company”) was incorporated in 2003 and is a publicly-traded (SYMBOL: NNSR) nanotechnology development Company based in Santa Clara, California. The Company’s principal business is the development and marketing of sensors and instruments to detect biological (B), explosive (X) and chemical (C) agents (“BCX”), along with the management of intellectual property derived there from that will enable NanoSensors to create nanoscale devices.

      The Company’s current strategy is to build sensors that incorporate the technology covered by its license agreement with Michigan State University to detect e.coli and salmonella in food and water.

      Over the past sixteen months the Company has accomplished a tremendous amount. In October 2005 the Company obtained a trading symbol (NNSR) from the National Associational of Security Dealers which allowed their shares to start trading on the over-the-counter bulletin board. Shortly thereafter, the Company was able to close a private placement with one valued investor, and from November 2005 through March 2006 the Company developed a new business model and growth strategy to develop and commercialize instruments to detect malicious agents.

      Previously, the Company’s objective was to develop sensors and instruments to detect chemical, explosive and biological agents with an in-house research and development group and product development team. Today, the Company is still focused on developing sensors and instruments for Homeland Security applications that employ advanced nano-technologies such as porous silicon and carbon nanotubes to detect malicious agents. However, in an effort to accelerate growth, the Company is employing a strategy of acquiring technology licenses and assets that they believe will enable them to more rapidly and cost-effectively develop and commercialize products.

      The components to this acquisition strategy consist of:
      • Acquiring non-core intellectual property and tangible assets that will be income and balance sheet accretive.
      • Acquiring intellectual property assets, patents, licenses, and source code for solutions that are in an advance stage of development.
      • Identifying patented or patent-pending technologies at universities or government laboratories and funding additional development of those technologies in exchange for acquiring the exclusive rights to commercialize the resulting prototypes.
      At the start of 2006, the Company’s major goals were to develop a new business model and growth strategy, raise additional equity capital to enable them to begin to execute their business plan, create a world-class technical advisory board, expand their senior management team and board of directors, and close two intellectual property acquisitions and/or commercialization transactions.

      To date the Company has accomplished the following:

      • Closed a private offering that raised total gross proceeds of $1,729,500

      • Established a five member Technical Advisory Board

      • Added a Chief Operating Officer and an independent Director to our Board of Directors

      • Entered into technology license agreements with Michigan State University and Pohang University of Science and Technology

      • Finalized the design of a biosensor to detect e.coli and manufactured limited quantities of the disposable unit and data acquisition unit through a third-party manufacturer. They expect to begin third-party field testing of their biosensor prototype to detect e-coli within the first two quarters of 2007.

      • Executed a non-binding letter of intent to acquire privately-held DKL International, Inc., (www.dklabs.com) a provider of passive technology and related products to the homeland security, defense, military, law enforcement, security, safety, and rescue markets. DKL is currently selling its LifeGuard ™ product in Asia.
      Products
      Present detection sensors and instruments that are being used today by the government, military and private sector provide low sensitivity, take up too much space, have a high cost and require a high level of supervision.
      Biosensor Devices

      The nanoporous silicon-based biosensor technology covered by the Company’s license agreement with Michigan State University is to detect selected bacteria, salmonella and e-coli. This license also provides the Company with the first right of refusal for other bacteria which may be developed. The Company initiated the design and engineering of their first biosensor product for the bacteria e-coli promptly after the license agreement was executed.

      The product consists of two core functional parts. First, the product design incorporates a disposable housing unit in which the actual sensor device would be mounted on a secured and sealed platform and a separate, external data acquisition unit. The sensor housing unit has been designed to incorporate the necessary electrical leads to transmit the signal from the sensor to the external data acquisition unit. The data acquisition unit has be designed to accept the output signal from the disposable housing unit, convert the signal to the appropriate format and to display the results. The prototype of the first biosensor product has been built and tested. The Company has finalized the design of the first prototype and limited quantities of the disposable unit and data acquisition unit have been produced by a third-party manufacturer. The Company expects to begin third-party field testing of our biosensor prototype to detect e-coli within the first two quarters of 2007.

      The Company expects that their next nanoporous silicon-based biosensor product will be to detect the bacteria, salmonella. On average Salmonella sickens 40,000 and kills 600 people a year in the United States. The United States Department of Agriculture estimated the minimum annual cost of illness caused by salmonella bacteria in 2005 to be $2.3 billion, including $2.1 billion for premature death, $181 million for medical care, and $89 million in lost productivity. The Company does not anticipate major changes on the physical designs for the housing unit or the data acquisition unit used to detect e-coli in order to make it adaptable for salmonella. The changes will primarily reside in functionalizing the nanoporous silicon for salmonella rather than e-coli.

      Nanoporous Silicon-based Sensors for Other Bacteria.

      The Company’s research plan is directed toward developing biosensors for other bacteria. As previously mentioned, their license provides them with a first right of refusal for using the licensed technology for the detections of other bacteria. The research effort will be conducted by their licensor with funding support provided by the Company and will focus on determining the host molecule which will interact with the selected targeted bacteria and developing the method for attaching such host molecules to the nanoporous silicon.

      Opportunity

      According to the Center for Disease Control (CDC), e.coli is a general term that includes many strains of the bacteria. In fact, there are more than 170 strains of e.coli (called “serogroups”); although most strains are harmless, e.coli (particularly the strain called e. coli O157:H7) produces a powerful toxin that can cause severe illness, qualifying it as a pathogen. It is commonly found in the intestines of healthy cattle, deer, goats, and sheep.

      The two major market segments for the Company’s biosensor product is the detection of food-borne e-coli and the water-borne e-coli. According to the Center for Disease Control (“CDC”), 85% of e-coli infections are food borne in origin. In addition, the CDC estimates that for every laboratory-confirmed infection, another 4-8 symptomatic cases are likely missed by current surveillance systems which means the true economic costs of e.coli infections alone could be as high as $3.24 billion. The United States Department of Agriculture estimated the minimum annual cost of e.coli illnesses in 2005 to be $430 million, including $392 million for premature death, $33 million for medical care, and $5 million in lost productivity.


      The United States experienced two major e.coli outbreaks in 2006: one involving tainted produce served at Taco Bell restaurants, the other involving washed-and-bagged spinach from Natural Selection Foods which collectively caused deaths and hundreds of illnesses across 19 states.

      Private corporations have significant financial, legal, and public relations interests in preventing e.coli outbreaks in their establishments. The top 60 restaurant chains have more than 130,000 locations. The “Big Five” – McDonalds, Subway, KFC, Burger King, and Pizza Hut account for 92,000 of these locations.

      According to the CDC, 85% of e.coli infections are food borne in origin, and states with the highest incident rates of food-borne disease outbreaks were: Florida (224), California (208) Illinois (91), Maryland (63, Michagan (60), and Ohio (104). In addition, the CDC estimates that for every laboratory-confirmed infection, another 4-8 symptomatic cases are likely missed by current surveillance systems meaning the true economic costs of e.coli infections alone could be as high as $3.24 billion. The United States Department of Agriculture estimated the minimum annual cost of e.coli illnesses in 2005 to be $430 million, including $392 million for premature death, $33 million for medical care, and $5 million in lost productivity.

      Acquisition Strategy
      In an effort to move rapidly from a development stage organization, as well as to take advantage of opportunities that are present in the nanotechnology and homeland security industry; the Company is interested in acquiring and commercializing technology solutions in sectors that include: computing, materials and manufacturing, electronics and national security.

      The Company has three strategic components to its acquisition strategy:
      - IP Acquisition (Post-Revenue): Acquire non-core intellectual property and tangible assets from corporations that will be income and balance sheet accretive.
      - IP Commercialization (Pre-Revenue): Acquire intellectual property assets, patents, licenses, and source code for solutions that are still in development, but less than twelve months away from generating revenue.
      - University & Government R&D: Identify patented or patent-pending technologies at universities or government labs and fund additional development of those technologies in exchange for exclusive rights to commercialize the resulting prototypes.

      Mahlzeit....

      Nur mal so, an die komischen Kritiker hier... PLMA ist eine langfristige Anlage, nichts von heute auf morgen !!! Wir werden sehen, wo der Kurs nächstes Jahr steht. Habe ich dort auch deutlich geschrieben.

      Bei NNSR ergeben sich kurzfristig ein paar 1000 % Kursanstieg, wenn ARCA den Deckel vom Topf nimmt geht es auf in alte Höhen. Daher betrachte ich NNSR zur Zeit als einen heißen Reboundkandidaten.

      Jeder muß immer wissen was er macht, das ist hier keine Beratungsecke, sondern ein Forum, wo USER Meinungen austauschen !!!

      Ich meine wer NNSR nicht kauft, ist selber Schuld !!!

      I was asked a question What is happening? and this was my reply:

      This company has been in the process of obtaining financing (to finalize the DKL deal and have enough funds to bring the EColi to market) from certain wealthy individuals. These individuals have intentional forced the share price down to cut themselves a better deal. NNSR has sought out alternative financing and will proceed without them. For taking part in the last private placement these individuals have to now be offered the same deal and they are not happy. They where trying to steal the company. This is a good company with a great product with a hard working CEO and VP. I want them to succeed.

      There is a group out of Florida hoping to do the financing package. The financing package is based on the current trading share price of NNSR.One individual had 13 million and the other group has 30 million at this rate they should be out very soon and the share price will rise.

      Looks like IF they cannot steal the company by destroying the PPS and leveraging owning MORE for the funding, they will NOT accept the terms for the "substitute financing" that was more generous to NNSR so they will dump their shares in ONE LAST tantrum to hurt NNSR.

      Well, it is not going to work...

      apparently one of the ring leaders in this is an OLD-TIMEY tennis great whose name appears on the list of top shareholders that has been posted here and on iHub... his name is Seguso.

      At the current PPS is does not take a lot to buy large numbers of shares... and this stock WILL soar once the deals are done and funding is in place. Your risk/reward ration is fantastic here.

      and I'm almost sure that once Seguso and his weenie friends are taken out...

      this stock is gonna exceed our wildest hopes! At least for a run in PPS short term.

      Long term, we are going to need some positive, substantial news to keep the move up alive and well! Merger, e coli ready for market!

      As I posted a short while back... 43M was only about $100K at the then PPS... it is up a little, but we can still spread the word and get enough new blood to put up a thou or so for a nice return on any run to .03-.05, then on to .10...

      We can absorb their 43M shares... and at 10+M a day...

      we can remove them as an irritant in less than this week!

      Bei PLMA habe ich auch rechtzeitig vorher bescheid gesagt, bevor es überhaupt los ging, aber daran erinnern sich die wenigsten. Hier ist wieder so ein Fall, der Trend läuft bereits, wer erst zu 0,05 USD hier einsteigt der sollte sich später nicht beschweren, wenn es auf 0,10 und dann auf 0,04 geht. Denn solch ein Anlageverhalten führt niemals zum Erfolg.

      Billig kaufen, teuer verkaufen !!!!

      Also, der Startschuß ist gefallen, die ersten Meter sind genommen...

      It is possible that there is truth to it...

      should be close to any or all 3 things we expect:

      (1)private funding to keep NNSR rolling along to complete the (2)merger with DKL... and (3) completion and results of (3) e coli devices by 3rd parties.

      Biosensor Devices

      The nanoporous silicon-based biosensor technology covered by the Company's license agreement with Michigan State University is to detect selected bacteria, salmonella and e-coli. This license also provides the Company with the first right of refusal for other bacteria which may be developed. The Company initiated the design and engineering of their first biosensor product for the bacteria e-coli promptly after the license agreement was executed.

      The product consists of two core functional parts. First, the product design incorporates a disposable housing unit in which the actual sensor device would be mounted on a secured and sealed platform and a separate, external data acquisition unit. The sensor housing unit has been designed to incorporate the necessary electrical leads to transmit the signal from the sensor to the external data acquisition unit. The data acquisition unit has be designed to accept the output signal from the disposable housing unit, convert the signal to the appropriate format and to display the results. The prototype of the first biosensor product has been built and tested. The Company has finalized the design of the first prototype and limited quantities of the disposable unit and data acquisition unit have been produced by a third-party manufacturer. The Company expects to begin third-party field testing of our biosensor prototype to detect e-coli within the first two quarters of 2007.

      Silicon Valley Companies Take Aim at Detecting Deadly Pathogens


      SANTA CLARA, CA -- 2/5/2007 -- A couple of Silicon Valley-based high-tech companies are developing diagnostic tools for the purpose of detecting deadly pathogens in food supplies.

      NanoSensors Inc., a nanotechnology development company based here, is licensing nanoporous silicon-based biosensor technology through Michigan State University and a university in South Korea to develop food-safety analysis systems.

      In addition to silicon-based filters, NanoSensors is also using carbon nanotube technology to detect and isolate biologically based pathogens. Carbon nanotubes are cylindrical carbon molecules with properties that make them potentially useful in extremely small-scale electronic and mechanical applications.

      NanoSensors is working on a reusable testing kit. The disposable sensor is about the size of a quarter and has a reader for measuring data embedded in it. The sensor transmits back to an external data acquisition unit that can be used by people at all levels of the food distribution chain. Customers will be able to buy and use disposable sensors on each specific lot of produce that is tested.

      NanoSensors licensed its biosensor technology in August. Its sensor can detect E. coli but cannot tell what strain it is. Depending on the host molecule, the sensor could be used to detect salmonella.

      The sensor detects the DNA of the host molecule on porous silicone. The DNA of the molecule is attached to that surface; the sensor is functionalized when DNA is placed on the surface. The base of the sensor is disposable. Joshua Moser, vice president and chief operating officer of NanoSensors, said that the company "has made a tremendous amount of progress in a short amount of time."

      Mr. Moser said that nano- or molecular-scaled devices operate at the same scale as the biological agents they target, which allows the technology to both detect and isolate targeted pathogens. Nanoprobes and filters can address viruses and bacteria at a level of specificity that is hard to get at with larger technology, and also can provide faster and more accurate results than existing technology, he said.

      Ted Wong, chief executive officer of NanoSensors, said that the company could determine the concentration of E. coli with its sensor, which is a "first alert" of E. coli.

      "We're trying to provide an economically viable solution," Dr. Wong said. "The efficiency is very high."

      The sensor's testing results can be exported to a PDA or cell phone. The company soon will start third-party testing and anticipates testing its product at a water treatment plant for a few months.

      "Sensors could be the first use of carbon nanotubes," Dr. Wong said. NanoSensors anticipates jumping up to the use of carbon nanotubes, which is the "next generation," he said.

      NanoSensors has collected salmonella data in more than three months of testing.

      Dr. Wong said that his dream is to have a sensor "that covers an array of different things."

      In late December, NanoSensors announced that it had engaged a third-party contractor to manufacture units of a test version of its biosensor product that will be used for third-party field testing. The product is based on the NanoSensors nanoporous silicon-based biosensor technology to detect E. coli.

      Although NanoSensors has not entered into testing agreements with third parties, it is seeking to enroll between six and 10 users in its product- testing program.

      Another Silicon Valley company -- Cepheid, based in Sunnyvale, CA -- can take credit for playing a critical role in containing the outbreak of E. coli 0157:H7 detected in fresh spinach.

      New Mexico's health department used a molecular diagnostic tool manufactured by Cepheid to isolate the E. coli. Researchers performed rapid molecular tests that pointed to a bag of spinach that sickened a New Mexico woman, a major breakthrough in the case.

      David Persing, Cepheid's chief medical and technology officer, said that about half of all state public health labs in the nation are using the company's SmartCycler instrument. Unlike traditional culture tests that take days to generate a result, molecular diagnostics quickly and accurately identify microorganisms by identifying specific segments of DNA.

      Another advantage to molecular detection is that it can detect DNA whether bacteria are alive or dead.

      Mr. Persing said that the opportunity exists to catch outbreaks such as the E. coli outbreak in spinach earlier in the process, and that the goal must be to detect and intercept pathogens before they enter the general food supply. "The evolution of technology is to small sophisticated analysis," Mr. Persing said, adding that cartridges for testing bacteria are small, easy to work with and don't require a specialty lab.

      He said that he favors installing Cepheid's SmartCycler instrument in fresh produce-processing plants. The price runs about $30 to $50 per cartridge. Mr. Persing anticipates similar deployment of sensor technology to include agricultural operations and food distribution centers.

      Yesterday, the California Assembly Agriculture Committee defeated Senate Bill 202, and did not vote on Senate Bills 200 and 201, all bills introduced by California Senator Dean Florez. The bills, as summarized below, were introduced in response to last year's E. coli O157:H7 outbreaks traced to contaminated spinach and lettuce grown in California.


      Senate Bill 200 gives the Department of Health Services the much-needed authority to recall, quarantine, or destroy produce which may pose a threat to the public. The measure also creates an inspection program to proactively address the threat of outbreaks. DHS inspectors would have the authority to conduct periodic on-farm inspections, including testing of water, soil and produce.
      Senate Bill 201 mandates Good Agricultural Practices for leafy green growers, covering everything from water and fertilizer use, to worker hygiene, to the creation of buffer zones between fields and potential contamination sources. Growers would be required to maintain extensive documentation of these practices. These documents would be reviewed by DHS to ensure compliance.
      Senate Bill 202 calls for the creation of a traceback system that can quickly trace contaminated produce through the various stages of the distribution process, from farm to processor, to distributor, to retailer. In the most recent E. coli outbreaks, lettuce and spinach producers nationwide took a major economic hit, because it could not immediately be determined where the contaminated produce came from and every farm was suspect. The ability to quickly find the specific source in an outbreak, combined with DHS’ ability to quarantine or destroy suspect produce, will prevent a similar industry-wide hit in future E. coli outbreaks.

      According to an article in the Fresno Bee, Senator Florez and Assembly Member Nicole Parra, a member of the Assembly Agriculture Committee, engaged in a heated exchange over the bills. As opposed to government regulation, Assembly Member Parra supports industry self-regulation. E.J. Schultz wrote for the Bee:

      Parra, who earned the endorsement of the California Farm Bureau Federation in her last election, told reporters that she was "to this point" satisfied with the industry approach.

      "Food is never 100% secure, so even waiting for one more fatality and blaming the industry is not fair," she said after the hearing. "We will do everything to work with [state agriculture officials] and the industry to make sure our food is as safe as it can be."

      During the hearing, she blasted Florez: "I know you're going to go out to the press and probably say that if someone else dies, it's on our back. Well, don't blame the members of this committee, senator. Blame me if you have an issue, but that is not the message that we want to get out of this committee."

      Florez shot back, criticizing Parra and the committee for failing to vote on two of the bills.

      "I think this is one of those cowardly acts that will just kind of haunt people as they go on," he told reporters after the hearing. "And people will ask the question, 'Why didn't you ever vote on food safety?' At least say yes or no."

      Meanwhile, the Western Growers Association put out a press release applauding the Assembly Agriculture Committee's refusal to vote on Senate Bills 200 and 201 and its defeat of Senate Bill 202:


      "We are very pleased with the committee's decision to stop these pieces
      of legislation and allow our industry an opportunity to show that the Leafy
      Greens Handler Marketing Agreement is the most effective approach to
      ensuring the leafy greens grown, harvested, packed and shipped to our
      dinner tables is as safe as scientifically possible," said Western Growers
      President and CEO Tom Nassif. "Assembly Member Parra has shown incredible leadership and resolve in dealing with this issue, and we truly appreciate her and the committee's vote of confidence."

      When traveling beyond the earth's atmosphere, it's crucial to be able to adequately measure the level of various gases that may seep into the spacecraft. The danger is especially severe during long missions, when contaminants can build up in the air supply, threatening the health of any crew members and the functioning of sophisticated instrumentation. Scientists at NASA Ames Research Center (ARC) and Goddard Space Flight Center are combating the problem with a new chemical nanosensor, the first of its kind to be tested in space. Each sensor is either made of carbon nanotubes or nanowires, giving it high sensitivity.

      In March, the nanosensor chip, weighing only a couple of grams, traveled into space in an electronic and mechanical package aboard the Naval Academy's Midstar-1 satellite, and was put to the test in late May. According to Jing Li, the principal investigator and a senior scientist at NASA Ames, the sensor was able to endure the intense conditions, including temperature and pressure cycles, in space, as well as the extreme vibrations and gravity changes that occur during launch.

      Making a chemical sensor for space travel using nano components "is very significant," says Joseph Stetter, director of the Microsystems Innovation Center at SRI International, in Menlo Park, CA. "This is a valuable way to approach things and solve problems in space."

      NASA scientists built the nanosensors by coating carbon nanotubes with different polymers that react with various chemicals, or by doping the carbon nanotubes and nanowires with different catalytic metal particles that act as the sensing material. There are 32 sensing channels on a chip; depending on the chemical to be detected, various nanostructure materials, carbon nanotubes, or metal-oxide nanowires--coated or uncoated--are put in each channel. When a small amount of the targeted chemical touches the sensing materials, it triggers a reaction that causes the electric current flowing through the sensor to increase or decrease. The different responses will form a pattern, which the sensor can use to identify a gas.

      To test the nanosensor, the scientists injected nitrogen dioxide into the chamber holding the nanosensor. Once the nitrogen dioxide made contact with the sensing materials, the sensor was able to measure the change in electricity passing through it. Thus far, scientists have tested more than 15 chemicals, including ammonia, hydrogen peroxide, hydrogen chloride, and formaldehyde.

      Using carbon nanotubes to sense the chemicals "may have significant advantages," says Jiri Janata, a professor in the school of chemistry and biochemistry at the Georgia Institute of Technology. For one, using the nanostructure materials increases the surface-area-to-volume ratio, allowing the materials to absorb more gas and thus improve sensitivity.

      In addition to the potential increased sensitivity, the nanosensors are solid-state devices. This gives the sensor a shelf life of up to five years, compared with the six-to-twelve-month lifetime of existing electrochemical sensors.

      The sensor chip itself is one centimeter squared. In its electronic package it is about 5.1 centimeters by 6.4 centimeters by 2.5 centimeters, and it's wireless: it can transmit sensor data from one corner of a room to another, or a distance of 30 meters. "Low power, small size, and light weight are very important in outer space," says Stetter. "The idea is, we want more functionality in smaller packages, especially given the cost to lift something into space."

      NASA scientists hope to eventually place the nanosensor aboard the shuttle, the International Space Station, and other vehicles destined for space. Engineers at the Kennedy Space Center have also shown interest in the sensor for placement in the launch-pad area to monitor fuel leaks and chemical dispersion along the radius.

      The technology for the sensors are ready for space, says Li, but before they can fly in a mission, they will have to be modified according to the chemicals that NASA is interested in detecting. The sensors will also have to go through NASA's space qualification process, which can be a lengthy adventure all by itself.

      Present detection sensors and instruments that are being used today by the government, military and private sector provide low sensitivity, take up too much space, have a high cost and require a high level of supervision.

      Biosensor Devices


      The nanoporous silicon-based biosensor technology covered by the Company's license agreement with Michigan State University is to detect selected bacteria, salmonella and e-coli. This license also provides the Company with the first right of refusal for other bacteria which may be developed. The Company initiated the design and engineering of their first biosensor product for the bacteria e-coli promptly after the license agreement was executed.

      The product consists of two core functional parts. First, the product design incorporates a disposable housing unit in which the actual sensor device would be mounted on a secured and sealed platform and a separate, external data acquisition unit. The sensor housing unit has been designed to incorporate the necessary electrical leads to transmit the signal from the sensor to the external data acquisition unit. The data acquisition unit has be designed to accept the output signal from the disposable housing unit, convert the signal to the appropriate format and to display the results. The prototype of the first biosensor product has been built and tested. The Company has finalized the design of the first prototype and limited quantities of the disposable unit and data acquisition unit have been produced by a third-party manufacturer. The Company expects to begin third-party field testing of our biosensor prototype to detect e-coli within the first two quarters of 2007.

      The Company expects that their next nanoporous silicon-based biosensor product will be to detect the bacteria, salmonella. On average Salmonella sickens 40,000 and kills 600 people a year in the United States. The United States Department of Agriculture estimated the minimum annual cost of illness caused by salmonella bacteria in 2005 to be $2.3 billion, including $2.1 billion for premature death, $181 million for medical care, and $89 million in lost productivity. The Company does not anticipate major changes on the physical designs for the housing unit or the data acquisition unit used to detect e-coli in order to make it adaptable for salmonella. The changes will primarily reside in functionalizing the nanoporous silicon for salmonella rather than e-coli.

      Nanoporous Silicon-based Sensors for Other Bacteria.


      The Company's research plan is directed toward developing biosensors for other bacteria. As previously mentioned, their license provides them with a first right of refusal for using the licensed technology for the detections of other bacteria. The research effort will be conducted by their licensor with funding support provided by the Company and will focus on determining the host molecule which will interact with the selected targeted bacteria and developing the method for attaching such host molecules to the nanoporous silicon.

      Future Products

      Porous Silicon Electronic Addressed Arrays


      The Company's research indicates that sensors based on porous silicon will offer enhanced sensitivity, reduced power demands and lower cost. Porous silicon based sensors could be integrated into electronic equipment and used to build sensing arrays, because they are based on silicon wafers, manufactured using integrated circuit production techniques and operate at room temperature using low voltages. These sensing arrays are analogous to the manner in which cellular phone networks and their towers are set up, except that our sensing arrays will be designed to protect certain defined geographical areas.

      The Company recently announced that we will commence an evaluation to determine the optimal practical physical characteristics of porous silicon for our next generation of sensors. The Company has constructed an apparatus for the electrochemical silicon etching process which will be used to produce porous silicon. The initial evaluation of the process will be conducted with 4-inch silicon wafers to optimize porosity.

      The porous silicon based sensors will be fabricated from porous silicon chemically altered to bind only to a specific BCX agent and embedded between measurement electrodes. Arrays will be fabricated from individual porous silicon fibers coated for BCX agent specificity and electrically connected to processing devices to determine the presence and identity of agents. Porous silicon exhibits a large change in electrical conductivity on exposure to trace amounts of the vapor characteristic of BCX materials due to the large surface area per volume ratio. Sensitivity to parts per billion or less concentration is anticipated allowing stand-off detection of an explosive.

      Carbon Nanotube Sensors


      The Company's studies have found that carbon nanotube technology is promising for chemical and biological detection. The carbon nano-tube sensors can be built to facilitate distributed, or wireless, gas sensing networks, leading to more efficient multi-point measurements, or greater convenience and flexibility in performing measurements. In addition, carbon nanotube chemical and biological sensors would be suitable for sensing different species of interest. Such sensors could be configured in the form of an array to comprehensively and cost-effectively monitor multiple species. As mentioned previously, the FETs are sensors on silicon chip configuration in which the carbon nanotubes are connected between two junctions on a silicon substrate. These types of sensors are functionalized by placing a minute drop of host molecule close to the carbon nanotubes to interact with the target agent, including bacertium. Once the targeted agent interacts with the host molecule, the electrical signal of the sensor is altered.

      The Company has initiated a test program to characterize carbon nanotube FETs to detect targeted agents. The characterization program will be conducted by the licensor of the Company's nanoporous silicon-based sensors. The Company believes that the use carbon nanotube FETs offers several advantages, including higher sensitivity for detection and a shorter development cycle for sensor development.

      Management believes that due to these qualities, sensors based on carbon nanotubes can also improve the detection of vapors from explosives. The Company believes that devices can be developed where sensors are arranged in arrays that can be tuned to respond to the presence of specific explosives and biological and chemical agents. Each nanotube would be anchored to a metalized silicon substrate at one end of the tube and chemically enhanced to bind only to a specific molecule at the other end. The tube experiences a lowering of the frequency when extra mass is attached to the functional end of the tube. The presence of a mass of an absorbed agent, such as Anthrax, on the free end of the nanotube will produce a measurable frequency shift.       NanoSensors, Inc. Announces Reorganization of Executive Management Team and Redirection of Operations

      SANTA CLARA, Calif., Sept. 13 /PRNewswire-FirstCall/ -- NanoSensors, (Nachrichten) Inc. (BULLETIN BOARD: NNSR) today announced that Dr. Ted L. Wong, its Chief Executive Officer, President, Chief Financial Officer and Chairman of the Board, has departed the company. NanoSensors entered into a separation agreement with Dr. Wong dated September 9, 2007, pursuant to which he agreed to resign from all positions with NanoSensors, including as a member of the board of directors effective as of August 31, 2007. Dr. Wong's departure coincides with a decision by the company's board of directors that the board believes it to be in the best interests of our shareholders to terminate its current business operations and to position the company as a shell company and to utilize our corporate assets as a vehicle for the acquisition of an operating business. The company does not have any specific merger, stock exchange, asset acquisition, reorganization or other business combination under consideration or contemplation and other than two initial, exploratory conversations, we have not, nor has anyone on our behalf, contacted any potential target business or had any discussions, formal or otherwise, with respect to such a transaction. NanoSensors will not limit itself to any particular industry or geographic location in its efforts to identify prospective target businesses. In connection with this determination, the board authorized the management to negotiate and execute the separation agreement with Dr. Wong, dissolve the company's Technical Advisory Board and to terminate certain of the company's consulting and license agreements. In addition, the Company's non-binding letter of intent with DKL International, Inc. expired August 31, 2007.

      The restructured company will be led by Robert A. Baron as acting Chief Executive Officer and President. Mr. Baron, who has served on the company's board of directors since July 2006, will also assume the position of Chairman of the Board. The Board of NanoSensors currently consists of Mr. Baron and Robert G. Coutu, who was elected to the board in July 2007. In addition, to ensure continuity, the board decided to appoint Josh Moser as its interim Chief Financial Officer. Mr. Moser currently is the company's Vice President and Chief Operating Officer.

      Although the Company does not have any specific merger, stock exchange, asset acquisition, reorganization or other business combination under consideration or contemplation, the Company intends to capitalize on the significant strength of its management team, which is experienced in sourcing, structuring, financing and consummating business combinations in a variety of industry sectors.       hallo

      so... muss jetzt hier mal unbedingt was schreiben. ich beobachte die aktie schon seit über 1 jahr. seit kurzer zeit auch in deutschland handelbar. da halte ich nix von wegen der geringen umsätze und dem hohen spread. ordergebühr in usa ist mit 22 dollar fast 3 mal so teuer aber das relativiert sich. ist auch in den usa wesentlich lequider. kleiner tipp. wenn ihr kauft in usa macht eine limitierte order mit längerer laufzeit. es kommt mit grosser wahrscheinlichkeit vor das es zu teilausführungen kommt. das wird neuerdings bei meiner dab bank nicht berechnet. selbst wenn es 10 teilausführungen sind fällt die gebühr nur ein mal an. dumm ist es dann nur wenn ein tagesgültiges limit im markt ist und ihr eine neue order aufgeben müsst.
      so... nun zu meinem investment. habe in den letzten tagen eingesammelt und einen durchschnitts kaufkurs von 0,0035 usd bekommen. halte derzeit 600.000 aktien. will diese als langfristinvestment ansehen. bin auch noch in andere werte (nanologix, nanobac, api-nanotronics, advance nanotech u.ä) investiert. für mich ist ein aspekt ganz wichtig. investments noch bis ende 2007 einzugehen, diese fallen dann (nach 12 monatiger haltefrist) nicht unter die neue abgeltungssteuer ab 2009. das heisst alle aktien die noch vor dem 31.12.2007 ins depot gelegt werden können ab januar 2009 steuerfrei verkauft werden.
      leider sind zu "nanosensors" kaum informationen zu bekommen.
      ich kalkuliere bei mindestens 50% meiner nanoinvestments einen totalverlust ein. denke aber langfristig rechnet sich das auf jeden fall.
      so nun genug, würde mich freuen wenn hier irgend jemand infos über diesen wert texten könnte. ich aggiere immer nach den charts.

      Dass die Miniaturisierung ein nicht mehr aufzuhaltender Trend ist, haben wir in den vergangenen Jahren schon im Hightech-Bereich gesehen. Egal ob es um Handys, Digitalkameras oder Computer geht - kleiner und leistungsfähiger müssen Nachfolgemodelle heute sein.
      Logisch also, dass eine Wissenschaft, die sich ganz auf die "Kleinheit" konzentriert, ungeahnte Möglichkeiten für die Zukunft bietet. Und im Fall der Nanotechnologie gibt es Anwendungen, die bereits im Masseneinsatz sind. So in der Oberflächebeschichtung - zum Beispiel für schmutzabweisende Materialien.

      hallo, mein kaufkurs liegt bei 0,0038, kommt noch ein bissel währungsverlust dazu. bin also selbst bei 0,0040 noch ganz leicht im gewinn. nein... verkaufen will ich nicht, wollte diese als langfristanlage liegen lassen, bin ja auch erst seit wenigen wochen investiert. die hompage von nanosensors sieht ja auch ganz gut aus, verstehe nicht was da los ist, betimmt vom handel ausgesetzt, aber warum? entweder kommt da ein gewaltiger kurssprung nach oben oder ein totalverlust, irgendwas muss ja da passieren nach der kursaussetzung. viele grüsse

      hallo hellen

      ich denke wir werden noch sehr lange warten müssen. die hompage sieht jedoch ganz vielversprechend aus. könnte bei positiven news wieder über 0,01 springen. man muss dann nur sehen ob es nachhaltig ist. kann die aktie irgendwie nicht handeln über meine dab bank. na mal sehn, verkaufen werde ich die nächste zeit sowieso nicht.

      NanoSensors, Inc. Signs Merger Agreement With Cuchulainn Holdings in Connection With Redirection of Operations

      REDWOOD CITY, Calif., Nov. 28 /PRNewswire-FirstCall/ -- NanoSensors, (News) Inc. ("NanoSensors") (BULLETIN BOARD: NNSR) announced that it has entered into a definitive merger agreement with Cuchulainn Holdings Inc., a Panamanian company ("Cuchulainn"). Previously on September 13, 2007, NanoSensors announced a redirection of its operations and reorganization of its executive management team.

      Cuchulainn has been licensed technology and other intellectual property in order for it to operate an online-based video console game wagering service (the "Service"). The Service enables gamers to compete against other gamers and place wagers on the outcomes of their games. The outcome of the game play will be determined upon the skill of the individual participant. The Service will cater to an international community of gamers that play video games and place wagers online. Cuchulainn recently raised approximately $620,000 (U.S.) in a private placement financing to fund initial development costs. Prior to commencing operation of the Service, NanoSensors and Cuchulainn will need to raise additional capital.

      Pursuant to the merger agreement, Cuchulainn will merge with and into a wholly-owned subsidiary of NanoSensors and become a wholly-owned subsidiary of NanoSensors. In the merger, each outstanding share of Cuchulainn will be exchanged for .000565 share of a new class of NanoSensors Series A Convertible Preferred Stock which will vote on an "as converted" basis together with issued and outstanding shares of NanoSensors Common Stock. Each Series A Preferred Share for voting purposes will be equal to 168,729 shares of NanoSensors Preferred Stock. As of the date of the merger agreement, Cuchulainn had issued and outstanding 17,700,000 shares of common stock. Following completion of the merger, the former shareholders of Cuchulainn will own approximately 80% of the voting power of NanoSensors and current shareholders of NanoSensors will own the remainder. Each share of NanoSensors Preferred Stock issued to Cuchulainn shareholders in the merger will be issued under an exemption from registration under the Securities Act of 1933 and will be restricted shares. The holders of such shares may not sell, transfer or otherwise dispose of such shares without registration under the Securities Act or an exemption therefrom. NanoSensors has agreed, however, to grant registration rights to the Cuchulainn Holdings shareholders.

      Two shareholders and nominees of Cuchulainn, William Levy and Tom Hendren, will join the management team of NanoSensors and also become directors of NanoSensors. Robert A. Baron, currently chairman of the Board of Directors and Interim Chief Executive Officer of NanoSensors, will remain as a director. Robert Coutu, the other current director of NanoSensors, will resign from the Board immediately prior to the closing of the merger. Josh Moser, the Company's Interim Chief Financial Officer, Vice President and Chief Operating Officer will also continue to be an executive officer of the NanoSensors. The merger agreement provides that prior to the closing of the transaction the parties will agree to a new management structure for NanoSensors, and following the closing NanoSensors will change its company name.

      The merger agreement also contemplates that subsequent to the closing of the merger, the Board of Directors of NanoSensors will consider and approve, and submit to the shareholders of NanoSensors for their approval a 100-to-1 reverse stock split of shares of NanoSensors Common Stock, decreasing the number of authorized shares of NanoSensors Common Stock and also authorizing additional shares of NanoSensors Preferred Stock.

("NanoSensors") (ANSCHLAGBRETT: NNSR) gab heute bekannt, dass es seinen Erwerb von Cuchulainn Holdings, Inc, eine Panamanian Gesellschaft (Cuchulainn) geschlossen hat. Am 28. November 2007 gab NanoSensors bekannt, dass es einen endgültigen Fusionsvertrag mit Cuchulainn geschlossen hatte. Diese Abmachung war üblichen und üblichen Bedingungen unterworfen, die jetzt zufrieden oder verzichtet gewesen sind.
