China Grand Forestry bei Schwäche aufstocken

Börsenticker aus Endingen (aktiencheck.de AG) - Die Experten von "Emerging Markets Investor" raten, jeden Kursrückschlag bei der China Grand Forestry-Aktie (ISIN BMG210A01062/ WKN A0LG23) zur Positionsaufstockung zu nutzen.

Obwohl der Titel mittlerweile eine Marktkapitalisierung von über 1 Mrd. USD erreicht habe, sei nach Meinung der Experten ein Ende der Neubewertung bei weitem noch nicht abzusehen. So billige die Deutsche Bank in ihrer jüngsten Kaufstudie dem Wert ein Kurspotenzial von 80% zu. Unter anderen hätten sich die Analysten von den patentierten, genbehandelten neuen Arten von Maulbeerbäumen überzeugt gezeigt. Diese hätten nach fünf Monaten bereits eine Höhe von vier Metern erreicht und könnten nach ein bis zwei Jahren geschlagen werden. Dagegen würden Pappeln sieben bis acht Jahre und Eucalyptusbäume fünf bis sechs Jahre brauchen. Bis 2010 wolle China Grand Forestry über ein Waldgebiet von 1 Mio. Hektar verfügen.

Dies solle in den kommenden drei Jahren zu einem Umsatzanstieg um 274% und einem Nettogewinn von 1,5 Mrd. Hongkong-Dollar (HKD) führen. Das KGV würde im gleichen Zeitraum auf 6,4 zurückgehen, was die Experten für sehr günstig Halten würden.

Atlantis Investment hat nach einer Unternehmensmeldung vom 15.8. weitere 16 Mio shares übernommen und verfügt nun über 6,35 % der Anteil3e.

hört sich immer gut an, aber Du mußt natürlich berücksichtigen, dass da die Neubewertung der Waldbestände einflißet, und die kann man nicht so einfach fortschreiben.
Insofern ist die Bewertung etwas irreführend

Was mich etwas verwundert bei dem Wert ist die Beschäftigtenzahl von nur 645. Wenn man 70.000 Hektar mit Maulbeerbäumen bepflanzen will, dann müsste das Unternehmen doch viel mehr Beschäftigte haben.

China Grand Forestry Resources Group (0910) has agreed to acquire the entire issued share capital of Shenyu New Energy Group Limited at a total consideration of $6.4 billion.

Upon completion of the acquisition, Grand Forestry will wholly own Shenyu New Energy, which will indirectly own the entire equity interest in Yunnan Shenyu New Energy Company Limited which is principally engaged in the research and development of Jatropha Curcas L based biological energy sources, such as bio-diesel.

An application has been made by Grand Forestry for the resumption of shares trading with effect from this afternoon.

The consideration will be satisfied as to $400 million in cash; and $6 billion by the issue of the convertible notes with the exercise price of $2.5 per share, representing a discount of 7.75% to the closing price of $2.71 on the last trading before suspension of trading.

Upon full conversion of the convertible notes, a total of 2.4 billion conversion shares will be issued, representing 29.72% of the enlarged share capital of Grand Forestry.

Yunnan Shenyu New Energy is building a processing factory with planned annual bio-diesel production capacity of 100,000 tons. The vendor has guaranteed that the after-tax net profit of Shenyu New Energy for 2008 shall not be less than $800 million.

(Infocast News) China Grand Forestry Resources (0910) (CGFR) has made a clarification announcement in response to certain media articles in the PRC recently which questioned the value of Shenyu New Energy Group Limited proposed to be acquired by CGFR and CGFR's proper ownership of certain forest lands.

CGFR clarified that further to its announcements last month in relation to the proposed acquisition of Shenyu New Energy, the due diligence review of Shenyu New Energy is still in progress and CGFR has appointed Poeyry Forest Industry, an independent appraiser, to confirm the fair value of the net assets of Shenyu New Energy in a valuation report which will be contained in a circular to be issued. CGFR also reiterates that, to the best of the directors' knowledge, information and belief after having made reasonable enquiries, the vendor and its ultimate beneficial owners are third parties independent of and not connected with CGFR.

CGFR also clarified that all of its forest land use right and ownership of timber resources are legally owned. The company has noticed that there were comments from anonymous sources in the articles and does not know the source of the information that the articles were based on. It is seeking legal advice and considering possible legal actions in relation to such articles which contain certain misleading information and false allegation.

Siehst ja nicht gut aus. CGFR lässt jetzt von unabhängiger Seite ein Due Diligence über Shenyu New Energy erstellen.

Haben die denn kein Due Diligence vor dem Kauf erstellen lassen?

Anscheinend wird CGFR auch beschuldigt widerrechtlich ihre Holzresourcen erworben zu haben oder gar nicht die angegebenen Holzresourcen zu besitzen.

Das Ende des zweiten Absatzes deutet darauf hin, dass die Vorstandschaft von CGFR von Medien beschuldigt wird, beim Kauf von Shenyu New Energy in die eigene Tasche gewirtschaftet zu haben.

BROKER CALL - China Grand Forestry target price raised to 5.70 hkd - HSBC

HSBC has raised its target price on China Grand Forestry Resources Group Ltd (CGF) to 5.70 hkd from 5.0 while maintaining its ""overweight"" recommendation on the stock due the mainland firm's prospects of diversifying its earnings sources after its proposed acquisition of Shenyu New Energy Ltd.

""In our view, this (acquisition) is the first of many steps in diversifying CGF's earning mix from a mere tree logging company into a more balanced one ensuring growth momentum is more sustainable,"" HSBC said.

""This deal is also substantial in terms of earnings enhancement, forest reserves and is EPS (earnings per share) accretive,"" it added.

HSBC noted that CGF currently derives about 83 pct of its total sales from tree logging and timber sales.

""While we firmly believe in this operation's strong growth nature and overall growth momentum, we expect the Shenyu deal would transform CGF's earnings mix into a more balanced one,"" it said.

CGF said it will pay 4.0 bln hkd, instead of the originally agreed upon 6. 4 bln, to acquire 100 pct of Shenyu New Energy Ltd, after discovering that a portion of Shenyu's forest and timber assets are located in Myanmar.

Less than a week after announcing the acquisition at the higher price, it said the fair value of the net assets of Shenyu New Energy was reduced after its own due diligence and that of an independent qualified valuer revealed the extent of Shenyu's dependency on Myanmar.

HSBC estimates that the Shenyu group has a guaranteed net profit of some 800 mln hkd in 2008 and its earnings may grow by the same amount between 2009 and 2011.

HSBC ist positiv für CGFR. Interessant ist auch das CGFR nur 4,0 Mrd Hongkong Dollar anstatt von 6,4 Mrd HKD für Shenyu New Energy zahlt.

Der Grund (ich fass mich an den Kopf; wie blöd kann man den sein): Sie haben gemerkt das ein Teil von Shenyus Waldgebieten in Myanmar liegen.

Auf der Seite von Carlson ist für den Carlson Asian Small Cap nur der Stand von Ende Oktober abfragbar. Da war CGFR mit 7,4% der größte Wert im Fonds.

Moin wer hat eine Ahnung was da passiert, warum stürzt der Kurs in den Keller,( leider verstehe ich die Enlischen Texte nicht so doll ) soll man dabeibleiben oder die Bremse ziehen wenn man längerfristig 1-2 Jahre investiert bleiben möchte?
Wenn es Rückkäufe gibt dann ist das doch ein Zeichen das es nach oben geht oder...?

Recently, two reporters from China Business Post raised doubt on China Grand Forestry’s (CGF, 0910.HK) earning in an article, as their findings showed that there was no logging in CGF’s Shanxi forest land. However, in its June-ended FY06 results, CGF claimed that there were 56,000 cubic meters of pinewoods harvested from that forest land and sales was booked. CGF’s management claimed in an announcement in HKEX that they do not know the source of the information that the article was based on and is considering the possible legal actions in relation to the articles which contain certain misleading information and false allegation.

Hallo zusammen,

wenn ich den Zwischenbericht für die ersten 6 Monate richtig lese, dann hat unser Unternehmen 20-25 Hongkong-Cent Gewinn gemacht, macht hochgerechnet aus Gesamtjahr ohne weitere Steigerung (!) dann 40-50 Hongkong-Cent.

Damit komme ich auf ein KGV von 3 bis 4. Das ist ja traumhaft !!!

Und dass unser Unternehmen rasant wächst, das sieht man ja im Jahresvergleich. Das KGV wird also sogar noch weiter sinken - Wahnsinn !

Damit würde ich sagen, sind das aktuell echte (Nach-) Kaufkurse !!!

Das Schnäppchen, das uns in wenigen Monaten reich machen wird !

na, ganz so einfach ist es leider nicht. Bei HK-Unternehmen würde ich nur auf den Cash-Flow gucken - da liegt mehr Wahrheit als bei der GuV. In der Tat sind üner 1 Mrd HKD nur durch Neubwertung der Waldbestände als Gewinn gebucht worden. Das ist für uns nicht nachvollziehbar, zumal der Zwischenbericht nicht testiert wurde.

CGFr wurde vor gut zwei Wochen von Reportern eine Manipulation der Geschäftszahlen vorgeworfen

Recently, two reporters from China Business Post raised doubt on China Grand Forestry’s (CGF, 0910.HK) earning in an article, as their findings showed that there was no logging in CGF’s Shanxi forest land. However, in its June-ended FY06 results, CGF claimed that there were 56,000 cubic meters of pinewoods harvested from that forest land and sales was booked. CGF’s management claimed in an announcement in HKEX that they do not know the source of the information that the article was based on and is considering the possible legal actions in relation to the articles which contain certain misleading information and false allegation.

Wurde die Anschuldigung mittlerweile entkräftet.

Ist es eigentlich in Hong Kong üblich, dass die Jahres- / Quartalszahlen nicht testiert werden.

Ich habe eine große Angst! Nämlich das ich in einer Firma investiert bin, die Zahlen nach Belieben rausgibt, so wird der Waldbestand in den letzten Quartalszahlen massiv hochgewertet.
Ich hab keine Ahnung wie die ihren Waldbestand bewerten?

Was ist den mit ihren genveränderten, schnell wachsenden Maulbeerbäumen? Weiß jemand wieviel Hektar aktuell damit bepflanzt sind?

Gerade mal 230 Mio HK$ operativer Gewinn (exkl Neubewertung) bei einer Cap von 7.000 Mio HK$. Dann noch diese Übernahme - klar, dass es hier bergab geht.

(Infocast News) China Grand Forestry Resources (0910) has agreed to sell to its chairman and executive director, Ng Leung-ho, the entire issued share capital of Holt Hire Holdings Limited at a total consideration of $189 million in cash, which will be used as general working capital. China Grand Forestry does not expect significant gain or loss from the disposal.

Completion of the disposal is conditional upon completion of a reorganization of the China Grand Forestry group. The reorganization will involve removal of the nano business and some securities investment from the Holt Hire group so that the garment business, software development business, properties and securities investment of the Holt Hire group will be disposed of under the disposal.

The directors said that the main stream of revenue and income of China Grand Forestry are materially derived from ecological forestry business and the results of the garment business and software development business are relatively insignificant. They consider that the disposal provides an opportunity for the group to: primarily focus its corporate resources on further cultivating the ecological forestry business; better develop and sculpt itself at a better position in the PRC ecological forestry industry; and realize investment in the garment business and software development businesses.

(Infocast News) China Grand Forestry Resources Group Limited (00910) reported the forest resources of the Company as a result of impact on earthquake at Sichuan happened in May and the continued frosty weather that came with rain and snow during January and February in Southern China. Forest land of the Group in Sichuan accounts for about 2% of its total forest land area and is mainly located in south-west of Sichuan. Its forest resources in Sichuan accounts for about 4% of its total forest resources. The Group is still in the process of assessing the economic loss suffered by it due to the earthquake but it does not expect a significant loss in forest resources. The traffic in the areas affected by the earthquake has also been subject to different levels of disruption.

The continued frosty weather that came with rain and snow during January and February in the Southern China had affected Hunan, Guizhou, Yunnan and Chongqing, the bases of the Group's forest lands. It caused different levels of damage to trees and the traffic in these areas was affected by the frosty weather which in turn caused delays in the transportation. After in depth assessment, the loss of forest resources of these areas is not significant

(Infocast News) China Grand Forestry Green Resources (00910) has signed a supplemantal agreement regarding its proposed acquisition of Shenyu New Energy Group Limited.

The supplemental agreement mainly increases the cash to be paid by China Grand Forestry as part of the total consideration from $400 million to $1.2 billion, and reduces the size of the convertible notes as part of the total consideration from $3.6 billion to $2.8 billion, so that the total consideration will be settled as to 30% with cash and 70% with convertible notes. The convertible notes are convertible into shares at $2.5 per share. China Grand Forestry will settle the payments in four instalments by 30 September 2011.

China Grand Forestry has applied to the Stock Exchange fore resuming trading in its shares starting from this morning.

The latest supplemental agreement is entered into after executing further due diligence exercise and reviewing the preliminary valuation reports from Pöyry Forestry Industry Ltd. and LCH (Asia-Pacific) Surveyors Limited, China Grand Forestry says

eine unternehmensspezifische Erklärung habe ich auch nicht.
Ich denke es liegt vielleicht an der besch.. Marktsituation und an dem generellen Abwärtstrend in allen Märkten. BNesonders China und Indien sind besonders gebeutelt.
Für mein Investment hier gilt:abwarten und Tee trinken, es kommen auch wieder bessere Zeiten.

(Infocast News) China Grand Forestry Green Resources (00910) (Ch Grand Forest) announces that the circular in relation to its proposed acquisition of equity interest in Yunnan Shenyu New Energy has been despatched to shareholders. The company clarifies that the vendor and it are not entirely unrelated, as the two groups used to enter into agreements in relation to acquisition of leasehold and interest in a forest land and a lease co-operative rental arrangement.

In 2007, Ch Grand Forest and Yunnan Shenyu New Energy entered into two agreements pursuant to which Yunnan Shenyu New Energy transferred two forest lands of a total area of 476,895.3 mu with a total consideration of RMB228.533 million. Also in 2007, Ch Grand Forest entered into a lease co-operative rental arrangement with Yunnan Shenyu New Energy in which Ch Grand Forest gives the land use right for the area of approximately 116,000 mu with an annual payment of RMB10 per mu to Yunnan Shenyu New Energy. The co-operative rental arrangement will expire on 30 June 2056. The commencement date of annual lease payment will be started when the planted Jatropha has generated stable production which is estimated to be three years.

Shenyu New Energy Group focuses on research and development of Jatropha Curcas L based biological energy sources, such as bio-diesel.

inkl. evalutaion of forest ca 51 c pro Aktie, ohne forest valuation ca 12 cent p.Aktie.

warum beklagt Ihr euch eigentlich, dass die eigene Aktien zurückkaufen? Ist doch ein gutes Zeichen dafür, dass man den Wert der Aktie für deutlich höher hält als den Kurs.

Das Rückkaufprogramm wurde bei der letzten HV beschlossen, und angekündigt, ist also insofern keine Überraschung.
Und was macht CGF mit den Aktien ? entweder sie werden als"Währung"für weitere Akquisitionen verwendet(und verwässern die eps dann nicht), oder aus dem Aktienregister gestrichen, und erhöhen somit den Wert der Erträge/Assets pro Aktie(weil es eben dann weniger davon gibt).

Fazit: mich beruhigt die Aktion, und ich liege im Übrigen auch nicht gerade "vorne" mit meinen Stücken.

mich beunruhigt die Rückkaufaktion nicht, allerdings würde ich schon gerne wissen, ob irgendwelche Akquisitionen in der Pipeline
sind oder welche Investitionen heraus eventuell anstehen.

Ist hier bekannt, welche Fonds bei CGF noch investiert sind? Der Atlantis China Fortune ist/war dabei, von weiteren ist mir nichts bekannt.

in der Meldung steht übrigens auch drin, dass die rückgekauften Aktien gelöscht werden.

die nächsten Ergebnisse sollte es übrigens Anfeng Dezember geben, vielleicht wird dann ja die operative Ertragsraft von CGF, ohne die Sonderbewertungen, besser sichtbar. Im letzten Jahr waren das wohl so um die 0,1 HKD, wenn das so bleibt, wäre ich schon zufrieden

interessehalber habe ich gerade den letzten Quartalsbericht von sino forest gelesen. Da geht man von weiter steigenden Peisen im chin. Holzmarkt von 5-10% p.a aus, und einem weiterhin hohen Nachfrageüberhang nach Holzprodukten in China. Das sollte dann auch für CGF gelten, also gute Aussichten !

(Infocast News) China Grand Forestry Green Resources (00910) said that its unaudited profit for the six months ended September 30 may decrease substantially as compared with a year ago.

The company said its earnings were hurt as gain arising from changes in fair value less estimated point-of-sale costs of biological assets will be substantially decreased. Unit selling price of processed timber products at the external market was lower.

As well, additional expenses of debris removal and rebuilding of paths of forest farms within the affected area after the snow-storm disaster of approximately $34 million.

Moreover, given the continued slump in the financial markets, net unrealized losses on the company's investment in equity securities listed in Hong Kong at fair value through profit or loss was estimated to be approximately $35 million.

The company is of the view that the financial position of the company is solid with a net cash position and that it is well placed to meet the challenges ahead. During the six-month period and as at the end of September, the group has no exposure in any equity accumulators and currency accumulators

The company will place as many as 1.11 billion shares at $0.265 apiece through Kinston Securities on a best effort basis, China Grand Forestry Green Resources said in a statement.

The shares represent 16.86% of the enlarged issued share capital of the company. The placing price represents a discount of 15.87% to the closing price of $0.315 apiece yesterday.

The net proceeds from the placing of about $286.7 million will be used for general working capital.

hält sich aber sehr gut nach dem Anstieg.
M.E. auch mit Nachholbedarf, ein großer Teil der schlechten letzten Ergebnisse kam ja auch der Abwertung der Waldbestände, wenn ich mich recht erinnere.
Operatives Geschäft vor der Krise hatte ca. 0,1 HKD pro Aktie abgeworfen.
Die nächsten Ergebnisse sollten dann m.E. wieder positiv werden, wenn auch nicht in vorherigen Höhen.
Andere Holzweerte sind schon deutlich mehr gelaufen.

The net proceeds of $333.5 million will be used as general working capital, the company said in a statement.

The placing price per share represents 17.46% discount over yesterday's closing price of $0.315. The placing shares represent 16.64% of the company's enlarged issued share capital. The placing agent, Kingston Securities, is a connected person of the company.

ich stimme dir zu, saumäßig.

Auch der text im HJB ist nicht aufschlußreich.
aber ein Umsatzeinbruch von 99 % kann auch irgendwie nicht angehen, das sieht eher so aus, als wenn man kein Holz mehr zu diesen Preisen verkaufen wollte, und sich mehr auf die Entwicklung des noch kleinen biomass-Geschäftes konzentriert.

Zumindest ist die Verschuldung von CGF minimal durch die Ausgabe neuer Aktien, und offensichtlich war man so schlau, den Preis der 2007/08 erworbenen Shenyu New Energy an Garantieerträge zu binden, so dass man nun billiger an die Gesellschaft kommt.

Wie dem auch sei, verkaufen kann man bei dem Kurs wohl nicht mehr, und so lange bis einmal wieder good news kommen, kann man auch nicht kaufen.

Naja, also unterstützen wir also den Klimaschutz auf diese Weise.

die Meldung ist am freitag nach Börsenschluß auch schon raus.

CGF hat die mit dem Erwerb von Shenyu Energy (oder so ähnlich) erworbenen Waldbestände an den Verkäufer zurückverkauft, und dafür die naopch ausstehenden Schulden beglichen. eigentlich gar nicht so blöd der Deal, wenn ich das richtig gelesen habe (ist ziemlich kompliziert geschrieben).

also hört sich eher posuitiv an, mal sehen ob der Kurs das Morgen genauso sieht :-)

Upon completion of the disposal, the outstanding purchase consideration payable amounting to approximately $2.37 billion, which was approximately 75.5% total liabilities as at 30 September 2009, would be fully settled, China Grand Forestry Green Resources said in a statement. Early settlement with Forcemade enables the company to remove uncertainty of potential litigation, it added.

Trading in the stock will be resumed this morning.

Kingston has been appointed as the financial adviser to advise the company in respect of the disposal. A fee of $400,000 will be payable in cash by the company to the financial adviser

schön, dass ich nicht alleine bin in diesem Wert.

die letzten Zahlen waren nicht aussagekräftig für die Zukunft.
mit der Asset-Transaktion hat man glaube ich einen guten Schritt getan um die eigfene Verschuldung zu begrenzen, und wenn jetzt keine Abschreibungen auf den Waldbestand mehr kommen,müßte es im nächsten Ergebnis eigentlich wieder positiv werden.
aber ohne newsflow wird in der Aktie auch nichts passieren. Bei dem Preis aber m.E. bis dahin auch nicht, m.E. sind wir unten.

der Verlust war zwar überwiegend "non-cash", also die Abwertung der Forstbestände, aber der Bericht liest sich durchgängig schlecht:

Fast überhaupt kein Umsatz mehr bei gleichzeitig gestiegenen Lagerkosten, klimabedingt größere Ausfälle bei den Neupflanzungen, und irgendwie kein konkreter Hinweis wann und in welchem Umfang wieder Holzverkauf stattfinden kann, oder das geschäft mit Biomasse Erträge abwerfen soll.
Da frage ich mich, wie man vor kurzem noch erfolgreich neue Aktien platzieren konnte.

Das einzig Gute ist, dass CGF keine Schulden bedienen muß.

Zu niedrig zum verkaufen, aber wohl auch viel zu früh zum kaufen.

stimmt, der Kurs reagiert positiv.

Mit Green Energy hat das wohl nicht mehr viel zu tun, aber die Aussicht auf regelmäßige Erträge haucht der Aktie wieder Leben ein.
Aus der Meldung konnte ich jedoch nicht entnehmen, ob es sich nur um Explorationslizenzen und Grund handelt (dafür ganz schön teuer), oder ob direkt und ertragswirksam produziert werden kann.

CH GRAND FOREST (00910) agreed to acquire, at a total consideration of HK$3.14 billion, Fujian Sinco, owning Sandi Home Plaza, a furniture shopping mall in Taijiang District, Fuzhou, Fujian Province, from Mr. Guo Jiadi and GOOD FELLOW RES (00109).

On resumption, CH GRAND FOREST once hit the low HKD0.089 and was last at $0.096, down 33%, on volume rising to 34.61 mln shares. GOOD FELLOW RES once hit the low $0.325, the fresh low in 28 months and was last at $0.335, down 28%, on volume rising to 3.15 mln shares. (r)
