      Hab kurz vor Ostern verkauft nach Kursverdreifachung und etwas (verständlicher) Kursschwäche im Vergleich zu anderen Minenwerten. Hab in Silberaktien getauscht.

      Die Südafrikaner schwächeln jetzt auch etwas. Was super gelaufen ist, tut sich halt irgendwann etwas schwer. Dann kommen die Nachzügler dran.

      weil der Markt diesen..
      ..Ausgang antizipiert hat:
      http://finance.yahoo.com/news/detour-gold-announces-2016-ope…

      Operative Kosten liegen etwas ueber 700 Dollar.

      2017 AISC are expected to range from $1,025 to $1,125 per ounce sold, with total cash
      costs from $690 to $750 per ounce sold.
      Due to the variability of gold production and the timing of capital expenditures, the Company expects that the first quarter actual all-in sustaining costs will be significantly above
      the yearly guidance.

      Siehe auch Kapitel 1.13 Economic Analysis

      Unit Yearly Average per Period Total
      2016-18
      Gold Production k oz 617
      Operating Costs $M 529
      Capital Costs $M 105

      Damals schaetzte man operating costs von $529 Mill /617 k oz = $857 / oz. Da liegt nun man deutlich drunter.

      Die Kapitalkosten sind wegen der Erweiterung der Flotte aber derzeit hoeher, so dass insgesamt die Kosten etwa so hoch sind, wie damals geschaetzt. Aber mit dem Potential die Daten im Report in Zukunft zu uebertreffen, wenn die Capital Costs reduziert werden koennen.

      Detour Gold Arranges US$500 Million Bank Debt Facility
      Mal ne kleine Business as usual-Meldung bevor dem Thread hier die Füsse einschlafen:

      aus: http://www.detourgold.com/investors-centre/News-Releases/new…

      =>
      The Bank Facility includes two financial covenants:
      (i) a Net Debt to EBITDA ("Leverage Ratio") covenant and
      (ii) an Interest Coverage covenant.
      The interest rate for drawn borrowings is based on the Leverage Ratio and ranges from Libor + 2.125% to 3.125%. Based on the Company's most recent Net Debt to EBITDA ratio, the Company would be paying interest at the lower end of the range.

      Das Einzige was mir auffällt ist, dass nun auch ein bisheriges CAD-Darlehen in das neue USD-Darlehen getauscht wird. Somit müssten nun alle (Gross-)Darlehen in USD zu bedienen sein.

      Also doof sind die Banken auch nicht. Ein Schnäppchen-Kredit scheint das nicht zu sein.

      DGC erfordert Geduld
      Ansonsten bislang, 2017, wieder eine echte Low Grade-Lusche - noch schlechter als New Gold, und das will was heissen (2Y, 1Y, 6m).

      Aber: die Aktie ist nun saubillig:
      - Piotroski F-Score: 8
      - notiert knapp über Graham Number
      - EV-to-EBITDA: 10.02
      - Price-to-Tangible-Book: 1.01 oder 0.999 wie hier: https://web.tmxmoney.com/quote.php?qm_symbol=DGC
      - ...
      https://www.gurufocus.com/stock/DRGDF

      Ein Grund: kein (richtiger) Handel in den U.S.A. Das spielt mMn eine grosse Rolle.

      Aber auch generell scheint dieser eher grosse Wert (MC = CAD2.42b, EV = CAD2.98b --> Schulden!) völlig aus dem Blickwinkel verschwunden zu sein:

      => oft sind das gute Momente zum stillen Einsammeln.

      aus: http://quotes.wsj.com/CA/DGC/research-ratings

      ...und ein Goodie noch:
      4) Barrick to buy Detour Gold. This year's traditional left-field M&A call. At some point ABX will be too pissed about NEM holding the number one spot not to expand, plus it'll be in a rising gold price environment.

      Detour Gold Achieves Production and Cost Guidance for 2017 and Provides 2018 Guidance
      http://www.detourgold.com/investors/news/press-release-detai…

      =>
      2017 Highlights
      * Annual gold production of 571,463 ounces; fourth quarter gold production of 150,046 ounces
      * Annual average mill throughput of 58,508 tpd and mining rate of 274,000 tpd; fourth quarter average mill throughput of 54,144 tpd and mining rate of 294,000 tpd
      * AISC estimated at $1,065 per ounce sold for the full year; fourth quarter estimated AISC of $990 per ounce sold
      * Convertible notes repaid in November 2017
      * Total debt repayments of $88 million for the year
      * Year-end cash and cash equivalents of approximately $134 million

      alte Guidance: 2016-01: ca. 617k oz. -> 2017-01: 550..600k @ AISC USD1025..1125 => man lag im Plan.

      2018 Guidance:
      * Gold production (oz) -- 600,000-650,000
      * Total cash costs ($/oz sold) -- $670-$730
      * All-in sustaining costs ($/oz sold) -- $1,050-$1,150

      => die AISC-Range ist damit nun leicht erhöht ggü. der 2017-Guidance.

      => ich erwarte mir (auch daher) keine Überraschungen, egal in welche Richtung, für 2018.

      Detour Gold Reports 2017 Year-end Mineral Reserves and Resources
      https://www.detourgold.com/investors/news/press-release-deta…

      =>
      2017 Year-end Mineral Reserves
      Mineral reserves at December 31, 2017 were 15.8 million ounces of gold.

      The decrease from year-end 2016 is attributable to mining depletion at the Detour Lake pit. There was no change to the gold price assumption of $1,000 per ounce at an exchange rate of 1.00US: 1.10CDN for estimating mineral reserves.

      In 2017, there was no infill drilling targeting mineral reserves within the Detour Lake pit and West Detour project. Based on the expected throughput rates projected in the March 2017 LOM plan, the remaining mineral reserve life of the Detour Lake mine is approximately 22 years as of December 31, 2017 .

      Measured and indicated resources of 3.9 million ounces and inferred resources of 1.2 million ounces were essentially unchanged from year-end 2016. There was no change to the gold price assumption of $1,200 per ounce at an exchange rate of 1.00US: 1.10CDN for estimating mineral resources.

      https://www.detourgold.com/investors/news/press-release-deta…

      =>
      ..Despite achieving the primary objective of this assessment, the benefits are diminished as a result of two factors:

      * During the review of the cost model from the 2017 LOM plan, management determined that some of the operating cost and capital expenditure assumptions needed to be increased and the quantum of anticipated operating and maintenance improvements needed to be slightly reduced.

      These changes reflect new insights derived from recent operational experience, some ongoing relevant benchmark comparisons and the Company not achieving its unit cost objectives for 2017; and

      * As one of the Company's Aboriginal communities has not yet expressed its support of the Environmental Study Report filed in January 2017 for the West Detour project, management has now determined that greater permitting flexibility is appropriate and has therefore rescheduled the North pit development and any impact on Walter Lake to 2026. This delay is resulting in the deferral of approximately 150,000 ounces to beyond the 2019-23 period. The development of the West Detour pit remains in 2025.

      => wobei das ja auch irgendwie komisch ist, wenn nun morgen ein neuer, vorerst fixer LOM-Plan präsentiert wird, so wie vom COO Frazer Bourchier und Co. seit Januar entworfen -- und den finalen CEO erst irgendwann hinterher :confused:

      => der neue (finale) CEO wird ja auch noch -- hoffentlich -- ein paar gute Ideen haben (wollen).

      => auf alle Fälle: der Chart sieht nach längerer Zeit mal nicht so verkehrt aus:

      Ich sehe keinen großen Player der so blöd sein kann um sich diesen Klotz ans Bein zu binden, vlt . mit einem Share-Deal, aber eine Cash-Übernahme halte ich für ausgeschlossen.

      Geographisch würde es ja evlt. zu AEM oder GG passen, wobei von der Kostenstruktur wiederrum eher nicht. Vlt. kommt es zu einem Anteilsverkauf an der Mine (zb. 50/50)...oder es passiert gar nichts

      Paulson & Co. Provides Update on Detour Gold Corporation --> approached by a major gold mining company
      https://globenewswire.com/news-release/2018/07/18/1539123/0/…

      NEW YORK, July 18, 2018 (GLOBE NEWSWIRE) -- Paulson & Co. Inc. ("Paulson"), one of the largest institutional investors in Detour Gold Corporation (TSX : DGC) ("Detour Gold" or the "Company"), announced today that it will move forward with its efforts to replace a majority of the Detour Gold Board of Directors with new highly qualified, independent nominees committed to exploring all strategic alternatives including a potential sale of the Company.

      Last Friday Michael Kenyon, Interim CEO of Detour Gold, sent an unsolicited written communication to Paulson selectively disclosing non-public information that the Company has been approached by a major gold mining company interested in potentially acquiring it.

      As part of the communication, Detour Gold stated it would only sign a confidentiality agreement with the interested party only if both the party and Paulson agreed to a stand-still, even though Paulson has no affiliation with the major mining company.

      In light of such approach, Paulson requested that the Company’s board immediately disclose such material to all shareholders and the investing public and announce a formal process to evaluate all strategic opportunities. In addition, Paulson & Co. has constructively asked the independent directors of the board to reconstitute the board and to announce a search process for a new CEO simultaneous with a review of strategic alternatives.

      To date, the Detour Gold board has failed to do so, therefore Paulson is issuing this press release so that all Company shareholders and the wider public have the same information as Paulson.

      Detour Gold Alerts Market to Potential Securities Violation by Paulson and Co.; Addresses Highly Misleading Paulson Press Release
      https://www.detourgold.com/investors/news/press-release-deta…

      =>
      TORONTO, July 18, 2018 /CNW/ - Earlier this morning, Detour Gold Corporation (TSX: DGC) ("Detour Gold" or the "Company") notified the Ontario Securities Commission (the "OSC") of concerning and unlawful behavior undertaken by Paulson and Co. ("Paulson") and has asked the OSC to investigate. This action took place prior to Paulson's ill-timed press release this afternoon.

      Paulson, in a desperate attempt to resuscitate its flailing reputation in the mining industry, has once again misinformed the investment community. This is not the first time, unfortunately, that Paulson has done so. Over the past several weeks, Paulson has run an aggressive and self-serving agitation campaign against Detour Gold with the sole objective of bullying the Company into an ill-timed fire sale.

      The Company does not have a sale process in place nor has it received any offers to purchase its shares and remains focused on the life of mine plan, while remaining open (as it has been historically) to value accelerating opportunities.

      Earlier this morning, Detour Gold made a complaint to the OSC about Paulson's continued misleading statements. The Company believes Paulson's actions constitute serious misconduct under securities laws.

      Statements made by Paulson in its press release are simply false and mislead the market. It is in fact Paulson's own actions that led them to come into possession of material non-public information from another party. These actions are part of Detour Gold's complaint to the OSC.

      The Board maintains a skills matrix of the expertise required by Detour Gold, against which it measures the composition of the Board on an ongoing basis.

      In early 2018, the Corporate Governance and Nominating Committee concluded that the composition of the Board would be enhanced with the addition of members possessing operational expertise in large-scale open pit mining and experience in corporate social responsibility, including First Nations engagement.

      The Board agreed with this recommendation and a search for such candidates commenced in the spring. As the result of these efforts, we anticipate announcing two new directors to replace existing board members in the near term....

      Detour Gold Statement Regarding Activist Requisition; Warns Push for Fire Sale Would Shortchange Shareholders
      https://www.detourgold.com/investors/news/press-release-deta…
      =>
      ...Detour Gold Corporation (TSX: DGC) ("Detour Gold" or the "Company") confirms it has received a requisition from Paulson & Co. Inc. ("Paulson") requesting a special meeting of Detour Gold shareholders to consider several proposed resolutions. The Board of Directors' (the "Board") Special Committee will review the requisition and respond in due course.

      Shareholders are not required to take any action at this time. Shareholders should however be aware of the consequences of handing control of their Company to an activist or even adding any Paulson nominees to their Board.

      "Detour Gold's focus is on the implementation of its life of mine plan ("LOM Plan"), not a fire sale. Blindly following an agenda to sell the Company now ignores the clear and present opportunities available through the disciplined execution of this plan. Diverting from the LOM Plan now, with no current superior alternatives, will leave a tremendous amount of value unrealized," said Alex Morrison, Chairman.

      "Shareholders should be very concerned about Paulson's inexperienced handpicked nominees being elected to the Board, as a sale at this time will result in a substantial amount of value being left on the table. This is a clear choice between a Board that is committed to the methodical execution of its LOM Plan to deliver long-term value to all shareholders, over an activist who we believe will initiate an ill-timed fire sale of the Company to benefit himself alone."

      Detour Gold Releases Reasonable Settlement Offer to Paulson & Co. --> zum Verkauf am Ende??

      =>
      ...
      • Reasonable offer reflects feedback from shareholders
      • Offer would result in almost half of the Board being refreshed in six weeks
      • Notwithstanding Marcelo Kim's initial rejection of the offer, the Board will continue to be open to dialogue and will leave the offer open

      TORONTO, Oct. 12, 2018 /CNW/ - Detour Gold Corporation (TSX: DGC) ("Detour Gold" or the "Company") responds to numerous shareholders who have encouraged a constructive dialogue and negotiated settlement with Paulson & Co. ("Paulson"), Chairman Alex Morrison has released the details of Detour Gold's latest offer of settlement of October 9th, that was rejected this morning by Marcelo Kim of Paulson.

      This settlement offer reflects the Board of Director's (the "Board's") ongoing openness to change and willingness to reach a reasonable compromise that reflects the desires and interests of our shareholders. Detour Gold reminds shareholders that it has already made significant changes to its Board with the addition of three new nominees and the resignation of two long-serving directors. Detour Gold understands from its significant shareholders that while some further change may be welcomed it is not nearly to the extent pursued by Marcelo Kim.

      Without wholesale Board change, Marcelo Kim continues to demand his presence on the Board. These demands are completely out of line with the feedback received from shareholders.

      As fiduciaries of the Company and representatives of both shareholders and corporate interests the Board cannot possibly accept such a proposal....

      => bewegt die Aktie nicht --> fällt mit dem Markt

      __
      ...the principal terms of the settlement offer are as follows:

      --- New Nominees: In addition to the three new directors appointed in August (one of whom, Jim Gowans, was approached to be on the Paulson slate), one additional nominee of Paulson appointed immediately to the Board. Based on ability to positively contribute, we expressed a preference for either Chris Robison or Dawn Whittaker from the Paulson slate but remained open to meeting additional candidates. Marcelo Kim was not included in those preferred as Detour Gold does not believe his candidacy has the support of the Company's shareholders.

      --- Removal of Legacy Directors: As part of the Company's continuous Board renewal efforts, in addition to the two legacy directors who were removed in August, one additional legacy director to leave the Board for a total of three legacy directors leaving the company. Pro forma for these changes to the Board, four of nine or 44% of Detour directors will have turned over in the past six weeks.

      --- Nominee Appointed to Committees: Placement of the additional Paulson nominee on the Corporate Governance & Nominating Committee and the Special Committee.

      --- New CEO: Michael Kenyon will step down as interim CEO by no later than the upcoming Annual General Meeting and the new Paulson nominee can begin work immediately with the Corporate Governance & Nominating Committee on an open global search for a new CEO.

      --- Sale of Detour Gold: While Detour Gold disagrees with Marcelo Kim and Paulson on their central thesis --the sale of the company now-- the Paulson nominee would immediately work with Detour Gold's advisors and the special committee to understand the work that has been done in this area and the current state of play in this challenged mining M&A environment.

      --- Paulson Presentation to the Board: Access by Paulson directly to the Board for presentations during a standstill period on any ideas for change they may have.

      --- Civil Claim: Detour Gold would drop its tipping and market manipulation civil claim against Paulson.

      --- Non Disparagement and Standstill: Paulson and Detour Gold would enter into an 18 month standstill and mutual non disparagement.

      .....

      Non Disparagement = keine Verunglimpfung

      ...Paulson & Co. has convinced shareholders of Detour Gold Corp. to overthrow the bulk of the Canadian miner’s board of directors, ending a nasty six-month proxy battle.

      Five of the Paulson-backed nominees were chosen to the nine-person board, according to two people familiar with the final voting tally at a special shareholders’ meeting in Toronto Thursday. Interim Chief Executive Officer Michael Kenyon and Chairman Alex Morrison were not re-elected to the board.

      Control of the board sets Paulson up to push for further changes in a company the hedge fund has said is grossly mismanaged.

      The result provided some vindication for activist investor John Paulson, who personally lobbied investors in the final weeks of the battle, telling them Detour’s board “makes shareholders the laughingstock of the investment community."...

      Damit hat Paulson erreicht was er wollte. Ich finde im übrigen auch das das Detour Management bis Dato keine gute Figur gemacht hat. Nun kann ich leider nicht einschätzen, wie fähig die von Paulson eingesetzten Manager sind um die Mine richtig ins laufen zu bringen.

      Was war an dem Gerücht dran, dass Barrick Gold angeblich in Gesprächen mit Detour stand, zwecks Übernahme/Merger. Derzeit kann ich mir dieses Szenario durch nicht mehr vorstellen (Wg. Barrick- RANDGOLD Merger).

      Ob sich Agnico Eagle, Newmont oder Goldcorp das antun wollen, vermag ich nicht einzuschätzen, alternativ dazu könne Detour auch versuchen selbst den Turn-around zu schaffen.

      Mr. McMullen has over 25 years of international experience in the mining industry with an accomplished background in all aspects of the mining business, including exploration, permitting, mine development, financing, operations, product sales, and asset acquisition and divestments as well as the debt and equity markets. He has managed multiple operations (open pit and underground mines) across multiple jurisdictions. His experience covers a range of commodities, including copper, gold, iron ore and PGMs.

      Interim Chair of the Board of Detour Gold, Dawn Whittaker, commented, "We are delighted to welcome Mick to the CEO role. We will greatly benefit from his wealth of experience and his proven track record of building and leading successful teams, employing strict capital discipline, and delivering outstanding returns to investors. Mr. McMullen stated, "I am excited to be joining the Company and look forward to working with the team to continue to build a leading mid-tier gold producer with a strong safety culture and cost performance. The Company has a unique asset with a long mine life in a low-risk jurisdiction that has the potential to deliver significant value to shareholders. I look forward to engaging with the Company's stakeholders to provide our vision for the way forward for the Company."

The deadline for receipt of proxies for the Special Meeting is 10:00 AM (Toronto time) on January 24, 2020. Board Recommendation to vote FOR the Arrangement

      The Detour Gold Board of Directors, following the recommendation of a special committee of independent directors, unanimously recommends that shareholders vote FOR the Arrangement.

      Benefits to Detour Gold Shareholders

      In recommending the vote in favour of the Arrangement, the Detour Gold Board of Directors considered for the following reasons, among others:

      • The Arrangement is a compelling opportunity for shareholders to participate in the creation of a diversified, low-cost and growth-oriented senior gold producer with enhanced financial flexibility.

      • Combining Detour Gold and Kirkland Lake Gold, both well recognized and respected gold mining companies, is anticipated to result in the creation of a larger, more diversified company with a portfolio of high-quality assets that includes six mines, all located in prolific and low risk mining jurisdictions with a record of political, social and economic stability.

      • The expected increase in market capitalization of the combined company, together with a robust, low cost production profile, district-scale exploration potential, and highly experienced management team supports a strong potential for creating long-term value for shareholders as a consequence of the Arrangement.

      • Shareholders will be provided with an opportunity to participate in the future upside of the combined company.
