MSTF, they recently added a new member to their board of directors named William Comte. He is the CEO of another company called Accent Care Inc according to a recent 8k filed by MSTF. Accent Care Inc appears to be in the same business as MSTF. Why would William Comte join MSTF's board of directors if he is already ceo of a company in a similar field? Wonder if something is going on between MSTF and Accent Care Inc.....

Mr. Comte, age 54, is the chairman, chief executive officer and president (since 2002) of AccentCare, Inc., a home healthcare company. Prior to AccentCare, Mr. Comte served as chief executive officer of several for-profit and not-for-profit healthcare systems. He also has experience in the workers' compensation area, where he was chief operating officer of Concentra. Prior to that, he founded and was chief executive officer and president of Premier Practice Management, a physician practice management company. Mr. Comte received a Masters of Business Administration degree from the University of Miami, Florida, a Bachelors of Science degree in Business from Villanova University, and is a graduate of the Duke Endowment program in Hospital Administration.


As a member of our Board of Directors, Mr. Comte will receive cash compensation of $2,500 per quarter. In addition, we have granted to Mr. Comte an option to purchase 100,000 shares of our common stock at exercise prices equal to $0.0055 per share. The option vested 20% upon grant and thereafter 10% for eight quarters with full vesting upon a change in control

Warrants to purchase 5,556 shares of our Common Stock may be exercised at a price of $40.50 per share, warrants to purchase 143,056 shares of our Common Stock may be exercised at a price of $9.00 per share, and warrants to purchase 166,667 shares of our Common Stock may be exercised at $4.50 per share. As of October 31, 2007, the market price for one share of our Common Stock was $0.0025. Therefore, the secured convertible notes and Series A Preferred Stock may be converted into Common Stock at a discount to the market price, providing holders with the ability to sell their Common Stock at or below market and still make a profit. In the event of such overhang, holders will have an incentive to sell their Common Stock as quickly as possible. If the share volume of the Company's Common Stock cannot absorb the discounted shares, the market price per share of our Common Stock will likely decrease.

IMO grouse, we're going to be fine for some time to come. Speculation is rampant about Nite getting these shares. They didn't buy them to sell them for a .001-2 gain, IMO anyway.

I don't see why they would put themselves under the light of the SEC over this subbie stock unless something big was in the works.

I know there is talk by peitro of convertibles and he's all nervous, but i think he's failed to consider one thing. That form 13 is for 3.7 million shares of MSTF totalling 12.3% of the float. If that filing was for 300,000,000 shares we'd have reason to go "oh crap" but it wasn't for 300M, it was for 3.7M.

Are they going to sell that for a double???? They get 15 grand profit maybe. Then some pissed off penny trader files a complaint becuase he's taken a loss and accuses Nite of manipulation by creating excitement by purchasing and filing that form to stir interest. So the SEC fines them for this for something like 50K to make the trader happy. ????? I think an acquisition is coming and someone found out and some manager at Nite is counting on making one hell of a bonus by selling those for substantially higher prices.

Ja auf jeden fall.beobachte mstf schon ne ganze weile.eddson hatte mich mal vor langer zeit noch bevor du den thread auufgemacht hast draufgestossen.

hab das teil dann intensviv beobachtet.ist ne tolle trading aktie.die ist paarmal immer von 0,002-0,005 hin und her gependelt.und dann bin ich mal rein.ist zwar dann noch tiefer gefallen aber hat sich ja wieder gut aufrappeln können.naja freitag bin ich dann mit gewinn raus.aber nicht optimal erwischt, aber was solls.

trots des hohen freitagsvolumens konnte ich meine teile nur durch teilausführugnen verkaufen.

auf jeden fall möcht ich wieder rein.schon allein wegen der aussicht des reverse mergers.

Ich vermute auch mal,das in den letzten Wochen seit dem letzten 10QSB Shares auf den Markt geschüttet wurden. Meine Vermutung teilt sich mit deiner, so ca 70 bis 100 Millionen. Frage ist nur,warum KEM (NITE) dann nich gleich mehr Shares gekauft hat und im Filing 12% vom damaligen OS angegeben wurden....

Die Agenten sind überall und vielleicht auch nicht mehr.


Typischer Ansturm-Retrace von nur ca. 50%, was positiv zu deuten ist.
Sollte sich die kommenen Tage für einen neuen News-Run bei .002 -.0022 stabilisieren. Aber auch ein eigenständiger weiterer Run ist hier gut möglich.
Tagsüber ist ein tieferer Kurs als .002 durchaus denkbar, aber nicht gefährlich.
Aufgrund des starken Auftaktes wäre bei einem weiteren RUN das Ziel: .0057 - .0068
Da Pinky kann es auch etwas darunter liegen, aber auch darüber.


Phantasie steckt hier mächtig drin, bezüglich des möglichen Merger-Unternehmens mit einem Umsatz von 122 Millionen Dollar.
Das wäre: Uuuuultraaaaaa.


Vor allem aber ist aktuell der Kauf von NITE verdammt interessant.
Die Begründung dürften wir in den kommenden Tagen spätestens Wochen sehen.

Pham resigns, Nite files a 13G for 12.3% ownership of common stock for a 3rd party.

Very interesting, definately looks like a merger/takeover/buyout type of setup imo

Nite has a 12.3% interest in the common according to the 13G, the CEO just resigns. This smacks of a merger or something.



NITE ( KEM) hat 13% vom aktuellen O/S gekauft in Form eines 13G Filings. Der letzte CEO ist ausgeschieden oder gegangen worden. Alles deutet entweder auf einen Buyout oder einen Merger seitens AccentCare hin. Dies ist allerdings Spekulation.

Good read on reverse mergers:
A "Reverse Merger" is a method by which a private company can go public by merging with a public company. In a reverse merger a private company merges with a public company that usually has no assets or liabilities. The public company in most reverse merger scenarios is usually referred to as a "trading shell company".

After the reverse merger the private company would retain most of the public companies shares and would be trading under the name of the private company prior to the merger. The board members of the trading shell company would resign and the private company would appoint their own board of directors.

2 weeks and counting since our CEO left. If they planned on replacing him I would think they would have found one by now. Also our Board members would have stayed until they could find a replacement for our CEO. All good signs in my mind that someone else will be buying or RMing with MSTF. imo. Now just need to be patient and let the process work itself out.

Meine Strategie ist folgende:

....pham just resigned and is holding over 800k in stock options with exercise prices 25 cents and higher. he is the ex-CEO and is directly involved in this deal whatever it will be. IMO he will keep dillution to a minimum b/c all dillution hurts the value of his stock options......even with 60m o/s, MSTF is worth .25 per share to accentcare IMHO.

I keep thinking about what we see as conversion going on with the 1,514,094 share trades popping up now and then and I think they have something to do with this.

The secured convertible notes contain a provision whereby no note holder is able to convert any part of the notes into shares of the Company's Common Stock, if such conversion would result in beneficial ownership by the note holder and its affiliates of more than 4.99% of the Company's then outstanding shares of Common Stock.

If you look at the O/S share total of 30,287,935 X .04999 you get 1,514,094. I don't think that is coincedence?

kleines update von mir


zu beobachten ist,das regelmäßig umwandlungen in höhe von 1,5 bzw 3,3 millionen wöchentlich,ja fasst täglich durchgehen (convertabale shares) im board der direktoren gibts noch keine neuen veränderungen,einen neuen CEO gibts auch nich....MSTF ist Pink.....alles läuft auf einen Merger hinaus.....timeline unsicher,ich vermute im frühsommer bzw sommer.....

4th Question: DCIs contract expires with the CDCR on the 30th of June. Is the contract going to be renewed?

Answer: Contracts with the CDCR are looked at every 3 years. Everyone with a contract with the CDCR is relooked at. You can contact the CDCR for further info.

He reiterrated several times during the conversation that we would just have to read the past filings as they are no longer an SEC filing Co. When I asked if it was because of the expense, he said he couldn't comment to me on that or anything else that he could not or has not disclosed to the public/shareholders.

This is my opinion ONLY. Mr Szot was not himself today. Seemed a bit nervous of sorts. But I have only spoken to the man 3 times. So WDIK?

Re: MSTF - I spoke to him late last week, and he told me the company has been through some tough financial condition, but this will end soon. He admitted there has been some dilution, but this will also stop very soon. He was talking about strenghtening the business, and making it profitable. He said "absolutelly no R/S." He seemed sincere, but did not elaborate on any of the above. He asked me to follow the news to come, and indirectly suggested I'm going to like them.
Based on the above, I finished loading up my boat today.

sehe ich auch so, habe immer wieder mal gezweifelt, ob es die richtige entscheidung ist, die aktien zu halten, aber es hat alles zu gut zusammen gepasst. die firma existiert ja und erzielt umsätze, im gegensatz zu vielen anderen pinksheets. mal schauen was die nächsten wochen bringen, habe heute nachgekauft und bin momentan sehr optimistisch.

hmmm,ich glaub da muss ich dich ein Müh berichtigen meffi weiß ja nich wie lang du schon investiert bist und das Prozedere von Anfang an mitbekommen hast,aber MSTF war bis Frühjahr an der OTC.BB gelistet und mit Umsätzen von etwas über 7Millionen in den Büchern. Mittlerweile sind sie an den Pinksheets und sämtliche Leute verließen das "Schiff", was MSTF zu einem wahren Pinkyscam machte bzw. den Anschein erweckt bzw erwecken soll. Das die Firma existiert geb ich dir Recht, siehe meine letzten Zeilen,aber es werden seither keine Quartalsberichte und Jahresberichte seitens des Unternehmens mehr herausgegeben, was auch auf eine frühere Anfrage seitens eine Users vom Unternehmen bestätigt wurde! MSTF verfügt also momentan über kein operatives Geschäft! MSTF ist ein SHELL!!

hi, nein, ich glaube das stimmt nicht. es ist keine shell, da die noch umsatz machen. die haben eine homepage und beschäftigen leute. der einzige unterschied zu zu beginn des jahres, die sind nicht mehr verpflichtet ihre zahlen offen zu legen, seitdem die pink sind. in diesem sinne. happy trading. ja und glcc war ein ziemlicher mist und ich glaube auch, dass da nichts mehr rauskommt.
