      Beobachte den Wert nun seid geraumer Zeit und muss euch sagen.

      Das RISIKO ist HOCH, die CHANCE bei einem "MEGA DEAL" dabei zu sein auch.

      Das Risiko ist mir eine 1.000er Wert, habe mir 10.000 Stück zu 0,092 ins "Klogeld Depot" gelegt.:laugh::laugh::laugh:

      Die Frage was mich derzeit beschäftigt: Werden und können sie das Bilabri Projekt wiederbeleben?
      Wenn ja, werden die Anleger die jetzt einsteigen spätestens ab Mai sehr Grüne zahlen erleben. Ein Rebound steht in 2008 bevor, wenn nichts verbockt wird.

      SUBJECT: Settlement Agreement with Peak and Update on filing of 2006 Financial Statements and Interims Results for 2007




      London, 28 September 2007 – Equator Exploration Limited ("Equator" or the "Company") announces the signing of a settlement agreement with Peak Petroleum Industries Nigeria Limited ("Peak").

      On 26 September 2007, the Company approved a settlement agreement ("Settlement Agreement") with Peak. Under the terms of the Settlement Agreement, Peak will assume full responsibility for financing and developing the Bilabri field which to date has been financed by Equator under the Finance and Service Agreement between Peak and Equator Exploration (OML 122) Limited, dated 2nd April 2005 ("FSA").

      The Settlement Agreement provides that the FSA will be terminated and that Equator will retain a net profit interest of 5% in the Bilabri oil project and a paying interest of 12.5% in any gas development of the Bilabri and Owanare fields.

      The Settlement Agreement also provides for Peak to assume the current and future liabilities of the Bilabri oil development and to reimburse Equator for all project costs paid by the Company since 1 June 2007. Peak is negotiating new contracts for the services and equipment required for the Bilabri oil development to continue.

      Peak is expecting to conclude a financing agreement with a financial institution in the near term.


      To date, Equator has invested approximately US$270 million in OML 122 including the Owanare discovery well. The directors of Equator have reviewed the potential financial implications of the Settlement Agreement for the Company and will be making suitable provisions to reflect a prudent view of any downside risk in terms of recoverability of the historical cost of investment in OML 122. The provisions will be recorded in the Company’s financial statements which are expected to be issued shortly.


      Filing of 2006 Financial Statements/Interim Results


      Equator will be announcing its Interim Results for the six months to 30 June 2007 simultaneously with the Financial Statements for the year ended 31 December 2006 in the near term at which point trading in Equator shares is expected to recommence.


      The Company will now focus on adding value to its exploration assets by pursuing additional farm-out opportunities. Further details of the Company’s strategy will be included with the publication of the 2006 Annual Report and Financial Statements and the 2007 Interim Results.

      Falls ihr das Risiko nicht scheut und welche kaufen wollt. Kauft nicht zu viel das Risiko euer Geld nicht mehr zu sehen ist hoch.
      Meine Beobachtung hat ergeben das in Frankfurt alsbald man eine Kauforder eingegeben hat, hochgetaxt wird. Irgendjemand scheint daran Spaß zu haben Daytrader oder die Makler.(Die Schweinebande :laugh::laugh::laugh: )

      Vererst Rate ich euch nicht mehr als 0,10 auszugeben. Versucht es an denn Nebenbörsen.;)

      Equator Exploration says in talks for collaboration on 2 Sao Tome blocks

      LONDON (Thomson Financial) - Equator Exploration Ltd (LSE: EEL.L - news) said it is in early talks with international oil companies for (Advertisement)

      collaboration over two blocks in the Sao Tome e Principe.

      The company said it has received expressions of interest from a number of parties to take part in its interests in Nigerian territorial waters, OPL321.

      Equator Exploration confirmed that it has obtained the approval from parties to assign a 20 pct interest in the deep water block OPL323 to BG Exploration and Production (Nigeria) Ltd.

      It said it has also submitted for approval to Nigerian National Petroleum Corp (NNPC) to allow the farm-out to be completed. But, the company said it has not yet received approval from NNPC for the farm-out.

      The company said the loan interest for 4.1 mln usd has been deferred until the completion of the farm-out of OPL323 for which 17.4 mln warrants issued to the lenders should be re-priced to 0.30 stg a share from 0.40 stg a share.

      It said it has issued an arbitration notice to Peak Petroleum Industries Nigeria Ltd as Peak has not yet made payments to the company towards reimbursement of certain costs as part of the settlement agreement it had reached to take over liabilities of Bilabri oil development.

      Lange kann es demnach nicht Mehr dauern bis man Ergebnisse erzielen kann. Im Ergebnis positiv, da man noch nicht aufgegeben hat, jedoch ein Fortschritt ist es nicht so richtig.
      Die Reaktion in London, deshalb Verkaufsbutton.:D

Nun spekuliere ich auf Kurse um die 0,074, mal sehen ob das mit dem nachkaufen klappt. Falls Equator nur eines ihrer Porjekte gebacken bekommt sind mal auf die schnelle 300% Drinnen.;)

      Genau hinschauen Lohnt sich. Die 100 Dayline wurde vor zweieinhalb Jahren das letzte mal durchbrochen.
      Ohne Grund gibt es kein Anstieg, dies ist wahrscheinlich erst der Anfang im langen folgenden Aufwärtstrend.:cool:

      Peak Settlement

      On 3 June 2008, the Company announced that Peak had made several representations to the Company that it would be able to and intended to satisfy in full the terms of the BSA by the middle of June 2008. In addition, Equator announced that OML 122 Ltd was taking steps in the Nigerian courts to register the LCIA arbitral award issued in its favour.

      On 19 June 2008, Peak made an announcement pertaining to its suit instituted before the Nigerian courts disputing the arbitration proceedings on the basis of there being no arbitral dispute with OML 122 Ltd under the BSA. The announcement also included a statement that the Nigerian court had dismissed 'with substantial costs' an application made by Equator requesting the court to discharge an earlier court order. Equator is fully aware of Peak's claims which are currently being addressed by the Nigerian court and the Company's legal advisors are presently contesting Peak's position. The Company's legal advisors have also advised that the costs awarded so far in the court proceedings are nominal costs only.

      During recent discussions, Peak has informed the Company that the claims and counter-claims being made by both Peak and the Company may be hampering progress on the financing efforts being pursued by Peak. Therefore, and without prejudice to the continuation of the legal processes, the Company reiterates that Equator's strategy is still to work closely with Peak to ensure that the financing required for the Bilabri oil development and to satisfy the terms of the BSA is secured within the shortest time possible. In this regard, Equator has been in direct discussions with Peak's financial advisers, and has received independent assurances that funding will be granted by the end of July 2008. Equator will therefore allow Peak until this time to conclude this financing initiative, before initiating conclusive steps in Nigeria to enforce the arbitral award.

      Bilabri Oil and Gas Development

      Over the past few weeks, progress has been made concerning the Bilabri oil and gas developments as several agreements have been entered into by Peak, as licence holder and operator of OML 122.

      These agreements, in respect of which certain information has been made public already, include:
      An FPSO contract with Nortechs FPSO Pte Limited;
      Agreements with various suppliers for time-critical equipment;
      Heads of agreement with Mitsubishi as the LNG offtaker for the gas development; and
      Heads of agreement with FlexLNG as the supplier of the offshore LNG process.
      A contract to secure the 'Energy Searcher' drillship.


      The Company is working closely with Peak to put in place definitive documentation to secure its carried interest of 5 per cent in the oil development of Bilabri and its 12.5 per cent paying interest in the gas development of Bilabri and Owanare.

      Settlement with BW Offshore and update on suspension of share trading

      London, 5 September 2008 - Equator hereby makes the following announcement to provide details of a settlement of one of the Company's outstanding contingent liabilities and an update on the current suspension of share trading.

      Contingent Liabilities

      Equator and a number of its wholly-owned subsidiaries have entered into an agreement (the "Settlement Agreement") with BW Peace Limited, a subsidiary of BW Offshore AS ("BW"), to settle all outstanding amounts resulting from the termination of a contract for the provision of an FPSO for the Bilabri oil development in OML122, offshore Nigeria. This Settlement Agreement has now become unconditional and as a result, the contingent liability of US$52million for early termination noted in our most recent financial reports is reduced by US$10million. In addition, if payment is made before 31 December 2008, there will be a further reduction of US$12million, resulting in a net settlement of US$30million plus interest instead of the original potential of US$52 million.
      The Company has already paid US$20million, as guarantor under the FPSO Contract. Therefore if payment is made prior to 31 December 2008, a termination payment of US$10.6 million plus interest will satisfy in full all claims from BW. The Company has arranged for the settlement amount to be assigned from the cash proceeds receivable under the farm-out agreement on OPL323 with BG Exploration and Production Nigeria Limited announced on 17 August 2007.
      In addition, the Settlement Agreement requires that the Company pays for variation orders under the FPSO Contract. The amount due for one variation order is still under negotiation with a third party but the total is expected to be no more than US$8.2 million, excluding any interest which may be due. Provision has been made under the Settlement Agreement for the variation orders to be funded from the cash proceeds of any farm-out of the Company's interest in OPL321. However, provision has also been made within the Bilabri Settlement Agreement, dated 13 September 2007 ("BSA"), for amounts due under the FPSO Contract to be paid from the proceeds of the financing of the Bilabri oil development being arranged by Peak Petroleum Industries Nigeria Limited. The status of this financing will be addressed in a separate news release.

      2007 Annual Report and Accounts

      The Company's shares were suspended from trading at the end of June because the 2007 financials had not been published within the required period of 6 months from the end of 2007. This was due to complications resulting from the implementation of International Financial Reporting Standards and their effect on the accounting treatment of the loans and warrants issued by the Company and of their subsequent re-pricings and repayment deferrals. The treatment has now been agreed with our auditors, PricewaterhouseCoopers, and the financial statements have been submitted to them for their final review. The Board of Directors will publish the 2007 Annual Report and Accounts as soon as it has approved the financial statements. Once published, the Company's share suspension is expected to be lifted and share trading should therefore re-commence.

      An update covering other current issues will be distributed in due course.

      Short Term Funding and update on publication of Report and Accounts
      December 24, 2008



      London, 24 December 2008 - The following update is made further to the announcement made on 30 June 2008, in which Equator Exploration Limited ('Equator' or the 'Company') reported that trading in the shares of the Company would be suspended until the publication of the Company's 2007 Report and Accounts ('the Accounts').


      Publication of Accounts

      Equator confirms that it is making progress in working with the Company's auditors to finalize both the 2007 Accounts and the 2008 Interim Reports. Any further developments will be notified to the market as and when they take place.


      Short Term Funding

      The Company currently holds US$2.8mm on deposit as security for performance bonds issued to Joint Development Authority of Nigeria and São Tomé & Príncipe ('JDA') to guarantee the expenditure under the work programme on Block 2.

      Equator has agreed terms with a Nigerian bank whereby the performance bonds will be issued with a requirement of only 50 per cent cash collateral. This will release initially a sum of US$1.4 million of the cash security. Following completion of the audit by the JDA of the 2006 expenditure, the Company expects the total amount required for the performance bonds to be reduced, which will release a further sum from the secured cash.

      December 31, 2008



      London, 31 December 2008 - Equator Exploration Limited ('Equator' or the 'Company') reports the results of the resolutions put forward at the Annual General Meeting held today:

      Resolution 1 - to appoint PricewaterhouseCoopers LLC as auditors of the Company, was passed;

      Resolution 2 - to elect Ted Giletti as a director of the Company, was passed;

      Resolution 3 - to re-elect Philip Rand as a director of the Company, was passed;

      Resolution 4 - to re-elect Philip Dimmock as a director of the Company, was passed; and

      Resolution 5 - to re-elect Wade Cherwayko as a director of the Company, was not passed. Accordingly Mr Cherwayko ceased to be a director with effect from the close of the meeting.

      London, 26 January 2009 - Equator Exploration Limited ('Equator' or the 'Company') would like to update shareholders on recent events regarding the status of OPL 321 and OPL 323.

      BACKGROUND
      In the Nigerian 2005 bid round held in August 2005, a bidding group comprising ONGC Videsh Ltd ('ONGC'), Equator and OWEL E&P Ltd ('OWEL'), submitted the winning bids for the Oil Prospecting Licences ('OPLs') for blocks 321 and 323. The bids included signature bonuses totaling US$485 million. However, the Korean National Oil Corporation ('KNOC') exercised a right of first refusal granted to it in recognition of a commitment by KNOC to implement a downstream project. After discussion among all parties, KNOC was awarded a 60% interest in the blocks and appointed as operator. A 30% interest was awarded to the ONGC group while the remaining 10% was awarded to Local Content Vehicles ('LCVs') - Tulip Energy Resources Nigeria Limited for OPL 321 and NJ Exploration Limited for OPL 323. ONGC declined its part of the award, allowing Equator to take the allocated share. The Government of Nigeria and KNOC consented to this and Equator made payment to the Nigerian Government of a full one-third share of the signature bonuses totaling US$161.7 million. On 10 March 2006, Equator signed the two Production Sharing Contracts with the Nigerian National Petroleum Corporation and the other parties as a full independent party with a 30 per cent interest. The Company also signed the Joint Operating Agreements with the other participants on 7 June 2007. Since March 2006, Equator has participated fully with the other parties in all of the technical and commercial decisions related to the detailed evaluation of the hydrocarbon prospects and in the preparations for drilling.

      UPDATE
      The Company has recently been informed by the Ministry of Energy of a decision made by the President of Nigeria to void the allocation of the blocks to KNOC and to restore the status of the ONGC Consortium as the winning bidder, subject to their payment in full of the US$485 million signature bonus within 60 days of 6 January 2009. KNOC and ONGC have confirmed to the Company that they have received letters from the Ministry of Energy to this effect. We understand that the basis of the decision is the non-payment by KNOC of the signature bonus offered by the winning bidder in full and that the portion of the signature bonus paid by KNOC will be refunded forthwith.

      As stated above, Equator did pay its portion of the signature bonuses in full. Equator has received verbal assurances from the Ministry that its participating interest in the two PSCs is unaffected by the decision to void KNOC's allocation but to date has received no direct written communication. The directors continue to believe that the Company's interest in the OPLs remains intact and that Equator will have the right either to participate with the ONGC Consortium in a new PSC or to have its signature bonus refunded.

      In order to protect its investment to date of US$16 million in petroleum operations, Equator is working with KNOC, ONGC and all LCV partners to ensure that the preparation for drilling operations continues with the minimum of disruption. The Company will continue to keep shareholders and the markets informed of events

      London, 19 March 2009 – Equator Exploration Limited (“Equator” or the “Company”) wishes to update shareholders on the company’s financial and operational status
      OPL321 and OPL323
      As reported by the Company on 26 January 2009, in early January the office of the Minister of State Petroleum informed the Korean National Oil Corporation (“KNOC”) that the award to it of a 60 percent share in both production sharing contracts (“PSC”) OPL321 and OPL323 had been voided. The two PSCs were offered to the ONGC consortium, the winner in the original bid round, of which Equator is a member, on condition that the full signature bonuses were paid. Equator had already paid its share of the full signature bonus in March 2006. The Nigerian authorities have issued draft PSCs to the members of the ONGC consortium for review. We do not expect an investment decision to be made until this review has been completed.
      Accordingly, the Company has requested that its signature bonuses be repaid. At the same time, Equator has indicated its desire to continue to participate in the two PSCs and has offered to leave an amount representing a 10% equity share in each PSC with the Nigerian authorities as an advance payment in the event that the ONGC consortium, including Equator, executes new PSCs.
      KNOC, on behalf of itself, Equator and two local partners, had contracted the Deepwater Pathfinder to drill the 4 obligation wells under the two PSCs starting in 4Q 2009. In order to avoid the risk of a large early termination penalty, KNOC, together with Equator and the other partners, has assigned the rig contract to Addax for use in the Joint Development Zone between Nigeria and Sao Tome & Principe. As described below, the Company’s prospective expenditure on JDZ Block 2 may be advanced but overall, the assignment of the drilling contract results in a significant deferral of the Company’s prospective expenditures in 2009 and 2010.JDZ Block 2 progress
      In order to accelerate the drilling of the Bomu 1 prospect in JDZ Block 2, the partners are currently considering whether to take one of the four drilling slots on the Deepwater Pathfinder now assigned to Addax. This will eliminate the risk of this one obligation well from overrunning the end of the initial exploration period of the production sharing contract in March 2010.
      NEWS RELEASE
      Report and Accounts and AIM Delisting
      The Company is confident that it will either retain positions in OPL 321 and OPL 323 or it will recover its substantial signature bonuses. However, under IFRS rules, the value of exploration assets in the balance sheet has to be supported by certainty of financing for drilling commitments for the coming 18 months. The current uncertainties surrounding the participations, operatorship, rig availability and work programme on the blocks, together with the global financial crisis, have rendered this impossible, from an auditing standpoint, for the time being.
      As a result, Equator’s auditor has been unable to provide an unqualified audit report in support of the 2007 accounts even though in reality, the exploration rights continue to be of significant value. The Company was unable to have its share trading suspension lifted without unqualified accounts. This made it impossible for the Company to retain its trading status on AIM, resulting in the delisting on 16 March 2009. The Company is now able to produce both the 2007 accounts and the 2008 Interims, and will progress the 2008 Annual Report in due course.The notifications by the office of the Minister of State Petroleum to KNOC and the ONGC consortium described above, together with an extension of loan repayment dates and the potential refund of the signature bonuses will, in the view of the Directors, help to resolve the IFRS auditing issues, will remove the immediate financing pressures and leave the path open for a re-listing at an appropriate time.
      The Company is in general discussions with third parties for the provision of additional working capital and in conjunction with these is in the process of agreeing terms with its major lenders to extend the repayment dates of existing loans.

      NIGERIA: Total subsidiary Total Upstream Nigeria Limited (TUPNI), operator of the OML 130 block offshore Nigeria, has started production from its Akpo deepwater development ahead of the planned start-up date. The ramp up of production to 175,000 b/d of condensate and 320 MMscf/d of gas plateau is expected to be reached in the summer of 2009.


      Akpo has proved and probable reserves estimated at 620 millions barrels of condensate and more than 1 Tcf of natural gas. Akpo is one of the largest deepwater offshore projects ever undertaken.


      Akpo will allow the commercialization of significant quantities of gas, which are exported towards the Amenam hub, supplying gas to the Nigerian domestic market and to the NLNG liquefaction plant.


      "This early start-up for Akpo demonstrates the dedication of the teams involved in delivering such a complex, yet technologically sound project", said Yves-Louis Darricarrère, Total's President of Exploration and Production.


      "This development will bring additional hydrocarbon resources whilst contributing to the development of local communities."


      TUPNI has a 24 percent interest in the project, Other partners in OML 130 include Nigerian National Petroleum Corporation, South Atlantic Petroleum, CNOOC Ltd. and Petrobras.


      The field is 200 kilometers from the Nigerian coastline in water depth ranging from 1,200 to 1,400 meters (3,937 to 4,593 feet). The development facilities consist of 44 wells, including 22 producers, 20 water injectors and two gas injectors, a floating production storage offloading facility (FPSO) with a designed daily processing capacity of 185,000 barrels of oil and a storage capacity of two million barrels, 110 kilometers (68.3 miles) of subsea pipelines and other infrastructures. To date, 22 wells have been drilled.

      London, 6 July 2009 – Equator Exploration Limited (“The Company” or “Equator”) wishes to update shareholders on recent events.
      OPL321 and OPL323
      The awards of the Production Sharing Contracts (“PSCs”) for OPL 321 and OPL 323, in which Equator has a 30 per cent share, have been the subject of a number of inquiries culminating, in January 2009, with the voiding of the award to the operator, the Korean National Oil Corporation (“KNOC”). The voiding of the award is now the subject of a High Court hearing in Nigeria with KNOC as the plaintiff seeking restitution of its interests in the blocks. There have been a number of sessions at the High Court but as yet there has not been any conclusion to the case. An interim injunction prevents an award of the blocks to the ONGC consortium, which includes Equator, while the current High Court hearing continues. The next hearing is scheduled for 8 July 2009.
      Despite the uncertainty in the eventual judgement of the hearing, the Company has confidence that the value of its investment of US$180 million in the two blocks will be preserved. Whether the blocks are taken over by the ONGC consortium or kept by KNOC, the farm out of a :eek:20% interest in OPL 323 :eek:to BG could still be completed. If neither of these happens, the Company is entitled to receive a refund of the signature bonuses. However, the timing of any such outcome remains unpredictable.
      JDZ Block 2
      On JDZ Block 2, a cost-effective option has become available for the drilling of the Bomu-1 exploration well in 3Q 2009, enabling the one well obligation of the Phase 1 Exploration Period of the PSC to be fulfilled on time. If the option is taken, significant funding will immediately be required for the Company’s share of the cost of the well.
      Financial Position
      The Company has debt from loans and unpaid interest, which has grown to more than US$100 million, drawn down mostly to fund the aborted development of the Bilabri Field. During the period from January 2008 until May 2009 borrowings increased by only US$6.3 million as the Company reduced costs and continued to maintain its interests in the exploration assets by paying cash calls of US$3.4mm.
      NEWS RELEASE
      The Board has been evaluating ways of ensuring that the Company’s assets are not lost and value is retained for shareholders, lenders and suppliers. The current absence of availability of funds from the capital markets for exploration companies with no production, compounded with the Company’s de-listing from AIM and the high debt, has made it impossible to raise funds through traditional routes.
      The Company is in the process of finalising a complex financing which will, when completed, extend the maturity of debt and provide some interim funding to ward off immediate pressure from creditors. It is intended that the arrangement will also provide an opportunity for additional funding in the future.
      Further details will be announced as soon as possible.

      As indicated in the News Release on 6 July 2009, Equator has been in a very difficult situation for the past two years. The uncertainties surrounding OPL321 and OPL323 and the burden of debt have made financing for the drilling in JDZ Block 2 and for the acquisition of our option blocks in the Exclusive Economic Zone of São Tomé e Príncipe extremely difficult.

      Over the past two years, the Board has worked tirelessly on evaluating ways of ensuring that the Company does not lose all of its assets because of lack of funding and leave the creditors and shareholders with nothing. The capital markets, for pure exploration companies, have remained at rock-bottom during the past year. The loss of the listing on AIM, which was a direct consequence of the uncertainty surrounding the value of the interests in OPL321 and OPL323, combined with the existing high debt has made it impossible to raise funds in the current environment through traditional routes.

      Procuring immediate funding and securing the ability to continue to pay cash calls on the Company's major assets have been the main drivers for the interim financing. The Board is in agreement that this transaction is in the best interests of all stakeholders.


      Features of Financing Structure

      The financing involves the advance of up to US$17.55 million by the Lender, secured on certain of the Group's assets.

      - The advances are repayable by 31 December 2009 and are convertible at the lender's option in whole or in part into shares at 5 US cents per share;
      - The lender has the right to appoint two additional directors to the board of the Company;
      - Advances bear interest at 8 per cent per annum; and
      - Completion was subject to finalising settlement agreements with certain creditors which has utilized US$12.55 million of the total facility amount.

      In associated arrangements, other lenders have agreed to the extension of their existing loans totaling US$110 million, including unpaid interest, as follows:

      - US$88 million plus interest to 31 December 2009 at 8% interest
      - US$5.6 million plus interest to 30 September 2009 at 18% interest

      In consideration for these extensions and variation to the interest rates, these loans have become convertible into ordinary shares in the Company also at the price of 5 US cents per share.


      Drawings and Conversion

      The Company has to date drawn in total $5.02 million under the new facility; According to the terms of the financing, a total of approximately US$4 million was committed to payments under creditor settlements and payment for overdue cash calls. The lender has exercised its right to convert the advances into shares in the Company at a conversion price of 5 cents per share. The Company will therefore issue 100,450,340 new Common Shares of no par value ranking pari passu with existing shares, representing approximately 34.9% of the enlarged issued share capital.


      Summary

      Equator is pleased to have secured these financing arrangements as they:

      - secure working capital at a time when capital markets are very difficult for pure exploration companies;
      - avoid being put into liquidation by large creditors;
      - provide security for the cost of exploration well Bomu-1 on JDZ Block 2 which could spud in July/August 2009;
      - provide time to maintain the Company's interests in its deep water assets irrespective of whether there is to be a cash refund or a continued allocation in each PSC; and
      - provide a way to ensure that value is secured for projects that had drained significant value from the Company.

      - It has also drawn down US$ 2.82 million which it has paid to major creditors as part of agreed settlements.
      - Oando has declared that it has purchased 53,444,578 common shares in Equator.
      - Vicuna has assigned all of its rights and obligations in the financing arrangements to Oando, including the 100,450,369 common shares it gained from conversion of loans made to date into shares.
      - As a result, there are now 287,941,930 shares in issue, of which 153,894,918, or 53.45%, will be owned by Oando.- Oando has provided a corporate guarantee of US$ 5.4 million as adequate security, required under the joint operating agreement, for Equator's share of the costs of the planned JDZ Bomu-1 well in Block 2.
      - Oando has provided a second corporate guarantee of US$ 2.8 million to secure replacement performance bonds required by the Joint Development Authority for Equator's share of the minimum commitment work programme for Block 2. This will release US$ 2.8 million held as collateral for the current performance bonds.

      Oando is willing to purchase further shares from shareholders who are interested in selling. They are advised to contact Fox-Davies Capital Limited, who are acting for Oando.


      Changes to the Board of Directors

      The Company announces the resignation from the Board of Philip Rand and Ted Giletti. Philip Rand has also resigned from the combined position of Chief Executive Officer and Chief Financial Officer.

      The Board would like to thank Philip and Ted for the contribution that they have made to the Company. Philip Rand has agreed to remain with the Company in an advisory capacity for a period of time.

      Changes to the Board of Directors

      The Company has received a Written Resolution of Shareholders appointing Mr. Jubril Adewale Tinubu and Mr. Omamofe Boyo as directors of the Company. The resolution was signed by Oando Plc ("Oando") and by Vicuna Holdings Limited ("Vicuna"). At the time, Oando held 53,444,578 shares in Equator and Vicuna Holdings held 100,450,369 shares, a total of 53.45% of the 287,941,930 shares in issue. The resolution was therefore signed by the holders of an absolute majority of the votes of shares entitled to vote.

      Accordingly, on 9 September 2009, the Board accepted and confirmed Mr. Tinubu and Mr. Boyo as directors of the Company and appointed Mr. Tinubu as Non-Executive Chairman.

      Mr. Tinubu and Mr. Boyo are executive directors of Oando.


      Share Activities

      In our letter to you of 12 August 2009, we said that the Company had been informed that Vicuna had assigned to Oando all of its rights and obligations in financing arrangements made with the Company, including 100,450,369 shares.

      On 9 September 2009, the Company received an executed Share Transfer Form showing that the shares have been transferred. As a result, Oando holds 153,894,918 shares, or 53.45%, of the 287,941,930 shares in issue.

      Finance

      Further to the US$ 5.02 million already drawn under the facility agreements with Oando Plc ("Oando"), an amount of US$ 9.66 million has also been drawn in order to make a final payment of a settlement with a major trade creditor.

      The Federal Government of Nigeria has returned the signature bonuses of US$ 161.7 million paid in March 2006 for the Company's 30% interests in deepwater blocks OPL 321 and OPL 323. The award of the blocks to the Korean National Oil Corporation ("KNOC"), the operator, had been voided by the government in January this year. In August, judgement had been given in favour of KNOC in a lawsuit that they had brought against the government parties in the Federal High Court in Abuja. However, the government side has now appealed. Faced with being denied its right to explore the blocks and with severe economic hardship, Equator requested the return of the signature bonuses. Equator has notified the government of its intention to maintain its interests in the two blocks until such time that the court disposes of the matter and beyond but awaits a response.

      In our letter of 12 August 2009, shareholders were notified that Oando had provided a corporate guarantee of US$ 2.8 million to secure replacement performance bonds required by the Joint Development Authority for Equator's share of the minimum commitment work programme for Block 2. The original performance bonds have now been replaced, releasing the US$ 2.8 million previously held as collateral.

      The returned funds have been used to redeem all loans, which with interest amounted to US$ 113.2 million. The Board are now taking on the challenge of stabilising the Company by settling outstanding liabilities, by filing audited accounts and by achieving a going concern status. The outstanding liabilities, which comprise trade creditors, unpaid fees for performance bonds and current commitments, including the cost of the Bomu-1 well, exceed US$ 50 million. Only when stability is achieved, can the Company pursue the Peak arbitration award which is likely to be a long process.

      Share Activities

      In our letter to you of 11 September 2009, we reported that 100,450,369 shares had been transferred to Oando Plc ("Oando") giving it a total holding of 153,894,918 shares, or 53.45%, of the 287,941,930 shares then in issue. Subsequently, Oando have purchased 19,768,668 million shares from other shareholders through its broker Fox-Davies Capital and have exercised their right to convert, at 5 cents per share, the last loan of US$ 9.66 million into 193,175,340 shares. The result is that Oando now holds 366,838,955 shares out of a total of 481,117,270 shares i.e.76.25%.

      We have been informed that Oando has instructed Fox-Davies (currently acting as its stockbroker only) to purchase further shares from any shareholders interested in selling. Shareholders wishing to sell should instruct their stockbroker to contact Steve Cowan at Fox-Davies Capital on +44 (0) 20 7936 5247.

      JDZ Bomu-1 Well

      Operations on the JDZ Bomu-1 well, in Block 2 of the Joint Development Zone, are complete. The well, drilled in 1655 metres of water reached a total depth of 3543 metres below sea level. Subject to acknowledgement by the Joint Development Authority, this fulfils the work obligation of Phase I of the Exploration Period in the Production Sharing Contract, which ends in March 2010.

      Early analysis of the wireline logs indicates the presence of gas in a number of sand intervals. Further evaluation of the discovery, which is too small to be commercial on a stand alone basis, and its impact on the prospectivity of other prospects on Block 2 is underway. Equator has a 9 per cent interest in Block 2.

      OML 125/134
      OEPL acquired a 15% participating interest in these Blocks in 2008. The Blocks are operated by Agip. Both Blocks are located offshore Nigeria, in deepwater with acreages of 1,220km2 (OML 125) and 1,187km2 (OML 134). To date OEPL has spent in excess of $200million in the acquisition of its 15% participating interest in the block.

      Abo Field is currently producing approximately 32,000bbls/day as at April 2009. Two exploration wells (Abo South and Oberan 3) are planned to be drilled in 2009/2010.

      Obodeti Obodugwa (OML 56)
      Oando was awarded Obodeti/Obodugwa in 2003 by the Federal Government of Nigeria under the marginal field terms. Oando has a 45% participating interest in these fields operated by our partner Energia Limited. The fields are located in OML 56, an onshore location in Delta State. Both fields have a total acreage of 68.5km2.

      Akepo (OML 90)
      OEPL signed a FTMSA with Sogenal Ltd and Exile Resources Inc for a 30% working interest. The field is operated by Sogenal and is located in the shallow marine area of Delta State and has a total acreage of 26km2. The field was awarded to Sogenal in the 2003 Marginal Field Bid Round.

      Akepo is currently undergoing a fast track development.

      OPL 278
      OEPL has a 60% working interest in this block and is the operator. The block is located in the transition zone (swamp to shallow marine, offshore), Rivers State and has an acreage of 92km2.

      OPL 278 is currently at exploration and appraisal phase. The eastern part of the block is covered by 3D Seismic, while the western part is covered by 2D Seismic.

      OPL 282
      OEPL has a 4% working interest in this block operated by NAOC (Agip). The block is located in a transition zone (onshore to shallow marine), Bayelsa State and has a total acreage of 699km2.

      OPL 282 is currently in the exploration phase, with an imminent acquisition of 3D Seismic Data.

      OPL 236
      OEPL has a 95% working interest in this block and is the operator. The Block is located onshore, Akwa-Ibom State, with a total acreage of 1,650km2. It is one of the biggest acreages awarded in recent times. OEPL has spent in excess $11 million in the acquisition and evaluation of this acreage to date.

      OPL 236 is currently at exploration and appraisal phase. The acreage has some level of 2D Seismic and 6 wells have been drilled in it to date. Log interpretations and studies have confirmed significant hydrocarbons in place.

      Equator Exploration Limited ("The Company" or "Equator") hereby gives notice of a special dividend payment to be made to shareholders.

      Dividend
      The Board of Equator has determined that there is a surplus of US$29 million after taking account of existing liabilities and commitments. The Board therefore declares that it will pay a special cash dividend of 3.6 pence per share to all shareholders.

      The special dividend will be paid on 9 November 2009 to shareholders of record as of the close of business on 27 October 2009.


      Commitment from Oando Plc
      Oando, the majority shareholder of Equator, has agreed to underwrite all existing commitments of the Company and will keep the status of the Company as a going concern pending an eventual merger between Oando's subsidiary, Oando Exploration & Production Limited ("Oando E&P"), and Equator. Should funds be required for future projects, there will be a rights issue at 3 pence per share in which all shareholders will be invited to participate.

      Merger Activity
      The Board of Equator has resolved to appoint a third party financial advisory firm to undertake a valuation of the assets of the Company and of Oando E&P in preparation for a merger of the two companies.

      Total also operates block OML 130, which contains the Akpo deep water development that started production in March.

Total also holds a 15% interest in NLNG with a current LNG production capacity of 21.9 million metric tons per year.

      Developing the country's deep offshore resources is one of the Group's main growth drivers in Africa. The development of the OML 138 Usan field, Total's second development in deep offshore Nigeria, was launched in early 2008 and the field is expected to come on stream in 2012. Near Akpo in the OML 130, the Egina field whose basic engineering studies are underway, will be Total's third deep offshore development in Nigeria.

      In 2008 the Group's production in Africa amounted to 783,000 barrels of oil equivalent per day representing 33% of the Group's overall production. In addition to Nigeria, Total also produces in Algeria, Libya, Cameroon, Gabon, the Republic of Congo and Angola.

      KNOC Restored Two Exploration Licences In Nigeria

      Nigeria's high court has ruled that the government illegally revoked exploration licences granted to a South Korean oil consortium.

      The Korea National Oil Corporation (KNOC) had filed an action demanding the restoration of two offshore licences, granted in 2005.

      Nigeria called off the deal in January, alleging that the consortium failed to make agreed payments. But the court said that President Umaru Yar'Adua did not have such power.

      The government has said it will appeal against the court's ruling.

      Former President Olusegun Obasanjo had awarded KNOC rights to the two oil blocks, which which some estimates suggest could hold as much as one billion barrels.

      The case has been watched closely by the oil industry, with foreign investors concerned about the security of contracts when administrations change.

      The revocation of the licences - which were later awarded to an Indian firm - were a blow to Seoul's efforts to raise its reserves, as South Korea imports all its oil.

      The consortium is led by KNOC. Other members include Daewoo Shipbuilding and Korea Electric Power.

      It paid $9m in cash and offered a letter of credit to pay another $231m, in order to cover its 60% interest in oil blocks OPL321 and OPL323, which are based in deep water in the Gulf of Guinea.

      In return for the exploration rights, South Korea had planned to build a 1,200-km (745-mile) gas pipeline from the southern delta to the capital, Abuja, and provide 2,250 megawatts of power generation.

      Equator Exploration Limited ("The Company" or "Equator") hereby provides the following updates on its activities:

      Exclusive Economic Zone ("EEZ") of São Tomé and Príncipe ("STP")

      Equator was invited by the government of STP, prior to the recently announced EEZ Licensing Round, to make its first choice of two blocks in the EEZ as per the Exploration and Production Option Agreement Equator has with the government. Following Equator exercising its option, Equator received from the government of STP a letter of allocation of the rights to two blocks in the EEZ. The government informed Equator that it will soon be able to begin negotiation of Production Sharing Contracts.

      Notice from Shareholder to Amend Mem & Arts

      Equator has received a written resolution, dated 29 January 1010, from its majority shareholder, Oando Plc, to replace the current Memorandum and Articles of Association with a new set. The resolution authorises the making of all necessary filings with the Registrar of Corporate Affairs with respect to the new Memorandum and Articles of Association and the resolution. As stated in the resolution, the new Memorandum and Articles of Association dis-apply certain sections of the BVI Business Companies Act 2004. The resolution is attached below this letter. The new Memorandum and Articles of Association are posted on the Company's website, www.equatorexploration.com.

      Finance

      Equator is working diligently with Pricewaterhouse Coopers, the Company's auditors, to complete the 2007, 2008 and 2009 accounts. We expect to have complete audited accounts by end February by which time the Company will have announced an AGM.

      OPL 323 / OPL 321

      The award of OPL 323 and OPL 321 to the Korean National Oil Corporation ("KNOC"), the operator, was voided by the Federal Government of Nigeria in January 2009. In August 2009, judgement was given in favour of KNOC in a lawsuit that they had brought against the government parties in the Federal High Court in Abuja. Although the government has appealed the judgement, we believe that the government and KNOC are in talks to resolve the situation. We await news of a resolution.

      JDZ Bomu-1 Well

      Sinopec, the operator, is completing the technical evaluation of the Bomu-1 discovery. In mid-March, the Company and the other participants are required to commit to a second well or to drop the block.

      (b) following the enactment of the Order, the Company now proposes that amendments in the form attached hereto be made to the Memorandum and Articles of Association of the Company in order to provide that Part IV of Schedule 2 of the Act be disapplied (the "New Memorandum and Articles of Association");

      (c) on 1 January 2007, the Company was automatically re-registered as a BVI Business Company pursuant to the Act;

      (e) in accordance with section 12(5) of Part IV of Schedule 2 of the Act, the Shareholders hereby wish to authorise and approve the Notice and the New Memorandum and Articles of Association.

      In 2008 the Equator Shareholder Liaison Group ("SLG") was established independently of Equator Exploration Limited ("Equator" or "the Company") to further the interests of minority Shareholders through effective dialogue with the Company. The SLG currently represents 330 Shareholders (both institutional & private) with a combined shareholding of 43.4 million shares or 9.1% of the Company's current total issued share capital.

      At the request of the SLG, Equator has kindly agreed to forward this letter to its register of Shareholders. However, this does not imply that Equator has agreed any terms with the SLG or has agreed to negotiate exclusively with the SLG. Nonetheless, a healthy dialogue is maintained between Equator and the SLG.

      We would like to encourage any minority Shareholder not currently aligned to the SLG to take steps to make contact with the SLG. This will enable the Group's representatives to make the best possible efforts to seek a satisfactory conclusion on behalf of as many minority Shareholders as possible.

      Dear Shareholders,

      Accounts

      The Accounts for the year 2010 are being compiled and should be completed next month. Once the Auditors' Letter has been signed, the Annual Report and Accounts will be published and notice given for the Annual General Meeting.

      Two Blocks in São Tomé and Príncipe

      The Company has been allocated Block 5 and Block 12 in the Exclusive Economic Zone ("EEZ") of the Democratic Republic of São Tomé and Príncipe by the country's National Petroleum Agency ("ANP-STP").

      The allocation followed Equator's acceptance of an invitation from ANP-STP for Equator to exercise options to two concession blocks granted by the Government in an agreement originally signed in 2001. Equator chose Block 5 and Block 12 after interpreting 10,000km of 2D seismic data. Block 5 lies to the east of Príncipe Island on the maritime border with Equatorial Guinea. It has an area of 2,844 sq km and lies in water depths in the range 2,200 to 2,500 metres. Block 12 lies to the southeast of São Tomé Island on the maritime border with Gabon. It has an area of 7,032 sq km and lies in water depths in the range 2,500 to 3,000 metres.

      A number of play and lead types similar to those that have been successful offshore Equatorial Guinea and Gabon have been identified by our technical team which has completed a full technical and financial evaluation of the blocks. The allocations are subject to the negotiation and execution of Production Sharing Contracts with ANP-STP. Equator is in the final stages of negotiating the Production Sharing Contracts.

      Signature of the Production Sharing Contracts will commit the Company to the payment of signature bonuses and to the execution of minimum work programmes. The Company has begun the process of seeking an industry partner to share the sizable cost of exploring these blocks which are located in ultra-deep water.

      Meanwhile, the Democratic Republic of São Tomé and Príncipe held a public licensing round to allocate a number of their remaining blocks and received bids from six companies. ANP-STP has qualified four bids as acceptable but has yet to announce the allocation of blocks to these companies.

      OML 122 Peak Petroleum Industries Nigeria Limited ("Peak")

      In September 2007, Equator agreed terms with Peak by entering into the Bilabri Settlement Agreement for Peak to take responsibility for operations and funding of the remaining development of the Bilabri oil project on OML 122. Under the terms of the agreement, Peak assumed the existing and future project liabilities and the obligation to make an upfront payment to Equator. In return, Equator's interest in Bilabri and Owanare was reduced to a carried interest of 5% in the oil project and a paying interest of 12.5% in any gas development.

      Peak has not met its obligations to Equator under the Bilabri Settlement Agreement. In order, to protect its interests, Equator issued a notice of arbitration. Peak was granted an injunction by the Nigerian courts to prevent the arbitration, citing the fact that Peak admitted its debt as a reason. Peak did not participate in the arbitration. A final award, which we believe to be enforceable in Nigeria under Nigerian Law, was issued on 27 May 2008 by the Arbitrator in favour of Equator in the total sum of US$123 million plus interest. However, Peak has continued to dispute this in the Nigerian courts. Equator is continuing to pursue its rights in the Nigerian courts.

      Dear Shareholder,

      Shareholder Update

      Accounts

      The Accounts for the year 2011 are being compiled. Once the audit is complete, the Annual Report and Financial Statements will be published and notice given for the 2012 Annual General Meeting. The debt owing to Oando Plc as at 31 December 2010 amounted to US$ 4.5 million.

      OPL 321 and OPL 323

      The appeals by the Nigerian Government parties and by Owel Petroleum Services Ltd against the judgment made in August 2009 in favour of KNOC continue to be heard in the Nigerian Court of Appeal. However, to date the hearings have been mainly procedural and the substance of both cases is yet to be heard. At hearings held in November 2011, the cases were adjourned until March 2012 for the Owel appeal and to a date as yet unknown for the Government appeal. The Company continues to seek a compromise amongst all of the stakeholders.

      JDZ Block 2

      It was concluded from the evaluation of the exploration well that the Bomu discovery is sub-commercial and the rest of the block has insufficient prospectivity to justify further expenditure by Equator. The drilling and evaluation costs relating to the well, amounting to US$9.4 million, are already impaired and it is intended to treat a similar amount of geological & geophysical costs in the same way.

      Bilabri & Owanare (OML 122)

      Equator offered Peak a compromise in which we would fund the development of Bilabri, and possibly Owanare, in return for larger interests than those conferred by the Bilabri Settlement Agreement. We would recover, from Peak's share of production, the carry on their future development costs and their existing debts under the Bilabri Settlement Agreement. Peak did not accept the offer, which remains open.

      In November, the winding up petition against Peak was made final and the final liquidator was appointed. Peak has appealed the court's decision and has applied for an injunction against Equator. The appeal, which in the opinion of Equator's counsel has no merit, was adjourned until later this month.

      São Tomé & Príncipe Block 5 and Block 12

      The negotiations on the Production Sharing Contracts for Block 5 and Block 12 are complete. The official Portuguese versions are under review. There will be total signature bonuses payable of US$ 4.5 million, which is the most immediate capital funding requirement of Equator. We expect to execute the PSC's in Q1 2012.

      Change of immediate parent company

      Equator has been subsidiary of Oando Plc, the Nigerian integrated oil and gas company quoted in Lagos and Johannesburg, since 2009 when it acquired a 78 per cent. stake in your company.

      On 2 August 2011, it was announced that Exile Resources Inc., an oil company whose shares are traded on the Toronto Stock Exchange Venture Exchange ("TSXV"), had agreed to acquire the exploration & production assets of Oando Plc in exchange for 100 million post-consolidation Exile shares. In a further announcement on 13 October 2011, it was revealed that Oando Plc will hold at least 94 percent of Exile, which will be renamed Oando Energy Resources Inc ("OER") and, subject to approvals, will move its listing from the TSXV to the Toronto Stock Exchange ("TSX"). On 29 November 2011, Exile issued an information circular and held a meeting of its shareholders on 29 December 2011. The meeting approved the share consolidation and the transaction with Oando. Subject to remaining TSX approvals, it is expected that the transaction will complete during January 2012 and shares in OER will commence trading soon after.

      The Equator shares owned by Oando Plc are among the assets being transferred to Exile so the Company's majority shareholder will become OER instead of Oando Plc. In the event that Oando Plc increases its ownership in Equator prior to the closing of the reverse takeover, the agreement with Exile provided for an increase of up to 2,164,500 in the number of OER shares issued to Oando. Oando has acquired sufficient Equator shares to earn an extra 339,052 Exile consolidated shares.

      Directorate change

      As announced at the last Annual General Meeting, Mr. 'Pade Durotoye has been appointed a Non Executive Director of Equator. Mr Durotoye has a broad international experience in the industry and has been CEO of Oando Exploration Production Limited ("OEPL") since June 2010. Mr. Durotoye is due to become the new Chief Executive of Oando Energy Resources Inc.

      Offer from Oando

      On 9 November 2011, Equator received an offer from Oando Plc for all of the minority shares. The terms offered were a choice of 6p per Equator share or one OER share for every 48.6893 Equator shares. The offer, which expired on 30 November, was conditional on the acquisition of all the remaining Equator shares and acceptance by the Equator Board therefore required the successful implementation a scheme of arrangement in the BVI courts.

      By coincidence, a meeting had been requested by the Equator Shareholders Liaison Group ("SLG") on the same day that the offer was received. The terms of the offer were discussed with the 25 shareholders present at the meeting. The meeting was also told that Oando Plc had acquired further shares in Equator at a price of 3p per share, raising its stake to 81.5 per cent. Mr. Durotoye informed the meeting that, in future, all shareholders, not just OER, would be asked to contribute to the capital cash requirements of the Company.

      The board of Equator established an Independent Committee to consider the offer from Oando Plc and engaged Anglo-Suisse Capital Limited as financial advisers. The Independent Committee comprises those directors who do not owe fiduciary duties to Oando other than as directors to Equator, namely Messrs. Patrick Bastin, Philip Dimmock and David Rowlinson.       The information circular issued on 29 November 2011 by Exile to its shareholders contained the necessary information for Anglo-Suisse Capital to assess the share alternative of the Oando offer for the Equator minority shares. From discussions held by Anglo-Suisse Capital with institutional shareholders and representative members of the SLG, it became clear that a sufficient number of shareholders were planning to vote against the Oando offer as to make the success of a scheme of arrangement, which requires a 75% positive vote, unlikely. On 30 November 2011, having taken the views of shareholders and the advice of Anglo-Suisse Capital into account, the Independent Committee advised Oando Plc that the proposed scheme of arrangement was unlikely to achieve sufficient support to succeed and that it was unlikely that it could be completely closed before the closing of the transaction with Exile. The Independent Committee also passed on the suggestions of Anglo-Suisse Capital for enhancing the offer in order to make a scheme of arrangement more likely to succeed, assuming that Oando still wished to acquire all of the minority shares.

      On 6 December 2011, Oando Plc responded that that it was not prepared to change its offer nor to relax the deadline for closing, partly because these would breach its agreement with Exile, and it was therefore ending discussion with Equator in relation to the offer. Subsequent discussions with Oando and its advisers confirmed that Oando was not prepared to improve its offer.

      Nur gut das ich damals rechtzeitig den Einsatz rausgeschöpft habe und die Gewinne weiter laufen lassen habe.
