Agria Expects to Reach High-End of Prior 4Q07 Guidance

BEIJING--(MARKET WIRE)--Feb 25, 2008 -- Agria Corporation (NYSE:GRO - News), an innovative China- based agri-solutions provider, today announced that the Company expects revenues for the fourth quarter of 2007 to reach the high-end of prior guidance.

Prior guidance for revenues for the fourth quarter of 2007 was between approximately RMB 238 million (US$ 31.8 million) and RMB 253 million (US$ 33.8 million), representing year-over-year growth in the range of 60% to 70%, respectively, compared to RMB 149 million in the fourth quarter of 2006. Growth was led by strong corn seed sales, as the fourth quarter is typically the strongest period for this segment due to the annual harvest and sales cycle.

Mr. Kenneth Huang, co-CEO, commented, "We are pleased with the success in our business and continue to expect we will achieve annual revenue growth above 25% in 2008 compared to 2007 based on current order forecasts and market expectations. We expect to achieve this growth despite the impact of snow storms in China in the first quarter of 2008. The storms did not materially affect our operation in Shanxi, did not cause any material increase in breeding sheep deaths and should not impact our seedling business. The impact was confined to transportation and shipment problems across China. Overall, the weather is a short-term, macro issue. The opportunities in front of us for revenue and profit growth remain vast."

Based on sales orders received, Agria now expects revenue in the first quarter 2008 will be approximately 15% above the first quarter of 2007, or approximately RMB 136 million (US$ 17.9 million). The Company believes revenue growth would have been approximately 20% higher than the year ago period without the impact of snow storms in China. The first quarter is normally seasonally below the fourth quarter for the industry.

Agria Shares Plunge Aftermarket, As COO Xue Resigns Over Pay Issues; Company Retracts Outlook

U.S.-listed shares of Agria Corp. plunged in Monday's aftermarket session, after the Chinese agricultural supplier said Zhixin Xue resigned as chief operating officer, and warned that it may not be able to file its 2007 annual financial report on time.

Xue, who has been primarily responsible for management of the company's operations since 2000, will remain chairman of Primalights III Agriculture Development Co. Ltd., the main entity through which Agria operates in China.

Xue's resignation comes after the company's board learned in late January that Xue and Agria Chairman and co-CEO Guanglin Lai had discussed the payment of $18 million in cash and stock by a company shareholder, BCL, to Xue and other members of the management team as payment for their services and to serve as incentive for continued performance.

The board approved $9 million of the sum, but put the remaining funds in escrow. Xue later resigned, contending that he wasn't informed of the board's action and wasn't convinced they would follow through with the deal.

The company said it rejected Xue's resignation request on March 31, but Xue didn't respond within a 24-hour window and his positions as COO and director thereby ended. Agria said its board will begin a search for his replacement, but warned that if Xue or other management personnel decide to resign from Primalights, the loss of their services will materially hurt the company's operations.

Separately, Agria said its independent auditors haven't been able to begin their audit of the company's financial statements for 2007, and given this delay, Agria may not be able to file its annual report by June 30. The company retracted its prior guidance for the fourth quarter of 2007 and first quarter and full year of 2008.

In February, Agria said it expected to report fourth-quarter revenue of $31.8 million to $33.8 million and first-quarter sales of $17.9 million.

Shares plunged $3, or 34 percent, to $5.80 in aftermarket electronic trading, having closed the regular session up 12 cnets at $8.80.

In addition, the Special Committee of the Board of Directors of Agria continues its work on this matter. Mr. Xue and other members of management team of Primalights III Agriculture Development, Co., Ltd. ("P3A"), Agria's primary operating entity in China, are continuing to work at P3A.

The Company has been informed by its PRC counsel that the Power of Attorney, Exclusive Call Option Agreement, Exclusive Technology Development, Technical Support and Service Agreement, Exclusive Consultancy Service Agreement, Proprietary Technology License Agreement and Letter of Undertaking entered into between Agria's wholly-owned subsidiary in China and P3A and/or its direct equity owners, as applicable, are valid, binding and enforceable under PRC law in accordance with their terms. In addition, P3A is permitted to conduct its business within the scope and terms specified in the licenses and permits granted to it. The Company has been advised by its PRC counsel that the PRC counsel has no reason to believe that any regulatory body would consider modifying, suspending or revoking such licenses and permits solely because of any P3A employee's resignation. Based on the PRC counsel's advice, the Company believes that no employee at P3A has any legal right to take P3A's licenses and permits with him or her in the event such employee resigns from P3A.
