247MGI to Reduce Shares Outstanding and Complete Private Placement

FT. LAUDERDALE, FL--(Marketwire - March 28, 2008) - 247MGI, Inc. (OTCBB: TOFS) ("247MGI") will be reducing the number of shares outstanding of its common stock when the Company's President converts his common stock to Preferred stock. 247MGI has also been discussing this with another significant shareholder about doing the same and should they also convert into Preferred the remaining shares outstanding will be approximately 50,000,000. The Preferred can convert back to common after one year and will convert into the same number of shares of common as held today.

Matthew Dwyer, the Company's President, is finalizing a stock loan to infuse capital into the Company without having to sell any of the Company's assets. Mr. Dwyer will pledge his personal shares to obtain the loan then invest the money into the Company as a loan. The money will be used to hire additional personnel needed to expand the operations of the Company.

247MGI Signs LOI to Acquire Manufacturing Company

FT LAUDERDALE, FL--(Marketwire - April 14, 2008) - 247MGI Inc. (OTCBB: TOFS) ("247MGI"), is pleased to announce it has signed an LOI to acquire a manufacturing company located in Miami, Florida.

As previously announced the Company is seeking to increase liquid assets and has been working with several companies looking to go public. The manufacturing company will become a wholly owned subsidiary 247MGI and the transaction does not require the issuance of any Common or Preferred stock to the manufacturing company.

The manufacturing company currently has sales of $1.8 million and with some changes 247MGI has required as part of the deal the company will net a minimum of 10% before taxes. The goal of 247MGI is to help expand the company through acquisition then package the company and spin it off as its own publicly traded company within the next 12 to 15 months.

For its assistance, 247MGI shall retain equity in the company and shall be in charge of all of Investor Relations. This is the first of several transactions the Company is currently working on.

This does not change the focus of 247MGI or its media operations. 247MGI will resume Broadcasts of Smallcap Rapp shortly and has received several good leads from its first market agreement.

also ich hab meine nachkauforder gesetzt. es sind mehere shows angekündigt. more shows, more revs! der ceo hat mehrmals betont, dass es keine dilution geben wird! wenn das doch der fall sein sollte, bin ich raus. so ein vertrauensbruch an der otc nicht verwunderlich. drüben glauben sie an mm-spielchen. außerdem warte ich auf die financials. die müssten eigentlich einen fortschritt zeigen. der ceo meinte, sie würden sehr bald kommen.

Tell the RADs they dont know what they are looking at. Tell them to calculate all the volume for the month and they will see no diluting. It is IMPATIENT SELLERS tired of waiting, and MMs screwing this into the ground because they know when stuff happens this is going to make money.

thank you...there has not been enough volume to even think it is being diluted to begin with....now if we were seeing millions in volume and the price continued to go down then I would be crying dilution. Matt is going to reduce the O/S and the A/S soon. IMO.. If Matt was diluting he would have had money for what he needed and not worry about a loan. JMO.

Something was definitely suspicious with all the buying yesterday. I think all of the actual trades were at the ask with the exception of the first bidwack of the day (stupid, IMO). It started at 0.01, then the ask moved down to 0.0095, then it moved back to 0.01. It's odd considering it was a Friday (usually there is a lack of buying, no news, and plus there was a long weekend coming up). Perhaps we do get something on Tuesday that will make us finally move. I also agree with what you said in reference to the various avenue's we have for revenue.

positiv deshalb, weil der kontakt zum ceo sehr gut ist und das bei einem otc wert.
positiv deshalb, weil in den nächsten tagen und wochen ein newsflow ansteht.

bezüglich verwässerung:

Well bless there hearts. LOL! Tell them how can you dilute when the shares are being reduced and cancelled. O/S from 399,022,614 to 59,022,614 and the A/S from 500M to just under 100M. And how can the CEO sell shares if he has not filed the proper paperwork with the SEC/FINRA to sell his shares since we are still a reporting company, and lastly the TA service was allowed to be suspended to prove again there is no delution. Hope that helps...but hey if they want to stand by and watch...it is their call.

FORT LAUDERDALE, Fla.--(BUSINESS WIRE)--247MGI, Inc. (OTC:TOFS - News) is pleased to announce it has been working to help resolve pending and past legal actions against the company. The Company is pleased to announce the pending issue with Dr. Martin Peskin has been resolved and a settlement agreement has been entered into and filed with the courts.

The Company currently does not have any pending legal actions at this time and is working to resolve matters resulting from a prior Stock Purchase Agreement the Company entered into in 2003 to avoid any further legal action.

With no pending legal actions 247MGI has been in talks with several candidates to join the Company as Officers and Directors. Once new members have joined the Company the new Board will decide what to about bringing the Company current with its financials to resume trading on the OTCBB. Evidently you haven't been around long enough to understand MM manipulation, naked short selling, etc.
Perfect example? Right now, as evidenced by the MMs lowering
the bid/ask with very little trading, and using blocks of 5000
shares; I'm watching all the trades go thru, and I bought 11,000 shares.
After the purchase, 54,000 shares have traded, with 15,000
of those in blocks of 5000 shares, as posted by the MMs.
When I tried to put in an order at .0045, they changed the bid to .0045; when I changed it to .0047, they changed it to .0047, and immediately dropped the bid/ask.
This is manipulation in it's purest form, so go out and do you
homework/DD, instead of making false accusations that have no merit.
Naked short selling is an unchecked multi-billion dollar market, that involves, DTCC, MMs, firms, hedge funds, and
continues to happen; The SHO list is just the tip of the iceberg, and, until some one with enough balls will step up to the plate, it will continue.

mit den käufern hast du natürlich recht. aber verwässerung macht ja auch kein sinn, nachdem sie die ganzen shares gecancelt haben. außerdem hat der ceo oft genug in den prs und persönlichen mails betont, dass nicht verwässert wird. bei dem wenigen interesse zur zeit ist es ein leichtes den kurs zu manipulieren.

Tell them how can you dilute when the shares are being reduced and cancelled. O/S from 399,022,614 to 59,022,614 and the A/S from 500M to just under 100M. And how can the CEO sell shares if he has not filed the proper paperwork with the SEC/FINRA to sell his shares since we are still a reporting company, and lastly the TA service was allowed to be suspended to prove again there is no delution.

da hast du natürlich wieder recht. aber ich hatte noch einen kontakt zu einem otc-ceo. fakt ist, alles was er gesagt hat, hat er eingehalten. allerdings würd ich natürlich trotzdem nicht all meine kohle hier investieren. wenn die mal ne pr rausbringen würden mit dem aktuellen float ( angebl. nur 12 mill. :eek, dann ist klar wo die reise hingeht.

schau mer mal! auf jeden fall kostet mich das teil nerven und es wird wohl mein letzter pinky sein.

also ich werd mal ne weile nicht auf den kurs schauen. im moment habe die mms die macht. und es wird leute geben die vor lauter angst schmeissen werden und dann sind die käufer da. obwohl es keine einzige schlechte news kam. kommen sehr gute news, sind wir schneller über die 02 als manche gucken können. das ask ist dünn.

247MGI Secures Funding Commitment



247MGI, Inc. (OTC:TOFS) (“247MGI”) has received a funding commitment for $100,000 which can be raised to $200,000 based on performance by the Company.
