      CEG 24.45, +0.39, +1.6%) announced today that Constellation Energy has filed preliminary proxy materials with the Securities and Exchange Commission (SEC) related to its proposed merger with MidAmerican Energy Holdings Company.
      On Sept. 19, MidAmerican and Constellation Energy reached a definitive merger agreement in which MidAmerican will purchase all of the outstanding shares of Constellation Energy for a cash consideration of approximately $4.7 billion, or $26.50 per share. In addition, MidAmerican provided an immediate $1 billion cash infusion to Constellation Energy through the purchase of preferred equity. The definitive agreement has been approved by both companies' boards of directors and is subject to, among other things, shareholder and customary federal and state regulatory approvals.       Warren Buffett's MidAmerican Energy Holding Co. told the Maryland Public Service Commission that its purchase of Constellation Energy Group Inc. and its Baltimore Gas & Electric Co. unit would stabilize the troubled utilities and curb rate increases if approved.

      Some Constellation shareholders were upset by MidAmerican's $26.50-a-share offer, after the company had been trading at over $100 earlier in the year. Mr. Buffett swooped in about a month ago with his $4.7 billion bid for Constellation after investors fled the company over fears about its solvency.

      MidAmerican, a unit of Mr. Buffett's Berkshire Hathaway Inc., said Friday the purchase of BGE would bring financial stability to Constellation and BGE. MidAmerican president and Chief Executive Gregory E. Abel said the proposal comes along with the company's plan to reduce and delay planned BGE rate requests.

      MidAmerican said it plans to cut in half the 5% cap that was to apply to any increase in an electric distribution rate case filed by BGE in 2009. The company also said it is committed to not file the next BGE electric and natural gas distribution rate cases until January 2011. The company also said there would be no increase in BGE's gas and electric base distribution rates in 2010 and the first half of 2011, resulting in a potential benefit of as much as $70 million for BGE customers.

      MidAmerican said it remains committed to keeping Constellation's headquarters in Baltimore and said Constellation Energy Chairman and Chief Executive Mayo A. Shattuck III waived his right to receive cash severance as a result of the merger, instead requesting the amount be donated to the Constellation Energy Group Foundation.

      Upsetting the deal, which has been approved by Constellation's board, would be costly. If a Buffett-led acquisition fails, a buyer would have to pay a $175 million breakup fee.

      Constellation's relationship with Maryland officials has been strained at times. It attempted to raise rates 72% in 2006 following expiration of a lengthy rate freeze, arguing power-procurement costs had gone up, even though many purchases were from plants once owned by the utility that were in a deregulated energy unit.

      Constellation later agreed to a much-reduced rate increase. The state faces a possible electricity shortage after 2011, and is considering ordering utilities to get back into the power-plant-construction business, furnishing electricity at regulated prices.

      das war mal nett
      nochmal 10 % drauf wegen dem fallenden Euro :keks:
      der meiner Meinung nach noch tiefere Kurse sehen wird !!

      und dann wird im September die Entscheidung fallen ob den Aktionären 26,50 reichen oder wir vielleich doch noch höhere Kurse sehen ;-)

      Was wird wohl passieren, sobald - und falls irgendwann im 1 HJ. 2009 ! - Electricité de France die Übernahme der 49,99 Prozent des Kernenergiegeschäfts des US-Konzerns Constellation Energy genehmigt bekommen hat ?

      Antwort auf Beitrag Nr.: 36.358.585 von Meganonn am 12.01.09 20:17:07... seither hat sich Constellation klammheimlich und peu a peu ein paar weitere Prozenterl aufwärts bewegt - und dies trotz des anhaltenden heftigen Kursverfalls an den Weltbörsen. Oh Wunder. ;):laugh:
