      WEST ORANGE, NJ--(Marketwire - June 26, 2008) - BIH Corporation (PINKSHEETS: BIHC) announced today that its Board of Directors as previously announced has agreed to a buyout of its subsidiary Baron International, Inc.

      The Company believes that its shareholders are entitled to an estimate of the pending agreement. The pending agreement is subject to a contractual due diligence period with a sales price already negotiated; the sales price is between 0.19 and 0.23 cents per share. The acquiring party has a 5 day due diligence period of which to accept or to decline the agreed upon acquisition price contractually.

      The Company has already determined that if the above-mentioned occurs, it will pay a one time cash dividend of between 0.07 and 0.09 cents per share as recommended by its attorneys and accountants (for tax purposes) to each and every shareholder on the record date, to be determined upon the acceptance and executed acquisition agreement.

      BIH Corporation continues renegotiations of its contract for the sale of its Baron International subsidiary; the negotiations pertain to an adjustment in the acquisition price due to Baron's addition of several lucrative new major accounts and increased revenue.

      Baron facts:
      Galo said they buy Baron and the fact is they did. No lies!
      Valley National Bank the exclusive source of financing. This action will accelerate profits and sales, as we now have a lender of choice. The company believes that this new source of financing will increase sales by $5,000,000 a year or more," said Mr. Robert Ingala President of Baron International. Fact Robert Ingala was one of the former owners of Baron and now works for BIHC after 26 years he sold to them. Another fact Valley National Bank did deal with Baron to. Just not finding any lies about anything with Baron.
      Fact they said deal with Mets they got contract. No lies.
      Fact they said working on deal with Takk they got that deal. No lies.
      Fact Baron has very impressive client list and relationship with Pepsi.
      Fact Baron has been in business for 26 years. Fact not lies.
      Fact buyer came weeks after Mets deal.
      BIHC last Jul 31 2007 announced paying a stock div to shareholders who owned as of Aug 15. That shows fact they have done a div before. Fact shareholder got the div last year.
      New fact Fact they said price was going up for Baron because of new contracts since buyer came in June. The signing of Applebee contract for millions seems to have supported truth on that as well.

      New fact both Galo and Ingala stand to gain the most from a cash div being paid out. Both have restricted shares and being paid a div gets them cash and at lower tax rate then if they sold shares.

      New Fact they need to close deal and pay out div in same year. They have to for div to lower gain on sale of Baron for overall taxable income from sale of Baron. One of the main reasons to pay a div is to offset some of the gain for tax purposes so has to be in same year.

      Um 1 Cent Dividende zu erhalten benötigt man zwischen 11 und 15 Aktien, sollten die genannten Bedingungen eintreten, steht da. Ich sags mal so deutlich, dass es hier keine bösen Überraschungen gibt.

      Was mich wundert, selbst im Ihub oder auf Yahoo sprechen sie von 9 - 12 Cent und nicht von $, egal ich glaube das die Dividende nur eine Randerscheinung ist.

Die Instatalation des TAKK Systemes wird jetzt selbst über Subunternehmer vorgenommen.

      Als Ausgleich für die angekündigte Dividende erhält jeder

      Wird leider immer mehr zur Warterei...
      Was glaubt ihr in Sachen Dividende? Ihub darf man ja garnich lesen, jeden Tag Verzögerung erhöht die Schwarzmalerei. Ich hab noch mal nachgelegt und glaub zumindest kurzfristig an einige 100% allein durch die Nachricht dass die nasdaq die Dividenden-Daten veröffentlicht
