- July 9, 2008) - Potash North Resource Corporation (the "Company") (TSX VENTURE:PON) is pleased to announce that it has closed its private placement announced on June 10, 2008 and has issued 13,100,000 units at $2.50 per unit for gross proceeds of $32,750,000.

The syndicate of agents led by Canaccord Capital Corporation, and including GMP Securities L.P., National Bank Financial Inc., Wellington West Capital Markets Inc., Genuity Capital Markets Inc. and Salman Partners Inc. were paid a cash commission of 6% of the proceeds and 786,000 compensation options each exercisable to purchase one unit at $2.50 per unit until July 9, 2010. Peninsula Merchant Syndications Corp. ("Peninsula"), a company controlled by Sam Magid, was paid $600,000 for investment and consulting services related to the offering.

Each unit sold in the offering and each unit which can be acquired on exercise of the compensation options comprises one common share and one common share purchase warrant with each warrant entitling the holder to acquire one common share of the Company at $4.00 per share until July 9, 2010. The common shares and any common shares issued pursuant to the exercise of the common share purchase warrants before November 10, 2008 are subject to a hold period expiring on and restricted from trading on the TSX Venture Exchange until November 10, 2008.

Of the 1,100,000 units sold pursuant to Potash One's participation rights, Potash One Inc. subscribed for 1,000,000 units, bringing the total number of securities of the Company owned by them to 7,538,850 common shares, 6,583,850 common share purchase warrants at an exercise price of $0.50 and 1,000,000 common share purchase warrants purchased in this offering at an exercise price of $4.00.

Net proceeds from the offering will be used to finance the exploration, evaluation and potential development the Company's KP 416 and KP 417 potash permits in Saskatchewan and for general corporate purposes. The exploration program outlining the program was announced on July 8, 2008.

Further, in accordance with the purchase and sale agreement under which the Company indirectly acquired permits KP416 and KP 417 and as a consequence of receiving TSX Venture Exchange acceptance of the Technical Report filed on Sedar on July 7, 2008 the Company has paid the balance of the purchase price for KP416 and KP417 to Peninsula by issuing a $1.75 million unsecured convertible debenture (the "Debenture") and paying Peninsula $825,000. The terms of the Debenture are set forth in the Company's news release of May 12, 2008 and the Debenture and any shares and warrants issuable thereunder are subject to a hold period expiring on November 10, 2008.

sieht alles soweit ganz nett aus ... ich war bei 0,34 CAD eingestiegen

dennoch bleibe ich bei aller euphorie etwas skeptisch ob das ganze bei der zur zeit eher unruhigen handelstage auch mit blick auf die kommenden wochen in einen kontinuierlichen aufwärtstrend mündet hoffentlich werde ich es nicht bereuen jetzt erstmal weiter dranzubleiben..

POTASH ONE AND POTASH NORTH ANNOUNCE BUSINESS COMBINATION

Potash One Inc. and Potash North Resource Corp. have entered into a binding letter of intent (LOI) containing the principal terms by which, subject to satisfaction of certain conditions, Potash One will acquire all of the issued and outstanding common shares of Potash North through a plan of arrangement or other form of business combination.

The LOI contemplates that each Potash North shareholder will receive 0.3125 common share of Potash One for each common share of Potash North. In addition, all outstanding convertible securities of Potash North will be exchanged for comparable convertible securities of Potash One in an amount and at exercise prices adjusted in accordance with the same exchange ratio. The exchange ratio represents an approximate 29-per-cent premium for the shares of Potash North over the 20-trading-day period prior to the execution of the letter of intent.

There are currently 65,745,002 Potash North common shares issued and outstanding, 2.75 million outstanding options to purchase Potash North common shares, 38,672,000 Potash North common shares issuable pursuant to outstanding share purchase warrants and an additional five million common shares and five million common share purchase warrants issuable pursuant to an outstanding unsecured convertible note. Potash One owns 7,583,850 common shares of Potash North, which represents 11.5 per cent of the currently outstanding shares of Potash North and an additional 7,583,850 share purchase warrants.

Certain shareholders including Potash One and all the directors and officers of Potash North have agreed to vote their shares in favour of the business combination.

The business combination will require the approval of Potash North securityholders, the Toronto Stock Exchange and the TSX Venture Exchange, and will be subject to other customary conditions, including the execution of a definitive agreement and completion of due diligence.

The letter of intent provides that Potash North shall not, directly or indirectly, solicit, initiate or encourage letter of intent offers from, or negotiations with, any third party with respect to any other potential merger or acquisition of all or a material portion of Potash North's business, assets or outstanding securities except where required to satisfy fiduciary obligations of directors. Potash North and Potash One have both agreed to pay a non-completion fee of $2.5-million under certain circumstances. The transaction is expected to close by May 15, 2009.

The business combination, once completed, will create one of the strongest junior potash development companies in Canada. Potash One will be fully financed through to completion of feasibility on its solution mining amenable potash development property located in Southern Saskatchewan (the Legacy project). Current cash of the resulting company would be approximately $50-million.

Paul F. Matysek, president and chief executive officer of Potash One, stated: "I am very pleased that Potash One has been able to execute this binding letter of intent with Potash North as this transaction strengthens our balance sheet, further consolidates the potash junior industry and positions the company with over 500,000 acres of subsurface Potash permitholdings, in Saskatchewan. This includes a very prospective exploration-stage potash property adjacent to the largest potash mine in the world. Potash prices at record high, whereas company share values low.Potashprices have soared in recent years. What was once a commodity worthabout $200 a tonne is now expected to fetch $1,500 by 2020.

According to Scotiabank economist Patricia Mohr potash purchasersare currently paying US$872.50 per tonne at the port of Vancouver. “Itis at a record high,” she added. UBS Investment Research reduced itsforecast for the period 2009-2011 from $1,100 per tonne to $920 pertonne, a cut of 19 per cent. However, potash is holding up much betterthan other fertilizers - the UBS researchers slashed their priceforecast for the same period for nitrogen-based fertilizer urea by 36per cent, from $690 per tonne to $440 per tonne.

The rising value of potash has been reflected in the revenue andprofits of potash producers. For example, Potash Corp. saw potash saleshit $932 million for the three months ending December 31, 2008, nearlytwice as much as the $479 million the company posted for the samequarter one year earlier. Profits are, however, not translating intoincreasing share values for potash miners. Potash Corp. of Saskatchewanhas seen its share price fall by more than 60 per cent from its 52-weekhigh. Mosaic Co., is in even worse shape, off almost 80 per cent from its year-high. Potash One’s shares are off 80 per cent; Intrepid Potash, is down 74 per cent; Athabasca Potash Inc., down 86 per cent;

In the past, potash producers would have panicked and slashed pricesto keep their piece of the agricultural market. Nowadays, however, thefive major potash producing countries generally reign in output to dealwith slumping markets. Early in 2009 many of the big players announcedtheir intentions to curb output during the year.

Intrepid Potash Inc said on Wednesday it would temporarily haltproduction and then cut shifts at its New Mexico facilities to pareback inventory as sales of crop nutrients remain weak. “While Intrepidanticipates that this reduction in our production rates to beshort-lived, the timing of market demand and sales conditions willultimately drive the level of production,” the company said in astatement. Two of its three facilities in Carlsbad, New Mexico, willshut for two weeks starting February 9, followed by a two-week shutdownat the third one after that. Operations would then resume with threecrew shifts instead of four.

Rio Tinto has completed the sale of its undeveloped potash assets toVale for a cash consideration of $850-million.The transaction includedthe Potasia Rio Colorado potash project, in Argentina, and the Reginaexploration assets, in Canada. Rio Tinto will use the proceeds fromthe divestment for repaying its debt. The potash divestment was part ofa larger transaction that included the Corumbá iron-ore mine, inBrazil, and the associated river logistics operations in Paraguay. TheCorumbá transaction is anticipated to be completed in the second halfof 2009.

Potash miner Uralkali could face an expense bill in excess of $86million after the Russian government ruled it could have done more toprevent a mine flood in 2006. The renewal of the probe has stokedinvestor fears of a possible asset grab by the state. Uralkali, citingthe commission’s report, said on Wednesday the government had incurredexpenses of 3 $85.8 million resettling local residents and building a6-km rail link around a sinkhole caused by the flood. The governmentreport said Uralkali would be liable for these damages, plus possiblefuture costs including mineral resource losses, expenses incurredrelocating power utilities and by state railway monopoly RussianRailways, Uralkali said.” There has to date been no judicial decisionrequiring Uralkali to reimburse the expenses listed in the report,” thecompany said.

Potash One Inc is taking over Potash North Resource Corp in anagreed deal that will see Potash North shareholders relinquish each oftheir shares in return for 0.3125 Potash One share. The exchange ratiorepresents an approximate 29 per cent premium for the share price ofPotash North over the 20-trading day period prior to the execution ofthe binding letter of intent which fixes the terms of the businesscombination, Potash One said in a statement. The deal will create oneof the strongest junior potash development companies in Canada. PotashOne will be fully funded through to completion of feasibility on itssolution mining amenable potash development property located insouthern Saskatchewan - the Legacy project. Current cash of theresulting company would be approximately CD$50 million. The transactionis expected to close by May 15, 2009.

POTASH ONE COMPLETES BUSINESS COMBINATION WITH POTASH NORTH

Potash One Inc., effective April 16, 2009, has completed a business combination with Potash North Resource Corp. Pursuant to the business combination, Potash One acquired all the issued and outstanding shares of Potash North, with each outstanding Potash North share exchanged for 0.3125 common share of Potash One.

Potash North share purchase warrants remain exercisable according to their terms, however, when exercised, will entitle the holder to acquire Potash One shares on the basis of the above-noted exchange ratio. Incentive stock options of Potash North were exchanged for stock options of Potash North with appropriate adjustments to the number of shares issuable on exercise and the exercise price, and in the case of holders of options not continuing with Potash One, the options will expire in 12 months.

As a result of the business combination completing, Potash North is now a wholly owned subsidiary of Potash One. Effective April 16, 2009, the common shares of Potash North have been halted from trading on the TSX Venture Exchange pending delisting. Potash One remains listed on the Toronto Stock Exchange.
