TowerJazz and Soitec Sign Agreement to Offer Backside Illumination Platform for High-End Image Sensors

Collaboration enables rapid ramp to turnkey solution for fabless CIS designers targeting industrial, medical and automotive applications

High-end BSI image sensor market to reach $120M by 2013

TowerJazz, the global specialty foundry leader and The Soitec Group (Euronext Paris), the world's leading supplier of silicon-on-insulator (SOI) and other engineered substrates for the microelectronics industry, announced today that they have signed an agreement that will enable a turn-key solution for high-end backside illuminated (BSI) CMOS image sensors (CIS) for industrial, medical and automotive applications.

"The market for BSI CMOS image sensors replacing current Front Side Illumination (FSI) technology is expected to reach $800M in 2013," according to Jerome Baron, principal analyst at Yole Developpement. "The BSI image sensor market will be mainly driven by digital cameras and cell-phone applications, but high performance imaging applications such as medical, industrial and automotive vision sensors are also an important segment. We estimate the market for high-end BSI image sensors to reach $120M in the same time frame."

The TowerJazz BSI CIS offering will leverage the foundry's extensive expertise and leadership in CIS technology and will integrate SOI substrates and Soitec's new Smart Stacking™ circuit layer transfer technology, customized for the TowerJazz fabrication process. Soitec is the market leader in SOI wafers and circuit stacking solutions and TowerJazz is well-known for its industry leading pixel performance. This collaboration will enable a rapid ramp to a complete BSI foundry solution that can be transparently utilized by TowerJazz customers.

Backside illumination is fast gaining traction in the image sensor market for its higher resolution, smaller pixels that capture far more light, higher quantum efficiency (QE), and improved performance. BSI allows 100% fill factor of pixels maximizing photon collection without any shading of metals. This provides very high light sensitivity in high-end applications.

SOI substrates, which Soitec manufactures using its patented Smart Cut™ process, make BSI much more robust to manufacture in high volume. Soitec's new Smart Stacking technology enables chip manufacturers to leverage wafer-to-wafer level stacking through low-stress bonding and high-precision thinning of partially or fully processed circuits. It is particularly well suited to achieving low cross-talk and better pixel quality in BSI CMOS image sensors through access to the backside of the device.

"This is a unique offering in the foundry area and we will be the first to offer such technology to customers as a foundry service. Soitec's SOI substrates and Smart Stacking circuit transfer technology are an excellent complement to our industry-leading CIS technology," said Dr. Avi Strum, Vice President and General Manager, TowerJazz Specialty Business Unit.

Soitec Announces Volume Production of new Generation of High-Resistivity SOI Substrates for Cellular Phone and Wi-Fi Markets

BERNIN, France, February 16, 2010 /PRNewswire-FirstCall/ -- The Soitec Group (Euronext Paris), the world's leading supplier of engineered substrates for the microelectronics industry, announced today volume production of its new generation of state-of-the-art high-resistivity (HR) silicon-on-insulator (SOI) substrates to serve the growing cellular phone and Wi-Fi markets. Soitec recently completed qualification at major customers for volume production in response to their rapidly growing demand. Soitec fined-tuned its HR-SOI process to stabilize the base wafer resistivity in order to meet all cellular electrical specifications.

The shift to multi-band, multi-mode radio functionality in today's handsets and the growth of Wi-Fi based-applications is driving a move to SOI-enabled solutions, which can enhance integration and programmability while reducing cost-of-ownership (COO) in RF Front End Modules more effectively than competing technologies. Soitec's Smart Cut technology is used to integrate a high resistivity base wafer enabling low signal absorption below the oxide. This high-resistivity option for SOI wafers enables chip designers to reach unprecedented levels of RF and mixed signal integration, which will free up valuable area for the RF functions by a factor of ten on the board.

"Our HR-SOI capacity is in place to serve the growing cellular market demand," says Paul Boudre, Chief Operating Officer, Soitec. "This new substrate generation enables chip designers to meet their demanding wireless performance requirements - low RF substrate loss, high isolation, high linearity - on very cost-effective silicon."

High-resistivity handle layers can also be combined with advanced SOI technologies that leverage a very thin top layer of silicon. Such wafers are excellent candidates for combining wireless functionality with lower power and higher speed logic on a single chip using a standard SOI CMOS process.

Manufactured in 200mm, Soitec's HR SOI substrates offer >1kOhm.cm resistivity, available in any custom silicon and box thickness. The company also offers HR SOI substrates in 300mm for the system on chip (SoC) market working at the 90nm node and below.

Applications Include High Brightness LEDs as Well as Electric Power Devices Designed for Hybrid and Full Electric Vehicles

Tokyo, Japan, December 1, 2010 − Soitec, the world’s leading supplier of engineered substrates and Sumitomo Electric Industries, Ltd., a leading worldwide provider of compound semiconductor materials, announced today they are working together to develop engineered gallium nitride (GaN) substrates. The alliance will draw on Sumitomo Electric’s sophisticated GaN wafer manufacturing technology and Soitec’s unique Smart Cut™ layer transfer technology by which ultra-thin GaN layers are transferred from a single GaN wafer to produce multiple, engineered GaN substrates. The engineered substrates retain the original, high crystalline quality of Sumitomo Electric’s GaN wafer at a lower cost. This technology will therefore facilitate widespread use of GaN substrates in applications like high brightness LEDs as well as electric power devices designed for hybrid and full electric vehicles.

“Our collaboration with Soitec will open the door to high quality, lower cost GaN substrates,” said Masamichi Yokogawa, Sumitomo Electric’s Executive Officer and General Manager of Compound Semiconductor Material Division. “We have demonstrated that the transfer of a thin layer of our high quality GaN crystal to a carrier wafer is the right approach to make our GaN material accessible for various applications such as power devices and white LEDs. We are expecting the collaboration with Soitec will enable wider use of our high-quality GaN wafer. We believe device manufacturers focused on low unit area costs will find value in the greater functionality of these engineered substrates.”

“We are delighted to work with Sumitomo Electric and excited about what we have been able to achieve together so far. We are partnering with the leader in GaN wafer manufacturing to offer engineered substrates that have the best crystal quality available today. This collaboration represents the first step of an important move in our strategy to address the need for dramatically improved efficiency in power conversion and lighting with innovative materials engineering solutions,” said André-Jacques Auberton-Hervé, CEO of Soitec.

      Soitec zieht CPV-Bilanz in Jordanien:

      Quelle: http://www.boursier.com/vals/FR/soitec-premier-bilan-promett…

Soitec’s CPV System Connected To Jordan's Grid Is “Excellent”
      Jan 17, 2011

This confirms the readiness for large-scale deployment of solar farms in the MENA Region. The company's technology, which is designed for use by large-scale solar power plants in hot and arid regions, is claimed to provide the highest efficiency.

Soitec a leading supplier of advanced solutions for the electronics and energy industries has reported excellent results for the company's concentrated photovoltaic (CPV) system in Jordan, which is connected to the nation's electrical grid.

The system, which was jointly installed with Azur Space Solar Power, ran continuously through the extremely hot summer and fall months, demonstrating full reliability and excellent results under the most demanding conditions.

Soitec's Concentrix CPV systems are also running at other locations in the MENA (Middle East and North African) region ; the firm has five CPV systems installed in Egypt (in the Wadi El Natrun desert valley, near Cairo), as well as a system connected to the grid in Oman (at the Ar Rusayl industrial park near Muscat. The company is also involved in Abu Dhabi's Masdar initiative to demonstrate the value of CPV technology for the region.

The company's technology, which is designed for use by large-scale solar power plants in hot and arid regions, is claimed to provide the highest efficiency of all solar technologies available. The systems are modular, flexible and have ultra-low water consumption.

After more than six months of operation, the system in Jordan provides an example confirming the excellent results of CPV technology in conditions of extreme heat, sunshine and dust. The average solar-to-grid efficiency reached 21%, with daily peak efficiencies regularly reaching 25% and beyond (2 to 3 times higher than standard photovoltaic installations, even in ambient temperatures of up to 45°C).

The system has been running on a continuous basis, with 100% uptime, demonstrating its reliability in a harsh environment. The measurement data confirm that the annual specific electricity yield will be as high as 2500 kWh/kW of installed nominal AC power. This high value is a result of the site's high level of direct solar irradiation in combination with the great performance of the system.

"Very high performance even under very high temperatures, and the fact that our systems require no water at all for cooling: these are the two advantages to highlight in the MENA region," says Hansjörg Lerchenmüller, Senior VP Customer Group of the Solar Energy Business Unit of Soitec. "We have proven with real systems that our technology is best suited for the region, and we are ready for high-volume deployment."

Due to the very-low-temperature coefficient of their III-V multifunction concentrator solar cells, the performance of CPV systems is much less affected by temperature than any other PV technology, particularly those that are silicon-based. In fact, in extreme heat, silicon-based PV systems, Soitec says, suffer from a three times greater loss in efficiency when compared to systems such as Concentrix CPV technology, which is based on III-V semiconductor materials.

For this reason the technology shows best performance even during summer when electricity demand is particularly high due to air conditioning requirement – and all this, without any requirement of cooling water. This makes CPV technology perfectly suited for power plant installations in arid areas like in the MENA region.

Due to the technology's high scalability, CPV power plants can be commissioned in phases, thereby shortening the time to operation. In fact, the first units installed and connected to the grid can immediately start to produce energy, even while the installation of subsequent systems is in progress. Once operational, CPV's peak production hours align with the region's peak electricity demands from air conditioning.

Soitec will exhibit its Concentrix CPV technology at the World Future Energy Summit, in the French Pavilion, booth #8403 on January 17-20 in Abu Dhabi.

      »ARM Cortex« in SOI-Technologie aufgebaut

      - Tenaska Solar Ventures Selects Soitec's Concentrix CPV Solar Power Technology To Produce 150 Megawatts of Clean Energy For San Diego Gas&Electric

      - Soitec Will Build a New 200MW CPV Manufacturing Facility in the San Diego Region.

Soitec (Euronext Paris), a world-leading supplier of advanced solutions for the electronics and energy industries, today announced that its Concentrix concentrated photovoltaic (CPV) technology has been selected by Tenaska Solar Ventures to produce 150 megawatts (MW) of clean energy for San Diego Gas&Electric. The new CPV solar power plant, named Imperial Solar Energy Center (ISEC) West, will be constructed on a 1057-acre site in Southern California's western Imperial County, and is expected to be completed in 2015. To support the project, Soitec will build a new factory in the San Diego region to manufacture its proprietary CPV modules. With an annual production capacity of 200 MW, the new CPV manufacturing facility will supply CPV modules not only to ISEC West, but to other utility-scale solar power projects throughout the desert southwest of the U.S.

San Diego Gas&Electric (SDG&E) signed a 25-year power-purchase agreement with a subsidiary of CSOLAR Development, LLC, a renewable energy company managed by Tenaska Solar Ventures that will develop and operate the ISEC West solar power plant. The ground-mounted concentrated photovoltaic power plant will have a capacity of 150 MW of solar generated electricity. The ISEC West project will produce enough electricity to meet the annual electricity needs of approximately 55,000 California homes. Concentrated photovoltaic technology converts sunlight directly into "clean" electricity via concentrator optics and high efficiency solar cells that neither produce noise nor emit greenhouse gases. Additionally, CPV technology requires no water for ongoing operations, a crucial consideration for the water-constrained Imperial Valley. Finally, the ISEC West project represents a significant economic investment in Imperial County, one that will create hundreds of jobs in the area.

"The start of construction of the Sunrise Powerlink has triggered a wave of proposed new utility-scale solar and wind projects in the Imperial Valley region," said James Avery, SDG&E's senior vice president of power supply. "What is unique about this contract is that not only will the Imperial Valley benefit from the jobs created to construct the solar plant, San Diego will benefit from the approximately 450 new jobs that will be created at the new manufacturing facility that will be located here in the region. SDG&E's voluntary commitment to obtain 33 percent of its power from renewable sources by 2020 is creating new jobs in both the Imperial Valley and here in San Diego, and we are proud of this accomplishment."

Concentrix CPV solar power systems are more efficient and perform better than conventional solar systems, particularly at locations with extremely hot ambient temperatures and dry weather conditions. Because of the very low temperature coefficient of its multijunction solar cells, a CPV system's performance is much less affected by temperature than any other photovoltaic technology. Additionally, a CPV system's 2-axis tracker produces a high and constant power production output throughout daylight hours. According to Dave Fiorelli, President of Tenaska's Development Group, "The ISEC West solar power plant will demonstrate Concentrix CPV scalability, and commercial viability of this innovative technology for utility scale deployment. We are excited to work with Soitec and SDG&E to bring clean energy to the homes and businesses of Southern California."

"Soitec is extremely pleased that Tenaska Solar Ventures chose our Concentrix CPV technology for the ISEC West solar power plant," adds Andre-Jacques Auberton-Herve, CEO and Chairman of the Board of Soitec. "Our CPV systems are perfectly suited for the very high solar irradiance prevalent in the Imperial Valley. As a CPV leader, we are very committed to the U.S. market and look forward to increasing our presence in the San Diego community by contributing to the emerging renewable energy ecosystem in the region."

The ISEC West project has applied for a U.S. Department of Energy loan guarantee. Upon receipt of the guarantee and closing of its agreement with Tenaska, Soitec will implement capacity investments to construct its San Diego area factory and pursue options for related financing. The factory location is anticipated to be announced this summer, with completion expected within 18 months of construction start. Soitec's delivery of the CPV systems to the ISEC West solar power plant will begin in early 2013 and finish in 2015. At full capacity, Soitec's San Diego operations will generate up to 450 jobs in the local area.

Soitec to showcase its full range of RF substrate technologies at CS ManTech, May 16-19 in California

Leader in Engineered Substrates Uniquely Positioned to Enable the Connected Mobile Devices of the Next Decade

From the CS ManTech trade show, Indian Wells, Calif., May 16 , 2011 — Soitec, a world leader in generating and manufacturing revolutionary semiconductor materials for the electronics and energy industries, will showcase its full range of radio-frequency (RF) substrate technologies for mobile and consumer applications at this week’s 2011 International Conference on Compound Semiconductor Manufacturing Technology (CS ManTech). Soitec is the only semiconductor materials supplier offering three RF substrate technologies – gallium arsenide (GaAs epi), high-resistivity silicon-on-insulator (Wave SOI™), and bonded silicon-on-sapphire (B-SoS) – to fit its customers’ individual needs according to their device integration and performance requirements. Each of Soitec’s materials is well suited for fabricating large volumes of RF ICs for mobile applications, a segment that accounts for half of the global consumer electronics market in 2011.

Soitec’s mature technologies including Smart Cut™, Smart Stacking™ and III-V epitaxy enable structures with multiple layers or even stacked circuits. For any type of product strategy that RF manufacturers are pursuing, Soitec has the substrate technology to produce components with higher RF performance and lower costs.

“In the fast-paced mobile and consumer electronics markets, our customers need material solutions to improve energy efficiency and performance, as well as leverage their products’ integration,” said Paul Boudre, chief operating officer of Soitec. “Our full spectrum of substrate products and related technologies provide them with the differentiation to reach higher performance levels and drive innovation while reducing their costs and meeting market demand.”

GaAs epi wafers is a product line that Soitec has been offering for several years. Soitec manufactures these substrates in high volumes using an extremely accurate method for growing thin single-crystal layers. Because GaAs offers the highest RF mobility, it is the substrate of choice for millimeter wave-frequency applications. Its high breakdown voltage, low RF loss and high linearity also make it the state-of-the-art material for producing high performance RF ICs. In addition, Soitec is applying its core technology expertise to develop new innovations to further push this compound material in this market.

Soitec’s other products and technologies include Wave SOI™ and bonded SoS substrates, which have all of the performance attributes needed for integrating digital and RF functions – including switches, power amplifiers and antenna tuning – on one chip to produce advanced RF front-end (RFFE) modules. These modules are used in a wide variety of consumer electronics, from smart phones and tablet computers to digital cameras and gaming consoles.

Wave SOI ™ substrates from Soitec deliver the superior performance of SOI in isolating signal from noise, ensuring signal power integrity. They also demonstrate good insertion-loss and offer the same programmability as standard silicon bulk substrates. Ongoing advances in high-resistivity SOI technology and processing options continue to improve this material’s RF capabilities.

Soitec also manufactures bonded SoS wafers using the company’s process expertise and direct wafer-bonding technologies to transfer and bond a high-quality, thin silicon layer onto a sapphire substrate. The resulting bonded silicon layer offers impressive improvements in transistor mobility and silicon quality beyond conventional SoS wafers. Soitec’s substrates enhance RF ICs’ performance, functionality and form factor, enabling IC size reductions and performance increases of as much as 30 percent.

Soitec will exhibit in booth #502 at the CS ManTech trade show, May 16-19 in Indian Wells, Calif. As an additional information resource, a new white paper on ‘RF Substrate Technologies for Mobile Communications’ is available on Soitec’s web site at: www.soitec.com.

      Press Release

Soitec and Schneider Electric sign memorandum
of understanding with Masen on integrated
partnership on CPV technology in Morocco

First partnership under Mediterranean Solar Plan

Rabat (Maroc), June 15, 2011 – Soitec, a world leader in generating and manufacturing revolutionary semiconductor materials for the electronics and energy industries, and Schneider Electric, the global specialist in energy management, today announced that they have signed a memorandum of understanding with Masen (Moroccan Agency for Solar Energy), lead player in the Moroccan Solar Plan, on an integrated partnership on Concentrix technology in Morocco. Completion of the project will create a CPV segment serving domestic needs and generating exports of electricity and power plants, thereby contributing to a strategy of controlled energy costs over the long term for Morocco and to the achievement of a plan to build a manufacturing facility in the country.
The Franco-Moroccan initiative marks the first utility-scale project under the Mediterranean Solar Plan in one of the 43 member countries of the Union forthe Mediterranean (UfM), a partnership uniting Europe with countries in the Mediterranean Basin.

      Davon verstehe ich nämlich was.

      Antwort auf Beitrag Nr.: 41.853.352 von newefra am 27.07.11 16:50:39Danke für die Info aus '106 und #108;

So was kann eintreffen.

genau - Mehrwert schaffen, Gewinne machen.

Can Solar Thermal (CSP) Compete With PV Panels at $1 per Watt?
Absolutely, according to the CEO of BrightSource Energy

The plunging costs of photovoltaic panels tend to dominate the solar news pages. It's a dramatic and disruptive development for customers and suppliers.

Industry lore has it that concentrated solar thermal (CSP) is going to have a difficult time competing against flat plate PV from First Solar and the Chinese suppliers like Suntech, Yingli, Trina, and Jinko.

Not true, according to the CEO of IPO-bound BrightSource Energy CEO, John Woolard.

Woolard said in a conversation with Greentech Media Research on Wednesday that BrightSource's CSP was substantially cheaper than PV and that BrightSource can "compete on cost alone." He added that BrightSource can beat PV on lower LCOE (levelized cost of energy), even with panel costs at $0.50 per watt.

One might ask, how is that possible?

Ivanpah, including a profit margin for BrightSource, is estimated to cost $2.2B for 392 megawatts (370 megawatts net); that is $5.95 per watt-AC. With a capacity factor of 30 percent, that would imply an LCOE of $0.146 per kilowatt-hour.

A large-scale PV plant, including profit margins for the suppliers, can be built for closer to $2.80 per watt-DC ($3.30 per watt-AC). With a capacity factor of 21 percent, that would imply an LCOE of $0.123 per kilowatt-hour.

For a complete analysis of the levelized cost of solar by technology, we have provided an excerpt from the GTM CSP Report.

Click here to view the free presentation detailing the inputs and resulting cost forecasts through 2020.

So, how could BrightSource be cheaper?

The answer is that BrightSource is cheaper when comparing their next generation of plants (to be completed in 2014 and beyond) versus PV plants.

Looking at the chart displayed at the bottom of this article, BrightSource is saying that the projected improvements in the red line (power tower) between 2011-2014 will be realized.

BrightSource's next generation of plants will be much larger, thereby improving efficiency, lowering cost-per-watt, and lowering LCOE.

Woolard said that the company is "always pushing" to reduce cost and that higher efficiency lowers the cost of materials and labor.

The firm is raising the power of their modular field from 130 megawatts (like at Ivanpah) to 250 megawatts at future deployments. This helps the economics, as doubling the capacity only increases the power block costs by 40 percent.

Woolard contends that the higher capacity factor storage and the spinning aspect of the turbine improves power quality over that of "spiky DC power." Woolard adds that public utility commissions care about the "hidden costs behind these intermittent assets."

He put it plainly: "CSP has more value."

Brett Prior, a senior solar analyst at GTM Research, has looked at the LCOE economics of CSP in a recent report, Concentrating Solar Power 2011: Technology, Costs and Markets. (See chart below and the report for more details.) But even if solar can get its LCOE down to $0.10/kWh, that still seems high versus gas combined-cycle plants at $0.06 per kilowatt-hour. That is the harrowing number that solar and all new energy must compete with if it is going after dispatchable wholesale power. On the other hand, national and state renewable portfolio standards create a market for renewables. Natural gas, currently at unnaturally low price levels, will also likely rise in the coming years: escalating consumption could make the U.S. a net importer of methane by 2030.

Photovoltaic projects are winning PPAs at below the market price referent today in the neighborhood of $0.10 per kilowatt.

Another entrant in the CSP with molten salt storage field is Santa Monica, Calif.-based SolarReserve, which is building a 110-megawatt solar thermal plant in Nevada with help from a $737 million DOE loan guarantee. SolarReserve CEO Kevin Smith told us back at Intersolar that it could produce power for close to 12.5 cents per kilowatt-hour, a figure that will drop to 7.5 cents in a few years.

South Africa opens request for proposals for 1.65 GW of PV, CSP

The RFP will include up to 200 MW of CSP

The South African Department of Energy (DoE) has opened competitive solicitation process for renewable energy development, including 200 MW of concentrating solar power (CSP) and 1.45 GW of solar photovoltaics (PV).

The program will also solicit 100 MW from projects 1-5 MW in size, which can be PV, wind, biomass or biogas. It will not use the renewable energy feed-in tariff (Refit) published by the National Energy Regulator of South Africa in 2009.

"The abandonment of the Refit has raised anxiety levels among potential developers, which warned that the absence of a predetermined tariff would raise the risks associated with the roll-out of renewables projects in South Africa," stated the South African Alternative Energy Association.

"But the DoE and the National Treasury had raised their own concerns that the Refit might not be legally compliant with government procurement rules. They had also indicated that they did not want to repeat some of the financial errors associate with Refit programmes in other countries."

First deadline of August 31st, 2011

On August 1st, 2011, the DoE issued the first request for proposals (RFP) for renewable energy projects to meet its goal of 3.72 GW of electricity generation from renewables.

In order to qualify for this first of five rounds, renewable energy developers must notify the DoE of their intent to bid by August 31st, 2011, and submit bids by November 25th, 2011.

      Bids ceiling of USD 0.397/kWh

Bids will be evaluated on both price and economic development criteria, with price weighted at 70%. Bids for PV or CSP will need to meet a price cap of USD 0.397/kWh, with other price ceilings for other technologies.

Bidders will also be required to post a bid guarantee of USD 14,000/MW.

Successful bidders will enter into an implementation agreement with the DoE and a power purchase agreement (PPA).

AMD starts shipping 16-core 'Bulldozer' chip
      Peter Clarke
      9/7/2011 11:36 AM EDT

LONDON – Advanced Micro Devices Inc. has said it has started "revenue shipments" of the first processor based on its Bulldozer x86 architecture; a 16-core x86-compatible processor codenamed Interlagos.

Initial production of Interlagos began in August, the company said. The chip is compatible with existing AMD Opteron 6100 Series platforms and infrastructure. Many of the initial shipments are set to go supercomputer installations, AMD (Sunnyvale, Calif.) said.

The Interlagos chip is reportedly manufactured for AMD by Globalfoundries Inc. (Sunnyvale, Calif.) using a 32-nm silicon-on-insulator manufacturing process with high-K gate insulator and a metal gate (HKMG).

"This is a monumental moment for the industry as this first Bulldozer core represents the beginning of unprecedented performance scaling for x86 CPUs," said Rick Bergman, senior vice president at AMD, in a statement. "The flexible new 'Bulldozer' architecture will give Web and datacenter customers the scalability they need to handle emerging cloud and virtualization workloads."

Sumitomo Electric to make GaN substrates with Soitec technology (update)
      22 Feb 2013

Sumitomo Electric will invest in Soitec’s Smart Cut technology in order to produce large-diameter GaN substrates. Meanwhile, Soitec has licensed HVPE growth technology to GTAT.

Two semiconductor materials companies, France-based Soitec and Japan’s Sumitomo Electric Industries, Ltd., have signed a licensing and technology-transfer agreement under which Sumitomo Electric will use Soitec’s proprietary Smart Cut technology to manufacture engineered gallium nitride (GaN) substrates for LED lighting applications.

In related news, Soitec has licensed its technology for hydride vapor-phase epitaxy (HVPE) technology to GT Advanced Technologies (GTAT). This will enable GTAT to manufacture HVPE systems for the deposition of GaN layers on sapphire substrates (see below for more details).

The Soitec-Sumitomo deal extends the strategic alliance between the two companies dating from December 2010, which aimed to leverage Sumitomo Electric’s expertise in materials technology and Soitec’s Smart Cut layer-transfer technology.

Most GaN-based LEDs begin life with the deposition of multilayer semiconductor structures on sapphire substrates. Cree uses silicon carbide for its LED production, while some manufacturers such as Toshiba are using silicon substrates. GaN substrates offer a significant advantage for the growth of GaN-based layers, namely the much lower lattice mismatch between the layers and the substrate. However, GaN bulk crystals are difficult to grow, and commercially available GaN substrates are generally small in size and very expensive.

The joint development program between Soitec and Sumitomo Electric has already demonstrated the capability to produce four- and six-inch engineered GaN substrates in a pilot production environment. High-quality, ultra-thin layers of GaN are transferred – using the Smart Cut process – onto new mechanical substrates.

The starting point is a large-diameter, free-standing GaN substrate, which is then bonded to a mechanical substrate. Smart Cut technology is used to remove the GaN substrate but leaving a thin GaN layer on top of the mechanical substrate. This is supplied to customers as the starting substrate for LED layer epitaxial growth. The separated GaN wafer can then be re-used. The companies say that the engineered wafers have exhibited high functionality at a low production cost.

Because Soitec’s material-transfer technology enables the reuse of GaN wafers several times, this achieves a substantial reduction in the cost of high-quality GaN materials to serve high-volume applications, according to Yoshiki Miura, general manager of the Compound Semiconductor Materials Division at Sumitomo Electric. “By combining the two innovative technologies – Soitec’s Smart Cut technology and our high-quality, large-diameter, free-standing GaN substrates – we are able to offer a high-value proposition to our LED customers,” said Miura.

Having proven the effectiveness of the technology-transfer process, Sumitomo Electric will now industrialize the product and invest in Smart Cut technology.

“This is the first licensing agreement of our Smart Cut technology to leverage a reusable, expensive base material to bring an economically viable process to this field,” said Frédéric Dupont, vice president of Soitec’s Specialty Electronics Business Unit.

Soitec’s Smart Cut technology has been developed in collaboration with CEA-Leti, a France-based research laboratory. It uses both implantation of light ions and wafer bonding to respectively define and transfer ultra-thin, single-crystal layers from one substrate to another. It works like an atomic scalpel, allowing active layers to be managed independently from the supporting mechanical substrate.

      Soitec licenses HVPE technology

GT Advanced Technologies (NASDAQ: GTAT) and Soitec have signed a development agreement and a licensing agreement (please insert URL linking to press release) allowing GT to develop, manufacture and commercialize a high-volume, multi-wafer HVPE system to produce high-quality GaN epi layers.

The higher growth rates and improved material properties made possible by the HVPE system are expected to significantly reduce process costs while boosting device performance compared with the traditional MOCVD process, say the companies.

The HVPE system will enable the production of GaN layers on sapphire substrates. These so-called GaN template wafers can be used to grow LED epitaxial structures. The expected target date for the commercial availability of the HVPE system is the second half of 2014.

Soitec updates its 2015 and 2016 financial guidance

      Bernin, France, December 22, 2014 -

Soitec, a world leader in generating and manufacturing revolutionary semiconductor materials for the electronics and energy industries, announced today that several significant updates on major solar projects drive an update on its 2015 and 2016 financial guidance.

In California, Soitec had sold to a large Energy Service provider 150 MW(AC) of Power Purchase Agreements ("PPAs") with San Diego Gas & Electric ("SDG&E") for a solar project under development in California (see press release dated October 23, 2014). Soitec has been informed by the new owner of the PPA contract that they are facing a major roadblock which prevents the project to materialize. Certain of the administrative conditions pertaining to the transaction could not be fulfilled timely. Soitec will therefore not receive the expected CPV systems order from the designated EPC contractor which was anticipated to leverage its US cost base. Soitec continues to explore new opportunities with its local partners in order expand its US pipeline.

In South Africa, Soitec successfully completed all requested testing procedures and got confirmation from the South African utility (Eskom) for the final commissioning of the 44MWp solar plant. This major milestone evidences the technical capabilities, the reliability and performance of Soitec's CPV technology; it should also trigger the awaited cash collection related to the project.

As a consequence of the recast of the Solar Energy division's anticipated sales until the end of the current fiscal year and for the next fiscal year, supported by a project pipeline for the 2015-2016 fiscal year around 70MWp in equipment sales, Soitec will implement an immediate scale down of its San Diego facility and related cost control actions in accordance with current pipeline. But The Group is now anticipating that its current operating loss will not be significantly reduced in H2 compared to H1. It is further anticipated that a specific impairment charge shall be recorded in H2 FY14-15 in order to reflect on the adjusted US pipeline of projects.

In the Electronic division, the anticipated FDSOI ramp up and continued growth on RF SOI applications will drive a significant top line growth and increase in profitability in fiscal year 2015-2016 driven by operating leverage on cost base and current existing capacities. The Group is anticipating confirmation about volumes production from major foundries already committed on FDSOI adoption over the next financial year.

Therefore in relation with the decrease of the US solar projects pipeline, but also potential new projects in different countries and positive momentum in its electronic activities, the Group will reassess before the end of the current fiscal year its objectives for the 2015-2016 fiscal year.

      Agenda

The sales for the third quarter of the 2014-2015 fiscal year will be published on January 19, 2015, after the closing of the Paris stock exchange.

Strategic re-focus on core electronic business

On January 16, 2015, the Board of Directors unanimously decided to immediately implement and support a strategic plan which aims to re-focus Soitec activities on its core electronics business.

Soitec has initiated efforts to realize value of solar energy business combining significant restructuring measures going forward and will assess most appropriate scenario to extract value from its solar related assets in compliance with its obligations towards all solar stakeholders.

As a consequence of the recast of the anticipated Solar Energy sales Soitec has triggered a first batch of cost cutting actions freezing or cancelling many operating charges and reducing headcount by around 100 people in the United States. Further cost cutting measures will be implemented in accordance with firm anticipated short term demand as well as appropriate restructuring measures.

By the end of December 2014, unaudited cash resources amounted to 28.4 million Euros. Following recent successful full commissioning of its Touwsrivier plant in South Africa, the Group is anticipating to collect up to 40 million Euros in the coming months.

Additionally, Soitec has signed a 2 years Standby Equity Facility (SEF) with Societe Generale. Societe Generale has committed to subscribe, upon Soitec's request, to newly issued shares in successive tranches over the next 24 months, within a global limit of 22,000,000 shares (9.8% of the share capital). Should the entire standby equity facility be drawn down, a shareholder currently owning 1% of the company's share capital would see its share ownership reduced to 0.91%.

For each tranche, the issuance price will reflect the volume-weighted average price of shares for the three trading days preceding the issue date, minus a discount of no more than 5%. This discount will enable Societe Generale to underwrite the share issuance despite potential market volatility.

The Group reiterates that its current operating loss will not be significantly reduced in H2 compared to H1. It is further anticipated that a significant impairment charge shall be recorded in H2 FY14-15 in order to reflect solar scenario outcome and restructuring measures implemented.

SOITEC'S NEW RF-SOI SUBSTRATES EXPAND THE FRONTIERS OF MOBILE COMMUNICATIONS
New Soitec eSI90 RF-SOI Wafer Improves RF Performance of
High-End Smart Phone Components for LTE Advanced

      Bernin (Grenoble), France, January 26th, 2015 -

Soitec (Euronext), a world leader in generating and manufacturing revolutionary semiconductor materials for the electronics and energy industries, has introduced its eSI90 substrate, the newest high-end wafer in its radio-frequency silicon-on-insulator (RF-SOI) product family. The eSI90 is designed to improve the RF performance of mobile communication components such as high-linearity switches and antenna tuners that are integrated in high-end smart phones for LTE Advanced networks using carrier aggregation. This enables multiple LTE carriers to be used together, providing higher data rates to enhance user experience.

The new wafers are Soitec's second generation of eSI substrates, based on engineered high-resistivity (HR) substrates. Today, eSI substrates have been widely adopted (http://www.soitec.com/en/news/press-releases/soitec-announce…) by leading RF semiconductor companies to address device cost and performance needs for the 3G and 4G/LTE mobile wireless markets. Soitec's eSI90 product exhibits higher effective resistivity than first-generation eSI wafers, enabling a 10-decibel (dB) improvement in linearity performance in RF front-end modules to address the stringent new requirements of LTE Advanced smart phones.

"Soitec continues to be the innovation frontrunner in RF-SOI substrates for the mobile industry with the introduction of eSI90, enabling high-performance RF devices for LTE Advanced and next-generation smart phones," said Dr. Bernard Aspar, senior vice president and general manager of Soitec's Communication & Power Business Unit. "Today, we estimate that more than one billion RF devices are produced each quarter using our eSI wafers. We are pleased to help our customers, the leading RF IC companies, meet the booming demand from the LTE Advanced market."

Soitec developed a new metrology standard, the Harmonic Quality Factor (HQF), to predict the expected RF linearity of finished ICs. HQF correlates with the second harmonic distortion value of a coplanar waveguide deposited on the substrate. The new eSI90 wafers' HQF maximum value is set to -90 decibel-milliwatts (dBm) compared to -80 dBm for first-generation eSI substrates. The lower limit on eSI90 wafers enables chip makers to take advantage of design and process improvements to increase the RF performance of their semiconductor designs and to meet MIMO (Multi-Input Multi-Output) and Carrier Aggregation LTE Advanced requirements, providing faster data connections.

      New financing in April 2015

At the end of March 2015, unaudited cash resources reached 23 million Euros and net debt is anticipated at 167 million Euros.

Additionally, during the month of April 2015, Soitec successfully reached a binding agreement (under conditions precedent), with many of its stakeholders, including its banks, to secure loan financing up to 54 million Euros with a maturity of April 2016. Shin Etsu Handotai (major bulk wafers supplier to Soitec SA and historical shareholder) has committed to loan up to 30 million Euros. Bpifrance Participations, shareholder of Soitec has committed to loan up to 15 million Euros.

The CEA, Soitec’s technology partner, has committed to loan up to 9 million Euros through its CEA Investissement subsidiary’s “strategic fund”, specialized in the financing of innovative companies developed by its European research centers. In addition, its microelectronics research center CEA-Leti, which has developed SOI and continues to support its technology roadmap, has accepted postponement of payment under its license agreements and for its work realized for Soitec in 2014, for a total of 8 million Euros. Total CEA support amounts to 17 million Euros.

Current banks credit lines for a total of 37.2 million Euros have been restructured with a single bullet reimbursement to be repaid in November 2019.

Closing of this agreement and drawdown of these loans are expected by the end of May 2015.

The Group is confident that current cash resources and the new financing package should enable the group to run successfully its restructuring plan and Electronic activities for the current fiscal year. Additionally, anticipated proceeds from solar business assets disposal and Touwsrivier transaction should reinforce its cash position.

Sales guidance for fiscal Q116 Sales

For fiscal Q116, Soitec expects wafer sales for the Electronic division of around 60 million USD.

      Agenda

Audited results for the financial year 2014-2015 will be published on May 28 before the opening of the Paris Stock Exchange.

      Q1-Zahlen

Q1’16 Electronics sales in line with guidance at 54.1 million Euros Management confirms the strategy refocusing on electronics business

      Bernin, France, 20th July 2015 –

Soitec (Tech 40 Euronext Paris), a world leader in generating and manufacturing revolutionary semiconductor materials for the electronics and energy industries, today announced total consolidated sales of 55.4 million Euros for the first quarter of FY15-16, up 116%, compared to 25.7 million Euros last year (77% at constant exchange rate). This is due to the recovery in the electronic core business and a low activity in the 300 mm during last fiscal year first quarter. The 14% decrease compared to 64.3 million Euros in the fourth quarter of FY15 (15% at constant exchange rate) is explained by seasonal recurrent high activity recorded during the last FY quarter. Reported separately, the Solar business generated 4.5 million Euros of sales (down 81% year on year and down 2% sequentially).
      ...
Electronics sales reached 54.1 million Euros in Q1’16, in line with May 28th guidance of 60 million Dollars (54.3 million Euros at constant exchange rate). This represents a 117% year-on-year increase and a 9% sequential decline.

Electronics sales are in line with management guidance and should continue to benefit of a solid RF market. Soitec is also well positioned to capture potential future growth linked to the FD SOI technology’s adoption.

The wafer business continues to be driven by the steady demand for 200mm diameter wafers with applications in the mobile (RF devices) and automotive (power) markets. The 200mm facility in Bernin (France) currently runs at high efficiency indicators and benefits from a healthy order intake for FY16.

The 300mm diameter is mostly related to the partially-depleted “PD”-SOI technology (devices for gaming and PC markets) and photonics devices for datacenters and networking markets. The Group continues to support qualification of 300mm FD-SOI wafers at strategic foundry customers to capture market growth for consumer electronics, automotive and industrial applications. Soitec also welcomes GlobalFoundries’s announcement made last week as the leading foundry reported the introduction of the first 22-nanometer fully depleted silicon-on-insulator (SOI) technology platform (22FDX) with production due to start in the second half of 2016.

Royalties generated 1.5 million Euros of revenues in Q1’16.
      ...
Other activities generated 1.4 million Euros of sales in Q1’16 (up 82% year on year and down 71% sequentially).

The Lighting business generated 0.7 million Euros

The Equipment business generated 0.7 million Euros

Solar activities generated 4.5 million Euros of sales in Q1’16

Solar business, for which a sale negotiation is ongoing, generated 4.5 million Euros revenues in Q1’16. System sales were mostly in France and China.

Strategic refocusing on core electronic business

In January 2015, the Board of Directors decided to implement a strategic plan aiming at refocusing Soitec’s activities on its core electronics business. This will lead to simplify the organization and to adjust transversal support functions. As announced on May 21th 2015, Soitec signed an agreement with ConcenSolar, a privately held company and a business partner of concentrator photovoltaic (CPV) leader Suncore Photovoltaic Technology Co Ltd, to sell its solar system business. Soitec expects the transaction to be closed before the end of the fiscal H1’16.

Cash available at 63 million Euros at the end of June 2015

At the end of June 2015, after completion of new financing package described in May 28th press release, cash available amounted 63 million Euros (unaudited) compared to 23 million Euros in March. Gross debt amounted to227 million Euros.

      Sales guidance for Q2’16 Sales

For Q2’16, Soitec expects wafer sales to be in line with Q1’16, at constant exchange rate.

Sales for the Q2’16 quarter will be published on October 19th after the closing of the Paris Stock Exchange.

      Hoffnung geplatzt

Soitec announces the end of negociations with ConcenSolar regarding a sale of solar assets and continues its refocus on electronics

Bernin (Grenoble), France, August 5th, 2015 – Soitec (Euronext), a world leader in designing and manufacturing semiconductor materials for the electronics and energy industries, today announced that despite the signature on May 20, 2015 of an agreement for the sale of a portion of its solar business (including technology assets and manufacturing operations in Germany and in the USA) to ConcenSolar, a privately held company and a business partner of Suncore Photovoltaic Technology Co Ltd, the closing will not occur.

Soitec is disappointed and particularly for the loss of this opportunity with the corresponding anticipated capital gains as expected and indicated in its communications dated May 20 and 28, 2015. Due to the depreciated book values of the contemplated assets as of fiscal year ending March 31, 2015, the company will not record additional depreciation in its accounts.

Soitec will continue its plan to refocus on its core electronics business and to transition away from its solar business activities. Maximizing opportunities to realize value from its solar assets remains a priority for Soitec. Soitec will also continue to support its current solar energy customers.

nehme an, das sind gute Zahlen?:
Soitec reports Electronics sales in line with management guidance and 23% growth in its Q2’16 consolidated revenues versus last year

      • Electronics sales marginally higher at constant exchange rates on a sequential basis
      • H1’16 consolidated revenues of 110.8 million Euros, up 56% versus H1’15

Bernin, France, October 19, 2015 – Soitec (Euronext Paris), a world leader in generating and manufacturing revolutionary semiconductor materials, today announced total consolidated revenues of 55.4 million Euros for the second quarter of FY’16. This represented a rise of 23% (growth of 3% at constant exchange rates), versus 45.2 million Euros in the previous financial year, restated to exclude the Solar activities. In line with management’s decision to halt the Solar activities, consolidated revenues no longer reflect Solar sales, which are accounted for under discontinued operations.

In the first half of FY’16, revenues grew by 56% to 110.8 million Euros (growth of 30% at constant exchange rates), from 70.8 million Euros in H1’15, restated to exclude the Solar activities.

      ...

Q2’16 Electronics sales in line with management guidance

Q2’16 wafer sales totaled 54.8 million Euros. Quarterly sales were underpinned by growing demand for 200mm diameter wafers with applications in the mobile (RF devices) and automotive (power) markets. This increase was more than offset by declining activity in the 300mm partially depleted silicon-on-insulator (PD-SOI) wafer segment.

The 200mm facility in Bernin (France) is running at almost full tilt, with a healthy backlog of orders for 200mm wafers through to the end of the 2016 calendar year. Under the manufacturing agreement with Simgui in China, Soitec’s production capacity will increase in 2016, allowing it to take full advantage of growing demand for 200mm wafers for the radiofrequency (RF) and power electronics markets.

Sales of 300mm wafers recorded a sequential decline in Q2’16 as certain PD-SOI products for PC and gaming applications were discontinued. Soitec continues to work on qualification of its 300mm fully depleted silicon-on-insulator (FD-SOI) wafers at strategic foundry customers to capture future substantial market growth for consumer electronics, automotive and industrial applications. What’s more, the market for 300mm wafers for RF devices also has bright prospects.

Royalties generated 1.1 million Euros in revenues in Q2’16 and 2.5 million Euros in H1’16.

Other activities (Lighting and Equipment) generated 0.6 million Euros and 1.9 million Euros in sales in Q2’16 and H1’16 respectively

Lighting sales came to 1.0 million Euros in H1’16 (versus 1.3 million Euros in H1’15). Equipment sales totaled 0.9 million Euros in H1’16 (versus 0.7 million Euros in H1’15).

Solar activities reported as discontinued operations

Soitec has decided to report its Solar activities separately under discontinued operations for FY’16 because the Group is withdrawing from this segment to refocus on Electronics. For Q2’16 and H1’16, Soitec has reported revenues of 5.4 million Euros and 9.9 million Euros respectively (down 52% and 72% respectively year-on-year).

With the end of negotiations with ConcenSolar regarding the sale of certain Solar assets (as previously announced in our press release on August 4, 2015), Soitec has ceased all manufacturing and R&D activities in San Diego (USA) and Freiburg (Germany) and continues to sell off the residual assets of its Solar activities.

Stable cash position of 71 million Euros at September 30, 2015

Soitec’s cash position at September 30 stood at 71 million Euros (versus 63 million Euros at June 30, 2015) owing to the firm performance of the Electronics business and proceeds from disposals of certain Solar assets (San Diego building and small solar farms).

      Electronics sales guidance for Q3’16

For Q3’16, Electronics sales are expected to grow by 5% versus Q2’16 (at constant exchange rates).

Paul Boudre, Soitec’s CEO and Chairman of the Board, commented: “While we have been actively managing the process of withdrawing from the Solar activities, we enjoyed a solid performance in our Electronics business. Driven by the mobile and automotive markets, the momentum in 200mm diameter wafer sales remains particularly strong.

This is more than offsetting the decline in 300mm diameter wafers for PC and gaming applications. During the second quarter we’ve seen the fully-depleted silicon-on-insular ecosystem boosted by further industry progress such as GlobalFoundries’ new FD-SOI technology platform. In the meantime, the first 200-mm SOI wafers produced by Simgui in China represent a major milestone. This has enhanced our confidence in our ability to meet the fast-growing demand in radiofrequency and power markets.”

      Agenda
Financial results for H1’16 will be published in mid-November.

      bin zu rund 1,72 bedient worden;
daraus ergibt sich eine laufende Verzinsung von 6,75%/(1,72/2,58) = 10,125%

und dazu kommt im Tilgungsfall eine Rendite von (2,58/1,72)°1/3 = 14,47%

      => finde 24,6% p.a. = Kapitalverdoppelung in 3 Jahren nicht schäbig

      bin gespannt!

      Meldung zu Q3:

Soitec reports Electronics sales for the third quarter of FY'16 up 6% at constant exchange rates on a sequential basis, in line with its expectations

      • Q3'16 Electronics sales rose 37% year-on-year or 20% at constant exchange rates
      • Consolidated revenues for the first nine months of FY'16 amounted to 171.7 million Euros, up 49% compared with the first nine months of FY'15

      Bernin, France, January 20, 2016 –

Soitec (Euronext Paris), a world leader in manufacturing innovative semiconductor materials, today announced total consolidated revenues of 60.8 million Euros for the third quarter of FY’16. This represented a rise of 36%(growth of 19% at constant exchange rates), compared with 44.6 million Euros in the previous financial year excluding the Solar activities[1].

In the first nine months of FY’16, revenues grew by 49% to 171.7 million Euros (growth of 27% at constant exchange rates), from 115.4 million Euros in the first nine months of FY’15.

Q3'16 Electronics sales in line with management guidance

Q3’16 wafer sales totaled 58.9 million Euros. At constant exchange rates, that represents an increase of 6% compared with Q2'16 and a 20% rise relative to Q3'15.

During Q3'16, Soitec saw a further increase in sales of 200mm wafers and an increase in 300mm wafers.

› Sales continued to be driven by strong demand for products in the mobile (RF devices) and automotive (power) markets. In particular, the use of RF-SOI technology continues to increase in smartphones, where this technology fully meets the requirements dealing with the rising number of frequency bands and higher data speed requirements.

Soitec's order book at its 200mm site in Bernin is full until the end of calendar 2016. Nevertheless, Soitec should continue to support growth in RF applications by meeting demand for 300mm wafers, a segment in which it recorded its first sales in Q3'16. Available capacity at the Bernin site will enable Soitec to meet expected increase in demand for 300mm RF products in the next two years.

Soitec will also be able to start using the additional production capacity of its partner Simgui in China for 200mm technologies. Client qualification of Simgui's 200mm wafer plant is continuing and production at that plant is likely to ramp up over the next few quarters.

› In digital applications, sales in the PC, games console and ASICs – 300mm partially depleted silicon-on-insulator (PD-SOI) wafers – saw an increase in Q3'16, due in particular to the delivery of a large order. Sales of PD-SOI wafers nevertheless reflect the end of the lifecycle of certain products.

The qualification process by foundry customers for 300mm fully depleted silicon-on-insulator (FD-SOI) wafers is continuing, with a view to starting production at certain fabless customers. Management confirms that the first integrated circuits made on 28nm FD-SOI wafers are currently going into production.

› Royalties generated 1.6 million Euros in revenues in Q3’16 and 4.1 million Euros in the first nine months of FY'16, representing a 59% increase compared with the first nine months of FY'15.

Other activities (Lighting and Equipment) generated sales growth of 20% in Q3'16

The Lighting and Equipment businesses generated 1.9 million Euros of sales in Q3'16. That figure broke down into 0.3 million Euros in Lighting and 1.6 million Euros in Equipment (Altatech Semiconductor).

In the first nine months of FY’16, Lighting and Equipment revenues grew by 10% year-on-year to 3.9 million Euros.

In Q3'16, Soitec completed the disposal of its non-strategic Lighting R&D activities based in Phoenix, USA.

Sales in the Solar business, recognized under "discontinued operations" totaled almost 12 million Euros in Q3'16

Revenues in the Solar business are recognized separately under "discontinued operations" in line with Soitec's decision to refocus on its Electronics business. Solar revenues amounted to 11.9 million Euros in Q3'16 (versus 3.4 million Euros in Q3'15) and 21.8 million Euros in the first nine months of FY'16 (versus 38.6 million Euros in the year-earlier period). Management reiterates that it has ceased all manufacturing and R&D activities in San Diego (USA) and Freiburg (Germany) and is continuing to sell off the residual assets of its Solar activities.

Cash position in line with expectations

On December 31, 2015, Soitec's cash position was 51 million Euros as opposed to 71 million Euros on September 30, 2015.

This evolution was in line with management expectations, and was caused by:

      - non-recurring expenses related to the discontinuation of the Solar business and the sale of R&D activities in the Lighting business;

      - the increase in the working capital requirement in line with growth in the Electronics business;

      - interest payments on Soitec's debt.

Debt amounted to 220 million Euros at December 31, 2015, almost unchanged compared with September 30, 2015.

Continuing talks with investors in order to strengthen the balance sheet

Given the size of its debt and its inadequate equity level, Soitec indicates that it is continuing talks with several investors with a view to their possible involvement in a recapitalization project.

      Electronics sales guidance for Q4’16

For Q4’16, Electronics sales are expected to grow by over 10% versus Q3’16 (at constant exchange rates).

Paul Boudre, Soitec’s CEO and Chairman of the Board, commented: "The implementation of our strategy in the Electronics segment is continuing to pay off. In Q3'16, we achieved further sequential sales growth in Electronics, and wafer sales continued to be supported by strong demand for products in the mobile and automotive markets.

Given our level of debt and our low equity level, we are in continuing talks with several investors to strengthen our balance sheet and to support our development.”

Agenda: Q4'16 revenues will be published on April 18, 2016.

Soitec proposed two successive capital increases for a total consideration of €130 to €180 million, supported by CEA Investissement, NSIG and Bpifrance

      Bernin, France, 10 February 2016 -

Soitec (Euronext Paris), a world leader in manufacturing of innovative semiconductor materials, today announces its intention to carry out two capital increases for a total amount between 130 million and 180 million Euros:

      a reserved capital increase for a total amount of €76.5m, at a price of 0.55€ per share;
a subsequent capital increase with preferential subscription rights ("rights issue") for a total amount of €53.5m to €103.5m. The size of the rights issue will be adjusted to finance potential OCEANE 2018 buy-back opportunities at attractive conditions from a shareholders' perspective.

Following the two operations, CEA Investissement ("CEAI"), National Silicon Industry Group ("NSIG") and Bpifrance Participations ("Bpifrance") would each hold 14.5% of the company's shareholding. CEAI would have the option to increase its stake to 15% thereafter.

      Purpose of the operations

The proceeds from the issuance are intended to finance investments in FD-SOI production capacity and strengthen Soitec's balance sheet through the reimbursement of the loans maturing in May 2016 and the potential buy-back of the OCEANE 2018 notes.

Soitec's decision to invest further in FD-SOI capacities complies with the group's strategic reorientation of its activities on electronics and the promising perspectives on widespread FD-SOI adoption in the semiconductor industry, as two of the four largest foundries in the world reported moving into mass production and performing multiple tape-outs using FD-SOI wafers.

Soitec's stronger financial position will enable it to finance the investments needed to reach full capacity with FD-SOI 300mm at its Bernin II site (France) and to capture more of the major growth potential in the market for consumer, automotive and industrial applications.

Paul Boudre, CEO and Chairman of Soitec's Board of Directors, made the following comments: "The capital increases we are proposing are intended to strengthen Soitec's financial position, as well as helping to finance our growth and giving us a stabilized shareholding. I am delighted that our existing shareholder Bpifrance is putting its trust in us again, and I very much look forward to welcoming as shareholders CEA Investissement, a subsidiary of CEA, our long-standing research and development partner, and NSIG, a Chinese industrial investment group whose specialisation in the semiconductor industry will provide a vital edge in ensuring the success of our FD-SOI technology in China. We are counting on the support of all our shareholders, who will be invited to vote on this operation; it is crucial to Soitec's future and to the continuation of the operational momentum we have built up since we decided to focus on the Electronics business."

Christophe Gégout, Chairman of CEA Investissement and deputy CEO of CEA, made the following comments: "By becoming a shareholder in the Group, CEA Investissement is determined to forge closer ties, built on CEA's longstanding relation with Soitec as a technology provider. The CEA gave rise to Soitec, a spin-off of its LETI division (Laboratoire de l'Électronique et des Technologies de l'Information), a pioneer in Silicon On Insulator technology and the inventor of the Smart-Cut process. CEA has worked with Soitec on research and development programs in substrates and innovative materials over a number of years. This collaboration has shown us Soitec's industrial and technological excellence. We are delighted to be moving on to this new stage in our relationship while new development prospects are opening up in the wake of Soitec's decision to refocus on electronics"

Xi WANG, Chairman of NSIG, made the following comments: "NSIG is an investment platform specialized in advanced technology. We are convinced that the FD-SOI technology developed by Soitec has great promise in a number of markets around the world, holding out the prospect of fruitful growth and development, supported by industrial, technological and human strengths of the company. We are delighted to have this opportunity to contribute to the development of Soitec."

Nicolas Dufourcq, CEO of Bpifrance, stated: "Soitec enters a new phase of growth centered on the adoption of its FD-SOI technology, a major innovative step for the main actors of the semiconductor industry. Bpifrance welcomes the support of CEAI and NSIG, whose presence will help to consolidate Soitec's technological leadership in FD-SOI and foster its development in China, whilst maintaining a strong technological foothold in France."

Main terms of the operations and subscription commitments

The proposed capital increases are supported by Bpifrance, Soitec's largest shareholder, CEA Investissement, a wholly-owned subsidiary of CEA, a long-standing technology partner of the Group and NSIG, a Chinese industrial investment group dedicated to the semiconductor industry.

Under the proposed capital increases, these investors would, in the aggregate, subscribe to an approximately 76.5 million Euros reserved capital increase at a price of 0.55 Euro per share and would each subscribe to their pro-rata entitlement in the rights issue with the aim of holding 14.5% of the shareholding each.

The amount of the rights issue, open to all shareholders, would be comprised between approximately 53.5 million Euros and 103.5 million Euros (including premium), with the final amount to be determined depending on opportunities available to Soitec to buy-back some of its OCEANE 2018 at attractive conditions from a shareholders' perspective.

Following the rights issue, CEAI will have the ability to increase its shareholding interest in Soitec to up to 15%, through a reserved capital increase at the same conditions as the reserved capital increase described above.

      Conditions and timetable considerations

The transactions have been approved on 9 February 2016 by the Board of Directors on the basis of an opinion of BM&A Advisory & Support, acting as independent expert, which will be made available to the shareholders ahead of the general meeting.

Soitec, Bpifrance, NSIG and CEAI have signed on 10 February 2016 an agreement setting forth the main terms of the investment of Bpifrance, NSIG and CEAI, which will be detailed in a definitive documentation.

It is anticipated that all the necessary resolutions for the two capital increases will be presented for the vote of an Ordinary and Extraordinary Shareholders' general meeting of Soitec to be convened upon signing of the definitive documentation in the coming weeks. Soitec intends to carry out the reserved capital increase as soon as possible after such shareholders' general meeting and in any event before the end of the first semester.

The subscription by the three investors to the reserved capital increase and to their pro-rata share of the right issue are subject to the vote of the necessary resolutions relating to the capital increases and the governance by the Ordinary and Extraordinary Shareholders' general meeting of Soitec, the approval of the necessary prospectuses and the obtaining of the other regulatory approvals, including the Chinese approvals necessary for the investment of NSIG.

      Governance

In addition, resolutions will be presented at the Ordinary and Extraordinary Shareholders' meeting in order for:

Bpifrance to continue to have two board representatives,
CEAI (who already has one seat at the Board) to have an additional board representative,
NSIG to have two board representatives,
the board to include 4 independent members,
so that after the completion of the capital increases, each investor would have a total of 2 board seats in a Board of Directors that would be composed of 13 members. The governance of Soitec will be adapted accordingly.

Subject to certain exceptions, NSIG will be subject to a standstill at 14.5% of the share capital or voting rights. This standstill obligation would terminate if a third party had an interest in excess of 14.5% (or if CEAI had an interest in excess of 15%). This obligation would apply for a 3 year period. If NSIG were to exceed the level of the standstill for the 2 years following the initial 3 years period, NSIG would lose its governance rights under the definitive documentation.

In addition, for 18 months, Bpifrance, NSIG and CEAI would not submit a resolution to the shareholders' meeting which shall not have been recommended by the board of directors.

During five years, sales of Soitec securities held by Bpifrance Participations, CEA Investissement and NSIG will be subject to orderly disposal requirements.

A plan to strengthen the Group's balance sheet and help finance its growth

The proposed capital increase announced today echoes the Group stated intentions to explore ways of strengthening its balance sheet. Indeed, Soitec's equity was at the inadequate level of 22.8 million Euros at 30 September 2015, whereas gross debt amounted to 220 million Euros on December 31, 2015 including 42 million Euros due to be repaid in May 2016. On December 31, 2015 Soitec's cash position was 51 million Euros.

Soitec has made significant progress in withdrawing from its Solar activities, and is continuing to assess its strategic options regarding its Lighting and Equipment businesses.

Soitec's strategy is to focus on its core business: engineered substrates enabling large consumer Electronics markets. Soitec has achieved a successful transition over the past four years from niche PC and gaming business segments to mass mobile consumer market. Today, the company is seeing continuous growth in demand for mobile (RF) and power (automotive) applications. In particular, RF-SOI is today the mainstream platform for Smartphone's RF switches. The use of Soitec RF-SOI technology continues to increase in smartphones, where this technology fully meets the requirements of 4G/ LTE-Advanced dealing with the rising number of frequency bands and higher data speed. In addition, Soitec Power SOI, used in the automotive market since 2000, is expected to have a steady long-term growth with the electronics content increase in cars.

Soitec's order book for its 200mm wafer plant in Bernin (France) is almost full for calendar 2016. The high-volume capacity of the 300 mm fab at Bernin site will enable Soitec to meet expected increase in demand for 300mm RF products and will be a market booster for RF-SOI technology in the coming years. Soitec will also be able to start using the additional production capacity of its partner Simgui in China for 200mm products. Client's qualification of Simgui's 200mm wafer plant is under way and production at that plant is likely to ramp up over the next few quarters.

In digital applications, sales of 300mm partially depleted silicon-on-insulator PD-SOI wafers reflect the end of the lifecycle of certain products (PC, games console and ASICs, Application Specific Integrated Circuits).

FD-SOI (fully depleted silicon-on-insulator technology) adoption has started, the Group is ready to provide customers with 300mm wafers aligned with the tightest industry specifications. The FD-SOI ecosystem is benefiting from new advances, as two of the four largest foundries in the world reported moving into mass production and performing multiple tape-outs using FD-SOI wafers. The two foundries will manufacture system-on-chip (SoC) requiring digital and mixed-signal integration for power and cost-sensitive applications such as the growing mainstream consumer mobile, Internet of Things (IoT) and automotive markets. Soitec has been shipping FD-SOI substrates with specifications required in high-volume production for initial ramp. Today's FD-SOI substrates exhibit the same mature performance as bulk silicon, making FD-SOI a de facto industry standard platform.

Soitec's stronger financial position will enable financing of the investments needed to reach full capacity of FD-SOI 300mm at its Bernin site (France) and thus to capture more of the major growth potential in the market for consumer, automotive and industrial applications.

Bernin, France, 12 April 2016 – The Board of Directors of Soitec (Euronext Paris), a world leader in manufacturing innovative semiconductor materials, has announced that the company’s Combined Shareholders’ Meeting was held on 11 April 2016, chaired by Mr. Paul Boudre, with a quorum of 25.82 % for the Ordinary General Meeting and a quorum of 26.95 % for the Extraordinary General Meeting.

The Ordinary General Meeting was able to vote, and all the resolutions falling within its competence were approved. The Extraordinary General Meeting was able to vote, except on the 7th and 8th resolutions, which could not be put to a vote on account of a lack of quorum; this was because Bpifrance was unable to vote its shares on these two resolutions, which concerned the planned capital increase reserved for it. The other resolutions presented at the Extraordinary General Meeting for which a quorum was reached (i.e. resolutions 9 to 17) were all approved.

Consequently, shareholders will be invited to meet on second call on 29 April 2016 and to vote on resolutions 7 and 8 in accordance with the notice published in the BALO official journal of 21 March 2016.

The Board points out that the implementation of the whole capital increase plan announced on February 10, 2016 depends on these resolutions, and that their approval is essential for Soitec to be able to carry out the reserved capital increases that will enable it to meet its repayment deadlines in May 2016.

Shareholders who have already voted by post or by proxy in response to the invitation to the EGM of March 21, 2016 do not need to return another voting form. Soitec’s Board of Directors strongly encourages shareholders who have neither voted by post nor appointed a proxy to cast their votes in response to this second call.

Antwort auf Beitrag Nr.: 52.016.501 von R-BgO am 19.03.16 09:41:45Soitec reports Electronics full-year revenues of 232.3 million Euros, up 36% (or 20% at constant exchange rates)

      • Electronics revenues recorded a sequential increase of 10% at constant exchange rates in Q4, in line with the Group’s forecasts
      • Consolidated FY’16 revenues came in at 237.5 million Euros, up 32% compared with the previous year
      • Ongoing refocus on the Electronics core business

Bernin, France, 13 April 2016 – Soitec (Euronext Paris), a world leader in manufacturing innovative semiconductor materials, today announced consolidated revenues of 65.8 million Euros for the fourth quarter of FY’16, representing a 2% increase (+0.5% at constant exchange rates), compared with 64.3 million Euros in the fourth quarter of the previous year (excluding Solar sales[1]).

For FY’16 as a whole, consolidated revenues reached 237.5 million Euros, a 32% increase (+17% at constant exchange rates), compared with 179.7 million Euros in FY’15.

      ...

Electronics Q4’16 revenues in line with forecasts

Revenues for the Electronics business reached 64.6 million Euros in the fourth quarter of FY’16. At constant exchange rates, this represents a 10% growth compared to Q3, or 7% compared with Q4 of the previous year.

In the fourth quarter, Soitec recorded a slight sequential decrease in revenues for its 200mm segment, but benefited from a strong increase in sales of 300mm wafers as well as a substantial increase in revenues from royalties and intellectual property.

› The Electronics business continues to be strongly driven by demand for products in the mobile (RF devices) and automotive (power) markets. RF-SOI technology is particularly suited to smartphones, where needs are driven by the rising number of frequency bands and higher data speed requirements. The Bernin site has continued to operate at full capacity as far as 200mm RF production is concerned. The slight decrease in 200mm revenues was caused by a product mix effect. In addition, in the third quarter, Soitec started volume manufacturing of 300-mm RF-SOI susbtrates to meet the needs of the growing 4G/LTE-Advanced mobile communications market.

› In digital applications, even though partially depleted silicon-on-insulator (PD-SOI) products are approaching the end of their lifecycle, sales of 300mm wafers for PCs, games consoles and application-specific integrated circuits (ASICs) benefited from seasonality, recording a strong rise compared with the third quarter. The qualification process by foundry customers for 300mm fully depleted silicon-on-insulator (FD-SOI) wafers is continuing, with a view to starting production by certain fabless customers; which has enabled Soitec to continue its first sales of integrated circuits made on 28nm FD-SOI.

› Royalties and intellectual property generated revenues of 4.1 million Euros in Q4’16, compared with 1.6 million Euros in the preceding quarter.

For FY’16 as a whole, the Electronics business reported revenues of 232.3 million Euros, a 36% increase. At constant exchange rates, revenue growth was 20%, reflecting increases of 23% in sales of 200mm wafers, 7% in sales of 300mm wafers and 84% in royalties and intellectual property.

Other activities (Lighting and Equipment) generated revenues of 1.2 million Euros in Q4’16

Fourth quarter revenues for the Lighting and Equipment activities is made up of 0.8 million Euros for Lighting and 0.4 million Euros for Equipment (Altatech Semiconductor).

FY’16 revenues for Lighting and Equipment reached 5.1 million Euros, representing a 39% decrease compared with FY’15.

Sales in the Solar business, reported under "discontinued operations”, reached 0.4 million Euros in Q4’16

Revenues in the Solar business are reported separately under “discontinued operations" in line with Soitec’s decision to refocus on its Electronics business. Solar revenues amounted to 22.5 million Euros for FY’16 as a whole, compared with 43.2 million Euros for the previous year.

Significant progress made regarding the refocusing on the Electronics business segment

Regarding the Lighting business, Soitec has already announced having finalized the sale of its non-core R&D assets in Phoenix (USA) in the third quarter. During the month of March, Soitec contributed the assets enabling this business to operate to a joint-venture which was set up with a major player in the lighting sector. Soitec holds a minority interest in this joint-venture.

With regard to the Equipment business, Soitec announced that it sold its entire stake in Altatech Semiconductor for an undisclosed sum at the end of March 2016.

With regard to the Solar business, Soitec has ceased all manufacturing and R&D activities in San Diego (USA) and Freiburg (Germany) and is continuing to sell the residual assets of this business (sale of manufacturing equipment in the United States).

Proposed capital increases to strengthen the balance sheet

Given the size of its debt and its inadequate equity level, Soitec announced plans on February 10, 2016 for proposed capital increases of a total amount between 130 million and 180 million Euros (including 76.5 million Euros through reserved capital increases). These plans would enable Soitec to strengthen its balance sheet and establish a long-term shareholder base, in order to promote the widespread adoption of FD-SOI technology.

Regarding the use of the funds raised, the amount allocated to capacity investments would be around 40 million Euros, which would be invested in FD-SOI wafer production at the Bernin site. The remainder of the funds raised would be used to repay loans maturing in May 2016, amounting to around 50 million Euros, and to strengthen the Group’s balance sheet, notably by potential 2018 OCEANE bonds repurchase at favorable conditions for an amount between 40 million and 90 million Euros depending on market conditions.

      Prospects

Having now refocused on its core Electronics business, Soitec’s prospects appear encouraging.

For FY’16 (ending March 31), Soitec expects to report an EBITDA margin of around 15% for the Electronics business.

For FY’17, growth in demand for products used in RF and power applications should be strong, offsetting the effect of PD-SOI products reaching the end of their lifecycle. If that is the case, the aim for the Electronics business would be to achieve single-digit revenue growth at constant currencies and an EBITDA margin of around the same level as that reported for FY’16.

Regarding more specifically the first quarter of FY’17, Soitec expects its Electronics revenuesapproximately in line with those generated in the first quarter of FY’16 at constant exchange rates (i.e. a sequential decrease of around 15% compared with Q4’16).

In the longer term, the Group expects to benefit from the promising prospects resulting from the continuing adoption of FD-SOI in the semiconductor industry.

For more details on the objectives and trends for FY’17 and subsequent years, please refer to the items available in section 12 of the update to Soitec’s 2014-2015 reference documentfiled with the French stock market authority (Autorité des Marchés Financiers) on March 7, 2016.

Paul Boudre, Soitec’s CEO and Chairman of the Board, commented: “Strong demand for RF and power applications in the mobile and automotive markets enabled our Electronics business to record a full-year growth of 20% excluding exchange rate effects. Having accelerated the process of refocusing on our core Electronics business, we are increasingly confident regarding the prospects resulting from the large-scale adoption of FD-SOI in the semiconductor industry. The implementation of our recapitalization plans will give us resources to increase our financial flexibility while establishing a long-term shareholder base, in order to facilitate the widespread adoption of FD-SOI technology and support its industrial deployment.”

      Agenda

Shareholders will be invited to meet at an Extraordinary General Meeting on second notice on April 29, 2016.

Given the current capital increase plans, the date of publication of the FY’16 results has not yet been decided.

Results of the Extraordinary General Meeting on April 29, 2016

Approval by the General Meeting of Shareholders
of the final two resolutions enabling
Soitec's proposed capital increases to go ahead

Bernin, France, April 29, 2016 - The Board of Directors of Soitec (Euronext Paris), a world leader in manufacturing revolutionary semiconductor materials, is announcing that the Extraordinary General Meeting of the Company's shareholders held today on second call and chaired by Paul Boudre approved both resolutions on the agenda by a very large majority. These were the only two resolutions that the Combined General Meeting of April 11, 2016 was unable to vote on because the quorum requirement was not met.

The Group reiterates that all the resolutions that could be put to a vote were adopted at the Combined General Meeting that met on first call on April 11, 2016. Given the votes in favor expressed at the Extraordinary General Meeting held on second call on April 29, 2016, all the resolutions required for the Company's proposed capital increases[1] totaling between €130 million and €180 million announced on February 10, 2016 to go ahead have now been adopted.

The General Meeting of the Shareholders approved the whole proposed recapitalization project of Soitec and also the delegations of powers to the Board of Directors to carry out each of the three capital increases reserved respectively for Bpifrance Participations, CEA Investissement and NSIG Sunrise[2] (in a total amount of around €76.5 million) and the subsequent launch of a rights issue (in an amount of between €53.5 million and €103.5 million).

The final terms and conditions of the repurchase will be established in order to find an optimal balance between the price and the repurchased amount in light of the interests of the shareholders as well as the Company.

In case of repurchase (subject to completion of the Share Capital Increase) above 30% of the 2018 OCEANEs initially issued, the Company will implement a standing repurchase offer in France for a period of five (5) consecutive trading days starting on the next trading day following the determination of the repurchase price through the reverse book building in order to ensure a fair treatment of all of the 2018 OCEANEs holders.

In case of repurchase between 20% and 30% of the 2018 OCEANEs initially issued subject to completion of the Share Capital Increase, the Company reserves the right to implement such standing repurchase offer. The orders placed by the 2018 OCEANEs holders in the standing repurchase offer will be irrevocable.

The company will announce on 4 May 2016 (after market close) the number of OCEANEs repurchased in the reverse bookbuilding and, as the case may be, the launch of the terms and conditions of the standing repurchase offer and will precise the contact terms (together with contact details) of the financial intermediaries.

The settlement and delivery of the reverse bookbuilding will take place on the same date as (and under the condition of) the settlement and delivery of the Share Capital Increase. In case of non-completion of the Share Capital Increase, no 2018 OCEANEs submitted to the Company as part of the reverse bookbuilding will be repurchased. The settlement and delivery of the Share capital Increase and the OCEANEs repurchased is expected to take place as from 7 June 2016 pursuant to the indicative timetable mentioned below, subject to the markets conditions and the approval of the French Financial Market Authority (the "Autorité des marchés financiers" or the "AMF") on the prospectus related to the Share Capital Increase.

Therefore, the definitive number of OCEANEs repurchased will be announced on 12 May 2016 if the standing repurchase offer is launched and otherwise on 4 May 2016 (after market close).

The definitive amount of the Share Capital Increase will be determined on the basis of the amount allocated by the Company to the repurchase of the 2018 OCEANEs through the reverse bookbuilding and, if applicable, the standing repurchase offer.

The repurchase of the 2018 OCEANEs will be conducted by BNP Paribas and Natixis as Dealer Managers.

Lazard is acting as financial advisor to the Company.

The 2018 OCEANEs repurchased through the reverse bookbuilding and, if applicable, through the standing repurchase offer, will be cancelled in accordance with the terms of issuance and pursuant to applicable law.

Upon completion of the settlement and delivery of the Share Capital Increase, the Company reserves the right to conduct further repurchases of 2018 OCEANEs, on or off-market, and/or exercise, if applicable, the right to call, in its sole discretion, for the early repayment of the 2018 OCEANEs in accordance with the terms of their contract of issuance.

Bernin, France, 12 May 2016 - Upon completion of the reverse bookbuilding process launched on 3 May and 4 May, 2016, Soitec (the "Company" or "Soitec"), through the intermediary of BNP Paribas and Natixis acting as Dealer Managers, received irrevocable indications of selling interests on 22.073.131 bonds convertible into and/or exchangeable for new or existing shares issued by the Company on 18 September 2013 (ISIN: FR0011566793) and due 18 September 2018 (the "2018 OCEANEs"), representing approximately 55.18% of the number of the 2018 OCEANEs initially issued at a unit price of 2.45 euros per 2018 OCEANE (accrued coupon included).

The Company, in order to ensure a fair treatment of all of the 2018 OCEANEs holders, implemented in France on the regulated market of Euronext in Paris a standing repurchase offer for a period of five (5) consecutive trading days, i.e. from 5 May 2016 to 11 May 2016 included, at the same unit price as that decided for the reverse bookbuilding, i.e. 2.45 euros (accrued coupon included) per 2018 OCEANE.

Upon completion of this standing repurchase offer closed on 11 May 2016, 2,905,123 2018 OCEANEs, representing approximately 7.26% of the number of 2018 OCEANEs initially issued have been collected, at a unit price of 2.45 euros (accrued coupon included) per 2018 OCEANE, i.e. a total amount of 7,117,551.35 euros.

The settlement and delivery of the 2018 OCEANEs repurchased in the standing repurchase offer as well as in the reverse bookbuilding, will occur on the same date as (and under the condition of) the settlement and delivery of the capital increase with shareholders' preferential subscription rights of an amount between 53.5 million euros and 103.5 million euros (the "Share Capital Increase") the principle of which was announced by the Company on 10 February, 2016 and then approved by the Company shareholders' meetings on 11 and 29 April 2016. According to the indicative timetable of the Share Capital Increase, the settlement and delivery of the Share Capital Increase and of the 2018 OCEANEs repurchased is expected to take place on 8 June 2016. In case of non-completion of the Share Capital Increase, no 2018 OCEANE submitted to the Company as part of the reverse bookbuilding and standing repurchase offer will be repurchased and the orders will be retroactively cancelled.

The total number of 2018 OCEANEs repurchased by the Company (subject to completion of the Share capital Increase) in the standing repurchase offer as well as in the reverse bookbuilding amounts to 24,978,254 2018 OCEANEs, representing approximately 62.45% of the number of 2018 OCEANEs initially issued at the price of 2.45 euros each (accrued coupon included), i.e. a total amount of 61,196,722.30 euros. Consequently, the number of OCEANEs outstanding as a result of the settlement and delivery of the 2018 OCEANEs repurchased in the reverse bookbuilding as well as in the standing repurchase offer will amount to 15,018,096 2018 OCEANEs, i.e. 37.55% of the 2018 OCEANEs initially issued.

The standing repurchase offer was managed by BNP Paribas Securities Services.

The repurchase of the 2018 OCEANEs through the reverse bookbuilding has been conducted by BNP Paribas and Natixis as Dealer Managers. Lazard is acting as financial advisor to the Company.

The 2018 OCEANEs repurchased in the reverse bookbuilding as well as in the standing repurchase offer will be cancelled in accordance with their terms of issuance and pursuant to applicable law.

Und hoffe, dass sie KEINEN vorzeitigen Call ("reserves the right to ... to call, in its sole discretion, for the early repayment of the 2018 OCEANEs") machen.

Heute ist die KE-Mitteilung in der Postbox:
      Bezugsverhältnis 11:7 zu 32c

=> es werden nochmal 220 Mio. Aktien

      Zahlen kamen heute,
      dieser Teil sagt das Meiste:

Recent changes in Soitec’s financial position

Soitec stresses that it raised a gross amount of around 151.9 million Euros4 in funds in the first quarter of FY’17 to strengthen its balance sheet and give the Group the financial resources it needs to cover its growth investments.

Funds totaling around 76.5 million Euros were raised through three increases in capital reserved for Bpifrance Participations, CEA Investissement5 and NSIG Sunrise6 on May 2, 2016, followed by a rights issue, which took place over the period from May 16 to May 30, 2016 and raised a gross amount of 75.4 million Euros, including the issue premium. Following this overall capital injection, Bpifrance, CEA Investissement, and NSIG Sunrise each hold a 14.5% shareholding in Soitec.

Using the funds raised plus a portion of its available cash, Soitec was able to redeem its borrowings maturing in May 2016 (around 50 million Euros, including a portion redeemed through the offset of receivables), buy back 2018 OCEANEs (around 60 million Euros out of the total initial issuance of 103 million Euros) and secure the resources it needs to fund investments in production capacity to manufacture FD-SOI at the Bernin site (around 40 million Euros).

Overall, the capital injection resulted in a significant reduction in Soitec’s net debt to 18 million Euros pro forma at March 31, 2016 (compared with 170 million Euros at the end of FY’16) and boosted its equity base to 145 million Euros pro forma at March 31, 2016 (from negative 7 million Euros at the end of FY’16).
