Compass Minerals Introduces Quarterly Summary of Snow Event Data

Compass Minerals (NYSE: CMP) has added a "Snow Events" page to its website at www.compassminerals.com/marketdata to help investors better understand the relative severity of winter weather within the company's primary North American deicing region.

"Our goal is to give investors a simple tool that provides some insight into weather events that can influence the results of the company's salt segment," said Angelo Brisimitzakis, Compass Minerals president and CEO.

The new report, which will be updated promptly following each winter quarter, will list the number of 24-hour periods during the quarter in which snowfall exceeded one inch in 11 key cities within the company's primary North American deicing service area. The report will show the number of snow events in each of the 11 key cities, the aggregate number of events in the quarter, and the mean average of snow events for the prior 10 years.

Summary of Snow Events in Selected Cities
      October - December

      1999-2008
      Average
      2009 2008 2007 2006 2005
      Total Snow Events 48.5 42 80 56 20 68
These events may not directly correlate to Compass Minerals' deicing results due to a variety of factors, including the relative significance of the cities represented. The data should be used only as an indicator of the year-to-year variations in winter weather conditions across the company's primary North American service area. The weather data is drawn from the National Weather Service and Environment Canada without weighting or other adjustments.

Compass Minerals Reports First Quarter Highway Deicing Sales Volume and Snow-Event Data

Compass Minerals (NYSE: CMP) has published its first-quarter highway deicing sales volume and regional weather data on its website at www.compassminerals.com/marketdata.

Compass Minerals' highway deicing sales volume, which includes sales for all highway maintenance products sold in the U.S., Canada and the U.K., as well as rock salt sold to the chemical industry, totaled 3,900,000 tons in the three months ended March 2010 compared to sales of 3,729,000 tons in the first quarter of 2009.

To provide investors with insight into how winter weather affects the company's sales performance, the company has reported that there were 108 snow events in 11 representative cities in the company's primary North American highway deicing service area compared to 99 snow events in the same cities in the 2009 period. The number of snow events reported may not directly correlate to Compass Minerals' deicing results due to a variety of factors, including the relative significance to the company of the cities represented. The weather data should be used only as an indicator of the year-to-year variations in winter weather conditions in these regions. The weather data is drawn from the U.S. National Weather Service and Environment Canada without weighting or other adjustments.

Compass Minerals International sales jump, but earnings slide
      Kansas City Business Journal

Compass Minerals International Inc.’s first-quarter sales rose, but earnings dipped because of milder winter weather in the company’s northern markets.

The Overland Park-based company (NYSE: CMP) reported $357.6 million in sales for the three months that ended March 31. That’s a 15.7 percent improvement on the $309.1 million in sales during the first quarter of 2009.

Compass attributed the increase mostly to strong salt prices and a large increase in specialty fertilizer volumes. The company earlier this month said that harsh winter weather — and the consequent lift in demand for highway deicing salt — had increased its sales. But the winter weather was milder in Canada and near the Great Lakes, more than offsetting those gains, taking a $40 million to $45 million toll on sales in its salt segment and a $15 million to $20 million toll on the unit’s operating earnings compared with normal-weather levels.

Quarterly profits dipped, coming in at $58.9 million, or $1.77 a share, compared with $61.6 million, or $1.85 a share, in the year-ago period.

Compass, which produces minerals such as salt and sulfate of potash specialty fertilizer, posted revenue of $963.1 million last year.

Lower SOP Prices and Short-Term Reductions in Salt Production Drive Earnings Decline

Compass Minerals (NYSE: CMP) reports the following results of its second-quarter 2010 operations:

      * Sales were up 12 percent over the prior-year quarter, reflecting stronger specialty fertilizer and U.K. highway deicing sales volumes and improved salt pricing, partially offset by lower specialty fertilizer average selling prices.
      * Net earnings for the three months ended June 30, 2010, were $11.3 million, or $0.34 per diluted share, compared to $14.1 million, or $0.42 per diluted share, in the 2009 quarter. Excluding special items from the 2009-quarter results, net earnings were $17.1 million, or $0.51 per diluted share.
      * Operating earnings declined to $18.4 million in the current quarter from $34.8 million in the second quarter of 2009, primarily due to lower average selling prices for sulfate of potash specialty fertilizers and the impact of reduced salt production.
      * Second-quarter cash flow from operations increased $57 million over the prior-year quarter. For the six months ended June 30, 2010, cash flow from operations nearly doubled to $171.1 million from $88.3 million for the six months ended June 30, 2009.

"We posted solid sales volume increases this quarter, with gains in both our salt and specialty fertilizer segments. Second-quarter sulfate of potash demand nearly doubled from last year's depressed volume, and we continue to expect full-year sales to exceed 300,000 tons," said Angelo Brisimitzakis, president and CEO of Compass Minerals. "At the same time, we reported a decline in operating earnings, in large part reflecting the transition to more-sustainable SOP pricing. We also posted a short-term increase in per-unit salt costs due to significantly lower production volumes. Looking ahead, we are encouraged by the ongoing stability of our salt segment and the resurgent demand for our potash specialty fertilizer at attractive pricing."

Compass Minerals (NYSE: CMP) has acquired Big Quill Resources Inc., Canada's leading producer of sulfate of potash, in an all-cash transaction valued at 56 million Canadian dollars (US$56.3 million), subject to customary post-closing adjustments. Located on Big Quill Lake near Wynyard, Saskatchewan, Big Quill Resources produces high-purity sulfate of potash (SOP) for non-agricultural specialty applications as well as for nutrients used by growers of high-value crops and turf.

"Big Quill is an innovative, entrepreneurial business with unique production capabilities, technical expertise and non-seasonal applications that will both broaden and strengthen Compass Minerals' specialty fertilizer segment," said Angelo Brisimitzakis, Compass Minerals president and CEO. "We expect this acquisition to be immediately accretive. In addition, we plan to expand Big Quill's production and sales of high-value, specialty products over time."

The Wynyard site, with an annual capacity of approximately 40,000 short tons, produces much of its SOP by extracting naturally occurring sulfate from the brine of Big Quill Lake and combining it with potassium chloride purchased through a very long-term, advantaged supply agreement. Big Quill's 2010 revenues are expected to be approximately CA$23 million with EBITDA of approximately CA$7 million. Compass Minerals funded the purchase with cash on hand. Compass Minerals Reports Fourth-Quarter Highway Deicing Sales Volume and Snow-Event Data
Compass Minerals (NYSE: CMP) has published its fourth-quarter 2011 highway deicing sales volume and regional weather data on its website at www.compassminerals.com/marketdata.

Compass Minerals' highway deicing sales volume, which includes all highway maintenance products sold in the U.S., Canada and the U.K., as well as rock salt sold to the chemical industry, totaled approximately 2,724,000 tons in the three months ended December 2011 compared with sales of 3,284,000 tons in the 2010 quarter.

The company reported that there were 16 snow events in 11 representative cities in its primary North American highway deicing service area during the period compared with 50 events in the same cities in the 2010 period and a ten-year average of 46.4 events.

"While the number of snow events in North America declined 68 percent from the same period in 2010 and was well below the ten-year average, our highway deicing sales volume was only 17 percent below the 2010 quarter because of strong customer demand to establish pre-season stockpiles and the benefit of above-average sales in the U.K.," explained Angelo Brisimitzakis, Compass Minerals' president and CEO. "Fortunately for Compass Minerals, weather patterns do change, and most of our winter season is typically during the first quarter."

The number of snow events reported may not directly correlate to Compass Minerals' deicing results due to a variety of factors, including the relative significance to the company of the cities represented and differences in the amount of salt purchased by customers to establish their pre-season stockpiles. The weather data should be used only as an indicator of the year-to-year variations in winter weather conditions in these cities. Compass Minerals draws its weather data from the U.S. National Weather Service and Environment Canada without weighting or other adjustments.

      Investment Highlights

-Key milestone in Compass Minerals’ growth strategy
-Purchase consideration for remaining 65 percent of Produquímica is expected to range from $460 million to $480 million* including the assumption of debt
-Expected to add $0.12 to $0.15 to earnings per share in 2016, net of incremental debt financing cost

      OVERLAND PARK, Kan.--(BUSINESS WIRE)--Aug. 15, 2016--

Compass Minerals (NYSE: CMP) today announced an agreement to purchase all outstanding interest in Produquímica Indústria e Comércio S.A. (Produquímica), one of Brazil’s leading manufacturers and distributors of specialty plant nutrients.

“The purchase of the remainder of Produquímica marks an important milestone for Compass Minerals in the execution of our growth strategy. This accretive acquisition gives us access to higher growth markets and geographic diversification of our earnings, while lessening our dependence on winter weather,” said Fran Malecha, Compass Minerals president and CEO. “Produquímica’s strong history of growth and product development in Brazil provides Compass Minerals an excellent platform for expansion in one of the world’s most important agriculture markets. We look forward to the opportunities that will come from Produquímica joining Compass Minerals.”

Compass Minerals purchased 35 percent of Produquímica in December 2015. The expected price for the remaining 65 percent of equity is approximately $310 million to $330 million, is based on Produquímica’s expected 2016 performance, and will be subject to customary, post-closing adjustments. In addition, Compass Minerals will assume approximately $150 million in U.S. dollar equivalent long-term debt, most of which will be retired during the fourth quarter. The acquisition includes approximately $150 million of net working capital.

Compass Minerals expects the transaction to add $0.12 to $0.15 to full-year 2016 diluted earnings per share.

Based in São Paulo, Brazil, Produquímica generated approximately R$1.2 billion in net revenue and R$198 million in EBITDA* as of the 12 months ending June 30, 2016. Produquímica operates two primary businesses – agricultural productivity and chemical solutions. The agricultural productivity division manufactures and distributes a broad offering of specialty plant nutrition solution-based products. These include micronutrients, controlled release fertilizers, and other specialty supplements that are used in direct soil and foliar applications, as well as through irrigation systems and for seed treatment. Many of these products are developed through Produquímica’s robust research and development capabilities. Produquímica also manufactures and markets specialty chemicals, primarily for the water treatment industry and for use in other industrial processes in Brazil.

“All of us at Produquímica are excited about the opportunities that our customers and employees will have as part of Compass Minerals,” said Gerhard Schultz, President of Produquímica. “We look forward to growing with Compass Minerals in Brazil’s specialty plant nutrition market and beyond.”

      Produquímica At-A-Glance

Headquartered in São Paulo, Brazil with nine manufacturing facilities throughout Brazil
      Approximately 1,400 employees
      2015 net revenue = R$1.1 billion
      2015 EBITDA* = R$184 million
Compass Minerals expects to close the transaction in early October 2016 subject to regulatory approval and to fund the acquisition with new debt. This transaction was enabled by an amendment to the prior agreement between Compass Minerals and key shareholders of Produquímica. Details of the amendment can be found in a Form 8-K that the company filed today with the U.S. Securities and Exchange Commission.
