France's Poweo allowed to build 12-MW solar plant
PARIS, July 28 (Reuters) - French power supplier Poweo said on Tuesday it had been granted building and administrative permission to build a solar plant in southwestern France at a cost of 40 million euros ($57.11 million).
'Poweo will be able to start building its largest solar plant with a 12-megawatt power capacity, and should, thanks to the ouststanding sunshine of the site, produce 15 million kilowatt hours per year, or the equivalent of the consumption of 5,800 households,' the firm said in a press release.
Poweo, which already has a solar power capacity of 3 MW and a wind and hydraulic power capacity of 71 MW, aims to bring its renewable energy share to 25 percent of its energy mix.
The construction work is due to start in the last quarter of 2009 and last six months.

Das fragliche Gesetz, das in Frankreich als das wichtigste Energiegesetz seit 1946 bezeichnet wurde, würde die staatliche EdF verpflichten, (aus Atomkraftwerken stammenden) Strom an Mitbewerber zu verkaufen. Die EdF (Electricite de France), die in Österreich mit 25 Prozent und einer Aktie an der Energie Steiermark beteiligt ist, war bis 2007 Monopolist und kontrolliert derzeit noch rund 85 Prozent des Marktvolumens. Statoil and Poweo Conclude Innovative Gas-to-Power Contract

Statoil and Poweo have signed a twenty year agreement for the supply of natural gas to Poweo's projected 400 MW Combined Cycle Gas Turbine power plant (CCGT) in Toul, France. Deliveries are planned to start on October 1st, 2012.
The concept builds on the liberalizing gas, power and emissions markets and the available market price indices to enable risk and profit sharing between parties.
It represents a new type of industrial partnership in the gas-to-power market.
Statoil has been a major supplier of natural gas to the French market for over thirty years.
'This new partnership with Poweo is a steppingstone for Statoil's strategy to promote gas in the power segment throughout Europe,' says Bjørn R. Jacobsen, senior vice president for Marketing in Statoil's Natural Gas business area.
'France is a key market for us and we are very satisfied to establish a long-term partnership with an independent power producer like Poweo. It illustrates Statoil's willingness to explore and develop new gas-to-power concepts with our customers. The concept enables Poweo to run the plant in the most economical way and represents strategic value to Statoil,' he adds.
Poweo, the French electricity and gas operator, already runs a 412 MW CCGT in Pont-sur-Sambre, France. Besides Toul power plant, Poweo plans to develop other CCGT projects totalling more than 1 600 MW.
'Securing our gas needs through this innovative agreement with Statoil, a major gas producer for Europe, is a key achievement towards our final investment decision for the Toul power plant, which is expected to be taken within the next few weeks and will allow full concretisation of this agreement,' announces Loïc Capéran, Chief Executive Officer of Poweo.
He pointed out: 'We are glad to share the same vision on the need for development of CCGT projects in France. This agreement materializes the partnership spirit between security of supply and security of demand with fully aligned interests on the long term; it is a perfect illustration of what gas market liberalization brings in terms of innovation and value creation.'

Erzeugungstochter wird komplett übernommen
Der Verbund restrukturiert sein Frankreich-Geschäft und übernimmt die Poweo-Erzeugungstochter Poweo Production S.A.S. komplett.
Durch den Kauf der bislang von der Mutter Poweo gehaltenen restlichen 60 % konzentriert sich der Verbund auch in Frankreich auf sein Kerngeschäft Erzeugung und Großhandel. Poweo war durch die verzögerte Marktliberalisierung in Frankreich zuletzt stark unter Druck geraten.
Der Verbund ist seit 2006 am französischen Markt, dem zweitgrößten Europas, über die Beteiligungen an der Poweo S.A. mit 46 % und ihrer Erzeugungstochter Poweo Production S.A.S. mit 40 % engagiert. Die Strategie der Poweo sah den Aufbau von thermischen und erneuerbaren Erzeugungskapazitäten sowie eines starken Endkundenportfolios vor. Während der Erzeugungsbereich für Verbund zufriedenstellend läuft, ist das Umfeld im Bereich des Endkundengeschäfts schwierig, da die Marktöffnung noch nicht so weit fortgeschritten ist wie in anderen europäischen Ländern.
In der derzeitigen Situation ist es in diesem Markt als alternativer Anbieter unmöglich, positive Margen zu erzielen. Das betrifft aber nicht nur Poweo, sondern alle alternativen Anbieter. Mit dem Loi NOME soll der französische Energiemarkt neu geordnet und nachhaltiger Wettbewerb ermöglicht werden. Das Gesetz wurde vom Parlament in zweiter Lesung am 17. November 2010 abgesegnet, für die konkrete Umsetzung braucht es aber Durchführungsverordnungen (Dekrete). Mit diesen Dekreten ist allerdings frühestens im zweiten Quartal 2011 zu rechnen.
Um Poweo S.A. ein langfristig positives Geschäftsmodell zu erlauben, müssen am französischen Energiemarkt faire Wettbewerbsbedingungen geschaffen werden, die ein nachhaltig profitables Endkundengeschäft erlauben. Diese müssen vor allem von der französischen Regierung durch entsprechend rasche Umsetzung der Durchführungsverordnungen zum Reformgesetz (Loi NOME) erarbeitet werden.
Durch die vollständige Übernahme der Erzeugungskapazitäten unterstreicht Verbund in Frankreich seine Strategie als Asset-based-Wholesaler und führt Poweo S.A. gleichzeitig Liquidität zu. Diese Lösung ermöglicht ihr die mittelfristige Fortführung der Geschäftsaktivitäten.

On the occasion of its third-quarter 2010 sales release on November 10, the Group had mentioned its
on-going review of several strategic options in order to put an end to the worrying situation mainly
caused by adverse regulatory and market conditions for its supply businesses.
POWEO’s board of directors reviewed over the past weeks all strategic options presented by the
management, and agreed yesterday upon terms of an agreement. This agreement, which will enter in
force as of January 1st, 2011, relates to the reorganisation of the Group’s businesses and will also
allow the strengthening of its financial structure.
Taking into account Mr Paul Champsaur’s appointment early December further to the passage of the
NOME law (New organisation of the Electricity Market) in view of proposing a regulated access price
for new entrants to the incumbent operator’s nuclear production, POWEO intends to pursue its
energy supply business. As this activity is expected to remain loss making until the actual
implementation of the NOME law, the Group’s cash needs must be addressed in order to preserve
the Group as an on-going concern.
In this respect the Austrian national utility and POWEO’s reference shareholder since 2006, Verbund,
has offered to buy out, of the 60% stake that it does not already own in POWEO Production for a
cash consideration of €120 million based on its book value. It should be recalled that POWEO
Production holds all of the Group’s power generation assets, consisting of CCGT (Combined Cycle
Gas Turbine) thermal power plants in operation or construction, and renewable energies assets.

Towards the third French largest integrated energy operator: Direct Energie
succeeds VERBUND as reference shareholder of POWEO
Both companies will study soon the potential merger of their operations, while considering
keeping POWEO listed, in order to establish the third largest operator
in the French power and gas supply markets
POWEO acknowledges the fact that Direct Energie, a private company which has been developing
gas and power supply businesses in France, has announced today to have signed a share purchase
agreement with VERBUND of its 46% stake in POWEO. POWEO has not initiated this operation
which was decided and led by its main shareholder.
In consideration of acquired shares, Direct Energie announced it will pay to VERBUND a total amount
of €36m, i.e. €4.77 per share, in two equal installments: €18m on the closing date and €18m on July
1, 2013. Direct Energie will also substitute to VERBUND in all its existing financial commitments
towards POWEO, including a working capital financing line.
This transaction is subject to the prior approval of the French competition authority, which is expected
to be obtained in October 2011.
Following this transaction, POWEO’s shareholding will be as follows: Direct Energie 46%, Ecofin
25%, Luxempart 10% and 19% for the free float. Independently from this sale, it should be recalled
that VERBUND still owns 100% of the shares of the companies which hold the thermal assets and
projects of Pont-sur-Sambre, Toul and Blaringhem on which POWEO has a call option limited to 60%
of those shares.
In complement with the recent inception of the regulated delivery of power energy to new entrant
operators under the NOME law, this transaction paves the way to the third French integrated energy
operator. It would allow the newly created group formed by Direct Energie and POWEO to take an
active role in all upcoming opportunities of the French energy market, among others, the tendering of
the hydroelectric concessions, the launch of the power energy capacity market, the potential exercise
by POWEO of its call option on 60% of the shares of the companies which hold the thermal assets
and projects, etc.
Management teams of both companies shall rapidly assess the possibility of merging their respective
operations and consider this merger as a key opportunity to secure significant business optimisations
and cost synergies, in addition to the fruitful combination of their respective skills and assets. 2
It should be noted that Direct Energie is considering to keep POWEO listed on Alternext. In that
respect, Direct Energie has no obligation – the acquisition of stake lower than 50% of a company
listed on the Alternext compartment does not trigger a mandatory takeover bid – nor the intention to
acquire additional outstanding shares of POWEO, in order to dedicate its financial means to
supporting the Group’s development.

It should be noted that Direct Energie is considering to keep POWEO listed on Alternext. In that
respect, Direct Energie has no obligation – the acquisition of stake lower than 50% of a company
listed on the Alternext compartment does not trigger a mandatory takeover bid – nor the intention to
acquire additional outstanding shares of POWEO, in order to dedicate its financial means to
supporting the Group’s development.
