      Atlantic Wind and Solar Inc. (OTC: AWSL) is pleased to announce that it was approached by Canada Green ESCO Inc. and that, after being provided a term sheet, it has successfully completed a $120 million financing agreement with this leading green energy funding company. The Agreement paves the way for Atlantic Wind and Solar, and its wholly owned subsidiary Atlantic Solar Inc., to aggressively proceed with its many solar projects and to expand its business in the Ontario rooftop solar business with funding as required

      The Financing Agreement
      Under the terms of the Agreement, Canada Green ESCO Inc. will facilitate up to 100% financing for the first round of projects, totaling $120 mil, through a combination of debt and equity. While CanadESCO can participate in up to as much as 100% of the equity portion, it is Atlantic's intention to participate in no less than 20% of the equity and as much as 50% in the case of a joint venture partnership with the landlord. There will be up to 100% of the equity in projects owned entirely by Atlantic. In any event, AWSL reserves the right to participate in some or all of the equity in each rooftop solar project.

      This financing agreement is conditional upon receiving approval for each project application from the Ontario Power Authority (OPA), which AWSL management is confident will be received without undue delay. Providing that all local content requirements are met, the OPA guarantees speedy expediting of all FIT applications and ensures quick connection to the grid in order to begin purchasing the power from these 250kw projects for 20 years at 71.3 cents per kilowatt hour.

      Atlantic will draw down on the $120 million as each individual OPA FIT application approval is received. Further details of each draw down financing will be announced upon receipt of such approval(s) and funding draw down(s).

      This initial $120 million project financing is expected to fund all of AWSL's rooftop projects on hand and will also help to fund the Company's aggressive rooftop solar marketing program and the ramp-up in the manufacture of its high-performance inverters, the "heart" of its solar energy systems.

      Atlantic Wind and Solar to Acquire CIT Manufacturer

      Atlantic Wind and Solar Inc. is acquiring a 60% interest in Aim Global Energy Inc., the manufacturer of leading edge, high-yield converter/inverter (CIT) technology used in AWSL's high yield Renewable Energy systems.

      Atlantic initiated the acquisition of Aim in order to simplify the supply chain of Aim's high performance inverters and to provide a degree of control for AWSL in ensuring that its clients' orders for renewable energy systems will be fulfilled on time.

      The Aim acquisition is being carried out following the default by the vendor in the original agreement, announced previously, to acquire a 47.5% interest in Hybridyne Power Systems Canada (HPSC), rendering the transaction null and void. The cancellation of this transaction will be reflected in the upcoming restatement of the company's quarterly and annual filings.

      The company also announced that it has been approached by various groups to quote on multiple wind and solar projects in India and discussions are continuing. Last fall, India's Central Electricity Regulatory Commission (CERC) announced a strategic move to use a comprehensive system of feed-in tariffs (FIT) to advance this major developing economy's renewable energy potential. With 1.1 billion people and extraordinarily rapid economic growth, it is now clear that the growth potential for efficient Renewable Energy systems in India is enormous.

      India's FIT Program The introduction of India's FIT program (following India's previously announced National Action Plan on Climate Change that called for five percent of electricity generation in India to be from renewable sources by 2010 and to increase one percent per year for the next ten years) provides a framework for rapid growth in the adoption and development of Renewable Energy in the foreseeable future.

      The agreement encompasses a new concept in securing rural rooftops in Central and Northern Ontario for Atlantic's utility scale solar energy parks.

      Rooftop Solar Development's unique approach to securing FIT contract eligible rooftops entails offering farmers and other agricultural related land owners the opportunity to have barns and other utility related buildings erected on their land at no cost to them. The structures will host Atlantic's high yield, high efficiency solar energy systems.

      Atlantic Wind & Solar Plans Additional PV Projects

      Atlantic Wind & Solar Inc. plans to develop, construct, own and operate five additional rooftop solar energy parks in Ontario. This addition brings the company's total reported commercial/industrial rooftop solar energy projects in Ontario to 19.

      All of the systems have entered into their final pre-construction stage and will advance into construction using a phased roll-out plan immediately following power purchase agreement approval from the Ontario Power Authority.

      The accomplished projects will have a combined output power capacity of approximately 3 MW. The power generated is expected to be sold directly into the grid for a contracted period of 20 years under the terms and conditions of the Ontario government's feed-in-tariff program.

      Financial Audit Completed/Up Listing Status: Sam Kan & Company, Atlantic's SEC approved financial auditor, has completed the company's SEC financial audit.       Toronto, ON Thursday, June 16, 2011 Atlantic Wind & Solar Inc. (OTC:AWSL) is pleased to report they have received notice by the Ontario Power Authority (OPA), confirming that another two of their Capacity Allocation Exempt (CAE), Power Purchase Agreement (PPA) applications have been successfully approved - Bringing Atlantic's total awarded Feed In Tariff (FIT), PPA contracts to five.
