Frage stellen. (Quelle: Reuters/www.e-finet.com)

UPDATE 4-PCCW, Telstra unveil JV for mobile/Internet
(Adds details on financial arrangements) By Karen Richardson HONG KONG, April 12 (Reuters) - Hong Kong`s ambitious young Internet group Pacific Century CyberWorks (PCCW) <1186.HK> and Australia`s telecom giant Telstra Corp Ltd on Wednesday unveiled joint ventures for global Internet and regional mobile telecommunications businesses.
The deal brings PCCW about US$3 billion in much-needed cash to prop up its multi-billion dollar bid for Hong Kong`s biggest telecoms firm, Cable & Wireless HKT <0008.HK>, and gives Telstra a greater regional and global reach. "It opens up Australia to PCCW, gives them the ability to provide content in Australia through Telstra," said Jonathan Iu, internet analyst at SG Securities in Hong Kong. "With Telstra as a partner, it gives them a strong base and will encourage a lot of people to partner with them," he added. PCCW Chairman Richard Li said half of Telstra`s US$3 billion investment would be made in PCCW convertible notes and half in cash to be injected into the new regional mobile company.
The four-year bond has a possible two-year extension and carries a conversion price of HK$23.65, exercisable at any time by Telstra.
Full conversion would give Telstra about two percent of PCCW`s enlarged share capital after its merger with C&W HKT. In effect, PCCW has agreed to sell off portions of the Hong Kong telecom operator even before its purchase has been completed.
The deal is contingent upon completion of the merger, now expected in early August.
"This is the just the first step to unlock value from the combined company," PCCW chairman Richard Li told a news conference.
PCCW shares were suspended before trade opened on Wednesday at HK$15.40.
Telstra shares were suspended at A$7.64, up 1.6 percent from Tuesday`s close of A$7.52.
GLOBAL IP BACKBONE, REGIONAL MOBILE The Telstra-PCCW alliance will create two new companies, an Internet Protocol (IP) backbone firm that will operate as a global carrier, and a regional mobile phone company offering wireless voice and data services in the Asia Pacific region.
The new mobile firm will be 60 percent held by PCCW and 40 percent by Telstra, and will include C&W HKT`s Hong Kong mobile business and Telstra`s international mobile assets outside of Australia.
The global IP company would be held 50-50 and will own both Telstra`s and C&W HKT`s submarine cables, gateways, licences, satellite assets, and other backbone infrastructure assets.
It will bring together two of Asia`s largest carriers of voice, data and Internet traffic.
PCCW`s Li said the two companies would eventually seek separate listings.
"The intention is to go IPO (Initial Public Offering)," he said, without revealing a timetable.
Li, the 33-year-old son of property tycoon Li Ka-shing, set up PCCW just a year ago and in February pulled off Asia`s biggest ever merger deal with his HK$35.9 billion cash and share offer. But a global correction in Internet stocks has caused PCCW`s share price to falter, reducing the bid`s value and raising questions about its completion.
DEBT BURDEN EASED PCCW is taking on US$11.3 billion in bank debt to finance the deal and analysts said the Telstra investments will bring its net debt down to about US$5.3 billion, including C&W HKT`s US$2 billion in cash and PCCW`s own US$1 billion.
"The best thing about this whole deal is PCCW ends up with a substantial amount of cash, which will reduce its massive interest burden post-HKT merger," Peter Milliken, telecom analyst at Lehman Brothers in Hong Kong, An Australian telecommunications analyst, who declined to be named, said: "Strategically it`s important that they (Telstra) can make this sort of move to diversify beyond the Australian market where they are constrained in a commercial sense." Rupert Murdoch`s News Corp also was "likely" to have a relationship with the PCCW-Telstra alliance, said Ted Pretty, group managing director of Convergence Telstra.
He did not elaborate on how News Corp would fit into the alliance.
News Corp`s Star TV in November formed a consumer Internet and pay television joint venture with C&W HKT. News Corp said it was committed to continuing the joint venture with PCCW after the bid for C&W HKT. The research director of an Asian securities house in Hong Kong, who asked not to be named, said: "This is a distressed rescue, plain and simple.
Richard Li has had to sell the bit of HKT C&W he said he wouldn`t -- the mobile business -- meanwhile the cash flow from (Cyberworks) Ventures has dried up."
