O2 Secure Wireless, Inc. (Pink Sheets:OTOW) announces that the Company's subsidiary, Earthcom Service Inc. has signed an agreement to acquire 50% equity interest in a 30-year-old Dominican Republic Financial Institution, and is scheduled to close early September 2010.

This agreement is exceptionally advantageous for the company, since it will not only provide an additional source of revenue, but will also provide the company's customers with a convenient method for payment of communications services. The opportunity will primarily allow the company to simplify the payment process for its wireless, cellular, cable, residential phone and internet service clients by using a prepaid MasterCard/Debit Card product for customer payments, while simultaneously providing a new bank branch location wherever an Earthcom retail storefront is created, whereas the bank's credit card merchant processing system will utilize Earthcom's wireless infrastructure for processing transactions.

Currently, the merchant card processing services industry is dominated by two providers and with exceptionally high processing rates, while the MasterCard prepaid Debit card product is still a virtually unknown system in the Dominican Republic market. The existing cellular market is mostly all prepaid, which requires the customer to purchase minutes on a calling card or at a store, then enter the card information onto the phone before calling, whereby using a prepaid MasterCard the customer will no longer be required to purchase a card, but can instantly add minutes electronically with the MasterCard Debit Card. This type of payment will be unique to the Company, and therefore will attract customers since each customer will be issued a prepaid MasterCard/Debit Card for payment when they sign up for wireless services. The Card may also be used for purchases of goods and services at any location worldwide where MasterCard is accepted, including ATM machines for cash withdraws.

In addition, wherever Earthcom has established service coverage, the bank can offer wireless merchant processing services which will give the bank a strong advantage over its competitors due to its wireless infrastructure. In a market where expensive hardline wired communication is the only alternative option, the Company is in a phenomenal position to not only separate itself from the competitors by way of mobility and flexibility, but also by bringing a product and service to market that will surpass the current providers in simplicity, efficiency, and value.

Earthcom anticipates that there will be a high demand for the Company's services in light of the continually improving package and payment options. Earthcom believes that this move is supremely favorable in its strategy to gain market share by initially penetrating the cellular sector, in a market of approximately 8.6 million potential current cell phone users, then introducing other services, such as cable, internet, and home telephone, as its coverage area expands.

(Pink Sheets:OTOW) today announced that its Board of Directors authorized a stock repurchase program under which up to fifty million shares of its outstanding common stock may be acquired in the open market over the next six months at the discretion of management.

Earthcom has an FCC 36-50 license and the rights to some wireless frequencies in the Dominican Republic.

The accumulated value of Earthcom's licensing in the Dominican Republic has been evaluated and assessed at $36,262,210.77.

Bin gespannt wann über kurz oder lang hier ein Uplistingkommt.

hier gibt es seit etwa einem Jahr nur noch gute NEWS, aber erst seit kurzem hat der Kurs reagiert, überreagiert und korrigiert. Jetzt steht eine Seitwärtsbewegung mit tendenziell höheren Kursen bevor.
Sollte das Interesse wegen ausbleibender weiterer NEWS wieder fallen, wird auch der Kurs wieder nachlassen, aber die letzten 10 Monate haben gezeigt, dass es nur eine Frage der Zeit ist, bis hier wieder richtig was losgeht.

Dennoch frage ich mich, warum der CEO auf 500 Mio Aktien verzichtet, bzw in Vorzugsaktien wandelt. Vor der Hand Shareholdervalue, aber mittelfristig doch wohl um von einem Kursanstieg doppelt zu profitieren. Erstens um den Wert der eigenen Aktien zu steigern und zweitens um eine Kapitalerhöhung lohnender zu machen. Warum? Ganz einfach, so wie das Management drauf ist, wird expandiert und investiert. Da braucht man Geld, und billiges dazu. Dafür hat man ja auch das Engagement an der Börse. .....
Also wird es in diesem Jahr noch eine Kapitalmaßnahme geben und derzeit wird versucht, die erst dann durchzuführen, wenn der Kurs noch deutlich höher ist.

wohlgemerkt, das ist "nur" ein LOI, eine Absichtserklärung. Nach all den Meldungen der letzten 8-10 Monate auch glaubwürdig. Und die Frage ist, ob es eine Kapitalerhöhung geben wqird, oder die 500 Mio Stücke vom CEO dafür übernommen werden.

Die Marktkapitalisierung war gestern gerade mal 6 Mio und etwa 500 Mio Stücke im Umlauf, allerdings sind 1,5 Milliarden (!) Aktien genehmigt.

Werden die alle auf den Markt geschmissen, wäre das eine Viertelung des Kurses. Werden die im Austausch für den Kredit, also als Beteiligung ausgegeben und vielleicht eine Haltefrist und Warrents dazu gegeben, wäre zu erwarten, dass es längerfristig zu einem guten Kursanstieg kommen könnte.
Man darf ja nicht vergessen, das die Dilution auch einer Erhöhung des Firmenwertes trägt.

Fazit ich bleibe superbullisch! Das ist mein Tenbagger 2011 !

heute wurde gewaltig abgeladen. Von etwa 30% Kursanstieg ist im Mo nichts mehr übrig.
Dabei waren wir im Hype vor ein paar Wochen schon bei 3 Cent, also nochmal doppelt so hoch wie heute im high. Allerdings waren dafür auch über 33 Mio Stücke nötig. Also das Interesse ist bereits da.

Kursschwankungen von 10 % werden hier wohl noch länger "normal" sein.

Heute gab WTT (Wireless Telecom) bekannt, den Quartalsgewinn im Vergleich zum Vorjahr geviertelt zu haben.
Ob das hier auch mitspielt?

ich habe gerade mal bei ihub meine Meinung gepostet.

Mein Gott, was bin ich blöd angemacht worden! Ich habe hier ja schon einiges erlebt, aber gegen die Ami-arschlöcher ist das hier eine Wohltat. Die haben es wirklich nicht verdient, dass man warnende Informationen einstellt.

seit meiner Warnung verläuft der Kurs wie erwartet. Er wackelt um 10 % rauf und runter, hält die lichtgläubigen noch bei der Stange und erlaubt das abgeben weiterer Aktien, vielleicht ja noch 20-30 Mio, vielleicht auch 100 Mio, aber keine Milliarde. Deshalb war die Rückgabe der 500 Mio Aktien auch ein geschickter Schachzug um die Zocker bei Laune zu halten. Die benutzen die Aktienrückgabe als Argument, dass es sich bei OTOW nicht um Scam handele. Je länger die ihre Aktien halten, desto mehr können die "Betrüger" absetzen. Dazu darf der Kurs nicht zu stark steigen, weil sonst die Zocker aussteigen und das Geschäft kaputt machen. Kleine Kursschwankungen (klein heißt bei so einem Wert 10 %) erlauben eine größere Ausbeute. Fehlt noch die eine oder andere NEWS.
Irgendwann, wenn sich das Geschäft nicht mehr lohnt wird die Meldung kommen, dass aus welchen Gründen auch immer der LOI annulliert wird.

Vielleicht sollte man auch mal genauer Recherchieren, was es mit den Licensen auf sich hat. Bei der FCC einen Antrag stellen oder eine Erklärung abzugeben, heißt noch lange nicht, dass eine License erteilt wurde.
Bei der Ankündigung eines License Agreements wurde der Vertragspartner nicht genannt usw. Doch recht schwammig. Leider ist mein English eher rudimentär, geschweigedenn Vertragssicher ....

Trotzdem: Ich bin mir sicher, dass hier eine Abzocke läuft und selbst die Amis in ihrer Muttersprache fallen darauf rein, beschimpfen mich lieber als zu prüfen ....

Ich habe diesen Wert vor 2 Jahren etwa intensiver verfolgt und bin noch ohne Schaden wieder raus. Alles nur Versprechungen, conditional und Zukunftig etc

Der Replit ist KEIN Zeichen seriöser Absichten, sondern erforderlich um noch mehr sinkende Kurse haben zu können, in die man verkauft.
