      BEND, Ore., Nov. 16, 2010 /PRNewswire-First Call/ -- Cascade Bancorp (the "Company") announced today that it has entered into Securities Purchase Agreements for the purchase and sale of approximately $177 million of shares of its common stock ("Common Stock"). Private placement investors who have entered into separate agreements with the Company include, among others: David F. Bolger ("Mr. Bolger"), an affiliate of Lightyear Fund II, L.P. ("Lightyear"), private equity funds affiliated with Leonard Green&Partners, L.P. ("Leonard Green" or "LGP") and private equity funds affiliated with WL Ross&Co. LLC ("WL Ross").

      Patricia L. Moss, Chief Executive Officer of Cascade Bancorp, commented, "We are pleased that, after closing of the transactions contemplated by the Securities Purchase Agreements, our capital ratios will notably exceed regulatory agency benchmarks for a 'well-capitalized' bank. Upon closing, not only will Cascade Bancorp's strong pro forma capital ratios place the Company among the best capitalized community banks in the nation, the Bank will also exceed the 10% leverage ratio required by our regulatory order.       The following provides additional detail as to the capital raise transaction:

      Upon completion of the transaction, each of Leonard Green, Lightyear, and WL Ross will own 24.35%, and Mr. Bolger will own 14.01%, of our outstanding Common Stock. The purchase price per share of our Common Stock for each investor will be $0.40 (subject to adjustment for the Company's anticipated reverse stock split, as described below). Closing of the investments under the Securities Purchase Agreements is subject to several closing conditions, including, among others, (i) the receipt of required shareholder and regulatory approvals; (ii) the receipt by the Company of gross proceeds of at least $165 million; and (iii) the completion of the Company's previously announced repurchase of its outstanding trust preferred securities at an 80% discount. At the closing, each of Lightyear, Leonard Green, and WL Ross will have one representative joining Cascade Bancorp's Board of Directors. Thomas M. Wells currently serves as the Cascade Bancorp Board of Directors designee for David F. Bolger.

      Keefe, Bruyette&Woods, Inc. served as lead placement agent and Macquarie Capital (USA) Inc. served as co-placement agent for Cascade Bancorp in the private placement.

      The Company also announced that its Board of Directors has elected to effect a 1 for 10 reverse stock split that will be effective Monday, November 22, 2010, when the Common Stock will begin trading on a post split-adjusted basis under the interim trading symbol CACBD for a period of 20 days, after which the Company's trading symbol will return to CACB. As a result of the reverse stock split, each ten shares of the Company's Common Stock outstanding at the time of the reverse split will be automatically reclassified and changed into one share of Common Stock, and the total number of shares of Common Stock outstanding will be reduced from approximately 28.5 million to approximately 2.85 million post-split. Since no fractional shares will be issued in connection with the reverse stock split, shareholders will receive cash in lieu of the fractional shares to which they would otherwise be entitled. The terms and reasons for the reverse stock split are more fully described in the Company's proxy materials filed with the Securities and Exchange Commission on November 10, 2009. The reverse stock split was approved by the Company's shareholders on December 7, 2009.

      Upon the completion of the reverse stock split, the purchase price per share of our Common Stock for each investor will be adjusted proportionately.

      David F. Bolger became the largest shareholder of Cascade Bancorp in April 2006, when he merged Boise, Idaho based Farmers&Merchants State Bank, owned by him, into the Company.       After months of negotiations and myriad extended deadlines, Bend-based Cascade Bancorp has finalized an agreement that will bring it $177 million in badly needed capital.
      Cascade, the parent company of Bank of the Cascades, hammered out an agreement with key investor David Bolger, of Ridgewood, N.J., and New York-based Lightyear Fund II LP group. The agreement includes securities purchase agreements by affiliates of Los Angeles-based Leonard Green & Partners LP and New York-based WL Ross & Co. LLC.
      As part of the process, Bank of the Cascades will also undertake a one-for-10 reverse stock split.
      The lender had received at least seven deadline extensions since July as it attempted to raise funds to match a binding Bolger commitment. Bolger had agreed in October 2009 to invest $25 million, and Lightyear $45 million, in Cascade Bancorp if the bank could match the investment with $85 million from other sources.
      In its most recently reported quarter, Bank of the Cascades cut its losses to $337,000, down from combined losses of more than $81 million in the previous two quarters.
      The bank nonetheless needed to raise capital, due to its poor-performing real estate loans, under orders from the Federal Deposit Insurance Corp. and the Federal Reserve Bank.
      The infusion will allow Cascade Bancorp to exceed the required 10 percent leverage ratio that federal regulators had ordered.

      Moss added that Cascade Bancorp’s pro forma capital ratios are now among those of the nation’s “best-capitalized community banks.”
      When the transaction is completed, Leonard Green, Lightyear, and WL Ross will each own 24.35 percent of the bank’s outstanding common stock. Bolger will own 14.01 percent.
      The purchase price will be 40 cents per share, thanks to the reverse split scheduled to take place Nov. 22. The company’s shareholders had approved the split Dec. 7, 2009.
      Keefe, Bruyette & Woods Inc., of New York, served as lead placement agent for the deal. Australian firm Macquarie Capital Inc. served as Cascade’s co-private placement agent.
      Bolger became Cascade Bancorp’s largest shareholder in April 2006 when, as owner of Boise, Idaho-based Farmers & Merchants State Bank, he merged into Cascade.
      Cascade operates 32 branches in Oregon and Idaho.

      Keefe Bruyette & Woods and Macquarie Capital Advisors are arranging a $177 million private placement of common stock for Cascade Bancorp, to help the holding company for the Bank of the Cascades boost its capital ratios above regulatory benchmarks.

      Bend, Ore.-based Cascade Bancorp is issuing 442.5 million shares priced at 40 cents each. That's a discount of 9.1% to the price where the company's stock closed yesterday.

      The offering amount is more than 14 times the current market value of Cascade Bancorp.

      Lightyear Capital is investing $40 million, while officers, directors and affiliates are investing $25 million. Private equity funds affiliated with Leonard Green & Partners and WL Ross also are investing, as is financier David Bolger.

      Cascade said that after the placement, Lightyear, Leonard Green and WL Ross will each have a 24.35% stake in the bank, while Bolger will have a 14% stake.

      Cascade also said that its board approved a 1-for-10 reverse stock split.

      The company posted a net loss for the first nine months of 2010 of $15.1 million, compared with $44.6 million a year earlier.

      After a year-and-a-half courtship, repeated extensions of an agreement, and a lot of patience, Lightyear Capital LLC finally reached a deal for community bank operator Cascade Bancorp.

      Bend, Ore.-based Cascade said last night that Lightyear and two other private equity firms, Leonard Green & Partners LP and WL Ross & Co., along with David Bolger, the largest individual investor in Cascade, will invest a total of $177 million in the company.

      The investors will pay 40 cents for each Cascade share, with Leonard Green, WL Ross and Lightyear each investing about $46 million for a 24.4% stake. Bolger will own about 14%.

      Cascade also plans to conduct a 1-for-10 reverse stock split effective Nov. 22. The Nasdaq-listed stock recently traded at 69 cents, up 53.3%.

      Lightyear identified Cascade as a potential target in early 2009 – one of 250 banks whose management met Lightyear’s team over the last two years, said Lightyear Chief Executive Don Marron. The firm, which focuses exclusively on financial services, likes the growth prospects for community banks in Oregon and the broader Pacific Northwest markets, Marron said.

      Lightyear then spent the bulk of 2009 working with Cascade’s management to figure out the total amount of capital the bank needed, said Managing Director Chris Casciato. Cascade is under a cease and desist order from the Federal Deposit Insurance Corp., which calls for the bank to maintain capital at higher-than-normal levels. Its Tier 1 leverage ratio has to be at least 10%, compared with 5% for banks to be considered well-capitalized.

      Lightyear determined that Cascade needed to raise at least $150 million to meet the requirement, but it couldn’t foot the bill on its own because banking laws cap the ownership any one investor has in a bank at 24.9%. In November 2009, Lightyear reached a deal with Cascade to invest $40 million; Bolger would put in $25 million. Cascade still had to raise at least $85 million from other sources.

      The bank retained Keefe Bruyette & Woods Inc. as its lead placement agent, with assistance from Macquarie Capital Inc. And in the spring of 2010, Leonard Green and WL Ross came into the picture; both had done bank deals before and were actively screening other opportunities. As negotiations progressed, Lightyear extended its agreement with Cascade several times to allow the deal to be finalized.

      Lightyear’s bank investment portfolio already includes Community & Southern Holdings Inc., a holding company Lightyear assembled that has bought at least two failed community banks from the Federal Deposit Insurance Corp. over the past year.

      “We are committed to community banking,” Marron said. “We want to combine good banks with good management and good, growth-oriented parts of the country.”
