Youku.com Inc. ("Youku" or the "Company") (NYSE: YOKU), a leading Chinese Internet television company, announced that its initial public offering of 15,847,700 American depositary shares ("ADSs"), each representing 18 Class A ordinary shares of the Company, was priced at US$12.80 per ADS. The ADSs will begin trading on the New York Stock Exchange on December 8, 2010, under the symbol "YOKU". Youku has granted the underwriters an option to purchase up to an additional 2,377,155 ADSs from Youku at the initial public offering price less the underwriting discount.
Goldman Sachs (Asia) L.L.C. acted as sole global coordinator and sole bookrunner, and Allen & Company LLC, Piper Jaffray & Co. and Pacific Crest Securities LLC acted as co-managers for the offering.

An industry source has revealed that Chinese online video site Youku (NYSE: YOKU) has accelerated plans to acquire rival Tudou, and talks between the two sides are now in the final stage of negotiations.
Another source from the investment field has revealed that Youku began talks with Tudou in April this year, but has accelerated the process at the behest of investors, spurred by rumors that Chinese internet giant Baidu (Nasdaq: BIDU) is also looking to acquire Tudou. Youku is reportedly now in the final phase of negotiation.
Youku CEO Victor Koo was previously quoted as saying he hoped to "keep an open mind" regarding the possibility of a Youku buyout of Tudou.

Goldman Sachs added Youku.com (NYSE: YOKU) to its Conviction Buy with a price target of $44, saying cost visibility under-appreciated.
The firm said they remain optimistic about the company's revenue opportunity and growth outlook.
"The stock has been battered by concerns over competition and generally lower risk appetites for currently unprofitable companies, but we believe current levels represent attractive entry opportunities for investors willing to take a 12- month view on the stock," the analyst said.
The firm said rapid cost inflation and the low likelihood of market consolidation is unlikely to derail Youku's path to profitability in 2H12, barring a more severe-than forecasted deceleration in revenue growth.

Shares of Youku.com closed at $19.47 yesterday, with a 52 week range of $13.76-$69.95.
