Revenue for Q3 2013 increased by 1% from Q3 2012 and by 2% from Q2 2013 to US$325.3 million despite a materially lower gold price. Revenue for the first 9 months of 2013 increased by 11% versus the same period in 2012 to US$942.4 million, mainly due to increased gold sales, which was acheived as a result of higher production volumes.
Total cash costs (“TCC”) for Q3 2013 were down 5% from Q3 2012 at US$791 per ounce. We achieved quarter-on-quarter TCC improvement at eight of our nine mines, with the most significant decreases at Lefa (down 20%) and Buryatzoloto (down 14%). For the first 9 months of 2013 TCC was US$844/oz, up from US$833/oz for the same period 2012. We continue to implement cost optimisation programmes at all of our assets.
In Q3 2013 all-in sustaining cost3 (AISC) for the Company was US$1,008/oz, which is 5% lower than in Q2 2013. For the first 9 months of 2013, AISC was US$1,071/oz.
EBITDA for the first 9 months of 2013 was US$321.0 million, an 8% decrease compared to the same period in 2012 (US$350.1 million). EBITDA for Q3 2013 was US$108.2 million, an increase of 2% over Q2 2013 and down 18% over Q3 2012. Despite lower gold prices in the reporting period, higher production and strict cost control have helped shield EBITDA from a larger decrease. EBITDA margin for the first 9 months of 2013 was 34.1%.
Net income for Q3 2013 was US$34.8 million, compared to US$58.0 million in Q3 2012. For the first 9 months of 2013, net income adjusted for the non-current assets and inventories impairment was US$96.0 million, compared to US$123.2 million for the same period of 2012.
Capital expenditure (“capex”) for the first 9 months of 2013 was US$181.8 million (including US$59.5 million for exploration), a 47% decrease over the same period of 2012. We reiterate our 2013 capex guidance of approximately US$250 million, including exploration. In 2014, we expect capex to be approximately US$200 million, including exploration.
Cash and cash equivalents as at September 30, 2013 were US$263.8 million with net debt at US$775.0 million, compared to US$45.0 million cash and cash equivalents as at December 31, 2012, and net debt of US$680.5 million. In Q3 2013 Nordgold generated US$101.8 million of cash flow from operating activities (after interest and income tax paid). Cash used for the purchase of property, plant and equipment, including additions to exploration and evaluation assets, amounted to US$57.3 million in Q3 2013.
The Company recorded US$44.6 million of positive free cash flow in Q3 2013, compared to negative free cash flow in Q3 2012 (US$44.1 million) and in Q2 2013 (US$1.7 million), on the back of higher operating cash flow and reduced capex. As a result, Nordgold has turned free cash flow positive (US$14.4 million) for the first 9 months of 2013.
Nordgold introduces the payment of interim quarterly dividends. The targeted payout ratio going forward is 30% of net profit atttibutable to shareholders. The Board of Directors of Nordgold has approved an interim dividend of 2.38 US cents per share or per Global Depositary Receipt in respect of the three months ended September 30, 2013, payable to shareholders on the register as of 29 November 2013.

Outlook and Growth Drivers

Gold production in Q3 2013 has been 244.7 thousand gold equivalent ounces (“koz”), a 26% increase on Q3 2012 (194.0 koz) and a 5% increase on Q2 2013 (232.6 koz). For the first 9 months of 2013 production has reached 661 koz, a 28% increase compared to the same period of 2012.

Aber auf dem Niveau würde ich mir gut überlegen, ob ich hier einsteige, wir sind nahe dem Hoch.

ich mag deren shareholderstruktur. zudem auch die zahlen und alles drumrum.
passt irgendwie.

halte auch Highland Gold als größte depoposi schon länger. mit entsprechenden nachkäufen ließ es sich hier gut durch den sturm segeln.
Lukoil und Norilsk sind neuerdings auch im depot.
die russen haben nunmal die besten margen und solche aktien wie Nord Gold sind unshortbar. deswegen auch die kursstärke.

bin noch nicht drin. heute gab´s mal kurzfristig ne kleine schwäche die gleich wieder hochgekauft wurde. nett wär´s natürlich noch geschwind bei 2,50 USD reinzukommen (denke bis zur FED-sitzung geht gold down). davon abgesehen steht das ding natürlich wie ein fels in der brandung.

Stimmt,langfristig standen wir schonmal deutlich höher. Aber auf Sicht der letzten 2 Jahre notieren wir fast auf einem neuen Hoch und das obwohl der Goldpreis gerade ein neues Jahrestief erreicht hat. jo und sie können sich das eben auch durchaus leisten, wobei man auch die schulden reduzieren könnte aber gut sind im normalen bereich noch.

bin inzwischen übrigens zu 2,90 usd auch dabei bzw seit gestern.

bei dem rohstoffsturm braucht man felsen..

der anstieg ist auch begründet hier. allein das credit rating hat sich verbessert seit damals (glaube 2013 wars Bb- un heuer Ba3)

Der Bericht für Q2/2016 war aus meiner Sicht recht enttäuschend. Gut, dass man durch den Verkauf der Detour-Aktien den Gewinn schönen konnte.

Trotzdem bleibt Nordgold einer der günstigsten Goldaktien überhaupt. Wenn da nur nicht der Oligarchen-Malus wäre.

Bemerkenswert ist, dass der Kurs nahe Jahreshoch steht, obwohl Gold fast 200 USD drunter ist. Das lässt vermuten, dass der Kurs aufgrund des Mini-Freefloats verzerrt ist. Ob er deshalb eher fallen als steigen könnte, weiß ich nicht. Aber eine Frage habe ich an die Längerinvestierten - warum war der Kurs vor 3 Jahren so schwach? in London sind aktuell nur 9,25 % des Kapitals notiert. Insofern ist es nachvollziehbar, das vom Management ein Rueckzug in Erwaegung gezogen wird.
Die Aktien waeren dann nicht mehr handelbar, da vermutlich die Deutschen Boersen auch
den Handel einstellen wuerden. Damit muss man leider bei russischen Aktien immer rechnen.
Ansonsten wuerden diese auch weit hoeher notieren.
Immerhin weisst ja Nord Gold aktuell nur ein KGV von 9 auf.

Polymetal zog sich ja auch zurück aus london 2015. wollte sie damals kaufen und dann sowas... tja wär ne geile performance gewesen die eh klar war.

Nord und delisting heisst dann aus für uns. moskau können wir ja nicht handeln (wüßte nicht wie).
weiss nicht genau wie das dann abläuft. vielleicht sind sie noch an der otc handelbar ohne umsatz oder mit wenig keine ahnung.

ich würd dann im vorfeld wohl verkaufen, weil ich es nicht besser weiss.

London, United Kingdom, 9 February 2017 - Nord Gold SE ("Nordgold" or the "Company", LSE: NORD) today announces its intention to cancel the listing of its Global Depositary Receipts (“GDRs”) from the official list and from trading on the London Stock Exchange (“LSE”) in accordance with Listing Rule 5.2.8.

Nordgold has for some time been examining a number of options to increase its market capitalisation, including as its preferred course of action a premium listing through an equity placing to enhance its free float and liquidity.

During that time, Nordgold has built a track record of strong financial and operational performance, while investing in a major programme of international development and other growth opportunities. It has in the past four years alone launched two separate large scale and highly efficient mining projects – the Bissa and Bouly mines in Burkina Faso - while steadily advancing a series of other exciting projects in Russia, French Guiana and Canada. It has also increased production from 589 thousand ounces (“koz”) in 2010 to 869 koz in 2016. Production is expected to be in the range of 900 – 950 koz at all-in sustaining costs of US$900-950 per ounce in 2017.

Nordgold anticipates strong financial results in 2016, including EBITDA of approximately US$490 million and operating cash flow in the range of US$390-395 million. The Company has met its target to achieve positive free cash flow at all its assets. As a result, Nordgold expects significant free cash flow generation of over US$60 million in 2016 despite investments of c. US$120 million in the construction of the new low-cost Bouly and Gross mines during the year. Total capex is anticipated to be approximately US$350 million in 2016 and US$390 million in 2017.

Nordgold has also used its time as a public company to establish itself as a consistent dividend payer. In November 2013 the Board approved a new dividend policy designed to deliver more frequent dividend payments to shareholders. As a result, the interim quarterly dividend and the targeted payout ratio of 30% of normalised net profit attributable to shareholders were introduced. The Company’s dividend payments increased from US$24.3 million in 2013 to US$58.5 million in 2015. Nordgold has paid US$47.9 million in dividends for the first nine months of 2016 while dividends for the fourth quarter of 2016 will be declared later in February 2017 and paid in March 2017.

Despite this strong operating and financial performance and a proven ability to deliver returns to shareholders, enhanced by an extensive GDR buyback programme conducted by Nordgold in 2015 and 2016, the market capitalisation of the Company has failed to increase in line with the market, and in particular against its peers, during a period of a major gold price rally. As a result, the Board believes the market capitalisation does not accurately reflect the true value of Nordgold. The Directors believe that the principal reason for this undervaluation is the very low trading volumes and general lack of liquidity in the GDRs, caused by the Company’s capital structure, and that any changes in its performance are unlikely to overcome this structural disadvantage.

The Board’s decision to de-list comes having carefully considered these facts and that an equity placing, even at the current price, would result in the unacceptable dilution of current shareholders. The Board has agreed a key objective for the de-listing is therefore to eliminate the current public market value benchmark, which it believes does not fully reflect the fundamental value of the Company and to consider re-listing in the future, subject to market conditions.

Tender Offer

While the de-listing does not require shareholder approval, in keeping with its strong commitment to good corporate governance and fair treatment of minorities, the Company is proposing a plan for de-listing that will enable minority shareholders to choose whether to exit prior to de-listing or to retain their investment in Nordgold after de-listing. To effect this, the Board has agreed to make a tender offer that will provide the Company’s minority shareholders the ability to choose, at their discretion between:

tendering their GDRs to Nordgold at US$3.45 per GDR (representing the 5-day VWAP for the 5 trading days preceding this announcement) at any point from 9 February 2017 until 12.01 am on 16 March 2017 (being five trading days after the anticipated date of the De-listing) (the “GDR Tender Offer”); or

Q4 2016 Dividends

Strategy

The decision to de-list does not represent a change in strategy, management or direction for the Company, nor its commitment to deliver value for shareholders. Nordgold will remain absolutely focused on the safe, efficient performance of its current assets, while continuing the development of its international development pipeline, starting with the forecast launch of the Gross mine in Russia in 2018, which will make Nordgold a larger gold producer.

After de-listing, Nordgold intends to continue paying dividends to shareholders. In line with Nordgold dividend policy, the Company intends to distribute 30% of normalised net profit attributable to shareholders as dividends on a quarterly basis.

Nordgold will also maintain its commitment to a high standard of corporate governance and will retain its existing governance structure, meaning an independent international Board chaired by David Morgan will be overseeing the decisions made by the management team, led by Chief Executive Officer Nikolai Zelenski. Ja, genauso habe ich das auch verstandenen, dass es noch 4 weitere Möglichkeiten gibt die Aktien zu tauschen.

Daher überlege ich auch ernsthaft, Nordgold bis zum Endjahr 2018 zu halten trotz des Delistings und den letztmöglichen Umtauschzeitpunkt zu nutzen, und nochmal die Dividenden für 2017 und 2018 mitzunehmen.

Ich denke mit dem Delisting in London werden sie auch in Deutschland nichtmehr handelbar sein. Hab meine damals in Frankfurt gekauft.

(hohe resourcen und reserven minenlaufzeiten 16 und 22 jahre (gold), PGM´s ein wenig (9 jahre)
dazu noch ein kohleprojekt seit nicht allzu langer zeit

AISC etwa 900 USD. kgv 10 rum divis 6% rum.
bin damit ganz gut durch die minenkrise gekommen.
grundsolide und beste divis auch in miesen zeiten.

nachteil evtl. südafrika (gab dort bei den größten unruhen und streiks immer ruhe, allerdings mal lohnerhöhungen von 8% vielleicht deshalb ruhe. ihre kosten hatten sie aber immer bestens im griff)

...vielleicht stock ich selber die auf, da ich nur relativ wenig hab.

1. Warum sollte der Kaufwert auf 0 festgelegt werden? Beim Broker ist doch der durchschnittliche Kaufkurs hinterlegt, der ändert sich doch nicht, nur weil die Aktie nicht mehr handelbar ist.
2. Das Angebot von NordGold ist zu allen 5 Zeitpunkten das gleiche, immer 3,45$ pro Aktie
3. die Unsicherheit teile ich, im Worst Case verkauft der Broker einfach alle Anteile Anfang März ohne Rücksprache

Ich glaube auch nicht,dass Nord Gold bis Ende 2018 an die Kapitalmärkte zurückkehren wird, es war eine politsche "Anweisung" die russischen Aktien von den westlichen Börsen zurückzuziehen, als Antwort auf die westlichen Sanktionen.

Was bleibt ist die Hoffnung auf gute Dividenen in 2017 und 2018 (gut verzinstes Sparbuch ist eine treffende Formulierung). Keiner weiß, wie die Dividenden in der Zukunft ausfallen werden. Aber ein Blick in die Vergangenheit zeigt, dass Nord Gold in

2015 rund 15,35 Cent Dividende und
2016 rund 14,54 Cent Dividende gezahlt hat

gemessen am Übernahmepreis von 3,45$ entspricht das einer Dividendenrendite von 4,4% und 4,2%. Welches Sparbuch liefert eine solche Rendite? Beste Tagesgeldangebote 1,0-1,2%. Beste Festgeld 1,6% (und dann aber auch nur bei ausländischen Banken, Italien, Rumänien etc.)

Ich werde Nord Gold vorraussichtlich bis Ende 2018 halten. Wenn der Goldpreis massiv fällt bekomm ich immernoch die 3,45$ (also Absicherung nach unten) , wenn der Goldpreis seitwärts tendiert bekomm ich wahrscheinlich eine solide Dividenden. Und wennd er Goldpreis starkt steigt, bekomm ich zwar immer noch "nur" die 3,45$ aber dafür wahrscheinlich steigende Dividendenzahlungen. Letztlich muss jeder für sich entscheiden, ob es ihm die vorraussichtlichen 4% Wert sind

Habt ihr mal eure Broker gefragt, ob die die Anteile nach dem 16.03.2017 tatsächlich noch für euch verwahren werden bzw. was für Sondergebühren geplant sein könnten?

Ich würde das Risiko, Anteile an einer privaten russischen AG zu halten, die nicht handelbar ist, nicht tragen wollen. Die können ja jetzt viel versprechen, in ein paar Monaten seit ihr paar Leute für die nur noch lästig.

weil wenn WKN weg kann sein kaufkurs weg wert 0 im depot quasi.
keine ahnung...

wegen sanktionen usw: es gibt ja sehr viele russische aktien die munter gehandelt werden.
highland gold, mobile telesys, lukoil, norilsk, sbernakm, aerflot usw usw.

NORD Gold hat in der tat fast 0 performt und ist extremst billig. die schreiben
ja selber dass es auch wengen der struktur ist also wel 91% halt beim oligarchen
liegen. da geht kein fonds und sonst wär rein. den kleingeistigen kleinanlegern ist
es eben nicht zuzutrauen dass sie einen wert bemessen können.... deswegen die kursschande.
ich denke wäre der kurs mit starken umsätzen von 3 auf 12 USD gelaufen, wären sie
geblieben.
ich dachte mir auch öfter komische aktie... gut wenns fällt im sektor, aber 0 up bei guten zahlen und guter stimmung. was halt cool war ein spottbilliges unternehmen mit hohen divis.
mit anderen worten sicherer als jedes sparbuch. das größte risiko bei dem wert ist,
dass deine bank pleite geht und die aktien einverleibt

naja ich weiss noch nicht was ich mache. aber ein ungutes gefühlt bleibt wenn ich sie halten
sollte. grad wegen wkn kaufkurs (und weil ich deutsche aktien hab... ich sehe noch kein angebot, das müsste ich erstmal sehen. wenn keines jetzt kommt verkauf ich eh, weil dann später auch keins kommt )
ich hab schon so meine erfahrungen mit änderung von gattungsdaten und komischen übernahmen und dabei auftretende steuernachteile

ja, weil die goldies extrem miese kurse hatten....

Highland Gold ist geblieben und stieg dann von 25 auf 190 GBP.
weshalb Nord Gold nicht mitstieg letztes jahr ist mir schon auch ein rätsel
liegt wohl an den 91% und somit desinteresse jeglicher größerer adressen.
kleinanleger unter sich sind halt pfeiffen, ausser uns

heute gab es ploetzlich stabile Geldseiten bei 3,46 Dollar an der LSE. Habe dies
zum Anlass genommen und meinen ganzen Bestand abgegeben.
Der Hintergrund ist, das der Dollarkurs nicht ganz unwichtig ist und ich nicht in die FAlle hineinlaufen möchte, das ich zum schlechten Kurs meinen Anteile andiene.
Insofern verzichte ich auch gerne auf die 2 oder 3 Cent Divi.

jetzt scheint ja wirklich die Strategie aufzugehen. Goldminenaktien stürzen auf breiter Front ab waehrend
die Nord Gold aufgrund des Rueckkaufangebotes fest wie ein Fels in der Brandung steht.

immerhin gibt es noch ein schoenes Abschiedsgeschenk von 5 Cent Divi.
Heute ist in London die dicke Geldseite von 3,46 weg.
Ich gehe aber schon davon aus, das der heutige Käufer noch die Divi bekommt.

Heute war Ex Divi Tag, morgen nehme ich das Angebot an. Schade eigentlich, Nord Gold war auch in stürmischen Zeiten oft ein Fels in der Brandung.

ist noch nix passiert. ich denke es ist unabhängig wann man annimmt. die divi kommt noch vermutlich.

alternative evtl Polymetal Intl.
guter wachstumspfad auf unabsehbare sicht eigentlich richtung 2023 (sollte jedes jahr einen zuwachs geben). kosten leicht gestiegen.
bewertung 5,6 Mrd CAD etwa (ichrechne alles in CAD um wegen vergleichen im kopf).
bei bald richtung 1.700 Mios unzen, auch gute divi.

Highland gold hab ich schon sehr lange und behalte ich auch. anstieg recht flott und bewertung für´s hier und jetzt auch nicht wenig (ab 2020 sollen es dann aber 500K unzen per anno sein wegen kekura, derzeit etwa 260K, marktkap etwa 930 Mios CAD)
umgerechnet zu Polymetal in anbetracht kosten allerdings gleichwertig bewertet.. naja Highland war halt mal das ultraschnäppchen im sektor.

...also noch gibt genug russen, leider ohne polyus und nord gold

ich hoffe nur das alle Aktien angedient werden koennen. Im Rueckkaufangebot von meiner Bank stand
eine Zusatzklausel drin, das das Angebot gedeckelt ist.
Übrigens habe ich bereits ein neues Anschreiben erhalten, da zum 12.09 das GDR Programm
eingestellt wird. Die GDR werden in Originalaktien umgewandelt.

ich habe jetzt übrigens noch eine Rechnung fuer die Ruecknahme der ADRs zugeschickt bekommen.
3 Cent pro Aktie wollte der DL haben.
Insofern habe ich gleich die Divi fuer die Abwicklung des Rueckkauf weitergereicht.
