Overview
Jura is an international energy company engaged in the exploration and development of petroleum and natural gas properties. The Company’s activities are conducted exclusively in Pakistan where it has ownership positions in exploration and development concessions.

Corporate update
The Company completed its acquisition of all of the issued and outstanding shares of Spud Energy Pty Limited (“Spud”), a propritory company existing under the laws of Australia, with oil and gas operations in Pakistan, pursuant to the terms of an acquisition agreement (“Agreement”) with Eastern Petroleum Limited (“EPL”), dated November 23, 2011 (the "Acquisition”). In accordance with the Agreement, concurrently with cmpletion of the Acquisition, Jura consolidated its pre-acquisition outstanding common shares on a ten for one basis. In consideration of the Acquisition, the Company issued 50,659,076 post consolidated common shares to EPL to acquire Spud.

Private Placement
In addition, the Agreement included the issuance of 5,000,000 post-consolidation Jura shares on a non-brokered private placement basis at a price of CAD$ 1.00 per Jura share, for aggregate gross proceeds of CAD$ 3,858,348 plus the conversion of the Facility, as described below, in the amount of $1,141,652, for gross proceeds to Jura of CAD$5,000,000 (the “Private Placement” and, together with the Acquisition and share consolidation, collectively the “Transaction”).

On completion of the Transaction, there are 69,076,362 post-Consolidation Jura shares outstanding of which 50,659,076 post-Consolidation Jura shares (approximately 73.6% of the total) are held by EPL and 13,177,287 post-Consolidation Jura shares (approximately 19.1%) are held by the former shareholders of Jura. The remaining 5,000,000 post-Consolidation Jura shares are held by the participants in the private placement. On closing, the board of directors of Jura was reconstituted, two existing members resigned and four new members were appointed to the board of directors.

Loan Facility
On February 14, 2012 the Company entered into an agreement with an individual lender which provided a CAD$ 2,000,000 credit facility (“Facility”) intended to fund the Company’s cash requirements until the date of closing the Transaction. The terms of the agreement allow Jura to draw down the facility to meet working capital obligations. The facility was converted to common shares as part of the Private Placement.

Operations update
In the period ended June 30, 2012, the Company did not incur any capital expenditures with respect to drilling programs in Pakistan.
