Glencore currently holds 1,646,613,928 Common Shares, representing approximately 86.3% of the issued and outstanding Common Shares.

Following completion of the Rights Offering, assuming (i) holders of Rights take up their Basic Subscription Privilege in full; and (ii) no holder of securities having any other right to acquire Common Shares (including Glencore) exercises any such right, following closing of the Rights Offering, Glencore would acquire 51,186,419,486 additional Common Shares and as a result Glencore would beneficially own, or exercise control or direction over 52,833,033,414 Common Shares, representing approximately 86.3% of the 61,199,951,841 then issued and outstanding Common Shares.

Assuming none of the holders of Rights, other than Glencore, exercise their Basic Subscription Privilege and accordingly Glencore acquires all of the Common Shares pursuant to the full exercise of Rights under the Rights Offering, any additional Common Shares subscribed pursuant to the Additional Subscription Privilege and the standby commitment, following closing of the Rights Offering, Glencore would acquire 59,292,571,428 Common Shares and would be deemed to beneficially own, or exercise control or direction over, 60,939,185,356 Common Shares representing approximately 99.6% of the 61,199,951,841 then issued and outstanding Common Shares. All such Common Shares acquired by Glencore will be newly issued shares from treasury.

In the event that Glencore becomes the beneficial owner of 90% or more of the Common Shares of Katanga, Glencore will be able to take Katanga private without obtaining minority shareholder approval pursuant to the exemption in section 4.6(1)(a) of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions.

Glencore has no current intention to take Katanga private. Any decision by Glencore to take Katanga private and the timing of any such take private transaction or other action will depend on various factors including Glencore’s ongoing assessment of material capital investment required to deliver on Kamoto Copper Company’s mine plan over the near-term and its evolving understanding of material country risks including those arising from the fiscal regime in the Democratic Republic of the Congo (the “DRC”), the ability to effectively repatriate cash from the DRC in the future as well as political conditions. Glencore will weigh these factors from time to time to assess whether Katanga’s ability to obtain financing from outside sources justifies the ongoing costs of maintaining its status as a listed public company.

Katanga Mining Announces Change In CEO Position

November 20, 2019

ZUG, SWITZERLAND, November 20, 2019 – Katanga Mining Limited (TSX: KAT) ("Katanga" or the "Company") today announces that the board of directors has approved the appointment of Mr. Mark Davis to the position of Chief Executive Officer of the Company, effective as of November 19, 2019. Mr. Davis was designated to act as CEO by Glencore International AG ("Glencore") pursuant to the management services agreement between the Company and Glencore entered into in January 2019. Mr. Davis replaces Mr. Jeff Gerard as CEO and has assumed Mr. Gerard's seat on the Company's board of directors.

Mr. Davis has almost two and a half decades of experience in global mining companies, working within Australia, Africa and South America. Prior to joining Katanga, he was the Executive General Manager of MMG's operational and growth objectives in Africa, Australia, and Asia. Prior thereto, Mr. Davis had general management responsibility for BHP Billiton’s aluminum smelting operations in South Africa. Mr. Davis holds a Bachelor of Engineering in Metallurgical Engineering from RMIT University in Melbourne, Australia.

Hugh Stoyell, Non-Executive Chairman of the Company, commented: "We are pleased to welcome Mark as CEO and look forward to working with him to continue driving Katanga's business and operations. We thank Jeff for his contributions to Katanga, and wish him the best in his future endeavours."

Wat nu ?
Ich bin bei Katanga investiert und möchte natürlich nichts verlieren, was ist zu tun, wer hat weitere Infos ?

Wer möchte schon gerne Geld verlieren? M. E. ist die Aktie auf aktuellem Niveau viel zu billig! Katanga hat langfristig enormes Potenzial, liegt allerdings in einem sehr unsicheren Land. Aktuell wäre es allerdings wohl etwas günstiger, über die Börse zu kaufen als neue Aktien zum Festpreis zu beziehen. Das Problem bleibt: Was passiert danach? Geht Glencore mit dem Streubesitz fair um oder nicht? Das ist und bleibt ein Spekulation mit hohem Risiko!
Ich werde tendenziell aufstocken, denn selbst bei einem Squeeze Out sollte der Abfindungspreis nicht unter dem aktuellen Niveau liegen. Es sei denn, Glencore drückt den Kurs oder das operative Geschäft läuft schlecht!

Ich muss jetzt mal ganz naiv fragen: Was hätte Glencore davon, wenn sie den Kurs drücken und ihnen gleichzeitig nahezu die ganze Katanga-Bude gehört? Verstehe ich leider mit meinem rudimentären Börsenwissen nicht ;-)

Wenn sie den Kurs über einen bestimmten Zeitraum niedrig halten ist das die Bewertungsbasis für den Abfindungspreis! So kann man schon mal schnell paar Mio. sparen! Und anschließend gehört ihnen der ganze Laden, der sicher viele Mrd. wert sein dürfte. Katanga hat aktuell eine Börsenbewertung von CAD 220 Mio., der Streubesitz hält davon rd. 30 Mio. An der Heimatbörse TSX sind gestern rund CAD175.000 Umsatz (Volumen) gelaufen, das ist so gut wie nix! Allerdings weiß ich nicht, wo überall noch gehandelt wird, z. B. im außerbörslichen Bereich!
Vielleicht hat jemand dazu mehr Infos??
