TRUECLAIM AMENDS LETTER OF INTENT FOR DISPOSITION OF UP TO 75% OF IRON NUGGET PROPERTY, ARIZONA
As announced on Aug. 7, 2013, Trueclaim Exploration Inc. has entered into a non-binding letter of intent with Rainmaker Mining Corp. for the disposition of up to an undivided 75-per-cent interest in the 61 contiguous mining claims consisting of 494 hectares that comprise the company's Iron Nugget project, located in the Gila county mining division, approximately 12.9 kilometres north of Globe, Ariz. The LOI provided for automatic termination if a definitive agreement with respect to the transaction was not entered into on or before Aug. 31, 2013. The parties have entered into an amendment to the LOI, which extends the deadline for entry into a definitive agreement to Sept. 30, 2013. All other terms of the LOI remain unchanged.

Rainmaker Mining Corp. is proposing to make a non-brokered private placement of up to five million units at a price of five cents per unit. Each unit will consist of one common share and one-half share purchase warrant with one full warrant being exercisable to purchase one additional common share of Rainmaker at a price of 12 cents for period of 18 months following the closing of the private placement.
A finder's fee will be payable with respect to the placement. The placement is subject to TSX Venture Exchange approval.
The proceeds of the financing will be spent on working capital of the company.

Ms. Funston brings approximately 20 years of experience to the company, having served in senior executive and administrative positions, assisting management of listed companies with regulatory filings and compliance issues. She has served in executive and administrative positions in companies involved in the natural resource sectors, including Titan Uranium Inc., Uranium Power Corp., Cue Resources Ltd., Parallel Mining Corp. and Fury Explorations Ltd. Ms. Funston currently serves as a director and corporate secretary of Ansell Capital Corp. and Galaxy Graphite Corp. and is the corporate secretary of Carmax Mining Corp.
Mr. Healey is a licensed professional geologist in Saskatchewan, Wyoming and British Columbia, with over 45 years of experience in the natural resources industry. He is currently president and chief executive officer for Galaxy Graphite Inc. He has held senior positions with Titan Uranium and Cameco Corp. and has broad and deep experience in all aspects of resource mining. Mr. Healey has a bachelor of science degree in geology from the University of Wales, Swansea. He also served as the national president of the Geological Society of Canadian Institute of Mining, Metallurgy and Petroleum. In addition to belonging to several key industry associations, he has also published several scientific papers on resource and reserve evaluations. Die Rohstoffbeteiligungsgesellschaft Zimtu Capital (WKN A0RDR9) hat nach längerer Pause wieder einen Grundstücksdeal abgeschlossen. Das kanadische Unternehmen verkauft Rainmaker Mining (A0YE8E) die Möglichkeit, sämtliche Rechte am Frac-Sand-Projekt Peace River im Nordwesten der kanadischen Provinz Alberta zu erwerben.
Ölsand
Dafür erhält Zimtu von Rainmaker 5.000 Dollar bei Unterzeichnung, 375.000 Stammaktien nach Zustimmung der Börse zu dem Deal sowie 5.000 Dollar und 375.000 Stammaktien nach Abschluss eines erfolgreichen Explorationsprogramms bis spätestens 15. September 2014. Zimtus Partner bei der Transaktion wird in gleicher Höhe bezahlt. Den Verkäufern steht zusammen zudem eine Förderbeteiligung in Form einer Gebühr von 2% zu. Davon allerdings könnte Rainmaker 1% gegen Zahlung von 1 Mio. Dollar zurückkaufen.
Das Konzessionsgebiet Peace River grenzt an die Frac-Sandgrube Peace River und erstreckt sich rund 40 Kilometer entlang des Ost- und Westufers des Peace River, wo das Zielgelände freiliegt. Innerhalb der Region wird in einer Formation namens Paddy Member bereits Frac-Sand abgebaut. Dort bestehen laut Zimtu ideale Bedingungen. Frac-Sand wird von der Öl- und Gasindustrie bei der Förderung zum Fracturing (Aufbrechen / Fracking) von Gestein verwendet und ist angesichts des Booms in diesem Bereich derzeit stark nachgefragt.
Historische Berichte und Landkarten deuten auf hochrangige Explorationsziele entlang der Flussufer des Peace River hin. Rainmaker will, sobald die Schneeverhältnisse es zulassen, mit der Exploration beginnen und plant zunächst eine umfangreiche Schlitzprobenentnahme. Noch im ersten Halbjahr 2014 soll dann anhand der Ergebnisse dieser Proben und der Auswertung historischer und öffentlich zugänglicher Daten (Bohrprotokolle, Berichte, Bohrkernmaterial etc.) ein Bohrprogramm durchgeführt werden.
