      Church & Dwight To Buy Water Pik For About $1 Bln In Cash
      Church & Dwight Co. Inc. (CHD) said that it agreed to acquire Water Pik, Inc., the market leader in water-jet technology in both oral water flossers and replacement showerheads, for approximately $1 billion in cash.

      The transaction, which is subject to regulatory approval and other customary conditions, is expected to close in the third quarter.

      Waterpik's net sales for the trailing twelve months through June 30, 2017 were approximately $265 million.

      Waterpik's trailing twelve months EBITDA was approximately $80 million, a 30% EBITDA margin. Once the business is fully integrated, Church & Dwight expects to leverage its distribution network and operating discipline to achieve an estimated $10 million in operating synergies by 2019.

      The acquisition is structured as a stock purchase that the Company expects to finance with debt. The acquisition is expected to be neutral to 2017 EPS, inclusive of transition costs, acquisition-related expenses, interest expense and intangible amortization expense.

      Church & Dwight continues to expect 2017 reported earnings per share to be $1.75 to $1.77 and adjusted EPS to be $1.92, consistent with its previous outlook, inclusive of the neutral EPS effect of the acquisition. Analysts polled by Thomson Reuters expect the company to report earnings of $1.93 per share for fiscal 2017. Analysts' estimates typically exclude special items.

      In 2018, Church & Dwight expects to deliver approximately 18% reported EPS growth as 2017 reported EPS includes previously disclosed charges related to the Brazil Specialty Products business and the settlement charges related to our U.K. pension.

      Church & Dwight expect to deliver 9% adjusted EPS growth ($2.09) driven by 7% EPS growth of our existing business, plus 3% accretion from the Waterpik acquisition inclusive of interest and intangible amortization expenses. In addition, one-time transition costs will negatively impact EPS by 1%.

      For 2018, the company expects earnings per share to be in the range of $2.07 - $2.09. Analysts expect annual earnings of $2.07 per share.

      Church & Dwight Co Inc. (CHD) reported a profit for its first quarter that advanced compared to the same period last year.

      The company said its bottom line came in at $131.5 million, or $0.51 per share. This was higher than $113.0 million, or $0.43 per share, in last year's first quarter.

      Analysts had expected the company to earn $0.46 per share, according figures compiled by Thomson Reuters. Analysts' estimates typically exclude special items.

      The company said revenue for the quarter rose 3.3% to $877.2 million. This was up from $849.0 million last year.

      Church & Dwight Issues Outlook; Declares 7% Increase In Quarterly Dividend


      Church & Dwight Co., Inc. (CHD) announced, for 2017, on a reported basis, EPS is expected to be $1.72 to $1.74 per share, which includes a $0.02 negative impact from the Brazil charge, $0.16 to $0.18 negative impact from the pension settlement and a $0.03 positive impact from adopting the new options accounting standard. The company expects to achieve 7% adjusted EPS growth or $1.89 per share. The 2017 outlook equates to 8% currency neutral adjusted EPS growth excluding a 1% negative impact from foreign exchange.

      Church & Dwight expects reported and organic sales growth of approximately 3% in 2017 supported by new product introductions. The company expects reported and adjusted gross margin to expand by approximately 60 basis points despite rising commodity costs and foreign exchange headwinds.

      For the first-quarter, Church & Dwight expects reported and organic sales growth of approximately 1-2%, gross margin expansion and $0.46 EPS, a 7% increase. The company expects EPS in the first half of 2017 to be flat. Church & Dwight expects to close the sale of its chemical business in Brazil in the first quarter of 2017, resulting in an additional charge of approximately $5 million ($0.02).

      Church & Dwight announced the company plans to settle its U.K defined benefit pension plans in the second quarter of 2017 for an expected cash outlay (net of tax) of $14-$19 million. The company estimates it will incur a one-time pre-tax expense of approximately $49 to $55 million upon settlement in 2017 ($0.16 to $0.18).

      The company's Board declared a 7% increase in the regular quarterly dividend from $0.1775 to $0.19 per share, equivalent to an annual dividend of $0.76 per share. This raises the dividend payout from $183 million to approximately $195 million to maintain a 40% targeted payout ratio. The quarterly dividend will be payable March 1, 2017 to stockholders of record at the close of business on February 21, 2017.

      Im Folgenden sind die drei Unternehmen in der Haushalt Produkte-Industrie mit den niedrigsten Preispreis-Gewinn-Verhältnis (KGV). Forward P / E verwendet geschätzte Gewinne, um den relativen Wert von Unternehmen in der gleichen Branche zu vergleichen. Grundsätzlich gilt, je niedriger das Vorwärts-P / E ist, desto mehr wird ein Unternehmen unterschätzt.

      Church & Dwight am niedrigsten mit einem Vorwärts-P / E-Verhältnis von 13,69. Orchids Paper Products wird als nächstes mit einem Vorwärts-P / E-Verhältnis von 14,15. Kimberly-Clark liegt auf dem drittniedrigsten mit einem Vorwärts-P / E-Verhältnis von 18,44.

      Procter & Gamble folgt mit einem Vorwärts-P / E-Verhältnis von 20,42, und Energizer rundet die unteren fünf mit einem Vorwärts-P / E-Verhältnis von 21,01 ab.

      Ich bin nicht böse drum, mir ist der langfristige Erfolg wichtiger als eine kurzfristige Übernahmeprämie und die Frage, wohin dann mit dem Geld. (Wobei ich im Falle eines Käufers Reckitt vermutlich "mitgegangen" wäre.)
