Limited (the "Company") will be held at Level 38, BankWest Tower, 108
St George`s Terrace, Perth, Western Australia on Friday 19 May 2000
at 11.00 am.

Information on the proposals to which the resolutions set out below
relate is contained in the Explanatory Memorandum which accompanies
and forms part of this Notice of Meeting.

AGENDA

1. FINANCIAL REPORTS FOR 1999

To receive, consider and discuss the financial report of the Company,
directors` declaration and report; and auditors` report for the year
ended 31 December 1999.

2. RESOLUTION 1 - RE-ELECTION OF DIRECTORS

To consider and if thought fit, to pass the following resolutions as
ordinary resolutions.

(a) "That Mr R N Gillard being a director of the Company retires by
rotation pursuant to Rule 16.4(b)(ii) of the Constitution of the
Company and being eligible, is hereby re-elected as a director of the
Company."

(b) "That Mr G Argyle being a director of the Company retires by
rotation pursuant to Rule 16.4(b)(ii) of the Constitution of the
Company and being eligible, is hereby re-elected as a director of the
Company."

(c) "That Dr M Galvin being a director of the Company retires by
rotation pursuant to Rule 16.4(b)(ii) of the Constitution of the
Company and being eligible, is hereby re-elected as a director of the
Company."

(d) "That Mr K P Eckhof being a director of the Company retires by
rotation pursuant to Rule 16.4(b)(ii) of the Constitution of the
Company and being eligible, is hereby re-elected as a director of the
Company."

(e) "That Mr H R Moser being a director of the Company retires by
rotation pursuant to Rule 16.4(b)(ii) of the Constitution of the
Company and being eligible, is hereby re-elected as a director of the

(f) "That Mr P J Flint being a director of the Company retires by
rotation pursuant to Rule 16.4(b)(ii) of the Constitution of the
Company and being eligible, is hereby re-elected as a director of the

3. RESOLUTION 2 - PLACEMENT OF SHARES AND OPTIONS

To consider, and if thought fit to pass, the following resolution as
an ordinary resolution:

"That for the purposes of ASX Listing Rule 7.1 and all other
purposes, the directors be authorised to issue up to 15 million fully
paid ordinary shares in the Company at a price of 12 cents per share,
together with 15 million free attaching options on the basis of one
option for each share issued. The options will be issued on the terms
and conditions set out in Annexure "A " to the Explanatory Memorandum
which accompanied the notice of meeting."

4. RESOLUTION 3 - APPROVAL OF SHARE ISSUE

To consider, and if thought fit to pass, the following resolution as
an ordinary resolution:

"That for the purpose of Rule 7.4 of the Listing Rules of Australian
Stock Exchange Limited ("ASX") and for all other purposes the members
of the Company approve the issue of 26,250,000 ordinary shares in the
Company at an issue price of 2 cents per share to Hwang Pei Pte Ltd."

5. RESOLUTION 4 - CHANGE OF NAME

To consider, and if thought fit to pass, the following resolution as
a special resolution:

"That with the approval of the Australian Securities and Investments
Commission, the name of the Company be changed to Global Doctor
Limited."

6. RESOLUTION 5 - APPROVAL OF THE GLOBAL DOCTOR LIMITED EMPLOYEE
INCENTIVE SCHEME

To consider, and if thought fit to pass, the following resolution as
a special resolution:

"That, for the purposes of Listing Rule 7.37 of the Listing Rules of
Australian Stock Exchange Limited, the terms and conditions of the
Global Doctor Limited Employee Incentive Scheme as contained in the
rules submitted to this meeting and signed by the Chairman for
identification purposes be approved."

7. RESOLUTION 6 - ISSUE OF OPTIONS TO A DIRECTOR

To consider, and if thought fit to pass, the following resolution as
EL special resolution:

"That, for the purposes of ASX Listing Rules 7.1 and 10.11, Chapter
2E of the Corporations Law and all other purposes, the directors be
authorised to issue 750,000 options to subscribe for fully paid
ordinary shares in the Company to Mr R N Gillard or his nominee on
the terms and conditions set out in the Explanatory Memorandum which
accompanied the notice of meeting.

8. RESOLUTION 7 - ISSUE OF OPTIONS TO A DIRECTOR

To consider, and if thought fit to pass, the following resolution as
a special resolution:

"That, for the purposes of ASX Listing Rules 7.1 and 10.11, Chapter
2E of the Corporations Law and all other purposes, the directors be
authorised to issue 1,500,000 options to subscribe for fully paid
ordinary shares in the Company to Mr G J Argyle or his nominee on the
terms and conditions set out in the Explanatory Memorandum which
accompanied the notice of meeting.

9. RESOLUTION 8 - ISSUE OF OPTIONS TO A DIRECTOR

To consider, and if thought fit to pass, the following resolution as
a special resolution:

"That, for the purposes of ASX Listing Rules 7.1 and 10.11, Chapter
2E of the Corporations Law and all other purposes, the directors be
authorised to issue 1,000,000 options to subscribe for fully paid
ordinary shares in the Company to Dr M Galvin or his nominee on the
terms and conditions set out in the Explanatory Memorandum which
accompanied the notice of meeting.

10. RESOLUTION 9 - ISSUE OF OPTIONS TO A DIRECTOR

To consider, and if thought fit to pass, the following resolution as
a special resolution:

"That, for the purposes of ASX Listing Rules 7.1 and 10.11, Chapter
2E of the Corporations Law and all other purposes, the directors be
authorised to issue 750,000 options to subscribe for fully paid
ordinary shares in the Company to Mr K P Eckhof or his nominee on the

Global Doctor Limited (60% owned by Terrex Resources Limited) has
signed an agreement with the Shenzhen Red Cross Hospital to setup a
medical clinic in Shenzhen, Peoples Republic of China. The hospital
occupies an area of around 55,420sqm, which has over 500 inpatient
beds and 51 clinical and technical departments. Shenzhen is one of
the fastest growing regions in China, and has a population of
1.9 million and located 50 kilometres from Hong Kong.

Global Doctor will receive all the profits from the clinic. Two
doctors and three nurses will be supplied, by the Shenzhen Red Cross
Hospital. Global Doctor will be responsible for managing the clinic,
maintaining the quality of medical standards, supplying
telecommunication and medical equipment and software for the
operation of the clinic. Global Doctor proposes to open the clinic in
approximately three months.

Übrigends habe ich bei meinem letzten Besuch auf der Site eglobaldoctor.com mal die Stellenangebote durchforstet. Nicht schlecht was die alles suchen - sehr interessant war die Ausschreibung für einen Marketing Direktor. Sollte bei Terrex dann endlich auch das Marketing ins rollen kommen - Presseartikel, Werbung, Hotelprospekte etc.? Wäre doch toll, oder?

Auch ja, für den Aufbau von Global Doctor Limited in Vietnam, Malaysia und Thailand suchen sie auch noch Leute.

Hallo Leute,
bin gerade auf der wunderschoenen Insel Langkawi in Malysia.
Es waren heute jede Menge Stellenanzeigen von Terrex in den Tageszeitungen und auch diverse Kurzinfos bezueglich Planungen zur kooperation mit dem hisigen Hospital, einer Klinik auf Penang und einer Klinik in Kuala Lumpur. Ausserdem war die Rede von einem Medi-Pool und von grossem Interesse. Was immer das sein mag!!!
Leider kann ich mir die Namen nicht merken und habe die Zeitung auch nicht dabei.
Naja, so ist das eben, wenn man vom Strand direkt in ein Internetcafe latscht.

Auch für die Terrexler mein Brief an Reitmeier vom 21.04.00

Nach der Einladung von Reiti gestern abend genauere Infos zu Mycasino und Terrex nur von Ihm direkt zu beziehen (e-mail) habe ich mich heute hingesetzt und den
folgenden Brief verfaßt.
Sobald eine Antwort eintrifft werde ich sie hier ins Board stellen.

Sehr geehrter Herr Dr. Reitmeier,

gerne nehme ich Ihr Angebot in Anspruch mittels der von Ihnen angegebenen e-mail-Adresse mehr und detailliertere Informationen über die folgenden Investments
meinerseits zu erhalten.

Es geht hier bei um den Fall "Terrex", aber auch, und insbesondere, um "MyCasino".

In beiden Fällen, so möchte ich annehmen, waren Sie der Motor der Entwicklungen, zumindest in der ersten Zeit nach Umwandlung der Explorationsgesellschaften. Um
ehrlich zu sein sehe ich seit Ihrem Abschied aus dem operativen Geschäft bei beiden Unternehmen mein Investment in Gefahr, wobei ich hier nicht an Wertverlust denke,
sondern einen Totalverlust nicht ausschließen möchte.

Zum Fall Terrex:

Frei heraus gesagt, befürchte ich in diesem Fall, daß das Management um die Herren Klaus Eckhof, Reg Gillard,
und Gavin Argyle die Entwicklung der Global Doctors (GD)/Terrex nicht mit dem nötigen Ernst betreiben. Was mich zu dieser Erkenntnis bringt, möchte ich im folgenden
stichpunktartig festhalten, mit der Bitte an Sie - falls möglich - zumindest einen Teil der Bedenken meinerseits zu zerstreuen.

· Das Geschäftsmodell der GD: Trotz intensivem Studium der vorhandenen Webpage www.eglobaldoctor.com ist es mir nicht gelungen herauszufinden, auf welche Art und
Weise die Gesellschaft ein profitables Geschäft auf die Beine stellen möchte. Um es im Klartext zu sagen: Keinem Investor (zumindest in dem mir bekannten Kreis) liegt
ein Geschäftsmodell geschweige denn ein Geschäftsplan vor. Sollen es Touristen sein die den Profit ins Haus bringen? Oder Auslandsabordnungen internationaler
Konzerne (wozu ich später noch kommen werde)? Es ist mir nicht bekannt.

· Investoren: Dennoch wird auf www.eglobaldoctor.com nach Investoren / Aktionären gesucht. Ebenso nach Bewerber / Kandidaten für freie Stellen bei GD. Dies ist,
verzeihen Sie meine Offenheit, ein Witz. Doktorspiele hin oder her, "Cybermedcine" ist ein klangvoller Begriff, aber ohne Inhalt wirkungslos. Auf der angesprochenen
Website hätte das Management die Gelegenheit gehabt diese Begriffe mit Inhalt zu füllen. Leider wurde diese Chance vergeben.
· Die Website als solche: Offen gesprochen hätte ich es, als Manager meiner Gesellschaft, als eine Peinlichkeit empfunden diese Seite zu veröffentlichen. Nicht nur aus
oben genannten Gründen sondern auch aus Gründen der professionellen Gestaltung. Es ist mir nicht bekannt wer die Seite erstellt hat oder welche Gelder dafür geflossen
sind aber die Qualität der Darstellung ist, gelinde gesagt, mit der einer Schülerseite zu vergleichen. Für ein "Butterbrot" erstelle ich Ihnen, in kürzester Zeit, obgleich ein
Amateur, eine Webseite, die die vorhandene in jeder Hinsicht in den Schatten stellt. Die Sharepreis - Entwicklung nach Veröffentlichung ist für mich ein Schattenbild dieser
Erkenntnis.

· Anfragen: Die offizielle Anfrage eines französischen Großkonzerns zum Thema Abordnungsbetreuung, die ich a.G. meiner Position und meines guten Namens angeregt
habe, wurde bisher nur knapp und abschlägig (!) beantwortet. Eine Peinlichkeit für mich, vielmehr jedoch eine verspielte Chance für GD. Insbesondere letzteres veranlaßt
mich zur Annahme in einen Geschäftsbetrieb investiert zu haben dem keine großartige Zukunft bevorsteht.

Zum Fall "MyCasino"

Im folgenden möchte ich nur die mir am wichtigsten erscheinenden Punkte ansprechen, da ein Investorenkollege schon eine entsprechende Umfrage begonnen hat. Die
gesammelten Anfragen werden wohl Ihrem am Sonntag nach Perth fliegenden Board-Kollegen rechtzeitig mitgegeben.

· Ist es möglich einen Geschäftsplan einzusehen (min. 3 Jahre) der die zukünftige Entwicklung von MyCasino offenlegt? Dies ist bei sog. IPOs, und mit diesem Begriff wird
für MyCasino geworben, mehr als üblich.

· Welche Erfolge hat das Casino "Casinoaustralasia" seit seiner Eröffnung im Jahre 1998 vorzuweisen? Auf einschlägigen Seiten mit Verweisen zu Internetcasinos ist
"Casinoaustralasia" entweder weit abgeschlagen oder gar nicht zu finden. Wie hoch ist die "Klickrate". Presseberichte datieren zuletzt auf Mai 1999.

· Zum Thema "Darstellung im Internet" ist die gleiche Kritik anzubringen wie im Fall Terrex. Die Seite www.mycasino.cc ist, gelinde gesagt, eine Schande für ein IT
Unternehmen.

· Die entscheidende Frage ist jedoch: Wie möchte man als Neuling, und als solchen bezeichne ich MyCasino trotz, oder gerade wegen der bisherigen Erfolge von
"Casinoaustralasia" in einem hart umkämpften Markt (man geht von min. 700 Online Casinos weltweit aus) bestehen. Dies ist mir völlig unverständlich.

· Um es kurz zu fassen: Auch bei MyCasino befürchte ich seit Ihrem Ausscheiden, (wobei Sie auf der Seite www.my-casino.com.au immer noch als Executive Director
genannt werden) ein schnelles Ende der Geschäftstätigkeit. Man scheint in Australien der Meinung zu sein genug "schnelles Geld" gemacht zu haben und sich nun
zurücklehnen zu können.

Ich hoffe von Ihnen, zumindest auf einen Teil der oben gestellten Fragen, Antworten oder entsprechende Dokumente zu erhalten die es mir gestatten mein Engagement
weiter aufrecht zu erhalten. Bisher hatte ich Sie durch Ihre Publikationen als aufgeschlossenen und vernünftigen (und unkomplizierten) Fachmann kennen und schätzen
gelernt. Es wäre mir unverständlich würden Sie Investments in beide oben genannten Firmen propagieren ohne im Besitz entsprechender Hintergrundinformationen zu sein.
Ich hoffe inständig, daß es Ihnen möglich ist meine Bedenken zu zerstreuen.
Sollten meine Befürchtungen nicht unbegründet sein, so bitte ich Sie zumindest, mit der Ihnen eigenen Dynamik Ihren Einfluß geltend zu machen und die beiden
Gesellschaften aus ihrer Lethargie (und notfalls ihres unfähigen Managements) zu befreien.
