      Admission to trading on AIM and first day of dealings

      Windar Photonics plc ("Windar" or "the Company"), a technology group that has
      developed a cost efficient and innovative Light Detection and Ranging ("LIDAR")
      wind sensor for use on electricity generating wind turbines, is pleased to
      announce that its admission to trading on the AIM market of the London Stock
      Exchange ("AIM") and dealings in its ordinary shares commence at 08:00am (BST)
      today ("Admission") under the ticker "WPHO".

      Windar's key product is the WindEye™ Sensor which measures wind direction and
      wind speed by scanning a laser beam ahead of the wind turbine. The WindEye™
      Sensor was designed for the general optimisation of wind turbines.

      Martin Rambusch, Windar's CEO, commented: "Windar's admission to trading on AIM
      is another milestone in the Company's journey. Admission to AIM raises the
      profile of the Company and its cost effective and innovative WindEye™ Sensor
      product, which both improves efficiency and prolongs the life of wind turbines,
      and provides a great platform for the future growth of the business. The Windar
      team is looking forward to continuing the success story and to building our
      presence on AIM."

      Prior to Admission, Windar raised funds from institutional and other investors.
      On 29 August 2014, the Company closed an initial private offering which raised
      approximately £2 million. On 2 October 2014, Windar subsequently closed a
      further private offering which raised approximately £1 million. Between 28
      November 2014 and 12 December 2014, institutional and other investors invested
      approximately a further £2.88 million.

      The market capitalisation of Windar on Admission is £38.2 million, based on the
      introduction price of 100p per ordinary share and 38,166,377 ordinary shares in
      issue.

      The Company is led by an experienced Board, chaired by John Weston CBE,
      previously chief executive of BAE Systems plc and a former member of the Prime
      Minister's council for science and technology. He is joined by executive
      directors Martin Rambusch (CEO) and Jørgen Korsgaard Jensen (COO and founder),
      as well as non-executive directors Simon Barrell, Johan Blach Petersen and
      Niels Vejrup Carlsen.


      Sanlam Securities, which is authorised and regulated in the United Kingdom by
      the FCA, is acting as nominated adviser and broker to the Company in connection
      with the Introduction and Admission.

      New distribution agreement and orders for December
      A new distribution deal for large volume supply of LiDARs for the Chinese market in 2016.


      During December we have received a number of orders from utilities and wind turbine OEMs :

      An order of 5 WindEYEs(tm) with WindTIMIZERs(tm) for a large utility. The LiDARs will be installed on Vestas V100 turbines in January

      An order of 6 LiDARs from a wind turbine OEM, where the LiDARs will be integrated directly with the wind turbine controller.

      An order for a LiDAR system from an Indian OEM for a test project in the US.

      Trading update

      Windar Photonics plc (AIM:WPHO), the technology group that has developed a cost efficient and innovative LIDAR wind sensor for use on electricity generating wind turbines, announces a trading update based on the Company’s sales for the year ended 31 December 2015.

      The Company is pleased to announce that the revenue for the year ended 31 December 2015 was realised within the previously announced revenue guidance for the financial year at approximately €950,000. Despite not being able to achieve the originally planned revenue growth in 2015 primarily due to the previously announced delays in developing the Asian market, the Directors are encouraged by the level of sales from North America and Europe.

      Sales in 2015 were broadly and evenly distributed between the Company’s three principal markets of North America, Europe and Asia, with a significant increase in activity and results from the European and North American markets. The Directors remain confident that the significant interest shown by current customers who have completed testing of the Group’s LIDAR systems in 2015, customers currently testing the Group’s LIDAR systems and new customers, including both utility companies and wind turbine manufacturers, will enable the Company to increase revenue substantially in 2016.

      The Group has an exclusive distribution agreement in place with LSAP Holdings AG (known as “TRES Wind”), based in Switzerland for primarily the Chinese market, which is dependent on certain sales levels being achieved in 2015. On 30 September 2015, the Company announced that as the Directors expected that the necessary sales level target would not be achieved, the Directors would be considering the Company’s options going forward. As a result of these considerations and the failure of the distributor to achieve the required sales levels, the Company has given six months’ notice to terminate the exclusive distribution agreement. The Company considers that the Chinese market will remain one of the most important markets

      WindEYETM orders from two large scale utilities in North America
      Windar Photonics plc (AIM:WPHO), the technology group that has developed a cost efficient and innovative LIDAR wind sensor for use on electricity generating wind turbines, is pleased to announce that it has received two separate orders for its LiDAR wind sensors from two large North American wind farm owners and operators for immediate delivery.

      A well-established Canadian utility provider with over 2,500 MWs of installed wind farms in Canada and the United Sates has ordered six WindEYETM units to be installed immediately. The WindEYETM units will be integrated with the customer’s wind turbine control systems.

      A second order for five WindEYETM units to be installed immediately has also been placed by a United States based utility company with over 1,000 MWs of installed wind farms, to be installed on Suzlon wind turbines located in the Interior West of the United States.


      Martin Rambusch, Chief Executive Officer of the Company, commented:

      “These two new orders represent a significant opportunity for Windar to expand our global reach and to demonstrate the significant benefits of WindEYETM to utility scale wind generation projects. Our industry disruptive WindEYETM solution can add significant value to wind farm owners and to turbine manufacturers, increasing project yields by up to 7% and annual energy production by as much as 1-4%, and we look forward to demonstrating these benefits to our new partners throughout 2016 and beyond.”

      Windar Photonics plc (AIM:WPHO), the technology group that has developed a cost efficient and innovative LIDAR wind sensor for use on electricity generating wind turbines, was yesterday notified by Jørgen Korsgaard Jensen, a Director of the Company, that on 15 March 2016, Pasinika s.á.r.l (“Pasinika”) has entered into Put/Call Option Agreement (the “Agreement”) with the shareholder who holds a 40 per cent. shareholding in O-Net WaveTouch Limited (“WaveTouch Group), which is a company incorporated in Hong Kong.

      Mr Jensen is the sole beneficial owner of Pasinika, and Pasinika owns 6,923,938 ordinary shares of 1 pence each (“Ordinary Shares”) in Windar, representing 18.1 per cent. of the issued share capital of Windar.

      The Agreement includes a mutual right for both parties to swap between a minimum amount of 1,000,001 ordinary shares and 2,000,000 Ordinary Shares in consideration for a 40 per cent. shareholding in the WaveTouch Group. The Option can be exercised during a window from October 1, 2016 until June 30, 2018 (the “Window”) subject to any close period considerations in relation to Windar at the time in relation to any transfer of shares in consideration.

      The final amount of ordinary shares in Windar that could be transferred in consideration depends on several factors including the share price of the Ordinary Shares immediately prior to the exercise of the Option. Pasinika has further reserved the right, under certain circumstances, for an undisclosed cash payment to reduce the amount of Ordinary Shares included in an eventual transaction, whereby the number of Windar ordinary shares to be transferred in consideration could be reduced to nil.

      If the maximum number of Ordinary Shares are transferred in consideration, assuming no further issue of shares, Mr Jensen will be interested in 12.9 per cent. of the issued share capital of Windar, and the current 40 per cent. shareholder in the WaveTouch Group will hold up to a maximum of 2,000,000 Ordinary Shares in Windar representing 5.2 per cent of the issued share capital.

      Despite the Window being outside the Lock-in and Restricted Periods included in the agreement between Pasinika, Windar and the Company’s Nominated Adviser, Pasinika has (prior to entering into the above Agreement) received approval from both the Board of Directors of the Company and the Nominated Adviser acting on behalf of Windar to enter into the Agreement.

      Windar Photonics announces a new order of 15 WindEYETM units

      Windar Photonics plc (AIM:WPHO) is pleased to announce an order of 15 WindEYETM LiDAR units from the Chinese market for delivery in April 2016.

      The WindEYETM LiDAR units are to be installed on Goldwind wind turbines in already operating in China during Q2 2016 and will be integrated directly with the wind turbines’ control systems.

      Integrating the LiDAR directly with the wind turbine’s control system enables the LiDAR sensor to reduce costs associated with maintenance and repairs, while concurrently increasing the annual energy production from the wind turbine by 1-4%.

      Martin Rambusch, Chief Executive Officer of Windar , commented on the order:

      “We are very pleased with the progress being made in multiple markets due to the flexibility which our LiDAR product offers in terms of both retrofit or new turbine deployment to asset owners. This order is an important milestone for Windar in terms of our market presence in the Chinese Market.

      It is also a significant step forward towards a collaboration with the Chinese Wind Turbine OEMs concerning direct control system integration of Windar’s LiDAR units as part of the design stage of wind turbine development.”

      Jetzt, da es schon so ewig gedauert hat, die Jahreszahlen zu ermitteln und zu veröffentlichen,
      sind sie wenigstens grottenschlecht: 4 MEUR Verlust und weniger Umsatz als 2014;

      aber in 2016 wird alles gut....


      Dazu passt, dass sie im Mai 'ne KE gemacht haben, die ich übersehen hatte, weil sie die entsprechende Meldung in der Übersicht nur mit "Factoring" betitelt haben. Wenn man die dann aufmacht, liest man:

      Windar Photonics PLC, the technology group that has developed a cost efficient and innovative LIDAR wind sensor for use on electricity generating wind turbines, is pleased to announce that it has raised approximately £1.0 million (€1.2 million) by way of a subscription for 885,502 ordinary shares of 1 pence each (the “Subscription Shares”) (the “Subscription”) at 110 pence per share (the “Issue Price”).

      The Company is also pleased to announce that it has agreed a factoring facility (the “Factoring Facility”) with Nordea Bank Denmark A/S, the largest financial services group in the Nordic and Baltic region, for an initial facility of up to €400,000 with an understanding to increase later in the year up to €1.5 million, as the Company makes further progress with orders for its WindEYETM LiDAR units.

      The proceeds of the Subscription and access to the Factoring Facility will enable the Company to fully capitalise on the traction it is encountering in its target markets for its WindEYETM LiDAR technology. It also provides the further funding required in order to deliver Windar’s product solution to customers in multiple geographies and to fully execute on the strategy laid out at the time of its introduction to AIM in March 2015.

      Global Distribution Agreement with Vestas

      Windar Photonics plc (AIM:WPHO), the technology group that has developed a cost efficient and innovative LiDAR wind sensor for use on electricity generating wind turbines, is pleased to announce that Windar and Vestas Wind Systems A/S ("Vestas"), the wind turbine manufacturer, have signed a global distribution agreement for the sale and promotion of Windar's 2-beam LiDAR system. The system will be sold as a retrofit after-sales solution to the wind industry.

      With more than 78 GW under service, Vestas is the largest maintenance provider in the wind industry. As part of its service portfolio, Vestas services close to 9 GW of non-Vestas turbines. Vestas' service network consists of more than 10,000 people across 63 countries worldwide.

      The global distribution agreement grants Vestas certain exclusive rights over the sale and marketing of the Windar 2-beam LiDAR products for specific wind turbine platforms in each individual regional market and is primarily directed towards Vestas' multibrand fleet under service.

      The 2-beam LiDAR system is a yaw-optimisation solution that can increase annual energy production by 1-4% for the asset owner by ensuring that the wind turbine is always facing the optimal direction for harnessing the wind. The LiDAR optimisation solution will be offered to a wide range of turbine platforms within the retro-fit market segments, thus providing a means for improving the performance of existing wind turbines.

      Mariel Garrido, Head of Fleet Optimization at Vestas, commented: "We are committed to year on year provide our service customers with new technology options for optimising the energy production from their existing assets. We have chosen to work with Windar Photonics' LiDAR technology primarily to cover our serviced multibrand fleet due to its ability to deliver a combination of value for money, proven performance, ease of installation and service and limited interference with the turbine."

      Jørgen Korsgaard Jensen, Chief Executive Officer of the Company, commented: "Following our strategic change in 2016 to utilise external distribution partners for the sale and promotion of our LiDAR products in retrofit markets, I am very pleased that Windar is now entering into this global agreement with Vestas. Our 2-beam nacelle-based LiDAR systems will now be made available to the global marketplace as part of Vestas' portfolio of service products.

      2018 Trading Update

      Windar Photonics plc (AIM:WPHO), the technology group that has developed a cost efficient and innovative LiDAR wind sensor for use on electricity generating wind turbines, is pleased to announce an unaudited trading update for the year ended 31 December 2018.

      Overall, the Company continued to make progress in all of its key areas:

      · Total revenue recognised increased 59% to €3.5m (2017: €2.2m) and record volume of product shipped, with such revenues up 80% in 2018 to €3.6m (2017: €2.0m)

      · Gross profit up 86% to €1.7m (2017: €0.9m)

      · Operating costs (ex. depreciation, amortisation and warrant costs) unchanged at €2.1m (2017: €2.1m) - despite considerable increases in operational costs in the Shanghai sales and service office and R&D (primarily wind analytics and turbine integration)

      · EBITDA loss reduced by 71% to €0.36 million (2017: loss €1.22m)

      · Order backlog at the end of 2018 for deliveries in 2019 totalled €1.0m (2017: €3.9m)

      · Net cash of €2.2 million including restricted cash holdings of €0.5 million (2017: €1.1 million and €0.2 million, respectively)


      Shortages of certain components in our supply chain during the second half of 2018 impacted revenues generated in the year. These shortages resulted in orders, primarily for the Asian markets received in 2017 not being fully delivered during the year and consequently being rolled into 2019. This issue was compounded with expected new orders from these markets then being deferred, which will now also be delivered in 2019. The primary reason for the shortages were longer than expected running in times for new fully automated compression moulding equipment which has since been resolved and the Board are confident the supply chain is now capable of supporting a substantial increase in order volumes going forward.

      As in prior years, revenues in 2018 were predominantly achieved in the retro-fit market segment, primarily in our Asian markets. The global distribution agreement with Vestas Service has not yet had a material impact on the Company's revenues, however based on a broad range of ongoing end-user projects with Vestas Service, as well as other projects with our other distribution partners in Asia, the Company expects to see continued growth within the retro-fit segment as well as a more balanced spread of revenue across geographies through 2019 and beyond.

      Revenue from the OEM market segment in 2018 included just a small number of orders for new test projects. At the end of 2018, the Company had a record number of ongoing OEM turbine integration projects, some of which are in the final turbine type verification stages.

      Further information will be provided in the final results for the year ended 31 December 2018 which are expected to be released in May 2019.


      Jørgen Korsgaard Jensen, CEO of Windar, said:

      While 2018 had unexpected challenges in fine tuning our external and internal supply chains to support the increasing demand for our products, we have taken action to significantly improve this situation. Therefore, whilst not fully achieving our targets in 2018, based on our current customer projects with Vestas Service and the continued demand from our Asian partners, I expect Windar to maintain growth in line with previous years within the retro-fit market segment in 2019. In addition, given the significant investments our OEM customers are making to integrate our LiDAR products on various wind turbine platforms, I expect this market segment will begin to act as an additional key growth driver for Windar in the near future. The combination of this with the continued growth of the retro-fit market will help us achieve our ambition to build a strong and profitable company."
