Baytex Energy (NYSE:BTE) said Tuesday it agreed to acquire Ranger Oil (NASDAQ:ROCC) in a deal valued at ~US$2.5B (C$3.4B) including debt.Under the deal terms, Ranger (ROCC) shareholders will receive 7.49 Baytex (BTE) shares plus $13.31/share in cash for each Ranger common share, for total consideration of ~$44.36/share, a ~7% premium over its $$41.31/share closing price on Monday.
Baytex (BTE) shareholders will own ~63% of the combined company, and Ranger (ROCC) shareholders will own ~37%.
"We are acquiring a strong operating capability in the Eagle Ford, on-trend with our non-operated position in the Karnes Trough and driving meaningful per-share accretion on all metrics," Baytex (BTE) President and CEO Eric Greager said, adding the deal more than doubles the company's EBITDA and nearly doubles its free cash flow.
The company said it expects to initiate a dividend upon the deal's closing.
Baytex Energy (BTE) last week reported Q4 adjusted earnings of C$0.64/share, with production rising 7.5% Y/Y to 86,864 boe/day.

Canada's Baytex Energy nears $2.5 bln deal for U.S. peer Ranger Oil -sources
Feb 27 (Reuters) - Canadian oil and gas producer Baytex Energy Corp (BTE.TO) is nearing a deal to acquire U.S. peer Ranger Oil Corp (ROCC.O) for around $2.5 billion including debt, people familiar with the matter said on Monday.Calgary, Alberta-based Baytex will pay a mixture of cash and stock to buy Ranger at a small premium to its current market value of $1.8 billion. It will also assume Ranger's debt pile, which stood at $603 million as of Sept. 30.
The transaction will significantly boost Baytex's presence in South Texas' Eagle Ford shale basin, which currently represents around 30% of its total production, according to its website.
An agreement between Baytex and Ranger could be announced as soon as Tuesday, barring any last-minute hitches, added the sources, who spoke on condition of anonymity to discuss confidential information.
Baytex and Ranger did not immediately reply to requests for comment.
Reuters that Houston-headquartered Ranger was considering a sale. The Eagle Ford basin has witnessed in recent months, with buyers lured by its proximity to major energy hubs, including export and refining facilities on the U.S. Gulf coast.
Baytex's deal would add to the run of Canadian energy operators seeking to boost the amount they produce south of the border. Ovintiv Inc moved its headquarters to Denver, from Calgary, at the start of 2020 as it prioritized its U.S. assets. Enerplus Corp completed in December the sale of its Canadian operations, leaving it with assets in North Dakota and Pennsylvania.

Premier-designate of Canada's oil-rich Alberta promises showdown with Ottawa
Oct 6 (Reuters) - Danielle Smith was chosen as leader of the ruling United Conservative Party (UCP) in Canada's oil-rich Alberta province on Thursday, after running on promises of greater autonomy, in particular pushing back against federal government policies.
Smith, who will replace Jason Kenney as premier, won 53.77% of the vote from party members and will lead the UCP into a provincial election scheduled for May next year. She will formally become premier when the province's Lieutenant Governor invites her to form a government on Tuesday.
"I'm back," Smith told a cheering crowd in Calgary.
"Today marks a new beginning in the Alberta story. No longer will Alberta ask permission from Ottawa to be prosperous and free ... we will not have our resources landlocked or our energy phased out of existence by a virtue-signalling prime minister."
The western province of Alberta has long had a strained relationship with Prime Minister Justin Trudeau's Liberal government in Ottawa, stemming from a sense that the federal government's climate polices are damaging Canada's oil and gas industry.
Smith's most eye-catching policy is a promise to immediately table the Alberta Sovereignty Act, allowing the province to refuse to enforce specific federal laws or policies "that violate the jurisdictional rights of Alberta". read more
She was the frontrunner to win the leadership race, followed by Travis Toews, who was provincial finance minister until May when he resigned to run for leader.
