The Company`s shares have been delisted from the Bulletin Board effective April 20, 2000. Unlike most companies whose shares have been delisted we are a reporting company. We, however, did not clear our Securities and Exchange Commission comments by the required date, in part, due to our acquisitions and other factors. We have filed the Company`s annual report on Form 10-K and anticipate comments shortly by the Securities and Exchange Commission. As soon as we finalize these comments we will be relisted again on the Bulletin Board. We cannot predict the length of the process with certitude, but look forward to being relisted again in the near future.

habe den ganzen Handel nicht beobachten können, wenn aber unter days high 6,75 verzeichnet ist, dann wird da wohl ein Kurs gemacht worden sein.

Alle Ticker-Symbole an der elektronischen Börse Nasdaq bestehen aus vier Buchstaben (z.B. MSFT für Microsoft). Unter bestimmten Umständen wird jedoch ein fünfter Buchstabe an das Symbol angehängt, dessen Bedeutung im Folgenden erläutert wird.

Die Aktie ist vorübergehend von den Listing-Voraussetzungen der Nasdaq befreit.

D
Neue Aktie. In der Regel wird der Zusatz `D` bei kürzlich fusionierten Unternehmen verwendet.
Beispiel: Die beiden Werte OnSale (ONSL) und Egghead (EGGS) fusionieren unter dem Namen Egghead.com. Das fusionierte Unternehmen wird unter dem Ticker `EGGS` gehandelt, in einer Übergangszeit (ca. eine Woche) wird jedoch der Zusatz `D` verwendet um anzuzeigen, dass es sich um ein neues Unternehmen handelt, der Ticker lautet also übergangsweise `EGGSD`.

Das Unternehmen hat sich nicht an die Bestimmungen der SEC (Security & Exchange Comission) gehalten. In der Regel wurde der Termin für den Quartalsbericht nicht eingehalten.

Der Kurs mit 6.75 stimmt. War eine Kauforder von 100 Stück! Habe es live gesehen und mich an den Kopf gefasst !
Laßt uns das Unternehmen vergessen, den ich will nicht jeden Tag am meine 80% Verlust erinnert werden.

Na, da bleibt immerhin noch ein Quentchen Hoffnung. Ich werde irgendwann mal eine Verkaufsorder mit Limit 5 USD in Amerika platzieren, vielleicht gehts durch.

Da ich mittlerweile ne anständige Menge habe, lohnt sich der Gang nach Amerika auch wegen der Gebühren.

April 25, 2000

Dear Shareholder:

In March, we inadvertently announced what we thought were final year-end revenues and loss numbers. It turned out that these numbers were inaccurate. The reduced revenues and increased loss almost entirely related to our United Kingdom subsidiary Channelnet Ltd. While management acted in good faith based on information provided to it, the incident was of great concern to us. It is not important that we acted in good faith; what is important is that as a consequence of these events, our reputation and credibility were damaged.

Our primary job is to repair damage done and make sure nothing similar happens in the future. We are committed to providing the necessary infrastructure to accurately reflect and monitor our growing business. To that end we are taking several steps listed below to ensure the future integrity of our financial information.


We have placed the responsibility of our Channelnet internal accounting information under the authority of an experience financial officer who became employed by our group after the acquisition of Web Factory.
We are in the process of retaining an accounting firm in the United Kingdom to replace Channelnet`s accounting firm. This firm, when retained, will be responsible for establishing appropriate accounting standards for all of our United Kingdom operations.
We are in the process of obtaining a new chief financial officer with both public company and international experience.
We have determined to change auditing firms and are in the process of interviewing successor public accounting firms.

We will continue to review the situation and you will be advised of our progress.
